1.0 INTRODUCTION Tensioned membranes can be used to construct roofs, free standing canopy structures, sails and skylights. It is the non-linear behavior that makes tensile membrane structures unique and different from conventional buildings. Architects or design engineers can take the advantage of this flexible building material to create new, unusual shapes, while at the same time handling load stresses like gusting winds and live load, just as well as conventional buildings. Being the fifth construction material in civil construction and architecture, the tensioned membranes offer a great variety of options and solutions with nearly every desired shape. Tensioned membrane structures offer diffuse interior translucency, yet appear to be opaque when viewed from the exterior during the daytime. During nighttime, artificial interior lighting creates an exterior luminescence, which is a very recognizable feature of tensioned membrane structures. Ocma Emirates is a comprehensive construction resource, offering customers pre-construction services, product education, manufacturing, project management, installation and long-term customer service. Ocma Emirates has been based in Dubai, United Arab Emirates since 1997, serving the local market with locally designed and manufactured tensile membrane structures in polyester netting, PVC and PVDF coated polyester fabrics. Ocma Emirates comprises of qualified engineers with experience in design, manufacture and installation of over 800 shade structures in the UAE, neighboring Gulf countries, Africa and India. The well trained technicians and fabricators work together towards a high quality product from design, through all stages of manufacture, and to final site installation. Each shade structure is designed to suit the particular site and provide protection from sun and ultra-violet rays.

Ocma Emirates is based in Al Quoz industrial area, with 3500 square meter that comprises the main office, the showroom, the workshop and the stores. The factory is equipped with the latest in technology and highly sophisticated machinery geared to the design, manufacture & erection of tensile membrane structures. Our team of design engineers uses highly sophisticated German software for “Form Finding”, “Statically Analysis” and for “Cutting Pattern Generation” of the membrane. Ocma Emirates imports high quality fabrics and accessories from Australia, South Africa, France, Germany and Italy for long life of the structures in the extreme conditions of sun and salty coastal environment and ultra-violet exposure. All our structures are designed to withstand the membrane forces caused due to pre-stress and wind load. The critical elements are often tested in the laboratory for safety reasons. Ocma Emirates uses top grade stainless steel wire ropes with decent terminals either crimped or swaged for durability and aesthetic appearance. Ocma Emirates also deals in standard lightweight structures as shown below, which are best suited for Hotels and private homes. In addition to the customized tensile structures Ocma Emirates offers range of standard or modular cantilevered products that are pre-engineered. Almost all of these are used as Car park shades in the commercial market, representing an economical alternative to customized structures without compromising in the quality of the product. Any of these modules can be used individually for small area of coverage, or combined to provide larger shade.

2.1) Design

Design of structure shall be as per drawing.

2.2) Materials

<I) Fabric - The supplied F<3bricshall be CooJaroo Commercial 95knitted HDPE Manufactured by Gale Pacific of Australia or Donaghysof New Zealand or Comshade Manufactured by Polyfab of Australia.Colours available/

b) Structural steel - All steel works will be designed andmanufactured to withstand the loads imposed by the fabrics due towind pressure and pre-tension of fabric. All steel sections shall beASTM mild steel. All manufactured steel shall be grit blasted, hot dipgalvanized, primer coated, and applied with a coat of high build andtopcoat as per specifioation. TDF thickness will be as perspecification.

c) Accessories ~ All shackles and wire ropes shall be stainless steelgrade 316.

3. Attenddoce: The following to be provided to you free of charges:-

3.1) All scaffolding to be supplied and erected with proper planks.(Cranage, off-loading and shifting the materials, etc ... shari be yourresponsibility).

3.2) Electricity necessary for works.

3.3} Designated area for storing materials. (Site Offices, Preparation,maintenance of the storage area and seourity shall be yourresponsibility) .

4. All works shall be carried out· strictly in accordanoe with the Engineer'sdrawings and the specifications and to the entire satisfaction of our and theEngineer's representatives at site.

5. $ubmitt31s: All the necessary shop drawings, design calc.ulations, technicaldetails and samples shalt be submitted by yourselves, in accordance with theClient's/Engineer's requirements and also as per the specifications at no extra

. cost to the contract. You are also r(!quired to carryout alt the tests as per thespecifications free of cost.

6. Sample$:The mock-up samples as required by us and as required within thespecifications are to be executed by yourselves free of cost at the agreedtime as per our programme.

7. Guarantee: You are required to provide 10 years guarantee for fabric.

8. Programme: The construction programme of your works shall comply withour main contract programme, which can be discussed and agreed with ourProject Manager.

9. Perfonnance 8Qnd;You are required to submit a 10% (Ten Per cent)Performance Bond for the whole of the contract period upon receipt ofapproval of yourselves by the Engineer.

10. Main Contract: All main contract terms and conditions shall be st~jctly appliedto your sub-contract with us. Accordingly please note that, for any delays onyour part, liquidated damages of Dhs.1,000/- (Dirhams One thousand only)per day per villa sh(JlIbe applied on you.

'1. Bills of Quantity: Any variations in the quantities, sizes etc ... shall bemeasured aher completion of your works and the contract sum shall beadjusted accordingly based on the unit rates as per the revised B.O.O. for thesimilar items and on the agreed unit rates for the items which do not appearon the attached 8.0.Q.

12. Payment: The payment terms and conditions shall be as follows;-

12.1) 5% Advance Payment against bank guarantees for stages 1&2 then5% Advance Payment against bank guarant~e for stages 3&4 whenreleased.

12.2) Balance shaH be monthly with 10% retention on value of worksexecuted and 20% retention on value of materials on site.

12.3) ·50% of the retention money shall be released lIpon practical. completion of each stage of the project, subject to issue of certificate

by the Engineer.

12.4) The remaining 50% of the retention money will be released aftersatisfactory completion of the one year maintenance period of eachstage, subject to certification by the Engineer.

All payments shall be as certified by the Engineer, subsequent to receipt ofpayment from the Client.

13. S3fety:

13.1) You are required to adhere to safety requirements, regardingcompulsory wearing of saf(~ty clothes, shoes and helmets by yourstaff while working on our site, in accordance with Dubai

Municipality regulations.

13.2) You are also required to provide adequat~ safety supervision, toensure that this work is carried out in a safe and competent manner,in accordance with the safety regulations, and to the satisfaction ofthe Main Contractor.

'3.3} You are also required to ensure adequate supervision on site toensure the timely completion of the works to the qU;;Jlity required byboth ourselves, the Engineer and the Client.

13.4) Failure to comply with the above requirements will result in a severewarning from the Main Contraotor, and if no improvement isimmediately forthcoming, stiff penalties will be levied.

14. Quality Control: You will ensure full compliance with our quality control andauditing requirements. You shall provide necessary dedicated staff to oursatisfaction to ensure the above is strictly implemented, including necessaryprotection of your work on site.

15. ISO Requirement: You will provide detailed records to show your compliancewith the Main Contractor ISO 9001 :2000 quality management system.

Please treat this as our Letter of Intent and liaise with our Project Manager,Mr. Rajinder Kumar (Mob: 050-457 1607) regarding the construction program andfor any other site requirements.

The Contractor will pay the Subcontractor the sum of AED 186,300.00 (One Hundred andeighty six thousand Three hundred Dirhams only) as lump sum amount (hereinafter referredto as the "Subcontract Sum"), or such other sum as shall become payable under theSubcontract Agreement.

1. In this Subcontract Agreement words and expressions shall have the same meanings as

are respectively assigned to them in the Emaar Standard Conditions of Subcontract,

which is attached.

1.7 Effective information distribution is central to the success of this project. The Contractore has instituted a pigeonhole system, in the Contractors main site office reception area,

necessitating daily clearance by the Subcontractor. In the interests of effective

management, compliance with this system is obligatory. Any notice, instruction,

drawing, document or correspondence (hereinafter called "Documents") left in the

Subcontractor's pigeonhole will be deemed to have been received by the Subcontractor

the following working day.

The Subcontractor is to note that he will only be issued with a soft copy of the

necessary drawings and specifications on CD. Notification of new drawing and

specification issues will be communicated to the Subcontractor by the Contractors

Document Control Department. The onus will be on the Subcontractor to plot and copy

the necessary "Documents".
