    1. INTRODUCTION

    The purpose of this procedure is to define and identify the Invoicing Procedure for the LumpSum Parts of Contract, Variation Orders and Reimbursable Items in accordance with Sub-Article15.3 Progress Control and Article 32 Financing, Invoicing and Payment of the AGREEMENT,Section 4 Invoicing Schedule of Exhibit B, Section 8 Invoicing and Work Statement of ExhibitG-G1 and Section 6 Assessment of Physical Progress of Exhibit G-G5.

    This procedure neither abrogate nor modifies the CONTRACT DOCUEMNTS between theCOMPANY and CONTRACTOR but supplement the CONTRACT DOCUMENTS by providingthe guidance and instructions needed to implement the various elements/requirements of the

    CONTRACT DOCUMENTS.

    2. DISBURSEMENT OF INITIAL CONTRACT PRICE

    2.1 Advance Payment

    Against provision to COMPANY of unconditional and irrevocable Advance Payment BankGuarantee, CONTRACTOR shall be entitled to submit an Invoice for Advance Payment equal to

    five percent (5 %) of the initial CONTRACT PRICE in the following manner.

    (1) Two point five percent (2.5 %) of the initial CONTRACT PRICE after signing date of theCONTRACT; and

    (2) Two point five percent (2.5 %) of the initial CONTRACT PRICE within six (6) months fromthe EFFECTIVE DATE.

    Each invoice shall be accompanied by an equivalent satisfactory irrevocable Bank Guarantee inthe form set out in Annex 1/B of the AGREEMENT and in accordance with the provisions ofSub-Article 33.2 Advance Payment Bank Guarantee of the AGREEMENT.

    COMPANY shall pay the amount of the Advance Payment by telegraphic transfer to themembers bank account designated by CONTRACTOR.

    The remaining five percent (5 %) of the initial CONTRACT PRICE shall be invoiced at theissuance of the PROVISIONAL ACCEPTANCE CERTIFICATE.

    3. INVOICING and PAYMENT

    3.1 Assessment of Physical Progress

    The assessment of Physical Progress shall be in accordance with the following.

    a) Within seven (7) days from cut-off date, CONTRACTOR shall submit the Physical ProgressReport for COMPANY APPROVAL in three (3) copies to COMPANY REPRESENTATIVE.

    b) Within seven (7) days of receipt of CONTRACTORs Physical Progress Report, COMPANYshall review and approve Physical Progress Report.c) If COMPANY disputes Physical Progress, COMPANY shall return such Physical Progress

    to CONTRACTOR within seven (7) days specifying in writing the items to which COMPANYobjects and the reasons for such objection.

    d) CONTRACTOR shall resubmit to COMPANY the revised Physical Progress Report takinginto account COMPANYs objection or promptly ask COMPANY to have joint assessment onthe disputed Physical Progress.

    e) CONTRACTOR shall then be entitled to submit his Invoice(s) for the WORK performed inaccordance with Physical Progress Report approved by COMPANY.

    Physical Progress Report for Offshore Part (Part - I&II) and Onshore Part (Part - III) will beseparately submitted for COMPANY APPROVAL.

    The detailed computation procedure for WORK progress figures is shown in Procedure forProgress Measurement (PMS).

    3.2 Invoicing

    CONTRACTOR shall, on a monthly basis, submit Invoices, for COMPANY APPROVAL, for theLump sum Part of the initial CONTRACT PRICE for the WORK actually performed during the

    b) clearly indicate the part of the WORK for which payment is requested as per the Schedule ofinvoicing or Monthly Progress Report,

    c) be established without Value Added Tax, which is not applicable to this CONTRACT, as theWORK is performed for the purposes of the construction of the PLANT in the IslamicRepublic of Iran,

    d) be established in accordance with invoicing procedures under the CONTRACT,e) be supported by all necessary documents to enable COMPANYs review,f) clearly indicate all credits for sums due by CONTRACTOR including reimbursement of

    advance payments, if any, with the respective amounts to be paid to the consortiummembers Bank accounts,

    g) be in the name of COMPANY,

    h) be sent in one (1) original (clearly stamped ORIGINAL) and three (3) copies, attachments,toFor the attention of : COMPANY REPRESENTATIVE

    CONTRACTOR shall submit a single Invoice for the both of Offshore Part and Onshore Part toCOMPANY.

    3.3 Disputed Invoice

    COMPANY shall review and approve the Invoice(s) within twenty one (21) days from submissiondate. If COMPANY disputes on any Invoice, COMPANY shall return such Invoice toCONTRACTOR within twenty one (21) days specifying in writing the items to which COMPANYobjects and the reason for such objections.

    CONTRACTOR shall resubmit COMPANY a revised Invoice taking into account COMPANYsobjections, or shall promptly establish and resubmit to COMPANY two (2) separate Invoices,one in respect of the undisputed part of the original Invoice and the other in respect of therevised part of the original Invoice.

    Work statement is a document established by CONTRACTOR on a monthly basis, with thepurpose to assess the quantity of work achieved during the period in order to support Invoicesrelated to this same period.

    4.2 Principle

    A Work Statement is always established on a cumulative basis. The value to be invoiced forthe month (or any other period of time) will be obtained by difference with the value approved forthe previous month.

    4.3 Presentation of Document

    The form of the Work Statement document shall be in conformity with the form in Appendix 3 ofExhibit G.1.

    The breakdown structure of the work shall correspond to the breakdown structure of theCONTRACT PRICE, per sub-work unit, per work unit and work package as shown in the ExhibitB of the CONTRACT, the evaluation of the work starting at the lowest element of price identified,and summarized at work package level.

    4.4 Addi tional w orks (approved VARIATION ORDERS)

    Additional works related to approved VARIATION ORDER shall be reported on a separatedetailed sheet and evaluated on a separate line on the summary document.

    4.5 Identification of Work Statement

    All Work Statement shall be identified by a serial number which shall be reported on eachrelated invoice.

    CONTRACTOR will on the monthly basis submit a separate invoice for such reimbursable itemswith the supporting documentation to verify the incurred expenditure.

    The reimbursement will be made within 30 (thirty) days from the date of the receipt byCOMPANY of the relevant invoice.

    7. FINAL ASSESSMENT AND FINAL INVOICE

    7.1 Final Assessment

    Within sixty (60) days after the date of issue of the last PROVISIONAL ACCEPTANCE

    CERTIFICATE, or, subject to provisions of Article 49 and 51 with respect to termination of theCONTRACT, CONTRACTOR shall submit for APPROVAL a detailed Final Assessment of allsums payable by COMPANY to CONTRACTOR in accordance with CONTRACT.

    7.2 Final Invoice

    In accordance with the APPROVED Final Assessment, CONTRACTOR shall submit his FinalInvoice for the balance due and accompanied by a duly signed Final Account Certificate in the

    form set out in Annex 2 of the AGREEMENT.

    Within forty (40) days from the date of receipt of the Final Invoice and all other documentationrelated thereto, COMPANY shall pay to CONTRACTOR the amount of the Final Invoice,provided that, when payment is made, CONTRACTOR shall have met all foregoingrequirements and that there are no liens registered against COMPANY property in connectionwith the WORK.

    The Final Invoice shall conclude accounts between the Consortium members , and no furtherinvoices submitted for the WORK shall be accepted by COMPANY.
