Due Diligence in Practice

Rachel Soundy, Liz Smith, Reg Jordan

►Session description

This session will explain why it is crucial for a university exploring to establish a presence abroad to carry out legal, financial and academic due diligence on potential partners and on the applicable local framework before formalising any legally binding arrangements.

At the end of this session, participants will appreciate that due diligence is not just a regulatory requirement for UK universities, but that it is an invaluable information gathering exercise and a most effective tool to minimise long term risks for all the parties involved.

This session will also showcase the considerable legal and regulatory challenges that parties may need to tackle at an early stage. The establishment of the first medical campus of a UK university overseas: Newcastle University Medicine Malaysia (NUMed) in Johor, Malaysia will set the framework and illustrate this session. NUMed provides undergraduate degrees in Medicine (MB BS) and Biomedical Sciences (BSc), as well as opportunities for postgraduate study. The programmes of study are identical to Newcastle’s UK-based provision, and lead to the award of the same degrees, conferred by Newcastle University, UK. By choosing to study at NUMed Malaysia, students will obtain a reputable UK qualification, from an internationally recognised university, at a cost significantly less than that of studying for the same degrees in the UK.

►SpeakersRachel Soundy Senior Associate,Eversheds Sutherland, United Kingdom

Rachel is a senior associate at Eversheds Sutherland and specialises in advising education institutions on their commercial arrangements, mergers and acquisitions and joint ventures/partnerships both in the United Kingdom and globally. She is qualified solicitor in England and Wales.

Rachel has advised on a broad range of international collaborations and strategic partnerships, acting for education institutions from both the private and public sector. She has been involved in the establishment of international campuses for UK universities and the establishment of UK campuses for overseas universities, particularly in relation to student pathways.

She spent nine months on secondment as an in-house legal counsel for an international expansion team and was recently on secondment as an in-house legal counsel to an international private higher education provider.
