We CeLeBraTe 100 years OF PassION FOr THe CLUB WITH THe MOsT LOyaL FaNs, BUT aLsO THe sUCCess OF a MaNaGeMeNT MODeL BaseD ON TraNsPareNCy aND PrOFessIONaLIsM

2010 iS a YEar oF JoY for the Corinthians nation. a year to celebrate the centennial of one of the greatest football Clubs in the world, and that with the most loyal fans on the planet. It is also time to celebrate the progress we made inside and outside the football field, not neglecting the future.

On the playing field, Corinthians was brilliant in 2009. We started the year by winning the sP Cup of Juniors for the seventh time in our history – the Club with most honors in the tournament –, which valorizes and demonstrates the work we have been doing with youth football. In addition, we were crowned undefeated state Champions, an achievement not reached in the past 37 years in the championship. Next, we raised the trophy for the Cup of Brazil, fulfilling our target to qualify for Copa Libertadores in our centennial year.

From the standpoint of sporting management, we set a new standard in Brazilian football by signing ronaldo, the Phenomenon, one of the greatest players in history. We repeated the strategy in 2010, with left winger roberto Carlos, World Cup champion and renowned star in the world of football. Therefore, we have shown that with a serious management, focused on the Club’s best interests not personal interests, it is possible to build a great team without compromising the Club finances.

at the end of 2009, the Club’s total income reached r$ 181 million, a 54% growth when compared to 2008, and 293% against 2004. We reduced our dependency on income from the transfer of athletes; we increased the generation of new resources; and launched our revenues with tickets and sponsors. The sponsorship agreement reached with NeoQuímica and Bozzano in 2010 deserves highlighting. It is the largest in Brazilian football and one of the largest in world football. In a nutshell, the Club has grown and is structured.

ever since the current board took over Corinthians management in 2007, we prioritized essential points: absolute respect for our identity; respect for our culture; respect for our differences and traditions; dissemination of the values of our nation to whoever become part of it; and the involvement of the fans with the team and the Club. One day the current Board of Directors will leave, but this work will stay.

We continue to invest in football infrastructure, we set up a powerful squad, and maintained our coaching staff, contrary to the modus operandi of most Brazilian Clubs.

The statute of the Club – that is one of the most modern, efficient and democratic in Brazilian football -, as it establishes direct election for President and Vice-president by Club members with no reelection allowed, will be remodeled in 2010. The goal is to strengthen even further our corporate governance, based on the principles of transparency, equity, accountability and sustainability.

Corinthians progresses with each passing day. and not only in football. We always want the best for the Club. What matters is to continue with the ethical, professional and relentless work of the recent years. We rely on a transparent management to keep Corinthians at the top of Brazilian football, and make it the greatest football Club in the world. This way, we will give even more joy to our fans, a greater sense of existence for Corinthians.

in 2010, WE CElEbratE 100 YEarS since that evening when five workers from the sao Paulo district of Bom retiro, under the light of a street lantern, decided to found sport Club Corinthians Paulista. The main target of that enterprise has been unchanged over this first century of existence: the practice of football. However, almost every other thing has been transformed since that historic event on september 1, 1910.

Corinthians has transcended its primary condition of a social Club to turn into a true phenomenon, capable to catalyze the attention of over 30 million fans, spread all over Brazil and the world. It is the second largest fan base in the country, the largest in sao Paulo, Latin america’s largest economic and financial center.

From a small Club on the outskirts, like many others founded in the first decade of the 20th century, Corinthians became part of the official football. Next, it became a professional Club. First, on the field, as occurred in 1933, with the sport itself that is its main raison d’être. and now also in its management aspects.

Today, as has been happening since 1910, Corinthians continues to be a synonym for football, the main attraction it has to offer to its fans and other audiences. It was the first FIFa Club World Champion, under the model as defined from 2000. It has won four Brazilian Championships, in 1990, 1998, 1999 and 2005, and three Cups of Brazil, in 1995, 2002 and 2009. The Club closed the 20th century as the greatest sao Paulo state champion, and still is the Club with most honors - 26 championships -, the last of them undefeated in 2009.

thE YEar 2009 WaS SpECial for Corinthians professional team. The team won two out of three tournaments played, and achieved its major objective in the period, to qualify for Copa Libertadores de america 2010. The team was undefeated in the state Championship, something that had not happened for 37 years. Next, there came Cup of Brazil, which stamped the team’s passport for the major south-american Club tournament.

Libertadores is a major challenge for Corinthians in 2010. Diversified investments were made in the Football Department to set up a powerful and competitive squad, by blending young and experienced players, talents from youth football and world famous stars. Names such as Danilo, Iarley and Tcheco – all experienced in the continental tournament – joined players who arrived during 2009, such as Matías Defederico and Jucilei. New faces include also ralf, Leandro Castán and Moacir.

The year at Parque são Jorge was closed with the arrival of left winger roberto Carlos, coming from the Turkish Club Fenerbahçe. World Cup champion in 2002 with Brazil, he was the major signing by a Brazilian team in 2009. Together with such stars as ronaldo, the newcomers are part of a powerful, competitive team.

The investments are justified. They follow a business model adopted at the end of 2008, when Corinthians announced the signing of The Phenomenon and had excellent results, both on and off the field. ronaldo finished last year as the team’s top scorer for the season, and played an important role in winning the state Championship and Cup of Brazil.

another strategy that is producing very positive results is the maintenance of the coaching staff for the third year running, quite a contrast to what is observed in most Brazilian teams. In charge of the team since 2008, Mano Menezes has had peace of mind, independence and stability ever since he took over the position.

With the group complete for 2010, management is sure that all efforts were taken to achieve the main targets set for the centennial year. and we hope to take another major step in our ambitious plan for internationalization, thus justifying, on the field, that it is indeed “the champion of champions”.

Corinthians professional team, together with famous starts that reinforce the team of the centennial year.

Our great capacity to educate players is shown also on the playing field. In 2009, Corinthians was once again champion of the sao Paulo Cup for Juniors, playing in front of a crowd of 30,000 at the Pacaembu stadium. We won the tournament for the seventh time and, therefore, we are the Brazilian team with most honors in the competition.

These results became possible only due to investments of r$ 7.6 million made in youth football and to a wide, modern framework. Most activities take place at the Itaquera Training Center, in the east zone of the city, in an area with 197 thousand square meters. The venue is home to the main youth football categories, from under-15 to under-20 – the younger ones remain at Parque são Jorge –, and has lodging facilities to accommodate 60 players. In this area, they receive all the necessary guidance for personal and athletic development, by means of lectures and periodical assessments by the coaching staff that works with them every day.

The professional work developed in the selection of young players includes talent scouts spread all over Brazil. Try-out sessions take place in sao Paulo and other large cities in the country and, more recently, they involve students with the chain of “Chute Inicial” football schools, which was further expanded in 2009. In the case of young players requiring longer time at the Training Center for assessment, the situation is always discussed that with their parents.

The Club is aware of the risks involving child labor in its activities, and all contracts follow the rules as set forth in Brazilian and International laws. In line with this, the relationship of Corinthians with youth

players follows the guidelines of the Child and adolescent statute, as well as the so-called Pelé

Law. FIFa and the Brazilian law have a number of dispositions to protect youth players, and no employment contract can be signed by under-16 year-old players. It is possible to sign an apprenticeship Contract with those over-14, with no employment ties, but it serves as evidence that the young player was educated at the Club’s youth football categories.

thE traDition that CorinthianS aChiEvED in the professional football along its one-hundred-year-long history is extended also to other games played at Parque são Jorge. In recent years, the management has been investing heavily in other activities, elevating the Club to a distinguished position in collective and individual games, both Olympic and non-Olympic.

In the centennial, prospects are that such a success will be multiplied. Great world champions have just signed contracts with Corinthians, and they will enjoy the required infrastructure to take the black-and-white to the highest places on the podium. The swimming and futsal teams are good examples. They had excellent performances in 2009 and will be even stronger in 2010, by signing swimmer Poliana Okimoto and coach Paulo César de Oliveira, who arrived last year from the Brazilian National futsal team.

Other sports have also enjoyed significant support in 2009, emphasizing the formation of strong, competitive teams. In basketball, we expanded the number of categories, the volleyball girls achieved excellent results, and even games not well known in Brazil received investments.

a major highlight was the creation of a team of Flag, an adaptation of american football that does not require protective equipment. Corinthians steamrollers won the state Conference after eight undefeated matches, and finished overall fifth among 18 teams. In December, the Club’s player selection attracted 422 athletes, and, in 2010, we intend to promote the 1st american Football Clinic in Brazil, and a school for the game. at the end of the year, the team acquired professional equipment to start playing the game in the same way it is played in the Usa.

The return on investments in land and water sports is not only in the results achieved in the period. The schools for basketball, volleyball, futsal, handball, tennis and judo, among others, generated an income of over r$ 28 thousand per month. at the end of 2009, 392 students attended the courses.

“a FiEl” (loYal FanS) arE ContinuouSlY inCrEaSing. every year, more and more people join this large gang of crazy fans, estimated today at more than 30 million passionate fans. It is a considerable contingent. a mass of people spread all over Brazil, and in several places in the world. It is comparable to the population of an entire country, such as Peru. This is twice as many as the population of the state of Bahia. This mass of people is, in fact, our greatest asset.

The Corinthians crowd is the largest in the state of sao Paulo and the second largest in the country. a poll by the Datafolha Institute, published in april 2010, and conducted in all regions of Brazil, found that Corinthians holds a 14% preference by fans, second only to Flamengo, with 17%. Considering the margin of error is plus/minus two percentage points, the two crowds are technically in a tie. Considering the southeast only, Corinthians comes alone in first with 19%, against 13% for the team from rio. another Datafolha poll, conducted in 2009, found that the number of Corinthians fans got larger in the last two years. In the city of sao Paulo alone, 34% of the interviewees said they preferred Corinthians – in the previous poll, in 2007, the rate was 30%. expanding the scope to the state, the percentage rose from 29%, in 2007, to 33%, in 2009.

Corinthians fans are found in all social classes and age groups, although it is said to be a popular team. In the state of sao Paulo, we come first in all classes. Corinthians is preferred by 29% of the interviewees in classes a/B, 15% in class C, and 13% in classes D/e.

yes, a lot of people. We are so many that we traditionally ensure the best audiences for the TV stations broadcasting live matches. at the stadiums, we provide the same condition. We are always at the top in attendance. In 2009, over 780 thousand black-and-white fans attended matches in Pacaembu, considering the state Championship, Brazilian, and Cup of Brazil. Not to mention those who follow the Club when playing in other stadiums, next to or far away from sao Paulo.

These facts justify the nickname ‘loyal crowd’, and produce phenomena that astonish those involved with football. Last year, through the program Loyal Fan (which offers tickets in advance and at lower prices to those enrolled), most of the tickets for the first matches of Corinthians in Copa Libertadores were sold out in a few hours. The promoters of the cup were surprised. They did not expect it to happen so much, so fast and so soon. It was an unprecedented fact in the competition. This is just one of many, which became remarkable in the history of the Club, and of Brazilian football itself.

The Loyal Fan program was launched at the end of 2008, to offer a series of conveniences for those enrolled. They can buy tickets in advance, at special rates, for the matches played by Corinthians at home, in addition to benefits in official stores. They also receive kits with exclusive items, in addition to a special card that identifies them as members – and through which they can make the transactions. The enrollment in the program is made through Corinthians website and tickets can be bought online as well.

thE YEar 2009 MarkED the consolidation of a new governance and management model at Corinthians, implemented in september 2008, by remodeling the Club’s statute. The approval of the document has created the legal bases to strengthen the process for professional management, making it more transparent and efficient. In this period, important results were achieved, and historic errors were corrected.

Today, the statute of Corinthians is one of the most modern and democratic in the world. a benchmark for other Brazilian Clubs, it establishes direct elections for President and Vice-presidents, for mandates of three years, with voting open to all Club members. The consecutive reelection of participants for the ruling Committee of the Deliberative Council (CD) and the Council of Orientation (Cori) for the same positions is also forbidden. This way, it ensures power alternation and prevents Directors from staying perpetually in the position, as it used to happen in the past.

another important aspect of the current governance model at Corinthians is the fact that the Board and executive Committees are made of voluntary, non-paid members. Management is split in five levels, structured according to the parameters set forth in the social Powers (see box on next page].

gEnEral aSSEMblY (ag)Consisting of all Club members over-18, admitted for more than five years and in good standing with statutory obligations. The aG elects the President, Vice-presidents and two-thirds of the Deliberative Council.

DElibErativE CounCil (CD)Consisting of 300 councilors – 200 elected by the aG for triennial terms, and 100 with lifelong tenure –, the CD supervises the accounts and actions of the Board. The CD is in charge of electing the members of the Council of Orientation (Cori), Fiscal Council, ethics and Discipline Committee, and lifelong councilors. It must watch over the ethics in the Club, vote the budget, supervise the annual accounts of the Board of Directors and the opinions of the Fiscal Council and Cori, and assess the President’s general report.

CounCil oF oriEntation (Cori)It consists of 10 members elected by the CD – from their own councilors –, the last two Presidents, and of those who are in the condition of “native members”. Councilors have a three-year term, without consecutive reelection, and shall not have a simultaneous position as Director. The councilors supervise the Club’s management and

accounts, preparing opinions to the CD on the Board of Directors’ budgetary report, in addition to following up the budget execution.

FiSCal CounCilParticipants are three effective members and three stand-ins, elected by the CD for three-year terms. Its members can not be part of the CD, Cori, Board of Directors, and can not be relatives of Directors. In addition to assessing and preparing an opinion on the budgetary project for the year, it supervises its execution and examines monthly interim balance sheets to advise the President on possible irregularities.

DirECtorSan administrative body consisting of the President, andrés Navarro sanchez, 1st Vice-president, roberto de andrade souza, and 2nd Vice-president, Manoel Felix Cintra Neto, all elected by direct secret vote, for the first time in the Club’s history, using voting machines, in the aG held in February 2009, for a three-year term with no reelection. President, Vice-presidents and Directors are not remunerated. The President is entitled to nominate and dismiss, at his/her own discretion, the General secretary and the 12 Directors.

The statute is the legal basis for the establishment of governance parameters within Corinthians. The social Powers, as determined by the document, structure the Club’s management in five levels.

In addition, the statute sets forth the basis for permanent accountability and appreciates the involvement of fans with the team and the Club, an item that is part of the seven pillars established by the current management body when they took over in 2007 (see box). In line with this, in 2009 the new Cultural Director’s area was created with the aim of researching remarkable facts of the Club’s 100-year history, and to promote significant events for Club members and fans at large.

and, in order to reinforce even further our corporate governance, a new remodeling of the statute will be carried out in 2010, less comprehensive this time. The goal is to strengthen the principles of transparency, equity, accountability, and sustainability, thus ensuring the necessary conditions for Corinthians to remain always strong and competitive.

thE aDMiniStrativE rEorganization started at the end of 2007 and intensified in 2008 was a deciding factor to keep Corinthians profitable. after years of negative results, the Club’s expenses were lower than its income in 2009, and it closed the year with a surplus, for the second year running.

The total income of Corinthians in the year reached r$ 181.04 million, a 54% increase over 2008, and 293% when compared to 2004. Player transfers not included, revenues totaled r$ 151.13 million, an amount 67% higher than that of 2008 and 44% higher than 2007. In 2008/2009, Corinthians had a r$ 16.7 million surplus. The result is a clear contrast to accumulated deficits in 2004-2007, which totaled r$ 140 million. Last year, the Club’s total assets grew by 16.74%, to r$ 359.18 million, against r$ 307.66 million in 2008.

The new management model has also allowed the Club to regain the confidence of partners, investors and others interested in associating their brand to Corinthians. according to a study conducted by the auditing and consulting firm of Crowe Horwath

rCs in 2009, our brand name was valued at r$ 563 million, almost twice as much as the r$ 286 million estimated in 2004, representing the highest growth in market value among all Brazilian clubs. Corinthians is second ranked in the survey, which considered the performance of the 12 greatest clubs in Brazilian football, fighting against Flamengo for the leadership.

Football, a passion for millions of Brazilians, is the major fact behind the brand name appreciation. In 2009, Corinthians became undefeated state Champions, and won the Cup of Brazil, an honor that secured a spot in Copa Libertadores de america in 2010, the Club’s centennial. a significant part of the success followed by fans in the stadiums can be credited to the belief in the extraordinary recovery capacity of an athlete who, for his own track record, makes the whole country proud of him, and, therefore, is a valuable brand himself: ronaldo.

Due to the importance and significant appreciation of the brand name, in 2009 Corinthians decided to hire auditors and attorneys that specialize in the preservation of the rights of official partners in the fight against piracy.

FOOTBALL COMES FIRSTanother aspect that contributes for the Club’s financial reestablishment is the growth of every other source of income. In 2009, when compared to 2007, highlights are social Club and amateur sports (evolution of 174% in resources), program Loyal Fans and lotteries (115%), prizes for championships (100%), revenues with tickets (269%), sponsorship and advertising contracts (184%) and TV broadcasting rights (24%).

Football represented 83% of the total income – in 2008, this percentage was 82% and, in 2007, 91%.

Income of the social club and amateur sports also increased significantly in the period, closing 2009 at r$ 31.65 million – a 50% increase when compared to 2008, and 224% when compared to 2004.

revenues including prizes – r$ 6.8 million – were the highest amount received by the Club in the last six years. Other actions and initiatives developed in the marketing area also produced positive results, such as “Chute Inicial”, a network of football schools for children, with revenues of r$ 1 million, jumping 321% over 2008 and 905% over 2004 – in addition to income with the Loyal Fan card, totaling r$ 5 million.

In the last two years (2008 and 2009), Corinthians accumulated r$ 88.2 million in revenues, not considering resources from player transfers. revenues with sponsorship and advertising also enjoyed a significant increase: r$ 49 million, or 99% increase over 2008 and 350% when compared to 2004.

The official sponsorship quota for Corinthians came from r$ 6.5 million in 2004 to r$ 18 million in 2009. The income received from the official sponsor represents 37% of the marketing income, a percentage comparable to those of european clubs, thanks to the commercial development of the Club’s brand name.

Ticket sales in Corinthians matches represent another

deciding factor for the financial success in the last year. resources generated by ticket sales totaled r$ 27.6 million in 2009, a result 67% higher than that of 2008.

During 2009, Corinthians attracted over 780 thousand fans to its matches in the Pacaembu stadium, for the state Championship, Cup of Brazil, and Brazilian Championship. as a result, the stadium occupation rate reached over 68%, a result comparable to those of many european clubs.

DEBT UNDER CONTROLWith the investments made by the current management, Corinthians total debt saw a small increase in 2009, going from r$ 97.23 million, in 2008, to r$ 99.82 million, as of December 31, 2009.

Tax debt continues to be settled in installments, through allocation of resources from the “Timemania” lottery. These debts refer to tax obligations with the Federal revenue service, social security, and severance Indemnity Fund for employees.

In 2009, Corinthians tax incentives stemming from the so-called Pelé Law totaled r$ 35,458,161.13. Cofins (Contribution for Financing social security) contributed most for the total saved tax in the period, with r$ 14,027,605.16, followed by social security, with r$ 13,381,838.77.

CorinthianS WorkED aCtivElYto strengthen its brand name in 2009, reaching results that are unprecedented in the history of a Brazilian Club. With a comprehensive, bold action plan, a number of initiatives have been created, developed and reinforced in the period. sponsorship agreements in football enjoyed record-breaking revenues and set a new standard in businesses and relationship with sponsors, serving as a model for other Clubs in the country.

several fronts have been opened. We are now sponsors of stock Car and Formula Truck racing teams, expanded significantly our “Poderoso Timão” chain of franchised stores, increased the network of “Chute Inicial” football schools, and launched a number of licensed items by the Corinthians brand name – they are over 700 now. Many of them bet on the charisma of ronaldo to foster a new generation of Corinthians fans, with a line of items related to the image and name of the Phenomenon. In 2009, sales of licensed items surpassed 800 thousand units, a 60% growth over the previous year.

actions entered other fields. In the movie, the documentary Fiel promoted a real invasion of Corinthians fans in theaters of sao Paulo. In some of them, tickets were sold out some days before the film premiere. another successful film was ‘23 years in 7 seconds’, telling the story of the state Championship of 1977.

The program Loyal Fan, which offers discounted ticket prices and distributes exclusive kits to members, also experienced a significant growth

in 2009, thus reinforcing the strategy to work toward the fan. Launched in December 2008, the program evolved progressively and has now over 69 thousand fans enrolled, 48 thousand of them in good standing.

The ‘Poderoso Timão’ chain of stores followed the same growth pace. They were 12 units in 2008, and then 57 in the next year, with revenues of r$ 2.3 million in royalties. The expansion continues in 2010, with new stores opened, reaching the mark of 64 units by March, and arriving in the state of Paraná, and other cities in sao Paulo. The forecast is 100 stores by september. since its inception, in October 2008, the ‘Poderoso Timão’ chain of stores recorded total revenues in excess of r$ 42 million.

CorinthianS haS ovEr 30 Million fans spread all over the country. Thousands watch the matches in the stadium, others are constantly at Parque são Jorge, but most do not follow so closely what happens with the Club.

To keep this huge nation up to date with proper and relevant information, Corinthians offers a series of official communication vehicles. In 2009, TV Corinthians was launched to provide members with information on all departments and happenings at the Club. a total of 24 channels cover from the history of the team to improvements at the Club, in addition to social and cultural programming.

also in 2009, the Club invested heavily in the diversification of printed products, with the announcement of three new publications. Chute Inicial magazine, with a circulation of 10 thousand copies, approaches the network of football schools – with over 7 thousand students. Corinthians Mag, with a circulation of 20 thousand copies, is focused on the Club, but brings reports on other subjects, such as gastronomy, travel and lifestyle. still in the editorial area, in 2010, readers in sao Paulo started receiving O Fiel, a weekly newsletter, with the latest news on Timão.

another important source of information for the Corinthians fans is the internet portal. The website gathers institutional information, latest news on sports, promotions and online shopping through the virtual store. Complete and rather diversified, the website is one of the better structured and most accessed portals amongst all Brazilian Clubs. It offers interactivity and is totally inserted in the internet 2.0 concept. The portal is also available in spanish and english, with static versions – another way to promote the internationalization of the Corinthians brand name.

The commission aims at harnessing the power, strength and passion generated by the country’s most popular sport to create a joint channel of initiatives, for the benefit of the entire society. Through it, Clube dos 13 blends together individual actions carried out by its member clubs.

a project supported by Clube dos 13 is the social organization all For education, which advocates an effective improvement in the country’s basic education levels, and seeks partners for engagement in the promotion of the cause.

a great collection of black-and-white memorabilia. One of the spaces created last year is the Walk of Fame, which features the idols of the past. The Memorial was inaugurated on January 27, 2006, in a ceremony attended by President Luís Inácio Lula da silva and other important national politicians.

The Corinthians Memorial is located at the Parque são Jorge entrance, in an over 1,500 sqm space. There, visitors are assisted by high technology for a journey through time, by means of widescreens, panels and special resources that show and tell the greatest black-and-white achievements.

Corinthians is also the first and only football Club in sao Paulo to offer the public an amphitheater. It is an adaptable auditorium, with a modern and bold design, which acquired a multifunctional profile to be used for movie, theater, as well as other functions. It has rooms for video, meetings, lectures and training, with capacity for 400 people.

For 2010, the Club is maintaining the focus on relevant actions from social and environmental standpoints. In an unprecedented initiative, Corinthians signed a technical cooperation agreement with the National Council of Justice (CNJ), with the sao Paulo Court of Justice (TJ -sP) and Fundação Casa. The agreement is part of the program starting again, of the Judicial Branch, aimed at training and facilitating the reintegration of inmates and egresses from the penitentiary system into the job market.

Twice a week, Corinthians will make its facilities available for 100 adolescents in conflict with the law to practice sports activities. The initiative also calls for hiring two inmates in semi-open regime to be trained in sports practices or physical education.

A GOAL WORTH ONE HUNDREDanother important action carried out by Corinthians in 2010 is the project Playing for the environment, a partnership with Banco Cruzeiro do sul to promote socio-environmental responsibility in both institutions. The program includes several activities aimed at tackling global warming and will mobilize Corinthians fans, Club members, as well as employees and customers with the bank.

The project establishes that for every goal scored by Corinthians in any tournament, one hundred trees will be planted in an area determined in an agreement with the sao Paulo state Government – another one hundred will be planted per match, regardless of the result. In total, 21 thousand seedlings will be donated. The goals started to be calculated on March 28, 2010, in the classical match against são Paulo, for the state Championship, won by the black-and-white 4-3.

The program also calls for neutralization of CO2 emissions in all Corinthians matches in 2010, through an inventory to be made by Instituto ecoar. The project involves also promotional and environmental education actions in Corinthians matches, as well as wide dissemination through the internet and social networks. This is the first time that a football Club is mobilized for an environmental initiative of this size. reports on the program progress are to be published regularly.

We conducted our audits in accordance with generally accepted auditing standards in Brazil which comprised: (a) the planning of our work, taking into consideration the materiality of balances, the volume of transactions and the accounting and internal control systems of the Club; (b) the examination, on a test basis, of documentary evidence and accounting records supporting the amounts and disclosures; and (c) an assessment of the most significant accounting principles and estimates adopted by the Club’s administration, as well as an evaluation of the overall financial statement presentation.

3. In our opinion, the financial statements referred to in paragraph 1 present fairly, in all material respects, the financial position of sport Club Corinthians Paulista – sCCP on December 31, 2009 and 2008, the result of its operations, changes in net equity, and cash position for the years then ended, in accordance with accounting practices adopted in Brazil.

4. as described in accompanying note no. 10, on December 26, 2007, the Club filed its request for adherence to “Timemania” lottery rules, under the

terms of Laws no. 11345/2006 and no. 11505/2007 and Decree no. 6187/2007, which provide that the remuneration paid to participating Clubs must be necessarily used to pay tax obligations with the social security and the Federal revenue service. as referred to in the mentioned accompanying note, the Club adhered to the lottery contest in 2007, and in July 2009 applied for the payment of debts in installments, and the formal and definitive certification of debts (tax obligations) is under final consolidation process by the relevant bodies.

5. Our audit was conducted having as major goal to issue an opinion on the financial statements referred to in paragraph 1. The statement of value added referring to the years ended on December 31, 2009 and 2008 is submitted to provide supplementary information on the Club, but it is not required as part of the financial statements, according to the accounting practices adopted in Brazil. The statements were submitted to the auditing procedures described in paragraph 2 and, in our opinion, these statements are adequately presented, in all material respects, in relation to the financial statements.

to the Managers, Councilors and Members of Sport Club Corinthians paulista – SCCp

We have been engaged to perform a limited assurance engagement on the annual sustainability report for 2009 of Sport Club Corinthians Paulista – SCCP (“Club”), prepared under the responsibility of the Club’s management. This responsibility includes designing, implementing and maintaining internal control relevant to the proper preparation and presentation of the sustainability report for 2009. Our responsibility is to issue a report of limited assurance report for the information disclosed in the annual sustainability report of Sport Club Corinthians Paulista – SCCP for 2009.

CritEria For prEparation oF thE SuStainabilitY rEportThe sustainability report for 2009 was prepared in accordance with the guidelines for sustainability reports of the Global reporting Initiative (GrI-G3) for C+ application Level. Following such guidelines, Sport Club Corinthians Paulista – SCCP reported 11 performance indicators.

proCEDurES appliEDOur limited assurance work was performed in accordance with the Brazilian standard for assurance work different from audit and a NBC TO 3000 review, issued by the Federal accounting Council. That standard requires compliance with ethical standards and planning and performance of the service to obtain limited assurance that no matter has come to our knowledge which could make us believe that the sustainability report of Sport Club Corinthians Paulista – SCCP is not adequate, in accordance with the criteria described below (scope and Limitations), in all material respects.

In a limited assurance engagement, the evidence-gathering procedures are more limited than for a reasonable assurance engagement, and, therefore, less assurance is obtained than in a reasonable assurance engagement. The procedures selected depend on the judgment of the independent auditor, including the evaluation of the risks of the sustainability report not complying significantly with the criteria described below (scope and Limitations). Within the scope of our work, we carried out the following procedures, among others: (i) planning the work, taking into consideration the relevance and the volume of information presented in the sustainability report of Sport Club Corinthians Paulista – SCCP; (ii) obtaining an understanding of the internal controls; (iii) verifying, on a test basis, evidence that supports the quantitative and qualitative data in the sustainability report; and (iv) interviews with the managers responsible for preparing the information. These procedures were deemed sufficient

to allow a limited level of assurance and, consequently, do not include all those required for issuing a broader assurance report, as set forth in that audit standard.

SCopE anD liMitationSThe objective of our work was to verify whether the data included in the sustainability report for 2009 with respect to the obtaining of qualitative information and measurement and calculation of quantitative information complies with the following criteria: (i) Brazilian accounting standards NBC T 15 - social and environmental Information; and (ii) guidelines for sustainability reports from the Global reporting Initiative (GrI G3). Opinions, historical information, descriptive information and information resulting from subjective evaluations are not included in the scope of the work performed.

Our limited assurance evaluation also covered the verification of the requirements for GrI-G3 for reports with a C+ application Level.

The financial statements of Sport Club Corinthians Paulista – SCCP for the year ended December 31, 2009 were audited by other independent auditors, who issued an unqualified opinion thereon dated January 29, 2010. The social and environmental performance indicators based on accounting information, and presented in the sustainability report for 2009 of Sport Club Corinthians Paulista – SCCP, were extracted from these financial statements, which were not subject to assurance for the purposes of this work.

ConCluSionBased on our limited assurance engagement, we are not aware of any significant change that should be made to the information included in the sustainability report of Sport Club Corinthians Paulista – SCCP for the year ended December 31, 2009, for this information to be properly presented, in all material respects, in accordance with the criteria described above (scope and Limitations), utilized for a C+ application Level.
