    DISBURSEMENT AGREEMENTBETWEEN THE CITY OF OAI(LAND,a California Municipal Corporation

    ANDThe Lake Merritt/Uptown District Association of Oakland

    a California Non-Profit CorporationWhereas, the City Council, by Resolution No.81478 C.M.S. (July 15, 2008), approved the

    creation of the Lake MerrittiUptown Community Benefit District of2008 ("District") pursuant to theCity of Oakland Business Improvement Management District (BIMD) Ordinance (Chapter 4.48,Ordinance 12190, 1999), and has incorporated the Management District Plan for the LakeMerritt/Uptown Community Benefit District ("District Plan") by reference; and

    Whereas, the District is intended to benefit the businesses in the District by providing newsecurity, crime prevention, sidewalk maintenance, promotional, and marketing activities andimprovements of particular benefit to the properties located within the District as more specificallyidentified in the Plan; and

    Whereas, the City Administrator fmds that this contract shall not result in the loss ofemployment or salary by any person having permanent status in the competitive service of the City;and

    Whereas, Recipient agrees to voluntarily use good faith efforts to comply with City'sprograms and policies as specified in this Agreement,Now Therefore, the parties to this agreement covenant as follows:1. Parties and Effective Date. TIns Agreement is made and entered into as of December 31, 2008between the City of Oakland, a municipal corporation ("City"), One City Hall Plaza, 3rd Floor,Oakland, California 94612 and the Lake Merritt/Uptown District Association a California non-

    profit corporation (or "Recipient").2. Scope of Disbursement Duties. Recipient agrees to perform as specified in the District

    Management Plan, attached hereto as Exhibit A and on file with the City Clerk, attached to thisAgreement and incorporated by tins reference ("District Plan"). Recipient shall designate anindividual who shall be responsible for communications with City for the duration of thisAgreement. Nothing in this Agreement shall be construed to require Recipient to perform asspecified in tile District Plan if funds are not available to perform those duties from the Districtrevenues.

    3. Method of Performing Disbursement Duties. Recipient will determine the method, details andmeans of performing the disbursement duties described in Exhibit A.4. Time of Performance. Recipient's disbursement duties shall begin on December 31,2008, and shallbe completed by December 30, 2018, subject to the annual review and termination provisions in

    section 13 of this Agreement.268341

    5. Recipient Responsibilities.5.1. Program Implementation and Operation. Recipient shall be fully responsible for developing,

    implementing, directing and operating the District Plan. Recipient assumes all responsibilityfor completing activities as required to implement the District Plan and its programs.

    5.2. Competitive Bidding. Recipient shall competitively bid all contracts over $5,000 and shallkeep and provide copies of all bids submitted for review to any affected property owners or tothe City upon request. The lowest qualified bidder shall receive any service contract that is bid.Recipient shall present its written bidding policy and procedures to the City for review andapproval. Once the contract has been publicly bid and the lowest qualified applicant has beenselected, that selected contract may remain for up to three years from the commencement ofthe contract, but may not extend beyond the term of this agreement without the express writtenconsent of the City and is subject to provisions outlined in Section 5.8.3 below.

    5.3. Separate bank account for Community Benefit District (CBD) funds, All CBD funds receivedby Recipient pursuant to this Agreement shall be held in a bank account separate and apartfrom any other funds managed or administered by Recipient. CBD funds are not to be co-mingled with any other funds, Tracking of CBD funds is to occur separately and copies of allCBD bank account statements shall be made available to the City upon request. Prior todisbursement of any funds from the City under this Agreement Recipient shall provide theCity with evidence of the establishment of the required CBD bank account.

    5.4. CBD name on all activities funded by the CBD. The name "Lake MerrittlUptown CommunityBenefit District" or an appropriate abbreviation shall appear on all marketing and promotionalmaterials funded in part or in whole by CBD moneys. Prior to holding a special eventRecipient shall consult with City for use of City of Oakland name.

    5.5. Reporting to affected property owners. A statement of activities funded by CBD moneys andthe cost of each shall be mailed to every affected property owner once a year by December 31of each year. A copy of this statement and a list of property owner names and addresses towhich the notice was sent shall be provided to the City by December 31 of each year.

    5.6. Rate payer survey. Recipient shall administer a rate payer survey in substantially the sameform as attached Exhibit B to all affected property owners. Results of the survey shall becompiled by Recipient and a summary submitted to the City. Such survey shall be performedat a time specified by the City at its sale discretion but in no event shall such survey berequired more than once every twelve (12) calendar months. The City may request that copiesof each separate property owner response also be submitted to the City by Recipient as anattachment to the summary report.

    5.7. Open Meetings. Recipient shall comply with the open meeting requirements of the Ralph M.Brown Act with regard to its performance of this Agreement.

    5.8. Program and Budget Reports.5.8.1. Annual Report and Budget. Recipient shall submit to the City an annual report and

    budget for each fiscal year for which assessments are to be levied and collected. TIlereport shall be prepared in accordance with Section 36622 of the Streets and HighwaysCode, Article XIII.D of the California Constitution and the City of Oakland BIMDOrdinance as amended. Annual reports shall be submitted on or before September 1 ofeach year and shall describe improvement and activities provided in the prior fiscal yearin addition to other information required by the above-referenced legislation. TheDistrict's first annual report and budget shall be submitted on or before September 1,2009. Any proposed changes to the assessments, including allowable percentageincreases, shall not be implemented until the following fiscal year. If there are changesrequested that would require a public hearing and/or a public meeting pursuant to statelaw or the Oakland BIMD Ordinance as amended, then the report shall be submitted at atime to be determined by the City and in sufficient time prior to September 1 of each yearto comply with public notice requirements and the City agenda processing timelines thenin effect. The budget for any year shall not be effective until approved by the City asbeing in compliance with the District Plan as incorporated in Resolution No.81478CM.S.

    5.8.2. Budget. Each program specified in the Plan and succeeding budgets shall beimplemented within the budget amount specified and in accordance with the District Planin Exhibit A attached hereto and on file with the Office of the City Clerk. Anyobligations or expenditures for items not budgeted shall not be paid from the assessmentscollected for the District.5.8.3. General Fund Not Liable. Neither the General Fund of the City, nor any other fund,

    revenue source or monies whatsoever ofthe City, except the actual collected Districtassessment net revenue shall be liable for payment of any obligations arising from thisAgreement. Any obligations incurred by Recipient are not a debt ofthe City, nor a legalor equitable pledge, charge, lien or encumbrance upon any of its property or upon itsincome, receipts or revenues.

    5.9. Financial Statements.5.9.1. At a time to be designated by the City, Recipient shall submit to the City an Annual

    "Review Statement" that will be prepared by a qualified Certified Public Accounting(CPA) acceptable to the City. Upon the City's review, the City has the right to requestthat the Recipient provide either an Expanded Review of the District or require that theRecipient prepare full audited financial statements. In each case, the Recipient will clearlyand separately document the disposition, commitment and line item expenditures of allCBD funds received during the previous calendar year pursuant to this Agreement.

    5.9.2. Where applicable, the Statement or audits must be conducted in accordance withGovemment Auditing Standards (2003 and subsequent revisions) prescribed by the

    Comptroller General ofthe United States. All other audits shall be prepared in accordancewith Generally Accepted Accounting Principles inthe United States of America.5.9.3. The audit must be conducted by a Certified Public Accounting (CPA) finn acceptable

    to the City. Recipient is encouraged, to the extent feasible to procure its audits fromsmall, local and minority and women-owned Oakland audit firms.5.9.4. Funds to cover only the CBD portion of the Financial Statement or audit can be set

    aside in the CBD budget.5.9.5. If a full audited financial statement is required, a Management Letter shall be requested

    From the Certified Public Accounting firm and be presented to the City.5.9.6. The Statement or audited financial statement and the Management Letter shall be

    delivered to the City at the address provided in Section 30 of this Agreement.5.9.7. Program Coordination. Recipient shall complete disbursement duties and shall

    cooperate with the City Administrator or hislher designee and shall utilize and cooperatewith such personnel as the City Administrator or his/her designee shall designate in theimplementation of the Plan, including program development and coordination of Districtactivities with City functions.

    5.9.8. Assessment Records. Recipient shall maintain a complete database for each parcelassessed within the District, containing the following information:

    5.9.9. Assessor's Parcel Number5.9.10. Street Address5.9.1l. Name and Address of Owner of Record5.9.12. Amount of the Assessment Levied5.9.13. Proportionate Financial Obligation Imposed, compared to District5.9.14. Assessment Calculations, including all variables used.5.9.15. Recipient agrees to maintain such information and make it available to property

    owners within the District during regular business hours.5.10. Annual Assessment Preparation. By June 1 of each operating year, Recipient shallsupply the City with assessment data for the subsequent tax year (July 1- June 30), in aformat to be prescribed by the Treasury Division of the City's Financial Management

    Agency. The assessment data shall include all of the information required in "AssessmentRecords," paragraph 5.9.8, above.

    5.11. Liaison with Community. Recipient shall maintain an on-going relationship with theaffected and assessed District property owners, residents and businesses, which shall include:5.11.1. Annual Public Meeting. Recipient shall organize and conduct, at a minimum, one

    annual public meeting to be noticed in writing mailed to all record owners of property inthe District. This meeting will be conducted at a location convenient to the District. Arepresentative ofthe City Administrator or hislher designee may attend as a member ofthe panel to provide information and assistance.

    5.11.2. Meetings with the Lake Merritt/Uptown District CBD Advisory Board as required andoutlined in the District Plan and the City of Oakland Business Improvement ManagementDistrict Ordinance as amended.

    5.11.3. Other Events and activities which involve the members of the District and whichencourage attairunent ofthe goals and objectives of the District Plan.

    5.11.4. Recipient shall notify all property owners in writing when an increase in assessmentsis proposed.

    5.11.5. Cost and Expense Records. Inaccordance with generally accepted accountingprinciples, Recipient shall maintain full and complete records of activities performedunder this Agreement. Such records shall be open to inspection by the City. Recipientagrees to maintain all such records a minimum of four years after the termination of thisAgreement.

    6. City Responsibilities.6.1. Administration. This agreement shall be administered by the City Administrator or his/her

    designee on behalf of the City. The City Administrator or his/her designee shall:6.1.1. Coordinate the collection of the annual assessment through an Interagency Agreementwith the County of Alameda. Manually bill tax-exempt entities which are not billed

    through the County of Alameda property tax billing procedures.6.1.2. Provide timely levy roll information to the County of Alameda Auditor-Controller inorder to include the annual assessment amounts on the County's property tax bills.6.1.3. Provide general assistance, clarification, or information to Recipient, the assessed

    parties and the public.6.1.4. Direct the disbursement of funds to Recipient in accordance with this agreement and

    subsequent approved budgets. City shall promptly forward funds to Recipient inaccordance with the terms of this agreement.6.1.5. Perform other related administrative, financial, clerical or public relations tasks, asmutually agreed to by the City Administrator or his/her designee and Recipient.

    6.2. Discrepancies and Assessment Disputes. The City Administrator or his/her designee mayassist with the resolution of any discrepancies in individual assessment amounts orcalculations. The City Administrator or his/her designee reserves the right to:

    6.2.1. Conduct reviews of existing primary data; verify assessment data as compiled by anyconsultant, subRecipient or other party hired by Recipient; and perform field or on-siteinspections to verify the accuracy of existing or secondary data, or to investigate theclaim of any Property owner in the District.

    6.2.2. Recalculate the assessment amount due and direct the Alameda County Auditor-Controller to respond appropriately.

    6.3. Disbursements. The annual District assessments will be collected through the County propertytax collection procedures and will be transmitted to the City pursuant to agreements betweenthe City and County. Except for the costs defined inParagraph 6.3.4, below, City shalldisburse the collected assessments to Recipient. The City shall not be obligated to disburseamounts ofthe assessments not collected at the time called for pursuant to the schedule fordisbursements. Upon request by Recipient and with approval of the City Administrator (or hisor her designee) funds in an amount in excess which have actually been received by the Citymay be disbursed at an earlier time than provided for herein.

    6.3.1. Disbursement of funds shall be on the following schedule. Of the annualappropriation, disbursements shall be in the following approximate percentages on oraround the following dates, contingent upon receipt of funds from the County ofAlameda:

    December 31April 30August 15

    Fifty percent (50%) of annual appropriationForty percent (40%) of annual appropriationTen percent (10%) of annual appropriation

    6.3.2. Funds shall be disbursed automatically by the City to Recipient at the time and inthe amounts designated in Section 6.3.1 above. Disbursements shall be contingentupon Recipient being in compliance with all provisions set forth in this Agreement.Disbursements shall include funds collected [Tom the delinquent payment ofassessments by any property owner in the District, less the applicable City and Countycosts and fees outlined in Section 6.3.4 below. The City reserves the right to request atany time a current financial summary of all CBD funds committed and/or spent duringthe previous quarter(s) from Recipient. Such financial summary shall be submitted byRecipient to the City within ten (10) business days of the City'S request. The Cityreserves the right to review the summary and to refuse to disburse any furtherinstallments if it is not satisfied with the statement or with regard to the propriety ofRecipient's commitment or expenditure during the previous quarter(s). This provisionis solely for the benefit of the City and does not confer any rights or cause of action onbehalf of any third parties including the Advisory Board or assessees of the district.

    6.3.3. Ifthere is an adjustment due to changes in the receipts of the District, it may beadjusted in the following year. The City shall not be responsible for delays in paymentdue to delays in transmittal by the County.6.3.4. Costs and Expenses. The City of Oakland and the County of Alameda will deductfrom the funds collected on behalf of the district the respective costs and fees of the City

    and County collection, including the City's costs of administering the District. Such costsand fees shall include amounts charged by the County in addition to a 1% (one percent)fee charged by the City. The City's 1% fee shall be calculated on the basis of total fundsreceived from the County on behalf of the District plus 1% of all amounts received fromtax-exempt property owners billed directly by the City. Deduction for this 1% of thecollected funds shall be made from the final payment as described in the schedule inSection 6.3.1 above. Such costs and fees will be withheld prior to making anydistribution to Recipient. At the request of Recipient, City shall promptly provideRecipient with a detailed statement of any costs and fees incurred and deducted by City.

    7. Ownership of Documents. The designs, plans, reports, files, invoices, investigation materialsdocuments prepared or acquired by or for Recipient pursuant to this Agreement become the jointproperty of the City and Recipient. Recipient agrees to exercise diligence in providing for thesecure storage of all such materials and to provide copies for official City records on request fromCity.

    8. hldependent Recipient. It is expressly agreed that in the performance of the disbursement dutiesnecessary to carry out this agreement, Recipient shall be, and is, an independent Recipient, and isnot an employee of City. Recipient has and shall retain the right to exercise full control andsupervision ofthe activities, and full control over the employment, direction, compensation anddischarge of all persons assisting Recipient in the performance of its disbursement dutieshereunder. Recipient shall be solely responsible for all matters relating to the payment of itsemployees, including compliance with social security, withholding and all other regulationsgoverning such matters, and shall be solely responsible for Recipient's own acts and those ofRecipient's subordinates and employees.

    9. Recipient Not Agent of City. Neither Recipient nor any of its employees, agents, representatives orsub Recipients is or shall be deemed to be an agent of the City for any purpose, includingfulfillment of Recipient's obligations pursuant to this Agreement.

    10. Recipient's Qualifications. Recipient represents that it has the qualifications and skills necessary toperform the disbursement duties under this agreement in a competent and professional mannerwithout the advice or direction of City. TIns means Recipient is able to fulfill the requirements oftins agreement. Failure to perform all of the disbursement duties required under this agreementwill constitute a material breach of the agreement and maybe cause for termination of theagreement. Recipient has complete and sale discretion for the manner in which the work under tinsagreement is performed.

    11. Non-Exclusive Relationship. Recipient may perform services for, and contract with, as manyadditional clients, persons or companies as Recipient, in its sale discretion, sees fit.

    12. Compliance with the City of Oakland Business Improvement Management District Ordinance(Oakland Municipal Code Chapter 4.48, Ordinance 12190. 1999) Exhibit C as amended.Recipient shall comply with all requirements of the City of Oakland Business ImprovementManagement District Ordinance as amended (Chapter 4.48, Ordinance 12190, 1999), relating tothe operation of a Business Improvement Management District.

    13. Temlination on Notice. The City may terminate this agreement for Recipient's breach of anyprovision of this agreement. illaddition to the foregoing, annually the City Administrator or his/herdesignee may review the performance of Recipient under this agreement and, at the CityAdministrator's or his/her designee's sole discretion, the City Administrator or his/her designeemay terminate this Agreement without cause by giving sixty (60) days' written notice to Recipient.Notwithstanding any other provision of this Agreement City may terminate this Agreement at anytime upon request of the Lake Merritt!Uptown District Community Benefit District of2008Advisory Board by giving thirty (30) days' written notice to Recipient. Such notice shall be madein accordance with the "Notices" section of this agreement. Unless otherwise terminated asprovided in this agreement, this agreement will terminate on December 30,2018.

    14. Agents/Brokers. Recipient warrants that it has not employed or retained any subRecipient, agent,company or person other than bona fide, full-time employees of Recipient working solely for it, tosolicit or secure this agreement, and that Recipient has not paid or agreed to pay any subRecipient,agent, company or persons other than bona fide employees any fee, commission, percentage; giftsor any other consideration, contingent upon or resulting from the award of this agreement. Forbreach or violation of this warranty, City shall have the right to rescind this agreement withoutliability or, in its discretion, to deduct from the agreement price or consideration, or otherwiserecover, the full amount of such fee, commission, percentage or gift.

    15.Non-Discrimination/Egual Employment Practices. Recipient shall use good faith efforts tovoluntarily comply with the City's Non-Discrimination/Equal Employment programs andpolicies specified as follows:

    15.1 Recipient shall not discriminate or permit discrimination against any person or group ofpersons in any manner prohibited by federal, state or local laws. During theperformance of this Agreement. Recipient and Recipient's subRecipients, if any, shallnot discriminate against any employee or applicant for employment because of age,marital status, religion, gender, sexual preference, race, creed, color, national origin,Acquired-Immune Deficiency Syndrome (AIDS), AIDS - Related Complex (ARC) ordisability. TIlls nondiscrimination policy shall include, but not be limited to, thefollowing: employment, upgrading, failure to promote, demotion or transfer,recruitment advertising, layoffs, termination, rates of payor other forms ofcompensation, and selection for training, including apprenticeship.

    16. Living Wage Ordinance. Recipient shall use good faith efforts to voluntarily comply with theCity's Living Wage Ordinance programs and policies specified as follows:If the contract amount of this Agreement is equal to or greater than $25,000 annually, thenRecipient must comply with the Oakland Living Wage Ordinance. The Living WageOrdinance requires that nothing less than a prescribed minimum level of compensation (aliving wage) be paid to employees of service Recipients (consultants) of the City andemployees ofCFARs (Ord. 12050 1, 1998).

    17. Inspection of Books and Records.17.1 DUling the term of this Agreement, and for a period of four (4) years after the terminationof this Agreement, or two (2) years after the closure of any disputed matter, whichever

    occurs later, (the "Audit Period"), Recipient shall maintain financial and operationalrecords related to this Agreement. Recipient shall make all books and records open toinspection by the goveming agency, City Auditor or their individually assigned designeeduring normal business hours at a location within a twenty-five (25) mile radius of theCity of Oakland for the period designated.

    17.2 During the Audit Period, Recipient hereby grants to City or its designee(s), upon one (1)days prior notice to Recipient, access to and the right to make copies of any of Recipient'sbooks, statements, documents, papers or records ("Financial Information") which arisefrom or relate to the terms and conditions of this Agreement and the performance of anyduties pursuant to this Agreement, or any other agreement between the parties, in order topermit City to conduct audits, examinations, excerpts and transition audits (collectivelyhereafter referred to as "Audit or Audits"). Recipient authorizes the City Auditor or hisdesignee to obtain such information directly from these sources. City'S right to Audit andto make copies shall apply whether such Financial Information is located at Recipient'soffices or at Recipient's banks, financial institutions or lenders, or at the offices ofRecipient's financial consultants, accountants or bookkeepers. For the purposes of suchAudit, Recipient waives its right to the confidentiality of all Financial Information andRecipient authorizes the City or its designee(s) to access, obtain and make copies ofFinancial Information directly from Recipient's banks, financial institutions or lenders, orfrom Recipient's financial consultants, accountants or bookkeepers.

    17.3 Such Audits may be performed by City through its employees or by its designeesincluding, without limitation, a third party auditor retained by City. City's right to Auditunder this section is independent, separate and distinct from any right to audit such booksand records reserved by law or contract, or as a condition of funding, by the county, stateor federal government.

    17.4 If any Audit of Recipient's invoices or other records reveals any variance from any invoiceto City, or of any amount of any grant or loan funds provided to Recipient by City whichis in excess of the amount actually due to or granted to Recipient by City, then: Recipientshall immediately refund any excess payment or funds received from City. In addition, ifany Audit reveals any variance from any invoice or funds received from City in excess ofone percent (1%) of the amount shown on such invoice or the amount of funds actuallydue to or granted to Recipient by City, Recipient shall immediately reimburse City for all

    costs and expenses incurred in conducting such Audit. Such reimbursement shall be paidfor by Recipient using Recipient's own funds, separate and apart, from any funds receivedby Recipient pursuant to this Agreement. Failure to pay such variance and the cost of theAudit as required herein shall constitute a material breach of the Agreement and City mayterminate the Agreement in accord with the termination provisions of Section 13 of thisAgreement and Recipient shall be subject to a breach of contract claim for damages byCity and a claim for return of all funds provided to Recipient by City pursuant to thisAgreement.

    18. Insurance. Unless a written waiver is obtained from the City's Risk Manager, Recipient mustprovide the insurance listed in Schedule Q of Exhibit D attached hereto and incorporatedherein by reference.

    19. hldemnification19.1 Notwithstanding any other provision of this Agreement, Recipient shall indemnify and holdharmless (and at City's request, defend) City, and each of their respective

    Councilmembers, officers, partners, agents, and employees (each of which persons andorganizations are referred to collectively herein as "Indemnitees" or individually as"Indemnitee") from and against any and all liabilities, claims, lawsuits, losses, damages,demands, debts, liens, costs, judgments, obligations, administrative or regulatory fines orpenalties, actions or causes of action, and expenses (including reasonable attomeys' fees)caused by or arising out of any:

    (i) Breach of Recipient's obligations, representations or warranties under thisAgreement;(ii) Act or failure to act 11 1 the course of performance by Recipient under this

    Agreement;(iii) Negligent or willful acts or omissions in the course of performance by Recipient

    under this Agreement;(iii) Claim for personal injury (including death) or property damage to the extent based

    on the strict liability or caused by any negligent act, error or omission of Recipient;(v) Unauthorized use or disclosure by Recipient of Confidential Information asprovided in Section 6 above; and(vi) Claim of infringement or alleged violation of any United States patent right orcopyright, trade secret, trademark, or service mark or other proprietary or

    intellectual property rights of any third party.19.2 For purposes of the preceding Subsections (i) through (vi), the term "Recipient" includesRecipient, its officers, directors, employees, representatives, agents, servants, sub-consultants and subRecipients.

    19.3 City shall give Recipient prompt written notice of any such claim of loss or damage andshall cooperate with Recipient, in the defense and all related settlement negotiations to theextent that cooperation does not conflict with City's interests.19.4 Notwithstanding the foregoing, City shall have the right if Recipient fails or refuses to

    defend City with Counsel acceptable to City to engage its own counsel for the purposes ofparticipating in the defense. In addition, City shall have the right to withhold any paymentsdue Recipient in the amount of anticipated defense costs plus additional reasonableamounts as security for Recipient's obligations under this Section 21. In no event shallRecipient agree to the settlement of any claim described herein without the prior writtenconsent of Cit

    19.5 Recipient acknowledges and agrees that it has an immediate and independent obligation toindemnify and defend Indernnitees from any action or claim which potentially falls withinthis indemnification provision, which obligation shall arise at the time any action or claimis tendered to Recipient by City and continues at all times thereafter, without regard to anyalleged or actual contributory negligence of any Indemnitee. Notwithstanding anything tothe contrary contained herein, Recipient's liability under this Agreement shall not apply toany action or claim arising from the sole negligence, active negligence or willfulmisconduct of an Indemnitee.

    19.6 All of Recipient's obligations under this Section 21 are intended to apply to the fullestextent permitted by law (including, without limitation, California Civil Code Section2782) and shall survive the expiration or sooner termination of this Agreement.19.7 The indemnity set forth in this Section 21 shall not be limited by the City'S insurance

    requirements contained in Schedule Q of Exhibit D hereof, or by any other provision ofthis Agreement. City's liability under this Agreement shall be limited to payment ofRecipient in accord to the terms and conditions under this Agreement and shall excludeany liability whatsoever for consequential or indirect damages even if such damages areforeseeable.

    20. Political Prohibition. Subject to applicable State and Federal laws, moneys paid pursuant to thisagreement shall not be used for political purposes, sponsoring or conducting candidate's meetings,engaging invoter registration activity, nor for publicity or propaganda purposes designed tosupport or defeat legislation pending before federal, state or local government.

    21. Religious Prohibition. There shall be no religious worship, instruction, or proselytization as part of,or in connection with the performance of the agreement.

    22. Conflict of Interest22.1 Recipient

    The following protections against conflict of interest will be upheld:1. Recipient certifies that no member of, or delegate to the Congress of the UnitedStates shall be permitted to share or take part in this Agreement or in anybenefit arising therefrom.11. Recipient certifies that no member, officer, or employee of the City or itsdesignees or agents, and no other public official of the City who exercises anyfunctions or responsibilities with respect to the programs or projects covered by

    tins Agreement, shall have any interest, direct or indirect in this Agreement, orin its proceeds during his/her tenure or for one year thereafter.Ill. Recipient shall immediately notify the City of any real or possible conflict of

    interest between work performed for the City and for other clients served byRecipient.IV. Recipient warrants and represents, to the best of its present knowledge, that

    no public official or employee of City who has been involved in the makingof this Agreement, or who is a member of a City board or commission whichhas been involved in the making of this Agreement whether in an advisory ordecision-making capacity, has or will receive a direct or indirect fmancialinterest in tills Agreement in violation of the rules contained in CaliforniaGovernment Code Section 1090 et seq., pertaining to conflicts of interest inpublic contracting. Recipient shall exercise due diligence to ensure that nosuch official will receive such an interest.

    v. Recipient further warrants and represents, to the best of its present knowledgeand excepting any written disclosures as to these matters already made byRecipient to City, that {l) no public official of City who has participated indecision-making concerning this Agreement or has used his or her officialposition to influence decisions regarding this Agreement, has an economicinterest in Recipient or this Agreement, and (2) this Agreement will not havea direct or indirect financial effect on said official, the official's spouse ordependent children, or any of the official's economic interests. For purposesof this paragraph, an official is deemed to have an "economic interest" in any(a) for-profit business entity in which the official has a director indirectinvestment worth $2,000 or more, (b) any real property in which the officialhas a direct or indirect interest worth $2,000 or more, (c) any for-profitbusiness entity in which the official is a director, officer, partner, trustee,employee or manager, or (d) any source of income or donors of gifts to theofficial (including nonprofit entities) if the income or value of the gift totaledmore than $500 the previous year. Recipient agrees to promptly disclose to

    City in writing any information it may receive concerning any such potentialconflict of interest. Recipient's attention is directed to the conflict of interestrules applicable to governmental decision-making contained in the PoliticalReform Act (California Government Code Section 87100 et seq.) and itsimplementing regulations (California Code of Regulations, Title 2, Section18700 et seq.).

    VI. Recipient understands that in some cases Recipient or persons associatedwith Recipient may be deemed a "city officer" or "public official" forpurposes of the conflict of interest provisions of Government Code Section1090 and/or the Political Reform Act. Recipient further understands that, asa public officer or official, Recipient or persons associated with Recipientmay be disqualified from future City contracts to the extent that Recipient isinvolved in any aspect of the making of that future contract (includingpreparing plans and specifications or performing design work or feasibilitystudies for that contract) through its work under this Agreement.

    Vll. Recipient shall incorporate or cause to be incorporated into all subcontractsfor work to be performed under this Agreement a provision governingconflict of interest in substantially the same form set forth herein.22.2 No Waiver

    Nothing herein is intended to waive any applicable federal, state or local conflict ofinterest law or regulation.22.3 Remedies and Sanctions

    In addition to the rights and remedies otherwise available to the City under thisAgreement and under federal, state and local law, Recipient understands and agrees that,if the City reasonably determines that Recipient has failed to make a good faith effort toavoid an improper conflict of interest situation or is responsible for the conflict situation,the City may (1) suspend payments under this Agreement, (2) terminate this Agreement,(3) require reimbursement by Recipient to the City of any amounts disbursed under thisAgreement. In addition, the City may suspend payments or terminate this Agreementwhether or not Recipient is responsible for the conflict of interest situation.

    23. Assignment. Recipient shall not assign or otherwise transfer any rights, duties, obligations or:interest in this Agreement or arising hereunder to any person, persons, entity or entitieswhatsoever without the prior written consent of City and any attempt to assign or transfer withoutsuch prior written consent shall be void. Consent to any single assignment or transfer shall notconstitute consent to any further assignment or transfer.

    24. Business Tax Certificate. Recipient shall obtain and provide proof of a valid City business taxcertificate, if applicable. Said certificate must remain valid during the duration of this agreement.-13 -

    25. Goveming Law. This agreement shall be governed by the laws of the State of California.26. Notices. If either party shall desire or be required to give notice to the other, such notice shall be

    27. Entire Agreement ofthe Parties. This agreement supersedes any and all agreements, either oral orwritten, between the parties with respect to the rendering of disbursement duties by Recipient forCity with regard to the Lake MerrittiUptown District Community Benefit District of 2008 andcontains all of the representations, covenants and agreements between the parties with respect tothe rendering of those duties. Each party to this agreement acknowledges that no representations,inducements, promises or agreements, orally or otherwise, have been made by any party, or anyoneacting on behalf of any parties, which are not contained in this agreement, and that no otheragreement, statement or promise not contained in this agreement will be valid or binding.

    28. Modification. Any modification of this agreement will be effective only if it is in a writing signedby both parties.

    29. Partial Invalidity. If any provision of this agreement is held by a court of competent jurisdiction tobe invalid, void or unenforceable, the remaining provisions will continue in full force and effectwithout being impaired or invalidated in any way.
