1. INVITATION FOR BIDS

Greater Visakhapatnam Municipal Corporation (GVMC) with an intent of beautification and revenue generation of urban roads, parks, and Junctions in the Vizag city, desires to undertake erection of State-of-the-art Street Furniture in the city of Visakhapatnam and hereby invites bids on Design, Build, Operate, Maintain and Transfer (DBOMT) basis, in lieu of advertisement rights thereon for concession period of 7 years. In this context GVMC proposes “Erection of Street Furniture on Design, Build, Operate, and Maintain & Transfer (DBOMT) Basis in Visakhapatnam City” in lieu of Advertisement Rights. 2. The scope of work for the selected Bidder majorly includes the Erection of Street Furniture on Design, Build, Operate, Maintain & Transfer. The detailed scope of work for the proposed Project is provided in the RFP. The Bidder shall be allowed to display and maintain the

Advertisement boards as per the best industry practices as prescribed by GVMC and performance standards during the Authorisation Period.

3. The Bids comprising Technical Bids and Price Bids in two separate envelopes, placed in an Outer Envelope as specified in the RFP, shall be delivered to the Office of Commissioner, GVMC, at the address given below:

4. The Bids should reach not later than 27.03.2015 at 3: 30 p.m. In the event that the Due Date for the Bid submission is a holiday, the next working day will be the date of submission. The Technical Bids would be opened on the 27.03.2015 at 4: 00 p.m. in the presence of the Bidder's representatives who choose to attend.

5. In case Bidders need any further information about the Project or for inspection of any other document related to the Project, as available with GVMC or want to visit the site, they are requested to contact the GVMC Office at the address given above.

6. The Bids shall be accompanied by Bid Security of (1% 0f Project cost) Refundable for Un-successful Bidders, in the form of an irrevocable & unconditional Bank Guarantee (as per format in RFP) or Demand Draft (DD) drawn in favour of “Commissioner, GVMC” and payable at Visakhapatnam, from a nationalized or scheduled bank having its’ branch at Visakhapatnam.

7. The bidder should enclose a D.D. of Rs. 5,000/- (rupees ten thousand only) in the name of Commissioner, GVMC towards the cost of RFP document along with the tender, which is Non-Refundable.

8. The successful bidder should pay (2.5% of Project Cost) Security deposit by way of irrevocable & unconditional Bank Guarantee for the entire authorization period at the time of Agreement, which will be refunded after the completion of agreement period. The bid security will be refunded for the successful bidders after the Agreement is concluded.

9. The Bid shall be filled in English and all entries must be typed and/ or written in blue/ black ink. Initials of the authorized representative of the Bidder must attest all erasures and alterations made while filling the Bid. Over-writing of figures in Price Bid is not permitted. Failure to comply with any of these conditions may render the Bid invalid.

10. GVMC will not be responsible for any costs or expenses or liabilities incurred by the Bidders in connection with the preparation and delivery of Bids, including costs and expenses related to visits to the site. GVMC reserves all the rights to cancel, terminate, change or modify this procurement process and/or requirements of bidding stated in the RFP, at any time without assigning any reason or providing any notice and without accepting any liability for the same.

11. The Bid evaluation process is detailed in the RFP. The Technical Bids will be evaluated as per the Technical Criteria laid down in the RFP. Only those Bidders, whose Technical Bids meet/comply with the Technical Criteria will be considered for the purpose of opening of their Price Bids and evaluation thereof.

12. The date & time of opening of Price Bids will be communicated to all the Bidders found qualifying in the evaluation of Technical Bids.

BID SUMMARY

3. Bid submission Bidders need to quote the Maximum Revenue Sharing per year for the project. The authorization period shall be 7 years. These 7 years includes the proposed development & installation.

Project Completion Period

Six (6) months from the date of handing over of site(s). No advertisement will be permitted during the construction period.

6. Technical Specifications As per guidelines applicable at GVMC Advertisement wing, PWD, IRC, CPWD, NHAI, JnNURM or any Govt. Authority.

7. Minimum Development Obligation

As specified under Section II of RFP

8. Bidder’s Eligibility The Bidders eligible for participating in the Bidding shall be any one of the following:

Type 1: A Business Entity; or

Type 2: A Co-operative Society of Scheduled Castes or Scheduled Tribes (SC /ST) duly registered in state of Andhra Pradesh or elsewhere in India under their respective Co-operative Societies Act on or before Application Due Date, where all members of such Co-operative society belong either to the scheduled castes and/ or the scheduled tribes;

or

Type 3: A combination of a maximum of 3 members, comprising one Lead Member who

Sr. No. Key Information Details is a Type 1/ Type 2 entity with other members who are Type 1/ Type 2/ Partnership Firm / registered Co-operative Society / individual entity and shall hereinafter be referred as "Consortium".

The Bidders under the category of Type 3, in the event of being declared the Successful Bidder, would be required to incorporate a Special Purpose Company as a private limited company in accordance with the provisions of the Companies Act, 2013.

Further, in the event of Type 2 Bidder being declared as the Successful Bidder for the Project, it would be required to amend its bye-laws in conformity with the bye-laws, as prescribed under applicable Co-operative Societies Act.

Physical Experience:

The Bidder shall have experience of Designing, Building, Operating and Maintaining minimum 30 % of each of the quantity of any of the 5 types of street furniture items, mentioned in the bid document within any city in India within a year in immediately preceding last 3 years or Minimum 2 years of experience in last 10 years immediately preceding the date of bid in the field of Outdoor Advertising on the above-mentioned Street Furniture items is essential Financial Turnover: The minimum Annual turnover of the Bidder shall be Rs. 5 Crores for each of the last 3 years with minimum 25% turnover in fields of erection of street furniture and advertisement on Street Furniture.

3. DEFINITIONS AND INTERPRETATION

3.1 DEFINITIONS

“Authorisation Agreement” shall mean Agreement to be entered into between the GVMC and the Preferred Bidder.

“Authorisation Period” shall mean 7 years from signing of Contract.

“Authorisee /contractor” shall mean either the Preferred Bidder or the Special Purpose Company (SPC) incorporated by the Preferred Bidder, who has been selected by GVMC to develop the Project on the terms and conditions stipulated in the RFP/Agreement.

“Bid or Detailed Bid or Proposal” shall mean the Bid submitted by the Bidder in response to the RFP including clarifications and/or amendments to RFP, if any.

“Bid Security” shall mean the security furnished by the Bidder in the form as stipulated in the RFP document.

“Bidder” shall mean applicant who has submitted his Bid in response to the RFP.

“Bid Evaluation Committee” shall mean the Committee constituted by GVMC or any other framework as decided GVMC for evaluating the Bids.

“Compliance Date” shall be as defined in the Draft Authorisation Agreement.

“Commercial Operation Date” or “COD” means the date upon which the Contractor commences commercial operations of the Project in part or full.

“Construction/ Installation Performance Security” shall mean irrevocable & unconditional Bank Guarantee furnished by the Preferred Bidder prior to the signing of Authorisation Agreement valid till Commercial Operation Date.

“Due Date” shall mean the last date for submission/receipt of the Bid, as mentioned in the RFP document.

“Financial Bid” or “Price Bid” shall have the meaning as set forth in the RFP documents.

“Grantor” shall mean Greater Visakhapatnam Municipal Corporation (GVMC).

“Lenders” shall mean any person(s)/ firm(s) based in India or abroad providing financial assistance, loans, funds, or other credit facilities to the Contractor under any financing agreements. “Letter of Intent” or “LoI” shall mean the letter to be issued by GVMC to the Preferred Bidder conveying intention of award of the Project/Authorisation, in accordance with the terms of this RFP.

“Minimum Development Obligations” or “Essential Facilities” shall mean as specified in the RFP, and which the Contractor is required to develop as part of the Project. “Operations Period” means the period commencing from COD and ending on the expiry or prior termination of this Agreement Period; “Operation Performance Security” shall mean irrevocable & unconditional Bank Guarantee furnished by the Preferred Bidder upon completion of the construction/installation and commissioning of the Project, as per the Minimum Development Obligations. “Preferred Bidder” shall mean the successful Bidder, whose Bid is declared as the winning Bid as a result of the Bid evaluation process as set forth in this RFP document. “Project” means, “Erection of Street Furniture on Design, Build, Operate, Maintain & Transfer (DBOMT) Basis in Visakhapatnam City” under Revenue sharing model for 7 years. and subject to the provisions of this RFP and Agreement, (i) The scope of work shall include Design, Build, Operate, Maintain and transfer to GVMC

Street Furniture items like Bus Queue Shelter, MUPI, Dustbin, Public Utility (Small), Vending Kiosks, Benches, Garbage Stations, Police Booths, Public Utility (Big), Unipoles of International Standard as detailed in the Bid Document.

(ii) GVMC however, reserves the right to add or remove or alter any street furniture and /or media in the city which shall be solely in the interest of the development of the city and the public at large and the successful bidder shall undertake to abide by the said change as and when informed by GVMC.

(iii) In lieu of that advertisement rights belongs to the Advertiser for the7 years and GVMC may extend the maintenance &advertisement rights or may transfer of the rights to other party on basis of Performance during the authorization period;

“Project Agreement” shall mean Authorisation Agreement and any other legal documents as mutually agreed to between the GVMC and the Preferred Bidder, necessary for implementing the Project. “Project Cost” shall mean the total cost for Erection of Street Furniture as mentioned in Scope of Work. The components would include the costs incurred for carrying out the Project related activities such as install maintain &finance etc. “Request for Proposal or RFP” shall mean the Bid documents. “Taxes and Duties” shall mean all taxes, duties, fees etc. payable as per applicable laws in India in connection with the development, operation and management of the Project. “Technical Criteria” shall mean the criteria stipulated in the RFP, which is required to be complied by the Bidder based on his Technical Bid to become eligible for opening and evaluation of his Price Bid.

1. The singular of any defined term includes the plural and vice versa, and any word or expression defined in the singular has the corresponding meaning used in the plural and vice versa;

2. Unless otherwise stated, a reference to a Clause, Sub-Clause, Paragraph, Subparagraph, Annex, Exhibit, Attachment, Schedule or Recital is a reference to a Clause, Sub-Clause, Paragraph, Subparagraph, Annex, Exhibit, Attachment, Schedule or Recital of this RFP;

3. A reference to any agreement is a reference to that agreement and all annexes, attachments, exhibits, schedules, appendices and the like incorporated therein, as the same may be amended, modified, supplemented, waived, varied, added to, substituted, replaced, renewed or extended, from time to time, in accordance with the terms thereof;

4. The terms “include” and “including” shall be deemed to be followed by the words “without limitation”, whether or not so followed;

5. Any reference to a person shall include such person’s successors and permitted assignees;

6. A reference to a “writing” or “written” includes printing, typing, lithography and other means of reproducing words in a visible form;

7. Any date or period set forth in this RFP shall be such date or period as may be extended pursuant to the terms of this RFP;

8. A reference to “month” shall mean a calendar month, a reference to “week” shall mean a calendar week and a reference to “day” shall mean a calendar day, unless otherwise specified.

9. The terms "hereof, "herein", "hereto", "hereunder" or similar expressions used in this RFP mean and refer to this RFP and not to any particular Article, Clause or Section of this RFP. The terms "Article", "Clause", “Paragraph” and “Schedule” mean and refer to the Article, Clause, Paragraph and Schedule of this RFP so specified;

10. In the case of any conflict, discrepancy or repugnancy between the provisions of RFP documents, provisions of the Authorisation Agreement shall prevail over and supersede the provisions of other documents.

11. The descriptive headings of Articles and Sections are inserted solely for convenience of reference and are not intended as complete or accurate descriptions of content thereof and shall not be used to interpret the provisions of this Agreement;

12. All capitalized words and expressions used in the RFP but not defined therein shall have the same meaning as ascribed to them in the Agreement.

4. GENERAL INFORMATION AND INSTRUCTIONS

4.1 INTRODUCTION TO ITB 4.1.1 This section should be read in conjunction with other sections of RFP. The words and

expressions, which are defined in this Section of RFP i.e. Instructions to Bidders (ITB), have the same meaning when used in the other Sections of RFP, unless separately defined.

4.1.2 The ITB sets out the bidding procedure and provides necessary details for the Bidders to prepare their Bid. The prescribed formats for submission of Bids are as per the Section-III of the RFP.

4.1.3 The Bidders are advised to submit their Bids complying with the requirements stipulated in the RFP document. The Bids may be rendered disqualified in case of receipt of incomplete Bids and/or the information is not submitted as per the prescribed formats.

4.2 BIDDER’S RESPONSIBILITY FOR DATA 4.2.1 While preparing the Bid, the Bidder shall consider the information provided in this RFP in

totality.

4.2.2 The technical details given in Section II of RFP are based on the site status, and assumptions of GVMC or its Consultants. However, the Bidders shall be wholly responsible for all the details of their Bids, the physical and site conditions, etc. In essence, after the Bid is submitted, the Bidder shall be the owner of all the data, which forms the basis of the Bid and shall have no claims whatsoever on GVMC or its agencies regarding the accuracy of the data or designs, drawings & concepts plans etc furnished in the RFP.

4.3 BIDDER’S ELIGIBILITY CRITERIA General Eligibility

A. The Bidders eligible for participating at the Qualification Stage shall be any one of the following:

Type 1: A Business Entity; or

Type 2: A Co-operative Society of Scheduled Castes or Scheduled Tribes (SC /ST) duly registered in state of Andhra Pradesh or elsewhere in India under their respective Co-operative Societies Act on or before Bid Due Date, where all members of such Co-operative society belong either to the scheduled castes and/ or the scheduled tribes; or

Type 3: A combination of a maximum of 3 members, comprising one Lead Member who is a Type 1/ Type 2 entity with other members who are Type 1/ Type 2/ Partnership Firm / registered Co-operative Society / individual entity and shall hereinafter be referred as "Consortium".

The Applicants under the category of Type 3, in the event of being declared the Successful Bidder, would be required to incorporate a Special Purpose Company as a private limited company in accordance with the provisions of the Companies Act, 2013.

Further, in the event of Type 2 Applicant being declared as the Successful Bidder for the Project, it would be required to amend its bye-laws in conformity with the bye-laws, as prescribed under applicable Co-operative Societies Act.

B. The Applicant should submit a Power of Attorney as per the format authorising the signatory of the Application to commit the Applicant.

C. Applications submitted by a Consortium should comply with the following additional requirements:

(i) Number of members in the Consortium would be limited to 3;

(ii) Bid should contain the information required from each member;

(iii) Bid should include a description of the roles and responsibilities of all the members;

(iv) Members of the Consortium shall nominate one member as the Lead Member and that member must be a Type 1/ Type 2 as defined above;

(v) Applicant who has applied for Project in its individual capacity or as part of a Consortium cannot participate as a member of any other Consortium applying for the Project;

(vi) Members of the Consortium shall execute a Power of Attorney for Lead Member of Consortium as per the format; and

(vii) Members of the Consortium shall enter into a Agreement, as per the format for the purpose of submission of the Application and subsequently the Proposal, in the event of being short-listed.

The Agreement should, inter-alia,

(i). convey the intent of the Lead Member to form a SPC with the shareholding pattern. Such SPC shall enter into the appropriate Agreement and subsequently carry out all the responsibilities in terms of the Agreement/s;

(ii). clearly outline the proposed roles and responsibilities of each member of the Consortium;

(iii) Include a statement to the effect that all members of the Consortium shall be liable jointly and severally for the Project in accordance with the terms of the Concession Agreement; and

(iv). clearly refer to the Project for which the arrangement is made.

A copy of the Agreement signed by all members should be submitted with the Bid. The Agreement entered into between the members of the Consortium should be specific to the Project and should contain the above requirements, failing which the Bid shall be considered non-responsive.

An Bidder or member of Consortium which has earlier been barred by Government of Andhra Pradesh or blacklisted by any state government or central government / department / agency in India from participating in Bidding Process shall not be eligible to submit an Bid, either individually or as member of a Consortium, if such bar subsists as on the Bid Due Date. The Applicant or the member of Consortium shall be required to furnish an affidavit that there is no such bar imposed and existing as on the Bid Due Date as per format.

D. The Bidder must be eligible and competent to enter into contract under the Indian Contract Act 1872.

Minimum Eligibility Criteria

Physical :

E. The Bidder shall have experience of Designing, Building, Operating and Maintaining

minimum 30 % of each of the quantity of any of the 5 types of street furniture items, mentioned in the bid document within any city in India within a year in immediately preceding last 3 years or

F. Minimum 2 years of experience in last 10 years immediately preceding the date of bid in the field of Outdoor Advertising on the above-mentioned Street Furniture items is essential Financial :

The minimum Annual turnover of the Bidder shall be Rs. 5 Crores for each of the last 3 years (2011-12, 2012-13 and 2013-14). with minimum 25% turnover in fields of erection of street furniture and advertisement on Street Furniture.

4.4.1 GVMC reserves the right to terminate a Bidder’s participation in the bidding process at any time, should GVMC consider that a Bidder has, without the prior consent, failed to comply with the procedures and requirements prescribed in the RFP.

4.5 COST OF BIDDING 4.5.1 The Bidder shall bear all costs associated with the preparation and submission of its Bid,

including site visits, field investigations, data collection, analysis, etc. as also any discussions/negotiations. GVMC shall not be responsible or liable for any such costs.

4.6 POWER OF ATTORNEY FOR BID SIGNATORY 4.6.1 All Bidders have to submit the Power of Attorney for Bid Signatory along with the

submission in favour of a specified person to act as the official representative of the Bidder for the purpose of signing documents, making corrections/modifications and interacting with GVMC and acting as the contact person.

4.7 VALIDITY OF BID 4.7.1 The Bids submitted shall remain valid for 120 days from the Due Date of submission.

4.7.2 In exceptional circumstances, prior to the expiry of the original Bid validity period, GVMC may request the Bidders to extend the period of validity for a specified additional period. The request for the extension shall be made in writing. Bidder will not be permitted to modify their Price Bid, but will be required to extend the validity of the Bid Security for the period of extension.

4.8 BID SECURITY 4.8.1 The Bidder shall furnish, along with the Bid, an irrevocable Bid Security of 1% of Project cost, in

the form of an irrevocable & unconditional Bank Guarantee (as per format in RFP) or Demand Draft (DD) drawn in favour of “Commissioner, GVMC” and payable at Visakhapatnam, from a nationalized or scheduled bank having its’ branch at Visakhapatnam. The Bid Security shall be valid for a period of 180 days from the Due Date of Bid submission.

4.8.2 Any Bid not accompanied by the Bid Security in the manner stated above shall be rejected by GVMC as non-responsive and their Technical Bid / Financial Bid (Envelopes I & II) shall not be opened for evaluation.

4.8.3 The Bid Security of unsuccessful Bidders, except the Bidder (H2) next to the Preferred Bidder (H1), will be returned promptly, but not later than 60 days from the Bid Due Date. The Bid Security of H2 will be returned within 15 days of signing of Authorisation Agreement with the Preferred Bidder.

The Bid Security of H1 &H2 shall be held beyond the original validity period in case the signing of Authorisation Agreement is delayed due to any reason.

The Bid Security shall become liable for forfeiture in the event of the following:

i. If the Bidder withdraws his bid during the period of Bid Validity or modifies his Bid within the validity period, or

ii. If the Bidder refuses to accept the correction of errors in his Bid, or

iii. If the Bidder submits a conditional Bid which would affect unfairly the competitive provision of other Bidders who submitted substantially responsive Bids and/or is not accepted by GVMC, or

iv. The Preferred Bidder fails to sign the Authorisation Agreement and/or to pay the Project Development Fee and/or to submit the Construction Performance Security as stipulated in the LOI/RFP.

4.9 MISCELLANEOUS INSTRUCTIONS

4.9.1 GVMC reserves the right to disqualify Bidders at any stage of the bidding process if the details submitted are found to be incorrect or untrue.

4.9.2 Bids that are incomplete in any respect or those that are not consistent with the requirements as specified in this RFP might be considered non-responsive and may be liable for rejection.

4.9.3 Adherence to formats, wherever prescribed, is required. Non-adherence to formats might be a ground for declaring a Bid non-responsive.

4.9.4 All communication and information shall be provided in writing and in English language only.

4.9.5 All financial data shall be given (converted) in Indian Rupees only.

4.9.6 All communication and information provided should be legible, and wherever the information is given in figures, the same should also be mentioned in words. In case of conflict between amounts stated in figures and words, the amount stated in words will be taken as correct.

4.9.7 No change in, or supplementary information to a Bid shall be accepted once submitted. However, GVMC or any of its advisors/ agencies/ consultants reserves the right to seek additional information and/ or clarifications from the Bidders, if found necessary, during the course of evaluation of the Bid. Non-submission, incomplete submission or delayed submission of such additional information and/ or clarifications sought by GVMC or any of its agencies/consultants may be a ground for rejecting the Bid.

4.9.8 If any claim made or information provided by the Bidder in the Bid or any information provided by the Bidder in response to any subsequent query by GVMC or any of its agencies/consultants/advisors, is found to be incorrect or is a material

misrepresentation of facts, then the Bid shall be liable for rejection. Mere clerical errors or bonafide mistakes may be treated as an exception at the sole discretion of GVMC or any of its advisors/ agencies/ consultants and if GVMCor any of its advisors/ agencies/ consultants is adequately satisfied.

4.10 BID RESPONSIVENESS 4.10.1 A Bid shall be deemed “non-responsive” under any of the following conditions:

i. It is not received by the Due Date and time

ii. It does not include sufficient information/ details for it to be evaluated and/or is not in the formats specified in this RFP.

iii. It is not signed and/or sealed in the manner as specified in this RFP.

iv. The Bid Security is not submitted by the Bidder along with the bid or submitted in any other form other than that prescribed in the RFP or lesser than 1% of Project Cost

4.10.2 Non-responsive Bids shall be liable for rejection at any stage during the Bid evaluation process and the decision of GVMC in this regard is final and binding.

4.11 CLARIFICATION & AMENDMENT OF RFP DOCUMENTS 4.11.1 The Bidders shall note that reliance upon information/ clarification that is provided by any

other source shall be at the risk of the Bidders.

4.11.2 At any time prior to the Due Date, GVMC may amend the RFP document by issuing an addendum.

4.11.3 Any addendum thus issued shall be part of the RFP document and shall be communicated by mail or by fax to all the Bidders.

5. BIDDING PROCESS

5. 1 OVERVIEW 5.1.1 Bidders are required to submit their Bids in two parts/envelopes (i) Technical Bid,

and (ii) Price Bid. Both the envelopes shall be placed inside an Outer Envelope. 5.1.2 The Technical Bid in Envelope-I will be evaluated based on the compliance vis-à-vis

the stipulated Eligibility Criteria.

5.1.3 The Bidders qualified in the technical evaluation will only be eligible for opening & evaluation of their Price Bids. Evaluation of the Price Bids will be the final stage of evaluation process.

5.1.4 In order to accomplish a comprehensive, expeditious and fair Bid evaluation process, Bidders are requested to study the contents of the RFP documents completely and carefully. The Bidders may obtain clarifications, if required from GVMC in this regard.

5.1.5 The evaluation of Bids would lead to the selection of a Preferred Bidder. The Authorisation Agreement would be signed between GVMC and Preferred Bidder or Special Purpose Company formed by the Preferred Bidder, as the case may be.

6. PREPERATION AND SUBMISSION OF BIDS

6.1 GENERAL SUBMISSIONS

6.1.1 The Bid shall be submitted in two separate envelopes as under, placed in an Outer Envelope.

a. ENVELOPE I: Technical Bid b. ENVELOPE II: Price Bid

The Outer Envelope shall be sealed, labelled as “BID FOR “Erection of Street Furniture on Design, Build, Operate, Maintain & Transfer (DBOMT) Basis in Visakhapatnam City” under Revenue sharing model for 7 years” and “NOT TO BE OPENED BEFORE THE DUE DATE/TIME OF BID SUBMISSION & OPENING”

6.1 INSTRUCTIONS FOR SUBMISSION OF TECHNICAL BID

The Bidders shall be required to submit their Technical Bids as under:

a) Covering Letter/Application as per Annexure A 1 of RFP (Sec-III). b) Letter for Submission of Bid Security as per Annexure A 2 of RFP (Sec –III) c) RFP document Fee of Rs 5,000 /- non-refundable. d) Bid Security (Bank Guarantee) e) General Information about the Bidder as per Annexure A3 of RFP (Sec-III)

f) Power of Attorney for signing of Bid as per Annexure A4 of RFP (Sec-III)

g) Extract of the charter documents and documents such as a resolution / power of attorney in favour of the Person executing Power of Attorney for signing of proposal for the delegation of power hereunder on behalf of the Bidder

h) Anti-collusion certificate as per Annexure A5 of RFP (Sec-III)

m) The Bidders shall prepare and submit one (1) original and one (1) copy of the Technical Bid in Envelope-I duly marking “ORIGINAL” and “COPY” along with Soft copy in CD which shall be in .doc format. This envelope shall be sealed, labelled as “ENVELOPE-I: TECHNICAL BID FOR “Erection of Street Furniture on Design, Build, Operate, Maintain & Transfer (DBOMT) Basis in Visakhapatnam City” under Revenue sharing model for 7 years and placed inside the Outer Envelope.

6.2 INSTRUCTIONS FOR SUBMISSION PRICE BID

6.3.1 The Bidders shall be required to submit their Price Bids as under:

1. Price Bid Letter & Format as per Annexure- B1 (RFP-Sec-III) duly filled in the Maximum Revenue sharing subject to the conditions stipulated in RFP.

2. Bidders shall prepare and submit one (1) original of the Price Bid in Envelope II. The envelope containing the Price Bid shall be sealed, labelled as ENVELOPE II: PRICE BID FOR “Erection of Street Furniture on Design, Build, Operate, Maintain & Transfer (DBOMT) Basis in Visakhapatnam City” under Revenue sharing model for 7 years and placed inside the Outer Envelope.

6.3 COMMON INSTRUCTIONS

6.4.1 All the inner envelopes shall indicate the name and address of the Bidder to enable the Bid to be returned unopened in case it is declared “late” or “nonresponsive” or “non-qualified”, as the case may be.

6.4.2 If the Outer Envelope is not sealed and marked as above, GVMCwill not assume any responsibility for the misplacement or premature opening of the bid. If the Outer Envelope discloses the Bidder’s identity, GVMCwill not guarantee the anonymity of the bid submission, but this shall not constitute grounds for rejection of the Bid.

6.4.3 The Bid must be received by GVMC no later than 27.03.2015, 03-30 P.M.at the address mentioned in the RFP.

6.4 SIGNING OF BID

6.5.1 The Authorized Signatory shall sign or initial each page of the RFP (including Draft Authorisation Agreement) along with the stamp of the bidder and submit the same to GVMC along with Bid.

6.6 LATE BIDS

6.6.1 The Bid received after the deadline for its submission will not be considered and will be returned unopened to the Bidder. There will be no exceptions to this requirement. It is the Bidder’s responsibility to ensure that the Bids are received at GVMC office before the Due Date and Time.

6.7 MODIFICATION OR WITHDRAWAL OF BIDS

6.7.1 The Bidders may modify or withdraw their Bids after submission, but prior to the Due Date, provided that written notice of the modification or withdrawal is received by GVMC office. The responsibility of submitting the modified Bid, on or before the Due Date will rest solely with the Bidders.

6.7.1 The Bidders cannot modify their Bids after the Due Date & Time. The Bids shall only be modified, if the same is requested by GVMC only to accommodate clarifications on the Bids submitted.

6.7.2 In the event of withdrawal of a Bid by the Bidder after the Due Date but within the Bid validity period, the Bid Security of the Bidder shall become liable for forfeiture.

7. BID OPENING AND EVALUATION

7.1 OPENING OF BIDS

7.1.1 The Technical Bids (Envelope I) of the Bidders will be opened in the presence of the Bidders’ designated representatives who choose to attend, at the time, date, and location given below:

7.1.2 The Price Bids of the Bidders who qualify in the evaluation of Technical Bids only would be opened. The Price Bids shall be opened in the presence of the representatives of the Technically Qualified Bidders, who choose to attend. Technically Qualified Bidders will be informed regarding, venue, date and time of the Price Bids opening, separately.

7.2 PROCESS TO BE CONFIDENTIAL

7.2.1 Information relating to the examination, clarification, evaluation and comparison of Bids and recommendations for the award of contract shall not be disclosed to the Bidders or any other persons not officially concerned with such process until the process is completed and issue of the LoI to the Preferred Bidder has been announced.

7.3 CLARIFICATION OF BIDS

7.3.1 To assist in the examination, evaluation, and comparison of Bids, GVMC may, at its discretion, ask any Bidder for information/ clarification/ substantiation.

7.3.2 In addition, GVMC may utilize services of any other consultants/advisors/ experts to assist in the examination, evaluation and comparison of Bids.

7.3.3 However, clarifications if any required from Bidder, shall be in written form and will be communicated to Bidder by GVMC.

7.4 EVALUATION OF BIDS

7.4.1 Evaluation of Technical Bid:

a. Process: In the first stage, the submissions of the Technical Bid would be evaluated by GVMC to check its’ substantial compliance with the stipulated requirements. If the submission is not in substantial compliance, the submission will be rejected and the Bidder will be eliminated from further evaluation process. The right to determine the ‘substantial compliance’ or otherwise will rest solely with GVMC and no correspondence and/or representation towards this will be entertained. A Technical Bid that is in substantial compliance is one that is accompanied by the required documents in the prescribed format that conforms to the requirements/eligibility criteria without material deviation or reservation (i.e. which affects in any substantial way the scope, obligations, quality, specifications, standards, rules, controls and performance of the Project).

b. The Bidder’s clearing the General Eligibility criteria as set in clause 4.3 will be eligible for next stage i.e., Opening of Price Bid.

c. Cause for Rejection: The required information shall be provided in “reasonable detail” and in the prescribed formats. For purposes here, ‘reasonable detail’ means that, the submissions in the Technical Bid generally meet the requirements/eligibility criteria and if need be, by having communication with the Bidder, the same can be clarified. The determination of whether the information has been provided in ‘reasonable detail’ rests solely with GVMC.

d. The GVMC may discuss, request clarifications/ substantiation/additional information and require meeting with the Bidders on their Technical Bids. The Bidder shall provide clarifications/ substantiation/additional information, as requested within a period of one week.

7.4.2 Evaluation of Price Bids

a. Process: If the submission is in substantial compliance with the Price Bid, then, Bid Evaluation Committee will review and evaluate the Price Bid. If the submission does not satisfy the criteria, the submission will be rejected and the Bidder will be eliminated from further evaluation process.

b. Requirements for Substantial Compliance: Prior to the detailed evaluation of the Price Bid, Bid Evaluation Committee will determine whether each Bid:

i. Has been properly signed and contains the required representations or commitments;

ii. Is presented in a manner that conforms with the requirements of the RFP including the specified format;

c. Material Deviation: A material deviation or reservation is one

i. Which affects in any substantial way the requirements of the RFP and performance of the Project; or

ii. Which is in substantially inconsistent with the requirements of the RFP. This limits in any substantial way, GVMC’s rights or the Bidder’s obligation under the Authorisation Agreement.

iii. Whose rectification would affect unfairly the competitive provision of other bidders presenting substantially responsive bids.

d. Evaluation:

i) The Price bid of the Bidder qualifying the Technical Evaluation Stage will be opened.

ii) For evaluation of the Price Bid the “Maximum Revenue sharing” quoted by the Bidder per year which should be more than Rs. ___ lakhs will be considered. Bidder offering Maximum Revenue share per year will be the Preferred Bidder.

7.5 CORRECTION OF ERRORS

Bid determined to be substantially responsive, will be checked by GVMC for any arithmetic errors. Wherever there is discrepancy between the amounts in figures and in words, the amount in words shall govern; and

a. The corrections made by GVMC, as explained above, shall be considered as binding upon the Bidder.

b. If the Bidder does not accept the corrections in the Bid, Bid Evaluation Committee may reject the Bid and Bid Security may be forfeited.

7.6 SUCCESSFUL BIDDER

As per the evaluation of the Price Bids detailed out in clause 7.4.2, the successful Bidder for the project will be decided.

7.7 SPECIAL CONDITION FOR SELECTION OF PREFERRED BIDDER

In the event of two or more Bidders offered the same “Maximum Revenue sharing” GVMC may

a) Call all such Bidders for re-submission of the Price Bids (limited to only such Bidders) and select the Preferred Bidder based on the outcome of the re-submission of the Price Bids or

b) Take any such measure as may be deemed fit at the sole discretion of GVMC.

7.8 CONFIDENTIALITY

The confidentiality of the Technical Bid of each Bidder will be respected by GVMC and will not be divulged unless required by operation of law. The contents of the Technical Bids and any other non-proprietary information, of the Preferred Bidder may be made public at the sole discretion of GVMC.

8. CORRUPT OR FRAUDULENT PRACTICES

It is required that the Bidders observe the highest standard of ethics during the Bidding process. In pursuance of this policy, the GVMC:

Defines, for the purposes of this provision, the terms set forth below as follows:

“Corrupt practice” means the offering, giving, receiving or soliciting of anything of value to influence the action of a public official in the Bidding process or in the execution of any Agreement with GVMC, or bringing political pressure.

“Fraudulent practice” means a misrepresentation of facts in order to influence the Bidding process or in the execution of any Agreement with GVMC to the detriment of the GVMC, and includes collusive practice among Bidders (prior to or after Proposal submission) designed to deprive the GVMCof the benefits of free and open competition.

GVMC will reject the bid, at any stage, if it determines that the Bidder recommended for selection has engaged in corrupt or fraudulent practices during bidding process.

DISCLAIMER

1. Though adequate care has been taken in the preparation of this ‘Request for Proposal’ (RFP) Document, the Bidder should satisfy himself that the Document is complete in all respects. Intimation of discrepancy, if any, should be given to the Project Nodal Officer at the address

given in the RFP. If no intimation is received by this office, it shall be deemed that the Bidder is satisfied that the ‘Request for Proposal’ (RFP) Document is complete in all respects.

2. Neither Greater Visakhapatnam Municipal Corporation (GVMC), nor its employees or

consultants make any representation or warranty as to the accuracy, reliability or completeness of the information in this RFP. It is not possible for GVMCto consider the investment objectives, financial situation and particular needs of each party who reads or uses this RFP. Certain prospective bidders may have a better knowledge of the Project than others. Each prospective bidder should conduct his/ her own investigation and analysis; and check the accuracy, reliability and completeness of the information in this RFP and obtain independent advice from appropriate sources.

3. Neither GVMC, nor its employees or consultants will have any liability to any prospective

bidder or any other person under the law of contract, tort, the principles of restitution or unjust enrichment or otherwise for any loss, expense or damage, which may arise from or be incurred or suffered in connection with anything contained in this RFP, any matter deemed to form this RFP, the award of the Project, the information and any other information supplied by or on behalf of GVMCor their employees, consultants, advisors or otherwise arising in any way from the selection process for the Project.

4. GVMC reserves the right to reject any or all of the Bids submitted in response to this RFP at

any stage without assigning any reasons whatsoever 5. GVMC reserves the right to change any or all of the provisions of this RFP. Such changes

would be intimated to all parties procuring this RFP and responding to the ‘Acknowledgement’.

SECTION II

DEVELOPMENT CONTROLS AND

TECHNICAL SPECIFICATIONS

a. Scope of work:

a. This contract is for erection of Street Furniture items in Visakhapatnam City on Design-Build-Operate-Maintain-Transfer basis; as per the quantities, Specifications Locations mentioned in RFP, as approved by GVMC against the display of advertisement on Street Furniture items mentioned in the design and drawing of Street Furniture items and subject to approvals of all statutory authorities after due payment to all such authorities. It also includes paying the authority a sum of display charges as per the ‘Form of Financial Offer’. The Construction Period of Street Furniture items shall be 6 months and in phases from the date of Work Order.

b. The designs, specifications and locations provided by GVMC are only for indicative

purpose only. This shall act as minimum benchmark. The bidder shall propose innovative, aesthetic state of the art designs which are environment friendly, structurally safe, durable for at least 20 years, rust proof and which gel with the overall urban built form of Visakhapatnam. However, the maximum total advertisement display area shall remain unchanged. The bidder also has liberty to propose advertisement on any other items subject to total maximum advertising area remaining unchanged and subject to approval by GVMC.

c. The concession period shall be for 7 years including the construction period. GVMC

reserves the right to extend the concession period on the same terms and conditions.

d. The bidder shall be entitled to charge a sum of Rs.______ towards Utility charges,

which shall be levied as per sulabh charges. The Bidder shall further be entitled to an amount of Rs.____________, which amount shall be the maximum fee, which the bidder can take from general public for the use of Public Utilities.

b. Bonus V/s Penalty:

a. For completion of entire construction of all the street furniture items before end of 6 months the display will be allowed from the date of completion and no premium fees for this pre-completion period will have to be paid to Authority and will act as bonus to the Bidder. However, display shall be allowed after satisfactory completion of at least 50% of Street Furniture items, and after obtaining Completion and Electricity Certificate from Concern Departments Certificate from certified Electrical Engineer, submitting Structural Stability Certificate to GVMC and compliance of all statutory approvals. If the bidder exceeds the construction period, than the premium shall be payable by the bidder from the 6 months irrespective of the advertisement display and erection of street furniture. However the genuine delay

beyond the control of bidder can be condoned by GVMC if duly justified by the bidder. However the decision of GVMC shall be final and binding.

b. The Bidder, may, as per the design, proposed by him, display the advertisement of

any product/company on the Street Furniture item; as per the specifications mentioned in RFP and not exceeding the overall advt. area as specified. While submitting the drawings for approval to the GVMC the Agency shall clearly mark the proposed space for advertising. After approval from the GVMC, the Agency shall also take prior approval from other Concerned Authorities as may be required. The bidder shall submit dimension drawing (mm), plan, section, elevation, 3D perspective, colour drawings, with specifications, material, advertisement area, etc on A4/ A3size paper.

c. The Agency shall not be allowed to display advertisement on Street Furniture items

unless and until the Security Deposit is paid to the Authority vis-à-vis before obtaining the necessary permissions/NOC from the GVMC or other concerned statutory authorities and after paying the necessary charges to the concerned authorities.

d. The Agency shall obtain approvals from all the statutory authorities concerned

necessary for display of advertisement on Street Furniture Items and its illumination. The Agency shall submit such approvals / NOC’s to the OIC. All the charges for obtaining approval / NOC’s from statutory authorities shall be borne by the Agency.

C. Financial Offer

a. The Bidder has to offer Lump sum premium fees/display charges to be payable to GVMC for the concession period in form of financial offer against the advertisement rights offered to him under this contract.

b. The Concessioner shall not be permitted to carry out any addition / alteration in the locations/specifications of Street Furniture Items once approved in the contract. However, the Concessioner may propose an alternative location/specification better than that given in the bid documents (specifications, materials and improved facilities for pedestrians) for any or all of the Street Furniture Items, if so desired, for evaluation to the Design Committee/ GVMC. GVMC reserves the right to accept such change proposed by bidder without change in overall Advt. area of the project. No claim for compensation of whatsoever nature including reduction in display charges will allowed against reduced display areas, if any. The newly constructed Street

Furniture items shall be the property of this Authority and will be handed over to GVMC after end of concession period and in proper functional order.

D. Removal/shifting of Street Furniture Items and advertisements on them:

a. The Concessioner shall alone be responsible for the display of advertisement on Authority’s Street Furniture Items. The Concessioner shall submit complete details of the framework proposed for advertisement for the perusal of GVMC Advertisement Wing. The Concessioner shall comply with the directions / instructions of the GVMC Advertisement Wing in respect of the said arrangement. The Concessioner shall also comply with the directions / instructions of the representative of GVMC Advertisement wing In charge, owner’s Representative of the project if and when deputed to the site for supervision.

b. The Concessioner should attend the complaints pertaining to the Street Furniture

and the advertisement provided on them within 3 days from the receipt of such letter issued by GVMC from time to time. All expenses connected with such complaints including removal/shifting of Street Furniture items or advertisements; maintenance of Advertisements etc., if any, shall be borne by the Concessioner.

c. If at any time during the continuance of the contract, any Authority duly empowered

or authorized in that behalf by GVMC requests for any reason including road widening, concreting/ Public utility shifting/ repair etc. to remove the Street Furniture items or advertisement on Street furniture items, the Concessioner on prior intimation from the Authority shall remove such item and/or the advertisement displayed on it at their own expense forthwith. If the Concessioner shall make default in such removal after notice to that effect has been served upon them by the GVMC within the time period stipulated in the notice, then the GVMC shall be at liberty to effect such removal at the risk and cost of the Concessioner without the Concessioner becoming entitled to any compensation in respect thereof. In addition to this the Concessioner shall be liable to pay the penalty/charges equal to Rs. 10,000/- (minimum) per Street Furniture item. The Concessioner shall be entitled to take back the said material from the Authority within a period of 15 days from the date of intimation to the Concessioner to that effect after which such materials would become the property of the Authority and the Concessioner shall have no claim of whatsoever nature on them.

a. The Concessioner shall maintain the Street Furniture items illumination on and public facilities in a proper and usable manner in accordance with technical specifications. The Concessioner shall bear all costs incurred for display of advertisement on Street Furniture items and shall carry out the work of fixing and removing the same in a careful manner without doing any damage to the Street Furniture items and the adjoining property. If any damage is caused to the same, it shall be made good by the Concessioner at its own cost to the entire satisfaction of the GVMC. The Concessioner shall maintain the advertisement along with the framework, if any, in good condition and likewise ensure that the display of advertisement there on is in a proper and perfect condition. The Concessioner shall immediately on receiving notice from the GVMC make good at their own expense the default / fault in the Street Furniture item/ advertisement with the structure to the entire satisfaction of the GVMC within seven days from the date of receipt of such notice, failing which the Authority shall be at liberty to proceed with the work required to be carried out at the risk and cost of the Concessioner without any further notice to them as stipulated in RFP appears herein after.

b. While the Street Furniture items or advertisements are being fixed or removed or re-

fixed by the Concessioner, it shall take all necessary safety precautions and if any damage is caused to or is suffered by a person or property of the Authority or by any third party due to any cause whatsoever, the Concessioner shall be solely responsible for compensation or damage to the Authority’s property or the third party as the case may be and the Concessioner shall indemnify and keep the Authority indemnified in respect of any claim made there under.

c. GVMC shall not be liable to pay any compensation in case the Concessioner, their

servants, agents or any other person meet with an accident or in case any injury is caused to or suffered by any one of them or by any third party or to any property whatsoever while the work under the contract is undertaken by the Concessioner. The Concessioner shall keep the Authority indemnified in that respect. The Concessioner shall be responsible for structural safety of the Street Furniture items and indemnify GVMC for any damages. The Concessioner shall cover the street furniture items under insurance policy.

d. The Concessioner shall not carry out any addition or alteration to the any of the

Street Furniture items unless; it is approved by the GVMC.

E. Illuminated Advertisement:

a. The Concessioner shall be permitted, subject to power cut and / or any other

restrictions and / or other rules in force, which are beyond the control of the Authority to display illuminated advertisement on those Street Furniture items that are mentioned in the RFP. However, due to non-availability of power supply for any reason, no claim of any sort would be entertained in this regard. No separate payment will be charged from the Concessioner for illuminating the advertisement. The installation work including electrification should be done by the Concessioner. The structure /design should have prior approval of the GVMC Advertisement Wing the electricity bills for such illumination should be paid by the Concessioner directly to the concerned authorities. The electrical installation including earthing of all metallic parts, provision of ELCB etc. shall be in accordance with the provisions of the Indian Electricity Act, 1910 and Indian Electricity Rules and the approved plan. All external and internal wiring cables, fittings including service cables and provision of Meter Box, etc. required for illumination of Street Furniture Items/advertisements shall be procured and laid by the Agency at its own cost using the ISI approved materials and as per Standard Specifications. The Agency shall provide/ install the electric meter box at appropriate height, so that it should not obstruct the commuters/ pedestrians. No additions or alterations should be made without prior approval of the Authority. The illuminated advertisement to be constructed/put up should be completely waterproof, so that no water enters inside and damages electrical wires, etc.

b. The Concessioner shall protect the electric installation and shall arrange to

maintain it in good and safe working condition by way of periodical checking (at least every 3 months) and renew it as and when necessary with the approval of the Statutory Authorities concerned as the case may be. The Concessioner shall obtain Electricity safety Certificate for all installed Street Furniture items with Electricity from Concern Department every year and submit to GVMC along with the Structural Stability Certificate obtained from the Concern Official.

c. The maintenance of illuminated advertisement shall also be the responsibility of the

Concessioner. The Concessioner shall carry out the work pertaining to the fixing, maintaining and removal of illuminated advertisements at its own cost. The Concessioner shall be wholly responsible for compensation or damages in case of damage to any property, lives of the person of Authority or public due to display of the illuminated advertisements including electric shock and fire due to short-circuit, etc. In such cases, the amount of compensation assessed by the Authority shall be final and binding on the Agency. On the expiry of contract period, the Agency shall

arrange to disconnect the electric supply including pot heading of electric cable and reinstatement work etc. wherever illuminated advertisement has been displayed.

d. The Concessioner ensure that illumination is done in such a way that it does not

cause any nuisance to the vehicle drivers on the road or to the residents in the vicinity. Any objection raised in this respect shall be rectified / removed by the Agency immediately at its own cost. The use of Generators for illuminating advertisement would not be permitted under any circumstances. However, if at any time the Generator Sets are found installed for illuminating advertisement, the same would be removed at the risk and cost of the Agency without any intimation to him as stipulated hereinafter.

e. It will be the Concessioner’s sole responsibility to pay the charges, rents, taxes,

electricity bills deposits on etc. levied by the Concerned Authorities directly to the authorities concerned.

f. Concessioner should submit road safety certificate for compliance of safety rules.

g. It shall be the sole responsibility of the Agency to obtain all necessary permissions

from the Statutory Authorities required for illuminating the advertisement and obtaining power supply under intimation to the GVMC.

h. The glare factors should be so defused that it does not create any nuisance to the

eyes of the road users / commuters.

i. No Traffic light colours i.e. red, green and amber should be used for the illumination

of the advertisement.

j. If at any time it is found / noticed /or brought to notice that the Concessioner has

drawn electric supply unauthorized to illuminate advertisement over any Street furniture item, then the Agency shall be liable to pay on demand the electricity charges and / or penalty as computed by the Authority.

F. Urgent Removal of Street Furniture item or Advertisement thereon

a. If any street furniture item(s) or advertisement(s) is required to be shifted or removed urgently due to accidents, act of God, thefts, or on the direction of concerned Statutory

Authorities before the expiry of contract period for any other reason whatsoever, the said item or advertisement displayed on it shall be removed by the Concessioner with their cost forthwith within twenty four hours on receipt of telephonic / written instructions by GVMC to that effect. In case of failure to do so the Authority will arrange to have the same removed at the risk & cost of the Concessioner. No compensation in that respect will be payable to the Concessioner. They shall be, however, liable to pay the charges incurred for removing/ shifting the item or advertisement. The Concessioner shall collect the materials from the Authority’s premises within 15 days from the date of receipt of intimation to them to that effect.

G . Accident and Damage to Street Furniture item and Advertisement thereon

a. GVMC shall not be responsible or liable to compensate the Agency for any theft or loss or damage, wear and tear of the Street Furniture item or advertisement on it or for non-display of advertisements due to the said damage, breakage etc., if any, for any reason whatsoever during the period of contract. GVMC shall also not be responsible for disfigurement of or detriment to the Street Furniture item or advertisement due to pasting of paper posters or any other material thereon or due to any other reason whatsoever. The Concessioner shall not claim any rebate including reduction in display charges against the Authority for non-display of advertisement and removal of Street Furniture item on such account, during the contract period. The Concessioner shall indemnify GVMC for any litigations, claims, suits, disputes, damages etc.

b. In case of damage / accident to Street Furniture Items or the advertisement thereon; it shall be removed/ rectified by the Concessioner immediately from the date of intimation from the Authority to that effect. On failure of the Concessioner to do so in seven days or as intimated by GVMC the same would be got done by the Authority at the risk and cost of the agency.

H . Approval of advertisement matter / objectionable advertisement

a. Before the display of the advertisement, the Agency shall in the first place submit the text of advertisement matter, art work etc. of each display for the approval of the competent Authority.

b. The display of advertisement, designs, materials and positions for all advertisement shall be subject to the approval of the GVMC.

c. The agency shall not display advertisements mentioned under RFP “List of negative advertisement” of outdoor advertisement.

The advertisement shall not contain any thing that contravene the Advertising Industry's Code of Ethics, (refer List of Negative Advertisements) or that otherwise causes a hazard.

ii. Racial advertisements or advertisements propagating caste, community or ethnic differences directly or indirectly.

iii. Advertisements propagating exploitation of women or child

iv. Advertisement having sexual overtone

v. Advertisement depicting cruelty to animals

vi. Advertisement depicting any Nation or Institution in poor light

vii. Advertisement casting aspersion of any brand or person

viii. Advertisement banned by the Advertisement Council of India or by law

ix. Advertisement glorifying violence

x. Destructive devices and explosives depicting items

xi. Lottery tickets, sweepstakes entries and slot machines related advertisements

xii. Any psychedelic, laser or moving displays

xiii. Advertisement of Weapons and related items (such as firearms, firearm parts and magazines, ammunition etc.)

xiv. Advertisements which may be defamatory, trade libelous, unlawfully threatening or unlawfully harassing

xv. Advertisements which may be obscene or contain pornography or contain an "indecent representation ofwomen"within the meaning of the Indecent Representation of Women (Prohibition) Act, 1986

xvi. Advertisement linked directly or indirectly to or include description of items, goods or services that areprohibited Cosmetics Act, 1940, the Drugs And Magic Remedies (Objectionable Advertisements) Act, 1954,the Inunder any applicable law for the time being in force, including but not limited to the Drugs and IndianPenal Code, 1860; or

xvii. Any other items considered inappropriate by the Committee.

xviii. During the period of contract, if on any grounds any advertisement(s) is/are objected to by any competent authority then the GVMCor his authorized representative shall have the right to remove such advertisement(s) at the cost

of contractor and the GMVC shall not be liable to pay any refund/damage or claim thereon. The contractor, will however, be permitted to display any other advertisement in lieu thereof. No claim for damages etc. will be maintainable on that account.

d. No unsightly, indecorous or objectionable advertisement shall be displayed at any site under this contract and the decision of the competent authority as to what is unsightly, indecorous or objectionable within the meaning of this Clause shall be final and binding upon the Agency. Upon the GVMC requiring the Agency to remove any such advertisement, the Agency shall forthwith remove the display thereof without any dispute / claim. No advertisement with the use of the name or pictorial representation of any national figure or emblem prohibited by law shall be displayed by the Agency. During the period of contract, if on any ground any advertisement is/are objected to by any Competent Authority or if the advertisement is objectionable in any way as stated above, then the Agency shall remove/ deface the said advertisement within 24 hours on receipt of verbal/ written instructions to that effect. On failure of the Agency to do so, the same would be removed/ defaced by the Authority at the risk & cost of the Agency and the Agency shall not be liable for any compensation. The agency shall indemnify GVMC for any disputes arising out of the contents, location, illumination, timings, and display of advertisements displayed by him.

I. Erection of Street Furniture items: Specifications

a. The Street Furniture items erected by Concessioner shall comply with all the minimum specifications mentioned in this bid.

b. The Concessioner agency shall have to produce the manufactures warranty certificate for the items used for manufacturing of the Street Furniture items as instructed by the GVMC & shall have to get the structural drawings prepared at their own cost from a licensed Structural Engineer as per site conditions & obtain structural stability certificate from him. The said structural designs have to be got certified from the Authority. The bidders shall produce evidence to conformity of all materials used for Street Furniture items to Indian standards or to International standards. After erection of Street Furniture items structural engineer shall certify the same for stability and occupation and such certificate shall be given every one year or within 1 week of the rectification of the damage done if any. The Authority shall demand any tests on the materials used and the same shall be complied by the agency at agency’s cost. After submission of such Structural Stability Certificate and upon complete satisfaction of GVMC, GVMC shall issue NOC for operation of the Street Furniture item and display of advertisements thereon.

c. The Concessioner shall be permitted to display advertisements on the Street Furniture items in the space reserved for the advertisement thereon and approved by GVMC. The advertisement space shall form an integral part of Street Furniture item.

J. Specifications of the Advertisement Boards

The Agency shall be responsible for the observance of the rules and regulations laid down or as may be laid down thereafter from time to time by the GVMC in this behalf and other statutory Authorities.

K. Use of Advertisement Spaces for Public Interest

The Authority reserves the right to itself to use Advt. Area of the Street Furniture items not exceeding 2% of the total advt. area for display of advertisement free of charge for whole concession period in the interest of the Authority, Greater Visakhapatnam Municipal Corporation, Government, Semi-Government, Central Government, Public Authority, National or Public Interest. The Concessioner shall make the Street Furniture item required as directed by the Authority for such display free of any advertisement on it. The Concessioner shall have no claim/compensation whatsoever against the Authority in this regard. The advertisement text/images would be given to the Concessioner for preparation of advertisement board. Composing the matter, preparation of creative, converting to any type and printing shall be responsibility of the Concessioner. The Concessioner shall carry out all the works stipulated in this item at his own cost at the location decided by the Authority.

L. Compliance of Contract

If the Concessioner shall neglect or fail to do anything which they have agreed to do under the terms and conditions of this contract, the GVMC may serve a notice tithe Agency asking it to do good the things agreed upon as aforesaid, and on their further neglect or failure to do so, the Authority shall have right to fine the Agency at its discretion or terminate the contract.

All the works as required to be done by the Agency under the different clauses of this contract shall be carried out by the Concessioner within the time specified and the manner set out and to the entire satisfaction of the said officers of the Authority. If the Concessioner fails to carry out the said works as aforesaid, the same shall be carried out by the Authority at its risk and cost and the Concessioner shall be liable and bound to pay the said charges for the same to the Authority immediately on demand at the following rates:

i. If carried out by engaging any other agency then the cost of work carried out by the agency plus overhead charges at the rate of 10% of the total value of the work done through such agency.

ii. If carried out by deploying departmental resources, the cost of work plus the overhead charges at the rate of 15% on the cost of labor and 20% on the cost of materials.

M. Concessioner’s responsibility against all claims, actions, losses, etc.

a. The Concessioner shall indemnify and keep indemnified GVMC against all payment, claims, actions, demands, losses, costs, charges and expenses which the Authority may incur or be put to or which may arise by reason of the exercise of the right to erect and maintain the

street furniture item or display advertisement on Authority’s Street Furniture items hereby granted including claims or actions arising out of any advertisement being challenged or held to be libelous or defamatory or in consequence of the falling or displacement or breakage of any advertisement / component of Street Furniture items or otherwise, as the case may be, or part thereof, due to any reason whatsoever and also against any claim made by the local authority or any other person in respect thereof and against any claim for rates or taxes levied in respect of anything done under this contract. The Concessioner hereby undertake as an essential condition of this contract that they shall within 15 days of a notice in writing requiring them to do so, pay to GVMC all moneys payable by them in respect of such claims, actions, demands, losses, costs, charges and expenses. On failure to do so the Authority shall be entitled to adjust/recover the money from the Security Deposit and the Concessioner shall make good the deficit so as to bring the security deposit to its original amount.

b. If at any time during the continuance of this contract, it shall become impossible by reason of events like strike, lockout, war, fire, flood or any Government enactment or regulation or any order of the Hon'ble courts or any other cause beyond the control of the Authority, to fulfill the contract in respect of all or any site in accordance with the terms hereof, the Agency shall have no claim/damage/compensation, whatsoever against the Authority in respect of any inability or incapacity to fulfill the contract or no display of the advertisement.

c. However, the Concessioner may prematurely rescind the contract by giving (3)three months notice in writing of his intention to do so to the GVMC, in case of event arising outlined in (b) above. The Concessioner shall have to pay the display charges during this period of notice. The said period of three months shall commence from the first day of the following month in which the notice of termination is given by the Concessioner. If the Concessioner makes the aforesaid payment without any demur or default, the Security Deposit would be returned to the Agency after expiry of six months from the date of termination of contract, subject to fulfillment of conditions. If however, the Concessioner makes any default in making the payment as aforesaid the GVMC, shall forfeit the Security Deposit partly or fully, as the circumstances of the case require.

O. Payment of Display Charges & mode of payment

The Concessioner shall pay to the Authority the display charges quoted by it in the ‘Form of Financial Offer’ by way of Two Half yearly installments in advance by demand draft / pay order in favour of ‘Commissioner, Greater Visakhapatnam Municipal Corporation’ payable in Visakhapatnam. The first installment shall be paid on the last day of the construction period and the subsequent installments shall be paid as advance on the same date of every six months. The Total display charges shall be the on the size of Advertisement displayed on the Street Furniture, Utilities, and others erected by the Concessioner. The amount shall be as per the prevailing Advertisement tax of GVMC Advertisement wing.

P. Transfer of right:

The Concessioner shall not assign, under-let, sub-let the contract or assign or transfer in any way the right granted under this contract to any person or persons or firm or Agency or Company without prior approval of the Authority. Also, the Concessioner shall not mortgage or rent-out any of the street furniture items during the concession period except Kiosks. Title of the land under any of the street furniture items shall not be transferable and at all the times shall be property of GVMC.

Q. Transfer of the Street Furniture items on the expiry / termination of the contract:

Street Furniture items will be property of the Authority for the entire concession period and display of Advertisement will be prohibited after the expiry /termination of the contract. The Concessioner shall remove all the advertisement boards on the Street Furniture items, if any displayed thereon, within 7 days from the last day of expiry /termination of the contract. Also the Concessioner shall handover all the street furniture items to Authority in good, workable conditions within 15 days from date of expiry/termination of contract. The Concessioner shall make good all the defects within these 15 days before transfer to GVMC. On failure of the Concessioner to remove the advertisement within stipulated time, said advertisements shall be removed by the Authority at the risk and cost of the Concessioner and the Concessioner shall be liable to pay the penalty of Rs. 5000/- per street furniture item/day to Authority till that item not get removed or as actual whichever is higher. On failure of Concessioner to handover the street furniture items in good conditions, Authority shall make good the street furniture items at the Cost and risk of Concessioner up to entire satisfaction of GVMC. The required costs for both the events above shall be recovered from security deposit of the agency. Due care shall be taken by the Concessioner while booking the contracts for advertisements on Street Furniture Items so that no advertisement is displayed after the expiry of this contract.

R. Maintenance of the site during the contract period:

a. The site and its surrounding areas are to be kept cleaned at all times. The litter bins should not be overflowing at any time and disposal of garbage to be arranged to as required.

b. The advertisement panels/ Street Furniture/ Utilities to be kept clean from dust, stains etc, at all times. It is to be ensured that posters etc. are not posted on any of the panels and on structural part of the Flyover.

c. Proper drainage is maintained and no accumulation of water, liquid etc. is allowed at any time.

d. The lighting arrangement if any should be functional at all times during night. Electrical safety is to be ensured for users as well as contractor‘s staff.

e. All structural members, seating arrangements and advertisement panels are to be inspected and maintained in good condition as per the maintenance manual.

f. Broken kerbs are to be replaced within 2 days of such event. For this purpose it is advised that the Contractor maintains a minimum inventory of similar kerbs at his store.

g. The flower plants and shrubs, if any, are to be maintained and watered regularly and the wastes to be disposed off.

h. Security of all assets to be ensured.

i. The advertisements on panels to be changed during off peak periods – preferably during night hours.

S. Maintenance check procedures:

The staff recommended to be engaged by the contractor for the purpose of the maintenance is Manager and Supervisor level 1 Nos & skilled staff 5 Nos.

A period check will be held at every 30 days after handover the facility to the successful bidder by the GVM Cofficials. In case the Successful Bidder services are not satisfactory to the GVMC officials then the penalty @ 5% on the Price bid amount shall be imposed by GVMC which will be applicable for the month /quarter for which the inspection/certificate pertains. The penalty shall be deposited by the successful Bidder in the following month without fail and without any grievance on the said subject. The said penalty has also to be deposited in the form of DD/PO only (in favour of Commissioner, GVMC) by the contractor without any dispute within 10 days from the date of issue of bill. Failing which the penalty of Rs. 1000/- per delayed day shall be paid by the contractor.

T. Taxes:

Excluding the advertisement Tax of GVMC any other Tax/Taxes/levy payable to any authority under law for the period of currency of the contract will have to be borne by the contractor and an annually certificate of having paid the taxes to the government agencies concerned will be furnished by the contractor, along with details of the payments made.

U. Revenue sharing Mechanism:

The successful bidder has to share the revenue as agreed with GVMC for the initial of 7 years. The successful bidder have to share the Audit details by approved by

third party Certified Auditor for proof checking every year. On breaching revenue sharing details GVMC may penalize or terminate the contract and handover the development.

V. Compliance to rules, regulations, instructions and statutory provisions:

It will be the responsibility of the concessioner to ensure that all instructions/provisions issued time to time by GVMC, GoAP, any Govt Authority are strictly adhered to. Any violation of any lawful provision will be treated as a violation of the terms and conditions of contract and action will be taken against the contractor as per provision of the contract.

W. Contractor’s Responsibility for Public liability and against all claims act losses etc:

The Concessioner shall indemnify the GVMC against all claims, actions, demands, losses, charges, cost of expenses which the Corporation has to incur or which may occur on account of infringement of any of these conditions by the contractor or on any other account whatsoever. The Contractor shall obtain a public liability policy of insurance in respect of the project site allotted to him in the awarded zone.

X. GVMC’s Authority to recover the cost in case of any default:

If the Concessioner shall neglect or fail to do anything which he is required to do under the provisions of the contract, the GVMC or any other authorized person may serve a notice on the contractor asking him to do the things agreed upon as aforesaid and on their neglect or failure to do as directed, cause the same to be done and recover the cost thereof from the contractor/tenderer(s) without prejudice to any other rights, the Corporation may have on account of such default.

Y. Account of Advertisement Displayed:

The Concessioner shall maintain proper account of advertisement displayed by him in respect of each advertisement board displayed on the project site and produce the same on demand before the Committee or any other officer authorised of GVMC by him.

Z. Termination of Contract Breach:

In case of breach by the contractor of any terms and conditions of the tender or that of agreement, the GVMC or his authorised representative shall have absolute right to terminate the contract without notice to the concessioner and cause the advertisements removed at the risk and cost of the contractor and forfeit the license fee for unexpired period and the security deposit. The Corporation reserves its right to forfeit security deposit even before termination of the contract on breach.

It is further agreed that the contractor/advertiser shall not commit any breach of the terms and conditions of the agreement and in the unlikely event of any other breach, the corporation shall give notice calling upon the contractor/advertiser to rectify/remedy the breach, to satisfy the Corporation about there being no breach and satisfy the Corporation within a period of 15days from the date of notice otherwise the Corporation shall be entitled to terminate the agreement without giving any further notice and in that event the corporation shall be entitled to recover all its dues which can be adjusted from the dues of contractor/advertiser if any found due to him. However, the contractor shall continue to pay the quarterly license fee without any default till the date of termination of contract or for all advertisement removed from project site.

It is further agreed that the Contractor/advertiser has to handover the project site free from encumbrance and in good condition including Electricity Connection and Electric Fittings, in case any damage/loss/mishandling observed, an expenditure occurred thereupon to make it in good condition will be deducted from the Security Deposit.

1. Having examined the RFP Documents for the execution of the Authorisation Agreement for the captioned Project, we the undersigned offer to develop the project sites in Visakhapatnam for the Authorisation Period quoted by us.

2. This Bid and your written acceptance of it shall form part of the Project Agreements to be signed between Greater Visakhapatnam Municipal Corporation (GVMC) and us. If nominated as Bidder, we understand that it is on the basis of our technical, financial & organizational capabilities and experience as set by you. We understand that the basis for our selection will be the complete Bid documents submitted along with this letter, and that any circumstance affecting our continued eligibility as per RFP, or any circumstance which would lead or have led to our disqualification, shall result in our disqualification under this bidding process.

3. I/We agree that

(a) If we fail to provide required facilities to the GVMC or its’ Authorised Representative for carrying out the inspection of works, operations and performance Or

(b) If we fail to meet the minimum development obligations and/or technical bid and/or the conditions/ stipulations of the RFP/Authorisation Agreement, GVMC or its’ representative shall be at liberty to take action in accordance with the RFP/ Authorisation Agreement.

4. I/We agree to abide by this Bid for a period of 120 days from the Bid Due Date and it shall remain binding upon us and may be accepted at any time before the expiry of that period.

5. I/We undertake, if our bid is accepted, to complete the project, commence operations and manage as per the RFP/Authorisation Agreements.

6. In the event of our Bid being accepted, we agree to enter into the formal Authorisation Agreement with GVMC incorporating the conditions of the Bid including the draft Authorisation Agreement thereto annexed and written acceptance thereof.

7. We agree, if our Bid is accepted, to submit the Performance Security (Bank Guarantee) of 2.5% of the Project cost as Security Deposit to GVMC as specified in the RFP within 30 days of issue of Letter of Intent (LoI).

9. I/We agree that if we fail to fulfil any of the conditions mentioned at para 6 and 7 above, GVMC has the right to forfeit the Bid Security being furnished by us along with this Bid.

9. I/We understand that GVMC is not bound to accept any or all Bids it may receive. 10. I/We declare that we have disclosed all material information, facts and circumstances, which

Transfer (DBOMT) Basis in Visakhapatnam City” under Revenue sharing for 7 years for which

purpose GVMC issued a Request for Proposal (“RFP”) inviting Bids from the Bidders to execute the

Scope of Work specified therein (Project);

the implementation of the Project (hereinafter called “the Bid”).

In the event of any breach or non-performance of the terms and conditions contained in the RFP

The Guarantor agrees absolutely, irrevocably and unconditionally guarantees and undertakes to

pay to GVMC a sum of Rs. 1 lakh ( Rupees one lakh )without any protest or demur and upon

receipt of first written demand from GVMC. This Guarantee is independent of the terms and

conditions of the RFP and shall not be affected in any manner by any amendments made to the RFP

and no prior consent or notice to the Guarantor is needed for any amendment to the RFP.

This Guarantee will remain in force up to and including the 180 days from the due date for

submission of the Bid documents.

The jurisdiction in relation to this Guarantee shall be the Courts at Visakhapatnam and Indian Law

shall be applicable. The claim shall be lodged in the same bank, which issues the Bank Guarantee.
