VIDSYS MASTER LICENSE AND SERVICES AGREEMENT

Th1s Master License and Serv1ces Agreement (the "L&S Agreement") 1s made by and between V1dSys, Inc , havmg a ma1llng address at 8219 Leesburg P1ke, SUite 250, V1enna, VA 22182 ("V1dSys") and SCIENCE APPLICATIONS INTERNATIONAL CORPORATION, hav1ng Its dddress at 3465 Box H1ll Corporate Center Dr1ve, Abmgdon, MD 21009 ("Company'') V1dSys and Company may be referred to md1v1dually m th1s agreement as a "Party'' or collectively as the "Part1es "

WHEREAS, V1dSys has developed or acqUired certain Software dS more fully descnbed m th1s Agreement, and

WHEREAS, Company des1res to license and use the Software ,md obtam certa1n related mstallat1on, mamtenance or support c,erv1ces as more fully descnbed 1n th1s Agreement

NOW, THEREFORE, m cons1derat1on of the mutual covenants heremafter set forth, V1dSys and Company do hereby 1 especttvely agree as follows

:L. DEFINITIONS

"Affiliate" means, w1th respect to a Party, any entity that directly or 1nd1rectly controls, 1s controlled by, or IS under t.ommon control w1th such Party For purposes of th1s defimt1on, an entity "controls" another ent1ty 1f 1t has the (>Ower to d1rect the management and pollc1es of the other ent1ty, through ownership of 50% or more of the votmg •.ecunt1es of an entity, representation on 1ts board of dtrectors or other governmg body, or by contract

"Attachment" means a wntten document executed by each of the Parties that IS subject to the terms of th1s Agreement and that sets forth the Software licensed by V1dSys to Company

"Deliverable" means developments, work product and dehverables resultmg from any Serv1ces performed by V1dSys under th1s Agreement and the applicable SOW

"Documentation" means the technical and user manuals delivered by V1dSys along with the Software Specifically t•xcludmg V1dSys' advert1smg and marketmg matenals

"Intellectual Property Rights" means, w1th respect to a Party, clll tang1ble and mtangtble, now known or hereafter extstmg nght, t1tle and mterest m and to patents, des1gns, trade secrets, Confidenttal Information, trademarks (whether registered or unregistered), copynghts, moral nghts, mask work nghts, serv1ce marks, trade names, domam names, logos, busmess names, product names and other mtellectual property of such Party

"Malicious Code" means a routme, program or code wh1ch has been mtent1onally des1gned, created or Implemented by V1dSys to allow unauthonzed access to, or use of, the Software by V1dSys or any th1rd party or to cause the Software to Malfunction

"Services" means the professional serv1ces to be performed by V1dSys as set forth m one or more SOW(s)

"Software» means the software owned or dtstnbuted by V1dSys and 1dent1fied and described 1n an Attachment, as well as all cop1es and translations thereof

"Statement of Work" and "SOW" each means a wr1tten Statement of Work document executed by both Parties that IS

subject to the terms of th1s Agreement and that sets forth the Serv1ces to be performed by V1dSys for the benefit of Company

Z LICENSE. DELIVERY

a License SubJect to Company's stnct compliance w1th the terms and cond1t1ons of th1s Agreement, V1dSys hereby grants to Company, and Company hereby accepts, a non­exclusive, non-transferable (except as otherw1se may be prov1ded 1n Sect1on 12(g) of th1s Agreement), non-sub licensable, nonexclusive, hm1ted rrght and license to use an object code vers10n of the Software and accompanymg Documentation solely for Company's mternal busmess purposes, subject to the terms and cond1t1ons of any Documentatron, th1s Agreement and the applicable Attachment(s) An Affiliate of Company may contract for Software and Serv1ces by executmg an Attachment or SOW, as applicable Each Affiliate executmg an Attachment or SOW 1s agreerng to be bound by the terms and cond1t1ons of th1s Agreement In such case, a Company Affiliate shall be deemed to be "Company'' and a "Party'' for purposes of th1s Agreement

b Restrictions Except as expressly set forth m th1s Agreement or the applicable Attachment, Company shall not and shall not authonze or permrt any thtrd party to (1) permtt any thtrd party to access any Software and/or Dellverables except as permitted here1n or 1n an Attachment or SOW, (n) reproduce, translate, or otherwise copy, enhance, add to, or mod1fy the Software and/or Dehverables, (u) reverse assemble, reverse engmeer or decompile, disassemble, create denvat1ve works of or copy the Software and/or Dehverables, (111) remove, alter or obscure any propnetary not1ce, labels or marks on any component or portion of the Software and/or Dehverables, (1v) develop any computer software system, subsystem or module that mcorporates or otherwtse uses elements of the Software, (v) use the Software to operate as a servtce bureau, ASP, or hostmg servrce, m each case Without the pnor wntten authonzat1on of V1dSys, such authonzat1on to

be exerc1sed m the sole d1scret1on of V1dSys, and/or (v1) access the Software and/or Dehverables 1n order to bwld a <.ompet1t1ve product or serv1ce or to copy any features, f unct1ons or graph1cs of the Software and/or Dellverables In c~dd1t1on to the above, Company Will not export, re-export or 1 ransfer, whether directly or md1rectly, the Software, Dehverables and/or any materials (collectively, the "V1dSys Matenals") prov1ded to 1t by V1dSys pursuant to th1s 1\greement, or any system contammg the V1dSys Materials, outs1de the country to wh1ch V1dSys delivers the V1dSys Matenals, Without first complymg w1th all applicable 1m port c~nd export laws of the Umted States of Amer~ca, the country 1n wh1ch the V1dSys Materials were delivered, as well as the <.ountry mto wh1ch the V1dSys Materials are to be Imported Any use of the Software and/or Dellverables by Company that 1s not expressly permitted m th1s Agreement IS strictly J>roh1blted

c Audit Company agrees to mamtam complete and accurate records m accordance w1th generally accepted accountmg pr1nc1ples With respect to matters necessary to ensure Company's compliance w1th th1s Agreement V1dSys w1ll have the nght, at 1ts own expense and upon reasonable pnor not1ce, penod1cally to mspect and aud1t the records of Company w1th respect to matters covered by th1s Agreement If such mspect1on and aud1t reveals that Company has IJnderpald V1dSys w1th respect to any amounts due and payable dunng the penod to wh1ch such mspect1on and aud1t 1 elate, Company shall promptly pay such amounts as are necessary to rectify such underpayment, together With mterest m accordance w1th Sect1on 3(c) Such mspect1on and aud1t nghts shall extend throughout the term of th1s Agreement and 1 or a penod of 3 years thereafter

d DeliVery and Acceptance V1dSys shall use 1ts 1 easonable commerc1al efforts to deliver the Software licensed by Company as set forth on each Attachment Delivery w1ll be deemed completed once V1dSys prov1des Company w1th the access codes requ1red to enable Company electromcally to download the applicable Software Software w1ll be deemed c1ccepted upon the prov1s1on to Company by V1dSys of the c~ccess codes to a s1te that allows electromc downloads

.l ~ERVICES V1dSys shall prov1de those Serv1ces and deliver those Dellverables to Company as specifically set forth m one or more SOW Upon Company's request, V1dSys w1ll prepare c1n SOW that w1llmclude an est1mate of t1me and fees requ1red to perform the Serv1ces and develop the Deliverables In order to be valid and bmdmg on the Part1es, all SOWs must be executed by an authonzed representative of each Party Each fully executed SOW w1ll form a part ofth1s Agreement and be wbject to the terms and cond1t1ons set forth herem

4 FEES AND PAYMENT

a Fees Company shall pay all fees spec1fied 1n all Attachments and/or SOWs, and- 1f reimbursable expenses are

mcluded 1n project pncmg- shall re1mburse V1dSys, at V1dSys' actual cost and w1thout mark-up, for V1dSys' actual reasonable travel expenses that are mcurred as a result of V1dSys' performance hereunder Except as otherw1se spec1fied m th1s Agreement, and Attachment or an SOW, fees are quoted and payable 1n Umted States dollars

b Payment. V1dSys w1ll submit an 1nvo1ce for all Software licensed and/or Serv1ces rendered as set forth m each Attachment and SOW, as applicable Unless otherw1se agreed 1n an Attachment or SOW, all V1dSys mv01ces are payable no later than th1rty (30) days from the date of the 1nvo1ce All fees payable under th1s Agreement shall be made w1thout recoupment or set-off

c Overdue Charges, Acceleration, Collections Fees If any fees are not rece1ved from Company by the due date, then at V1dSys' d1scret1on, such charges may accrue mterest at the rate of 15% of the outstanding balance per month, or the max1mum rate permitted by Jaw, whichever 1s lower, from the date such payment was due until the date pa1d If any amount owmg by Company under th1s Agreement IS th1rty (30) or more days overdue, V1dSys may, w1thout llm1tmg V1dSys' other nghts and remed1es, accelerate Company's unpaid fee obligations so that all such obligations become 1mmed1ately due and payable, and suspend proviSIOn of Serv1ces to Company unt1l such amounts are pa1d 1n full Company shall pay on demand all of V1dSys' reasonable attorney fees and other costs 1ncurred by V1dSys to collect any fees or charges due V1dSys under th1s Agreement followmg Company's breach of th1s Sect1on 4

d Payment Disputes V1dSys shall not exerc1se V1dSys' r1ghts under Sect1on 4(c) 1fthe applicable charges are under reasonable and good-fa1th dispute and Company 1s cooperatmg diligently to resolve the dispute

e Taxes. Unless otherw1se stated, V1dSys' fees do not Include any taxes, Jev1es, dut1es or s1m1lar governmental assessments of any nature, mcludmg value-added, sales, use or w1thholdmg taxes, assessable by any local, state, prov1nc1al, federal or fore1gn JUriSdiction (collectively, "Taxes") Except for taxes assessable agamst V1dSys based on V1dSys' mcome, Company IS responsible for pay1ng all Taxes assoc1ated w1th Company's purchases hereunder If V1dSys has the legal obligation to pay or collect Taxes for wh1ch Company 1s responsible under th1s paragraph, the appropnate amount shall be mvo1ced to and pa1d by Company m accordance w1th Sect1on 4(b), unless Company prov1des V1dSys w1th a valid tax exempt1on certificate authonzed by the appropriate taxmg authority

5. PROPRIETARY RIGHTS

a Reservation of Rights Subject to the llm1ted nghts expressly granted hereunder V1dSys, for 1tself and on behalf of 1ts licensors, reserves all rights 1n the Software and all Dehverables that are not expressly granted to Company 1n th1s Agreement Company acknowledges and agrees that, except

as specifically set forth 1n thiS Agreement, the Software and Dellverables are licensed, not sold, by V1dSys to Company, and ll1dSys owns all nghts, title and mterest m and to the Software and Dehverables mclud1ng all r1ghts, t1tle and mterest m and to any and all1mprovements, mod1ficat1ons, denvat1ve works and 1 nnovat1ons of, to and/or mvolvmg the Software and/or ')ellverables, even 1f such Improvements, mod1ficat1ons, denvat1ve works or mnovat1ons result from suggestions, •:!nhancement requests, recommendations or other feedback prov1ded by Company Company agrees not to challenge, directly or md1rectly, the nght, t1tle, and mterest of V1dSys m and to the Software or Dehverables, and further agrees not to directly or md1rectly, register, apply for reg1strat1on, or attempt to acqUire any legal protection for any of the Software and/or Dellverables

b Deliverable License W1th regard to any Dellverables developed by V1dSys for Company pursuant to the terms of an SOW, subJect to Company's stnct compliance w1th the terms of th1s Agreement and the applicable SOW, V1dSys hereby grants 'o Company a hcense to use such Dehverables pursuant to Section 2 above

c Federal Government End Use Provisions V1dSys 1censes the Software and Dellverables, 1ncludmg related o;oftware and technology, for ult1mate federal government end Jse solely m accordance w1th the followmg Government echmcal data and software nghts related to the Software and )ellverables mclude only those nghts customanly prov1ded to he pubhc as defined 1n th1s Agreement Th1s customary

commercial license 1s prov1ded 1n accordance w1th FAR 12 211 (Techmcal Data) and FAR 12 212 (Software) and, for Department of Defense transactions, DFAR 252 227-7015 (Techmcal Data- Commerc1alltems) and DFAR 227 7202-3 1 R1ghts m Commercial Computer Software or Computer 'ioftware Documentation) If a government agency has a need lor nghts not conveyed under these terms, 1t must negotiate With V1dSys to determme 1f there are acceptable terms for 1 ransfemng such r1ghts, and a mutually acceptable wntten addendum specifically conveymg such r1ghts must be Included m any applicable contract or agreement

1; CONFIDENTIALITY

a Definition of Confidential Information. As used herem, "Confident1allnformat1on" means all confidential mformat1on disclosed by a Party ("D1sclosmg Party") to the other Party ("ReceiVIng Party"), whether orally or m wnt1ng, that 1s des1gnated as confidential or that reasonably should be understood to be confidential gwen the nature of the mformat1on and the Circumstances of disclosure V1dSys' ( onfident1allnformat1on shall mclude the Software, Documentation and Deliverables, and Confident1allnformat1on of each Party shall mclude the terms and cond1t1ons of th1s Agreement and all Attachments and SOWs, as well as busmess and marketmg plans, research, development, serv1ces, customers, customer lists, des1gns, drawmgs, technology and techmcalmformat1on, products, product plans and des1gns,

software, developments, mvent1ons, processes, formulas, finances, and bus1ness processes d1sclosed by such Party However, Confident1allnformat1on does not mclude any mformat1on that (1) 1s or becomes generally known to the public Without breach of any obligation owed to the D1sclosmg Party, (11) was known to the ReceiVIng Party pnor to 1ts disclosure by the D1sclosmg Party Without breach of any obligation owed to the D1sclosmg Party, (111) 1s rece1ved from a third party Without breach of any obligation owed to the D1sclosmg Party, or (1v) was mdependently developed by the Rece1vmg Party Without use of or access to the D1sclosmg Party's Confidential Information

b Protection of Confidential Information. Except as otherw1se perm1tted m wntmg by the D1sclosmg Party, (1) the Rece1vmg Party shall use the same degree of care that 1t uses to protect the confidentiality of 1ts own confidential mformat1on of like kmd (but m no event less than reasonable care) not to d1sclose or use any Confident1allnformat1on of the D1sclosmg Party for any purpose outs1de the scope of th1s Agreement, and (11) the Rece1vmg Party shall llm1t access to Confidential Information of the D1sclosmg Party to those of Its , employees, contractors and agents who need such access for purposes consistent With th1s Agreement and who have s1gned confidentiality agreements w1th the Rece1vmg Party contammg protections no less strmgent than those herem and for whom the Rece1vmg Party rema1ns fully liable

c. Compelled Disclosure. The Rece1vmg Party may disclose Confident1allnformat1on of the D1sclos1ng Party 1f 1t 1s compelled by law to do so, prov1ded the Rece1v1ng Party g1ves the D1sclosmg Party pnor wntten not1ce of such compelled disclosure (to the extent legally permitted) and reasonable aSSIStance, at the DISClOSing Party's COSt, If the DISClOSing Party w1shes to contest the disclosure If the Rece1vmg Party IS compelled by law to disclose the D1sclosmg Party's Confidential Information as part of a c1v1l proceedmg to whtch the DISClOSing Party IS a party, and the DISclOSing Party IS not contestmg the disclosure, the D1sclosmg Party will reimburse the Rece1vmg Party for 1ts reasonable cost of comp1hng and prov1dmg secure access to such Confident1allnformat1on

d Injunctive Relief Each Party acknowledges that the extent of damages m the event of any threatened or actual breach of th1s Sectton 5 would be difficult or 1mposs1ble to ascertam and that there Will be available no adequate remedy at law 1n the event of any such breach Each Party therefore agrees that m the event 1t breaches any prov1s1on ofth1s Agreement, the other Party Will be entitled to spec1fic performance and InJunctive or other equ1table rehef, m add1t1on to any other relief to wh1ch 1t may be ent1tled at law or m equ1ty Any such relief shall be 1n add1t1on to and not 1n lieu of any appropnate relief m the form of monetary damages

7 WARRANTIES AND DISCLAIMERS

a VldSys' Warranties V1dSys warrants to Company that the Software w1ll perform substantially 1n accordance w1th the

8 INDEMNIFICATION

a Indemnification by VidSys V1dSys shall defend Company agamst any cia 1m, demand, su1t, or proceeding ("Claim") made or brought agamst Company by a th1rd party allegmg that use of any Software as perm1tted hereunder mfrmges or m1sappropnates the mtellectual property nghts of a th1rd party, and shall mdemmty Company for any damages finally awarded agamst, and for reasonable attorney's fees mcurred by, Company m connection w1th any such Cia 1m, prov1ded that Company (a) promptly g1ves V1dSys wntten not1ce of the Cia 1m, {b) g1ves V1dSys sole control of the defense and settlement of the Cla1m (provided that V1dSys may not settle any Cla1m unless the settlement uncond1t1onally release COmpany of all hab1hty), and {c) prov1des to V1dSys all reasonable assistance, at V1dSys' expense V1dSys shall have no hab1hty under th1s Agreement w1th respect to any Cla1m based upon (1) combmat1on or use of the Software w1th equ1pment, products, systems, software, matenals or processes not furnished by V1dSys 1f, absent such combmat1on, no mfrmgement would ex1st, or (11) use of the Software wh1ch use breaches th1s Agreement If Company's use of the Software hereunder 1s, or m V1dSys' op1mon IS likely to be, enJOined due to a Cia 1m, then V1dSys may (I) procure for Company the nght to contmue usmg such Software under the terms of th1s Agreement, (11) replace or mod1fy the applicable Software so that 1t IS non-mfrmgmg and substantially eqUivalent m funct1on to the enjomed Software, or (m) termmate Company's nght to access and use the Software and refund any unused, prepaid fees covenng the remamder of the term after the effect1ve date of such termmat1on

b Exclusive Remedy THE PROVISIONS OF THIS SECTION 8 STATE THE EXCLUSIVE LIABILITY OF VIDSYS AND THE EXCLUSIVE REMEDY OF COMPANY WITH RESPECT TO ANY CLAIM OF INTELLECTUAL PROPERTY OR TRADE SECRET MISAPPROPRIATION OR INFRINGEMENT BY THE SOFTWARE AND/OR DELIVERABLES, ANY PART THEREOF, AND ANY MATERIAL OR SERVICES PROVIDED HEREUNDER, AND ARE IN LIEU OF ALL OTHER REMEDIES, LIABILITIES, AND OBLIGATIONS

9. LIMITATION OF LIABILITY EXCEPT FOR DAMAGES ARISING FROM A BREACH OF SECTIONS 2 AND 6, NEITHER PARTY WILL BE LIABLE (WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHER THEORY), TO THE OTHER PARTY OR ANY OTHER PERSON OR ENTITY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES {INCLUDING DAMAGES FOR LOSS OF PROFIT, BUSINESS OR DATA) ARISING OUT OF THIS AGREEMENT THE AGGREGATE LIABILITY OF VIDSYS AND ITS AFFILIATES ARISING OUT OF OR RELATING TO THIS AGREEMENT, WHETHER IN CONTRACT, WARRANTY, TORT {INCLUDING NEGLIGENCE) OR OTHERWISE, WILL NOT EXCEED THE FEES PAID BY COMPANY TO VIDSYS FOR THE SOFTWARE AND/OR SERVICES TO WHICH COMPANY'S CLAIM RELATES

10 TERM AND TERMINATION

b Termination for cause A Party may termmate th1s Agreement for cause (1) upon 30 days wntten not1ce to the other Party of a matenal breach 1f such breach remams uncured at the exp1rat1on of such penod, or (11) 1f the other Party becomes the subject of a pet1t1on m bankruptcy or any other proceedmg relatmg to msolvency, rece1versh1p, hqu1dat1on or ass1gnment for the benefit of creditors

c Effect of Termination Termmat1on of th1s i\greement shall not release the Part1es from any liability wh1ch, at the t1me of termmat1on, has already accrued or wh1ch thereafter may accrue w1th respect to any act or om1ss1on before termmat1on, or from any obligation wh1ch IS expressly stated m th1s Agreement to surv1ve termmat1on Upon any term1nat1on of this Agreement, each Party Will (1) 1mmed1ately d1scontmue all access to and use of the other l>arty's Confidentrallnformatron, (u) delete the other Party's Confident1allnformat1on from 1ts computer storage or any clther med1a, mcludmg online and off-line hbranes, (111) return 1 o the other Party or, at the other Party's opt1on, destroy, all c.op1es of such other Party's Confident1allnformat1on then 1n 1ts llossess•on, and (1v) promptly pay all amounts due and 1 emammg payable hereunder Termmat1on of th1s Agreement, 1 egardless of cause or nature, shall be without preJUdice to any other nghts or remed1es of the Part1es and shall be Without liab1hty for any loss or damage occasioned thereby

a Relationship of the Parties. The Part1es Will perform hereunder as mdependent contractors Nothmg contamed 1n th1s Agreement shall be deemed to create any assoc1at1on, partnership, JOint venture, or relat1onsh1p of pnnc1pal and agent or master and servant between the Part1es

b No-Hire Company agrees not to sohc1t act1vely and/or h1re any employees or contractors ofV1dSys who have directly or md1rectly been Involved m the prov1s1on of Serv1ces under th1s Agreement Without the pnor wntten consent of V1dSys Company's obhgat1ons under th1s Sect1on 12(b) shall contmue for a penod of one (1) year after termmat1on of th1s Agreement, Without regard to confhct of law pnnc1ples

c. No Th.rd-Party Beneficiaries There are no third-party benefic1anes to th1s Agreement, and the Parties acknowledge that th1s Agreement IS mtended solely for the benefit of the Part1es, the1r successors and permitted ass1gns, and nothmg herein, whether express or 1mplied, shall confer upon any person or ent1ty, other than the Part1es, the1r permitted successors and ass1gns, any legal or equ1table nght whatsoever to enforce any prov1s1on of th1s Agreement

d Force MaJeure V1dSys shall be excused from performance of 1ts obligations under th1s Agreement 1f such a fa1lure to perform results from compliance w1th any reqUirement of applicable law, acts of God, fire, stnke, embargo, terronst attack, war, msurrect1on or not or other causes beyond the reasonable control of V1dSys Any delay resultmg from any of such causes shall extend performance accordmgly or excuse performance, m whole or m part, as may be reasonable under the Circumstances
