Page 15 For the short-term, a renewed sense of optimism is abounding with OPEC’s deal to cut oil production and Trump’s administration in office. For now, the industry should remain cautiously optimistic about the future because the long-term effect of these policy and geopolitical issues remains uncertain. I would like to say that the only thing that remains certain is, well, taxes of course! But with the promise of tax reform by the Trump administration, even tax planning has become uncertain. Though, it is unlikely that any major tax reform or tax simplification will happen this year. How could the proposed tax reform impact you and your business? For individual taxpayers: • income tax rates could be compressed into only three tax brackets (12, 25, and 33%) versus the current seven tax brackets which tops out at 39.6%. • increased standard deductions for single individuals and married couples filing jointly and a cap on the amount of itemized deductions that could be claimed. • repeal of 3.8% net investment income tax (Obamacare tax) imposed on passive income, including capital gains. • eliminate the alternative minimum tax (AMT), a secondary tax system imposed by the IRS. • repeal of federal estate and gift tax. For corporate taxpayers: • top income tax rate could be lowered to 15% versus the current 35% rate. • eliminate the alternative minimum tax (AMT), a secondary tax system imposed by the IRS. • section 179 deduction could be raised to $1 million versus the current $500,000 annual cap. For pass-through entities (sole proprietorships, partnerships, and S corporations), which generally are taxed at individual income tax rates: • owners could elect to be taxed at a flat rate of 15% on the pass-through income retained within the business. • distributed profits could be subject to a second layer of tax, similar to a dividend paid from a C Corporation. • section 179 deduction could be raised to $1 million versus the current $500,000 annual cap. I hope everyone hasweatheredthismildwinterandthatyou’reponderingthisyear’ssurvivaltacticswith renewed optimism.I promised Iwouldn’t letanyone or anything “getmestarted”,butwiththeelectionandalloftheoiland gas industry issues

thesedays… I gotmyself started!Remember,these are just my thoughts and are notendorsed by, or reflective of, IOGANY or itsmembersorboard.

I’m sure you all read the nonsense every dayand think it just can’t get any more absurd,right?Well itcananddoesbecauseitseemsanotherandthenanotherissuearisesthatissocrazyyoujustwanttoscream!Ihadafrustratingdiscussion with an acquaintance who justdespises the Dakota Access Pipeline (DAPL)projectdespiteneverseeingthewebofexistingfossil fuel pipelines currently traversing thecountry.Shewasopposedtoitsveryexistence–notjustthelakecrossing(actuallydeepboringandverysafe!).Shealsothoughtitwasterriblethat it crosses tribal lands without permissionyetdidn’tbelievemewhenItoldheritdoesn’tcrossanytriballand,rather,isalmostentirelyonprivate property (see https://daplpipelinefacts.com/). She didn’t believe me because heremotional opposition was based upon herfundamental hatred for fossil fuels. She didn’tknowthatthereareatleastsevenotherexistingsafe pipelines in the immediate vicinity thatunderlieLakeOaheandtheyarenotboredasdeeplyasthe95’–115’deep,technologicallyadvanced,andsafeDAPL. Andshe never once repudiatedthe violence, vandalism, andenvironmental damage that theprotesters caused to privateproperty, further evidencing hermisdirectedloyaltyandpassion.

She said theremust be anotherway to move oil around thecountry other than oil pipelines.I told her she was absolutelycorrect. We can ship it byrail across the country which

includes going through small towns, and wecan truck it which also means through townsandonhighwaysalongsideothermotoristsandinsomecasesdangerousdrivingconditions…bothofwhicharedoneroutinelyandbothalsorelyon fossil fuels tomovefossil fuels.Butnoquestionthatpipelinesarethesafestandmostenvironmentallyfriendly.

Surprise…shedidn’tlikeanyofthoseoptions.When Iaskedwhyshesovigorouslysupportsour industry, she got huffy and offered theanticipatedrebuttalthatshe“doesnotsupportfossil fuels”, then I pointed out her hypocrisy.I explained thatwithout the oil thatmoves viapipeline, truck, or rail, shewouldn’t be drivinghercar,mowingherlawn,flyingtovisitfriends,building solar panels or windmills, or doinganythingremotelydependentuponoil…whichisjustabouteverything(anddon’tgetmestartedon natural gas). I insisted that she share her“betterway”thansafepipelines,andwhensheadmittedthatshecouldn’t,youcouldjusthearhervoicebitterlytrailingoffbeforechangingthesubject. She ended the conversation abruptly,andIsuspectwewillneverspeakagain.Ohwell.

Okay… politics. Please know that I am notenamored with every single thing aboutPresident Trump and I certainly recognize hisshortcomings. I fully understand how somepeoplecanbe turnedoffbyhim,buthe ismypresident,Ivotedforhim,andIenthusiasticallysupport him. I amworried about the country’sself-inflicted divisions, yet I am optimistic forourcountrybecauseofTrump’sstrengths.Ina

• Railonthepresidentforsimply insistingthatwhitehousestaff,bothmenandwomen,dressprofessionally,

• Make death threats to Joy Villa, a singerwho peacefully showed her support for thepresident by wearing a dress that reads“MakeAmericaGreatAgain”and“Trump”,yetengage in violent anddisruptiveprotests, allwhilepretendingtobeacceptingandtolerant,

• Hire paid protesters across the countryusing Craigslist and social media http://thefreethoughtproject.com/soros-funding-hiring-anti-trump-protesters/

• Just like the anti-fracers in NY, hold civildisobediencetrainingcampstoteachprotestmethods(search“civildisobediencetraining”andseewhatcomesup),

• Condemnthepresidentfordoingexactlywhathe campaigned on, and not give him creditevenwhendue,

•Call Melania Trump illiterate and mock herEnglish when she is very well educatedand speaks five languages, and unfairlymock Barron Trump yet tout themselves ascompassionate,acceptingandtolerant,

• Protest and incite violence against otherswhoseopinionstheydon’t like(andinnocentbystanders),andwanttosilenceothers,andthendefend their actions by citing their firstamendmentright,

• Distort, and/or conveniently omit, key wordsand factssurroundingmost thingsPresidentTrumpsays,effectivelychangingthemessage,

• Blame President Trump for security costswhen he speaks, instead of blaming the

groups who orchestrate the protests andcausetheresultingcosttothetaxpayers,

• Chastise President Trump for being sexuallyvulgar in a private conversation, yet openlyendorse and praise Hollywood’s trashiestpeople, images, profane language, andsexuallyexplicitmoviesandbehavioronandoffthestageandscreen,

• Refusetoacknowledgethatourcountrywasdivided long before the presidential change,and recognize that the protests themselvesare severing thiscountrymore thananyoneperson,

• In a wave of continued delusion, promotea fake website where Hillary is presidentso they can continue denying reality http://dailycaller.com/2017/02/20/fake-news-site-gives-liberals-alternate-reality-where-hillary-is-president/andhttp://www.hillarybeattrump.org/

It is hard to understand how people connectcertain dots in such abstract, self-servingways. Like unruly and disruptive protestersat town hall meetings who do not allow thepresenter, or supporters, to speak, causingsomepoliticians(mainlyrepublican)toabandonin-personmeetingsinfavorofonlineforumsandwebinarswhereparticipantsandfeedbackcanbecontrolled.Then,theyridiculethatpoliticianfornotshowingupatfuturesuchmeetings.Talkabout self-fulfilling actions that guarantee anendresultthatmakestheprotestersfeelgood,butlookridiculousintheeyesofanysaneandrationalthinkingperson.

Forme, the real valueof thesedivisiveeventsand personal discussions is that they havepromptedmetothinkaboutwhatgroundrulesIneedbeforeIwillagreetotalkwithanyoneaboutmyindustryoraboutpolitics…twoofthemostpolarizingsubjectstoday.Idon’tmeanspeakingata function. Imean thatkitchenconversationwithyourmother-inlaw,ortalkingwithyouroldfriendwhojustmovedbackhomefromOregon,or thatstrangeryoumeetataparty. Iamnotsuggestingthatyouwillwanttoincorporatemyrubricbeforeengaginganyone,butithashelpedme avoid some frustration. So, here goes…Brad’sprerequisitesforpoliticaldiscussion(aka“RulesofEngagement”).

1. Do you believe in tolerance and acceptance of all people and respect their right to have opinions including those that differ from yours, and can you engage in respectful dialogue that offers differing opinions?

This question establishes a baseline and forces theperson to be honest about their level of tolerancebefore going any further… otherwise their hypocrisywillbeexposedshortly.Ithelpstoestablishtruecolorsandyoucanusuallytelliftheyaresincerebytheirfacialexpression.They’llsayYes,butseeiftheyadheretoitlater in theconversationwhereyoucan remind themofthisanswerwhentheybecomeloudandobnoxiousduringyourdiscussion.

2. Do you acknowledge that roughly half of the country “does not” feel the same way as the other half? Put another way, sayings like “This isn’t who we are” and “This isn’t my America” cannot uniformly and unilaterally apply, because this mantra assumes that your ideology applies to all Americans across the nation – and it does not.

Thisquestionbuildsoffquestionnumberonewherethepersonmustnoweithercomecleanorbehypocriticallaterinthediscussionwhentheyinsisteveryoneshouldthinklikethem.

3. Do you condone the use of violence/criminal behavior by any protesters regardless of the cause or position taken?

Their degree of conviction usually becomes evidentwhentheyanswerthisone.

4. Do you agree/accept that a social and political bias exists in the mainstream media today?

This is very telling and you know where theconversation is headed if they say no. If they don’tatleastacknowledgethisfact,I’llshareoverwhelmingproof,butiftheydon’tacceptit,it’susuallytheendoftheconversationforme.

5. “Hypothetically”, would you defend the notion that Americans should have the right to infiltrate and reside in a foreign country; say Thailand, illegally and without proper documentation, and take advantage of their country’s socio-political system?

This question can help to flush out whether or notthepersonhas agreater respect for other countriesthantheUSAand,byinference,alackofpatriotismorevendisdainforourcountry.Ihavefamilyandfriends

Theveryidealsandvaluesthattheextremeliberalleftholdshighforthemselves,erodewiththeiractions.Thatsideoftheaislepreaches tolerance, acceptance, and pacifismwhile elevatingthemselvesabovetheconservativerightinmanyways,yettheyareoftenthemostintolerant,outspoken,anddestructivefactionofoursociety.Wesawitfirst-handwiththeanti-fracershereinNewYork,andnowweseetheexactsamebehavioracrossthecountryoverpipelinesandpoliticaldifferences.

Wemust becomemore vocal about the benefits our industrybringstosociety,bemorepassionateinsharingoursideofthestory, and we must stand up for the morals, common sensevalues, and policies held by roughly half of the people in thiscountry.AndIdomeaninaprofessionalandpeacefulmanneraswehavealwaysdone.

Fromthere,350MMcf/doftheproject’scapacitywouldreachtheUS-Canadaborder,flowing intoTransCanada’ssystemviatheChippewa interconnectonEmpirePipeline.The remainingroughly 150 MMcf/d would reach Tennessee Gas Pipeline’ssysteminErieCounty,NewYork.

Inthisregion,flowsonTennessee’s200Line,whichtieinwiththenewNationalFuel infrastructure,generallyserveNewEnglandandNewYorkCitydemand,eitherviaon-systemdeliveriesorbywayofIroquoisGasTransmission’ssystem.

NationalFuel’ssystemhasbecomeamajorpointofexportoverthepastseveralyears,spurredbypreviousexpansionprojectssuchastheoriginalNorthernAccessexpansion,aprojectdistinctfromthesimilarlynamedtotheNorthernAccess2016project.

Reversalofflows,haveoccurred.Asrecentlyas2009,NationalFuel received an average180MMcf/dof importedgas fromTransCanada,andEmpirePipeline.Empireseparatelybroughtinanaverage230MMcf/d.WiththecommissioningofNorthernAccess capacity in late 2012, flows quickly reversed, andNationalFueldeliveredanaverage250MMcf/dtoTransCanadainthe12monthsfollowingthatproject’sin-servicedate.

OnFebruary2nd,FERCapprovedtheAtlanticSunriseexpansionproject, a proposed 198-mile pipeline running through 10Eastern Pennsylvania counties to connect Marcellus Shalenaturalgas fromPA toWilliams’Transcopipeline insouthernLancasterCounty.Constructionisexpectedtobeginin3Q17withcompletioninmid-’18adding1.7bcf/dtoTranscodeliverycapacity of NEMarcellus gas toMid-Atlantic and Southeastmarkets. Courts Rule for Oil and Gas Developersin Contamination Claim SuitsBy: Hodgson Russ LLP

Oneunsurprisingresultofthewellpublishedoppositiontotheuse of fossil fuels, and especially to “fracking” (asmisspelledbythepressandantis),hasbeenincreasedattentionontheoilandgas industry fromplaintiffs’ lawfirms. Theirattentionhasnotbeenlimitedtounconventionaloilandgasactivities,asfourrecently concluded, unsuccessful suits involving conventionalwellsdemonstrate. Inseparatecases,suitsclaimingpropertydamageandpersonalinjuryfromnearbygaswellswererejectedatthesummaryjudgmentstage,avoidingcostlytrials.WhenaCourtgrantsamotionseekingsummaryjudgment,theCourtisdeterminingtheoutcomeofacasebasedonavailableevidenceand applicable law, and concluding there are no remainingissuesforwhichatrialisneeded.

In the first lawsuit, the plaintiffs claimed that U.S. EnergyDevelopment Corporation and Universal Well Services, Inc.,by theirdrillingactivities,causedbariumtoenter theplaintiffs’waterwell,resultinginadversemedicalconditions.Bariumisanaturallyoccurringalkalineearthmetal.Itcanbefoundinmanyproductsandisusedasacomponentindrillingmuds.JessicaCopelandofHodgsonRussLLPonbehalfofU.S.EnergyandGoldbergSegallaLLPonbehalfofUniversalobtainedsummaryjudgement dismissing all of plaintiffs’ claims. Their summaryjudgmentmotionreliedontheaffidavitofU.S.Energy’sexpert,whoconcluded that thebariumpresent in theplaintiffs’wateroccurrednaturally.Beforereachingthisconclusion,theexpertstudiedtheplaintiffs’claim,testedtheirwater,andstudiedthegeology of the area, including the aquifer to which thewaterwell that feeds the plaintiffs’ home is drilled. The plaintiffsalsosubmittedanexpert report,butwithoutanaccompanyingaffidavitbytheallegedexpert.TheCourtheldthattheplaintiffsfailedtoadduceevidencesufficienttoraiseanytriableissueoffact.Thecourtemphasizedthattheplaintiffs’expertreporthadnoprobativeforce,sinceitwasspeculativeandunsupportedbyanyevidentiaryfoundation.

In thesecondcaseMs.CopelandsuccessfullydefendedU.S.Energy in an action for trespass, negligence, and nuisance.Here, theplaintiffs alleged thatU.S.Energy’s drilling activities

onadjacentlandcausedironbacteriatoenterintotheplaintiffs’waterwell,resultingindamagetotheirhomeandpersonalinjury.Plaintiffs claimed that U.S. Energy was liable for the allegedcontamination of the plaintiffs’ well, arguing that their waterhadalwaysbeengoodandcleanuntilU.S.Energycommenceddrillingactivities. However, the report ofU.S.Energy’s expertshowed that ironbacteriacontaminationoccurrednaturally, atleastasearlyasthe1990s,duringperiodsofdrought.TheCourtheld that U.S. Energy, through its expert and the supportinglegal arguments, established a prima facie case, requiringdismissal,which the plaintiffs failed to rebut. TheCourt heldthattheplaintiffscouldnotsupportatrespassclaimbasedoncontaminated groundwater, as amatter of law, since groundwateristhepropertyofthestateratherthanaprivateindividual.On the plaintiffs’ negligence and nuisance claims, the courtheld that theplaintiffs’ speculativeassertionswere insufficienttoestablishacausallinkbetweenU.S.Energy’sdrillingandtheallegedcontamination.

ThethirdandfourthlawsuitswererelatedcasesagainstArdentResources, Inc.and the landowneronwhosepropertyArdentconducted drilling operations. The suits involved plaintiffs’claimsthatconstructionofawellsiteandaccessroadcausedplaintiffs’propertytobeinundatedwithfloodwater,debris,andcontaminants.

OnbehalfofArdent,CharlesMalcombofHodgsonRussLLPsuccessfully argued that the plaintiffs proffered no admissibleevidence from which a reasonable jury could infer that thedefendants caused the alleged flooding on their property.The evidence that the plaintiffs tendered included depositiontestimonybyoneoftheplaintiffs,whereinheopinedthattherehadbeenanincreaseinwaterontheplaintiffs’landwhichwascaused by the construction of the wellsite and access roadandrelatedactivities.TheplaintiffsalsosubmittedaletterfromtheDistrictManager of theWyomingCounty Soil andWaterConservationDistrict(“WCSWCD”),whichsuggestedmeasures

that Ardent could implement to addressplaintiffs’ drainage concerns. Ardentprovided an expert’s report showing thatthewetconditionsonplaintiffs’propertiesexistedpriortoanyactivitiesbyArdentandthatthemeasuresimplementedbyArdent,whichweredifferentthanthosesuggestedbytheWCSWCD,actuallydiminishedtheflowofwater toplaintiffs’ lands. Further,Mr. Malcomb provided excerpts from theplaintiffs’ deposition testimony showingthat they had not suffered any damages.The Court ruled that the allegations inthe plaintiffs’ deposition testimony andthe recommendation by the WCSWCDmanager lacked probative value in thatthey were speculative and not basedon scientific analysis of empirical data.However, the expert report submitted byArdentwasbasedonanalysisanddata,andrequired an expert response. The Courtheldthattheplaintiffs’failuretocountertheexpert findings of the defendants’ expert,by submitting a contrasting opinion froma comparable expert,warranted summary

judgment on behalf of Ardent and thelandowner.

Thesecasesdemonstratethatnegligence,nuisance, and trespass claims againstoil and gas companies require experttestimonyandshowthatrealsciencecantriumph over conjecture and unfoundedallegations. Appropriate experts wereidentified, and facts and depositiontestimony were used to demonstratethat no triable issue of fact existed andthat judgment for the defendants waswarrantedasamatteroflaw,withoutatrial.Properuseofexpertwitnesseswascriticaltodefendingtheselawsuitssuccessfully,inacost-effectivemanner.

Environmental due diligence oftencomes with the image of increasedoperational costs and reduced profit foreachindividualoilorgaswell.However,within the frameworkofawrittenplan,aserious evaluation of your risk toleranceand your past experiences in theBasin,environmental due diligence prior todrilling a well can save you money incertainsituations,orat leastprovide the

opportunitytoenhanceyourdrilling,constructionandcementingoperations.

Whether one can savemoney over time by adding a layer ofenvironmental effronteries is not a simple yes or no answer;however, going through the thought exercise to arrive at youranswer is free, and you might be surprised at what level ofimportanceyouassigntotheexercisegoingforward.Itmaybeeasytoanswerthisquestionwithinthecontextofrequirementsput forth in the Generic Environmental Impact Statement(“GEIS”)asthereisnoneedtoconsiderrequirementsofhighvolume hydraulic fracturing in New York State at this point;however,adherencetoregulatoryrequirementsdoesnotexemptyoufromcivillitigation.ConsidertherecentjuryawardagainstanaturalgaswelloperatorinSusquehannaCounty,Pennsylvania.The issueofgroundwaterperturbancewas resolved longagobut the jury awarded the plaintiffs over$4million as they felt

theplaintiffswere “inconvenienced”by theprocess.CanyourverticaloperationsinNewYorkStatetakea$4millionhitnowthat precedent has been set? Especially within the currentpolitical climate in New York State regarding this industry?Someoilandgaswell liability insuranceunderwritersareevengoingsofarastorequireadditionalenvironmentalpracticesasaconditionofreceivingtheinsurancecoverage.

Much of the due diligence process can be accomplished viadesktop researchandmappingexercises.Factors toconsiderpriortodrillingawellarelistedbelow.Thefactorslistedbelowarenotintendedtobeanall-inclusivelist,norisitbeingsuggestedthat all factors listed be included in a due diligence exercise.Thisissimplyathoughtexercisethatcanbealteredbasedonthespecificoperationsofyourcompany.

Water supply sources:ThoughtheGEISdoesnotrequirepre-drillsamplingofnearbywatersupplywells,itisagoodideatoatleastidentifyandlocatenearbywatersupplywells(within500feetoftheproposedoilorgaswelllocation?1000feet?).Whataboutwatersourcedfromsprings?Apetpeeveofmineiswellpadconstructionthatoccurswithintherechargeareaofspringsutilizedforresidentialapplications.Thisoccursmoreoftenthanyouthink.

Potential sensitive environmental receptors: Are there anypotentialsensitiveecologicorenvironmentalreceptorsproximal

toyourproposedoilorgaswell?Haveyouconsideredpotential drilling impacts to wetlands or high qualitystreams (read: native trout streams)? Will a heavyrainfalleventtransportsedimentfromyourwellpadtoapotentiallysensitivereceptor?

Potential preferential pathways: Can you identifypotentialpreferentialpathwaysthatasurfacereleasemayutilizeor thatmayenhancesubsurfacemigration?Thiscouldbeassimpleasidentifyingsurfacewaterbodies,depressionsandswales,andcanbeassophisticatedasperformingafracturetraceanalysisoftheareaaroundyourproposedoilorgaswell.

Known groundwater chemistry: Are there significantconcentrationsof naturally-occurringmethane in near-surfacegroundwater? Is thegroundwaterchemistry ina reduced or oxidized state? Are there elements andcompounds that are above drinking water standardsnaturally?

Basic surficial bedrock structure and hydrogeology: Whatisthedepthtogroundwater?Aresurficialaquifers

Drainage divides:Sinceshallowgroundwaterflowdirectionsroughly mimic surface water flow directions, are there anydrainagedivideslocatedbetweentheproposedoil/gaswellandexistingwatersupplywells?

Thespatialrelationshipsbetweeneachfactorthatyouconsiderandyouroil/gaswell(s)canbeshownwithamaporaseriesof maps and cross-sections. Once those relationships aredetermined,youcanrankeachcriteriaandcomeupwithariskfactor. The final risk factor might suggest that the proposedlocationoftheoil/gaswellcomeswithlittlerisk.Ontheotherhand, your due diligence may suggest that you move yourproposed oil/gas well to achieve preferred topographic ordrainagerelationships;enhanceyourerosionandsedimentationcontrolsmeasures;drillonmudinsteadofair;setthefirststringofcasingdeeperthanoriginallyproposed;oranyothermitigativemeasuresthatmaybenecessary.Makingthesechangesintheconceptual phase is must less expensive than mitigating animpactafteritoccurs.

Thedevelopmentofoilandnaturalgasisnotmutuallyexclusivefromenvironmentalstewardship.Environmentalstewardshipcanbelikenedtoyourcorporatesafetyplan.Becomingawareofapotentialsafetyhazardputsyouinthedriver’sseatforavoidingsafety pitfalls. Becoming aware of potential environmentalhazardsallowsyoutobettermitigatethosehazardsbeforeyouevenstartdrilling.
