Scope of works

The scope of works is the drilling of 16 deep tube wells (DTW). in camp 13 ( 4 approx.) and camp 18 (12 approx.), Ukhia, Cox’s Bazar.

The work consists of drilling 16 boreholes (8 wells in two lots) to the required depth for finding water of sufficient quantity and quality, the installation of a Tara hand pump and the construction of a platform and drainage as detailed in the BoQ.

The work includes drilling boreholes, delivery and installation of casings and screens; development of the boreholes and test pumping as specified hereinafter and as directed by the Supervisor.

Drilling sites

The Contractor shall drill the boreholes at the exact locations designated by the Client or the Supervisor. Tracks required for access of drilling plant, gear, camp and accessories to the borehole site shall be made by the Contractor, and should as little as necessarily interfere with existing structures. Any modification necessary for the work done on the drilling site, e.g; dug ponds or trenches, must be backfilled and rehabilitated after the completion of the works.

Environmental protection of the site

Care must be taken in the handling and storage of all drilling fluids, oils, greases and fuel on site, to avoid any environmental degradation. The Contractor shall dispose of any toxic materials, drilling fluids and other additives, cuttings and discharged water in a manner approved by the Supervisor so as not to create damage to public and private property.

Professional standards

The Contractor is expected to carry out all works as instructed by the Supervisor in a thorough and workman-like manner and conducted in accordance with professional standards. The Contractor shall carry out operations with due efficiency in accordance with the terms of the contract and to the satisfaction of the Supervisor. For this purpose, the Contractor shall use suitable equipment, and supply efficient and experienced staff.

The Contractor shall appoint a coordinator with an excellent command of English (spoken, read and written). This person shall be fully in charge of all of the drilling works and related activities, and will be on site during all of the drilling works and related activities (casing installation, pumping test, etc.).

Equipment and materials

All necessary machinery, equipment and materials to carry out the drilling, test pumping, headwork construction, etc as specified in the Bill of Quantities (BoQ) are to be mobilised for the Works by the Contractor. This specifically includes water and electricity needs which must not be requested from nearby households without informing the Supervisor.

Supervision of the works

The execution of the Works is to be supervised by the Contractor’s site coordinator in close coordination with the Clients appointed Supervisor (Engineer in Charge).

Borehole depth and diameter

The Contractor shall drill to the total appropriate depth depending on the geological formations and to a diameter of 8 inch that shall allow nominal diameter casing of 3 inches to a depth of 140 feet and a diameter of 5 inches that shall allow nominal diameter casing of 1.5 inches between 141-800 feet maximum. All casing will be threaded, and will be screwed together. The minimum depth of the borehole shall be 650 feet and the estimated maximum depth shall be 800 feet as of good/desire aquifer. If the Supervisor finds it necessary to decrease or increase the depth of the borehole the Contractor shall do so after having sought confirmation with the Client’s Engineer in Charge. Payment will be based on actual depth of the borehole according to the BoQ per foot (as built).

Drilling method

The Contractor shall utilize machinery such as a drilling rig with rotary jetting only. The use of bentonite mud, lost circulation agents or any form of plugging material that may ultimately affect the production capacity of the water bearing strata intersected may be used in exceptional cases. If drilling mud is used, the Contractor will flush the borehole with Telbon or an equivalent product after completion of the borehole.

Any drilling fluid additives must be approved by the Supervisor, and must be of a low solid, non-toxic degradable type. Animal faecal (Such as; cowdong) matter must not be used under any circumstances.

The depth of the borehole is estimated to be between 650 and 800 feet and will be dependent on the depth where the aquifer is found with the sufficient layer of coarse sand, so that the yield will be enough for production of minimum 10 m3 of water per day.

The Client will not be held responsible for boreholes lost due to insufficient method. Payment will be done based on the depth of the successful borehole handed over to the Client that fulfils the specification according to the BoQ (as built).

In case no water of sufficient quantity or quality is found at the specified sites, the Contractor will prove the appropriate drilling method and machinery. If completed, the drilling costs (labour & materials) will be equally shared between the Client and the Contractor. The Contractor will make a maximum of 1 additional attempt per drilling site upon having sought confirmation with the Client’s Engineer in Charge.

Temporary casing

Installation and diameter of any temporary casing required for the successful construction of the boreholes will be at the discretion of the Contractor provided that the completed borehole meets the specifications and design required under this Contract and is approved by the Supervisor. The cost for supply, installation and removal of temporary casing shall be entirely for the Contractor. The Contractor cannot claim any casing left in the borehole that is not retrievable, from the Client.

Water and electricity supply for drilling

The Contractor shall make own arrangements for obtaining, storing, transporting and pumping of water, and electricity needs required for drilling purposes, for the machinery used for test pumping and flushing, and for use by the drilling crew at their campsite. No water and electricity shall be requested from nearby household without informing the Supervisor.

On-site pollution

The Contractor will take all necessary measures to prevent soil or surface water pollution of the drilling sites by means of hydraulic oil, motor oil, fuel, etc. Any accidentally polluted soil will be removed by the Contractor at his costs. Final payments will depend on rehabilitated drilling sites.

Verticality

All boreholes shall be vertical, shall be drilled and cased straight, and all casings/screens shall be set round, plumb and true to line. If required by the Supervisor, the Contractor will make a verticality test during and after drilling by approved methods and at his own expense to demonstrate that the departure from the vertical does not exceed 3 mm per 1 m between ground level and the bottom of the borehole. If this departure is exceeded, the Contractor shall make the necessary corrections to the approval of the Supervisor, without additional payment. If the error cannot be corrected, then drilling shall cease, and a new borehole shall be drilled at a position nearby, indicated by the Supervisor. The abandoned borehole shall be backfilled and/or capped by methods approved by the Supervisor. No payment will be made for the re-drilling, the sealing/backfilling of the abandoned borehole, or for moving to the new site. Any materials (i.e. casing, screens, gravel pack, cement, etc.) lost in the abandoned borehole will be to the Contractors cost.

Sanitary seal

On top of the sand pack a clay seal (preferably using clay pellets) of approximately 20 feet length shall be installed to prevent contaminants from above to enter the well and the screened section.

To provide an effective seal against the entry of contaminants, the upper 10 feet of the annular space between the casing and the borehole wall shall be grouted using a cement slurry of 1.85-2.15 kg cement/litre. Grout shall be injected into the annulus in a single operation so that a complete and continuous seal is achieved, by a method approved by the Supervisor. However, the top 1.2 feet of the annulus shall be left ungrouted but temporarily back-filled with inert drill cuttings.

Collection of soil samples

The Contractor shall take at least one sample every 10 feet of drilling and at every change in rock formation. The sampling technique will be indicated by the Supervisor, and is to be strictly followed by the Contractor. Each sample should weigh a minimum of 500 grams. All results shall be presented in the final documentation handed over to IFRC/BDRCS.

Completion, development and cleaning of boreholes

Prior to drilling the Contractor shall hand over to the Supervisor the full technical specifications of all materials used for the completion of the borehole. This includes the technical specifications of plain and screened casings, gravel pack, clay seal, etc. If these specifications are unsatisfactory to the Supervisor, the Contractor shall use other materials, to the satisfaction of the Supervisor. The Contractor shall execute the completion of the borehole exactly according to the design of the Supervisor.

The Contractor shall develop and clean the boreholes upon installation of casing, screens, and filter pack, in order to remove native silts, clays, loose rock particles and drilling fluid residues deposited on the borehole wall during the drilling process. If organic drilling fluids are used, they shall be broken down chemically according to manufacturer’s recommendations before or during development. Cleaning will be carried out by airlift, if necessary pumping, surging, backwashing or jetting may also

be used, to the approval of the Supervisor. Clay desegregation by means of Sodium Hexametaphosphate ("Calgon") treatment may, in some cases, also be called for by the Supervisor.

The minimum requirement is the "air-lift" method which will be applied by a compressor of sufficient capacity and discharge until the well provides clean and turbidity free water, to the opinion of the Supervisor. Before start of the operations, the Contractor shall hand over the technical specifications of the compressor to be used to the Supervisor for approval. If clean water is not produced after 6 hours, air-lift will be carried-out until the water becomes clear. Upon completion of development, any accumulation of material shall be removed from the bottom of the borehole by airlifting.

The Contractor will make arrangements so as to estimate the well yield during well development.

Water level observations

The Contractor shall facilitate appropriate electric contact water level gauges for measuring water levels in the boreholes. Water levels shall be measured during test pumping at pre-determined intervals, provided to the Contractor by the Supervisor, depending on the nature of the test. The frequency of measurement shall be specified in an agreed test pumping data form or as otherwise determined by the Supervisor. Well head arrangements shall permit these gauges to be inserted and passed freely. Any other method of measuring water levels will be subject to approval by the Supervisor.

Records and reporting

The Contractor shall keep daily activity records for each borehole. The records shall contain the information as specified below.

The Contractor shall prepare together with the Engineer in Charge an end of Contract report, which should address at the minimum the following issues;

(Original Drilling and test pumping logs bound separately from the report)

Final payment will be released upon completion of the final drilling report.

Capping of borehole

During borehole construction, installation, development and test pumping, the Contractor shall use all reasonable measures to prevent entry of foreign matter into the borehole. The Contractor shall be responsible for any objectionable materials that may fall into the borehole and any effect it may have on the water quality or quantity until completion of the Works and acceptance by the Supervisor.

Acceptance of boreholes

The borehole shall only be acceptable by the Supervisor upon satisfactory completion of all drilling operations, installation of casing and screens, development works, and test pumping.

Loss of equipment

Any equipment lost down a borehole must be removed by the Contractor or the borehole will be considered a lost bore. A replacement borehole will have to be constructed and test pumped at the Contractors expense. The Contractor shall be entitled to NO payment for such tools or equipment.

Lost bore

In the event of a lost bore, the Contractor shall construct a borehole at a site indicated by the Supervisor. The option of declaring any bore lost shall rest with the Contractor, subject to the approval of the Supervisor.

In case of a lost bore, the drilling attempt costs will be equally shared and the Contractor will be paid 50 % for the drilling. Boreholes that cannot be developed further due to mistakes from the Contractor

(e.g. dropped equipment or foreign materials) or inappropriate drilling techniques such as manual drilling cannot be considered as a lost bore and do not qualify for cost sharing. Only appropriate drilling attempts to the required depth with appropriate methods according to the required specifications which yield in insufficient water quality or quantity qualify.

A lost bore shall be treated as follows:

a. The Contractor may salvage as much casing and screen from the lost borehole as possible, and may use it if not damaged in a replacement borehole, with the approval of the Supervisor.

b. The lost bore shall be backfilled with native soil from the bottom upward and 2 of the last 3 meters shall be sealed by concrete, cement grout, or neat cement, which shall be placed by a method approved by the Supervisor that will avoid segregation or dilution of material.

c. The upper 1 meter of the lost bore shall be backfilled with native top soil. Sealing of such abandoned boreholes shall be done in such a manner as to avoid accidents or subsidence, and to prevent it from acting as a vertical conduit for transmitting contaminated surface or subsurface waters into the water bearing formations.

Clearing the site

On completion of each borehole the site shall be left clean and free from all debris, hydrocarbons and waste, and all pits and trenches filled to the satisfaction of the Supervisor. A site not delivered clean may render the borehole unacceptable and not eligible for payment.

The German Red Cross (GRC) is inviting quotations for the provision of 16 handpump installation. The tenderers are requested to read carefully and ensure compliance with all instructions herein. Non-compliance with instructions in this document may disqualify the bidders from the tender exercise.

1. Procurement Procedure a) The procurement is handled via an Open Procedure.

2. Deadline of submission and period of validity:

1) Deadline of submission is 10.11.2021, 04:00PM. Bangladesh time 2) Your quotation must state the period of validity until 31st May 2022 from the deadline for the

submission.

3. Costs and ownership of tenders 1) Costs incurred by the tenderers in preparing and submitting the quote requests are not

reimbursable. 2) The GRC retains ownership of all quotes received under this request for quotation.

Consequently, tenderers have no right to have their tenders returned to them.

4. Confidentiality and publication

1) All recipients of tender documents, whether they submit a tender or not, shall treat the details of the documents as confidential as possible.

2) According to German/European procurement law information about the award of contract (name of company, type of product, extent and duration of contract) might be made open to the public unless you disagree within your quotation, giving the reason of refusal.

5. Content of tenders and alternative offers

1) All tenders submitted must comply with the requirements in the tender dossier and comprise (if you are unable to submit any of the following documents will automatically lead to disqualification of the bid):

• The quotation about quoted items, including specifications as indicated in the BoQ. The quotation has to be dated, stamped and signed.

• VAT registration certificats of compay (if you have).

• The tenderers self-declaration “Certification - Declaration of Conformity” to be filled out, stamped, signed and submitted together with your quote.

• Annex “Federation General Terms & Conditions on Purchasing” to be stamped, signed and submitted together with your quote.

• Human Resources engagement plan shall clarify the engagement of workers from the

community (number of skilled workers, number of non-skilled works, number of construction

teams will work at a time).

• Proof of similar work experience in Ukhiya Mega camps and Teknaf area, Cox’s Bazar. • List of equipment (number of drilling rigs working simultaneously and etc)

• Proposed work plan for the 8 handpump installation

2) Alternative offers are not permitted.

3) Only the original BoQ shall be used for quotation in its original form as provided by GRC in the tender document.

8. Evaluation & Award of Contract

1) Procedure: The total quantity of works (installation of 16 handpump) will be awarded in two lots (installation of 8 handpump each. The decision for the award of contract will be determined via standard value method (Credit points divided by total price; ratio 50/50%). Credit points will be added up through the following criteria:

• Cost (50%),

• Proof of experience/credentials in equivalent works / for equivalent services,

• Equipment and Manpower

• Delivery time (materials mobilization & time of completion of delivery). Should correspond to the submitted human resources plan and work plan.

Score for each criterion is either 0 (unacceptable), 1 (bad), 2 (satisfactory), 3 (good), 4 (very good), 5 (excellent). In case of equal results, the offer with the higher credit point score will be awarded.

2) In case of competitive procedure GRC reserves the right to award a contract based on the first

non-negotiated offer. GRC will not enter into any negotiation.

3) The GRC may – but is not obliged to – ask each tenderer individually for clarification of its quote

including, specification of scope of works, breakdowns of prices etc. within a reasonable time

limit to be fixed by the evaluation committee. The submitted quotations will remain property of

the GRC. The tenderer has to bear possible additional costs for any incurring cost of tender.

4) Any changes in the schedule shall be notified by GRC prior to the mentioned dates in this

document.

5) Terms of contract - The award will lead to a purchase order by GRC and forms a one-time

service. A template is attached for information purposes only.

9) Terms of delivery and payment

1) The details and requirements listed in the technical specifications must be followed at all times.

2) The Contractor shall agree to engage community labour unless skilled workers are unavailable

at the site. Under the current COVID 19 situation the contractor will ensure compliance to all

health guideline- safety and security of the staff and workers engaged.

3) Contractor is expected to follow the construction safety recommendations provided by the

4) A site supervisor, present at the working place during the construction works, is mandatory

throughout the duration of the contract as the focal point for all field construction related issues.

5) A minimum of two drilling rigs working simultaneously at the same time is required to finish the

works in due time.

6) Milestones, as listed in the work plan, must be followed. Works must not continue after reaching

a milestone without the Order to Proceed issued by a GRC representative (e.g. platform

construction must not commence prior to satisfactory water quality tests). Milestones must be

conducted with and approved by BDRCS/GRC representatives (e.g. screen installation).

7) It is mandatory to clean the site after completing the construction work.

8) Non-compliant invoice / payment request will be requested for revision.

9) The invoice must contain GRC order number.

10) Charges have to be itemized separately as per referenced BoQ and actual work completed.

11) Payment on invoice only, following receipt of works and documents in order.

12) All invoice/ payment request shall be with duly verified completion certificate. The invoice must

reflect the actual scope of works (e.g. drilling depth) and will be verified and paid according to

the quoted price per meter/foot. All works will be measured upon completion and paid as

built.

13) GRC will deduct VAT & TDS as per governmental rule (if applicable).

14) Payment will be done by AC payee cheque in favour of your company.

15) The handpump installation work is to be delivered in Ukhiya Mega Camps 13 & 18, Cox’s Bazar. Based on the changing situation GRC may also change the location to another area.

10) Self-Declaration

The signee of the attached “Declaration of Conformity” (Ref. Annex) assures that

FEDERATION GENERAL TERMS & CONDITIONS ON PURCHASING

Federation General Terms and Conditions on Purchasing_V1.0 1

1. Acknowledgment: A duplicate of the Purchase Order or contract is

attached and marked “Copy for acknowledgment and acceptance of conditions of contract”. Please detach, sign and date this copy and return by registered mail to the Procurement Service, International

Federation of Red Cross and Red Crescent Societies, Box 372, 1211

Geneva 19, Switzerland.

2. Acceptance: No Purchase Order shall become effective and no

contract shall exist until the Federation has received from the Supplier

their written acceptance of the conditions which govern the Purchase

Order or Contract. This can be accomplished by return of the signed

Acknowledgment Copy.

3. Tax Exemption: The Supplier’s price shall reflect any tax exemption

to which the Federation is entitled by reason of any privileges or

immunities enjoyed by it. If it is subsequently determined that any

taxes which have been included in the price are not required to be paid,

the Federation shall deduct the amount from the contract price, and any

amounts already paid shall be refunded.

4. Discount: Time in connection with any discounts offered will be

computed from the date of receipt by the Federation of full

documentation as specified by the Purchase Order, Contract or Annex

thereto.

5. Warranty: The Supplier warrants the goods or services furnished

under this Purchase Order / Contract to be fit for their intended use and

free from defects in workmanship and materials, and indemnifies the

Federation against any claims resulting therefrom. This warranty is

without prejudice to any further guarantees that the Supplier provides to

its purchasers - such guarantees shall apply to the goods or services that

are the subject of this Purchase Order / Contract.

6. Inspection: The duly authorized representatives of the Federation

shall have the right to inspect the goods or services that are the subject

of this Purchase Order / Contract at the Supplier’s stores, during manufacture, in the ports or at places of shipment, and the Supplier

shall cooperate and provide all facilities for such inspection. The

Federation may issue a written waiver of inspection at its discretion.

Any inspection carried out by representatives of the Federation or any

waiver thereof shall not prejudice the implementation of any other

relevant provisions of this Purchase Order / Contract concerning

obligations of the Supplier, such as warranty or conformance of goods

or services to specifications.

7. Packing: The Supplier shall pack all goods with new sound materials

and with every care in accordance with normal commercial standards of

export packing for the type of goods specified herein. Packing

materials must be adequate to safeguard the goods while in transit. The

Supplier shall be responsible for any damage or loss which can be

shown to have resulted from faulty or inadequate packing.

8. Export License: The Purchase Order / Contract is subject to the

obtaining of any export license or other governmental authorization

which may be required. It shall be the responsibility of the Supplier to

inform the Federation beforehand of such restrictions and obtain such

license or authorization, but the Federation will use its best endeavors to

assist. In the event of refusal thereof, the Purchase Order / Contract will

be annulled and all claims between the parties automatically waived.

9. Force Majeure: Force majeure, as used herein, shall mean acts of

God, laws or regulations, industrial disturbances, acts of the public

enemy, civil disturbances, explosions and any other similar cause of

equivalent force not caused by, nor within the control of either party,

and which neither party is able to overcome. As soon as possible after

the occurrence of any force majeure event and within not more than 15

days, either party thereby rendered unable, wholly or in part, to perform

its obligations under the Purchase Order / Contract, shall give notice

and full particulars in writing to the other party. The party receiving

such notice shall then have the right to terminate the Purchase Order /

Contract by giving seven days written notice of termination. On

termination of the Purchase Order / Contract, the Supplier shall return

any deposit or advance payment by the Federation.

10. Default: In case of default by the Supplier, including but not

limited to failure or refusal to make deliveries within the time limit

specified, the Federation terminate the Purchase Order / Contract by

written notice with immediate effect and may procure the goods or

services from other sources and hold the Supplier responsible for any

excess costs occasioned thereby. The Supplier shall have no right to

receive payment for deliveries dispatched following receipt of such

notice.

11. Conformity with Specifications: In the case of goods or services

purchased on the basis of specifications, the Supplier warrants their

conformity. The Federation shall have the right to reject and refuse

payment for all non-conforming goods or services. In case of non-

conformity the Supplier may propose a suitable alternative for the

Federation’s consideration.

12. Ethical Conditions: The Supplier shall not be on bankruptcy, wound

up or have affairs administered by the Court, neither have entered into

an arrangement with credits, nor have suspended business activities, or

be subject to proceedings concerning those matters or be in any

analogous situation arising from a similar procedure provided for in

national legislation or regulations.

The Supplier shall neither be guilty of grave professional misconduct

nor be convicted of the same.

The Supplier shall not be subject to a judgment that has force of Res

Judicata for fraud, corruption, involvement in a criminal organization or

any other illegal activity.

The Supplier shall have fulfilled obligations relating to the payment of

social security contributions and taxes in accordance with the legal

provisions of the country in which he is established or the country

where the contract is performed.

The Supplier guarantees that he is respecting fundamental rights and is

in no way complicit in human rights abuses. He is not exploiting child

labour and forced labour and respects the basic social rights and

working conditions in the countries involved.

13. Disputes-Arbitration: Any dispute, claim, or controversy arising out

of or in relation to this Purchase Order / Contract, or the validity,

breach, or termination thereof, shall be referred to arbitration under the

United Nations Commission on International Trade Law Arbitration

Rules, subject to such modification as the parties may agree in writing.

The arbitration shall be conducted in the English language and shall be

governed by the substantive law of Switzerland. The arbitral tribunal

shall have no authority to award punitive damages. The parties agree to

be bound by any arbitration award rendered in accordance with this

paragraph as final adjudication of any such dispute, claim or

controversy.

14. Privileges and Immunities: Nothing in or relating to this Purchase

Order / Contract shall constitute or be deemed a waiver, express or

implied, of any privilege or immunity enjoyed by the Federation,

whether pursuant to existing conventions, treaties, or agreements, such

as the agreement of 29 November 1996 between the Federation and the

Swiss Federal Council regarding the legal status of the Federation in

Switzerland, or any other convention, treaty, or agreement which may

come into force. 15. Assignment. The Supplier shall not assign, transfer, pledge or make

other disposition of this Purchase Order / Contract or of any of the

Supplier’s rights, claims or obligations hereunder except with the prior

written consent of the Federation.

16. Bankruptcy: Should the Supplier file any petition for bankruptcy or

make a general assignment for the benefit of its creditors, or should a

receiver be appointed on account of the Supplier’s insolvency, the Federation may terminate this Purchase Order / Contract by written

notice with immediate effect.

17. Advertising: Unless authorized in advance in writing by the

Federation, the Supplier shall not advertise or otherwise make public

the fact that it is a Supplier to the Federation and / or any National Red

Cross or Red Crescent Society, or use the name, emblem or official seal

of any of them or any abbreviation or derivation thereof whether for

advertising or any other purposes.

18. Officials Not to Benefit: The Supplier represents and warrants that

no official of the International Federation of Red Cross and Red

Crescent Societies has been, or shall be, admitted by the Supplier to any

direct or indirect benefit arising from this Purchase Order / Contract or

the award thereof. The Supplier agrees that breach of this provision is a

breach of an essential term of this Purchase Order / Contract.

19. Amendments: No changes or modifications to this Purchase Order /

Contract shall be valid unless set forth in writing signed by both parties.

20. Notice: Service of any notice shall be deemed to be good if sent by

registered mail, telex, fax or cable to the addresses of both parties, set

out in the heading of this Purchase Order / Contract.

21. Governing Law: This Purchase Order / Contract is considered to

be concluded in Geneva, Switzerland and shall be governed by Swiss

law.

services must meet the specifications mentioned in Clause 1 and should be fit for humanconsumption and intended use.

4. Delivery period: The works must be completed according Clause 2.

5. Documents: Supplier should provide (a) two copies of original commercial invoice, (b) three copiesof packing list, (c) three copies of receipted delivery challan. One set of documents mentioned under(b) and (c) have to accompany the consignment, one set for the buyer and one set for the consigneeat least 1 day before the delivery of goods. Consignee will provide Goods Receipt Note (GRN).

6. Monitoring/Inspection: The supplies must meet the required specifications mentioned in Clause 1and in the tender notice. Visual checking/inspection of quality & quantity will be carried out byIFRC/GRC and BDRCS staff. Supplies not found in accordance with the specifications will not beaccepted and has to be replaced by the supplier at their own cost. The supplier will be responsiblefor any damage or loss before final handing over of the supplies to the consignee. After the supplyis completed, a GRN will be issued by the consignee, which will be necessary for release ofpayment.

7. Title of Goods: Legal title and hence responsibility for the supplies will not pass to IFRC/GRC untilthe supplies are delivered and accepted after satisfactory inspection report from the IFRC andBDRCS team.

8. Invoice: Two Copies to be sent to IFRC/GRC quoting this purchase contract number. No claimsagainst our payment will be accepted after one month from the date of the payment.

9. Payments: GRC will retain 10% of the total costs for a defect liability period totaling 3 months asa warranty deposit. The contractor is expected to rectify possible defects during this period withoutany cost implication for GRC. GRC will release the sum after the defect liability period has expiredwithout malfunctions of the completed works. Payments will be made by IFRC/GRC in account payeecheque after satisfactory delivery of the supplies and requested documents in good order as peragreed schedule and also after receiving the inspection report regarding the quality assurance. Nopayment guarantee to the bank or the financier will be provided by IFRC.

10. Income Tax: While making the payment the Advance Income Tax (AIT) will be deducted from theinvoice as per the TDS Regulations of the Government of Bangladesh (Tax deduction on source).

11. Terms & Conditions: The terms of RFQ and the IFRC/GRC general Terms and Conditions of Purchaseform part of this contract.

12. Conflict of Interest: Subsequent to the signing of this contract should any supplier be discovered tohave any connection whatsoever to the IFRC/GRC this contract shall immediately become null andvoid. All costs in relation to cancellation of the contract shall be borne by the supplier and inaddition, the supplier shall forfeit his/her earnest money and security money.

13. Force Majeure: Should any extraordinary and unforeseen circumstances arise, such as fire, riot, civilcommotion, epidemic, plague, flood, accident, shutdown (hartal) and/or war preventing eithercontracting party from fully or partially carrying out its obligations under the contract, the party soprevented shall inform the other party in immediately per phone call and for longer durationwriting of the causes of such failure within three days from the beginning thereof and shall not beliable for performance of the contract wholly or partially to the extent of non-performance, as thecase may be. The independent authorities concerned shall authenticate prevalence of suchcircumstances.

14. Penalty Clause: Finishing the works and services after the agreed delivery schedule will be subjectto deduction of damages from the invoice @ 0.5% per day up to maximum 5% of the total ordervalue for a maximum period of 10 days. If the supplier failed to deliver the works and services after10 days of the delayed delivery period, the contract will be void and null, and the PerformanceGuaranty will be forfeited besides other action for non-performance of the contract.

15. Disputes: All differences concerning the interpretation of the present contract shall be solved andsettled in a friendly way through mutual understanding. Should the issue not be resolved within 90days, the IFRC/GRC dispute provision in Article 12 of the Federation’s Terms and General Conditionson Purchasing shall apply.

16. Effective Date: This purchase order comes into force on date of signature by both parties of thisagreement.

17. Buyers terms: Except where expressly varied in this contract, buyer’s terms and conditions apply.
