4-‐ PT ANGKASA PURA I (PERSERO), its employees and advisers make no representation or warranty, and shall have no liability to any person including any Applicant under any law, statute, rules or regulations or tort, principles of restitution or unjust enrichment or otherwise for any loss, damages, cost or expense which may arise from or be incurred or suffered on account of anything contained in this RFQ or otherwise, including the accuracy, adequacy, correctness, reliability or completeness of the RFQ and any assessment, assumption, statement or information contained therein or deemed to form part of this RFQ or arising in any way in this award process.

5-‐ This RFQ, along with its Annexures, is not transferable. It may not be copied or distributed by the recipient to third parties (other than in confidence to the recipient’s professional advisors). In the event that, the recipient does not continue with its involvement in the work in accordance with this RFQ, this RFQ document must be kept confidential.
6-‐ PT ANGKASA PURA I (PERSERO) also accepts no liability of any nature, whether resulting from negligence or otherwise, however caused, arising from reliance of any Prospective Bidder upon the statements contained in this RFQ. It is the responsibility of the Applicants to make their own assessment regarding the extent of business opportunity in preparing their Request.
7-‐ PT ANGKASA PURA I (PERSERO) may, in its absolute discretion, but, without being under any obligation to do so, update, amend or supplement the information, assessment or assumption contained in this RFQ.
8-‐ The Applicant shall bear all its costs associated with or relating to the preparation and submission of its Request including, but not limited to preparation, copying, postage, delivery fees, expenses associated with any demonstration or presentation, which may be required by PT ANGKASA PURA I (PERSERO) or any other cost incurred in connection with or relating to its Request. All such costs and expenses will remain with the Applicant, and PT ANGKASA PURA I (PERSERO) shall not be liable in any manner whatsoever, for the same, or, for any other cost, or, other expense, incurred by any Applicant, in preparation or submission of the Request, regardless of the conduct or outcome of the selection process.
9-‐ PT ANGKASA PURA I (PERSERO) reserves the right to accept or reject any or all Requests; qualify or disqualify any or all Applicant without giving any reason, and is not obliged to correspond with any Applicant in this regard. Further, PT ANGKASA PURA I (PERSERO) reserves the right to relax, change, review, revise or/and cancel the eligibility criteria and the RFQ process, at any time, without prior notice or without assigning any reason whatsoever. This invitation for RFQ does not give rise to any right in rem, and is not an offer or invitation to offer.
10-‐ PT ANGKASA PURA I (PERSERO) will not entertain any claim for expenses in relation to the preparation of any Request pursuant hereto.
11-‐ PT ANGKASA PURA I (PERSERO) at its absolute discretion, reserves the right, until the closure of the RFQ submission, to modify any proposed terms and conditions set-‐out in the RFQ as necessary, including but not limited to cancelling/withdrawing the RFQ, to meet its objectives and principles as set-‐out below in this section.

Angkasa Pura I (Persero) manages a total of 13 airports spread across the central, all the way up to the eastern part of Indonesia, from Ahmad Yani Airport in Semarang, up to Frans Kaisiepo Airport in Biak located in the far eastern tip of Indonesia.

Airport Master Plan
Tuban Airport Development Settlement marked by the inauguration by President Soeharto on August 1, 1969, which also became the moment of change the name of Tuban Airport to Ngurah Rai International Airport Bali.
To anticipate the surge of passengers and cargo, then in 1975 until 1978 the Indonesian Government rebuilt the aviation facilities, among others, by building a new international terminal. The existing terminal building was converted into domestic terminal, while the old domestic terminal building was used as cargo, catering services business and mixed-‐use.
Phase I 1990 -‐ 1992
Phase I Includes the expansion of terminals equipped with aviobridge, extension of the runway to 3,000 meters, the relocated taxiway, apron expansion, renovation and expansion of the terminal buildings, expansion of the parking lot of vehicles, cargo building development, operation building and air avigation & supply of aircraft fuel facilities development.
Phase II 1998 -‐ 2000
Project phase II (1998-‐2000), airport development undertaken by the Directorate General of Civil Aviation, among others, by exploiting an area of 12 hectares of mangroves for use as an aviation safety facilities.
Phase III 2011 -‐ 2013
Project Plan Development Phase III includes a New International Terminal Building of 130,000 m2, a New Multilevel Storage Car Parking, and Apron. The existing international terminal will be converted into new domestic terminal which will raise the capacity of Ngurah Rai International Airport to accommodate up to approximately 25 million passengers per year.

B. CONCESSION PLAN
As part of the continuous development of Ngurah Rai International Airport to offer the passengers world-‐class facilities and services, the airport is currently completely re-‐designing and re-‐developing the commercial area in the new international terminal building.
The new commercial concept will offer passengers a modern, diverse, localized and exciting new shopping and food & beverage experience. It will be characterized by modern architecture and design, with a wide range of commercial offerings, colours, a friendly environment and everything else you expect to find at an Indonesian Airport. The objective of the new commercial concept is to give the airport a vibrant image with a true sense of Bali and to increase passenger comfort and spending, allowing concessionaires to increase their performance and PT Angkasa Pura I (Persero) to increase its non-‐aviation revenues.
PT Angkasa Pura I (Persero) is inviting experienced world-‐class operators to submit an Request For Qualification (RFQ) to establish operations at the Ngurah Rai International Airport – Bali (except for Tender 8H open only to Indonesian Brand Owners).
Full details of the Concession Plan including floor plans will be disclosed in the Request for Proposal (RFP) period which follows the RFQ period.
The applicants once selected will have the possibility to formulate an offer for one of the Tenders or for a group of Tenders under conditions which will be defined in the RFP documents.

Financial, managerial and operational capabilities
All conditions below regarding outlets working in the proposed activity

D. DETAILS OF REQUEST FOR QUALIFICATION (RFQ)
This section addresses the time-‐schedules and procedures applying to the tender process. Each Applicant shall observe every deadline mentioned, and include all the information and documentation needed on or before the due date of submission.
Qualification criteria to submit Request For Qualification (RFQ)

Submit all credentials to support the qualification criteria such as, last 3 years audited annual financial reports, bank certificates, experience letter, capability statements, etc.

The Applicant is expected to examine carefully the contents of this RFQ. Failure to comply with the requirements for the submission of the RFQ shall be at the Applicant’s risk.
The RFQ that are not responsive to the requirements will be summarily rejected.
The Applicant shall be responsible for all of the costs associated with the preparation of its RFQ, and its participation in the bidding process. PT ANGKASA PURA I (PERSERO) will not be responsible or in any way liable for any cost, expense and charge incurred by any Applicant in connection with the preparation and submission of its RFQ, or the bidding process in any manner whatsoever, regardless of the conduct or outcome of the bidding process.
Question and Answers (Q & A) under tender process
If discrepancies or omissions are found by any Applicant, or there is a doubt as to the true meaning of any part of this RFQ, a written request for a clarification or interpretation must be submitted to PT Angkasa Pura I (Persero), so as to reach PT Angkasa Pura I (Persero) on or before January 23rd 2013.
Any query or clarification related to this RFQ document, must be made directly on the website in the Q & A section provided for this purpose.
Copies of PT Angkasa Pura I (Persero)’s response will be shown on our website in the Q & A section provided for this purpose to all the Applicants, with a description of the enquiry; but without identifying its source.
No liability whatsoever, will be admitted by PT Angkasa Pura I (Persero), nor will a claim to PT Angkasa Pura I (Persero ) be considered, with respect to the errors or ambiguities contained in the RFQ, which the Applicant should request PT Angkasa Pura I (Persero) to rectify.

Issuance of Request for Proposal (RFP) Document
The RFP documents shall be issued only to the short-‐listed parties, who fulfil all criteria mentioned in this RFQ document. The RFP period starts on 11th February 2013 with a submission of proposal deadline on 11th March 2013.
Document Costs in the RFP phase
There will be a non-‐refundable fee to be paid by all bidders in order to obtain the RFP document to cover administrative and legal costs of US$ 3,000 (Three thousand US dollars). PT Angkasa Pura I (Persero) will contact all candidates eligible to obtain the RFP documentation on or before 11 February 2013.
Documents required
All the copies of these documents have to be registered on a USB key.
• The last 3 years audited balance sheets of the company (or of each member of the Consortium) in soft copy (.pdf format) and hard copy.
• The last 3 years audited income statements of the company (or of each member of the Consortium) in soft copy (.pdf format) and hard copy.
• Reference letters from Airports or Commercial Centers where the Company (or a member of the Consortium) operates in soft copy (.pdf format) and hard copy.
• Bank letter of agreement to cover possible future investment specifying the amount in soft copy (.pdf format) and hard copy.
• The “Request For Qualification F&B -‐ Forms 1 to 6 – Template” in soft copy (Excel format) and hard copy with date and signature.

Right of Verification
The Applicant by submission of its RFQ agrees to transmit the most up-‐to-‐date information. PT ANGKASA PURA I (PERSERO) may invite any or all Applicants to provide a complete record. PT ANGKASA PURA I (PERSERO)’s determination as to whether an Applicant is qualified and selected will be based upon the information provided by the Applicant in its RFQ, economic disclosure. Statements and affidavits (if requested by PT ANGKASA PURA I (PERSERO)), interviews (if applicable) and other sources deemed to be valid by PT ANGKASA PURA I (PERSERO).
PT ANGKASA PURA I (PERSERO) reserves the right to verify any, or all statements made by the Applicants in response to this RFQ, and to inspect the Applicants’ outlets, places of business, etc., if necessary to establish to its satisfaction about the Applicants’ ability and expertise to set-‐up, develop, operate, maintain and manage the Outlets.

Responsibility of Applicant
The Applicant agrees that, all information pertaining to PT ANGKASA PURA I (PERSERO)’s business and other information by PT ANGKASA PURA I (PERSERO) are confidential information of PT ANGKASA PURA I (PERSERO). The same shall be kept confidential and will not be disclosed to any third party without the prior written approval of PT ANGKASA PURA I (PERSERO).
This RFQ has been designed so that, the Applicant can follows a step-‐by-‐step process from RFQ preparation, to submittal, to evaluation and award. Each Applicant shall conduct its own investigations and analysis, check the accuracy, reliability and completeness of the information provided in this RFQ.
Other Conditions
This RFQ does not bind PT ANGKASA PURA I (PERSERO) to award contract to the any Applicant, and PT ANGKASA PURA I (PERSERO) shall not under any circumstance, be responsible for any cost incurred by any Applicant, who has involved in the bidding process, irrespective of whether PT ANGKASA PURA I (PERSERO) actually proceeds with such award or not.
All Applicants have been, and will continue to be provided, with the same background information, supplementary information and any Corrigendum or Addendum to the RFQ.
All matters in relation to this RFQ, shall be governed by the laws of Indonesia; and any dispute shall be subject to the exclusive jurisdiction of the Court at Central Jakarta.
By submitting a Request, the Applicant will be deemed to have accepted all the terms and conditions of this RFQ.
