The American Small Business League, headed by Lloyd Chapman, has been criticizing the program for several years because Chapman contends it has not performed well and has reduced opportunities for small businesses. “I'm confident that we will un-cover evidence that would force thePentagon and Congress to dis-mantle the Pentagon's Compre-hensive Subcontracting Plan TestProgram,” Chapman told Set-AsideAlert in an emailed statement.

Congress set up the DOD sub-contracting program in 1989. Whilethe value of the program has beenchallenged by Chapman and oth-ers, Congress last year renewed itfor another 10 years.

The program allows large DODcontractors to develop small busi-ness subcontracting plans on acorporate, division or plant-wide

basis, rather than developing asubcontracting plan for each con-tract. The goal was to determinewhether the comprehensive testplan would provide greater oppor-tunity for small businesses.

Chapman said the DOD’s useof FOIA exemptions to withholdinformation on the program hasmade it very difficult to evaluate ifthe program is meeting small busi-ness goals.

Chapman sued Sikorsky Air-craft and the DOD to gain releaseof Sikorsky’s small business sub-contracting plan. He won the casein court in 2014 but Sikorsky andDOD successfully appealed, andthe case was sent back to the lowercourt.

protege on one of the 129 mentor-protege teams that have been ap-proved by SBA since the programwas launched in October 2016.

The three protege principalswho spoke with Set-Aside Alert allsaid there was substantial paper-work in the application, but the ap-plication process itself wasstraightforward, with approvalsgranted within a week or two.

But first, each found a men-tor. Gelardi, a former Navy pilotwho is now a service-disabled vet-eran, said he and his mentor meton active duty and have known eachother for many years. “Having astrong relationship enables thekind of trust you have to have,” hesaid.

Raphael Warren, also a ser-vice-disabled veteran, and presi-dent of Spartan Cyber Security inAlbuquerque, NM, met the princi-pal of his mentor company, METIGroup, through a friend.

Warren formerly was a federalemployee, but he is new to federalcontracting. Preparing the applica-tion for the mentor-protege pro-gram was challenging, and he saidearly in the process he was mis-takenly told by a government em-ployee that veterans were not eli-

gible.But fortunately, an SBA em-

ployee online corrected that mis-information and walked himthrough many of the details of theapplication. “That assistance wasextraordinarily helpful in explain-ing the nuances,” he said.

Virginia Saldivar, an accoun-tant and president of METRO Ac-counting and Professional ServicesLLC in Goodyear, AZ, said it tookher less than two weeks to drawup the application to the mentor-protege program. She had previ-ously drawn up teaming agree-ments. Her mentor, Sonoran Tech-nology and Professional ServicesLLC, is a previous employer.

“I hope to do more contractingand business development, de-velop relationships and grow mybusiness,” Saldivar told Set-AsideAlert about her goals in the pro-gram. METRO is an 8(a) firm andan Economically-DisadvantagedWomen-Owned Small Business.

California judge approved an agree-ment between the league and DODto go to trial to examine whetheror not a specific FOIA exemptionapplies to information thatSikorsky and DOD withheld onSikorsky’s small business subcon-tracting plan.

U.S. District Court Judge Will-iam Alsup of the Northern Districtof California ordered that the trialwould include as many as 10 depo-sitions from DOD on the program.

A spokesman for Sikorsky toldGovExec that at this time Sikorskyis no longer a party to the litiga-tion. A DOD spokesman declinedto comment, citing a policy of avoid-ing commenting on pending litiga-tion.

IG: OASISorders may needmore competition

The General ServicesAdministration’s “OASIS” profes-sional services contract just got aclean audit from the agency’s Of-fice of Inspector General, but theIG nonetheless suggested compe-tition could be improved.

The IG said assisted acquisi-tions personnel complied with priceevaluation and negotiation provi-sions when awarding OASIS taskorders.” As such, we do not havereportable audit findings,” the April20 audit stated (http://goo.gl/yAZYS3).

However, the IG noted that inseven of the nine OASIS task or-ders reviewed in the audit, therewere fewer than three bids fromqualified contractors.

Competition possibly could beincreased by requiring contract of-ficers to obtain at least three bidsfor each task order, giving advancenotice and getting feedback fromqualified vendors who did not bid,the IG suggested.

The audit also found that thedigital files did not contain all therequired documents for some taskorders.

Trump’s order requires federalagencies to reevaluate the manyexemptions that have been grantedto ensure that the laws’ goals arecarried out. The reviews are to befinished by November. There alsomay be a crackdown on visas forhighly-skilled foreign workers.

To date, many waivers and ex-emptions have been granted, osten-sibly when domestic products werenot available or too high-priced.Also, under several free tradedeals, contractors from 59 countriesare treated the same as U.S. com-panies in federal contracting. In ex-change, U.S. companies are onequal footing seeking contracts inthose 59 countries.

Reaction to the order has beenmixed and it is unclear whether itwill have a net positive or negativeeffect on federal contractors and onAmerican jobs and the economy.

It also is unclear how enthu-siastically the order will be carriedout, given that federal agency headsare already under pressure to de-velop major reorganization plans,and to deal with budget delays, apossible shutdown and possiblysteep cuts and layoffs.

While some analysts say theorder may not have much impacton federal contracts, others arecautioning federal contractors to beabsolutely sure they are complyingwith all Buy American require-ments.

The IT Alliance for Public Sec-tor said its members are worriedthat less flexible rules could meana loss of access to innovative tech-nologies and increased costs. “’BuyAmerican’ sounds good and is well-intentioned, but it will only helpAmerica if it is applied in a mannerthat reflects today’s reality,” thegroup told Federal Times.

tract Act (“SCA”) leave require-ments is challenging, even more soif service employees live in a stateor county with local sick leave lawsor if the contract is subject to Ex-ecutive Order 13706, Sick Leave forFederal Contractors. Each of theselaws and regulations has uniquerequirements that must be woventogether to develop a compliantleave policy.

However, once contractors un-derstand the nuances, strategicpolicy decisions can be made thatminimize costs and liability.

SCA requirementsThe SCA requires that a ser-

vice employee be provided a certainamount of vacation time commen-surate with the employee’s yearsof service on the same or similarcontract. The employee is not dueany vacation until his or her anni-versary date, or the date the em-ployee began work on the same orsimilar contract, whether as anemployee of the current or a pre-decessor contractor.

On the employee’s anniversarydate, the employee is eligible toreceive the full amount of vacationtime due for the year. The vacationtime must be used by or paid outto the employee on or before thenext anniversary date, or one yearlater.

Sick leaveThe SCA does not require that

any sick leave be provided to em-ployees. However, an employer maychoose to provide sick leave as abona fide benefit and count thevalue of the sick leave against thehealth and welfare benefits due, solong as providing sick leave is nototherwise required by law.

In recent years, many statesand localities have passed laws re-quiring employers to provide sickleave to employees, including ser-vice employees who work in thosejurisdictions. To name a few, Cali-fornia, Washington, D.C., New Jer-sey, and Montgomery County, Mary-land, all require employers to pro-

vide sick leave. The laws havemany similarities, but also chal-lenge employers with slight differ-ences. Most of these laws containa designated amount of sick leaveto be provided per year and requirethat employees be eligible to carryover sick leave from one year to thenext.

SCA, state & local complianceTo comply with the SCA and

state and local leave laws, employ-ers often develop paid-time-off poli-cies that combine sick leave andvacation into one leave bank. Aproperly drafted paid-time-off policymay solve the problem of having toprovide additional sick leave to em-ployees outside of the vacationleave already required by the SCA.

However, employers must en-sure that all of the other require-ments of the SCA and local law aremet, including allowable reasonsfor sick leave and carry over require-ments which may not be allowedunder the SCA vacation require-ments.

The Department of Labor gen-erally has not required employersto provide additional leave to ser-vice employees under most of theselaws, often because the require-ments of the SCA may be met if thepolicy and leave accounting proce-dures are well managed.

However, an employer may stillbe liable for additional leave if it isunclear whether the policy was ad-ministered to satisfy both laws.

Sick leave executive orderExecutive order 13706, Sick

Leave for Federal Contractors, addsanother dimension to leave policyadministration. The executive or-der applies to solicitations issuedon or after Jan. 1, 2017.

Although many contractors ex-pected this executive order to berevoked by the Trump Administra-tion, it has not, and may not be,pulled back.

The executive order does notallow contractors to satisfy theirsick leave obligations by “doubledipping” into the vacation leave al-

ready provided by the applicableSCA wage determination. This ben-efit must be provided in additionto SCA vacation time and any sickleave provided to employeesthrough the health and welfarebenefit.

Additionally, because the ex-ecutive order is phased in by con-tract, an employer may be requiredto comply on one contract but notanother. Unlike SCA leave, but likemany state laws, executive ordersick leave must be carried over fromone year to the next, up to 56 hoursa year, and does not have to be paidout to employees at the end of thecontract.

ConclusionProviding leave to employees

can be a significant cost for employ-ers. Contractors who spend thetime to analyze their leave require-ments and make strategic policydecisions are much better posi-tioned to bid competitively, maxi-mize profit, and maintain compli-ance.

Although combining sick andvacation time into one paid time offpolicy has become popular in recentyears, contractors should examinewhether separating vacation andsick leave into separate leavebanks is the best option to complywith all leave requirements. Anypolicy developed should take intoaccount legal obligations as well asyour corporate culture and opera-tional needs.

transparency in government pro-curement, Sens. Claire McCaskill(D-MO) and Jon Tester (D-MT) in-troduced a bill to require the post-ing of more information on federalcontracts online.

The bill orders that the textsof all contracts and task ordersover $150,000 be published in theirentirety within 30 days of award.

There are exclusions for national se-curity, sensitive information, tradesecrets and proprietary information,if approved by the awarding officerand agency.
