Innovation is best achieved through collaboration. Sharing re-sources and ideas among many people and organizations has enabled electric cooperatives to focus on current and future challenges in the industry, while maintaining their traditional foundation.

During more than 75 years, your electric cooperative and you, our member-owners, have experienced a seismic change. Everything from setting poles, communicating with you and how technology is used has required your co-op to work collaboratively with other cooperatives, outside entities, and within the changing workforce within our office to provide the best possible service at the best possible price.

Innovative solutions from technology cooperatives are enabling us to provide more effective two-way communication with you than ever before. Through this technology, you can log onto our website and access your accounts when it's convenient for you. You can pay your bill online, view and get a better grasp on your energy use, report service issues and access outage maps, all without directly communi-cating with the office. Through this system, we can send customized

messages to alert you of planned service interruptions and to convey other important information.

Cooperatives are joining forces to create economies of scale. For instance, some Illi-nois cooperatives share resources such as right-of-way maintenance employees and equip-ment, and accounting and cyber security employees. During power outages, the Illinois Electric Cooperatives emergency work plan enables Illinois cooperatives to quickly access personnel and equipment from neighboring co-ops to help restore power faster, and send help to cooperatives in other areas of the country during widespread outages.

Generation and transmission cooperatives (G&Ts) are seeking ways to balance their power supply portfolios, while maintaining affordable rates. To achieve this, G&Ts that serve Illinois distribution cooperatives have an ownership stake in the Prairie State Gen-erating Campus in Marissa, the most energy efficient, state-of-the-art coal-fired plant in the country. They have also partnered in solar and wind farms throughout the state and continue to seek innovative ways to diversify their power supply, based on what’s best for their member cooperatives, and you.

Through embracing technology that has been implemented well ahead of many in-vestor-owned utilities, we’ve proven that though we may be small in comparison to other energy providers, we’re mighty. Our workforce now spans five generations. Tapping into the strengths and skills of each generation and working collaboratively ensures that we can serve you even more innovatively for years to come.

We will also have an indoor bounce house, crafts, bucket truck rides (weather permitting) and more! Children’s activities will continue during the business meeting.

The Annual Meeting of Members of M.J.M. Electric Cooperative, Inc. was held at the Carlinville High School, Carlinville, Illinois, on Saturday, March 25, 2017.

Registration began at 8:30 a.m. and the meeting was called to order at 10:00 a.m. by Chairman Robert Lehmann. The Boy Scout Troop 63 Color Guard presented the American Flag. The National Anthem was performed by Lauren Summers and Megan Dunn accompanied by Dustin White. Troop 63 then led the members with the Pledge of Allegiance. The members remained standing for the invocation by Charlie Baker.

Chairman Lehmann then welcomed M.J.M. Electric Cooperative members, guests and friends to the 78th Annual Meet-ing of Members and introduced the MJM Board of Directors

Chairman Lehmann then announced that a quorum was present and called to or-der the business session of the 2017 Annual Meeting of Members of M.J.M. Electric Cooperative, Inc. pursuant to the Bylaws. A complete list of those registered in person and by proxy is attached to the official min-utes of this meeting of the Cooperative.

Chairman Lehmann then turned the meeting over to Attorney Lee J. Plummer to address the proposed Order of the Day and Rules of the Day. Attorney Plummer re-ferred the members to the proposed agenda as found on page one of the Annual Meet-ing Notice and pointed out that this agenda is in compliance and verbatim with M.J.M. Electric Cooperative's Bylaws. A motion was made and seconded to adopt the Order of the Day being the proposed agenda on page one of the 2017 Annual Meeting Notice. Upon voice vote, the motion carried.

Attorney Plummer then presented to the members for their consideration the follow-ing recommendations for the Rules of the

Day, which were unanimously approved by the Cooperative's Board of Directors at their December 2016 meeting:

First, that not more than 25 minutes be allocated to discuss each motion that is ad-dressed; second, that during the consider-ation of the motion, each speaker may speak for up to three minutes unless no one else wishes to speak and that the chair will at-tempt to recognize speakers with alternating viewpoints; third, that during the question and answer period, each person may speak up to two (2) minutes unless no one else wishes to speak; fourth, that Robert's Rules of Or-der will govern the conduct of the meeting; and fifth, that the Cooperative's Attorney, Lee J. Plummer, will serve as Parliamentar-ian for this meeting. A motion and second was made to adopt these recommendations as the Rules of the Day. Upon a voice vote, the motion carried. Attorney Lee J. Plummer then called upon Secretary William Heyen to present the notice of the meeting.

Secretary Heyen read the Official Notice of the 2017 Annual Meeting of Members of M.J.M. Electric Cooperative, Inc., as mailed to all members of the Cooperative, together with his affidavit of mailing of such notice to each member as required by the Bylaws.

Chairman Lehmann then announced that the next order of business would be the consideration of the Minutes from the An-nual Meeting of Members held on March 12, 2016. He stated that Minutes had been printed in the Official Notice of the meet-ing that was sent to all of the members of the Cooperative. Chairman Lehmann asked if there were any corrections or additions. Hearing no corrections or additions, there was a motion and second to approve the Minutes as printed and mailed. Upon voice vote, the motion carried.

W. Kay Schultz, Cooperative Treasurer, for his report. Treasure Schultz presented his report including directing the members' at-tention to the printed financial information that was presented at the Annual Meeting. He reported that MJM's audit for 2016 had been completed by the Kevin Kelso, CPA, P.C., P.A., Certified Public Accountants. He further reported that the Board has reviewed that audit. Then Treasurer Schultz discussed the results of that audit and ended by point-ing out that a complete audit report as sub-mitted by Kevin Kelso, P.A. is available at the Cooperative office for any member that wishes to review it.

Chairman Lehmann then welcomed visitors including Don Porter and Phil Phillips from Wabash Power Cooperative; John Lowrey, Jim Pauley, Maurice Shallow, Christina Harper, Connie Newenham and Bradley Rightnowar all of the Association of Illinois Electric Cooperatives; and former MJM employees, Gary Bauer, Bob Heyen, Nancy Joiner, George Holski, and former Director Dennis Matthews.

Chairman Lehmann then introduced Laura Cutler, President/CEO of MJM, who presented her report to the members.

CEO Laura Cutler then asked Nathan Hatalla to come forward and present the MJM Scholarship to recipients Clare Van-denBergh of Witt, and Nellie Roberts of Dow.

Chairman Lehmann then turned the chair over to Attorney Plummer to conduct the business session of the meeting. Attor-ney Plummer stated that the next item of business was the consideration of the Elec-tion and Credentials Committee report.

Registration was closed at this time. Dwayne Milner, Chairman of the 2017 Election and Credentials Committee pre-sented the report of the Election and Cre-dentials Committee and stated that the following persons had been certified as can-didates for Director pursuant to the Bylaws of the Cooperative:

tion and Credentials report, Attorney Plum-mer then asked if there was a motion and second to elect by acclamation the candi-dates for districts 4, 5, and 7 as certified by the Election and Credentials Committee. Upon voice vote, the motion carried and the candidates for Districts 4, 5, and 7 were elected Directors as follows: Robert Lehm-ann, Girard, Illinois - District 4, Louis John-son, Shipman, Illinois - District 5, and James Niemann, Litchfield, Illinois- District 7. A copy of the Election and Credentials Com-mittee report is attached hereto and made a part of these minutes.

Attorney Plummer then asked if there was any unfinished business to be brought before this meeting. There being no unfin-ished business, Attorney Plummer then said that next item on the agenda was a 30 min-ute questions and answer period and called for questions. There was then a question re-garding solar energy. A response and discus-sion regarding solar energy followed.

Attorney Plummer addressed the mem-bers outlining the proposed bylaw changes and the reasons for the proposed changes. There was then discussion regarding the proposed bylaw changes. There was a mo-tion and second to adopt the proposed by-law changes as contained in the MJM's 2017 Annual Meeting Notice. Upon voice vote, the bylaw changes were adopted. A copy of MJM's bylaw as so amended are attached hereto and made a part hereof.

Attorney Plummer then asked if there was any new business to be brought be-fore the assembly of members at that time. There being none, there was a motion and a second to adjourn. Upon a voice vote, the motion carried, and the business session of the meeting was adjourned.

Electric Operations Projects

Pole Inspection and Replacement:

In 2017, MJM completed 2,478 pole inspection's. The project was completed by Lee Inspec-tion and Consulting and out of the poles tested there was a reject rate of just under ½ a percent. MJM line crews worked on replacing 311 poles from prior inspections and 274 poles for line upgrades and revamped services at a total cost of $498,335. Crews also worked to address mainte-nance issues found-like loose hardware or damaged cross arms.

ROW maintenance:

In 2017, 232 miles of distribution lines were cleared in the areas of Jerseyville South, Newbern and Brighton South = $1,172,890. Projecting in 2018, 393 miles of distribution lines to be cleared in the areas of Brighton North, Rinaker and Palmyra = $900,000.

In 2017, 518 miles of distribution lines were sprayed in the areas of Nutwood, Staunton and Womac = $117,085. Projecting in 2018, approxi-mately 300 miles of distribution lines to be sprayed in the areas of Jerseyville South, Newbern and Brighton = $117,000.

Rebuild and Relocate Projects:

In 2017, the Cooperative undertook a number of rebuild, relocation and system improvement projects throughout the service territory. These are among a few:

• All new wires and poles to upgrade the main tie line from Nutwood East to Jerseyville West to strengthen the system and shorten up the spans. Contracted to J.F. Electric = $833,000

• Complete rebuild of a single-phase line on Bunker Hill substation. Work was both over-head and underground = $241,097

• Rebuild (poles and conductor) of an existing 3 phase line out of the Bunker Hill substa-tion to improve voltages = $157,332

• Relocation and conversion of a west feeder out of the Jerseyville substation. Line was overhead in a field and moved along the road and converted to underground primary = $49,828

• Relocation of overhead line out of a timbered area (out of the private) to the road front along Fern Glen Valley Rd = $37,751

• Added a new regulator station on a 3-phase line to improve system voltages out of the Womac substation = $20,550

• Upgrade of existing under-build conductor on the Jerseyville East line = $10,861• Member line extensions, service improvements and new services, etc.

Facilities & Equipment

• Retired 4 vehicles and 1 trailer replacing them with 2 small bucket trucks and a com-pany SUV that were newer, safer and reliable = $326,484

• Updated Heating/Cooling systems at both Taylor Springs and Piasa Warehouses =$13,039

• New fencing, gate and roof at Taylor Springs Warehouse = $20,908• Replaced and/or added 432 meters = $141,582• Replaced and/or added 216 transformers = $268,579• 428 Outdoor light conversions to LED = $219,679• 71 new Outdoor LED light installations = $30,292• CT (Current Transformer) Meter Testing Kit = $16,202

Information Technology (IT)

• Moved three IT servers to virtualized servers.• Upgraded WiFi in the office and installed internet at Piasa warehouse.• Upgraded firmware at all substations on the equipment that pulls the information

from the meter to the substation to the server at the office for gathering the data from the meters.

• Completed 12 phishing simulations for IT training for employees and directors.

These gentlemen attended a co-op specific education program over a period of 2 ½ years that focused on strengthening their leadership skills, manage performance, make decisions, communicate effective-ly, time management and occupa-tional health and safety.

An interesting fact regarding these three dedicated board mem-bers: they each served on MJM’s Member Advisory Committee at one point of time before becoming an MJM Board Member.

Congratulations on Director Gold Status renewal!

To maintain their Director Gold credential, these directors were required to attend continu-ing education courses within a 24-month period from the time their last Director Gold creden-tial was awarded.

Meet the Board Candidates

Robert Moore has served 18 years as Director of District 2 and serves on the MJM Policy Committee. He earned his Credentialed Cooperative Director (CCD) Certificate and Director Gold Status from the National Rural Electric Cooperative Association (NRECA). Robert is a Member of Holy Ghost Catholic Church, Knights of Columbus and serves as the Fidelity Township Clerk in Jersey County.

Robert and his wife Donna live in the rural Medora area. He is the father of 3 children (Mike, Karin and Kathy) and grandparent of 4

granddaughters (Hanna, Jemma, Samantha and Abby). Robert was raised on a farm near Medora where he graduated from Jersey County High School. Robert and his son-in-law farm in the Medora and Jerseyville areas. “Serving on the MJM Board as well as several years on anther Co-op Board has helped me sharpen my skills in the decision making process in my own business.”

District 2 - Robert Moore

Paul Bartlett has served 30 years as Director of District 3 and serves on the MJM Executive and Annual Meeting Committees. He earned his Credentialed Cooperative Director (CCD) Certificate and Director Gold Status from the National Rural Electric Cooperative Association (NRECA).

Paul and his wife Mary live between Jerseyville and Brighton where he Farms with his son (Andrew) in Jersey and Madison Counties. Andrew and his wife Julie (Burns) have 3 sons (Quinn, Cole and Luke). Paul

and Mary also have a daughter (Emily Wittman) who together with her husband ( Justin) have 2 sons and a daughter (Liam, Graham and Mary Kate). Paul is a Member of Holy Ghost Catholic Church, Knights of Columbus and the Farm Bureau. He also serves on the Jerseyville Mutual Insurance Board and the American Legion, Post 492 Honor Guard, Sons of the Legion. Paul has been a member of MJM for 40 years.

"I began to be familiar with the electric co-op system by being on an advisory committee. With that I saw the challenges facing the coop then and in the future. When the opportunity came to be on the Board I saw it as a way to help insure reliability and costs for my neighbors and I. It has been a very rewarding experience and I am proud to represent MJM members."

Dennis Stewart has served 8 years as Director of District 8 and serves on the MJM Building/Equipment and Member Services Committees. He earned his Credentialed Cooperative Director (CCD) Certificate and Director Gold Status from the National Rural Electric Cooperative Association (NRECA).

Dennis and his wife Pam, have 2 kids (Travis and Shannon). He grew up in Nokomis where he graduated from Nokomis Unit 2 High School and has an Associate Degree from Lincoln Land Community College.

Dennis farms in the Nokomis area. Every day Dennis wants to “Serve my District the best way I can”

To qualify to register for voting and to be eligible for an attendance prize and other prizes, you must be an active member. An active member is a person, firm, association, corporation, or body politic or subdivision thereof who has a member-ship certificate issued to them and is presently receiving electric service from the cooperative in their name.

If for some reason you will not be able to attend, you can still qualify your vote by properly filling in the proxy above and assigning it to an active member who is going to attend. The signed proxy in this notice will be the only proxy form accepted during registration.
