frame, we supply all small parts as well as

As a result of the ban on the use of heavy
metals in powder coatings, paint manu-
facturers can no longer guarantee colour
stability despite making every effort to do
so. It therefore cannot be excluded that
colours in general, and Fire Red (RAL 3000)
in particular, may fade with time. Colours
may differ significantly due to the printing
process.

Awning fabric standards
Powder coating
Parts that need to be coated undergo chrome-free pre-treatment
(small parts are additionally sanded down) in accordance with
DIN 50939 and are powder-coated in facade quality using RAL
colours. See page 2 for available colours for weinor products.
Surcharges apply as shown in the price tables. Depending on the
colour of the ordered frame, weinor supplies all small parts as well
as crank handles and drives for systems with crank mechanisms in
black (similar to RAL 9005), white (similar to RAL 9016) or grey
(similar to weinor 7319).
Fabric suppliers
weinor reserves the right to determine the fabric supplier where
the colour and pattern are the same.
Sun protection systems
Awnings and conservatory blinds are sun protection systems that
must be retracted in wind and rain.
Important!
Even a low-maintenance product needs to be cared for. A few drops
of oil on moving parts work wonders!
Errors
which arise through orders placed over the telephone are the
responsibility of the orderer.

Spare parts
Detailed prices for our spare parts are available upon request.
Delivery is carried by our shipping partners by truck. Express
deliveries are available on request (UPS service: package length of
up to 270 cm).
Special conditions/Special trips
For special delivery requests which result in additional costs, we reserve
the right to charge you for the costs incurred. Otherwise, shipment
shall include a standard delivery using our shipping partner.
General information on installation tools and brackets:
Products are supplied without the mounting screws and dowels
required for on-site installation.
Should you have questions about fixing materials, please contact
your local specialist dealers, e.g. Würth and Hilti, near to you.
The fixing brackets for folding arm awnings are not included in the
basic price. Please indicate the required brackets at the time of
ordering. The weinor bracket overview will help you choose the
right brackets for each type of installation.
Tools
weinor awnings can be installed using generally available, standard
tools. A detailed overview of all the tools that are needed can be
found in the instructions for assembly.
Exception: (N 2000, Semina and Opal Design II) fine pitch
adjustment. This requires a thin-walled, 17 mm socket wrench
(available from retailers/partners or weinor).

Brackets
All awnings are priced without brackets. It is the retailer or partners
responsibility to choose the correct bracket for their install and add
the cost onto their order. The Folding arm awning bracket
suggested qty’s at the bottom of each price table page are based on
the assumption of installing into a cement. If installing into timber/
brick/steel/ please use the appropriate brackets. There is a bracket
PDF available to help advise what we recommend. If you don’t have
this, please contact our customer support.
Motors
All standard hard-wired motors will be Becker motors and all RTS
motors will be Somfy motors. Also, due to size limitations, all
Valance plus motors will also be Becker. If using Somfy controls,
there will need to be a Somfy RTS inline receiver added.

Information from awning fabric manufacturers
Important information
Important information
Explain to your customers about awning fabrics and use both our
terms of delivery and the guidelines for sewn awning fabrics
(“Richtlinien zur Beurteilung von konfektionierten Markisentüch-
ern”) provided by the Industrieverband Technische Textilien –
Rollladen – Sonnenschutz e.V., Fliethstraße 67, D-41061 Mönchen-
gladbach as if they were your own.
The primary function of an awning fabric is to protect against the
sun. It casts a shadow and blocks out glaring light, UV rays and
excessive heat. What’s more, the shape and colour of the fabric also
creates a pleasant atmosphere. No matter how modern,
comprehensive or careful the manufacturing processes are, it is not
possible to completely rule out minor blemishes in engineered
fabrics.
For this reason, please understand that we cannot accept such
“irregularities” as justified grounds for complaint.
The awning fabrics that we engineer meet stringent technical
requirements and undergo extensive laboratory testing during the
production process. Using recognised measurement methods, the
grammage, maximum tensile strength, maximum tension force, tear
propagation force, water pressure resistance, hydrophobicity, light
fastness, weathering fastness, solar energy performance and other
properties are subjected to rigid testing.
1. Creases
can form when the sun protection fabric is manufactured and
folded. When the fabric has been folded, especially when it is a
light colour, a dark stripe may become visible when held up against
the light.
2. Rippling near the seam
As a rule, awning fabrics are manufactured from units that are
approx. 120 cm wide. When awning fabrics are sewn together,
there are two layers in the seam and hem areas: an upper and a
lower one. When the awning fabric is rolled, tensions will occur
between these two layers. Given the thickness of the fabric (approx.
0.5 mm), the upper unit has to stretch further than the lower one
when rolled – the difference in roll is equivalent to 3.14 mm each
time the fabric completes one rotation. Over the entire length a
fabric is rolled up, both the seams and the side hem become
overstretched. This leads to the fabric sagging in this area – the
fabric becomes wavy. However, this unavoidable effect does not
impact the quality, function or service life of the fabrics.
3. Effect of honeycombing
Awning fabrics are sewn in the direction that they hang to ensure
that the tensile stress does not have an impact on the warp threads.
These are woven tighter than wefts in order to accommodate the
tensile force as best as possible. As a result, and depending on the
weather conditions and fabric size, a honeycomb effect may arise.
This effect is amplified in unfavourable lighting or humidity
conditions – above all when the fabric is retracted when wet.
To ensure that any rainwater coming into contact with the fabric
drains off, the fabric must be set at an angle of at least 14°. This
prevents pooling and the emergence of dirt stripes. Honeycombing
can extend as far as the centre of a panel. This effect has no
negative impact on the quality, function or service life of the
fabrics.
In principle, these effects occur to varying degrees in almost all
awning fabrics. They do not detract from the quality of the fabrics
in any way.
4. Fabric joins
weinor uses sewing to join fabrics. Through its longevity and high
UV resistance, this reliable process has proven its worth on the
market. Instead of sewing the units, it is also possible to glue them.
The benefit of this technique is that the seam between the units is
even tighter and more rainproof.
weinor recommends:
Awnings and conservatory blinds are sun protection systems that
must be retracted in wind and rain. Fabrics that are allowed to
become wet may show increased signs of creasing and wrinkling.
Obvious flaws
Whenever damage to an awning fabric is detected either when
inspecting incoming goods and/or during installation, the fabric
must be returned to us without delay.
If the fabric has been exposed to the elements, it will no longer be
possible to fully restore the fabric.
And, finally, a piece of good advice:
Always be aware of salespeople who do not accept there are such
things as “blemishes”. These people are either knowingly or un-
wittingly not telling the full story.

Your awning fabric manufacturers
• Prices assume purchase and shipment of whole awnings is done
at the same time. Shipment of brackets or tails separately will
incur additional charges.
• Ordering items in advance will result in a minimum surcharge of
$195.00 incl GST.
• Blinds By Peter Meyer cover freight to Sydney. Awnings shipped
around Australia will incur additional charges. Usually $100.00-
$150.00 per awning along the East Coast. WA, SA and TAS may
incur slightly higher freight charges.
• Blinds by Peter Meyer will only ship to a business address as
residential addresses incur extra surcharges from our freight
company.
• Distributor should provide adequate unload/offload equipment
to aid in the delivery of the Weinor products.
Important notes on Freight
• Please DO NOT sign for any less pieces than state on the delivery
consignment note.
• Damaged to any packaging MUST be made know to Blinds by
Peter Meyer/Weinor Australia WITHIN 7 DAYS of receipt
otherwise claims WILL NOT be accepted.
• In the case of any damaged boxes, Please sign for the goods as
damaged and document any damage with photos. Please email
the photos if any damage is found inside the box upon unpacking.
• All goods are air-freighted with the exception of Pergotex II due
to its size and weight. This means delivery times range between
4-6 weeks. We currently order on a 2 week cycle so if you get you
order in towards the end of the 2 week cycle, the awnings will
more than likely be here in 4 weeks. If the order is for a larger
number of awnings and time is not so important, sea freighting
awnings can result in excellent savings. Sea freight usually takes
around 10-12 weeks including production and delivery.

Fabric:
• Increased fabric sag may occur on system parts with a projection
or width of more than 400 cm, which may result in increased
creasing or wrinkling.
• The fabric gap may be as much as 4 cm wide.
• Some 15 cm of sag may occur in the middle of the fabric despite
the use of distance ropes.
• These limitations have no impact on the way the system functions.

The fabric will be delivered with the next delivery of a purchased
product by lorry.
Do you need a quick delivery?
The ordered fabric (up to 270 cm) will be sent to you as a
UPS standard shipment directly after production.
Fabrics over a package length of 271 cm will be sent as general
cargo shipment.
Please note the surcharge on the transport costs!
Rolling service
The fabric is rolled by default. This form of delivery does not fully
exclude the possibility of wrinkling either, however.
Fabrics are always packed in such a way that transport costs are
kept to an absolute minimum.
On request, fabric up to 685 cm in width can also be rolled across
its width. Please specify with order and note that higher trans-
portation costs apply!

Maintenance and Warranty Conditions
Interior Warranty
Warranty
Preface
We offer a 5 year nationwide warranty. This is valid if you carry out
very basic maintenance on your interior and exterior products such
as putting away your exterior products in gusty winds, washing
them occasionally and treating it with care. With Interior products,
don’t put them down in front of open windows and keep them dry
and vacuumed every few months. We provide a lengthy warranty if
you take care of your product. Misuse and/or failure to follow the
maintenance instruction may void your products of warranty.
Warranty is only valid if payment has been made in full.
Maintenance of interior blinds
Your interior products by Blinds are manufactured from high quality
components and fabrics and the maintenance of manual blinds is
generally confined to vacuuming with a soft brush or blowing with
a hair dryer on cold setting.
In the case of marks on fabrics a white or clear pencil eraser should
remove most marks. In some more severe instances a soft nail brush
with warm water with mild detergent may be better. Unfortunately
marks caused by clients are not covered by our warranty.
Products should be kept dust free and not allowed to get wet.
Water will damage your products and void your warranty.
If your product is motorised, the fabric should be treated as manual
blinds. Batteries in remote controls should be changed periodically
and in battery operated blinds also changed and/or charged when
not operating correctly. Batteries are excluded from our warranties.
General Warranty for Interior Blinds
Fabrics, workmanship and hardware are covered for Five (5) years
from date of invoice. Warranty does not cover the cost of removal,
re-installation or despatch. Our Warranty does not cover abuse,
water damage, incorrect installation (when not installed by Blinds
by Peter Meyer) or normal wear and tear. The most common cause
of damage to blinds is a window being left open whilst the blind is
in the down position. This action will void your warranty.
Warranty is on product only. Products must be returned to Blinds
factory for warranty claims. Blinds will not be responsible for costs
involved in removal or re-installation of warranty claims including
any electrical costs. Blinds current carrier is TNT and returned goods
will only be accepted on our account. Please call for account
number and authorisation. This warranty specifically covers blinds
produced by Blinds by Peter Meyer. Batteries are not covered under
this warranty.
General Definitions
1) Blinds by Peter Meyer is sometimes called Blinds in this
Maintenance and Warranty specification.
2) All interior and exterior products may be referred to as product
or products. It refers only to products manufactured or supplied by
Blinds by Peter Meyer.
3) Clients may refer to the Client of Blinds by Peter Meyer but may
also refer to the end user who may be the client of a third party as
Blinds by Peter Meyer is predominantly a supplier to the trade.
4) Warranty is not transferable ie. We warrant the product to the
original owner only.
Venetian prices in bold within our Pricelist are larger than our
recommended size and fall outside our warranty conditions. This is
4sqm foe Cedar Venetian Blinds (46mm and 60mm) and 3sqm for
85mm Hemlock Venetian blinds.
Fabric dye lots and fabric specifications can vary and this is not
covered by warranty unless the said product is not of
merchandisable quality. Warranty will not cover replacement of all
blinds on a job if a dye lot has varied from time of purchase of if the
sun has affected the original colour of the blind.
Approved child safety devices are supplied with our interior
products and must be fitted to claim warranty. Roller blinds with a
3:1 size ratio, ie drop should not be 3x longer than the width due to
potential fabric cupping and tracking may be void of warranty. In
the case of manual roller blinds, the stop balls we supply must be
fitted or warranty will be voided.
Products larger than the sizes stated in our Pricelist are not covered
by warranty. We will repair (if possible) such products at the
customers cost.
WARRANTY ON INSTALLATION.
If the product is installed directly by a Blinds by Peter Meyer
subcontractors, Blinds will warrant the installation if carried out in a
workmanlike manner not withstanding that the medium we are
installing into may be beyond our control and we cannot warrant
that the timber, concrete, brick, gyprock or other medium is sound.
Our expectation is that the installation medium is sound but we can
only inspect this visually. Your properties condition is your
responsibility.

Maintenance of Exterior Blinds
All Weinor Folding Arm Awnings/Conservatory Roof Systems/
Textile Patio Roofs come with a full care and maintenance
instructions, these should be used as your reference for all Weinor
products and additional information can be found in the warranty
document. Your dealer/installer should leave this with you upon
install. If you have not got a copy, they can be easily requested from
Blinds by Peter Meyer or downloaded from our website.
1. FABRIC MAINTENANCE
Acrylic canvas fabrics are natural products whose appearance may
change over time and in varying weather conditions. These
changes, including waffling, veining and folding, are normal and
consistent with the manufacturer’s specifications. lf the awning is
retracted when wet, then extend the awning at the first
opportunity to allow the fabric to dry so as to discourage the
growth of algae, mildew or other fungal growth. Where Weinor
and/or Dickson Orchestra fabric has been fitted, this material has
been treated with HI-Clean, Sunacryl and Cleanguard which helps it
retain its colours, resist fading and repel dirt. To maintain the
appearance and life of the fabric, clean the fabric by brushing
regularly with a soft, dry brush. Occasionally hose down with clean,
cold water on sunny days.
Do not allow dirt, dust, grime, leaf litter and bird matter to remain
on the fabric as these are mediums for bacterial growth. Rinse the
fabric as soon as possible to remove foreign matter. For persistent
stains, use a natural soap based mild detergent diluted in lukewarm
water, then rinse. Do not use strong bleaches. For fibreglass or
polyester based materials with a polymer coating, use a clear
coloured cleaner such as Spray and Wipe. Be sure to test the effect
of the cleaner on a discreet piece of the fabric to ensure the
material is not stained or bleached by the product.
For small tears and holes, fabric repairs are available from a Blinds
Distributor. For difficult marks, fabric cleaners are available which
can be sprayed on and wiped off with a clean rag. Replacement
skins are also available if you want to change colour of refresh your
awning, this is not covered under warranty but can be undertaken
at any time at the customers cost.
2. WIND AND RAIN CONDITIONS
Our Exterior Rollers, Pivot Arm and Folding Arm awnings will
generally withstand wind up to around 35 km per hour.
Notwithstanding this suggestion, it is the responsibility of the
customer to retract the awning in windy conditions. Sudden gusty
winds can cause major damage to your awnings and as such, we
strongly suggest never having your awning out when you are not
close by. You are the awnings best wind judge. If you think its too
windy, retract the awning.
We suggest that if the wind is gusty and it’s uncomfortable outside,
awnings in particular should be retracted. Our products are not
intended to be waterproof. Water will generally not damage an
exterior awning or exterior roller blind fabrics however if you need
to retract them when they are wet, they should be extended as
soon as practical and allowed to dry. We recommend wind or
motion sensors on all external blinds.
3. FRAME MAINTENANCE - POWDERCOATING
To maintain your warranty, please don’t allow dirt or salt to
accumulate on the powder coating (or fabric for that matter).
You should wash the powdercoating with mild detergent every 6
months. More often near the coast to prevent salt build up. Please
avoid allowing things like paint, concrete, harsh cleaning materials,
solvents etc to come into contact with your powdercoating or
fabrics. If this occurs please rinse with cold water and mild
detergent or natural soap immediately. Try to avoid water getting
on or around your motors. We recommend the use of Silicone spray
(not WD40) on your moving parts avoiding the fabric and motor.
This should be done annually or as necessary. For all Weinor
products installed near the sea, we only recommend using the
Trend range of textured colours (WT range) as these coating are
generally a little thicker that our normal powder coats and offer
greater protection against corrosion.
4.OPERATING SYSTEM, CONSERVATORY SYSTEMS and AWNINGS
A WGM Conservatory awning operates on a spring loaded tension
system with drive ropes. Any repair to the operating system should
only be done under the direction of Blinds by Peter Meyer by an
authorised and experienced technician.
5.MANUAL OPERATING SYSTEMS
Exterior Rollers and Folding Arm Awnings may be fitted with a
manually operating system. Crank handles are supplied to operate
all manual blinds. If the operation becomes stiff or difficult try
operating in the opposite direction to remove any adverse pressure.
Also try using the handle perpendicular to the eyelet on the
gearbox.
6.REPAIRS AND MAINTENANCE
Repairs or service to your product should only be undertaken by
experienced technicians. Repairs done by a party other than the
Distributor or a technician approved by Blinds by Peter Meyer may
void the product warranty. For after sales service, the consumer
should contact the Blinds by Peter Meyer distributor who supplied
and installed the product.
GENERAL INFORMATION
Our products are designed to protect from the sun in calm weather.
In strong winds your exterior product should be retracted. No
interior product should ever be left down in front of an open
window. Our products are not designed as wind breaks or shelters
from rain with some exceptions.
Awnings should not be allows to hold water and please don’t hang
anything from your Exterior Roller Blinds or awnings.
We recommend the use of wind, rain and motion sensors but these
are not infallible and of course this does not apply to manual
products. It is Highly recommended that products be retracted
when unattended.
Your motor is usually pre-set and adjusted by your installer and
does not require any adjustment by the consumer.
If your motor is used repeatedly in a short period, it will overheat
and automatically cut out until it cools down. This is a normal
function and a safety override on your motor.
Please avoid direct wetting of the motor. Also do not press the
control buttons repeatedly as this may alter the preset limits on the
motor. We recommend that you clean the spinner on your wind
and remote sensors regularly.
WARNING: Extreme care is required when adjusting the arms on a
folding arm awning. The arms have a high tension internal spring
mechanism that can snap forward if inadvertently released from
the back support bar or extruded aluminium front bar and can
cause serious damage or injury if released. In particular do not
adjust, release or undo the fixings connecting the arms to the back
bar or front bar. Adjustments or repair to awnings should only be
undertaken by experienced technicians recommended by Blinds by
Peter Meyer.
Extreme care is required with motorised products. Avoid water
contact with motor systems and do not attempt to adjust the motor
settings. Awnings should be operated (ie extended and retracted)
at least every two months to maintain proper working order.
Warranty of Exterior Blinds.
Subject to Clause 5, below, Blinds by Peter Meyer warrants that the
Goods shall be free from defects in material and workmanship for a
period of five years from the date of invoice to the Distributor in

the case of folding arm awnings, Exterior roller blinds and pivot arm
awnings. Components supplied by Blinds by Peter Meyer that fail
during this period will be replaced or repaired at the discretion of
Blinds by Peter Meyer free of charge upon receipt of a purchase
order from the Distributor and the return of the defective parts or
goods to Blinds by Peter Meyer.
This Warranty is limited to the replacement of the parts, with Blinds
not being liable for costs incurred in returning the parts or goods,
electrician’s and other trades costs, attendance at the site of the
installed Goods or for any subsequent installation costs. The
Warranty is based on Blinds by Peter Meyer being provided, free of
charge, clear access and a suitable, safe, work platform, if requested
by Blinds by Peter Meyer or their agent/distributor, to assess any
repair work required. Blinds by Peter Meyer will not cover costs of
scaffolding if it was required to access the product to assess or
repair the product. Attendance at the site of the installed Goods to
inspect the Goods pursuant to a claim under this Warranty is at the
discretion of Blinds by Peter Meyer - lf required by Blinds by Peter
Meyer, the goods are to be returned to Blinds by Peter Meyer
premises for inspection at the cost of the distributor. Any claims for
replacement of Goods under this Warranty are to be made to Blinds
by Peter Meyer by the distributor that supplied the Goods to the
consumer servicing the product, including replacement of parts
supplied by Blinds by Peter Meyer under this warranty, is the
responsibility of the distributor.
1. EXCLUSIONS
The following is not covered by this Warranty:
A) Fair wear and tear.
B) Damage resulting from accidents, negligence, neglect or default
on the part of the distributor (including incorrect installation of the
Goods or inappropriate product used for the install), consumer or
third parties.
(C) Damage, including adjustment to the pitch settings of folding
arm awning, resulting from storm, wind, rain, hail or snow.
(D) Damage resulting from the distributor or consumer not
following the Maintenance lnstructions for the goods.
(E) Damage to or deterioration in the performance of the goods
when repairs or adjustments to the goods have been undertaken by
a party other than Blinds by Peter Meyer or a technician approved
by Blinds by Peter Meyer.
(F) Deterioration of surface finishes due to exposure to ocean salt
spray or other corrosive atmosphere including hazardous industrial
processes.
(G) When any coating agent, other than a mild detergent diluted in
lukewarm water for cleaning purposes, is applied to the fabric.
(H) Labour, third party costs or electrical costs (other than the direct
replacement of components forming part of the Automation
Systems supplied by Blinds by Peter Meyer).
(I) Goods ordered outside of recommended specifications and
goods purchased from parties other than Blinds by Peter Meyer or a
Distributor.
(J) Fabrics, Automation Systems or any other item fitted to the
Goods that were not supplied by Blinds by Peter Meyer
{K) Consumable items that form part of the Goods including tape/
rope drives on conservatory systems,
(L) Small colour variations from powdercoating colour samples and
between components and profiles and variations in fabric colours
from samples that are caused by industrial processes.
(M) Changes or variations in the fabric including veining and
folding over time caused by the natural reaction of the fabric to the
environment.
(N) Interference with radio signals of Automation Systems caused
by any external factors, including radio signals in the vicinity of the
products, or internal electric systems to which the Goods are
connected.
(O) Water damage to Automation Systems or interference with the
Automation System controls caused by the Consumer or a third
party changing the limit settings of the Goods. All implied terms,
conditions and warranties are to be excluded from this agreement,
except for those that are mandatory by the law within the New
South Wales jurisdiction.
(P) Goods that fall outside the Five(5) year warranty period
(Q) Goods that have been left out in bad weather conditions or
damage caused by have been unable to retract an awning in a
power outage.
2) RESPONSIBILITY OF THE DISTRIBUTOR
It is the responsibility of the Distributor of the Goods to: (A) Be
familiar with the components, operating systems and installation
system for the Goods being sold to the Consumer.
(B) Ensure the fixing surface and location for the Goods is suitable
having regard to the capabilities of the Goods and identify if
additional fixing brackets are required beyond the minimum
number specified by Blinds by Peter Meyer or its partners such as
Weinor.
(C) Ensure the Consumer of the Goods fully understands the Goods
and any limitations of the Goods.
(D) Ensure the Consumer is aware that any warranty claims shall be
directed to the Distributor and that the Distributor shall then be
responsible for contacting Blinds by Peter Meyer to assess the
warranty claim.
GOVERNING LAW AND JURISDICTION
The law of New South Wales shall govern the contract for the
supply of Goods by Blinds by Peter Meyer.
Blinds by Peter Meyer and the Distributor of the Goods or
Consumer, as applicable, shall submit to the non exclusive
jurisdiction of the courts of New South Wales and the Federal Court
of Australia.

General terms of delivery and payment
supplier’s plant which are the result of force majeure or other events beyond our control – especially strikes, lockouts, government inter-vention, riots, effects of war or acts of terror – shall entitle us to post-pone delivery by a reasonable amount of time or to withdraw from the contract. Should it prove impossible for us or our supplier to deliver or provide the service, both we and our supplier shall also be released from our obligation to de-liver or provide the service. In the event of a delay or should it be im-possible to provide the service, we shall inform the customer without delay.
6.3. Unless otherwise agreed contractu-ally in writing, and provided that it is reasonable for the customer, we shall be entitled to provide partial deliveries and partial performance.
6.4. Call-off orders, or the specification of individual partial deliveries, are, as far as possible, to be made at equal intervals, in equal quantities, and in enough time to enable due and proper manufacture and deliv-ery. Should the consignments not be called off or specified at all or not in good time, we shall be enti-tled to withdraw from the contract if the set deadline has not been met.
6.5. Should a written agreement be-tween us and the customer specify that the goods are subject to in-spection under specific conditions, the acceptance of the goods shall take place at our works. All the costs relating to the acceptance – provided that these relate to the deployment of our staff, our mate-rial and our equipment – shall be borne by us, while all travel and accommo dation expenses for the person in charge of acceptance shall be borne by the customer. Should the customer fail to accept the goods for reasons within his/her control or due to any fault on his/her part, the goods shall be deemed to have been supplied in the due and proper manner upon their leaving our works.
7. Transfer of risk – Shipping/ packaging
7.1. Unless otherwise stated in the order confirmation, delivery of the goods shall be “ex works”. Our works are located in Cologne and Möckern (Germany). It is also here-by expressly agreed by the two par-ties that the Incoterm Code EXW (2010 version) shall apply.
7.2. All risks shall be transferred to the customer as soon as the goods leave our works in Cologne or Möckern. This shall equally apply when the goods are carried by our own vehicles or when we agree to take on or perform other services, most notably shipping costs or de-livery. We are under no obligation to unload the goods on behalf of the customer.
7.3. Should shipment or acceptance of the goods be delayed or not per-formed due to circumstances be-yond the control of the customer, all risks shall be transferred to the customer as soon as the customer has been notified that the goods are ready for shipment and deliv-ery. Should shipment be delayed due to or at the request of the cus-tomer, we shall store the goods at the expense and risk of the custom-er. In this instance, notification that the goods are ready for shipment shall be equivalent to having shipped the goods.
7.4. form of packaging, we accept no liability for the suitability of such packaging for the chosen method of delivery. No transportation packaging or any other forms of packaging, as defined under the packing regulations, shall be taken back with the exception of pallets and pallet cages. The customer shall be responsible for disposing of the packaging at his/her own expense.
7.5. Should we consent to the goods being returned, the customer shall bear all risks until the goods reach our works.
7.6. On request, we will obtain transpor-tation insurance, at the customer’s expense, to cover the consignment.
8. Retention of title8.1. All the deliveries made by us are
subject to retention of title. Owner-ship of the goods shall only then be transferred to the customer once the customer has fulfilled all his/her obligations arising from all legal relationships with us.
8.2. Should the goods subject to reten-tion of title be attached to any real estate by the customer to the ex-tent that they become an integral part of the property, the customer hereby transfers to us the corre-sponding, highest priority part of the claims against his client and/or the building owner together with all ancillary rights in the amount of all monies owed to us by the cus-tomer. In the event of resale, the customer shall transfer to us his/her claims against the purchaser for the same amount.
8.3. In the course of normal business, the customer shall, however, be entitled to dispose of the goods subject to retention of title and to collect the purchase price. Said en-titlement shall expire, should the customer be in arrears with pay-ments to us. In this instance, we shall be entitled to collect all the items we have already delivered. The customer hereby consents to our taking such action. The custom-er shall not be entitled to pledge or to assign by way of security the goods subject to retention of title. Should the goods subject to reten-tion of title be pledged or our rights encroached upon by any other form of third-party action, the customer must inform us with-out delay by registered mail. Any costs incurred by us as a result of our suffering enforcement or other prejudices shall be reimbursed by the customer.
8.4. The customer undertakes to obtain adequate insurance cover for the goods subject to retention of title. The customer hereby transfers to us any claims arising from such insur-ance.
8.5. At the request of the ordering par-ty, we undertake to release any securities to which we are entitled, provided the current value of our securities exceeds the claims which are to be secured by more than 10%. The decision on which securi-ties are to be released shall be at our sole discretion.
9. Assembly, assembly instructions and base/awnings and wind class, filiform corrosion and preano-disation
9.1. Unless otherwise agreed in writing, the assembly of the supplied goods shall not form part of the contract with the customer. The assembly work is to be carried out by our customer at his/her own risk. On request, we shall also assist our cus-tomer through training courses or other assistance. The provision of such assistance shall not imply any changes to the customer’s obliga-tion to carry out the assembly work him/herself.
9.2. Our assembly instructions and our verbal or written advice on using our products are intended to pro-vide the customer with information on the best possible use of our products and services. They are not intended to release the customer from his/her duty of due diligence to ascertain whether our goods and services are suitable for the in-tended purpose. This applies espe-cially to information about the de-sign and quantity of the required brackets and testing the load bear-ing capacity, as well as the nature of the assembly base, and the dis-closure of such information to us
1. Scope of application 1.1. Our General Terms of Delivery and
Payment (Terms and Conditions of Business) apply exclusively to all contractual relations involving weinor and a business (customer). No terms and conditions which contradict our Terms and Condi-tions of Business, or any terms and conditions of the customer which deviate from the same, shall be ac-cepted unless confirmed expressly by us in writing. Our Terms and Conditions of Business also apply should we deliver to the customer knowing that the customer’s Terms and Conditions of Business differ from our own.
1.2. All agreements reached between ourselves and the customer aimed at fulfilling the contract drawn up between the contracting parties are to be recorded in this contract.
1.3. In addition to these Terms and Conditions of Business, the “Manu-facturer’s Information on Awning Fabrics”, excerpts of which are printed in the price list made avail-able prior to drawing up the con-tract, shall also apply.
2. Offer/drawing up of contract2.1. Our offers and all details given in
price lists, brochures, on websites, etc. are to be understood as being without commitment unless other-wise stated in the confirmation of order.
2.2. The customer’s order shall repre-sent a binding offer which we may accept within one month by send-ing written confirmation or, in the case of orders for awning fabrics, by supplying the goods.
2.3. None of the customer’s rights arising from the contract are trans-ferable.
3. Prices and price adjustments 3.1. Unless otherwise provided for in
the order confirmation, our prices shall be based on the price lists valid on the day of the order con-firmation.
3.2. Price adjustments shall be permissi-ble should more than four months pass between concluding the con-tract and the agreed date of deliv-ery. Should either wage levels or the cost of materials change after this and before the date of delivery, we shall be entitled to adjust the price in line with any increases or decreases in costs. The customer shall only be entitled to withdraw from the contract should the price rise by more than 5%.
3.3. Our prices are ex works and do not include the cost of freight, postage, packaging, insurance or any other shipping costs.
3.4. Our prices are exclusive of value-added tax at the current rate; this is to be paid at the rate applicable on the day of invoicing and will be shown in the invoice separately.
4. Terms of payment, offsetting payments, right of retention
4.1. Payments for standard orders (phone/fax orders, etc.) which are settled within 3 days using a SEPA Business-to-Business Direct Debit Mandate shall be subject to a 4% discount. The deadline for the pre-notification is hereby shortened to 5 days. Any costs incurred due to the mandate being reversed or not being honoured shall be borne by the customer provided that the reversal or failure to honour the mandate was not caused by our-selves. Payments effected within 10 days of date of invoice shall be subject to a 3% discount. Orders placed via the E-Shop are subject to
a 5% discount provided that pay-ment is settled within 3 days using a SEPA Business-to-Business Direct Debit Mandate; a 4% discount shall apply to payments made within 10 days using a SEPA Business-to-Business Direct Debit Mandate. The terms and conditions agreed above for the pre-notification deadline and the costs for not hon-ouring the mandate shall apply ac-cordingly.
Invoices settled after the initial 10 days from date of invoice and within the period stated on the in-voice are to be paid net and in full within 30 days of the date of in-voice. If a SEPA Business-to-Business Direct Debit Mandate is issued but is reversed or not honoured for reasons beyond our control, the corresponding invoice amount shall become due with immediate effect.
4.2. Should the deadline for payment be exceeded, we shall be entitled to charge interest on arrears amounting to 9 percent per an-num. The customer shall be entitled to prove that, in individual cases, either no loss or damage or a lower loss or damage has occurred. Fail-ure to pay within the agreed dead-line will also entitle us to require payment in advance or collateral before carrying out pending deliv-eries.
4.3. The customer shall not be entitled to offset outstanding payments with counterclaims unless these are legally adjudicated (res judicata), are undisputed or have been ac-cepted by us. The customer shall furthermore only be entitled to re-fuse performance until counter-performance has been effected if the counterclaim is founded on the same contractual relationship.
4.4. Cheques and bills of exchange will only be accepted on account of performance. They shall be accept-ed at our sole discretion. The cus-tomer shall bear the costs and charges for discounting and cash-ing bills of exchange.
4.5. Should the customer fall into ar-rears with payments, we shall be entitled to retain up to half of the customer’s valid or agreed rebates and to set these off against the most overdue payment claims in such a way that the principal claim is settled first, followed by the interest due and then the costs incurred.
5. Consent to electronic invoicing We shall be entitled to issue in-
voices electronically. Our customer hereby expressly consents to receiv-ing invoices electronically.
6. Delivery and call dates; acceptance of delivery
6.1. Delivery dates are only approxi-mate dates. Agreements relating to delivery dates are not fixed delivery dates unless these have been ex-pressly confirmed as such by us in writing. Should a fixed delivery date be agreed, no guarantees can be given as to the exact time of de-livery. Delivery dates are deemed to have been met as soon as we have indicated that the consignments are ready for dispatch.
6.2. Adherence to our obligation to de-liver shall be subject to the custom-er meeting his/her obligations on time and in the due and proper manner as well as to the customer’s obligation to cooperate. Failure to meet the above shall result in the delivery date being extended by a reasonable amount of time. Delays in delivery at our company or our

when placing the order. Should the customer not provide any details about the brackets or the assembly base when placing his/her order, we shall supply brackets of a design and in a quantity suitable for instal-lation on concrete with a covering of up to 20 cm (non-pressure-resist-ant base) for wind resistance cate-gory 2. Consequently, should it not be possible to use the product as set out in the agreement because of inadequate or inaccurate infor-mation being provided by the cus-tomer, we shall only be liable should we or our employees have acted with intent or gross negli-gence.
9.3. Given the complexity of the inter-action between building materials, tools and fastening elements, we recommend that customers inform and assure themselves of the spe-cific building conditions, especially static conditions, at the site in ques-tion. This applies especially to test-ing the load bearing capacity and the nature of the assembly base. Since we never carry out any instal-lation work for the customer and only supply the goods to a custom-er’s order, we accept no liability in this regard.
9.4. Our awnings comply with the re-quirements of wind resistance cate-gory 2. This presupposes that the awning is installed by our customer in a proper manner not otherwise involving any technical defects. At the same time, this presupposes that the awning is installed using the type and quantity of brackets recommended by the manufactur-er, that the strength of the dowels prescribed by the manufacturer has been taken into account during the installation work and that the manufacturer’s instructions con-cerning dowels are followed during assembly.
9.5. Unless otherwise agreed in writing, awnings delivered by us are de-signed for fitting with a revision appliance accessible from the out-side. If the awning is affixed to the cladding in such a way that the re-vision cannot be attached from the outside, we shall, in the event that the awning has defects, not be liable for costs connected to the opening up and sealing of the clad-ding associated with the removal of defects of the awning delivered. This shall also apply in a case of warranty claim. The customer must inform the final customer of the need for a revision appliance to be manufactured which is accessible from the outside.
9.6. Important information on filiform corrosion (= growth of traces of fibrous corrosion under painted surfaces which, under certain con-ditions, may be brought about by the moisture and electrolyte con-tent in the atmosphere, e.g. in coastal areas): The customer is hereby advised that, based on the best available technology, filiform corrosion in powder-coated alu-minium parts/other painted com-ponents can only be reduced if the long sections have undergone an anodisation process. This does not apply to small parts.
10. Warranty/obligation of inspection and of notification of defects in writing/compensation for damage
10.1. Variations in colour, design, etc. which are normal in the trade are not defects. The same applies to deviations in our products from samples or patterns. We warrant that the products are free from manufacturing defects and defects in the material and that any assem-bly work insofar as it is, in excep-tional cases, carried out by our-selves or by a company instructed by us, shall be carried out properly. However, we give no guarantees that the design and make-up of the ordered items comply with the provisions under public law for the intended purpose.
10.2. Upon delivery, the goods should be inspected immediately to ensure that they are as ordered and should be checked for defects. Such checks must be carried out at the latest on our customer’s premises. Should the customer arrange for delivery to be made to a third-party loca-tion, e.g. the customer’s home, all risks arising from direct delivery shall pass to the customer as soon as the consignment has left the supplier’s works. Faults must be re-ported to us in writing without de-lay and received by us no later than 8 days after delivery. Faults which only appear during the period of guarantee shall be subject to the same procedure and period of notice. The period of notice shall commence on the day the defect occurs. Failure on the part of the customer to comply with the obli-gation to examine and to lodge a complaint about faults shall invali-date the warranty.
10.3. In the event of improper delivery, providing that the customer has fulfilled his/her obligation of in-spection and of notifying defects in writing, as set out in Section 377 HGB (German Commercial Code), we shall be liable as follows: Should there be a defect in the purchased item, we shall, at our discretion, be entitled to rectify the defect or to supply a fault-free product (reme-dy). We shall only be liable if the defect is substantial. Should either or both types of remedy be impos-sible or unreasonable, we shall be entitled to refuse to provide a rem-edy. We shall also be entitled to refuse to provide a remedy so long as the customer fails to make pay-ments corresponding to the fault-free portion of the service. Should remedy be impossible or ineffec-tive, the customer has the option of reducing the purchase price to an appropriate level or of withdraw-ing from the agreement as provid-ed for in law. This shall apply espe-cially to any culpable delay of or refusal to provide a remedy as well as to cases where a remedy has failed a second time. In addition to the above, reference is made to the special conditions for awning fab-rics which are also part of our con-tractual relationship.
10.4. Notwithstanding any agreements to the contrary below, no other customer claims shall be accepted irrespective of the legal basis (espe-cially claims for damages arising from an infringement of ancillary obligations under the contract; un-lawful acts, or any other tortious li-ability and claims for reimburse-ment of expenses, with the excep-tion of those set out in Sect. 439 Para. 2 BGB (German Civil Code)). This applies especially to claims for damages not directly related to the purchased item as well as to claims for damages for loss of income. Lia-bility in the event of careless in-fringement of a material contractual obligation (cardinal obligation) shall be limited to the amount of foresee-able damage typical for the contract in question. Furthermore, we shall be liable in accordance with the stat-utory provisions to the extent that the customer should claim for any damages which are based on wilful intent or gross negligence on our part, including wilful intent or gross negligence on the part of our repre-sentatives or agents. Liability for cul-pable loss of life, limb or health shall remain unaffected; this shall also ap-ply to any mandatory liability arising from the product liability law. The above shall also apply to the reim-bursement of expenses. The exclu-sion of liability shall equally not apply to any assumed guarantees or any guaranteed characteristics should a defect covered by either of these give rise to a claim for which we are liable. All claims re-sulting from recourse against the manufacturer or the supplier shall also remain unaffected.
10.5. No warranty is given for damage resulting from the following: un-suitable or improper usage; faulty assembly by the customer or a third party; non-adherence to our oper-ating and service instructions; arbi-trary changes to the products; re-placement of parts or use of con-sumables not in compliance with the original specifications; replace-ment of materials; normal wear and tear; filiform corrosion, to the extent that we had not been asked to pre-anodise the parts in ques-tion or done so; faulty or negligent operation; inappropriate fuels; inadequate construction work; un-suitable base; chemical, electro-chemical or electrical factors inso-far as these are beyond our control; improper adjustment or corrective maintenance work carried out by the customer or a third party with-out our prior consent.
10.6. No claims arising from faulty partial deliveries shall be applied to the other remaining partial deliveries.
10.7. The limitation period for claims based on defects shall be 24 months from the transfer of risk. In all other respects, the statutory warranty conditions shall apply.
11. Patents Should a third party claim against
the customer or the customer him/herself claim for an infringement of his/her industrial property rights regarding the delivered products, the customer undertakes to inform us of this immediately. We shall be entitled but not obliged to con-duct, at our own expense, all nego-tiations relating to an out-of-court or court settlement and/or legal action covering the infringement of industrial property rights relat-ing to the delivered products. The customer shall be obliged to assist us and to transfer the relevant powers of attorney. No liability for damage arising from infringements of patents shall be accepted.
12. Images, photographs, drawings12.1. If and to the extent that we pro-
vide a customer with images, pho-tographs or drawings which the then uses, for example, on the in-ternet, or in leaflets, brochures or similar advertising media, the cus-tomer shall be obliged to indicate the origin/authorship of such im-ages, photographs or drawings, for example by adding a remark below or on the image, photo or drawing such as “Copyright weinor” or the corresponding symbol © in con-junction with the company name weinor. If we have included a year, this must also be added after the reference to our copyright. If we provide images, photographs or drawings to which we do not own the copyright but merely the right to use such images, photographs or drawings, we shall make this known to the customer. The use of such items shall be at our custom-er’s risk.
12.2. The images, photographs or draw-ings to which we own the copy-right shall remain weinor’s proper-ty. Such materials will only be pro-vided to the customer on a loan basis and may only be duplicated, reproduced, copied, stored or passed on to third parties as part of the business relations with weinor and for the purpose of advertising our products in the corresponding manner. The images, photographs or drawings may not be edited or otherwise amended – whether through photocomposition, mon-tages, electronic tools or any other forms – without our written con-sent. This especially applies to digi-tal graphical materials. The copying or redrawing, reconstruction or re-taking of photographs is equally not permitted without our written consent.
12.3. If and to the extent that the cus-tomer provides us with images, pho-tographs or drawings, the customer
hereby warrants that no third-party copyrights to such images, photo-graphs or drawings are affected in any way, and hereby releases us from any and all costs and damage claims which may arise due to an infringement of copyrights to the images, photographs or drawings which the customer provides.
13. Place of fulfilment/court of jurisdiction/choice of law
13.1. Unless otherwise provided for under this contract, the place of fulfilment and payment shall be our registered offices in Cologne, Germany.
13.2. If the customer is a business person, the court of jurisdiction shall be our registered offices in Cologne, Germany.
13.3. The laws of the Federal Republic of Germany shall apply, to the exclu-sion of the EU Sales Convention.
14. Final provisions Any amendments and additions to
this agreement shall only apply if made in writing. For its part, the re-quirement to have all agreements in writing may only be waived by written agreement. These new terms and conditions of delivery and payment supersede all previ-ous versions.
