1 GlossaryTerm Definition

Applicant An eligible primary producer (farmer) or eligible farm business that applies to the department for funding to take part in the On-Farm IoT Trial.

Apps & Devices Any Internet of Things software applications (apps) and/or devices that are related to the dairy, grains, sheep or horticulture agricultural industries.

Catalogue of Apps & Devices or catalogue

A catalogue of specific Apps & Devices available for Participating Farmers to trial as part of the On-Farm IoT Trial under the grant funding program. The catalogue will include details of the capability of each of the Apps & Devices, Supplier details, and which Apps & Devices are offered by each Supplier.

Completion The completion of all supplies by the Supplier under the Purchase Order Contract, and the satisfaction of all other conditions as specified in the Standing Offer Agreement.

Grant Government assistance in the form of funding. Under the On-Farm IoT Trial, the grant can be used by Participating Farmers to subsidise the cost of acquiring eligible Apps & Devices from the Catalogue of Apps & Devices.

IoT Solution IoT Solution means the combination of Apps & Devices to be supplied by the Supplier in relation to a specific Purchase Order Contract.

On-Farm IoT Trial A trial to test the benefits of on-farm IoT technologies by assessing the contribution that IoT makes to farm performance within dairy, grains, sheep and horticulture industries, as further described in these Supplier Guidelines.

Participating Farmer An Applicant that has successfully applied to the department for grant funding to acquire eligible Apps & Devices as part of the On-Farm IoT Trial.

Purchase Order Contract

A contract for the supply of an IoT Solution which is formed between the Participating Farmer and the Supplier in accordance with the Standing Offer Agreement.

Standing Offer Agreement

A deed of standing offer which each Supplier is required to enter into with the department as a pre-condition to inclusion of the Supplier’s Apps & Devices in the catalogue.

Supplier An eligible organisation that has been pre-selected by the department as being qualified to supply Apps & Devices under the On-Farm IoT Trial.

2 Introduction 2.1 About Victoria’s On-Farm IoT TrialIn October 2018, the Victorian Government launched the Digital Agriculture Strategy (the strategy). The strategy highlights the government’s commitment to driving the uptake of digital technology in agriculture. It acknowledges the opportunities digital technology holds for both producers and consumers and sets out a plan to support Victorian farmers to benefit from digitisation in agriculture.

The centrepiece of the strategy is a $27 million commitment to support adoption of digital technologies on-farm, including $12 million to fund Victoria’s On-Farm IoT Trial.

The On-Farm IoT Trial will support Victorian farms to be digitally enabled to improve the productivity, competitiveness and sustainability of Victoria’s agriculture sector. Under the On-Farm IoT Trial, the Department of Jobs, Precincts and Regions (the department) will contribute to the costs of acquiring IoT technology to implement on farms. The department will partner with farmers to establish up to 600 IoT-enabled farms over the two-year trial period, across four farm types and regions.

The purpose of the On-Farm IoT Trial is to test the benefits of on-farm IoT technologies on Victorian farms by assessing the contribution that IoT makes to farm performance within dairy, grains, sheep and horticulture industries.

Where will the trial take place?

The On-Farm IoT Trial will support on-farm adoption of IoT by addressing barriers to uptake, including:

• lack of connectivity. The department will support connectivity providers to deliver IoT connectivity to each of the On-Farm IoT Trial regions

• digital literacy. The department will employ an Industry Technology Coordinator with expertise in farm management and digital technology in each of the On-Farm IoT Trial regions. Coordinators will coach and support Applicants and Participating Farmers, including through the selection of IoT Solutions to trial on-farm

• capital to invest in on-farm IoT technologies. The department will contribute to the cost of acquiring Apps & Devices for Participating Farmers.

The department will evaluate the contribution of IoT to farm performance over the course of the On-Farm IoT Trial. It will also implement selected Apps & Devices on Agriculture Victoria Research SmartFarms to further test and benchmark IoT technologies.

Outcomes of the On-Farm IoT Trial will be made available to Participating Farmers and other Victorian farmers, and will:

• help inform Victorian farmers’ decisions to adopt IoT technology on-farm

• help inform the Victorian Government’s future decisions about the feasibility of a broader roll-out of one or more of the trial components, as well as other digital agriculture investments

• contribute to developing and testing data governance principles to improve farmer confidence in how IoT data is collected, stored, shared and used.

The On-Farm IoT Trial will be carried out in multiple funding rounds. The first round is a pilot round, during which the department will seek to enrol 100 farms (25 for each farm type and region). In subsequent rounds, the On-Farm IoT Trial will be expanded to include up to a further 500 farms.

Depending on outcomes of the pilot round, these Supplier Guidelines may be subject to change for the expanded On-Farm IoT Trial. The Catalogue of Apps & Devices, and range of IoT technologies offered within the catalogue, may also be subject to change over the course of the On-Farm IoT Trial.

The department reserves the right to amend the Supplier Guidelines and Catalogue of Apps & Devices as required in its sole and absolute discretion.

2.2 What is supported under the trial?Participating Farmers will be eligible to receive grant funding toward the cost of acquiring Apps & Devices selected from the Catalogue of Apps & Devices.

Apps & Devices will be selected from the catalogue by Applicants, in consultation with an Industry Technology Coordinator appointed by the department.

3 The Catalogue of Apps & DevicesTo support the On-Farm IoT Trial, a Catalogue of Apps & Devices is being developed by the department. The catalogue will contain a range of IoT technologies that have been deemed suitable for the On-Farm IoT Trial and will be established pursuant to the following process:

Step 1 Organisations wishing to be included in the Catalogue of Apps & Devices responded to the Request for Proposal entitled “Digital Agriculture – IoT Trial - Applications/Devices” released on 20 August 2018 and advertised on the VicTender website.

Step 2 The department assessed the submitted responses against the evaluation criteria in the Request for Proposal document. In determining the catalogue composition, the department took into consideration the balance of Apps & Devices across the four industry types.

Step 3 Successful organisations (Suppliers) enter a Standing Offer Agreement with the department and become Suppliers for the purpose of the On-Farm IoT Trial.

Step 4 Suppliers’ Apps & Devices are included in the Catalogue of Apps & Devices for the purpose of the On-Farm IoT Trial.

As the On-Farm IoT Trial progresses, the department may review the catalogue and invite new IoT technology providers to apply for inclusion via a formal assessment process. The timing of any call for the inclusion of additional Apps & Devices to the catalogue is at the sole discretion of the department.

The department reserves the right to remove any Apps & Devices from the Catalogue of Apps & Devices.

4 Selection and supply of IoT Solutions

The inclusion of a Supplier’s app or device in the catalogue does not guarantee that it will be selected by Participating Farmers under the On-Farm IoT Trial.

Participating Farmers will select the Apps & Devices (including the number and type) to acquire, in accordance with their identified on-farm needs and with the support of their Industry Technology Coordinator.

Selection and supply of Apps & Devices for use in the On-Farm IoT Trial will take place according to the following process:

Step 1 The Catalogue of Apps & Devices is presented to farmers interested in participating in the On-Farm IoT Trial, so they can consider the technology that will be available to Participating Farmers to test under the On-Farm IoT Trial.

Step 2 Farmers applying to take part in the On-Farm IoT Trial (Applicants), in consultation with an Industry Technology Coordinator from the department, select the Apps & Devices from the Catalogue of Apps & Devices that they wish to purchase and test on-farm.

Step 3 Applicants are assessed by the department. Successful Applicants become Participating Farmers and enter into a Grant Agreement with the department to receive grant funding to be applied toward the acquisition of their Apps & Devices.

Step 4 Participating Farmers enter into a Purchase Order Contract with the Supplier of each selected IoT Solution.

Step 5 The Supplier fulfils all conditions of the Purchase Order Contract, in accordance with the Standing Offer Agreement, and supplies the Participating Farmer with their IoT Solution.

Step 6 The Participating Farmer pays the Supplier the full cost of the IoT Solution in accordance with the Purchase Order Contract.

Step 7 The department reimburses the Participating Farmer a proportion of the cost of the IoT Solution/s in accordance with the Grant Agreement.

Step 8 Participating Farmers and/or Suppliers work with the department to share data generated from the IoT Solutions, to test the on-farm impacts and benefits of IoT.

5 Grant funding5.1 What is a grant?A grant is a form of government funding assistance which can be used by Participating Farmers to subsidise the cost of Apps & Devices selected from the catalogue from the relevant Supplier for the purposes of the On-Farm IoT Trial.

The grant will be issued by the department to the Participating Farmer (not the Supplier).

Grants can only be used by the Participating Farmer to subsidise the cost of the IoT Solution/s from the relevant Supplier/s, as approved by the department.

Conditions of grant funding for Participating Farmers are published in the Applicant Guidelines.

5.2 Payment conditionsPayment of the grant is made by the department to the Participating Farmer, upon receipt from the Participating Farmer of proof of expenditure for the acquisition of the IoT Solution in accordance with the issued Purchase Order Contract.

The Supplier must provide to the Participating Farmer documentation to confirm that the Supplier has received payment for the full value of the IoT Solution in accordance with the Purchase Order Contract.

These Terms and Conditions are to be read in conjunction with the Standing Offer Agreement executed by the Supplier and department.

The department reserves the right to make changes to these Terms and Conditions as required.

6.1 Supplier responsibilitiesSuppliers selected by the department must:

• agree to and meet the Terms and Conditions set out under section 6 of these Supplier Guidelines

• enter into the Standing Offer Agreement with the department.

6.2 Conditions of Supplier engagement Suppliers selected by the department for inclusion in the Catalogue of Apps & Devices will be required to enter into a Standing Offer Agreement with the department, which incorporates these Terms and Conditions by reference.

By entering into the Standing Offer Agreement, Suppliers, in addition to being bound by the terms and conditions in the Standing Offer Agreement, agree to:

• commit to supply their Apps & Devices to Participating Farmers at the prices stipulated in the Standing Offer Agreement

• undertake to declare to the department any conflict of interest which may arise in regard to any Participating Farmer

• undertake their obligations and responsibilities in accordance with the Standing Offer Agreement and with these Supplier Guidelines

• undertake Completion of Purchase Order Contracts within the agreed timeframe as stipulated in the Standing Offer Agreement

• warrant they are not currently involved in any litigation that would materially prejudice their ability to supply the Apps & Devices and that they will advise the department immediately if these circumstances change

• warrant that they have sufficient financial capacity to manage terms of payment of up to 90 days against a Purchase Order Contract

• demonstrate that they have public liability insurance cover up to $5 million per occurrence and that evidence of such must be provided to the department upon request

• participate in program evaluation activities as and when reasonably required by the department.

6.3 Purchase Order Contract between Participating Farmer and Supplier

In accordance with the Standing Offer Agreement, a Participating Farmer must submit a Purchase Order to the Supplier to acquire the applicable IoT Solution from the Supplier in accordance with the Standing Offer Agreement, and a “Purchase Order Contract” will be formed between the Participating Farmer and the Supplier, as defined in the Standing Offer Agreement.

Neither the department nor the State will be a party to the Purchase Order Contract and the Supplier agrees that neither the department nor State will be liable for any losses, payments, consequences or outcomes under the Purchase Order Contract.

Although the State will have an obligation to pay grant funding to the Participating Farmer in accordance with the Grant Agreement, the Supplier agrees that the State is not responsible for, and does not guarantee, the payment obligation of the Participating Farmer under the Purchase Order Contract.

6.4 Removal from the Catalogue of Apps & Devices

The department reserves the right to remove any Supplier, app or device from the Catalogue of Apps & Devices in its sole and absolute discretion.

7 ConfidentialityAny personal information provided by the Supplier or a third party in an application will be collected by the department for the purposes of grant administration. This information may be provided to other Victorian Government bodies for the purposes of assessing applications.

If confidential personal information about third parties is included in an application, Suppliers are required to ensure that the third parties are aware of the contents of this confidentiality statement.

The Supplier acknowledges that the department may disclose the Catalogue of Apps & Devices to Applicants and farmers interested in becoming Applicants or Participating Farmers for the purposes of assisting them in considering and selecting Apps & Devices from the catalogue.

Any personal information collected, held, managed, used, disclosed or transferred will be held by the department in accordance with the provisions of the Privacy and Data Protection Act 2014 (Vic) and other applicable laws.

The department is committed to protecting the privacy of personal information. The department’s privacy policy can be found online at www.djpr.vic.gov.au. Enquiries about access to information should be directed to the department’s privacy unit by email [email protected].

6.5 Post-trial evaluation All Suppliers must agree to comply with the department’s performance monitoring and evaluation activities. The Supplier may receive an evaluation survey from the department and may be required to participate in other evaluation activities.

The evaluation surveys may be required for up to three (3) years following Completion. This is a non-negotiable requirement for all Suppliers partaking in the On-Farm IoT Trial. Non compliance could impact future applications to the department’s programs.

Outcomes may be used in program evaluation reviews and departmental marketing collateral.

6.6 PublicitySuppliers must agree to cooperate with the department in the promotion of the On-Farm IoT Trial. This may include involvement in media releases, case studies or promotional events and activities.

The department may request Suppliers to fact-check any text and seek approval to use any owned imagery associated with the activity prior to the publication of any such promotional materials.

Suppliers must not make any public announcement or issue any press release regarding their participation in the On-Farm IoT Trial without prior approval of the department.
