(Please see page 2 for the text of the resolution.) At the meeting, President Rodin said in her opening report to the trustees, concerning the Budget and Finance Committee action, “This was not an easy decision to make, but I am extremely confident that it is in the long-term best interest of the University. I look forward— as I know John Fry does—to working with all members of the University community in implementing this decision and making the transition to Trammell Crow’s management of University facilities as smooth as possible.” After the vote of the full board, the chairman, Dr. Roy Vagelos, gave a brief statement: We, the Trustees of the University of Pennsylvania, strongly support the Administration’s strategic plan to focus on the University’s core responsibilities of teaching and research as expressed in the Agenda for Excellence. We commend the Administration for taking steps to operate the University effectively and efficiently and urge it to continue to do so. At the stated meeting of the full board Friday, November 7, the University trustees passedunanimously the resolution of the Budget and Finance Committee to approve the agreementwith Trammell Crow Company which will outsource Penn’s facilities and real estate manage-ment by March. (Please see page 2 for the text of the resolution.)

At the meeting, President Rodin said in her opening report to the trustees, concerning theBudget and Finance Committee action, “This was not an easy decision to make, but I amextremely confident that it is in the long-term best interest of the University. Penn’s Way:A ‘Side by Side’ Campaign

In an effort to maximize options for our em-ployees, while minimizing administrative fees, Iam pleased to announce that Penn will partner withboth the Center for Responsible Funding and theUnited Way to manage this year’s Penn’s Waycharitable donations campaign.

It was determined that if the Center for Respon-sible Funding was selected to manage the entirePenn’s Way Campaign, there would be a signifi-cant “double hit” of administrative fees on fundsraised for United Way agencies. This would not bethe case if the campaign were run by the UnitedWay. This distinction is very important becauseapproximately 75 percent of the funds raisedthrough the Penn’s Way campaign are channeledthrough the United Way.

In last year’s campaign, for example, $230,000was raised, of which $173,000 went to United Wayagencies. In other words, of the $173,000, 11.7percent was “charged” by the United Way foradministration. If the Center for Responsible Fund-ing had handled these transactions, there wouldhave been an 11.5 percent charge from the Centeradded to the 11.7 percent by United Way. As aresult, the total administrative fee for 75 percent ofthe funds raised at Penn would have been 23.2percent – which would have amounted to $40,000,as compared to $20,000.

This year marks the first “Side by Side” cam-paign, in which the United Way will manage atraditional United Way campaign on our behalf,and the Center will manage a parallel campaign forthe partner organizations (Bread & Roses Com-munity Fund, Catholic Charities Appeal, Environ-mental Fund for Pennsylvania, Federation of Al-lied Jewish Appeal, the United Negro CollegeFund, Inc., Womans Way, AIDS Fund, BlackUnited Fund of PA, Inc.). While we chose theUnited Way so as to minimize administrative feesto United Way participants, we chose the Center tomanage the Partner organizations campaign basedon campus feedback on other issues such as inde-pendent management. Although this will be a Sideby Side campaign, we anticipate that there willonly be one mailing, a consistent and clear set ofmaterials, and a single letter sent on behalf ofPenn’s Way.

We are currently finalizing the operational de-tails of this campaign and I look forward to thisbeing the most successful Penn’s Way to date.

Packard Fellow: Nancy BoniniThe David and Lucile Packard Foundation has made a

$500,000 award to Penn’s Dr. Nancy Bonini, assistant pro-fessor of biology, as one of the 20 most promising science andengineering researchers at universities in the U.S. The awardwill support five years’ research for Dr. Bonini, a Princetonalumna who took her Ph.D. from the University of Wisconsin in1987. She is currently working on genetic models of braindegeneration in fruit flies (Drosophila melanogaster).

Packard awards, established in 1988, have supported 200Fellows at 44 institutions at a total of $100 million. Lynn Orr,dean of earth sciences at Stanford and chair of the advisory panelthat selects the Fellows, said the “unrestricted nature of thefellowship along with the commitment of funding for five yearswill enable these research groups to pursue lines of inquiry thatmight be too risky for standard funding mechanisms.”Dr. Bonini

Resolution on the Approval of theTC Higher Education Services, Inc., Servicing Agreement

Intention:TC Higher Education Services, Inc. (“TCHES”) is a wholly owned subsidiary of

Trammell Crow Corporate Services, Inc. and was formed for the purpose of managinguniversity facilities and related services. To provide for the cost efficient professionalmanagement of professional management of university facilities and related services, theUniversity of Pennsylvania (“University”) desires to enter into an agreement with TCHESfor management services in connection with the University’s facilities, infrastructure andreal estate portfolio and for other reporting and consulting services, as will be morespecifically set forth in a Servicing Agreement to be entered into between the Universityand TCHES (the “Servicing Agreement”). The Servicing Agreement will provide, interalia, for the management of at least 10,000,000 square feet of University facilities for a termof ten years (in addition to a four month initial period and a four month transition period)for an annual management feel of $4,700,000, which fee will be subject to adjustment onaccount of cost savings, performance standards and other terms and provisions which willbe more specifically set forth in the Servicing Agreement. The Servicing Agreement willalso provide for the following incentive payments to be made to the University: (1)$1,000,000 on the effective date of the Servicing Agreement; (2) $25,000,000 on the initialperiod commencement date of the Servicing Agreement; and (3) $6,000,000 to be paid inincrements of $1,000,000 starting on June 30, 2002 and annually thereafter during the termof the Servicing Agreement, subject to certain conditions more specifically set forth in theServicing Agreement.

Resolved, that the transaction described in the foregoing Intention be, and the samehereby is, approved, with such changes as the Executive Vice President of the University(“EVP”), or other appropriate officer, approves (such approval to be evidenced conclu-sively by the execution and delivery on behalf of the University of the Servicing Agreementand any and all other documents relating thereto).

Further Resolved, that, pursuant to the foregoing, the delegation of authority to the EVP,or other appropriate officer, to take such action and approve and execute such documentson behalf of the University as may be necessary to effectuate and implement the transactioncontemplated herein be, and the same hereby is, approved, with such changes as suchofficer deems advisable, necessary or appropriate in order to effectuate such transaction.

Trustees Stated Meeting (from page 1)

Dr. Rodin formally nominated and introduced Peter C. Erichsen as Vice President andGeneral Counsel of the University and the Health System (Almanac November 4), addingto the previously-published biographical information that he has coordinated the selectionand confirmation of federal judges and supervised the Presidential appointments process,including the 1996-97 Cabinet transition. From 1993-1996, Mr. Erichsen was deputyassistant attorney general at the Department of Justice. His election was approved.

Provost Stanley Chodorow, addressing his last full board meeting as he prepares to leavethe University December 31, expressed appreciation to President Rodin, EVP John Fry, theDeans and Vice Provosts and to the trustees for “an experience I hope to carry into my futurecareer.” Dr. Vagelos extended his thanks to the Provost, and Dr. Rodin said that while therewill be more occasions before Dr. Chodorow leaves, she added her appreciation for his“wonderful, lasting achievements” at Penn. Later Dr. Gloria Chisum, reporting on behalfof Dr. Donald Langenberg for the Trustees Committee on Academic Policy, praised theinitiative to increase the graduation rate of Penn undergraduates (Almanac October 28).

Neighborhood Initiatives: Dr. Vagelos also reported on the establishment of a newTrustee Committee on Neighborhood Initiatives, whose first chairman is the Hon. GilbertF. Casellas, L ”77, chair of the U.S. Equal Employment Opportunity Commission inWashington, D.C., and a lecturer in the Law School, 1985-89 and 1992-93.

Later, after voting a suspension of rules to allow for election to the Executive Committeeother than in the spring, the trustees elected to the Executive Committee both Mr. Casellasand Dr. Harold J. Levine, Gr. ’66, H ’96, who is the Harry C. Wiess Professor of MolecularBiology at Princeton.

Six New Faces in SEASWhen The Compass was preparing this year’s special

insert on new faculty in all of the schools (Almanac Oct. 7),the School of Engineering and Applied Science sent thumb-nail sketches of its six new faculty directly from the Dean’sOffice, and arranged for photographs to be sent from an off-campus source. Inexplicably, the photographs did not arrive.But the Dean has since tracked them down, and we are pleasedto present them now on behalf of The Compass.

Rajeev Alur, Associate Professor of Computer and Infor-mation Science, specializes in computer-aided verification withstrong ties to diverse areas such as CAD, software engineering,real-time systems, and control systems; Ph.D. from Stanford.

Kwabena A. Boahen, Assistant Professor of Bioengineer-ing/Secondary in Electrical Engineering and Skirkanich TermAssistant Professor, specializes in neuro implementation withVLSI with a biology interest; Ph.D. from CalTech.

I-Wei Chen, Professor of Materials Science and Engineer-ing and Skirkanich Professor of Materials Innovation, special-izes in processing and properties of ceramics and metals, ferro-electrics, and thin films. He joins Penn from a faculty post at theUniversity of Michigan; Ph.D. from MIT.

Snow Day Child Care:December 1—April 17

On weekdays between 8 a.m. and 6 p.m.,from December 1, 1997 through April 17, 1998,Snow Day Child Care will again be available forPenn faculty and staff when the PhiladelphiaCounty Public schools are closed due to inclem-ent weather and the University is open. Childrenattending school in other districts are welcomeas well, according to an announcement by theOffice of Human Resources.

Care is provided at licensed day care centersin University City for children aged three monthsthrough twelve years whose parent is either aregular, full-time or part-time faculty or staffmember. Space is limited.

Faculty and staff should expect to receive abrochure containing an enrollment packet re-quest form which needs to be completed andreturned before using the Snow Day Care.

Debate and Action on Consultation and on Outsourcing

At the November 5 Special Meeting of theUniversity Council, attended by some 50members and a large number of observers,the Moderator, Dr. Samuel Preston, openedby noting, “There is only one item on theagenda for this meeting, and discussion ofany other issue is going to be considered outof order.” He also reported that the SteeringCommittee asked speakers to limit themselvesto three minutes, and had set an order for ini-tial speakers. As Chair of Steering, Dr. VivianSeltzer then verified the procedure followedto call the meeting.

President’s Opening StatementDr. Judith Rodin: I’d like to comment on

three areas as a way of beginning the conversa-tion—first, the goal of the Trammell Crow con-tract; secondly the issue of consultation; andthird the issue of treatment of employees.

Beginning with the goal: There really are twogoals, they are as important as they are simple.First ,to enhance service in our facilities and ourresidences for the entire University community;and second, to control costs in our facilitiesmanagement, so that more of our resources canbe devoted to the core academic missions of theUniversity.

These goals have been high on our institu-tional agenda since I came to Penn. In conversa-tions with faculty, students, trustees and somestaff, before my inauguration everyone made thesame point in different ways: Penn had to do abetter job of providing administrative services,and at the same time do it less expensively.

More formally, in 1993, the year before myarrival, the University’s Cost Containment Com-mittee, appointed by the Faculty Senate, issueda report that called for administrative improve-ment and cost-effectiveness in the service of ouracademic mission. For well over a year in theUniversity-wide strategic planning process thatled to the Agenda for Excellence, people fromacross this institution amplified the same points.More than any other point in the agenda, therewas consensus that if we could find the opportu-nity to improve administrative service, and si-multaneously control costs, then we should takeit eagerly.

Let me move to consultation. A number ofpeople have complained that there was inad-equate consultation before the Administrationsigned a letter of intent with Trammell Crow.Let me say something about that. First, we signedwhat was called a non-binding Letter of Intent,which simple enabled us to begin negotiating an

agreement. This was not and is not a final agree-ment. It was the beginning of the negotiatingprocess. That was the point. We wanted to givethe campus community an opportunity to thinkand to comment. A month has now passed sincethe letter of intent was signed—a month inwhich, as was intended, a great deal of commenthas been voiced and a great many good sugges-tions have been made. Later I hope that you willask John Fry to list the number of meetings andconsultations that he has personally participatedin over the past four weeks. The proposed agree-ment with Trammell Crow has been improved asa result in response to the many useful sugges-tions received. Again, that was the point ofopening up this month-long process.

Before we ever spoke to Trammell Crow, theAdministration had a mandate from all cornersof the University to enhance administrative ser-vices across the board and to control their costs.Let me reemphasize this point, only to note thatthere has been a great deal of consultation overa long period of time that led to the mandate tocontrol administrative costs. This is one end re-sult of that consultative process. While we maynot be able in all cases to wholly satisfy thedesire for consultation across every constitu-ency of the University, I want you to know thatI take the need for consultation seriously. I havespent my life, as many of you have, at universi-ties. I respect them as communities and I under-stand and value the need for inclusion. We aretrying to be respectful of that process whilerunning a university.

Third, treatment of employees. I understandwhy staff affected by the Trammell Crow agree-ment feel so strongly. Your lives and your jobsare affected by that decision and I do not takethat at all lightly. But I want to assure all of youthat fair treatment of Penn employees in ourfacilities operations has been a paramount con-cern in this process. I’m sure there will be muchmore discussion of this today, but I would like tomake only a few points before relinquishing thefloor. It is simply not the case that the affectedfacilities employees are going to lose their jobs.It will be a contractual provision in the finalagreement if signed that a large majority of themwill be offered comparable or better jobs withTrammell Crow. It is also not the case thatemployees who go to work for Trammell willsuffer major losses in their employee benefits.While Trammell’s benefits package is not thesame as Penn’s, Trammell has made adjust-ments to make it close. Domestic partner ben-efits are now included, employee salaries will beincreased to cover any losses that they mightexperience in dental, medical or vision benefits.In addition, for employees who go to work forTrammell, Penn will continue to provide tuitionbenefits for the employees and their dependentchildren as long as they continue to work forTrammell on the Penn account. For the minorityof affected employees who do not ultimatelyfind jobs with Trammell or elsewhere within the

University, we will provide a range of transi-tional services to help in their search for workelsewhere. In my judgment this is not at all a casein which the University has shown no regard forits employees. We value our staff very highlyand we are taking every possible step to showthis as we work through the agreement.

GAPSA’s Initial ResolutionMatthew Ruben: I’m addressing you now

not as myself but on behalf of the 27 petitionersrequesting this meeting. The resolution wasbrought by GAPSA in response to the obviousrecognition based on the reaction to the an-nouncement of the non-binding agreement thatsomething is wrong. And the evidence for thatwas that a lot of people, including people whoare not directly affected by this arrangement,had very extreme reaction and showed theirconcern immediately and unequivocally. Wethought this would be a good way to get thoseconcerns vetted. While it’s not a substitute forconsultation, it helps to operate upon the recog-nition that there is a problem with consultationas perceived by many people in the Universitycommunity and so it’s upon their behalf that webring this resolution.

ResolutionWhereas, Statutes of the Trustees have es-

tablished University Council, and have em-powered this body to “consider the activities ofthe University broadly in all of its phases[and]recommend general policies and otherwise ad-vise the President, the Provost, and other offic-ers of the University”, and

Whereas the Undergraduate Assembly(UA), and the Graduate and Professional Stu-dent Assembly (GAPSA) have been establishedby the Statutes of the Trustees to “discuss andexpress their views upon any manner they deemto be of general University interest, and to makeresolutions and pass resolutions with respectthere-todirectly to the President, the Provostand the Trustees”; and

Whereas GAPSA has passed resolutionsrecommending that the Trammell Crow con-tract not be approved, and a special committeebe appointed by the Trustees to examine theconsultative and decision making process at theUniversity; and the UA is considering similarresolutions; and

Whereas both the employee organizations(Penn Professional Staff Assembly (PPSA),and the A-3 Assembly) recognized by Councilas thelegitimate voices of thousands of Univer-sity employees, have issued statement stronglycritical of the Trammel Crow contract, and theBlack Student League (BSL) and the AfricanAmerican Association of Faculty, Staff andAdministrators (AAA) have also objected tothis deal; and

Statement of SECDr. Seltzer: The position of the Senate Ex-

ecutive Committee is found in a column in theNovember 4 Almanac [page 5]. In essence, itstates that the SEC is concerned by tensionswhich have resulted from the impact of theTrammell Crow outsourcing decisions. SECencourages reactivation of broad consultation toseek varying and divergent views and particu-larly asks that the Senate leadership be takeninto confidence before the fact.

Statement of GAPSAVictoria Tredinnick: GAPSA organized this

meeting because we felt it was important thatsome community discussion take place beforethe trustees met to sign a contract that has veryfar-reaching consequences. People sometimes,various times, various people, have asked whywe have an opinion about something that doesn’tconcern graduate and professional students. Butwe feel that it does concern us, and we take veryseriously the assertion that we are a community.We have submitted, prior to this meeting, aseries of questions to EVP John Fry, and whilewe have not yet gotten responses in writing, weare expecting a response soon. We feel they’rebasic questions regarding this Trammell Crowcontract and they shouldn’t pose too great aproblem to answer.

On October 22, GAPSA General Assemblypassed unanimously two resolutions. One wasabout community and the process of consulta-tion at Penn, which I won’t read--they’re bothavailable on our website:www.gapsa.upenn. eduThe second resolution, which was specificallyabout the outsourcing of facilities management,reads:

GAPSA urges the trustees not to approve theproposed contract to outsource the managementof Penn’s facilities. Proper public disclosure anddiscussion of the details is absolutely necessaryfor such a major decision to made with confi-dence and credibility.

Statement of PPSAJames Bean: Our comments also appeared

in Almanac November 4, and to briefly capsulizethem:

The Penn Professional Staff Assembly hasadded its voice to the many that have expressedconcern over the recent announcement of theoutsourcing of facilities planning to TrammellCrow. Many of those affected employees arethose who make up our constituency, the A-1employees.

For years Penn has fostered among its em-ployees a feeling of community and family. Thesuddenness of the Trammell Crow announce-ment has virtually shattered that mindset. Ex-ecutive Vice President Fry has met with PPSA—as a matter of fact we met this past Monday inthis room—at that time Mr. Fry offered an excel-lent insight into his decision-making process.This was something many of us needed to hear.

Each of us has been told to do more with less.We all feel we are doing just that. So how do wejudge whether our efforts will save our jobs ornot? We as administrators deserve to know howwe are being adjudged. This is the type of com-munication which has been lacking during thisentire process, but Monday’s session and today’shopefully represent significant steps towardscorrecting that process.

The Penn Professional Staff Assembly sup-ports the proposal made by the A-3 Assembly,calling for scheduled updates before UniversityCouncil from the EVP on his ongoing evaluativeprocess. We’d like to be kept informed whatother areas are prime targets for outsourcing.The PPSA feels it is important for more staff tobe included in understanding information onbenchmarks used to determine what getsoutsourced—in terms of customer service, fi-nancial return, and cost avoidance—so that eachunit at least knows what they are trying toaccomplish relative to the market.

We believe the EVP has heard this call. Weare pleased to see the prompt scheduling ofresume-writing workshops and job interviewtraining; we would like to see both of theseprograms, as well as programs centered aroundenhanced change management and/or careerplanning seminars, to become part of the overallprogram offered by the University’s Office ofTraining and Organizational Development.

And finally:We have brought these suggestions and some

others to the Executive Vice President. He hasmade himself very open to us, we feel he hasheard what we have brought to the table, and weare confident that each of these issues are goingto be addressed.

Statement of the A-3 AssemblyDonna Arthur: The A-3 Executive Board

made their statement at the last Council meetingand we stand firm on that statement. We feel thatthe consultative process currently in use here atPenn is in sad shape.

Input after the fact is no good when themorale of the employees has already been com-promised. We realize that a letter of intent is notlegally binding, but the headlines we saw saidUniversity Hands Over Facilities Managementto Outside Firm— in the past tense. As supportstaff, we’re not usually involved in decisions ofthis kind, and we feel that it’s as good as done alot of time.

Many A-3s wonder how a company that hasno knowledge of how to manage these facilitieswill be more efficient, cost-effective and in-crease quality. The only way this could even

dream of becoming a reality is if the key person-nel employed there accept offers from TrammellCrow. We don’t understand how not invitingtheir input into solving the problems of thepractices of facilities management is a way toencourage these employees to accept these of-fers. Or is it that they feel they don’t have achoice?

The A-3 staff of this university is very afraid,anxious, and in serious doubt that the intentionsare aimed to include their welfare. Many aretalking of unionization because they feel they’rebeing ignored, that their opinions don’t matter.

On October 11 of 1995, EVP Fry said atUniversity Council, “You will never come inhere and pick up the D.P. and find out thathundreds or thousands of jobs have been elimi-nated. There’ll never be a broad, across-the-board cut of X number of employees.” However,the October 9, 1997, headline about handingover Facilities Management is in fact laying offalmost 200 employees. That would have to be.

The employees feel now that we need toestablish, reestablish trust between the staff andthe administration. And we need to have effec-tive communication between all constituencies.We need to know when we’re being reviewedand given a chance to make solutions that work.

We also very, very badly need to remedy themorale of employees here at the University,because they’re feeling that they’re overlooked,unheard, overburdened, and just plain ignored;and we feel that not just the 175 employees arebeing affected, we are all being affected by this,over time, and we feel that this can be accom-plished by voting in favor of the proposed reso-lution.

Statement of UANoah Bilenker: This year’s UA is concen-

trating on fostering discussion within the under-graduate community. We feel that collaborationand discussion are the best ways for us to effec-tively represent our undergraduate constituency.

Such practices hold true for the entire Uni-versity community as well. That is why themeeting today of University Council is a big stepfor Council. It is a step to restore it to its onceinfluential status as an advisory body, ratherthan the current technicality that hears announce-ments and suffers from low attendance.

In the future I hope that it can be a vehicle forconsultation, preventing matters of central con-cern to students, such as residential living, frompassing through the University without our in-put. It is vitally important for us to have sus-tained and meaningful input on major structuralchanges with regards to a sector of the Univer-sity that encompasses our entire residential andclassroom experiences here. Such disregard forour input in the past and recent past raisesquestions about the future. Residential Facilitieshas traditionally been separate from the rest ofFacilities Management in order to ensure thatservices are responsive to the students who arepaying for them. How are we to assure suchinput when the departments were merged with-out our knowledge? How are we to assure anyinput when the administration blocked attemptsto appoint a search committee for leadership ofthe merged departments? Will a delay of theoutsourcing deal, until groups can be consulted,hurt this school any more than the atmosphere ofskepticism and low morale that secret practices

have already created? It is for this reason that theUA recommends that the trustees look into theconsultative process and work with us to de-velop strong lines of communication betweenstudents and trustees. That’s why the proposaltoday is so important.

Statement of the AAAJames Gray: I represent the African Ameri-

can Association of Faculty, Staff and Adminis-trators here at the University, and I’m going toread to you a letter that we are submitting toAlmanac, and also to The Daily Pennsylvanianwith a few extra comments.

We, the Executive Board of the AfricanAmerican Association (Triple A), the organiza-tion representing African American administra-tors, faculty and staff at the University of Penn-sylvania, wish to register our deepest concernsover the University’s recent decision to outsourceFacilities Management, Residential Operations,and University City Associates to the Dallas-based property management firm of TrammellCrow. As has been our past experience, we seethis as yet another indication of the UniversityAdministration’s willingness to cut costs on thebacks of loyal employees.

While Mr. Fry claims that a significant ma-jority of the Penn employees would be retainedby Trammell Crow, experience has proven oth-erwise. When Barnes and Noble took over themanagement of the Bookstore, a significant num-ber of African American employees lost theirjobs or were forced to accept retirement pack-ages even though they were reluctant to do so.We know that a large number of employees inFacilities Management are African Americans,and we are deeply concerned about their future,despite Mr. Fry’s pronouncements.

The University has demonstrated once againa refusal to involve the members of the AfricanAmerican Association in negotiating with po-tential business partners to arrive at a fair andequal agreement for all. It would have been inthe University’s interest to do so, in good faithand in the interests of its employees. After all, isthat not the mission of this University? Thequestion is, when will this gross, cancerousgreed stop? When will this institution value itslong career employees and the young peoplewho are students here? Aren’t their human needsmore important?

Statement of the Chair ofCouncil Facilities Committee

Dr. Anthony Tomazinis: The UniversityCouncil established the Facilities Committee asan instrument of the Council with an advisoryfunction for the Council on matters of facilitiesdevelopment and maintenance on the campus.The Committee includes faculty members, stu-dents, administrators, and an A-3. .

I don’t have very much to say because wewere never asked to express an opinion, neverasked to advise one way or another, or to discussthe matter. Last year we discussed the matter ofsafety, the matter of transportation and recy-cling, and we had also the physical plant directorto discuss things with us. We produced a report,published in Almanac (October 14, 1997). Thereis no evidence that there was any functional role

for the Facilities Committee; therefore I can saythat although we see three situations, only thethird situation obtains: It’s advice or consulta-tion before a decision is made; or advice orconsultation after the decision was made, or noadvice and consultation whatsoever. Only thethird took place.

In this particular case we were surprisedbecause the letter of intent for us was a matter ofdecision from the administration to proceed.The matter of the corporate decision, which isthe trustees’, has not taken place yet, and theappeal of the campus will I guess produce someconsultation on this case, although the trusteesfor one reason or another did not ask for addi-tional consultation, and they have this afternoonthat meeting that probably will be discussingand decide about it. Whether they will show aninterest in hearing from someone is something tobe found, before or after they decide and theyvote. However, the truth is that as far as aninstrument of the University Council, the Facili-ties Committee which I guess was established tobe part of the discussion, has played no role andthere is no indication that anyone wanted it toexist or to play any role.

GAPSA Motion to DivideAlex Welte: [noting that he moves to divide

the question for clarity, and that “the whereasesremain the same,” Mr. Welte reads the amendedmotion]:

Therefore,The University Council calls upon the trust-

ees to act in a manner consistent with the statedneeds of the campus community, by takingactive steps to rehabilitate the culture of consul-tation at the University. The Council recom-mends appointing a committee composed oftrustees, faculty, students, administrators, andsupport staff, which is charged to examine theproblems that have been raised about the con-sultative process, and authorized to make bind-ing recommendations to facilitate improve-ments.

* * *Therefore,The University Council calls upon the trust-

ees to act in a manner consistent with the statedneeds of the campus community, by withhold-ing approval of the proposed outsourcing offacilities management at this time.

[Dr. Preston explains that a division of thequestion is an incidental motion, and not debat-able. On a show of hands the Moderator de-clares that the ‘ayes’ have it.

[Dr. Preston also rules that the parts will bediscussed together, but separated for voting.]

Mr.Welte: The President and the EVP havetold us several times about the process that hasbeen behind this and that when the letter of intentwas announced on October the 8th, that a lot ofdiscussion has in fact occurred, and they wouldlike us to consider this as being in fact the naturalprocess of consultation that is to take placearound this.

I think a fundamental point that needs to beunderstood is that one very large decision isalready effectively made—and that it is onething to discuss some details of how one mightout-source or under what circumstances peoplewill be employed by TC if they are, and so on,but there is a very fundamental decision that has

been made to proceed with outsourcing, whichtook everyone by surprise because it had notonly not been hinted that this was coming but wehad been told that these kinds of things actuallywouldn’t happen. It’s really more the questionof how does a major decision get made just outof the blue; I think it’s a quite different matter totalk about the response that is provoked aroundthe details and to talk about the process that ledto the big, well-defined decision that was, essen-tially, handed down.

Dr. Tomazinis: I was very delighted hearingthe President at the beginning of this meeting,and it seems to me the first resolution is verymuch in the spirit of what the President said. ThePresident does want consultation, and it is im-portant to remove that very explosive issue fromthe midst of the campus. It is therefore very wiseto have the President work with the trustees, andwith some consultation from the Council, andestablish a mechanism of consultation whichwill have some transparency, and can stop theconversation about whether or not there is anyconsultation, as the first step.

Therefore I find this division and this word-ing very comforting. I hope the students agreethat a mechanism that is transparent and thatadvises before the fact is important, with thebyproduct of information flowing.

For example, on this campus for three yearsnow we don’t have any budget information onwhere the money goes—even misinterpretationor different interpretations exist as to what ismeant by administrative costs. We have differ-ent impressions from what the President indi-cated earlier: running the campus, cleaning thecampus, is not an administrative cost, it’s a basicfunction that the University needs to carry out.So we need to know how much it costs, whetherit went up or down, how many people, and so on.In many areas of the University informationdoes not flow any more and is communicatedonly on a need-to-know basis, which is inappro-priate for a consultative community.

As for the second part, on the basis of expe-rience in many organizations, the choice is not abinary choice; outsourcing is a legitimate choiceand in this case may prove to be the best. Butthere are different forms of outsourcing, as wellas different measures that internally can be taken.Obviously the administration has taken abso-lutely no measures; they kept talking but eventhe Facilities Committee has never been in-formed there was any complaint.

Four years ago the Committee on Adminis-tration reported on the cost of the Administra-tion—the President’s Office, the Provost’s Of-fice, all of the paraphernalia of the Admissionsand Development—that was the topic of thatcommittee three years ago. Things changed. Atthat time, I remember, we had in the School ofFine Arts, the thing which now the new organi-zation of Trammell Crow proposes, cleaners bybuilding—but we were finding them in the closetsleeping, and we had to call and bring the policeand do something because the bathrooms weresmelling and something had to be done and thepeople could not be found. Obviously solutionsof that type are not going to work. A much moresincere and extensive analysis of the problemneeds to be made. This second resolution has thepromise of such an analysis, and I am for thispurpose in favor of it.

David Bowie: [He identifies himself as amember both of GAPSA and of GSAC, the Gradu-ate Student Associations Council, which repre-sents graduate students of SAS plus others pur-suing the Ph.D. in the University]

Discussions within GSAC executive boardshow a great bit of concern that there seems to besome sort of culture of, for lack of a better word,secrecy, within the administration—on issuesranging from vending to health insurance, to thedelay in finding out how the general fee isbroken down, to this current issue of downsizingand outsourcing. It’s been very difficult to haveany feeling that there’s allowed to be any sort ofinput from those affected by administrative de-cisions.

Even if this is not the case, this is the way itappears. And something needs to be done tocorrect this feeling. Therefore I feel that both ofthese resolutions should be passed by Councilbecause they will in any event help to counterthis feeling that the administration makes deci-sions unilaterally without caring what any of theconstituents have to say about anything.

Dr. Peter Freyd: There is an issue I havetrouble with; I’d like to discuss the resolutionsfrom at least two points of view. First, as afaculty member, I have always felt that I shouldnot in any official way even recognize the exist-ence of the trustees. I am very worried about thefaculty talking directly to the trustees. I can thinkof an exception—maybe how to invest, andwhether to invest endowment funds in some-thing like bad regimes—but otherwise when itcomes to the running of the University, it strikesme as a very dangerous thing. The trusteesshould do what the administration tells them todo and not anything else. Now, I certainly didn’tfeel that when I was a student, and indeed I brokethe rule I just set. But I would like to point outthat the very process that would lead to moreconsultation between the Administration andthe campus community is defeated by goingover the Administration’s head directly to thetrustees. And I think there’s a self-defeatingaspect of these resolutions as they now stand.This may just be a technical thing...may justmean a rewording so you’re not talking directlyto the trustees. It’s not clear to me at all that youwant to. I can’t vote for them in the present form.

Dr. Larry Gross: Peter’s already begun thecomments that I was going to make...

[A turnover of the tape interrupts Dr. Gross’sremarks, which agree with Dr. Freyd’s concern-ing the inclusion of the trustees on the proposedcommittee. Dr. Gross continues.]

I am concerned that the University as a com-munity of scholars, as a community differentfrom other large institutions and large employ-ers, maintain a distinct identity, and thereforemy instinct is to work within the community. It’snot as if the trustees won’t know what we’retalking about. This is not as if they won’t hearabout it—some of them may be present?—orwon’t learn about it. But when I read a motionthat says “recommends appointing,” doesn’tspecify who would appoint, the implication isthat the trustees would appoint such a commit-tee—and that worries me enormously. The no-tion that the Council will ask the trustees toappoint—a precedent strenuously to resist—acommittee to “make binding recommendations”?Binding on whom? Enforced by whom? I can

imagine circumstances where it would be neces-sary for Council to resist the intrusion of trusteeson issues that are equally important to the life ofthe University.

So I would like to urge that we find a way toexpress deep concern that I certainly share, thatthe consultative process at the University has notbeen adequately in practice; and contrary tosome of the things that have been said, I thinkthat announcing something as a clock ticking forthirty days puts a certain slant on discussions—telling people they can apply for their jobs putsa certain slant on discussions—that I wouldn’tquite call consultation. Input, maybe; negotia-tion, maybe; but not consultation. And I think wedo need to try and focus on that.

[Mr. Welte accepts as friendly the commentsof Dr. Freyd and Dr. Gross and offers to change“trustees” to “administration” in the first in-stance, and to remove it in the second. He alsoaccepts Dr. Seltzer’s suggestion to strike “auth-orized”and “binding.” These amendments pass.

[Additionally, Dr. Larry Gross recommendsadding a reporting date of April 1, to allow forCouncil discussion before the end of the aca-demic year. The chair asks to withhold the mo-tion and reopens discussion.]

Dean Gary Hack: What are we debating?Can we debate substance? I have to say I feel thediscussion has been hijacked into a general dis-cussion of the issue of consultative process onthe campus. I actually thought the subject wasthe question of facilities management andwhether it made sense or not for us to proceedwith an arrangement whereby we made changesto how we do facilities management.

It seems to me that the second half of thismotion is I think unnecessary. I would like toargue that in fact the direction that’s being pro-posed is not only the right direction but in factthat the process is probably the only way that onecan imagine going about these kinds of debatesand discussions.

Let me take the second before the first. Itseems to me we would have very little to discussif we didn’t have a concrete proposal on thetable. And when we ask our leaders to lead weask them to bring forward to us proposals aboutchanges that are to be made, and it seems to methat we have such a proposal, and I haven’t heardover the last month very much debate over thequestion of whether change is either necessary,or whether this is the right direction of change.I haven’t heard anybody over the last month forexample come up to me and say “Gee, we haveterrific maintenance on the campus and it costsso little.” Or come up to me and say, “Thebuildings we’re building are a real bargain.”

I’ve heard just the opposite of it; that is, alarge number of people come forward and say,“We really must do something about mainte-nance, we must do something about the cost ofit.” In the Graduate School of Fine Arts, we haveabout 30 cents of every dollar to spend on edu-cation. Seventy percent of it goes to administra-tion, space, and all of the other kinds of needs ofrunning a university of this kind. And it doesstrike me that every dollar we can save, either onthe maintenance of things or on the building ofnew structures, which is unnecessary, is anotherdollar that we get to spend in one way or anotheron education. So I would like to see more discus-sion on the question of whether we should be

proceeding with this kind of arrangement or not.In my opinion it really is in fact the right way tobe going. And I can say more reasons for that,but I wrote many of those in the DP today and Isuggest you take a look at them.

Dr. Helen Davies: I would like to concernmyself with what Dean Hack brought up, theidea of facilities management outsourcing, andwhat changes need to be made. I will agree thatvarious committees have talked about whatchanges need to be made, but at no point did weever say in this discussion, “... and let’s out-source.”

I’d like to talk first to the morale of the staffthat are outsourced. Even if they will stay atPenn, what they are going to lose is being part ofPenn. They are no longer part of a community.And what will this do to those not part of theoutsourcing? One is a general fear, “When willI be next?” The other is survivor guilt, “Howcome I stayed when the rest of them were out?”

I would like to bring out what happenedwhen the trustees themselves had a committee,the Commission on Strengthening the Commu-nity, chaired by Gloria Chisum. We had a sensethat there was part of the trustees that said, “Thisis one community and a very important part.”

Now comes the problem of our changingmanagements. Look back at the number of EVPswe’ve had at the University, and when one madea change and that EVP was out, we had anotherEVP and another kind of thing. What do we doas we go up the chain, when the next EVP says“Outsourcing wasn’t the way, let’s start back tohaving Penn part of it own community.”

So I do think before we should have gone tooutsourcing, if there had been widespread con-sultation, we would have said, “There are changesthat need making within the structure that wenow have,” and that’s what I would like to see usgo back to. Certainly as a member of the SenateI was very unhappy to know that the Senateleadership had not been consulted on any of this.

Let me put it this way: They don’t. AndTrammell Crow has tried to hide this fact frompeople, including two other members of theUniversity community. In one of the documentsyou are looking at right now, you can read whatTC is telling Penn’s employees. In the second isTrammell Crow’s EEO/AA policy, faxed to thePhiladelphia Gay News; it does not mentionsexual orientation as a protected class. I calledon Tuesday to confirm this, and spoke to theassistant of the Vice President of HR [at TrammellCrow], and she confirmed this as accurate.

Why has this University had for 14 months acontract with a company that does not provide

Containment Committee was formed in 1993. Itconsisted of faculty and administrators at theUniversity. Our purpose—the official name wasthe Cost Containment Oversight Committee—was to raise issues to the administration. TheCommittee met, at least twice that I was in theroom, with the Faculty Senate [on issues raisedin the Cost Containment Committee].

What I want to say is there was some consul-tation through that Committee, as to issues—notsolutions. And one issue that was raised continu-ally was the quality of facilities management.We were not in a position, nor did we think it wasour charge to make suggestions of solutions.That was the role of the administration.

But I did just want to bring to the table the factthat this had been going on since 1993. This isnot something that was made up in the last monthor two years. It’s a long effort of people lookingat this and raising this question both in terms ofadministrators—I’ve been a chairman both inthe Wharton School and in the School of Engi-neering—there are other people who are facultymembers, chairs of departments, deans—thiswas a question that was continually raised inthese meetings. Again, I don’t want to commentpersonally, because I don’t know the details ofthe Trammell Crow agreement, but I do thinkit’s worthy of your consideration to think aboutthe fact that there was consultation about theproblem. And I think we have to separate out theconsultation on the solution versus the consulta-tion on the problem.

Dr. Tomazinis: I think we are coming backto what Noah pointed out from the UA, thematter of producing solutions has not been tack-led well. With all due respect to Dean Hack’scomments, and to John Fry’s efforts, the solu-tion is not that easy to come by. And the inves-tigation, the comparative analysis, could havebeen in Almanac—those are not secrets. Techni-cal work here is technical work. All the technicalthings are not in Almanac, not in publication.

You want to close your eyes and jump into it,you’re welcome. You want to keep open youreyes and see where you are jumping, that wouldbe the advisable thing at this moment. But as ofnow, things are not really investigated suffi-ciently, with alternative solutions and compara-tive analysis to see the cost and the benefits ofthe solution and conclude what’s best for theUniversity even if it involves hurt or harm tocertain individuals. But we produce harm with-out certain benefits. I submit that the discussionreally finally indicates the extent to which theanalysis has not taken place.

What does community require of you? Itrequires that you do justice, that you show kind-ness, and you walk humbly.

Trust has been broken significantly. What isgoing to be fair?

You have an administration that is under thegun. They are supposed to make this an efficient,cost-effective organization within a reasonabletimeframe. You have to understand that that’spart of why they’re here. On the other hand, wehave to be fair to the people who right now arefeeling as if they’ve been kicked in the stomach,

equal rights for lesbians and gays, and hasn’tbothered to tell its lesbian and gay communitythat this is what is happening?

[Mr. Lukasiak begins to introduce RichCipollone, whose remarks are further below,but is interrupted by the Moderator, who notesthat Mr. Fry wishes to answer.]

Response from the EVPJohn Fry: Paul’s raised an important issue

and we have done some further checking. It isthe policy of the Trammell Crow Company thattheir policy and practice is to comply with allfederal, state and local laws where they operate.Therefore they would operate within the lawsand statutes of the Commonwealth of Pennsyl-vania and the City of Philadelphia, which Ibelieve provides the kind of protections thatyou’re talking about. If they don’t, this is simplysomething we will insist upon before signingthat contract.

[To questions of Dr. Peter Freyd, Mr. Fryresponds that New Bolton Center, which is out-side the protection of the Philadelphia law, isnot to be managed by Trammell Crow because ofits specialized needs.

Statement of a Member ofFacilities Management

Rich Cipollone: I’d like to thank UniversityCouncil for providing the first, and only, publicforum in which the people whose jobs are atstake actually have an opportunity, howeverbrief, to present their side of the story themselves.

I am handing around this table the FacilitiesManagement section of the original Coopers&Lybrand report, written by John Fry [Almanac January 15, 1995]. Some day youshould read it, because it contains a lot of goodideas. The problem is, the implementation of most ofthese ideas was never discussed with the employees.

When John Fry first came to this University,he told us—he told you—that he was hired torestructure the way the University delivers ser-vices. He told us—he told you—that some jobswould be lost as a result, because the goal ofrestructuring was to improve services while in-creasing efficiency and cutting waste.

As employees we accepted that, because weknew better than anyone how inefficient muchof Penn’s administrative bureaucracy had be-come, and we knew that there were quite a fewjobs that supported administrative bloat. In theFacilities Management Department, for the lasttwo and a half years we have been waiting forrestructuring efforts to begin. We were told—and you were told—that we would be partici-pants in the process, that our knowledge, expe-rience, and expertise were valued and necessaryin order to create more responsive and efficientsystems.

That never happened. Instead, the only “effi-ciencies” that were achieved were done througha hiring freeze. Facilities lost a fairly largenumber of employees over the past few years.But our jobs were not redesigned to make themmore efficient. Instead, the work being done bythe people who left the department was thrownon the rest of the staff.

We tolerated this, first because we are dedi-cated to this University, and secondly becausewe knew that when restructuring finally did hap-

pen, that there would be fewer jobs to go around.Most of the people who are affected by the

Trammell Crow deal have been here for yearsand years. We’ve been doing our jobs. But JohnFry has not been doing his. Instead of findingways to make Penn more efficient, John Fry hasbeen making deals. This is not the job that he toldus, and that he told you, that he was hired to do.And the loyal, hardworking employees of thisuniversity should not be sold off to a Texascompany because John Fry did not do his job.

That is a moral issue, but there is a practicalside to this for you as well, and it is this:

Our departments are already overworked,with too few people doing way too much. Someof that work is wasteful—I can’t tell you howmuch time we spend compiling reports for peoplein John Fry’s office to look at. But a lot of thework we do is necessary if you are to receive thekinds of services that students are paying for,and that faculty need to do their job. And quitefrankly, I don’t think that Trammell Crow can dothe job that needs to be done by making furthercuts of 20-40% in its workforce. And if they cando it, then why can’t John Fry figure out how,and tell us?

The Trammell Crow deal is designed to dotwo things. First it’s designed to bring in $32million by selling the expertise of loyal Pennemployees to a company that has no experiencewhatsoever in the management of academic fa-cilities—in fact, they aren’t even experts in themanagement of residential facilities. All thatTrammell Crow claims leadership in is commer-cial real estate management. This is not a normalbusiness deal. This is white-collar flesh ped-dling.

The other thing this deal is designed to do isreduce accountability, and make the faculty andstudents of this university accept a lower level ofservices by bringing in an outside company toperform those services. Right now you are theclient, and our job is to meet your needs. IfTrammell Crow takes over, John Fry will be theclient, and you will just be the tenant. Real estatemanagement companies exist, and make money,by satisfying the landlord and not the tenant. Inan open market, tenant satisfaction is necessary.But Penn is not an open market, it is a restrictedmarket, and the client doesn’t have to worryabout tenant satisfaction.

One final thought. No doubt each and everyone of you has received assurances that yourneeds will be met. Well, the employees of Facili-ties Management are here to tell you that thepromises made by John Fry are worthless. Re-member, what John Fry is asking you to do isbelieve that a company with a ten-year contractwill not betray its commitment in order to makea fast buck to meet the demands of stockholdersfor high quarterly profits. If John Fry is willingto break the promises that he made to you for afast buck, do you really think the company thathe wants to hire will be any different?

Statements from ObserversDr. Patrick Harker. I’m a faculty member

who was a member of the Cost ContainmentCommittee. I am not here to talk about the qual-ity or the benefits and costs of the TrammellCrow agreement but really to put on the table theconsultative nature of the process. The Cost

who have been loyal employees for decades, andwho now are questioning whether or not they aregoing to have a job in a couple of months. Whatis fair and how do we do justice?

How are we to show kindness in the midst ofall this, in this unfortunate reality? It’s not justthe action of whether or not a negotiation papershould have been signed. Who is talking to who?

Trust is the key. We don’t have trust. Open-ness is the key, and there are severe problemswith openness. So finally how are we going tobring about justice and with some kindness? Weare going to have to approach this with somehumility. That means on both sides. I wouldsuggest to you it’s going to take some time toreally get at some core issues that underlie thiscurrent debate. We have a culture of suspicionand we’ve got to create a culture of trust. So doesthe resolution encourage some time for somehealing to occur? Can you put in motion actionsthat will prevent further problems such as this?If we can, I would suggest that that is a compas-sionate way to respond to this, and it is a fair wayto respond to this, and hopefully we can do thiswith a little bit of humility on everybody’s side.

Dr. Marshall Blume: I’ve been on the CostContainment Committee, I think for genera-tions. The first one was appointed by SheldonHackney and when Judy Rodin became presi-dent she appointed another Cost ContainmentCommittee. There were four faculty memberswho were appointed in consultation with theFaculty Senate. We met with John Fry almostevery month for quite a while. Every majororganization that reports to John made presenta-tions to us. We listened to these. In Almanac wepublished a report which we also gave to theCouncil. One of the areas which we identified ashaving very bad possibility of success in thefuture was the Facilities Management area. Wethought that some major restructuring should bedone in that area.

That was reported, it was inAlmanac [September 3, 1996], it was clearlyvisible to everybody. In that Committee welistened to the presentations. In my view if thedeans and the faculty had said “no,” nothingwould have been done. We talked generallyabout outsourcing and we thought it was a goodidea but each case of outsourcing had to beexamined on its own merits. We were involvedin that committee in overviewing the outsourcingof the Bookstore, and we thought that was a goodthing to go ahead with.

So there has been a large amount of consul-tation. I think there’s a debate about whether theimplementation of our consultation, which wasthat there was a real problem in there, shouldhave been revealed, maybe a week or two beforeit was announced publicly, to the Faculty Sen-ate; I personally think it should. Having saidthat, I think that we have such a severe problemin this area that we should be going forward andrelying on the administration for doing the rightthing at this point.

Dr. Seltzer: I would like to respond to themembers of the Cost Containment Committeeby merely letting you know that certainly sincethe beginning of this academic year, we haven’theard from you, and I’m wondering if you aremembers of a current Cost Containment Com-mittee; and if not, if you could please help us outby identifying the period of time where you wereserving?

Dr. Blume: The Cost Containment Commit-tee as I understand it was not reappointed for thiscurrent year.

Dr. Preston: When was it in fact operative?Dr. Blume: It was operative from 1993

through our final report in the fall of 1996.

Dr. James Galbally: I’m Associate Dean ofthe Dental School and I’d like to talk a little bitabout the contract.

At the School of Dental Medicine like theother schools and units at Penn we’re concernedabout the cost of goods and services. We under-stand as President Rodin has said that traditionalsources of revenue from tuition, patient fees andresearch will not continue to keep pace with theprojected increases in our costs and we areregularly looking at ways to find new sources ofrevenue and to control costs in order to reallo-cate funds to our core academic programs.

The proposed agreement with Trammell Crowprovides a way to control growth of one of ourmajor expenditures—the cost of operating andmaintaining facilities and constructing new fa-cilities. We appreciate the efforts of John Fryand his colleagues in crafting this pioneeringagreement that not only promises to reduce ourcosts, but also enhance services, and most im-portantly assure the humane treatment of Uni-versity employees. Thank you.

Barry Stupine: I’m Associate Dean forAdministration of the Veterinary School, and acustomer of Facilities Management. In my opin-ion the Facilities Management process here atPenn is broken. It’s very much broken.

There are a lot of good people there. It’s nota criticism of them. But there are delays—delaysof sometimes over a year in getting feasibilitystudies and engineering studies done. Some-times the quality of work is less than adequate.Faulty estimates range between 50 and 100 per-cent. It’s not only very frustrating and demoral-izing but alienates some donors when we ask forfunds and then the estimates turn out to bewrong. And the costs, they just seem to be far toohigh. Those problems tend to demoralize thefaculty and staff. They waste their time, andUniversity resources.

We’ve had grants rejected from the federalgovernment where the most severe criticism hadto do with the cost of construction; it said in aparticular case it was more than twice the na-tional average. We recently put in a door—it was$3500. This sends a message to the faculty; itdemoralizes them; it sends a message that theUniversity is not well managed—it’s not true,but that’s the message that sometimes goes outto the faculty. That’s their contact—when youput in a door and it costs that kind of money.

The truth is the University is very good; itexcels at many things. Facilities Management isnot one of them. If that’s the case, why not turnover that function to a firm that does specializeand hopefully excels. And that way we can useour resources for what we are here for...

Dr. Gross: I want to get back to the non-descrimination policy and the idea that whenyou step across City Line Avenue you have noprotection. And to the larger question: Whathappens when two communities overlap? Whatwill be the influence of Trammell Crow on ourcommunity of tenants, clients and landlords?

The University could have a beneficial effecton Trammell Crow—we could say that if theywant to play ball with us they have to dischargethese responsibilities. I’m not impressed with“We observe all federal, state and local laws.” Ihope so! Or it could be like the times when anAmerican company doing business in SaudiArabia would be asked not to allow any anyJewish employees to be hired on their job.

What about the employee who moves toTrammell Crow but later is no longer on thePenn account and loses the domestic partnerbenefit? Or who not only loses the sexual pref-erence protection we have but is moved to Texaswhere there is still a sodomy law on the books?It seems to me that we could not only ask for cashup front but ask them to make these accommo-dations, to influence their organizational cultureand bring it closer to the University’s.

Mr. Fry: First, it’s in the agreement thattransfers will be only with the consent of theemployee. Second, on domestic partners, theyare willing to learn from us and will respondappropriately. And third, on Paul’s documents,this will be clarified or we won’t go forward.

[Final speakers included Ms. Arthur of the A-3 Assembly, who noted Residential Facilitieswas left leaderless for 18 months; and GAPSA’sMr. Welte and Ms. Tredinnick, who urged thatthe agreement was not ready for a trustees vote.]

Therefore,The University Council calls upon the

Administration to act in a manner consistentwith the stated needs of the campus commu-nity, by taking active steps to rehabilitate theculture of consultation at the University. TheCouncil recommends appointing a commit-tee composed of faculty, students, adminis-trators, and support staff, which is charged toexamine the problems that have been raisedabout the consultative process, and to makerecommendations by April 1, 1998, to facili-tate improvements.

Multimedia Courseware at PennIn response to the Senate Chair’s recent

message on intellectual property(Almanac October 7), I want to address theissue of multimedia courseware, because thereappears to be an extreme divergence of viewsbetween the 1994-95 task force on copyrightpolicy, as discussed in the article by VivianSeltzer, and one of our deans. The latter hasstated that “...courseware used in teaching....isthe property of the University,” and that “...formal teaching activities are what facultyare paid for by Penn and therefore theirproducts are owned by Penn.”

There are two components to the multi-media tutorials that I am developing under anNSF grant: the content and the computeriza-tion of the content. The content compriseswords and illustrations that are essentiallythe same as found in a textbook. In fact, mostof the tutorial content is based on a textbookthat I co-authored. The copyright of a text-book has always resided with the author(s),including authors who are faculty membersat colleges and universities. Some textbooks(unfortunately not ours) generate substantialincome that accrues to the author(s). I am notaware of any logical argument to the effectthat this procedure should be altered at Pennor elsewhere.

Anyone who has carried out normal fac-ulty duties knows that this kind of creativeactivity cannot be carried out in one’s officeduring normal working hours. There are sim-ply too many other duties and interruptions.That means it has to be done in the evenings,on weekends, on vacations, on sabbaticals,etc. Certainly, this has been the case with me.Therefore, an argument that the Universityshould own this kind of “courseware” be-cause it is part of normal teaching activities,for which the faculty are already being paid,simply has no merit. If a university wants todiscourage textbook writing by faculty, andto attract faculty lacking the capacity or thedesire to write textbooks, then this policywould have some logic to it.

The computerization of the words andillustrations is a different matter. In ourproject, the analog of “software” as envi-sioned in Penn’s present policy is the userinterface and the template that we have de-veloped, into which we put the words andpictures. The present policy, as I understand

it, is that the University has the royalty-freeright to use this interface and template, and Ihave no problem with that. In other words,the present policy appears to cover my situ-ation adequately.

The real problem at Penn regarding mul-timedia courseware, as I see it, has to do withthe lack of involvement by the University inthe development of this potentially impor-tant mode of teaching. A university commit-ted to modern education would be preparedto provide the resources that faculty need tocarry out such development. It would have afund analogous to the Research Foundationto which faculty could make proposals to buythe necessary computers, software, video-editing equipment, cameras, etc. It wouldalso have a central facility staffed by expertswho would know the latest techniques andequipment, and who would be available toassist faculty and students in getting startedin creating multimedia courseware. Unfortu-nately, Penn has almost no such experts andno fund for courseware development, as faras I can tell. As a result, I have had to raise themoney for equipment elsewhere, sometimesout of my pocket, but mainly from the NSF,and we have had to go outside the Universityfor the essential expertise. All this makes theprocess of multimedia-courseware develop-ment at Penn tortuous at best.

The probability that there is big money tobe made in the courseware area is small.Every faculty member in the country has theopportunity to get into this kind of develop-ment, and many are doing it now. There willprobably be a proliferation of locally devel-oped courseware, much more so than in thecase of conventional textbooks. Rather thanbeginning the contemplation of what to doabout computerized courseware by focusingon ownership and income, the Universityshould begin by asking how important this isnow and is likely to be in the future, and howmuch of a commitment the University isprepared to make to support it. Penn, unfor-tunately, appears to be lagging behind otherinstitutions, including many that are nowherenear the top ten in U. S. News and WorldReport. The lag is by no means irreversible.The question is, how much real interest isthere in this new form of education at Penn?

Corporate Development ThreatensCityscapes Worldwide

Cities across the world are rapidly losingtheir individuality thanks to corporate shop-ping spaces. That was the main point of the13th Annual Urban Studies Lecture Oct. 29in Meyerson Hall.

Guest lecturer Sharon Zukin presented“The Privatization of Public Space: FromDisney World to Nike Town” to a packedaudience of more than 250 people. She isthe Broeklundian Professor of Sociology atBrooklyn College in the City University ofNew Yo r k .

Last spring, Urban Studies seniors choseZukin to be the guest lecturer this fall whileconsidering her multifaceted professionalcontributions to urban studies, including herrecent book, “The Cultures of Cities.”

Elaine Simon, co-director of underg r a d-uate urban studies, introduced Zukin, say-ing her multidisciplinary research was “at

the nexus of urban studies.” Simon praisedZ u k i n ’s “interweaving consideration of thebuilt environment with urban history, eco-nomic development, politics and culture.”

Zukin argued that in the 1990s, “retaile m e rged as a strategy of urban redevelop-ment, and public spaces became representa-tions of consumption spaces.” The trend isinternational, she said, “changing the builtenvironment in most cities of the world.”

Zukin became interested in the newurban redevelopment strategy when sherealized the importance of shopping in

modern society. She noticed the publicattention given to many New York areasthat were redeveloped into shopping areasand were praised in the popular media.Well known areas of Manhattan, such asMadison Avenue and Times Square, arebeing “revitalized” by giant corporateretailers like Disney and Nike.

Zukin argued corpo-rate retailers are creat-ing a “new shoppinglandscape of power, ”using museum-likeatmospheres to reshapepublic space into “newconsumption spaces.”She gave several exam-ples of museum-liketactics — the screeningof Nike commercialvideos on movie-sizedscreens, and the presen-tation of products inglass cases with goldlabels — that elevatethe cultural value of mereconsumer goods.

Zukin noted howsocial, racial and classd i fferences related to the wave of corporatesuperstores. The new superstores have dis-placed many small, unique and ethnic busi-nesses that reflected the diversity of NewYork culture. Stores such as Barney’s, T h eGap, Barnes and Noble, and Georg i oArmani have not only cleaned up sleazybusinesses like porn shops and bars; theyhave effected a kind of urban retail ethnicc l e a n s i n g .

The new superstores create mainstreamconsumption spaces attracting “suburban-ites, visitors and tourists,” Zukin said. Sheused slides to demonstrate the shift from“vernacular social space” to spaces thatreflected “the visual appreciation of a pay-ing public.” The spaces are environmentsconducive only to buying.

She showed howthe new corporate style hasco-opted city governments. New York Citycooperated with the Disney Corporation,not only closing down a heavily usedManhattan avenue, but also shutting off allthe lights along the street so the lightedDisney floats would appear more awesome.

The cooperation goeseven further. Zukin saidcorporate retail demandsconstant police presenceand surveillance. Sheused the Disney Paradealong Fifth Avenue as anexample, pointing to thehundreds of police off i-cers and barricades in herslides of the parade toillustrate the role of regu-lation and surveillance inthe new corporate retailculture.

The connectionbetween upscale con-sumerism and police pres-ence reflects the degree ofregulation required for“successful” retail revital-

ization. Certain races, ethnic groups andsocial classes are discouraged from partici-pating in both the consumption of goodsand space as part of the revitalization strate-g y, Zukin argues. Well-heeled consumersare welcome in the “revitalized” areas,while other people’s presence is monitoredand discouraged.

Zukin concluded her argument by con-templating a balance between public andprivate space, and questioning the directionof further urban redevelopment using thecorporate retail strategy. She outlined theloss and suppression of certain cultures asthe cost of new urban, glitzy consumerism.

Shopping in the world’s newest retaildevelopments may have more than oneprice, she said.

Days like these begin very early forDonna Oakley and Kim Prager. Oakley,director of the Penn Animal Blood Bankbloodmobile, and Prager travel as far as anhour away from the Penn campus to collectblood from volunteer dogs.

Animals need transfusions for the samereasons as humans: traumatic accidents,anemia, excessive bleeding, and surg e r y.

The specialty of animal transfusionmedicine is a relatively new concept, andits emergence necessitated the opening ofthe Veterinary Hospital of the University ofP e n n s y l v a n i a ’s blood bank for dogs.

On this day, Oakley and Prager wereheaded for Newark, Del., where the localveterinary clinic has organized a blooddrive. The bloodmobile departs at exactly7:30 a.m. It arrives ahead of time at theclinic, much to the delight of the event’so rg a n i z e r, Erin Vicari, a veterinarian. Soonthe dogs and their owners come in, oneafter the other, every 15 minutes.

Today is slightly unusual. Often, Oakleycollects blood from dogs in hunt clubs orthe homes of true animal lovers where sheknows which dogs carry the correct bloodtype. About 1,500 dogs are enrolled as reg-ular donors. But today at the clinic, Oakleyand Prager will have to type all the dogsbecause they are first-time donors.

More than a dozen different blood typeshave been recognized in the dog, so Oakleyand Prager are looking for blood that iscompatible with all types. Dogs that carrythis type are considered universal donorsbecause their blood will not clump whentransfused; just as dogs have universaldonors, they also have universal recipients.

The first dog to enter the bloodmobile isa brown Lab named Cody, and as dogblood donors go, he is rare. Only 40 per-cent of the canine population carries theuniversal blood type. And this particularveterinary clinic has not had luck in findinguniversal donors. But Cody is one of thefour dogs today to be a universal donor.

C o d y ’s appointment begins with a dogbiscuit. While Prager is making friends

with the dog, Oakley explains to the ownerthe requirements to be a donor. Ad o n o rmust be at least one year of age and weighmore than 50 pounds. The dog cannot beon any medication, except for heartworm orflea preventative, and must be current on allvaccinations. If a dog has had any incidentsof excessive bleeding, then he cannot beconsidered a donor. Finally, the dog has tocarry the universal blood type.

The owner holds Cody’s head and easeshis anxiety with her voice as Prager gently

inserts a needleinto a vein inC o d y ’s right fore-limb. Cody, ner-vous about the

whole experience, winces at first, but afterthe initial twinge of the needle, he calmsdown.

Oakley then types the blood by mixingit with a saline solution and a reagent. If thereagent causes the blood to clump, then itcannot be considered for donation. Cody’sblood, however, stays in a fluid state. “Wewin,” proclaims Oakley.

Oakley and Prager then lift Cody ontothe examination table and lay him on his

side. Much to thesurprise of theo w n e r, Cody hascalmed down. Usuallythe dogs act more passive than expected.While the owner continues to comfortCody and hold his head, Prager stabilizesthe rest of his body. Oakley prepares anoth-er needle and slowly inserts it into Cody’sneck.

After three minutes of drawing blood,with only about 30 seconds left, Cody cannot sit still any longer. He makes a quickmovement that upsets the placing of theneedle. The blood begins to clot in the bag,making it impossible to finish. So Codygets his bowl of nutritious, delicious food alittle early. Maybe next time he will be ableto sit still. The bloodmobile wants each uni-versal donor to return at least three times inlight of the cost of typing blood.

The owner thanks Oakley and Pragerand leaves with a bag of food and a goody-

bag for participating insuch a worthy cause.Oakley and Prager waitfor the next patient toarrive in a few minutes.

The day ends sixhours later after the lastdog has been seen.Oakley and Prager packup, thank Vicari for her

participation, and return to Penn. Back atV H U P, Oakley and her personnel processthe acquired blood. Here, it is broken downinto its smaller components: plasma, clot-ting factors, platelets and other products.Veterinarians are able to use the universalblood type for every type of transfusion indogs without further testing.

Besides being used in V H U P, the bloodand its products are shipped all over thecountry to veterinarians in need. Penn isone of four blood banks nationwide. One ofthem, in Maryland, was started withV H U P ’s help.

Building bridges across both the A t l a n t i cand the Schuylkill, Penn faculty and stu-dents hosted folklore experts from Finland,Sweden, Norway and Denmark, and localfolklore organizations for a symposiumhere Oct. 27 and 28 on the changing facesof folklore and tradition.

In an increasingly small world, thefolklore experts agreed they had to com-municate with one another to track globalmigration and the resulting changesin the folkways of the groups theys t u d y.

“Folklorists, because of the thingswe study, are in positions of culturalbrokerage,” said Professor ReginaBendix of Penn to the group, whichmet on campus the first day.“ I n c r e a s i n g l y, we analyze newlye m e rging diasporas, people on thego, and how they cope.”

As the folklorists traced the inter-twined history of academic and pub-lic folklore in the United States andswapped stories from their fieldwork, a picture emerged of howresearchers now chart “new tradi-tions” from their onset.

“I see tradition as a process, not static,”said Anne-Leena Siikala of the Universityof Helsinki.

Nordic scholars were among the first, atthe turn of the last century, to create folklifemuseums of the kind we see everywherenow and to give a methodological founda-tion to the study of storytelling and culturaltraditions. These are some of the reasonsAmerican folklorists wish to strengthen tiesto the Northern European folklore commu-n i t y, according to Penn folklore ProfessorRoger Abrahams.

And the Scandinavians likewise wishto strengthen ties. Philadelphia, with itsvast tableau of ethnic enclaves, offers arich example of the survival of culturaltraditions in lands of emigration, some-thing the Scandinavians seek to learnmore about as their own countries becomemore multicultural.

Provost Stanley Chodorow, who hosteda reception for the international visitors theevening of Oct. 27, said, “For Penn, thehosting of such meetings both symbolizesand confirms its international stature andposition in the world of scholarship.”

The next day the group went to theAmerican Swedish Historical Museum(ASHM) in South Philadelphia, whichshowcases the lives of Swedes in the

Delaware Valley and beyond from the early17th century to the present. The visitreminded local participants of the great cul-tural diversity in our own backyard.

“It is important for the museum commu-nity and the Penn community to meet andget to know each other,” said Anne Jenner,lecturer in Scandinavian studies at Penn,who has worked for the ASHM. After thet o u r, Jan Garnert of the Nordic Museum inStockholm gave his perspective: “Theexhibits make many important historicalconnections vivid. It’s fascinating to seeitems decontextualized and fit into anotherc o n t i n e n t ’s cultural history.”

The group next watched a documentaryproduced by the Philadelphia FolkloreProject (PFP). The project began 11 yearsago as part of the centennial of theAmerican Follklore Society, and cameabout through the combined efforts of

Debora Kodish andAbrahams with thehelp of Ella KingTorrey of the PewCharitable Trusts. Kodish had formerlytaught for a year at Penn, and now directsthe PFP, which has become a presence inthe local cultural scene, has archives, off e r spublic programs and provides services tolocal grassroots artists.

Michelle Jackson, archivist atthe PFP, presented the video,“Plenty of Good Women Dancers:African American Women Hoofersfrom Philadelphia.” It tells the storyof a reunion performance of the tapdancers, typical of the groups theP F P highlights because their folk-ways are inadequately documented.

Before the film, Abrahams saidto the crowd: “We’re anxious foryou to understand how public folk-lore works on the ground and ties inwith entertainment.”

The glamorous singing and danc-ing in the film inspired the interna-tional visitors to move to the music.When the film ended, the delighted

guests asked how this kind of folklore pro-ject could reach a wider audience. The filmshowed to advantage how grassroots folk-lore organizations educate the larger publicabout its neighbors and their traditions.

The public folklore movement began aquarter century ago under the auspices ofthe Smithsonian and the Library ofCongress, and folklore studies have donemuch to help communities understand andcelebrate their customs, Bendix said.

The message at the center of the sym-posium was that the university shouldkeep vital contact with the world aroundit.”Oxygen doesn’t come from thel i b r a r y,” said Penn folklore ProfessorM a rgaret Mills.

Marit Hauan of Norway said: “Cominghere to discuss and get ideas continues mywhole education, and brings together all theimportant issues for me.”

Thirty to 40 Philadelphia teen-age girlscome monthly on Saturday mornings towork out, to connect with Penn studentmentors and to find a sense of self-worth atW.E.B. DuBois College House. The pro-gram they attend, “Fitness & Fashionw/Funk” (FFF), is not an official Penn vol-unteer effort. Rather it’s the brainchild ofJanice Ferebee (r i g h t ), a graduate fellowworking on a master’s in social work.

Ferebee is a kind of an entrepreneur- m i s-sionary crossed with a one-woman-b a n d .She is using the Internet, church talks, wordof mouth and other publicity (an item inEssence Magazine didn’t hurt) to reach outto teens in Philadelphia. She gives motiva-tional talks. She’s got fliers, press packets,business cards and advertising specialtieslike water bottles emblazoned with “Got ItG o i n ’On.” And she’s got bookmarksadvertising her self-published book, also

called “Got it Goin’On,” an easy-to-readguide to self-worth aimed at teens.

D o n ’t think because this book is self-published that it’s a go-nowhere, vanitye ffort. It’s in use in the Washington, D.C.,public schools and in church rites-of-passage programs for girls,according to her Web page.S h e ’s also developing af a c i l i t a t o r’s guide and video,along with a similar bookfor boys.

F e r e b e e ’s motivational talkshave brought in volunteers to helpwith FFF. She’s got Penn students whoserve as mentors for the girls. She’s gottenarea businesses to donate: My FavoriteM u ffin donated snacks; The Body Shopand Themes & Books each donated $25gift certificates. She’s got speakers to talkto the girls about fashion and health. She’s

even got trainers tolead exercises —grad student NishaHitchman led thegirls in the workoutN o v. 1, for example.

Ferebee, who was the firstAfrican-American to serve as

models editor for SeventeenMagazine, uses physical fitnessthrough dance to “create an

environment where the girls feelsafe. T h e r e ’s a relationship between

self-esteem and physical fitness forgirls,” she says.

F e r e b e e ’s mission is personal. “I’m shar-ing some of the mental, physical and spiri-tual tools that work in my life.”

A Mission for Teen Self-Esteem

The first writer in history to win both of France’s highest lit-erary honors — the Prix Médicis and the Prix Goncourt —spoke at Penn Nov. 4.

Andreï Makine, author of “Dreams of my Russian Summers,”(entitled “Le testament français” in the original French), won theprizes in 1995 for his recollections of summers spent visiting hisFrench grandmother in Siberia. He was dubbed the RussianProust for the way his book blends memory and imagination.

The event, organized by Penn’s French Institute for Cultureand Technology and by the Alliance Française of Philadelphia,attracted a French-speaking crowd of about 100 people.

Speaking in French, the Russian-born author said he soughtasylum in France a decade ago at the age of 30. Although hehad read widely in French while living in Russia, in France hebegan a chronological review of French literature, starting withthe medieval “Roman de la Rose.”

Makine spoke of his struggle between two identities, which isthe central theme of his autobiographical novel.

His grandmother, born at the turn of the century, moved toRussia as a child, where her father practiced medicine. She wastrapped in Siberia during the chaos of the revolution in 1921.

Under her influence, Makine created an imagined France thatcontrasted to the realities of his Soviet life. In his book, t h eimagined world allows the narrator to see Russia from a French

viewpoint, and alienates him from the surrounding society. In adolescence, however, the French heritage becomes

painful, conflicting with his love for “the pitiless, beautiful,absurd and unique Russia.”

At the same time, the French language connects the youngman, growing up in a dreary city lost in the Russian tundra, tothe much larger world that was flourishing beyond the IronC u r t a i n .

Torn between two languages, between two cultures, he arg u e sthat his biculturalism forced him into artistic creation as “a wayof reconciling the tension between the two cultures that engen-dered him” and gave him access to poetry, a language that goes“beyond local dialects.”

He compared the two cultures — Fench and Russian — say-ing the French culture is much older and therefore more sophisti-cated. For example, the French language has a linguistic arsenalof 26 tenses whereas Russian has only three. The Russian culturehas had less time to acquire “intellectual varnish,” hence the sud-den outbursts of raw emotions, the frequent resurgence of whathe called “le barbare russe.”

After Makine's talk, audience members bought books — inEnglish and in French — from the Penn Bookstore, and waitedfor le barbare russe with French intellectual varnish to signtheir copies.

Center for Community Partnerships:Summer Course Development Grants

The W.K. Kellogg Foundation has provided the University with a three-year grant to linkPenn’s intellectual resources with community needs in West Philadelphia. The grant supportsUniversity faculty to develop new undergraduate courses that combine research with coopera-tive community projects. In addition, the grant provides support for undergraduates toparticipate in research opportunities that will both benefit the community and be integrated intothe curriculum.

The Kellogg Program focuses on three themes: Culture and Community Studies (coordina-tor: Peter Conn, Professor of English); Environment and Health (coordinator: Robert Giegengack,Professor of Geology and Director of the Center for Environmental Studies); and Nutrition andHealth (coordinator: Francis E. Johnston, Professor of Anthropology).

The Kellogg Program has funds available for faculty members to apply for summer coursedevelopment grants. Proposals should fall within the three project areas noted above. Grantswill be for no more than $3,000 per project. These funds can be used to provide graduate andundergraduate support, course implementation, course support, and/or summer salary ($3,000is inclusive of E.B. if taken as salary). Criteria for selection will include:

Will Your Computer Know What Year It is?by James J. O’Donnell

Every millennium begets its own terrors. While few of us expect the world to end in the Year2000, we are already living with our own apocalyptic predictions: newspapers, magazines, radioand other media issue a daily Year 2000 warning. Will our computers stop working? Will ourelevators and security systems suddenly freeze up? Or is it all media hype?

This fear is in many ways very real. Penn, like any other institution or enterprise, relies heavilyon computer systems and devices that control the operation of equipment for crucial research andadministrative activities. Many of these systems and devices will not function correctly in the Year2000 unless we prepare them. (It’s simple: if like many systems over the last decades, a system isprogrammed to record dates by a two-digit number, then the move from 97 to 98 to 99 is easyenough, but the move to 00 means that you’ve suddenly moved back in time 99 years: all sorts ofcalculations can go awry if this happens.) But at the same time, we need to take a balancedapproach. The appropriate mentality is that of “risk management.” If you know you will buy a newdesktop system before January 1, 2000, then you can breathe a little easy: new machines are already2000-compliant. But if your system is mission-critical and will not be substantially upgraded in thenext 26 months, you should take a serious look at it to see what risks it contains, then think aboutthe costs of remediation.

Many of Penn’s academic and administrative offices are working aggressively to resolve theirproblems. Some changes have already been made (in time to cope with the arrival of the class of2000, for example), but much more remains to be done. Our goal is not just to fix code but to assurethat the essential business of the University continues uninterrupted. A working group under thesponsorship of the Provost and EVP is being formed to bring together and coordinate the activitiesalready underway in many schools and centers. Our website www.upenn.edu/computing/year2000should be consulted frequently for progress across the University and for up-to-date informationfrom external agencies such as NIH concerned about the Year 2000 problem. The site will includenames of individuals in each school and center who are leading their school/center efforts, as wellas information about specific hardware and software releases that are and are not 2000-compliant.

But centralized and coordinated activity cannot do the whole job. Many researchers arebelieved to be at risk for systems built up over time, collecting valuable data, and continuing to playan important part in their work. Every computing system and program must be presumed Year-2000vulnerable until proven otherwise. The key to success in bringing all systems safely into the Year2000 will be communication and information sharing at all levels within the University. A surveyto be conducted shortly by each school and center will assess current progress and the magnitudeof the remaining effort. Please respond fully and quickly when we seek this vital information.

ISC, Penn’s central computing organization, stands ready to work with the IT professionals inschools and administrative centers to advise and consult and make appropriate reference forindividuals and organizations with year 2000 needs that may yet be unaddressed. A Short StoryThe calendar reckoningthat will give us the Year2000 problem goes backto a monk in the 6thcentury A.D. namedDionysius Exiguus(“Dennis the Short”)who calculated the dateof the birth of Jesus andproposed dating beforeand after that date.Though the system onlybegan to come into com-mon use in the eighthcentury, the very firstperson to use it appearsto have been Dionysius’friend Cassiodorus,another learned monkwriting in the year 562.

Scholars now date thebirth to about 4 B.C.,which means that ifDionysius had got itright, this year wouldbe the year 2000 andwe would have had thatmuch less time to getready. As it is we hopeto have all key systemsat Penn “fixed” andready by December1998.

Informationtechnology has become critical to the success of Penn's academic missions andadmin-istrative support. The problem of the year 2000, which is seemly simplebut often complex and difficult, is buried in many of our critical computerprograms. We must be sure that we have taken every reasonable step to solvethat problem. In this notice, Jim outlines the issues and the solutions beingpursued by the ISC organization.
