Executive Summary
The concept for Chelsea Skates is to offer the Chelsea Manhattan area and
greater NYC area a unique yet authentic boutique shopping environment for
the exclusive offerings of hard to find, unique footwear / (e.g. Nike, Adidas,
Supra, DC, Reebok, Asics ) sneakers not found in run-of-the mill shoe stores orbig-box retailers (e.g. Foot Locker, Finish Line, Champs etc.). Additional
clothing items (unique customized t-shirts, caps, outer wear, figures etc. as
well as a couple of more popular street wear labels) will also be offered.
Consideration for unique, hard-to-find consignment sales may also be
considered.
The concept for the UP SHOP is the idea and principles that we will bring thegallery to the street and the streets into the gallery environment. Combining
fine art, modern art, urban art, pop art and street art in one space. A place
where printed matter can be bought sold and traded. With the ever growing
street art market gaining international placement in the industry and thebuying, reselling, consigning and creating of street / urban art becoming
more readily available for sale. Introducing new artists by way of curating
shows and the already established artists of today being invited to display works and sell.
It is expected that it will take 7 months to one year for the store to make a
profit once the shop is embedded in the neighborhood, word of mouth has
taken its course, wheat pasting of posters, flyers, handouts and all social
networking venues have been implemented.
Christopher Vidal will be the primary decision maker for the day-to-daydecisions. Other individuals with an interest in the business may both invest
and be part or full time employees based on skill sets and business need. Mr. Vidal will undoubtedly be governed, however, by an executive team made up
of prospective investors who will be responsible for the overall strategic
direction of the business.
Sales will be made both at the store and over the internet.

Company Overview
The company will be started by, and owned by local sneaker enthusiast,
former skateboarder and art collector: Christopher Vidal. Who will seek
investors with specific expertise in areas of legal, financial and marketing
backgrounds? The company will be overseen by a “Board of Advisors” with
voting rights representative of their investment into the company (both
monetary and creative investment). Day-to-day management will reside in a
General Manager as determined by the Board of Advisors. The Board of Advisors will set the strategic direction for the company and will ensure there
is adequate financing available for the company to meet its ongoing
objectives. Initial owner Christopher Vidal, others will be included as they are
identified as having critical expertise and/or skill set necessary for the futuresuccess of the company.
The ultimate goal of the company is to create and establish a foundation forthe growth and future advancement and placement of the Arts and
Skateboarding in New York City. A place that was and is a safe creative space
for the kids of New York City to come together and learn from one another via
the art of skate boarding, sneaker collecting and street art.

Business Environment / Concept & Design
The environment is envisioned to be one where skateboarders / sneaker
heads want to hang out creating a very welcoming and inviting environment. I
envision a loyal clientele who “feed off of one another” around the topic of sneakers, skateboarding and the Arts. The store theme will be a simple, under
the ground design based on its lower level shop location and aesthetic. Ideas
include:
1. Chelsea Skates, will be themed after what a core neighborhood shop is
all about. The minimalist approach of displaying product by
emphasizing on the product and not the display or fixtures in the store.
2. One 32” LCD flat panel TV playing classic skate videos throughout the
day adding to the aesthetic of the shop (e.g. Bones Brigade, Rubbish
Heap, etc.).
3. There will be no register area. All transactions will be conducted via
wireless devices (e.g. IPad, BlackBerry, IPhone, Android devices, etc.)In order to maximize product space and stock spaces, the Cash will be
kept in a cash drawer in the rear of the store.
4. Design will compliment existing stained wood cabinetry adding
shelving across outer wall, minor paint removal to expose brick, Pergo
Flooring throughout, install track lighting, security cameras and
creating a partition to separate stock area for footwear.
5. The UP Shop will require little to no build out. The concept of “ UP “, is
based around, getting all the art UP on all the walls. On the inside orthe outside. All the walls will always have framed art displayed
available for sale. Track lighting, steel door, cameras and a flat file
storage cabinet.
We also expect there to be a draw of customers from outside the immediate
Chelsea area as these kinds of boutiques / skate shops ad sneaker shops
have become popular amongst teenagers, young adults and the fashionforward crowd. The store will be staffed with individuals who have a passion
for the product sold who will engage patrons and perpetuate: skateboarders,sneaker heads, art collector and enthusiasts in there respective markets.
New customers in large part will be created by word of mouth and
introduction to the markets, environments and products from all over the
world of skateboarding, sneakers and Art by existing clientele.

Company Description
The company will be opened as an LLC with shares of ownership to
individuals based on both skill and monetary contributions as negotiated
amongst the parties. Day-to-day decisions will be made by Christopher Vidal
with overall strategic decisions to be made by an Executive Team made up of
investors.
Investor/owners may work within the company and may receive “market”compensation for doing so. Initial decisions will be made by the Executive
Team with ongoing decisions made by Christopher Vidal as the general
manager. It is understood that Chistopher Vidal will be the primary decision
maker, share holder and retainer of the intellectual property rights of theChelsea Skate Corporation and The UP Shop. As both entities are of
Christopher Vidal’s own creative construction with no third party assistance.
In the event Christopher Vidal is unable to perform his duties as General
Manager of day to day operations, budgeting, purchasing etc., there will be
an appointed Acting General Manager for a period of no longer but not
shorter than 22 days. After term has expired, there will be an immediate
dismissal of the Acting General Manager’s position / title and Christopher
Vidal will automatically assume His position as General Manager. At no time
during said term does Christopher Vidal lose any holdings and or shares in
The Chelsea Skates Corporation & The UP Shop. The Executive Team retainsand holds the rights to suspend Christopher Vidal of His position for above-
mentioned Term of twenty-two days within a 4-month period.
