7. The issue of this TENDER does not imply that the Authority is bound to select a Bidder or to appoint the Selected Bidder or License, as the case may be, for the Project and the Authority reserves the right to reject all or any of the Bidders or Bids without assigning any reason whatsoever.

The Bidder shall bear all its costs associated with or relating to the preparation and submission of its Bid including but not limited to preparation, copying, postage, delivery fees, expenses associated with any demonstrations or presentations which may be required by the Authority or any other costs incurred in connection with or relating to its Bid. All such costs and expenses will remain with the Bidder and the Authority shall not be liable in any manner whatsoever for the same or for any other costs or other expenses incurred by a Bidder in preparation or submission of the Bid, regardless of the conduct or outcome of the Bidding Process.

1.0 INTRODUCTION & BACKGROUND

1.1 INTRODUCTION

Madhya Pradesh can easily be described as the best state of the nation, in terms

of richness and diversity of tourism destinations. The state has three world

heritage sites namely Sanchi, Bhimbetka and Khajuraho. Madhya Pradesh is not

called the 'heart of India' only because of its location in the centre of country. It

has been home to cultural heritage of Hinduism, Buddhism, Jainism and Islam.

Innumerable monuments, exquisitely carved temples, stupas, forts and palaces

are dotted all over the State. The natural beauty of Madhya Pradesh is equally

varied. Consisting largely of a plateau, the State has everything. Spectacular

mountain ranges, meandering rivers, huge water bodies and miles of dense

forests. But perhaps the best part about MP is its accessibility. It is equally close

to major tourist destinations from the North, South, East and West.

In the last few years, the Government of Madhya Pradesh has initiated a number

of measures to position the state as the leading tourism state globally.

Madhya Pradesh State Tourism Development Corporation also referred to as the

“MPSTDC” or “ Authority “, is a nodal agency under Department of Tourism,

Government of Madhya Pradesh with a mandate to develop tourism

infrastructure in the State of Madhya Pradesh.

1.2 OBJECTIVE

MPSTDC intends to start a new venture in Ayurveda Tourism. The Panchakarma wellness centre is proposed to provide world class ayurvedic treatment based on a holistic approach where the health is improved without causing any other illness or side effect. It focuses on wholesome health which means improvement of the bodily, mental and spiritual state and functions of the whole person. The Panchakarma wellness center shall be established at the different locations in Madhya Pradesh at the existing units of MPSTDC.

1.3 Scope of work

1.3.1 Panchakarma wellness centre to be established at the units of MP Tourism’s with

following treatments.

Note - The Bidder shall have the option to bid for all or any one 1.3.3 Development, Operation, maintenance & management of the Project Facility

as per good industry practices, and in accordance with the specifications and performance standards.

1.3.4 Implementation of the Project and bring in the required investment for the

Project as per the preferred bidder’s Tender submissions. 1.3.5 The bidder would be required to bring in & utilize their own finances and

resources for its full development, operation, maintenance and management of the project facility.

1.3.6 The MPSTDC invites separate sealed Bids comprising Technical Bid and Price

Bid for the Project Facility from interested Bidders for Operations of Panchakarma wellness Centre at MP Tourism’s Units. The bidder shall be handed over the possession of the Project Facility on as-is-where-is basis along with the license rights in respect thereof for Operations of Panchakarma wellness Centre at MP Tourism’s Units of the Project facility for a period of 10 Years.

1.3.7 The possession of the Project Facility will be handed over to the Preferred

Bidder/developer in the manner and within the period specified in the Agreement on as-is-where-is basis. The Preferred Bidder is required to verify the suitability and the usage of the movable & immovable properties and MPSTDC shall not be responsible once the same is handed over.

1.4 Duties and Obligations of Bidders:

1.4.1 The Bidder shall use the Premises only for the purpose of operation and

maintenance to earn revenues only.

1.4.2 The Bidder does not have the right to mortgage & sublet the Property or

any other Premises in the MP Tourism Units.

1.4.3 The Bidder shall occupy and use the Premises without causing any

nuisance or annoyance to other residents/public in the locality.

1.4.4 The Bidder shall occupy and use the space available at the property for

operation of Panchakarma wellness centre. The Bidder can set-up a

temporary arrangement for operation of the same only with the prior

permission of the Licensor.

1.4.5 The Bidder shall use the Premises prudently and without causing any

damages to the Premises or any part thereof if notwithstanding the

above, any damage caused to the Premises or to any part thereof, the

Bidder shall at its own costs and expenses repair and restore the same

to its original condition as nearly as possible.

1.4.6 The Bidder shall return the Premises to the MPSTDC after

completion/termination of the License Agreement in as good condition

as possible.

1.4.7 The Bidder shall carry out all necessary tenantable repairs to the

Premises at own costs with prior consent of the MPSTDC. The Bidder is

responsible for insuring the Premises against fire, riots and civil

disturbances, and acts of God and nature.

1.4.8 The Bidder, at his own cost, may fix or install additional fixtures and

fittings in the Premises including air-conditioners, shelves, racks,

additional water taps, gas connection, electric fittings, telephone,

sanitary and other installations, etc. as may be necessary without

damaging the Premises. However, after completion of the License

Period, the Bidder shall be entitled to remove such fixtures and fittings

without causing any damage to the Premises. In case any damage is

caused, the Bidder shall restore the same to its original condition at its

own cost.

1.4.9 The Bidder shall not carry out any permanent or structural alternations

or additions to the Premises without prior permission of the MPSTDC.

However he can use the area and make any temporary structure, only

with the prior permission of the MPSTDC.

1.4.10 The Licensor shall not be liable for any theft, loss, damage or

destruction of any assets or properties of the Bidder kept in the

Premises, and the Bidder themselves shall take all reasonable care of the

same.

1.4.11 The Bidder shall upon receiving prior intimation permit the MPSTDC or

his duly authorized agent to enter the Premises to ascertain its condition

as well as the observance of the terms and conditions herein, at a

mutually convenient time.

1.4.12 The rights of admission to MP Tourism Units is reserved by the Bidder as

per the terms and conditions laid down from time to time.

1.4.13 The Bidder has no right on the land or Licensed premises apart from as

mentioned.

1.4.14 The Bidder shall be responsible for the maintenance, high standard of

cleanliness, sanitation, hygiene etc. in the premises continuously and

also for repair and maintenance of fixtures, fittings and additional

facilities such as electricity, water connections. The Bidder shall also

ensure prevention of infectious diseases, control and prevention of

nuisance from insects, rodents, or any other source of infection or

unhygienic condition etc.

1.4.15 The Bidder shall give special attention to the manner in which his

employees receive visitors and render services ensuring good

hospitality, congenial and pleasant atmosphere. Special care shall be

taken for the employee’s health and to ensure that all the

workers/employees employed in the premises are medically fit and that

they do not suffer from any contagious, loathsome or infectious

disease. In this regard a certificate from an RMP (Registered Medical

Practitioner) in respect of each employee is required to be submitted by

the Bidder every six months or earlier if demanded by the MPSTDC.

1.4.16 The timings of the Panchakarma wellness Center at MP Tourism Units

will be as per local prevailing by-laws of the Local Administration.

1.4.17 The Panchakarma wellness Centre shall maintain requisite standards of

hygiene (agency authorized by them in this regard) in and around the

Ayurvedic Wellness Centre at MP Tourism Units. The officials of any

Govt. agencies/local authorities/ independent agency and any agency

appointed by the MPSTDC may inspect the Wellness centre in the MP

Tourism Units. The Bidder shall co-operate in this regard and take urgent

and timely follow-up action on such reports to the satisfaction of the

MPSTDC.

1.4.18 Officials or representatives of the MPSTDC may, at any time, monitor

the quality and service and standards of facilities and interiors,

exteriors of the area etc. The Bidder shall assist/co-operate with the

MPSTDC officials in this regard. Failure of the MPSTDC in this compliance

doesn’t relieve the Bidder from his obligations and duties towards the

same and in such a case this clause will be overruled by the Clauses

mentioned above.

1.4.19 All services rendered at the Panchakarma wellness Centre should have a

rate list displayed at prominent places in the project facility.

1.4.20 The Bidder can promote themselves by putting display boards/neon

signs about their outlet name only at the specified point at the licensed

premises and nowhere else. The design and size of such display boards

must be got approved in writing from the MPSTDC beforehand. The

licensed premises cannot be used for promoting any other product /

brand.

1.4.21 Decorative elements, including TV screens and other temporary

fixtures, to improve the look of the Panchakarma wellness Centre at MP

Tourism Units may be put up with the prior approval of the MPSTDC. The

cleanliness and maintenance of the toilets inside the Panchakarma

wellness Centre at MP Tourism Units to be used largely by the

Panchakarma wellness Centre at MP Tourism Units.

1.4.22 Segregation of the waste material will also be undertaken by the Bidder

as per the local rules and regulations. The Bidder shall collect all garbage

in bags/ boxes/trolleys permitted as per local municipal guidelines. The

collected garbage shall be kept at designated locations for disposal by

the MPSTDC outside the MP Tourism Units .

1.4.23 The Bidder, his agents and employees shall observe/perform and

comply with all applicable laws/ rules and regulations of the

Panchakarma wellness applicable to the Bidder including any rules and

regulations made by the MPSTDC or any other department of the

Government of Madhya Pradesh or the Local Body or the Local

Administration as applicable from time to time to the business which the

Bidder is allowed to carry on under this Tender/Agreement and to the

area in which the said premises is located. This also includes compliance

of the laws relating to hygiene, storage, sanitation, cleanliness, product

quality and disposal of water & waste material etc.

1.4.24 Only Potable Water will have to be served in the Project facility.

1.4.25 The Bidder shall make visible/available the rate list to the customers.

1.4.26 The Bidder or any other Business Entity where it has and/or still has

controlling shares, should not have been debarred from operating an

MP Tourism Units on account of quality issues by the concerned

Government Authorities or should not have been convicted for

irregularities concerning Panchakarma wellness Centre outlets under

various statutes/rules/ regulations/ orders etc.

1.4.27 The Bidder cannot sublet different parts of the Wellness centre to third

parties.

1.4.28 Any change in the management, control, composition, constitution or

ownership of the Bidder shall be deemed to be an assignment for the

purpose of this Tender/Agreement and shall be liable for the immediate

cancellation of the License and forfeiture of the License Fee and the

Security Deposit. (subject to the terms and conditions of the License

Agreement)

1.4.29 The Bidder shall maintain a complaint book/visitor book / suggestion

box at a prominent place in the Licensed Premises and in such a way that

it is easily accessible to any person who wishes to record any

complaint/suggestion and the said details/book shall be open for

inspection to the MPSTDC, as and when demanded.

1.4.30 The Bidder shall be solely liable towards any complaints, or any action

taken by any person against quality/standard of services rendered by

the Bidder, or behavior of its employees, staff and supervisors in the

Licensed Premises.

1.4.31 In case of any strike or lock-out either at units or in the Licensed

Premises or for any security reasons, if the Bidder is unable to function

or its business is affected, the MPSTDC shall not be liable for any loss

which the Bidder may suffer. In such an event, the Bidder shall not be

entitled to any reduction in the License Fees or any other compensation,

whatsoever in nature.

1.4.32 The Bidder shall engage only such persons who will have good

character/behavior and are skilful/qualified in their business.

1.4.33 The Bidder shall also have all persons employed by him, verified by the

Local Police.

1.4.34 In the event of the Bidder being prohibited/refrained from selling one

or more of its services in the Licensed Premises because of any

Government Laws/ Rules/ Regulations/ Orders of Central Govt. or Govt.

of MP, the MPSTDC shall not be liable for any loss suffered by the Bidder

and in such an event the Bidder shall not be entitled to any reduction in

the License Fees etc.

1.4.35 The MPSTDC reserves the right to withdraw / temporarily suspend the

use of specified area of the allotted premises due to security reasons,

VIP movement or for meeting any other statutory obligations. No license

fee of that period shall be refunded in this regard and no compensation

in terms of grant of extra period beyond license term shall be considered

by MPSTDC in this case.

1.4.36 The possession / premises shall be allotted on “AS IS WHERE IS BASIS”.

1.4.37 Emergency lights in working condition must be available at the Wellness

centre at MP Tourism Units.

1.5 Inventory of All Fixtures & Fittings

At the time of taking possession of the premises, an inventory of all fixtures and

fittings including electrical etc. will be made and the same will have to match on

expiry/revocation/cancellation/termination of license period or otherwise at the

time of handing over the possession to the MPSTDC or at the time of taking over

possession by the MPSTDC due to cancellation of license or deemed vacation.

1.6 Interiors, Furnishing

1.6.1 No major construction/addition can be carried out inside the

Panchakarma wellness Centre at MP Tourism Units without the MPSTDC

prior written consent and permission.

1.6.2 Additional fixtures and interior decorative items to be fixed inside the

allocated area shall be done by the Bidder at its own cost and the shall

only be permitted by the MPSTDC, against a specific request made with

drawing in detail, after obtaining written permission from the MPSTDC.

On the expiration or termination of this Agreement, as the case may be,

the Bidder shall remove all such temporary fixtures from the Licensed

Premises and restore the premises to the original condition at its own

cost after removal of additional fixtures and interior decorative items to

the satisfaction of the MPSTDC.

1.6.3 The Bidder shall file a copy of the proposed plans of interior decoration,

if any, for MPSTDC prior approval before the commencement of the

works.

1.7 Fair Business Practices:

1.7.1 The Bidder shall be required to adopt fair business practices and to

exhibit prices in respect of each item / services of sale and the price so

exhibited should be competitive. In case of any complaint the Bidder

shall be solely answerable in respect of goods sold from the Licensed

Premises.

1.8 PAYMENT & CERTIFICATES:

Annual License Fee

1.8.1 The Bidder shall pay the Proportionate License Fee for the first year (from the date of

award of work till _______) as specified in the License Agreement, prior to the execution

of the License Agreement and 21 days of issue of Notice of Award to the Selected

Bidder.

1.8.2 The Annual License Fee after _______ should be paid in full yearly installments, till the

end of the complete License Period i.e. till __________.

1.8.3 The Annual License Fee will be increased every year by 10 % annually of the Annual

License Fee for the previous year, after completion of License for the First Year (from

_______) till the completion of complete License Period.

1.9 Utilities, Conservancy and Other Charges

1.9.1 The Bidder is required to make time-bound payments of all dues towards license fee,

conservancy charges, consumption of electricity, etc. and applicable taxes.

Charges applicable are as follows –

3. Cleaning and Other Utilities

Charges

The Bidder should bear all the cleaning and other

utility charges by himself only.

Note:

1. Goods and Service Tax as applicable will be applicable on all the services or as

prescribed by the Competent Authority.

2. Payment of all the charges should be made 30 days in advance for every year.

1.9.2 If any payment towards Conservancy Charges or any other dues remain outstanding

beyond the date stipulated in the demand note / invoice, the MPSTDC shall have the

right to terminate the License within 21 (Twenty One) days from the date of Demand

Notice/Invoice without giving further notice and forfeit the Security Deposit. The

MPSTDC shall take possession of the premises on, “as is where basis is”. The claim of the

Bidder to the goods lying in the premises would not be entertained. If the outstanding

dues are more than the Security Deposit. The MPSTDC shall take appropriate action for

recovery of balance amount payable to the MPSTDC at the risk and cost of the Bidder.

1.9.3 Besides payments for utilities like electricity, water etc., the Bidder will also be required

to pay Conservancy Charges. This Conservancy Charge (as per the rates prescribed) is

payable for removal of the waste generated & placed by the Bidder at the designated

location in MPSTDC units to dumping yards outside the MPSTDC units. The waste

disposal from the designated locations to locations outside the MPSTDC units will be

done by the Licensor or its authorized agency/representative.

1.10 Payment of Dues and Rates & Taxes

1.10.1 The Bidder is required to make time-bound payments of all dues towards Annual

License Fee, Conservancy Charges etc. and applicable taxes.

1.10.2 If any payment towards Annual License Fee, Conservancy, Penalties and any other

dues remain outstanding beyond the date stipulated in the demand note / invoice, the

MPSTDC shall have the right to terminate the License within Twenty One days from the

date of Demand Notice/Invoice without giving further notice and forfeit the Security

Deposit. The MPSTDC shall take possession of the premises on “as is where is basis”.

The claim of the Bidder to the goods lying in the premises would not be entertained. If

the outstanding dues are more than the Security Deposit, the Licensor shall take

appropriate action for recovery of balance amount payable to the Licensor along with

24% penal interest/per annum at the risk and cost of the Bidder.

1.10.3 No part of the License Fee, Security Deposit and Conservancy Charges is refundable in

the event of cancellation/revocation of the License by the MPSTDC.

1.10.4 The MPSTDC will have right to the revoke some/whole part of Security Deposit furnished

by the Licensor in case of non-obligation of the terms and conditions of the License

Agreement.

1.11 Insurance

1.11.1 The Bidder will obtain Comprehensive Insurance Policy for the specified amount to cover

damages to the panchakarma Wellness Centre at MPSTDC units by any means including

fire, Riots, Acts of God etc., as under:-

1.11.2 The Bidder will be required to obtain Comprehensive Insurance Policy of the

panchakarma Wellness Centre at MPSTDC units against all risks for a suitable amount. It

shall be the responsibility of Bidder to ensure that the Insurance Policy remains effective

without any break during the complete License Period.

1.11.3 The Bidder shall also obtain suitable Comprehensive Insurance Policy including but not

limited to personal liability insurance, fire insurance, natural calamities insurance for its

employees / visitors / customers and keep it alive during the complete License Period.

1.12 Indemnity

1.12.1 The Bidder shall indemnify and keep indemnified the MPSTDC against any claims

whatsoever, financial or otherwise made by third parties for any loss or injury to any

person or property at any time during the complete License Period. The MPSTDC shall

not be responsible in any way for loss for damage by any means causes to the Bidder's

stock or property during the License Period.

1.12.2 The Bidder shall indemnify and keep indemnified the MPSTDC against any claims

whatsoever, financial or otherwise made by any employee / worker or trade union,

association, etc. relating to any dispute whatsoever, at any time during complete License

Period.

1.12.3 The Bidder will indemnify the MPSTDC towards any willful infringement or contravention

of any rules, regulations or laws of Municipal Corporation of_________ or any other

Competent Authority. All applicable laws will be deemed to be applicable to the Bidder

in respect of the use and occupation of the Licensed Premises and the Bidder agrees to

abide by the terms and conditions therein.

1.13 Damages and Penalty

1.13.1 The Bidder shall confine their activities within the Licensed Premises and in no case will

they be permitted to deviate/ increase/ alter from the same. If any deviation is found on

inspection by the MPSTDC or the MPSTDC representative(s), the License will be

cancelled forthwith without entertaining any clarifications.

1.13.2 The Bidder shall abide by all directions issued by the MPSTDC in order to maintain and

keep the premises in a proper state of cleanliness and hygiene in and around the outlet.

The Bidder will ensure the compliance of all rules and regulations with regard to the

conditions of quality/standards, sanitation, cleanliness and hygiene, failing which the

License Agreement shall be terminated/cancelled.

1.13.3 The Bidder shall comply with the Terms and Conditions as laid down in the Agreement

or specified from time to time by the MPSTDC. On any violation/ non-compliance of

terms & conditions of the agreement and/ or bid document, the MPSTDC will be free to

terminate / cancel the License Agreement and in such a situation no refund towards

License Fee, Security Deposit and Other Deposits towards services will be permissible.

The decision of the Licensor in this regard will be final and binding.

1.13.4 The Bidder shall not cause damage to any structure, installation, fixture, device, etc. in

MPSTDC units and in the event of any damage being caused to the same intentionally or

otherwise, by the Bidder or his employees or invitees or customers. The Bidder shall

make good any such damage so caused to the satisfaction of the MPSTDC.

1.13.5 The MPSTDC is at liberty to forfeit the Security Deposit to adjust/offset the dues payable

to the MPSTDC by the Bidder after due Notice to the Bidder by the MPSTDC.

1.14 The Successful bidder has to confine his activities only within the specified area

handed over to him.

1.15 If there are any changes in the Agreement subsequent to the starting of the Bidding

process and before the signing of Agreement, the additions/modification/deletion

of the conditions mentioned in modified/revised/final Agreement shall be binding

on the Preferred Bidder.

1.16 In case the Successful bidder commits breach of any of the terms and conditions

and stipulation herein contained or in the Agreement which are to be observed and

performed by the Successful bidder, then MPSTDC shall issue a notice in writing (by

Registered Post) to the Successful bidder to set right or rectify the breach or

omission of any of the terms and conditions and in case of noncompliance on the

part of Successful bidder within 30 days of the receipt of such notice, the

Agreement at the option of the MPSTDC may be terminated. Bank Guarantee in

such case shall be forfeited and Successful bidder shall have to vacate the property.

1.17 In case of any dispute, the parties shall meet and amicably resolve the dispute. In

the event parties fail to amicably settle the dispute through mutual discussions then

the dispute shall be referred to an arbitrator in accordance with the provisions of

the Arbitration and Conciliation Act 1996 or any further amendments from time to

time and the parties here by agree to abide by the decision of the arbitrator. The

arbitration proceedings shall be subject to the courts of Bhopal jurisdiction.

1.18 BRIEF DESCRIPTION OF THE SELECTION PROCESS

The Authority has adopted Online Tendering or E- Tendering System with

Single-Stage, Two bidding process (collectively referred to as the “Bidding

Process”) for selection of the bidder for award of the Project assignment. The

first stage of the evaluation (the “Qualification-Technical Proposal Stage”) of

the process involves Qualification of interested parties (the“Bidder”), in

accordance with the provisions of this TENDER.

At the end of first stage, the Authority will announce a list of all pre- qualified

Bidders who are qualified and eligible for evaluation in the Second stage (The

Financial Proposal Stage) and whose financial bids can be opened and

evaluated in accordance with the provisions of the TENDER.

The Financial Bid is to be submitted Online only. The Financial Bids of all the

short listed/qualified bidders will be opened on a concerned date and time.

The Bidder will be selected on the basis of QCBS basis i.e highest marks of

technical and financial obtain by bidder for particular Property .

INSTRUCTIONS TO BIDDERS

A. GENERAL 2.1 TENDER document

The document can be downloaded from the official website of the Authority

www.tourism.mp.gov.in and through MP E procurement portal: www.mptenders.gov.in. The

bidder will have to pay TENDER Document Fees Rs. 5,900/- (Rupees Five Thousand Nine Hundred

only) including GST online only though MP E-procurement portal.

2.2 Eligibility of Bidders

The companies meeting the following minimum qualifying criteria are eligible to apply.

i. The Bidder should be a company/ partnership firm /proprietor.

Incorporation/registration certificate should be furnished as documentary proof.

ii. The Bidder should have average annual turnover of Rs. 25.00 lakh (Chartered

Accountant certificate required) of past 3 years i.e. 2017-18, 2018-19 & 2019-

20.

iii. The Bidder should have Net worth Rs. 20, 00,000 (Rupees Twenty Lakhs only) for the financial year 2019-2020. (certificate from CA is required)

iv. The Bidder should have minimum 3 years experiences in Ayurvedic industry. The

firm should have proven experience of Operations of panchakarma wellness

centre for past 3 years.

v. The Bidder should have minimum one Ayurvedic Hospital or panchakarma

wellness centre.

vi. The firm should have trained full time staff for Operations of panchakarma

wellness centre .

vii. The bidder must not have been blacklisted by any Department /Ministries of the

Govt. of India /PSUs. (self certified document proof to be attached)

viii. Other Statutory documents as specified in Details of bidder annexure________.

(Note:- proof documents are to be attached for all above) Note :- the following documents must be submitted along with Annexure 1 to 8

and No more documents would be accepted .

2. Presentation : The technically pre-qualified bidder shall be required to give an audio video

presentation at Bhopal on the date so intimated before the selection committee.

C. Wellness Center related experience D. Experience of Wellness Center Business

(ii) Proposed plan to operate Wellness Center

Note- The maximum time for presentation shall be 15 minutes. Hard copy along with a soft copy of presentation has to be provided to MPSTDC at the time of presentation.

Note: All necessary documents in support of qualification claim (eligibility criteria) shall be attached with the application. 2.3 General Terms of Bidding

2.3.1 All documents submitted by the Applicant(s) will be treated as confidential.

2.3.2 Authority reserves the right to accept or reject any or all applications, without thereby

incurring any liability to the affected Applicant(s) or any obligation to inform the

Applicant(s). Authority also reserves the right not to award or enter into any contract or

agreement with any Applicant(s), and may terminate the procurement process at any

time without thereby incurring any liability to any Applicant.

2.3.3 Failure by any Applicant(s) to provide all of the information required in the proposal or

any additional information requested by Authority may lead to rejection of the

Applicant's proposal in its entirety.

2.3.4 Applicants have an obligation to disclose any actual or potential conflict of interest.

Failure to do so may lead to disqualification of the Applicant or termination of its

Contract at any stage.

2.3.5 A recommendation for award of Contract will be rejected if it is determined that the

recommended Firm has directly, or through an agent, engaged in corrupt, fraudulent,

collusive, or coercive practices in competing for the contract in question; in such cases

the Authority will declare the Firm ineligible, either indefinitely or for a stated period of

time and will be blacklisted.

2.3.6 Wherever required by applicable laws, Authority shall deduct taxes at source, from the

amounts payable, and shall provide to the firm/Agency the appropriate tax deduction

certificate evidencing payment of such taxes.

2.3.7 It may be noted that the Bidders cannot prescribe any time limit for the validity of all the

rates quoted in the financial bid.

2.4 Cost of Bidding

2.4.1 The Bidders shall be responsible for all of the costs associated with the preparation of

their Bids and their participation in the Bidding Process. The Authority will not be

responsible or in any way liable for such costs, regardless of the conduct or outcome of

the Bidding Process.

2.5 Right to accept and to reject any or all bids

Notwithstanding anything contained in TENDER, MPSTDC reserves the right to accept or

reject any Bid and to annul the Bidding process and reject all Bids, at any time prior to

award of contract, without thereby incurring any liability to the affected Bidder or Bidders

or any obligation to inform the affected Bidder or Bidders of the grounds for the MPSTDC’s

action.

B. DOCUMENTS

2.6 Contents of the TENDER

2.6.1 The proposal should be submitted as follows:- Technical Proposal to be submitted online only with the format includes Annexure I to V).

2.7 Site visit & Clarifications

2.7.1 Site Visit of the venue can be scheduled as per clause 1.6. A Team from Madhya Pradesh

Tourism will accompany the visit.

2.7.2 Agency may request a clarification on any of the bid documents on the pre bid meeting

date indicated in the Data Sheet. Any request for clarification must be sent in writing by

email to MPSTDC at the email address indicated in the Data Sheet atleast one day prior

to the pre-bid meeting. MPSTDC will uploading the same on the tender section of MP E-

procurement portal and on www.tourism.mp.gov.in and may send the copies of the

response to all agencies/firms attending the prebid meeting. At any time before the

submission of Proposals, MPSTDC may, for any reason, whether at its own initiative or

in response to a clarification request by a firm, modify the bid documents (TENDER) by

amendment. The amendment will be notified through MPSTDC website i.e.

www.tourism.mp.gov.in & on MP E-procurement portal tender section and will be

binding on them. MPSTDC may, at its discretion, extend the deadline for the submission

of Proposals.

2.8 Amendments Modification of TENDER

2.8.1 At any time prior to the deadline for submission of TENDER, Authority may, for any

reason, whatsoever at its own initiative or in response to clarifications requested by

Bidder, modify the TENDER by the issuance of Addenda and the same shall be notify

through website i.e.www.tourism.mp.gov.in and in tender section of MP E-procurement

portal.

2.8.2 Any Addendum thus issued will be notified to all those who have purchased the TENDER

though e procurement portal. All such amendments/addendum will become part of the

bidding document.

2.8.3 In order to afford the Bidders a reasonable time for taking an Addendum into account, or

for any other reason, Authority may, at its own discretion, extend the Bid Due Date.

C. Preparation & submission of Bids 2.9 Language

2.9.1 The Bid and all related correspondence and documents in relation to the Bidding Process

shall be in English language. Supporting documents and printed literature furnished by

the Bidder with the Bid may be in any other language provided that they are

accompanied by translations of all the pertinent passages in the English language, duly

authenticated and certified by the Bidder. Supporting materials, which are not translated

into English, may not be considered. For the purpose of interpretation and evaluation of

the Bid, the English language translation shall prevail. 2.10 Format & signing of Bid

2.10.1 The Bidder shall prepare original copy of the documents comprising the Bid as described

in the TENDER. The Bidder bidding for the project has to submit Technical Bid of the

Project along with all relevant required documents and EMD through E Procurement

portal only.

2.10.2 The Bid shall be signed by a person or persons duly authorized to sign on behalf of the

Bidder.

2.10.3 The Bid shall contain no alterations, omissions or additions, except those to comply with

instructions issued by the Authority, or as necessary to correct errors made by the

Bidder, in which case all such corrections shall be initialed by the person or persons

bidder to sign the Bid.

2.11 Submission & marking of Bid

The Bidder shall submit the Bid in two Parts as below:

I: Technical Bid

The Technical Bid is to be uploaded to be submitted online only through the website www.mpeproc.gov.in II. Financial Bid:

The Financial Bid is to be submitted online only through the website www.mpeproc.gov.in The Bidder shall submit its Financial Bid online only as per the prescribed format.

2.12 Bid Due Date

2.12.1 Bids should be submitted on the Bid Due Date at the address provided in the TENDER

in the manner and form as detailed in this TENDER.

2.12.2 The Authority may, in its sole discretion, extend the Bid Due Date by issuing an

Addendum in accordance with the TENDER uniformly for all Bidders.

2.13 Late Bids

2.13.1 Bids received by the Authority after the specified time on the Bid Due Date shall not be

eligible for consideration and shall be summarily rejected.

2.14 Modifications/ Substitution/ Withdrawal of Bids

2.14.1 Any alteration/modification in the Bid or additional information supplied subsequent

to the Bid Due Date, unless the same has been expressly sought for by the Authority,

shall be disregarded.

2.15 Rejection of Bids

2.15.1 The Authority reserves the right to accept or reject all or any of the Bids without

assigning any reason whatsoever. It is not obligatory for the Authority to accept any

Bid or to give any reasons for their decision.

2.15.2 The Authority reserves the right not to proceed with the Bidding Process at any time,

without notice or liability, and to reject any Bid without assigning any reasons.

2.16 Validity of Bids

2.16.1 The Bids shall be valid for a period of not less than 180 (one hundred and eighty) days

from the Bid Due Date. The validity of Bids may be extended by mutual consent of the

respective Bidders and the Authority. 2.17 Confidentiality

2.17.1 Information relating to the examination, clarification, evaluation and recommendation

for the Bidders shall not be disclosed to any person who is not officially concerned with

the process or is not a retained professional advisor advising the Authority in relation

to, or matters arising out of, or concerning the Bidding Process. The Authority will treat

all information, submitted as part of the Bid, in confidence and will require all those

who have access to such material to treat the same in confidence. The Authority may

not divulge any such information unless it is directed to do so by any statutory entity

that has the power under law to require its disclosure or is to enforce or assert any

right or privilege of the statutory entity and/ or the Authority.

2.18 Correspondence with the Bidder

2.18.1 The Authority shall not entertain any correspondence with from any Bidder in relation

to acceptance or rejection of any Bid.

D. EARNEST MONEY DEPOSIT (EMD) and PERFORMANCE SECURITY:

2.19 Earnest Money Deposit

2.19.1 The Bidder shall furnish, as part of its Bid, an Earnest Money Deposit (EMD) amount of

Rs. 1,00,000/- (Rupees One Lakh only) to be submitted Online Only. The EMD shall be

refundable to unsuccessful bidder not later than 60 (sixty ) days from the Bid Due Date.

Except in case of the 2nd ranked bidders. EMD of the 2nd ranked bidder shall be

returned on signing of the agreement with the selected bidder. The selected bidder's

EMD shall be returned upon submission of Performance Security. Bids not

accompanied by the EMD shall be rejected.

2.19.2 Any Bid not accompanied by the EMD shall be summarily rejected by the Authority as non- responsive.

2.19.3 The EMD of unsuccessful Bidders will be returned within 60 days without any interest.

2.19.4 The EMD shall be forfeited as Damages without prejudice to any other right or remedy

that may be available to the Authority under the Bidding Documents and/ or under the

Agreement, or otherwise, under the following conditions:

a) If the Bidder withdraws its Bid during the Bid Validity Period as specified in this

TENDER and as extended by mutual consent of the respective Bidder(s) and the

Authority;

b) If the Bidder submits a conditional Bid which would affect unfairly the competitive

position of other Bidders who submitted substantially responsive Bids.

c) If a Bidder engages in a corrupt practice, fraudulent practice, coercive practice,

undesirable practice or restrictive practice;

d) In the case of the Preferred Bidder, if the Bidder fails within the specified time limit to: i) Sign and return the duplicate copy of LOI; ii) Furnish the required Performance Security within the period prescribed there; iii) Sign the Agreement.

e) Any other conditions, with respect to the Preferred Bidder, for which forfeiture of Bid

Security has been provided under this TENDER.

2.20 Performance Security

2.20.1 The successful Bidder will Deposit Performance Security equal to one year License Fee

in the form of Account Payee Demand Draft or a Bank Guarantee from a Commercial

Madhya Pradesh State Tourism Development Corporation.

2.20.2 The Performance Security should remain valid for a period of 60 days beyond the

completion of the period of contract.

3. EVALUATION OF BIDS

3.1 Opening & Evaluation of Bids

3.1.1 The Authority will open all the Bids received (within stipulated time) containing the

Technical Bid and announce the names of (i) Bidders. In the event of specified date of Bid

opening being declared as a holiday for the Authority, the Technical Bid will be opened at

the appointed time and location on the next working day.

3.1.2 Technical Bid shall then be opened. Evaluation of Technical Bid and Determination of

Responsiveness of the same.

3.2.1 Prior to evaluation of Technical Bids, the Authority will determine whether the Bid is

accompanied by the required EMD and Tender Fee submitted online.

3.2.2 If the EMD furnished does not conform to the amount and validity period as specified in

this TENDER document and has not been furnished in the form specified in the TENDER,

the Bid shall be rejected by the Authority as non -responsive.

3.2.3 Test of Responsiveness- Prior to evaluation of Bids, the Authority (MPSTDC) shall

determine whether each bid is responsive to the requirements of the TENDER. A bid shall

be considered responsive only if; a) it is received in as per the formats provided in the TENDER

b) it is received by the Bid due date including any extension there of c) it is duly signed and marked as stipulated in the TENDER d) it is accompanied by EMD as stipulated specified in this TENDER e) it is accompanied by the Power of Attorney as specified in the TENDER f) it contains all the information and documents (complete in all respect) as required in

the TENDER and/or bidding document (in the same format as those specified)

g) it does not contain any conditions or qualifications, and h) it is non-responsive thereof;

i) it contains certificates from its statutory auditors in the formats as specified

3.2.4 The Technical Bid will further be examined to determine whether the Bid has been

properly signed, meets the eligibility and qualification criteria in terms hereof, has the

required financial capabilities as set out in this TENDER, is accompanied by the requisite

certificates, undertaking and other relevant information specified in this TENDER

document and is substantially responsive to the requirement of the Bidding Documents

and provides any clarification for ascertaining the correctness of the information/details

that the Authority may require.

3.2.5 If the Technical Bid of any Bidder is not substantially responsive, the Bid of such Bidder

will be rejected by the Authority and the Bidder will not subsequently be allowed to

make its Bid responsive by correction or modification or withdrawal of the non-

conforming deviation or reservation. The authority may ask the bidder for any

document and clarification as and when required.

3.2.6 The Authority shall inform, the Bidders, whose Technical Bid is found to be responsive

for and who are short listed based on qualification criteria as detailed out in the

TENDER for presentation .

3.2.7 The presentation shall be evaluated on the basis of following parameters:

1. Profile of Company 2. Infrastructure of company 3. Qualified Manpower 4. Network of Offices 5. Other infrastructural support facilities 6. Wellness Center related experience 7. No. of significant Wellness Center 8. Proposed plan of Wellness Center

3.3 Short listing of Bidders.

3.3.1 The Client shall follow two bid system where the technical bid and

financial bid shall be evaluated separately.

3.3.2 The technical bid shall be used to evaluate the Bidder for the purpose of qualification for opening of the financial bid.

3.3.3 During the technical evaluation stage, each bidder shall be assigned different marks out of a total of 100 marks, as per the criteria specified

The bidder must secure mandatorily a minimum of total 70% marks detailed in clause above in technical evaluation in order to be a qualified bidder for being for opening of financial bids. Only the bidders who qualify in the technical evaluation stage shall be called for opening of financial bids. Client shall intimate such bidders, the time and venue for the financial bid opening through email.

3.4 Evaluation of price bid 3.4.1 After the technical evaluation (quality) is completed, the Client shall notify

those bidder whose proposals did not meet the minimum qualifying mark or were considered non-responsive to the tender .

3.4.2 The Client shall simultaneously notify the bidder that have secured the minimum qualifying mark, the date and time set for opening the financial proposals, to enable the agencies to attend the opening of the financial proposals.

3.4.3 The financial proposals shall be opened online in the presence of representatives of the agencies who choose to attend. The name of the agencies, the technical points, and the prices quoted shall be read out by the Client.

3.4.4 The Bid shall comprise ‘Highest License Fee per year for particular property to be quoted by the Bidder in accordance with the provisions of the TENDER.

3.4.5 The financial proposal with the Highest License Fee per year for particular property (Fm) shall be given financial score (Sf) of 100 points.

3.4.6 The financial scores of other proposals should be computed as follows:

Sf = 100 x Fm/F

Where F= amount of financial proposal

Combined Quality and Cost Evaluation

3.4.7 The total score shall be obtained by weighting the combined quality/technical

and cost scores and adding them, as follows:

S = St x Tw + Sf x Fw

Where S = total score

St = combined technical score

Sf = combined financial score

Tw= weight assigned to technical score i.e. 0.7

Fw= weight assigned to financial score i.e. 0.3

The successful bidder shall be the bidder having the highest score. In the

event two or more bidder have same score in the final ranking, the bidder

with higher/highest technical score shall be considered as successful bidder.

In the case two or more bidder have same score in the final ranking and

technical score , the bidder with higher/ highest turnover in preceding year

shall be considered as successful bidder

The bidder obtaining the highest total score for particular property shall be

the successful bidder for the property

3.4.8 In the event that the Bidder withdraws or is not selected for any reason in the first

instance (the “first round of bidding”), the Authority may invite all the remaining Bidders to revalidate or extend their respective Bid Security, as necessary, and match the Bid of the aforesaid Bidder (the “second round of bidding”). If in the second round of bidding, only one Bidder matches the offer of original Bidder, it shall be the Selected Bidder. If two or more Bidders match the said offer in the second round of bidding, then the Bidder whose Bid was higher as compared to other Bidder(s) in the first round of bidding shall be the Selected Bidder. For example, if the third and fifth Bidders in the first round of bidding offer to match the said Highest Bidder in the second round of bidding, the said third highest Bidder shall be the Selected Bidder.

3.4.9 In the event that no Bidder offers to match the Highest Bidder in the second round of bidding as specified in clause above, the Authority may, in its discretion, invite fresh Bids (the “third round of bidding”) from all Bidders except the Highest Bidder of the first round of bidding, or annul the Bidding Process, as the case may be. In case the Bidders are invited in the third round of bidding to revalidate or extend their Bid Security, as necessary, and offer fresh Bids, they shall be eligible for submission of fresh Bids provided, however, that in such third round of bidding only such Bids shall be eligible for consideration which are higher than the Bid of the second highest Bidder in the first round of bidding.

3.4.10 After selection, a Letter of Award (the “LOA”) shall be issued, in duplicate, by the Authority to the Selected Bidder and the Selected Bidder shall, within 7 (seven) days of the receipt of the LOA, sign and return the duplicate copy of the LOA in acknowledgement thereof. In the event the duplicate copy of the LOA duly signed by the Selected Bidder is not received by the stipulated date, the Authority may, unless it consents to extension of time for submission thereof, appropriate the Bid Security of such Bidder as Damages on account of failure of the Selected Bidder to acknowledge the LOA, and proceed to second round of bidding as set out in clause above.

3.4.11The Preferred Bidder shall also be required to submit requisite Bank Guarantee as Performance Security equal . The same needs to be renewed on an yearly basis as provided in the TENDER.

3.4.12 After acknowledgement of the LOA as aforesaid by the Selected Bidder, it shall cause the Authority to execute the Agreement within the period prescribed. The Selected Bidder shall not be entitled to seek any deviation, modification or amendment in the Agreement.

3.5 Opening of Financial Bids

3.5.1 The Authority will consider the ‘Financial Bid’ of only those Bidders who’s Technical Bids

have been determined to be substantially responsive in accordance with the TENDER and

determined to fulfill the qualification criteria as detailed out in the TENDER.

3.5.2 The Bidders or their representatives who are present shall sign attendance sheet

evidencing their presence.

3.6 Examination of Financial Bids and Determination of Responsiveness of Financial Bid

3.6.1 MPSTDC will determine responsiveness of each Financial Bid in accordance with the price quoted.

3.6.2 A substantially responsive Financial Bid is one which conforms to all the terms, conditions and specifications of the bidding documents.

3.6.3 If the Financial Bid of any Bidder is not substantially responsive in terms hereof, the Bid of such Bidder shall be rejected by MPSTDC and the Bidder shall not subsequently be allowed to make its Bid responsive by correction or withdrawal of the non-conforming deviation or reservation.

3.7 Correction of Errors

3.7.1 Financial Bids determined to be substantially responsive will be checked by MPSTDC for

any arithmetic errors. Arithmetic errors will be rectified on the following basis:-

i) Where there is a discrepancy between the amount quoted in the Financial Bid, in

figures and in words, the amount in words will prevail over the amounts in figures, to

the extent of such discrepancy

ii) The amount stated in the Financial Bid will be adjusted by MPSTDC in accordance with

the above procedure for the correction of errors and shall be considered as binding

upon the Bidder. If the Bidder does not accept the corrected amount of Bid, his Bid will

be rejected, and his EMD may be forfeited.

3.8 Evaluation and Comparison of Financial Bids

3.8.1 In preparing the Financial Proposal, Agencies are expected to take into account the

requirements and conditions outlined in the TENDER document

3.8.2 MPSTDC will evaluate and compare only those Financial Bids which are determined to be

substantially responsive. For final evaluation (QCBS), total cost of financial proposal will

be considered.

The Authority will determine whether the financial proposals are complete, correct and

free from any computational errors and indicate correct prices in local currency (Indian

Rupee).

3.8.3 In evaluating the Financial Bids, MPSTDC will determine for each Financial Bid the

amount quoted by the Bidder. The Financial Bid shall not include any conditions attached to it

and any such conditional financial proposal shall be rejected summarily.

3.9 Clarification of Bids

3.9.1 To assist in the examination, evaluation and comparison of Bids, MPSTDC may, at its

discretion, ask any Bidder for authentication the correctness of the information/details

furnished by him in his Bid. Such request by MPSTDC and the response by Bidder shall be

in writing or by cable/fax, but no change in the price or substance of the Bid shall be

sought, offered or permitted except as required to confirm the correction of arithmetical

errors discovered by MPSTDC in the evaluation of the Bids.

3.9.2 Subject to Sub Clause in the TENDER, no Bidders shall contact MPSTDC on any matter

relating to his Bid from the time of Bid opening to the time contract is awarded.

3.9.3 Any effort by the Bidder to influence MPSTDC in the MPSTDC's Bid evaluation, Bid

comparison or contract award decisions may result in the rejection of his Bid.

3.10 Process to be Confidential

3.10.1 Information relating to the examination, clarification, evaluation and recommendation

for the Bidders shall not be disclosed to any person who is not officially concerned with

the process or is not a retained professional advisor advising the Authority in relation to

or matters arising out of, or concerning the Bidding Process. The Authority will treat all

information, submitted as part of the Bid, in confidence and will require all those who

have access to such material to treat the same in confidence. The Authority may not

divulge any such information unless it is directed to do so by any statutory entity that

has the power under law to require its disclosure or is to enforce or assert any right or

privilege of the statutory entity and /or the Authority or as may be required by law or in

connection with any legal process.
