I I I . TERM, RENEWAL AND TERMINATION

T h i s C o n t r a c t s h a l l commence on t h e day o f

, 2016, and s h a l l remain i n f u l l f o r c e and e f f e c t f o r

a p e r i o d o f f i v e (5) y e a r s . However, t h i s C o n t r a c t may be extended

by m u t u a l agreement o f t h e C i t y and , t o remain i n f u l l

f o r c e and e f f e c t f o r a p e r i o d not t o exceed t h e p e r i o d a l l o w e d by

th e C i t y ' s Comprehensive Investment P o l i c y . Such p e r i o d s h a l l be

agreed t o by t h e p a r t i e s t o t h i s C o n t r a c t .

E i t h e r t h e C i t y o r may t e r m i n a t e t h e C o n t r a c t a t

any t i m e a f t e r one year, f o r any reason, by n i n e t y (90) days

w r i t t e n n o t i c e d e l i v e r e d by e i t h e r p a r t y t o t h e o t h e r a d v i s i n g t h e

o t h e r p a r t y o f i t s i n t e n t t o t e r m i n a t e t h e C o n t r a c t . This Contract

s h a l l a l s o be s u b j e c t t o t e r m i n a t i o n upon the f a i l u r e o f

t o cure a d e f a u l t . I f d e f a u l t s i n t h e performance o f

any o f the terms and c o n d i t i o n s o f t h i s C o n t r a c t , w r i t t e n n o t i c e o f

such d e f a u l t s h a l l be g i v e n , and s h a l l have t e n (10)

days from t h e date o f i n i t i a l n o t i c e w i t h i n which t o cure such

d e f a u l t . I f f a i l s t o cure t h e d e f a u l t w i t h i n such

p e r i o d o f t i m e , t h e n t h e C i t y s h a l l have the r i g h t w i t h o u t f u r t h e r

n o t i c e t o t e r m i n a t e t h i s C o n t r a c t . s h a l l be f u l l y

r e s p o n s i b l e t o pay t h e C i t y a l l a c t u a l damages caused by

's d e f a u l t . N o t h i n g h e r e i n s h a l l d e p r i v e t h e C i t y o f any

o t h e r l e g a l remedies i t may have t o e n f o r c e t h e terms o f t h i s

C o n t r a c t , i n c l u d i n g b r i n g i n g s u i t f o r damages o r e n f o r c i n g t h e

s p e c i f i c performance o f t h i s C o n t r a c t . However, n o t w i t h s t a n d i n g any

p r o v i s i o n t o t h e c o n t r a r y h e r e i n , s h a l l not be l i a b l e

f o r s p e c i a l , i n d i r e c t , o r c o n s e q u e n t i a l damages under t h i s

I n a d d i t i o n t o t h e i n i t i a l l i s t o f Pledged S e c u r i t i e s

c o n t a i n e d h e r e i n as E x h i b i t " I " , s h a l l f u r n i s h t o t h e

C i t y a statement d e s c r i b i n g t h e Pledged S e c u r i t i e s h e l d i n

s a f e k e e p i n g by t h e C ustodian Bank on a t l e a s t a monthly b a s i s

commencing on October 1, 1997. The statement, a t a minimum, s h a l l

s e t f o r t h t h e par v a l u e , market v a l u e , i n t e r e s t r a t e , and m a t u r i t y

d ate o f each o f t h e Pledged S e c u r i t i e s . s h a l l m o n i t o r

V I . INVESTMENT POLICY

I t i s t h e i n t e n t i o n o f t h e p a r t i e s h e r e t o t h a t the- C i t y s h a l l

r e t a i n t h e maximum f l e x i b i l i t y t o i n v e s t i t s funds p r u d e n t l y t o

earn t h e h i g h e s t r a t e o f r e t u r n c o n s i s t e n t w i t h t h e C i t y o f

Comprehensive Investment P o l i c y adopted by

th e C i t y C o u n c i l o f t h e C i t y o f , Texas by

R e s o l u t i o n No. , and c o n s i s t e n t w i t h o t h e r a p p l i c a b l e

laws.

V I I . NEW SERVICES

The C i t y may n e g o t i a t e new s e r v i c e s w i t h as deemed

necessary by t h e C i t y . The i n t e r e s t r a t e t o be earned, as w e l l as

t h e o t h e r terms and c o n d i t i o n s r e g a r d i n g t h e s e r v i c e w i l l be

m u t u a l l y agreed upon by t h e C i t y and . Any such new

s e r v i c e agreement w i l l be executed i n w r i t i n g as an addendum t o

t h i s C o n t r a c t .

V I I I . SEVERABILITY

I f any t e r m or p r o v i s i o n o f t h i s C o n t r a c t i s h e l d t o be

i l l e g a l o r i n v a l i d , such i l l e g a l i t y o r i n v a l i d i t y s h a l l not a f f e c t

t h e r e m a i n i n g p r o v i s i o n s o f t h e C o n t r a c t , which r e m a i n i n g

p r o v i s i o n s s h a l l remain i n f u l l f o r c e and e f f e c t as i f t h i s

C o n t r a c t had been executed w i t h t h e i l l e g a l o r i n v a l i d p o r t i o n

t h e r e o f e l i m i n a t e d . I t i s hereby d e c l a r e d t h e i n t e n t i o n o f t h e

p a r t i e s t h a t they would have executed the remaining p o r t i o n o f t h i s

C o n t r a c t w i t h o u t i n c l u d i n g any such term, p r o v i s i o n , p a r t , p a r t s ,

o r p o r t i o n s which may, f o r any reason, be h e r e a f t e r d e c l a r e d

i l l e g a l o r i n v a l i d .

IX. INDEMNIFICATION

a t t o r n e y ' s fees f o r p e r s o n a l i n j u r y ( i n c l u d i n g d e a t h ) , p r o p e r t y

damage o r o t h e r harm f o r which r e c o v e r y o f damages i s sought t h a t

c l a i m o r l e g a l p r o c e e d i n g c o n t e m p l a t e d h e r e i n . N o t h i n g i n t h i s

s e c t i o n s h a l l be deemed an a t t e m p t t o change o r m o d i f y i n any

manner whatsoever the method or c o n d i t i o n s o f p r e s e r v i n g , a s s e r t i n g

o r e n f o r c i n g any l e g a l l i a b i l i t y a g a i n s t t h e C i t y as r e q u i r e d by

the C i t y Charter, ordinances, or any law o f the S t a t e o f Texas. The

p r o v i s i o n s o f t h i s paragraph are s o l e l y f o r t h e b e n e f i t o f t h e

p a r t i e s h e r e t o and are not i n t e n d e d t o c r e a t e o r g r a n t any r i g h t s ,

X. NON-WAIVER

F a i l u r e o f e i t h e r p a r t y h e r e t o t o i n s i s t on t h e s t r i c t

performance o f any o f t h e p r o v i s i o n s h e r e i n o r t o e x e r c i s e any

r i g h t s o r remedies a c c r u i n g hereunder upon d e f a u l t o r f a i l u r e o f

performance s h a l l not be considered a waiver o f the r i g h t t o i n s i s t

on and t o e n f o r c e by any a p p r o p r i a t e remedy s t r i c t compliance w i t h

any o t h e r o b l i g a t i o n hereunder o r t o e x e r c i s e any r i g h t o r remedy

a c c r u i n g as a r e s u l t o f any f u t u r e d e f a u l t o r f a i l u r e o f

performance.

X I . ACCEPTANCE AND APPROVALS

employees s h a l l not c o n s t i t u t e nor be deemed t o be a re l e a s e o f the

s e r v i c e s prepared o r performed pursuant t o t h e terms and c o n d i t i o n s

o f t h i s C o n t r a c t , nor s h a l l such acceptance o r a p p r o v a l be deemed

t o be an assumption o f such r e s p o n s i b i l i t y o r l i a b i l i t y by t h e

C i t y , o r i t s agents and employees f o r any d e f e c t , e r r o r o r omission

i n any r e p o r t s , i n f o r m a t i o n , o r o t h e r documents o r s e r v i c e s

X I I . CONFIDENTIALITY

C i t y , except f o r data t h a t i s p u b l i c l y a v a i l a b l e t h r o u g h no f a u l t

o f , w i l l be t r e a t e d c o n f i d e n t i a l l y and safeguarded by

, u s i n g t h e same care and d i s c r e t i o n t h a t i t uses w i t h

d a ta t h a t d e s i g n a t e s as c o n f i d e n t i a l , and

X I I I . CAPTIONS

XIV. RESERVATION

Pursuant t o Chapter 105 o f t h e Texas L o c a l Government Code,

the C i t y reserves t h e r i g h t t o c o n t r a c t w i t h o t h e r d e p o s i t o r i e s f o r

the d e p o s i t o r investment o f a p o r t i o n o f a v a i l a b l e p u b l i c funds o f

the C i t y .

XV. NON-ASSIGNMENT

Th i s C o n t r a c t s h a l l e x t e n d t o and be b i n d i n g upon t he p a r t i e s

and t h e i r r e s p e c t i v e successors and assignees; p r o v i d e d , however,

t h a t t h e C o n t r a c t may not be assi g n e d w i t h o u t t h e w r i t t e n consent

o f b o t h p a r t i e s .

XVI. ATTORNEY'S FEES

I f any a c t i o n a t law o r i n e q u i t y , i n c l u d i n g any a c t i o n f o r

d e c l a r a t o r y r e l i e f , i s br o u g h t t o e n f o r c e o r i n t e r p r e t t h e

p r o v i s i o n s o f t h i s C o n t r a c t , t h e p r e v a i l i n g p a r t y s h a l l be e n t i t l e d

t o r e c o v e r reasonable a t t o r n e y ' s fees from t h e o t h e r p a r t y , which

fees may be s e t by t h e c o u r t i n the t r i a l o f such a c t i o n or may be

e n f o r c e d i n a sepa r a t e a c t i o n brought f o r t h a t purpose, and which

fees s h a l l be i n a d d i t i o n t o any o t h e r r e l i e f which may be awarded.

CONFORMANCE TO LAWS

Thi s C o n t r a c t and a l l o f the t r a n s a c t i o n s contemplated h e r e i n

s h a l l be governed by and c o n s t r u e d i n accordance w i t h t h e laws o f

th e S t a t e o f Texas, i n c l u d i n g a l l a p p l i c a b l e c o n s t i t u t i o n a l

p r o v i s i o n s , s t a t u t e s , c h a r t e r p r o v i s i o n s , o r d i n a n c e s , and

r e s o l u t i o n s . agrees t o f u l l y comply w i t h a l l a p p l i c a b l e
