Executive Biography

As CEO & President of Prodigy Connexus I have found and still find my job

fascinating as the first day I started understanding the business of ATM and

Banking. My background is in marketing and sales working for some of the

largest telecommunication companies such as AT&T, Comcast and Direc TV

helping these Fortune 100 and Fortune 500 companies with promoting and

expanding their reach in the local markets. After a few years of working for

these telecommunication giants I was offered a 1099 Opportunity to market and

sell ATMs and Merchant Processing for a company based in Texas. Loving what I

Business by installing new, state of the art GenMega 2500 ATM

machines or similar models. All ATMs are EMV certified, ADA

compliant and built to the highest standard for commercial

use. GenMega is the respected industry leader of quality and

dependability in ATM manufacturing.

Each machine will be linked by a provided Ethernet

connection, Phone connection or via wireless router providing

a high-speed connection at each location. This creates fast,

efficient service for every customer.

Where necessary, PRODIGY CONNEXUS, INC will provide

secure enclosures protecting the ATM from the elements for

location that request outside setup.

The only location requirement is a standard 110 outlet and a

standard RJ45 Internet connection at each location within 6-25

feet of proposed placement.

As a new ATM owner you can utilize PRODIGY’s

nationwide network of experienced, professional

vaulting partners to guarantee uninterrupted,

continuous service 24/7.

Servicing

All ATM machines are routinely serviced and

maintained to insure each machine functions at the

highest level of efficiency. PRODIGY CONNEXUS, INC

will provide nationwide 24-hour professional, reliable

service 365 days of the year. Therefore, reducing any

interruption in service and maximizing profitability. All ATMs will have a direct

customer service line for any questions or concerns.

Quality Control: We guarantee unparalleled service from all our partner

service providers in our network and will do routine monitoring to ensure highest

quality of service as promised. All service partners, service operators or service

loaders under PRODIGY CONNEXUS will be evaluated monthly through our

monthly service assessments to guarantee 100% quality service per standard of

location placed.

• If any of our ATMs are tampered with, marked on or damaged, one of our

technicians will solved these problems usually within the same day but no

later than the next day

• Our response time for service call and repair is usually within the same day

but no later than the next day

• Low Cash or ATM Out of Service are all monitored online and we will have

access to see errors and will be handled within the same day.

• All Locations will receive a visible non-neon sign which will be placed on

window of front of store. All ATM signs will be in the form of a “STICKER” or

per location requirement for signage presentment.

Surcharge Management Fee Breakdown & Profits to Investor

• PRODIGY CONNEXUS, INC will pay 90% of Net Surcharge profits to investor

and PRODIGY CONNEXUS will keep 10% for management fee

• PRODIGY CONNEXUS, INC will retain all back end Interchange

• Any deployed ATM performing under 75 transactions in any given month

shall be replaced after a 90 day review of performance and subjected to

a new placement of ATM where minimum of 100 transaction or more are

met and mantained. Please see “Minimum Performance” below for detail

break down.

Minimum Performance

• Each location installed will be required to produce a minimum of 100

Transactions per month minimum in order to be a profitable location. If

any location produces a volume less than 100 Transactions per month that

location will qualify for an automatic reassignment replacement.

• Locations that perform less than 100 Transaction for any given month after

probationary period PRODIGY CONNEXUS, INC on behalf of INVESTOR will

use their best discretion to relocate location within 4 months of

performance history.

• If Investor wishes for PRODIGY CONNEXUS, INC not to relocate ATM form

said location this can be done at a second tier performance below 100

Transactions where PRODIGY CONNEXUS, INC will not pull ATM based on

Investor’s request.

• If location under performs and does an average of 50 Transactions or less

over the 4 month probationary period then location will have to choice

for us to pull ATM or receive no commission while ATM is placed and

performs at an average of 50 transactions which will guarantee investor a

monthly minimum gross income of $150 average.

Term of Contract

• Contract between Locations and PRODIGY CONNEXUS will be a minimum

of 3 (THREE) Year Term Agreement and auto-renew for another 3 (THREE)

Year 30 days prior to contract expiration

ATM Liability

• PRODIGY CONNEXUS will maintain a general liability insurance on both

ATM and Cash in ATMs at all times if needed. PRODIGY CONNEXUS will be

responsible for any malfunctioning or any repairs to ATM while on any

location property. PRODIGY CONNEXUS, INC will take full responsibility for

all upkeep and maintenance to be done on ATMs. All we require for any

location is a 17 x 21 Inches of appropriate space, an electrical outlet and

access to either internet or a phone connection and we will take it from

there. If a connection is not available PRODIGY CONNEXUS will provide a

satellite wireless internet box for ATM connection.

• Investor/Atm owner will be responsible for repairs service call

PAYMENT TERMS AND CONDITIONS

• PRODIGY CONNEXUS, INC manages disbursement of payments through its

bank processor. Investor will be paid as requested per payment method

on the 5th-6th day of the following month of activity.

• PRODIGY CONNEXUS, INC has the full right to adjust surcharge at any

location, at any time at their discretion based on performance to a lower

surcharge but never higher than $3.00 for standard locations with the

exception of beach locations, tourist attraction areas and other qualified

areas.

• PRODIGY CONNEXUS, INC has the right to but not required to relocate any

machine that performs less than Minimum Performance as stated in

“Minimum Performance” per month for any 4 consecutive months and will

be reinstalled at another approved location.
