ENFORCEMENT PROCEEDINGS

MATTHEW BURGASON BARRED FROM SECURITIES INDUSTRY

The Commission has entered an Order instituting Public Proceedings, Making Findings and imposing Remedial Sanctions Pursuant to Sections 15(b) and 19 (h) of the Securities Exchange Act of 1934 (Order) against Matthew Thomas Burgason (Burgason) , formerly a registered representative with three different registered broker-dealers in Phoenix, Arizona. The Order finds that Burgason misappropriated approximately $524,632 from seventeen customers between July 1992 and August 1995. The Order also finds that Burgason pled guilty to theft in addition to fraudulent schemes and artifices in violation of Arizona law and bars him from association with any broker, dealer, municipal securities dealer, investment adviser or investment company. TEMPORARY RESTRAINING ORDER ISSUED AGAINST CITY SERVICES CORP. AND JOSEPH BURG10

The Commission announced that on October 2 the United States District Court for the Southern District of New York entered a final judgment by default against City Services Corp. (City Services) and Joseph Burgio (Burgio) . The order permanently restrains and enjoins the defendants from violating the antifraud provisions of the securities laws, and permanently restrains and enjoins Burgio from violating antifraud provisions applicable to broker-dealers and from violating the broker-dealer registration provisions. The order also requires City Services and Burgio, jointly and severally, to disgorge $1,014,605 and $43,055 in prejudgment interest ($1,057,660 in total) and Burgio to pay $5,000 as a civil penalty. The order arises from a complaint filed on March 16, 1998, in which the Commission alleges that City Services and Burgio fraudulently offered and sold City Services stock and that Burgio also was acting as an unregistered broker-dealer. The complaint alleged that City Services and Burgio made false and misleading statements to investors in soliciting purchases of City Services, including that (1) an initial public offering was imminent, during which the investors could more than double their investment ; and (2) the funds invested would initially be held in escrow. COMMISSION FILES EMERGENCY ACTION AGAINST ALLIANCE LEASING CORPORATION AND PRIME ATLANTIC, INC. IN EQUIPMENT LEASING SCHEME

The Commission announced that on October 7 the Honorable Napoleon A. Jones, Jr. granted the Commission's request for emergency action against Alliance Leasing Corporation (Alliance) and Prime Atlantic, Inc. (Prime) to stop an ongoing unregistered investment offering fraud involving Alliance's equipment leasing program. Specifically, the Court issued a temporary restraining order against Alliance and Prime and an order freezing $22 million in Alliance and Prime assets. Since at least December 1997, Alliance has offered and sold units in its equipment leasing program to at least 240 investors nationwide. These investments are being sold through Prime, which is not registered with the Commission as a broker or dealer. In selling the investments, Alliance and Prime lied about the use of investor monies, and Alliance lied about the existence of an escrow account at a major brokerage f irm and about the integrity of its own management. MICHAEL SARGENT AND ROBERT SCHARN CONVICTED OF MAKING FALSE STATEMENTS TO THE COMMISSION STAFF

On October 7, the jury in the criminal case of United States v. Michael Sargent, et al., Crim. No. 96-10134-<LT (D. Mass.) found Michael Sargent and Robert Scharn guilty of wlnfully making false statements to government officials in violation of 18 U.S.C. Section 1001. Their convictions stem from false statements the two men made in telephone interviews with a Commission staff attorney concerning trading in the stock of Purolator Products Company prior to a public announcement that Mark IV Industries, Inc. would make a tender offer for all Purolator shares. The District Judge, however, dismissed the Section 14(e) and Rule 14e-3 count.

In March 1996 the Commission filed a civil action against Sargent, Scharn and two others alleging that the defendants bought Purolator stock while in possession of material, nonpublic information about Mark IV1s impending take-over. According to the Commission, the defendants' tipping and trading violated Sections 10 (b) and 14 (e) of the Securities Exchange Act of 1934 and Rules lob-5 and 14e-3.
