SAGE PUBLISH & READ AGREEMENT This Publish & Read Agreement (the “Agreement”) is entered between: SAGE PUBLICATIONS a company having registered number 1017514 and having its registered office at 1, Oliver’s Yard, 55 City Rd, London, EC1Y 1SP, UK (“Publisher”) and the respective organisations set forth in Schedule 2 hereto (hereinafter referred to as “Licensee(s)”) and duly represented by the National Library of Sweden [Sw: Kungliga biblioteket], Box 5039, SE-102 41 Stockholm, Sweden. This Agreement shall commence on 1 January 2020 and shall terminate on 31 December 2022 unless the parties agree in writing to renew or extend the Agreement on terms that may be agreed in writing at the time. WHEREAS the Publisher holds the rights granted under this Agreement,

IT IS AGREED AS FOLLOWS

1. DEFINITIONS

1.1 In this Agreement, the following terms shall have the following meanings:

Authorised Users Individuals who are authorised by the Licensee to access the Licensee’s information services whether on-site or off-site via Secure Authentication and who are affiliated to the Licensee as a current student (undergraduates and postgraduates), member of staff (whether on a permanent or temporary basis, including retired members of staff) or contractor of the Licensee. Persons who are not a current student, member of staff or a contractor of the Licensee, but who are permitted to access the Licensee’s information services from computer terminals within the physical premises of the Licensee (“Walk-In Users”) are also deemed to be Authorised Users, only for the time they are within the physical premises of the Licensee. Walk-In Users may not be given means to access the Licensed Material when they are not within the physical premises of the Licensee.

Commercial Use Use for the purpose of monetary reward (whether by or for the Licensee or an Authorised User) by means of the sale, resale, loan, transfer, hire or other form of exploitation of the Licensed Material. For the avoidance of doubt, neither recovery of direct cost by the Licensee from Authorised Users, nor use by the Licensee or Authorised Users of the Licensed Material in the course of research funded by a commercial organisation is deemed to constitute Commercial Use.


Course Packs A collection or compilation of printed materials (e.g. book chapters, journal articles) assembled by members of staff of Licensee for use by students in a class for the purposes of instruction.

Electronic Reserve Electronic copies of materials (e.g. book chapters, journal articles) made and stored on the Secure Network by the Licensee for use by students in connection with specific courses of instruction offered by the Licensee to its students.

“Eligible Corresponding Authors”

Teaching and research staff employed by or otherwise accredited to the Licensee, as well as students enrolled or accredited to the Licensee, who are also the corresponding author of materials published in a Hybrid or Gold Open Access Journal. In case of articles published by multiple authors, only the corresponding author will be the Eligible Corresponding Author. It is not permitted to change the corresponding author of an article after peer review from an in-eligible author to one accredited to the Licensee to qualify as eligible. Authors are only deemed Eligible Corresponding Authors once they have signed the then current open access publishing agreement with Publisher. In case of conflict between such publishing agreement and this Agreement, this Agreement shall prevail.

“Eligible Articles (Hybrid)”

Articles with an Eligible Corresponding Author (i) entered into Publisher’s production system for publication in a Hybrid Journal; (ii) classified as Open Access Material; and (iii) entering Publisher’s production system during the Subscription Period (i.e. one week after acceptance date). Articles already in the Publisher production system at commencement of this Agreement are not eligible to open access publication.

“Eligible Articles (Gold)” Articles with an Eligible Corresponding Author (i) entered into Publisher’s production system for publication in a Gold Open Access Journal; (ii) classified as Open Access Material; and (iii) entering Publisher’s production system during the Subscription Period (i.e. one week after acceptance date).

Articles already in the Publisher production system at commencement of this Agreement are not eligible to the discounts provided herein for open access publication.

Fee The Fee set out in Schedules 2 or in new Schedules to this Agreement

which may be agreed by the parties from time to time.

Gold Open Access Journal A journal title eligible to open access publication under this Agreement and consisting only of materials distributed under a Creative Commons licence. Gold Open Access Journals are listed in Schedules 3a2 and 3b2.


“Hybrid Journal” means a journal title eligible to open access publication under this Agreement and in which articles that are not Open Access Materials are published in the same issue as Open Access Materials. Hybrid Journals are listed in Schedules 3a1 and 3b1.

Intellectual Property Rights Patents, trademarks, trade names, design rights, copyright (including

rights in computer software and moral rights), database rights, rights in know-how and other intellectual property rights, in each case whether registered or unregistered and including applications for the grant of any of the foregoing and all rights or forms of protection having equivalent or similar effect to any of the foregoing which may subsist anywhere in the world.

Licensed Material The material listed in Schedules 3a1 and 3b1.

“Open Access Material” means an article or other published content that is accessible or submitted on the basis that it will be accessible and usable under the terms of a Creative Commons licence (as described further in Schedule 5) on an open access basis. Open Access Material includes, but is not limited to, original research papers, review papers, brief communications, short reports and case reports. For the avoidance of doubt, this excludes articles published as part of commercially sponsored supplements, errata, book reviews, editorials, published abstracts, call for papers, news items or similar.

Secure Authentication Access to the Licensed Material by Internet Protocol (“IP”) ranges, by a

username and password provided by the Licensee to its Authorised Users, or other secure authentication methods such as SWAMID (Shibboleth).

Secure Network A network (whether a standalone network or a virtual network within the Internet) which is only accessible to Authorized Users approved by the Licensee whose identity is authenticated at the time of log-in and periodically thereafter consistent with current best practice, and whose conduct is subject to regulation by the Licensee.

Server The server, either the Publisher’s server or a third party server designated by the Publisher, on which the Licensed Material are mounted and may be accessed.

Subscription Period The period commencing and ending on the dates set out on the first page of this Agreement for which the Licensee and its Authorised Users may access and use the Licensed Material and publish Open Access Materials in Hybrid and Gold Open Access Journals.

Text Mining A machine process by which information may be derived by identifying patterns and trends within natural language through text categorisation, statistical pattern recognition, concept or sentiment extraction, and the association of natural language with indexing terms and/or data.


Virtual Learning Environment A software system designed to manage and support teaching and learning in education, including systems variously referred to as Course Management Systems, Learning Management Systems, Learning Support Systems, Managed Learning Environments, and similar names.

Walk-in Users Persons who are allowed by Licensee to access its information services from computer terminals or otherwise within the physical premises of Licensee. For the avoidance of doubt, Walk-In Users may be given access to the Licensed Material by any wireless Secure Network. Walk-In Users are not allowed off-site access to the Licensed Material.

2. LICENCE GRANT

2.1 The Publisher hereby grants to the Licensee, subject to and in accordance with the terms of this Agreement, a non-exclusive licence to access and use the Licensed Material and to allow Authorised Users to access and use the Licensed Material via Secure Authentication for scholarly, educational, research and/or private use, but in no case for Commercial Use.

2.2 The Publisher hereby grants to the Licensee, subject to and in accordance with the terms of this Agreement, a licence to permit Eligible Corresponding Authors to publish Eligible Articles (Hybrid) as Open Access Material in the Hybrid Journals listed in Schedule 3a1 and 3b1.

2.3 The Publisher hereby grants to the Licensee, subject to and in accordance with the terms of this

Agreement, a licence to permit Eligible Corresponding Authors to publish Eligible Articles (Gold) as Open Access Material in the Gold Open Access Journals listed in Schedules 3a2 and 3b2.

2.4 In consideration for the Publisher’s licensing pursuant to Clause 2.1, Clause 2.2 and Clause 2.3, the

Licensee undertakes to pay to the Publisher the Fee in accordance with the provisions of the Schedules 2.

3. PERMITTED USES 3.1 The Licensee may:

3.1.1 make such local temporary copies of the Licensed Material as are necessary to ensure efficient use of the Licensed Material by Authorised Users, provided that such use is subject


to all the terms and conditions of this Agreement;

3.1.2 provide Authorized Users with integrated access and an integrated article author, article title and keyword index to the Licensed Material and all other similar material licensed from other publishers (e.g. discovery system);

3.1.3 allow Authorised Users to:

3.1.3.1 access the Licensed Material by Secure Authentication in order to search,

retrieve, display and view the Licensed Material; 3.1.3.2 electronically save parts of the Licensed Material; 3.1.3.3 print out single copies of parts of the Licensed Material; 3.1.3.4 subject to Clause 6 below, incorporate a reasonable portion of the Licensed

Material in printed Course Packs, Electronic Reserve collections and in Virtual Learning Environments for the use of Authorized Users in the course of instruction at a Licensee’s institution, but not for Commercial Use, so long as Licensee ensures that such access is secure and limited solely to Licensee and Authorized Users and that safeguards are in place to restrict use by non-authorized users. Each such item shall carry appropriate acknowledgement of the source, listing title and author of the extract, title and author of the work, and the publisher. To the extent possible, copies of such items shall be deleted by the Licensee when they are no longer used for such purpose. Course packs in non-electronic non-print perceptible form, such as audio or Braille, may also be offered to Authorized Users who are visually impaired;

3.1.3.5 incorporate parts of the Licensed Material in printed or electronic form in

assignments and portfolios, theses and in dissertations (“the Academic Works”), including reproductions of the Academic Works for personal use and library deposit. Reproductions in printed or electronic form of Academic Works may be provided to sponsors of such Academic Works. Each item shall carry appropriate acknowledgement of the source, listing title and copyright owner;

3.1.3.6 supply to another library (whether by post, fax or secure electronic

transmission) single copies of parts of the Licensed Material to fulfil the practice commonly known as inter-library loan;

3.1.3.7 provide single printed or electronic copies of single articles at the request of

individual Authorized Users; 3.1.3.8 display, download and print parts of the Licensed Material for the purpose of

promotion of the Licensed Material, testing of the Licensed Material, or for training Authorised Users;

3.1.3.9 publicly display or publicly perform parts of the Licensed Material as part of a


presentation at a seminar, conference, or workshop, or other such similar activity;

3.1.3.10 make such copies of training material and network such training material as

may be required for the purpose of using the Licensed Material in accordance with this Agreement;

3.1.3.11 deposit the learning and teaching objects as referred to in Clause 3.1.3.4 in

electronic repositories operated by the Licensee on a Secure Network. The access and use of such learning and teaching objects shall be governed by the terms and conditions of the applicable repository;

3.1.3.12 distribute single copies of parts of the Licensed Material in print or electronic

form to third party colleagues for the purposes of scientific research and communication or to be used for the basis of discussion groups;

3.1.3.13 use and make copies of the Licensed Material to perform and engage in Text

Mining activities and for purposes of verification of such activities by third parties. For the avoidance of doubt, Authorized Users are free to use the output of such Text Mining activities and any rights, including but not limited to database rights, created as a result of such activities are the sole property of the Authorized Users. For the avoidance of doubt, the use, sharing and deposit of copies of the Licensed Material will be subject to the terms of this Agreement;

3.1.3.14 use Braille displays, voice synthesizers and other such devices to enable use of

the Licensed Material.

3.2 Notwithstanding any terms or conditions to the contrary in any author agreement between authors affiliated with Licensee (“Authors”) and Publisher, Authors whose work is accepted for publication (i.e. the accepted manuscript, the post-print and not the definitive published version ) within the Licensed Material shall retain the non-exclusive, royalty-free right to use their work for scholarly and educational purposes, including self-archiving or depositing the work in their institutional repositories (including the Author’s own web pages or departmental servers), and to comply with all grant or institutional requirements associated with the work provided that a link to the definitive published version is included. For the avoidance of doubt, it is the intent of the parties to this agreement that Authors are third party beneficiaries of this provision of the Agreement.

3.3 Nothing in this Agreement shall in any way exclude, modify or affect any of the Licensee’s or

Authorised Users’ rights under the laws of Sweden and the European Union, including current and forthcoming exceptions or limitations to the exclusive rights of copyright owners.

4. RESTRICTIONS

4.1 Save as provided herein, the Licensee and Authorised Users may not:

4.1.1 sell or resell the Licensed Material unless the Licensee or an Authorised User has been granted prior written consent by the Publisher to do so;


4.1.2 remove, obscure or modify copyright notices, text acknowledging or other means of identification or disclaimers as they appear;

4.1.3 alter, adapt or modify the Licensed Material, except to the extent necessary to make it perceptible on a computer screen, or as otherwise permitted in this Agreement. For the avoidance of doubt, no alteration of the words or their order is permitted;

4.1.4 display or distribute any part of the Licensed Material on any electronic network, including

without limitation the Internet and the World Wide Web, and any other distribution medium now in existence or hereinafter created, other than by a Secure Network; or

4.1.5 use all or any part of the Licensed Material for any Commercial Use or for any purpose

other than scholarly, educational, research and/or private use purposes.

4.2 This Clause shall survive termination of this Agreement for any reason.

5. RESPONSIBILITIES OF THE PUBLISHER

5.1 The Publisher agrees:

5.1.1 to make the Licensed Material available to the Licensee and Authorised Users from the commencement of the Subscription Period;

5.1.2 to use all reasonable endeavours to make the electronic copy of each journal covered by this Agreement available, not later than the start of business hours on the day of publication of the printed version. In the event that for technical reasons this is not possible for any particular journal, as a matter of course, such journal shall be identified at the time of licensing, together with the reasons therefore;

5.1.3 to make the Licensed Material available to the Licensee and Authorised Users at all times

and on a twenty-four hour basis, save for routine maintenance and save for service interruptions due to circumstances not within Publisher’s direct control, and to restore access to the Licensed Material as soon as possible in the event of an interruption or suspension of the service. In case of prolonged interruption or suspension, Licensee shall be entitled to claim fair damages and/or compensation from Publisher;

5.1.4 to provide for customer support services to Authorised Users via e-mail or phone, including

answering e-mail inquiries relating to the use, functionality and content of the Licensed Material within 24 hrs of request;

5.1.5 to use best endeavours to ensure that the relevant server or servers have adequate

capacity and bandwidth to support the usage of the Licensee at a level commensurate with the standards of availability for information services of similar scope operating via the World Wide Web, as such standards evolve from time to time over the Subscription Period;

5.1.6 to provide electronic product documentation to the Licensee free of charge. The Publisher

will allow copies of all documentation to be made and distributed by the Licensee to


Authorised Users provided it is either duplicated in full, or a proper ownership acknowledgement is included;

5.1.7 to implement the industry standards as set out in Schedule 4;

5.1.8 to make reasonable efforts to deliver, upon request, metadata and full text relating to the Licensed Material to the National Library of Sweden and Licensee(s) by FTP data feed or by any other means agreed between the parties. The metadata will contain the following fields: chapter/article title, book/ journal title, ISBN/ISSN, author(s), volume, issue, year, page, publisher and link to full text on the online-platform. The National Library of Sweden may load and format the metadata onto the freely accessible National Union Catalogue LIBRIS (http://libris.kb.se). The Licensee may load and format the metadata onto the Licensee’s server to enable indexing of the Licensed Material by the Licensee solely for the purpose of enhanced navigation. The Licensee may load the metadata to a secure third party server provided that the Licensee is contractually responsible for the third party. The records will be used for the purpose of increasing discoverability of the Licensed Material for the benefit of its Users. Access to the full text will solely be available to Authorized Users on Secure Networks. The Publisher agrees to permit the National Library of Sweden and the Licensee(s) to release metadata relating to the Licensed Material using a Creative Commons Licence CC0 (http://creativecommons.org/about/cc0);

5.1.9 to provide Licensee with detailed lists of all journals included in the Licensed Material of the following year each 1st of October of the Subscription Period. Such lists shall be delivered in MS Excel format and shall include: title, print ISSN and online ISSN, URL, access start year, volume, issue, as well as a clear indication of the open access journals.

5.2 The Publisher reserves the right at any time to withdraw from the Licensed Material any item or part of an item for which it no longer retains the right to publish and for which the Publisher has been unable to secure the provisions which allow the Licensee to locally mount the item or part of the item, as set out in Clause 8.7, or any item or part of an item for which the Publisher has reasonable grounds to believe it infringes copyright or is defamatory, obscene, unlawful or otherwise objectionable. The Publisher shall give written notice to the Licensee of such withdrawal. If the withdrawn material represents more than five per cent (5%) of the Licensed Material the Publisher shall make a pro rata refund of part of the Fee to the Licensee, taking into account the amount of material withdrawn and the remaining unexpired portion of the Subscription Period.

6. RESPONSIBILITIES OF LICENSEE

6.1 The Licensee agrees to:

6.1.1 issue passwords or other access information only to Authorised Users and use all reasonable efforts to ensure that Authorised Users do not divulge their passwords or other access information to any third party;

6.1.2 provide lists of valid IP addresses to the Publisher and update those lists on a regular basis the frequency of which will be agreed by the parties from time to time;

6.1.3 use all reasonable efforts, including without limitation by use of Secure Authentication, to


ensure that only Authorised Users are permitted access to the Licensed Material;

6.1.4 use all reasonable efforts to ensure that all Authorised Users are made aware of and undertake to abide by the terms of this Agreement; and

6.1.5 use all reasonable efforts to monitor compliance with the terms of this Agreement and notify the Publisher immediately and provide full particulars on becoming aware of any of the following: (a) any unauthorised access to or use of the Licensed Material or unauthorised use of any of Licensee's password(s); or (b) any breach by an Authorised User of the terms of this Agreement. Upon becoming aware of any breach of the terms of this Agreement, the Licensee further agrees promptly to fully investigate and initiate procedures in accordance with the Licensee's standard practice and use all reasonable effort to ensure that such activity ceases and to prevent any recurrence.

7. FEE

7.1 A bulk Invoice consisting of all Licensees’ fees is to be sent to Kungliga biblioteket / National Library of Sweden, National Co-operation Department, P.O. Box 5039.SE-102 41 Stockholm, Sweden.

The National Library of Sweden is responsible for the payment of the Invoice. For the avoidance of

doubt, the Fee shall be exclusive of any sales, use, value added or similar taxes and the Licensee shall be liable for any such taxes in addition to the Fee. The National Library of Sweden shall pay the invoice within sixty days (60) of date of invoice (which has to be sent and dated during the first week of January of each calendar year of the Subscription Period). Publisher will provide invoices through the Visma Supplier Center as separately described by the National Library of Sweden.

8. TERM AND TERMINATION

8.1 This Agreement shall commence at the beginning of Subscription Period and, unless terminated earlier as provided for in this Clause 8, will remain in full force and effect until the end of the Subscription Period.

8.2 Any party may terminate this Agreement at any time on the material breach by the other of any obligation on its part under this Agreement by serving a written notice on the other identifying the nature of the breach. The termination will become effective thirty days after receipt of the written notice unless during the relevant period of thirty (30) days the defaulting party remedies the breach forthwith by written notice to the other party.

8.3 A Licensee listed in Schedule 2a and 2b and 2c may opt out of this Agreement during the Subscription Period. Notice of such decision must reach the Publisher by writing by 1 November at the latest for implementation by the beginning of the next calendar year. In such an instance the Licensee’s fee will be deducted from the invoice.

8.4 Any other organisation participating in the so-called “Bibsam Consortium” is able to opt in to this Agreement during the Subscription Period under the terms and conditions set forth herein. Notice of such decision must reach the Publisher by writing by 1 November at the latest for


implementation by the beginning of the next calendar year. In this case the new organisation’s fee will be added to the invoice.

8.5 Upon termination of this Agreement by the Publisher due to a material breach by the Licensee, the Publisher shall cease to authorise on-line access to the Licensed Material by the Licensee and Authorised Users. For sake of clarity, the foregoing and all its consequences will only affect the breaching Licensee.

8.6 After termination of this Agreement (save for a material breach by the Licensee of its obligations under this Agreement) the Publisher will provide (at the option of the Licensee) the Licensee and its Authorised Users with access to and use of the full text of the Licensed Material as listed in Schedule 3a1 and 3b1 which was published and paid for within the Subscription Period by continuing online access to archival copies of the same Licensed Material on the Publisher's server which shall be without charge. If such continuing online access is not possible, Publisher will provide access by (i) supplying archival copies of the same Licensed Material in an electronic medium mutually agreed between the parties which will be delivered to the Licensee or to a central archiving facility operated on behalf of the Licensee or other archival facility without charge; or (ii) supplying without charge archival copies via ftp protocol of the same Licensed Material. Any existing or previous agreement between the Publisher and the Licensee for perpetual access to Publisher’s publications will remain in effect.

For the avoidance of doubt access and use of archival copies shall be subject to the terms and

conditions as set out in Clauses 3 and 4 of this Agreement. For the avoidance of doubt, post termination access is not given to any Licensed Material relating

to SAGE Research Methods (SRM) subscriptions, unless Licensee selects to purchase such access through a separate agreement with Publisher.

8.7 The Licensee is permitted to mount the archival copies of the Licensed Material supplied by the

Publisher in accordance with Clauses 8.6, communicate, make available and provide access to such Licensed Material via a Secure Network to Authorised Users in accordance with the terms of this Agreement. The Licensee is further permitted to make such copies or re-format the Licensed Material contained in the archival copies supplied by the Publisher in any way to ensure their future preservation and accessibility in accordance with this Agreement;

8.8 In the event that ownership of a part or parts of the Licensed Material is sold by the Publisher or otherwise transferred to another publisher, the Publisher will use all reasonable efforts to retain a non-exclusive copy of the volumes published and make them available free of charge through the Publisher’s server or by supplying such material free of charge to the Licensee in accordance with the procedure described in Clause 8.6;

8.9 In the event that the Publishers ceases to publish a part or parts of the Licensed Material, a digital

archive will be maintained of such Licensed Material and be made available free of charge through the Publisher’s server or by supplying such material free of charge to the Licensee in accordance with the procedure described in Clause 8.6;

8.10 The archival copies supplied in accordance with Clause 8.6 will contain all textual content of the

Licensed Material but may not contain all links and other features and functionality associated with the online version available via the Publisher’s server. Access and use of such copies will not attract


a fee charged by the Publisher. 8.11 On termination of this Agreement by the Licensee due to a material breach by the Publisher, the

Publisher will reimburse the Licensee a pro rata proportion of the then remaining Fee for the unexpired part of the Subscription Period. The Publisher shall not be obligated to return any portion of the Fee for termination by the Publisher due to the Licensee’s breach pursuant to Clause 8.2.

9. RIGHTS TO PUBLISH OPEN ACCESS MATERIAL WITHIN HYBRID JOURNALS

9.1 In consideration for the Publisher publishing Eligible Articles (Hybrid) as Open Access Material in the Hybrid Journals on the terms of this Agreement (in particular Schedule 5), the Licensee agrees to pay the Fee.

9.2 The Licensee agrees to inform Eligible Corresponding Authors that this Agreement is in place and that their Eligible Articles (Hybrid) can be made Open Access Material on acceptance in the Hybrid Journals. Publisher will clearly indicate the availability of an institutional funding agreement to Eligible Corresponding Authors by direct email and on its website. It will make clear that Eligible Corresponding Authors do not need to pay article processing charges for publishing Eligible Articles (Hybrid) open access.

9.3 Eligible Corresponding Authors shall be identified as being eligible in the course of the Publisher’s publishing workflow as specified in Schedule 5.

9.4 The Licensee shall ensure that the Publisher is provided with accurate and up to date information for use in identifying Eligible Corresponding Authors as specified in Schedule 5.

9.5 All parties acknowledge that while the Licensee has financial obligations toward the Publisher, the Licensee is in no way involved with the editorial process. Nothing herein contained shall oblige the Publisher to publish any article submitted to the Publisher by an Eligible Corresponding Author. The Licensee acknowledges that the selection of material to be published on the Publisher platform is entirely at the discretion of the Publisher’s editorial policy. The Licensee waives any claim it may have against the Publisher in the event that the Publisher refuses or declines to publish any material (or part thereof) submitted by an Eligible Corresponding Author due to editorial policy.

10. RIGHTS TO PUBLISH OPEN ACCESS MATERIAL WITHIN GOLD OPEN ACCESS JOURNALS

10.1 In consideration for the Publisher publishing Eligible Articles (Gold) as Open Access Material in the Gold Open Access Journals on the terms of this Agreement (in particular Schedule 5), the Licensee (or the Eligible Corresponding Author) agrees to pay discounted article processing charges.

Until Publisher has finalized an automated portal that will simplify identification of Eligible Corresponding Authors (at the latest during 2020), the Publisher agrees to offer a discount of 20% on the list rate article processing charges applicable to the Eligible Article (Gold) on request by the Eligible Corresponding Author providing a discount code as detailed in Schedule 5. As of 2021, the discount will be applied automatically in the portal. For the avoidance of doubt, this discount


cannot be combined with any other discount available to the Eligible Author (for example, but not limited to: society membership discounts, introductory offers or article processing charges waivers). In the case of multiple discount rates being available for the Eligible Article (Gold), the Publisher will honour the single greatest discount available to that Eligible Article (Gold).

10.2 The Licensee agrees to inform Eligible Corresponding Authors that this Agreement is in place and that their Eligible Articles (Gold) can be made Open Access Material on acceptance in the Gold Open Access Journals listed in Schedule 4 (c). Publisher will clearly indicate the availability of discounted article processing charges to Eligible Authors by direct email and on its website once Publisher has finalized an automated portal that will simplify identification of Eligible Corresponding Authors, at the latest during 2020).

10.3 Eligible Corresponding Authors shall identify themselves as being eligible in the course of the Publisher’s publishing workflow as specified in Schedule 5 until implementation of an automated portal that will simplify identification, at the latest during 2020.

10.4 The Licensee shall ensure that the Publisher is provided with accurate and up to date information for use in identifying Eligible Corresponding Authors as specified in Schedule 5.

10.5 All parties acknowledge that while the Licensee has financial obligations toward the Publisher, that the Licensee is in no way involved with the editorial process. Nothing herein contained shall oblige the Publisher to publish any article submitted to the Publisher by an Eligible Corresponding Author. The Licensee acknowledges that the selection of material to be published on the Publisher platform is entirely at the discretion of the Publisher’s editorial policy. The Licensee waives any claim it may have against the Publisher in the event that the Publisher refuses or declines to publish any material (or part thereof) submitted by an Eligible Corresponding Author due to editorial policy.

11. ACKNOWLEDGEMENT AND PROTECTION OF INTELLECTUAL PROPERTY RIGHTS

11.1 The Licensee acknowledges that all Intellectual Property Rights in the Licensed Material are the property of the Publisher or duly licensed to the Publisher and that this Agreement does not assign or transfer to the Licensee any right, title or interest therein except for the right to access and use the Licensed Material in accordance with the terms and conditions of this Agreement.

11.2 For the avoidance of doubt, the Publisher hereby acknowledges that any database program created by the Licensee as a result of the local mounting of the Licensed Material as referred to in Clause 8.6 shall be the property of the Licensee. This right shall only extend to the database program and not the Licensed Material.

12. REPRESENTATION, WARRANTIES AND INDEMNIFICATION

12.1 Except for the Open Access Material published under this Agreement, the Publisher warrants to the Licensee that the Licensed Material and all Intellectual Property Rights therein are owned by or licensed to the Publisher and that the Licensed Material used as contemplated in this Agreement does not infringe any Intellectual Property Rights of any natural or legal person. The Publisher


agrees that the Licensee shall have no liability and the Publisher will indemnify, defend and hold the Licensee harmless against any and all damages, liabilities, claims, causes of action, legal fees and costs incurred by the Licensee in defending against any third party claim of Intellectual Property Rights infringements or threats of claims thereof with respect of the Licensee's or Authorised Users use of the Licensed Material, provided that: (1) the use of the Licensed Material has been in full compliance with the terms and conditions of this Agreement; (2) the Licensee provides the Publisher with prompt notice of any such claim or threat of claim; (3) the Licensee co-operates as reasonably necessary with the Publisher in the defence or settlement of such claim; and (4) the Publisher has sole and complete control over the defence or settlement of such claim. This Clause shall survive termination of this Agreement for any reason.

12.2 Always in accordance with Clause 5.2, the Publisher reserves the right to change the content (including removal of an entire journal on ceasing to have the right to publish), presentation, user facilities or availability of parts of the Licensed Material and to make changes in any software used to make the Licensed Material available at their sole discretion.

12.3 While the Publisher has no reason to believe that there are any inaccuracies or defects in the information contained in the Licensed Material, the Publisher makes no representation and gives no warranty express or implied with regard to the information contained in or any part of the Licensed Material including (without limitation) the fitness of such information or part for any purposes whatsoever and the Publisher accepts no liability for loss suffered or incurred by the Licensee or Authorised Users as a result of their reliance on the Licensed Material.

12.4 In no circumstances will the Publisher be liable to the Licensee for any loss resulting from a cause over which the Publisher does not have direct control, including but not limited to failure of electronic or mechanical equipment or communication lines, telephone or other interconnect problems, unauthorised access, theft, or operator errors.

12.5 The Licensee agrees to notify the Publisher immediately and to provide reasonably necessary particulars in the event that it becomes aware of any actual or threatened claims by any third party in connection with any works contained in the Licensed Material and do all things reasonably required to assist the Publisher in such claims. It is expressly agreed that upon such notification, or if the Publisher becomes aware of such a claim from other sources, the Publisher may remove such work(s) from the Licensed Material.

12.6 Nothing in this Agreement shall make the Licensee liable for breach of the terms of this Agreement by any Authorised User provided that the Licensee did not cause, knowingly assist or condone the continuation of such breach after becoming aware of an actual breach having occurred.

12.7 Save as provided for in Clause 12.1, neither the Licensee nor the Publisher will be liable to the other in contract or negligence or otherwise for (i) any special, indirect, incidental, punitive or consequential damages, and/or (ii) loss of direct or indirect profits, business, contracts, revenue or anticipated savings or for any increased costs or expenses.

12.8 Irrespective of the cause or form of action (for the avoidance of doubt, save as provided for in Clause 12.1), each party’s aggregate liability for any claims, losses, or damages arising out of any breach of this Agreement shall in no circumstances exceed the Fee paid by Licensee to the Publisher under this Agreement.


12.9 No party limits its liability for (i) death or personal injury to the extent it results from its negligence, or of its employees or agents in the course of their engagement; and (ii) its own fraud or that of its employees or agents in the course of their engagement.

13. FORCE MAJEURE

13.1 Either party’s failure to perform any term or condition of this Agreement as result of circumstances beyond the control of the relevant party (including without limitation, war, strikes, flood, governmental restrictions, and power, telecommunications or Internet failures or damages to or destruction of any network facilities) (“Force Majeure”) shall not be deemed to be, or to give rise to, a breach of this Agreement.

13.2 If either party to this Agreement is prevented or delayed in the performance of any of its obligations under this Agreement by Force Majeure and if such party gives written notice thereof to the other party specifying the matters constituting Force Majeure together with such evidence as it reasonably can give and specifying the period for which it is estimated that such prevention or delay will continue, then the party in question shall be excused the performance or the punctual performance as the case may be as from the date of such notice for so long as such cause of prevention or delay shall continue.

14. ASSIGNMENT

14.1 Save as permitted for under this Agreement, neither this Agreement nor any of the rights and obligations under it may be assigned by either party without obtaining the prior written consent of the other party, such consent shall not unreasonably be withheld or delayed. In any permitted assignment, the assignor shall procure and ensure that the assignee shall assume all rights and obligations of the assignor under this Agreement and agrees to be bound to all the terms of this Agreement.

15. GOVERNING LAW AND DISPUTE RESOLUTION

15.1 This Agreement shall be governed by and construed in accordance with Swedish law. The parties irrevocably agree that any dispute arising out of or in connection with this Agreement will be subject to and within the jurisdiction of the courts of Sweden.

15.2 Licensee and the National Library of Sweden are Swedish Government agencies that must act in accordance with the Swedish Freedom of Information and Secrecy Act (SFS 2009:400). If any conflict should arise between the Swedish Freedom of Information and Secrecy Act and this Agreement, the Swedish Freedom of Information and Secrecy Act shall prevail.

15.3 The parties agree to use best efforts to resolve disputes in an informal manner, by decision of the Managing Director of the Publisher and the National Librarian of Sweden on behalf of the Licensee.


16. NOTICES

16.1 All notices required to be given under this Agreement shall be given in writing in English and sent by courier, or special delivery to the relevant addressee at its address set out below, or to such other address as may be notified by either party to the other from time to time under this Agreement, and all such notices shall be deemed to have been received three (3) days after the date of posting in the case of special delivery or despatch in the case of courier:

17. GENERAL

17.1 Except as provided in Clause 8.6, this Agreement and its Schedules constitute the entire agreement between the parties relating to the Licensed Material and supersede all prior communications, understandings and agreements (whether written or oral) relating to its subject matter and may not be amended or modified except by agreement of both parties in writing.

17.2 The Schedules shall have the same force and effect as if expressly set in the body of this Agreement and any reference to this Agreement shall include the Schedules.

17.3 The invalidity or unenforceability of any provision of this Agreement shall not affect the continuation in force of the remainder of this Agreement.

17.4 The rights of the parties arising under this Agreement shall not be waived except in writing. Any waiver of any of a party's rights under this Agreement or of any breach of this Agreement by the other party shall not be construed as a waiver of any other rights or of any other or further breach. Failure by either party to exercise or enforce any rights conferred upon it by this Agreement shall not be deemed to be a waiver of any such rights or operate so as to bar the exercise or enforcement thereof at any subsequent time or times.

Schedule 1a: Price model – SAGE Premier & RSM This Agreement offers Licensees the ability to subscribe to a transformative, transitional open access agreement that will enable publication of 100% of articles as open access within the SAGE Premier collection and/or the RSM collection for a single fee, similar to their current spend, as well as access and use of the corresponding collection. Licensees will choose to subscribe to the SAGE Premier collection (as listed in Schedule 2a), the RSM collection (as listed in Schedule 2b) or both collections. Publishing and access/use rights will apply to the subscribed collection(s) only. Fees: The 2020 fee is based on 2019 subscription spend on titles within the collection(s). This fee will increase annually by 2.75% during the Subscription Period. A core increase of 2.75% applies. This is to provide a fair, stable and predictable cost to members during the transition period, regardless of the number of published articles. An additional 0.4% increase will be applied for publishing and reading rights to new and transfer journals. An additional 1% will be added in lieu of former subscriptions to transfer journals. This is based on the average value of transfer subscriptions over the last 5 years and will be offset at individual organisations by savings made when not renewing transfer subscriptions. Publishing within Hybrid Journals: Eligible Corresponding Authors are entitled to publish open access an unlimited number of Open Access Materials as further described in Section 2 of Schedule 5. Publishing within Gold Open Access Journals: Eligible Corresponding Authors benefit from a 20% discount on the list rate articles processing charges as further described in Section 3 of Schedule 5. Flipped journals: Every year, Publisher may flip individual subscription only journals and Hybrid Journals to Gold Open Access Journals. In such case, a credit will applied each September of the Subscription Period to each Licensee based on the number of articles published in 2019 within those flipped titles. The credit might be spent on any Gold Open Access Journals, not only the flipped titles. As an example:

Access and Use: During the Subscription Period, Licensee and its Authorised Users are granted rights to access and use all content within the subscribed collection(s) published on or after 1 January 1999, as further described in the body of the Agreement, in particular its Section 3. Opt in: In accordance with Clause 8.4 of the Agreement, any other organisation participating in the so-called “Bibsam Consortium” is able to opt in to this Agreement during the Subscription Period. The fee applying for opting-in organisations will consist of 130% of the value of their intuitional subscriptions held in the previous year (core subscriptions). The minimum fee is £4,000. If the total (130% of the core subscriptions) is less than £4,000 the minimum £4,000 will apply instead. If the opting-in organisation’s core subscriptions have already been renewed at the point of joining the Agreement, Publisher will invoice 30% of the core subscriptions, with the full value of the holdings being added to the total for the following year. If the opting-in organisation joins mid year, a discount will be offered for the late start. If the opting-in organisation has cancelled a significant amount of Publisher journals within recent years, Publisher reserves the right to ask the organisation to reinstate some or all of those subscriptions or add these to the core subscriptions cost.

Schedule 4: Industry Standards

In order that the Licensees can fully access and use, and assess the use and therefore value of the Licensed

Material, the Publisher agrees:

To provide usage statistics compliant with the most current version of the COUNTER standard every

month (www.projectcounter.org).

To implement the Standardized Usage Statistics Harvesting Initiative (SUSHI) protocol

(www.niso.org/workrooms/sushi).

To provide or to make arrangements for a third party e.g Portico, Clockss or Lockss, to provide an

archive of the Licensed Material for the purposes of long term preservation of the Licensed

Material and perpetual access and for the case normal access to the Licensed Material via the

Server is interrupted. Publisher hereby permits Authorized Users to access such archive after

termination of this Agreement. Publisher will inform the Licensee in which of the archiving

solutions the Licensed Material may be found.

To use all reasonable efforts to meet the W3C standards (www.w3.org/WAI/Resources/#in).

To use all reasonable efforts to meet the Open URL Standard (ANSI/NISO Z39.88).

To use all reasonable efforts to keep to the Code of Practice of Project Transfer standard (www.projecttransfer.org) to ensure that journal content remains easily accessible by the Licensee

and its Authorized Users when there is a transfer of material between parties, and to ensure that the transfer process occurs with minimum disruption.

To use all reasonable efforts to provide link-resolver vendors and other library systems suppliers

full details about each title in the Licensed Material on a monthly basis in accordance with the most

current KBART standard (www.uksg.org/kbart/s5/guidelines); and also with related data of the first

and final year, volume, and issue.

To use all reasonable efforts to meet the NISO recommended practice Access and License Indicators (NISO RP-22-2015 - http://www.niso.org/workrooms/ali/).


Schedule 5: Open Access Workflow

1 Eligible Corresponding Author identification a) During the submission of the Eligible Article (Hybrid or Gold), the submitting author is

responsible for correctly identifying the institutional affiliation of all authors, to identify the corresponding author and to provide institutional email addresses. When entering an institutional affiliation Publisher provides the author with suggested matches and the author will select the appropriate match.

Publisher will use this match to identify an Eligible Corresponding Author as affiliated to

the Licensee using Ringgold ID matches. The Licensee is responsible for providing and updating the list of applicable Ringgold IDs for Publisher to use in matching.

In the event of no match being found (including when Licensee itself did not provided

applicable Ringgold IDs), Publisher will attempt to identify an Eligible Corresponding Author using the corresponding author’s email address domain. The Licensee is responsible for providing and updating the list of applicable email domains for Publisher to use in matching.

b) If the Eligible Corresponding Author was not identified as eligible due to incomplete,

inaccurate or conflicting affiliation data provided by the submitting author, Publisher will not be required to convert the article to open access at a later date, but may offer to do so at Publisher’s sole discretion.

c) If the Eligible Corresponding Author was not identified as eligible due Publisher’s failure

and then Publisher publishes the article under a traditional subscription only format, Publisher shall be responsible to convert the article promptly so that it is published open access. In case of repeated failure, Licensee shall be entitled in addition to claim fair damages and/or compensation from Publisher.

d) If the Eligible Corresponding Author was not identified as eligible due Publisher’s failure

and then Publisher charges the author with an article processing charge for publication of the article, Publisher shall refund such paid article processing charge to the author within 60 days. In case of repeated failure, Licensee shall be entitled in addition to claim fair damages and/or compensation from Publisher.

2 Open Access publishing of Eligible Articles (Hybrid)

a) Upon an Eligible Article (Hybrid) with an Eligible Corresponding Author entering Publisher’s production system, all authors will be contacted by Publisher to inform them of their right to publish the Eligible Article (Hybrid) as open access with no article processing charge payable by the author.

b) Transacting author (who can be any of the article authors, including the Eligible Corresponding Author) enters Publisher’s open access portal and confirms acceptance of open access publishing for the Eligible Article (Hybrid).


c) Transacting author confirms their identity and the copyright ownership status of the Eligible Article (Hybrid).

d) Transacting author will only be offered the Creative Commons licence Attribution 4.0 International (CC BY). Publisher’s open access portal will provide explanatory text explaining author why the CC BY licence is displayed. Author may contact Publisher open access customer service if another licence is required.

e) Transacting author digitally signs the open access publishing agreement. Under such agreement, Eligible Corresponding Authors retain their copyrights. Eligible Corresponding Authors only grant Publisher the non-exclusive right to publish Eligible Articles (Hybrid) under the terms and conditions of the applicable CC licence.

f) If the Transacting author rejects open access publishing of the Eligible Article (Hybrid), the Eligible Article (Hybrid) will be published in a traditional subscription only format, not as open access.

g) If a transacting author does not respond to Publisher offer of open access publishing, a reminder will be sent by Publisher to all authors after 7 days.

h) If the transacting author does not digitally sign the open access publishing agreement (e – above) within 14 days, the Eligible Article (Hybrid) will be published in a traditional subscription only format, not as open access.

i) Eligible Corresponding Authors who have rejected open access publishing of their Eligible Article (Hybrid) or who have not signed the open access publishing agreement after 14 days may contact Publisher’s open access customer service team to request the offer be resent at any time before article proofs have been issued. Once article proofs have been issued, and except if Publisher did not correctly identify the author as eligible, the Eligible Corresponding Author may request conversion to open access from Publisher’s open access customer service team. Publisher shall convert the Eligible Article (Hybrid) to open access, upon payment of a fee of £400 by the transacting author or their nominated bill-payer and upon the transacting author signing the open access publishing agreement.

3 Open Access publishing of Eligible Articles (Gold)

a) Eligible Corresponding Author must self-identify by quoting “BIBSAM 2020” in the discount code field on the RightsLink author portal. For Gold Open Access Journals where RightsLink portal is not used, Eligible Corresponding Author must contact [email protected] to request the discount.

b) Publisher verifies author is an Eligible Corresponding Author and issues an invoice for the current list rate article processing charge, inclusive of the agreed 20% discount. If a higher discount is available to the Author, the higher discount will be applied instead.

c) Publisher publishes Eligible Article (Gold) as open access upon payment of the article processing charge by the Eligible Corresponding Author or their nominated bill-payer.


d) Once Publisher has finalized an automated portal that will simplify processes (at the latest during 2020), Licensee may select to pay the article processing charges for publication of Eligible Article (Gold) on behalf of the Eligible Corresponding Authors. In such case, Licensee will choose between payment against monthly aggregated billing, payment of individual articles and prepayment of an amount (to be determined by Licensee only) covering article processing charges for publication of Eligible Article (Gold).

e) If Eligible Corresponding Author does not request the discount via the code, he/she may request an amended invoice by contacting Publisher open access customer service team prior to payment being made.

f) Once paid, Publisher is unable to refund or part refund an article processing charge where the discount has not been not requested, except, after 2020, due to Publisher’s failure or due to lack of effective information on Publisher’s open access portal about open access or about publishing being discounted for the Eligible Corresponding Authors.

g) In the case where Licensee selects to pay the article processing charges on behalf of the Eligible Corresponding Authors, Publisher will provide details invoices to Licensee for verification. Besides general invoice information (VAT, due date, etc.), invoices will include the following machine readable details: (a) name of the author who is affiliated to Licensee; (b) statement of the author’s affiliation to Licensee (c) funding organisation (research funder, if provided by submitting author); (d) date of acceptance; (e) journal title; (f) article title; (g) DOI of the article; (h) amount due; (i) discounts (if applicable); (j) CC licence type; (k) corresponding author ORCID.

h) Publisher is developing an automated portal that will simplify processes and allow proactive identification of Eligible Corresponding Authors. Once available (at the latest during 2020), Publisher will offer this functionality to Licensee at no extra cost with a mutually agreed workflow.

i) Once the automated portal is available (at the latest during 2020) the transacting author will only be offered the Creative Commons licence Attribution 4.0 International (CC BY) where the journal accepts that license. Publisher’s open access portal will provide explanatory text explaining author why the CC BY licence is displayed. Author may contact Publisher open access customer service if another licence is required.

4 Open Access Reporting

a) Publisher shall provide Licensee details of the following, on request, once per year:

(i) the number of articles in each Hybrid Journal published as Open Access Materials, as a proportion of the total number of articles published in that Hybrid Journal; and how many Publisher’s journals have flipped during the year from/to a traditional subscription only format to/from an open access model, including hybrid model;

(ii) details of all Open Access Materials published in the Licensed Material by corresponding authors of each Licensee. Publisher should provide the following information:

5 Provision of Information

a) Publisher shall provide reasonably sufficient information to enable Authorised Users to benefit from its open access schemes as described in this Schedule 5. Publisher will clearly indicate the availability of an institutional funding agreement and discounted articles processing charges to Eligible Corresponding Authors by direct email (for Eligible Articles (Gold), only once the automated portal is available) and on its website.

b) Upon publication, Publisher will provide the Eligible Corresponding Author and its co-authors by email with a link to a PDF copy of the version of record of the article, the article’s DOI, and a link to the summary of the applicable CC licence terms with encouragements to share the article in compliance to it, for example via social medias, blogs and repositories.


c) In addition, Publisher will investigate the possibility of delivering a PDF copy of the version of record of the article to a repository of the Licensee and submitting the article and its metadata to all relevant third-party repositories.

6 Metadata and Industry Standards

a) When provided by the submitting author and integrated into the manuscript submission system, Publisher undertakes to use ORCID (http://orcid.org/) throughout the workflow from submission to publication and expose Eligible Corresponding Authors’ ORCID ID in the articles and via Abstracting & Indexing (A&I) services, CrossRef and other discovery services.

b) Upon publication, Publisher will register as much metadata as possible on CrossRef, including, but not limited to: (1) the article’s digital object identifier (DOI), (2) the funding metadata (if provided by the author), including funder name and grant number, in the metadata in Funder Registry (on CrossRef), (3) bibliographic citations (4) funder of the open access publication and, (4) as of 2021, the applicable CC licence.

c) Publisher is responsible for updated and clear information at the DOAJ and SHERPA/RoMEO websites.

7 Additional Information

a) Eligible Articles (Hybrid and Gold) are published online without delay and on first publication under the applicable CC licence, with Eligible Authors retaining their copyrights. Eligible Authors only grant Publisher the non-exclusive right to publish Eligible Articles (Hybrid and Gold) under the terms and conditions of the applicable CC licence.

b) Affiliation of the Eligible Corresponding Authors and funders of the research (if provided by the submitting Author) must be stated in the version of record of the articles.

c) For each Open Access Material, Publisher shall state the applicable CC licence type, including the information on which licensing terms apply to the version of record of the article. Publisher will make the relevant Open Access Material, together with the applicable CC licence, available to anyone on the open web without any requirement for authentication in order to obtain access or to download. Publisher will make the relevant Open Access Material available on its website at all times, including beyond the Subscription Period, and on a twenty-four hour basis, save for routine maintenance (which shall be notified in advance wherever possible). Publisher will restore access as soon as possible in the event of an interruption or suspension of the service. In case of prolonged and/or repeated interruption or suspension, the Licensee shall be entitled to claim fair damages and/or compensation from Publisher.

d) Publisher ensures that its server has adequate capacity and bandwidth to support access to published Eligible Articles (Hybrid and Gold) at a level commensurate with the standards of availability for information services of similar scope operating via the World Wide Web, as such standards evolve from time to time.


e) Each Eligible Article (Hybrid and Gold) shall include notice of the applicable CC license as required by Publisher in compliance with its policies for release on the open web. Publisher shall make any such policies readily and openly accessible on its website, or by other reasonable means to draw them to the attention of authors submitting any Open Access Material.

f) Nothing in this Agreement shall be taken to restrict, limit or curtail any provisions of the Creative Commons licences.

g) The parties agree to collaborate to enhance the workflow from submission to publication described herein, as well as invoicing and reporting processes. Any workflow revisions shall tend to meet all relevant and up to date parts of the “ESAC Workflow Recommendations for Transformative Agreements” available at https://esac-initiative.org/about/oa-workflows/

h) No additional service fees (e.g. colour-in-print, reprints, posters) will be charged under this Agreement. Any additional service fees will be at the discretion of, and for payment by the Eligible Corresponding Authors or their nominated bill-payer.
