Rip the Runway Amateur Model Search Contest --- Official Rules.

OFFICIAL RULESNO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN.OPEN TO LEGAL RESIDENTS OF THE 50 UNITED STATESAND THE

DISTRICT OF COLUMBIA (EXCLUDING PUERTO RICO, THE U.S. VIRGINISLANDS, AND OTHER COMMONWEALTHS, TERRITORIES ANDPOSSESSIONS), 18 YEARS OR OLDER.

1. HOW TO ENTER: This Contest begins at 6:00pm ET on January 29, 2009 andends on February 19, 2009. To enter the Contest, all contest entrants must (i)log on to www.BET.com/contests and enter the registration information (ii) readand acknowledge that they understand and will comply with these Official Rules,(iii) agree to and sign any other documentation required by Sponsor (as definedbelow) in connection with their participation in the Contest, and (iv) upload a

headshot and full body shot for the Contest on www.106andpark.com(collectively, the Submission).

The Submission must comply with the following standards:

a) Submission must include only the entrant and not anyoneelse and the entrant may not be a professional model;

b) Submission must be 100% original and not infringe upon anycopyrights, trademarks or other intellectual property;

c) Submission may not contain nudity, sexually explicit or

derogatory images; or objectionable content of any form;ande) Submission must not mock, ridicule or disparage the

Sponsor, or their products or services, or any ethnic,religious or national group, gender, or sexual orientation.

The Sponsor reserves the right, in its sole and absolutediscretion, to disqualify any entrant that violates thesestandards.

Sponsor assumes no responsibility for any computer, technical, telephone, cable,

network, satellite, electronic or Internet hardware or software malfunctions,failures, connections, availability, or garbled or jumbled transmissions, or serviceprovider/Internet/website/use net accessibility or availability, traffic congestion, orunauthorized human intervention. Sponsor reserves the right to modify, suspendor terminate the promotion in whole or in part by giving such notice, in any formand manner deemed appropriate by Sponsor. Should promotion be modified,suspended or terminated as aforesaid, the prize mayl nevertheless be awarded

from all eligible entries received prior to (or after, if applicable) the modification,suspension or termination and in accordance with these Official Rules.

2. ELIGIBILITY: PROFESSIONAL MODELS ARE NOT ELIGIBLE TOPARTICIPATE IN THIS CONTEST. This Contest is open only to legal residents

of the 50 United States and the District of Columbia (excluding Puerto Rico, theU.S. Virgin Islands, and other commonwealths, territories, and possessions) 18YEARS OR OLDER as of January 29, 2009. Employees, and their immediatefamilies (spouses, parents, children, siblings, and their respective spouses),including household members of Black Entertainment Television LLC, and BETInteractive, LLC and their respective affiliates, subsidiaries, divisions, advertisingand promotion agencies are not eligible to enter. VOID IN PUERTO RICO,OUTSIDE OF THE UNITED STATES, AND WHERE PROHIBITED BY LAW.This Contest is subject to all federal, state and local laws of the 50 United Statesand the District of Columbia. By entering this Contest, each entrant agrees torelease and hold harmless the Sponsor and its respective parent companies,

affiliates, subsidiaries, agencies, employees officers, directors, representatives,and advertising and promotion agencies from any injury, loss, death, damage,action, claim, demand or other liability that may occur from entrants participationin this Contest or from the acceptance or use of any prize awarded, orattendance at any event. Sponsor reserves the right to verify eligibilityqualifications of any winner. U.S. law governs this Contest. Sponsor furtherreserves the right, in its sole discretion, to modify these rules as necessary. Byentering, entrants agree to be bound by these Official Rules. In the event thereis a discrepancy or inconsistency between disclosures or other statementscontained in any Contest materials and the terms and conditions of the OfficialRules, the Official Rules shall prevail, govern and control. Sponsor not

responsible for any typographical or other error in the printing of the offer,administration of the Contest or in the announcement of the prizes.

3. CONDITIONS OF ENTRY: An eligible entry must be received via online asdescribed above. Incomplete entries are void. By entering, entrants agree tocomply with these Official Rules, including all eligibility requirements. To enter, yourcomputer must accept cookies, or any successor or similar technology (now knownor hereafter devised or discovered), which may be used by Sponsor for thepurposes of entry tracking and as set forth in BET.coms Privacy Policy. Entry willbe deemed to have been submitted by the authorized account holder of the e-mailaddress from which the entry is made. Proof of online submission will not bedeemed to be proof of receipt by Sponsor. Sponsor is not responsible or liable forlost, stolen, mutilated, incomplete, incorrect, delayed, late, interrupted, illegible ormisdirected entries. All entries become the property of Sponsor and will not beacknowledged or returned.

4. PRIZES: One (1) winner (the Winner) will receive an invitation to appear onBETs Rip the Runway (the Show) as the 2009 Amateur Model and prior toappearing on the Show, will have their hair and makeup professionally done, by

stylists selected by Sponsor, in its sole discretion. The Show will be taped inNew York City on February 21, 2009. The Winner agrees to (i) be in New YorkCity and to be available, at times designated by Sponsor, between the dates ofFebruary 19, 2009 and February 21, 2009 in connection with their preparation forand their appearance on the Show, and (ii) to pay all costs and other expenses in

connection with (1) their travel to and stay in New York including, withoutlimitation, airfare and accommodations, and (2) their appearance on the Show(excluding hair and make-up costs). The date of the taping of the Show issubject to change. Prize package has no cash redemption value. If Winnercannot travel on any specified dates and/or be available during the timesdesignated by Sponsor, prize will be forfeited and the prize may be awarded toan alternate winner. Winner is responsible for obtaining all necessary andrequired travel documents. For information visit the U.S. State Departmentswebsite: www.travel.state.gov. Securing and providing passport documentation,if applicable, is the sole responsibility of the Winner and his or her guest, if any.ANY FEDERAL AND STATE TAXES ON A PRIZE ARE THE SOLE

RESPONSIBILITY OF THE WINNER. No substitution or transfer of prizespermitted, except at the sole discretion of Sponsor. If prize, or any portion of aprize is unavailable, Sponsor reserves the right to substitute that prize or portionof the prize with a prize of equal or greater value. All prizes will be awarded,provided they are properly claimed.

5. DETERMINATION OF WINNERS:Phase 1: By February 13, 2009, Sponsor shall select from among all eligibleonline entries five (5) finalists (the Finalists) to compete to be the 2009 AmateurModel on the Show. Sponsor shall select the Finalists based upon their overallappearance, style and charisma, as determined by Sponsor, in its sole discretion.

Sponsor will announce the Finalists online at www.106andpark.com on February13, 2009 by 6pm ET. Sponsor may contact Finalists by phone and/or email. If aFinalist cannot be reached after a reasonable effort has been exerted, if he/she isfound to be ineligible of if he/she cannot or does not comply with these OfficialRules, said Finalist will be disqualified and an alternative Finalist may be selectedat Sponsors sole discretion.

Phase 2: The Finalists shall travel to New York City, at their own expense, toparticipate in the live taping of 106 & Park on February 19, 2009. During thetaping of the 106 & Park, the Finalists shall be required to participate inchallenges determined by Sponsor, in its sole discretion. The 106 & Parkaudience will have an opportunity to rate the performance of each Finalist. TheWinner will be chosen by a panel of judges, selected by Sponsor, during thetaping of 106 & Park.

6. GENERAL CONDITIONS: Potential winners (their parent/legal guardian ifpotential winners are residents of a jurisdiction that deems them to be minors)

will be required to sign and return any applicable documents sent by Sponsorrelated to the Contest, which may include, but are not limited to a Letter of PrizeAcceptance and an Affidavit, Waiver of Liability, Publicity and Travel Releasewithin five (5) days of notification. Failure to return documents as specified or ifprize notification is returned as undeliverable will result in entry being

disqualified, and an alternate potential winner being selected. Where permittedby law and BETs Privacy Policy, winners (except in the case of a minor) agree togrant to Sponsor and Sponsors licensees, affiliates and assigns, the right toprint, publish, broadcast and use, worldwide, in any media now known orhereafter developed, including but not limited to the world wide web, at any timeor times, the winners name, portrait, picture, voice, likeness and biographicalinformation as news or information and for advertising and promotional purposeswithout additional consideration; and further without such additionalcompensation, appear for, or provide biographical information for use in, anypresentation or other activity which may include filming/audio/video/electronic orother recordings and/or interviews as may be determined by Sponsor. Failure to

grant such rights may result in disqualification with an alternate winner orpotential winner selected. Further, by accepting a prize, winners (theirparent/legal guardians if potential winners are residents of a jurisdiction thatdeems them to be minors) agree to release and hold harmless Sponsor, itsparent, subsidiaries, licensees, affiliates, subsidiaries, advertising and promotionagencies, and their respective directors, officers, employees, representatives,and agents from any and all liability for any injuries, loss, or damage of any kindto person, including death, and property arising whole or in part, directly orindirectly, from acceptance, possession, use or misuse of a prize, participation inany Contest related activity, or participation in this Contest Odds of winningdepend on the number of eligible entries received. IN NO EVENT WILL

Sponsor reserves the right, at its sole discretion, to disqualify any individual itfinds, in its sole discretion, to be tampering with the entry process or theoperation of the Contest or Website; to be in violation of the Terms of Service ofthe Sponsors web site, to be acting in violation of the Official Rules; or to beacting in a non-sportsmanlike or disruptive manner, or with intent to annoy,

abuse, threaten or harass any other person. Any use of robotic, automatic,macro, programmed, or like entry methods will void all such entries by suchmethods. In the event of a dispute as to entries submitted by multiple usershaving the same email account, the authorized subscriber of the email accountused to enter the Contest at the actual time of the entry will be deemed to be theparticipant and must comply with these rules. Authorized account subscriber isdeemed to be the natural person who is assigned an email address by anInternet access provider, online service provider or other organization, which isresponsible for assigning email addresses email, addresses or the domainassociated with the submitted email address.

7. DISPUTES: As a condition of participating in this Contest, entrant agreesthat any and all disputes which cannot be resolved between the parties, andcauses of action arising out of or connected with this Contest, shall be resolvedindividually, without resort to any form of class action, exclusively, before a courtlocated in the State of New York having competent jurisdiction, which Court shallapply the laws of the State of New York without regards for doctrines of Conflictof Law. Further, in any such dispute, under no circumstances will entrant bepermitted to obtain awards for, and hereby waives all rights to claim punitive,incidental, nor consequential damages, or any other damages, includingattorneys fees, other than entrants actual out-of-pocket expenses (i.e., costsassociated with entering this Contest), and entrant further waives all rights to

have damages multiplied or increased.

8. WINNERS LIST: For a list of prize winners, available after March 19, 2009,mail a self-addressed stamped envelope to: Rip the Runway Amateur ModelSearch Contest to BET Interactive, LLC, 1540 Broadway 27th Floor, New York,NY 10036. Washington and Vermont residents may omit return postage whenrequesting list of prize winners.
