Seotrrity Trust were and continue to be a syndlcate of financiers (the Lenderc)
who are parties to a Subocription Agreementwiüt, among others, the Companles
dated 23 May2006.
3. The principal asset of the Companies ls he rlght to operate and toll a 6.8 l<ilometre
tollroad including trvin, turolane 4.8 kllomete tunnels, known ae the CLEMT
Motorway. Construction of the motonrvay was completed in early 2010 at a total
cost of almost $2bn.
4. Exceptwhere otherwise indicated, in whlch case I state the source of my
knowledge, I make üris affidavit from my own knowledge and from a review of the
books and recorde of the Companies.

6. As receiver¡ and managert, Vr Merryweather and I ere in the early stages of
. considering rrarious optlons and süategiee for selling the business and assets of
the Gompanies or reatructuring the Companies'debt. Mr Merryweatherand I
considerthat the buslnese and assets of lhe Companies must be sold as a going
conoem, in order to maximlse the sale price and also to preserve the jobs of
employees and maximise the potentlalreturn to creditors.
7. ln my experlence as recsiver and manager of slmllar lnfrastructure assets (the
Cross Clty Tunnel and the Lane Cove Tunnel in Sydney), the rralue that a
purchaser is prepared to pay for the Companies will be determlned by flnancial
modelling þased on data relaling to taffic volumes and toll charges. Purchasers
will dlscount value to allow forany uncertainties in the forecastlng of trafñc
numbers. As the accuracy of üaffic forecasts improves (having regard lo historic
tnaffic volume data), the discount will reduce. ln my view, for a numþer of reasons
the accuracy of ûaffic forecastg will lmprove, as actual trafflc over the comlng
months is observed, and therefore the prospect of achleving a better price and an
lmproved retum to creditors will increase, if úre asset continues to operate and a
sale process is delayed for a perlod of time. The reasons lndude the followlng:.
(a) the CLEMT tunne.l operated by the Companles first opened to traffic ln
March 2010. From my experlence as receiver and manager of the Cross
City Tunnel and the Lane Cove Tunnel, my understandlng and belief is that
the flrst 18 months of operation of an urban tolled tunnel is a 'ramp up"
perlod during which usage patterns develop and tolllng is lntroduced. The
tunneloperated free of tolls untilApril2010. From 6 Aprllto 30 June 2010
the toll prloe for cars was S2.95. From 1 July to 14 Novembor 2010 that
price was $2.00 and since 15 Noræmbei,r 2}10the price for cars nas been
, $3.00. At the end of the'ramp up" period it is expected that usage pattems
wlll stabillse such that future baffic volumes will be able to be forecast wlth
a greater degree of accuracy;
(b) From my prlor experience a{¡ Receiver of the Lane Cove Tunnel and the
Gross City Tunnel, lt takes a perlod of time to stabilise the traffic follouring
opening and thls impads the r¡alue oonclu¡ions of potentlal buyers. Lañe
Cove Tunnel and Groes CltyTunnelwere sold approximately three years

and two years respeclively after opening wnen trafflc ramp up uvas
achleved.
(c) The traffic ramp up pattem has been recenüy impacted by the f,ooding in
Queensland adding further uncertainty to assumptions underlyng lhe long
term forecasts.
(d) lt is also intended that the toll charges for use of the CLEMT tunnel wlll be
increased durlng 2011. Prospective purchasers (or tnaffic consultants
engaged by them) typlcally require several months of traffic data following
the toll increases in order to accurately assess the impact of lhe toll' increases on trafñc volumes and profitability and hence the value of the
tunnel;
(e) the tsrlsbane nirport Link project, whlch ls cunenüy under construction,
wl.ren completed wilf connectwith the CLEMT tunnel. The prospectus
issued by the Companies ln 2006 noted that Airport Link was expected to
enhance the amenlty of the tunnelto motorists by providing a direct
connection to Brisbane's air and seaports and that strong groufft was
forecast on the six mafor arterial roads to Clem 7 (lncluding Airport Llnk
when opened). The "BrisGonnections consortium'that is responsible for
constructlon of the Airport Link has stated that the project is scheduled for
completion ln mkl-2012 and that tñe design and construcüon elements of
the prdec{ are operating to schedule. A tn¡e copy of a printout from he

this lnformation i$ at Tab 1 of the Exhlblt. lt is expected that prospectlve
purchasers (or tafñc consultiants engaged by them) wlll requlre several
monthe of traffic data followlng the openlng of the Brisþane Airport Link in
order to accurately assess the lmpact of the inorease in trafflc volumes and
the profltrabllity of the Gompanies
(f) The management forecast prepared in late 2010 included an increase in
traffic of more han 10% following the openlng of Alrport Llnk (the precise
figure ls æmmerdally sensitive and confidential).
For the above rsasons, the Receivers' present vlew ls that the sale prioe and the
retum to creditors is likely to be maximised by waiting for up to 16 rnonths before
commencing a sale proooss or a debt reshucttlre.
lf and when a sale process is commenced, the Receivers anticipate engaging an
investnent bank to asslst ln managirB that prooess and promotlng the business

and assets of the oompany lntemationally. Once a preferred bidder is setected,
further time will be requlred to negotlate the tenns of any sale. I estimate that
marketing, negotiatlng a¡d document¡ng the sale is likely to take around 5 months
trom the commencêrnent of lhe sale process.
lmportance of maintaining flexibllþ ln structure of sale
10. Potenüal purchasers of the Companies may be lnterested in utllising a Deed of
Company Anargement structure to acqulre the çompanies' business and assets.
Such a transaotion woulÇ involve a sale of shares in the Companles, including as a
condltlon precedent to a sale that each of the Companles enter into a Deed of
Company Anangement(a DOCA såare sale).
11. A DOCA share sale may provide potential bidders with certain advantages
lncluding cost savings (by avoldlng the need to assign or novate contracts with
suppliers and customers) and potentlaltax advantages. The cost savlngs and tax
adrrantages may result iri a higher bid from potentlal bldders who opt for a DOCA
share sale as compared to the bld thatwould be submitted by those potential
þidders if a DOCA share sale was not availabls.
12. To my knowledge, no proposal that the Companies enter into Deeds of Company
Anangement has been receiræd by the administnators of the Companies to date. ln
the absence of a proposal that the Companles enter into Deeds of CoDPanY
Anangement prior to the second creditors meeting, those meeüngs will either
result ln a retum of control of the Companies to thelr dlrectors (who have all
resigned) or the appointment of a liquidator.
13. lf the Companles are placed in liqu'xlation ftis mgy impact on customer conüacts,
custorner retention and qmployee retenüon, and have adverse tax and stamp duty
consequences, potentlally reducing the retum to creditors.
14. To date, most suppliers to the Companies have refralned from terminating their
contracts on the basls of termination events that were tflggered by the appolntment
of administrators and the Receivers. However, the appolntment of a llquldator will
trigger a further termlnatlon event in a number oi conhacts wllh suppliers. This
may result in additiona¡ iosts belng incuned, including fte cost of the Receivers
tlme spent persuading suppliers not to terminate their confacts.
15. lf a llquidator ls appolnted before final blds are received and a DOGA share sale is
the prefened bid, a liquidator mþht consider it appropriate to appoint
admlnlstrators to the Companies at that stage. How6wr, thls would mean that tlre
process would need to be recommenced and the first and

second creditors rneeting hold agaln. Suoh a eourse would involve additional
professionalfees whlch would not be incuned lf üe Companies remain in
administration whlle the sale procôss proceeds. ,Such a courso would also involve
additional delay while thg fkst and second credltors meetings took plaoe wlrich
may rlsk delaylng completion of the sale transaction.
Etrocts of adminlstratlon contlnulng
16. As part of maint¡alning the business of the Companies as a golng concem, üte
Receivers are paying all'fade', lease and employee qeditors in the normalcounse
of þuslness durlng the receiwrship and our pregent intention ls to cont¡nue doing
so. All amounts due and payable to those credltors prlor to the Receivers'
appointment have been pald slnce our appointnent.
17. The Receivers arre also causlng the relevant Companies to comply with their
obligations to Brlsbane Clty Councll under the Proiect Deed between Brisbane City
Councll, River0ity Motorway Pty Limited and Rlver0lty Motorway Asset Nominee
Pty Limlted daled24 Mai2006 (the ProJect Defd0 and r¡ve intend to conünue to
çausô the relevant Gompanies to complywith thoee obllgatlons.
1'S. The continuation of the administration for a period is unlikely to cause the
Companies to lncur additional costs (such as additional interest payable to the
Lenders) whioh would not be incuned in any event if the Gompanies are placed in
liquidation, Acærdingly,.it is unllkely that the continuaüon of the administratlon wlll
adversely atrect the amount wtrich unsecured creditors would recelve in any
subsequent dlsfibution under a liquidation.
19. On 7 March 2011 the Recoivers and the adminisFatorc recelwd a letterfrom
Mirvac Capital Pty Limited (as trustee for üe Cannon Hlll Property Trust) (lllruac),
the Lessor of a propertyat 19 Corporate Drlve, Cannon Hill which is leased to
RiverCity Motonray Pty Limited (one of the Companiesl(lhe Propertyl. ln the
letter, Min¡ac:
(a) referred to the appointment of an administratqr and lhe Receivers and
stated that the appointments constltuted events of defaultforthe purposes
of chuse 15.1 of the lease of the property (the Leace):
(b) purported to give rotice to remedy the defaults withln 14 da!¡s; and
(c) ' reserved allof its rights in relation to the Lease.
20. The admlnlstrators replied to the above letter on 14 March 2011 stating that they
were not in a poEitlon to remedy the relerrant events of default. True copies of the

letter from Mirvac dated 7 March 2011 and the letter from the admlnlsbators dated
14 March 2011 are at tab 2 of the Exh¡blt.
It is not clearwhether Mirvac intends to termlnate the lease and take possession of
the Property at the concluslon of the adrninistration of the Companies.
The Gompanies have paid all rent that is due to date underthe Lease. True
oopies of the last three monthly invoicss issued by Minrac togetherwlth
conespondlng payment summaries evidencing payment of the amounts invoiced
are attaþ 3 of the Exh¡bit, The Receivers lntend to continue to cause the
Companles to pay rent as and when lt falls due.
The Property is used as the call centre for the buslnesses operated by the
Companies includlng lhe'Flou/'tolling buslness wfi¡ch canios out customor
service and'tolling for the CLEMT motorway and another sectlon of motoruay' known as the "Go Between Bridge" wlrlch is operated by Brlsbane City Council.
The call centre operated at the Property is substantial involving the use of around
60 workstations. Approximately 60 people employed by FlowTolling Pty Ltd and Ipeople employed by River0ity Motonray Pty Limited work atthe Property. The
tolling systems are the prlmary sourco of revenue for the Companies and the
contlnuing operation of the call cðnfe is of critical lmporùance in sustaining the
tolling systems and a requirement of Briebane City Council under the Project
Deed. lf the Companles fall to maintain the call centre procedures thls ls llkely to
lead to an Event of Default underthe Project tþed.
lam lnformed bytne Cn¡ef FinanclalOfficer of the Companies that relocatlng the
call centre would be a costly and time consumlng process. ln partlcular, I am
informed by the CFO that:
(a) ln order to operate, the call centro requlres a dlrect "dark fibreo connection
with the data centre operated by the Conipanies. lt is estimated that the
cost of installlng á new connection to a new call centre would requlre
around 40 days notice and would æst up to $350,000;
(b) if it is necessary to relocate the call centre to an area in Brisbane that is not
within the Cannon Hill postcode it is expec.ted that the maJorlty of existing
statrwlll not relocate. Thls wlll result ln sþnificant recn¡itment and training
costsfor new staff.
(c) because of the flt out requirements of the call cente (including 60 work

servioes) üre process of finding a suitable properly could take up to 12
weeks and furûrertime may be taken to installan appropriate fit-out.
(d) lhe total cost of relocatlng the call centre to another property in the Cannon
Hlllarea (le. excludlng the retraining costs refened to in 24{b) aboro) is
estimated at approximately $600,000 to $700'000 and could take between
26 to 54 weeks.
25. A true copy of a memorandum t have received frbm the Chief Financial Officer of
the Companles ls at tab 4 of the Exhib¡t
26, For the above reasons, any attempt by Mirvac to seek possession of the Prcperty
gt the concluslon of the adrninlstration would slgnllloanüy lmpact the Receivers'
abllity to oontinue to trade the Companles' buslness and to obtain the best possible
reh¡rn for the Companies' credltors. Both of these objectives uould be supported
by an exterrsion of the administration due to the moratorlum under section 440C of
the CorporatlonsAct.
27. For the reasons set out above, the Receivers support the Applicants' application
for an extenslon of the convening period under s 4394 anö s 4474 of the
Cryorations Act.

The replaoement and training costfor new staff has not beenfactored lnto the follonring estlmate of relocation costs. Each new emptoyee requires a mlnlmum of onewsek's tralnirq and it then takes at least three months to become profioient. Some speclallst areaswor¡ld requlre a longer trainlng period.
ln searchlng for a new prop€rty to lease lt would be necessary to look for an area that is predominätely
open plan with no more than three offices and three meeting rooms. ln the cass where a potentlal
location is identified that does not contain sufficient open plan area lt will be neceooary to removeexisting fitout. This cost has not bqgn included in the estimates below.
