FOREWORD

1. Digital advertising is a new and rapidly growing communications medium which offers a range of exciting ways to engage with customers, increase sales and enhance brand awareness.

2. As part of the first phase of the renovation of the Port Louis Waterfront, Landscope (Mauritius) Ltd is leasing out advertising spaces to Advertisers at several key locations, for the installation of digital screens, more specifically in the South Underpass and on facades of Coaster Shed.

Landscope (Mauritius) Ltd hereby invites Advertisers to submit Technical & Financial Proposals for the installation of digital advertising screens.

3. The selection of the Advertiser will be carried out in line with established criteria, more fully described in the Instructions to Applicants.

4. The RFP includes the following sections:

5. Proposals from potential Advertisers must be addressed to the Chief Executive Officer, and deposited by hand, post or by courier in the Bid Box located at 7th Floor, Wing A, Cyber Tower 1, Ebène Cyber City, Mauritius not later than 15.00 hours (local time) on Wednesday 12th September 2018.

The envelope should be clearly marked “Procurement Reference: LM/PL/AG18/76”.

Proposals received after the set deadline or submitted by email or fax will not be considered.

A. INSTRUCTIONS TO APPLICANTS

A. GENERAL

1. Scope of Application 1.1. Landscope (Mauritius) Ltd, referred to hereinafter as “LM” or “Landscope”, is inviting Proposals from prospective applicants (“Applicants”) for the installation of digital advertising screens.

1.2. The successful Applicant will be required to supply, install, operate and maintain the digital advertising screens and associated IT infrastructure and content management system to align with his intended project over the lease period.

1.3. Applicants are required to read carefully the contents of this document and to provide the required information, as per Section B: Returnable Schedules, so that capabilities of the Applicants can be fully assessed.

1.4 Applicants are required to formally inform LM, not later than 4th September 2018 of their intention to submit proposals by writing to:

2. Eligible Applicants 2.1 Applicants shall meet the eligibility criteria as mentioned below:

2.2 The Applicant may be a single entity or a group of entities (the “Joint venture or Consortium”), coming together to implement the Project. However, no applicant applying individually or as a member of a JV/Consortium, as the case may be, can be member of another Applicant JV/Consortium. The term Applicant used herein would apply to both a single entity and a JV/Consortium.

2.3 Any existing JV/Consortium shall be required to submit a Memorandum of Association before the submission Due Date.

Any proposed JV/Consortium with the intention to enter into an agreement to form a JV/Consortium shall submit a letter of intent certifying same by an Attorney.

2.4 An Applicant shall not have a conflict of interest (the “Conflict of Interest”) that affects the RFP. Any Applicant found to have a Conflict of Interest shall be disqualified. An Applicant shall be deemed to have a Conflict of Interest that affects the RFP, if a constituent of such Applicant is also a constituent of another Applicant.

2.2 In the case of a JV or Consortium, all members shall be jointly and severally liable for the execution of the Contract in accordance with the Contract terms. The JV or Consortium shall nominate an authorized representative who shall have the authority to conduct all business for and on behalf of any and all the members of the JV or Consortium during the bidding (in the event the JV or Consortium submits a bid), negotiations, contract signature and during the term of the lease agreement (in the event the JV or Consortium is awarded the Contract).

2.3 An Applicant shall provide such evidence of eligibility satisfactory to the Evaluation Committee as the latter shall reasonably request.

For the purpose of applying the eligibility criteria, references to the “Applicant” include all entities involved or intended to be involved with the proposed business activity (including all partners and any of their affiliates that directly or indirectly control, or are controlled by or are under common control with the firm), specialized sub-contractors, consultants, manufacturers or suppliers and the personnel of each, for any part of the contract including related services.

3. Clarification of Request for Proposals

3.1 A prospective Applicant requiring any clarification or further information on this Request for Proposals shall contact the Chief Executive Officer of Landscope (Mauritius) Ltd either by email or in writing at the following address:

LM will respond in writing to any request for clarification provided that such request is received no later than seven (7) days prior to the deadline for submission of the proposals. LM will forward a copy of its response, including a description of the inquiry but without identifying its source, to all prospective Applicants who

have formally downloaded the Request for Proposals document from LM’s website.

Should LM deem it necessary to amend the Request for Proposals as a result of a clarification, it shall do so by issuing an Addendum. Any Addendum issued shall be part of the Request for Proposals and shall be communicated to all prospective Applicants who have obtained the Request for Proposals from LM.

To give prospective Applicants reasonable time to take an Addendum into account in preparing their proposals, LM may, at its discretion, extend the deadline for the submission of proposals. Any such extension will be formally notified by LM through e-mail or by post or through a press communique.

Applicants are encouraged to submit their respective proposals after ascertaining for themselves the site conditions, location, surroundings, applicable laws and regulations, and any other matter considered relevant by them.

4. Cost of Proposals & Bond

4.1. The Applicant shall bear all costs associated with the preparation and submission of its proposal. LM will, in no case, be responsible or liable for those costs or any other costs linked to the preparation and submission of its proposal, regardless of the conduct or outcome of the Request for Proposals process.

4.2. Each Applicant shall submit as part of his proposal a Bank Guarantee of an amount of MUR 25,000 - (Mauritian Rupees Twenty Five Thousand only) in favour of "Landscope (Mauritius) Ltd" payable in Mauritius representing a security bond to support his proposal.

LM will retain the money as an advance payment for the lease instalment of the successful Applicant and which amount will be offset against the first instalment.

The selected Applicant will forfeit the security in case he decides not to proceed with the project implementation after he has been officially notified of the award of the Lease.

Unsuccessful Applicants will be notified promptly of the outcome of their proposals. The Bank Guarantee of MUR 25,000 will be returned to unsuccessful applicants.

5. Language of Proposals

5.1. The proposal as well as all correspondence and documents relating to the Request for Proposals exchanged by the Applicant and the LM, shall be written in English.

6. Documents Comprising the Proposals

6.1 The proposal shall be submitted along with a covering letter together with the required supporting documents on the letterhead of the Applicant/Consortium/JV/Authorized person or Agent together with each page of the Document duly signed by the head or authorized signatory of the Applicant/JV/Consortium under a seal.

6.2 Where an application of participation is raised by a JV/consortium, the application is applicable for all members of the JV/ Consortium.

If, at any time after acceptance of the proposal submitted by a JV/Consortium, one of the members of the JV/Consortium leaves the JV/Consortium, the proposal will remain applicable to the remaining members of the JV/Consortium, provided that the exiting member holds minority interests in the JV/Consortium.

B. SUBMISSION OF PROPOSALS

7. Sealing and Identification of Proposals

7.1 The Applicant shall enclose one (1) original, three (3) hard copies and one copy on CD or USB drive of his proposal in a sealed envelope that shall:

(a) bear the name and address of the Applicant;

(b) be addressed to LM, and

(c) bear the specific identification of this RFP: “Request for Proposals to Lease Space for Digital Advertising Screens - Procurement Reference: LM/PL/AG18/76”

7.2 The original proposal shall contain no interlineations or overwriting, except as necessary to correct errors made by the Consultants themselves. The person who signed the proposal must initial such corrections.

7.3 An authorized representative of the Applicant shall initial all pages of the original proposal. The signed proposals shall be marked “ORIGINAL”.

7.4 The Proposal shall be marked “ORIGINAL” or “COPY” as appropriate. The Proposals shall be sent to the address referred to in paragraph 8.1. All required copies of the Proposal are to be made from the original. If there is any discrepancy between the original and the copies of the Proposal, the original shall govern.

7.5 The original and all copies of the Proposal shall be placed in a sealed envelope clearly marked “TECHNICAL & FINANCIAL

PROPOSAL” followed by the Procurement reference number and the name of the RFP.

The sealed envelope shall bear the submission address and reference number, and be clearly marked “DO NOT OPEN, EXCEPT

IN PRESENCE OF THE BID OPENING COMMITTEE, BEFORE WEDNESDAY

12TH SEPTEMBER 2018 AT 15:00 HOURS (LOCAL TIME)”.

The Client shall not be responsible for misplacement, loss or premature opening if the outer envelope is not sealed and/or marked as stipulated.

8. Deadline for Submission of Proposals

8.1 Applicants may either submit their proposals by post, courier or by hand. Proposals shall be deposited in the Tender Box at the following address:

Deadline: Not later than 15 00 hrs local time on Wednesday 12th September 2018.

8.2 LM may, at its discretion, extend the deadline for the submission of proposals by amending the Request for Proposals, in which case all rights and obligations of LM and the Applicants subject to the previous deadline shall thereafter be subject to the deadline as extended.

C. PROCEDURES FOR EVALUATION OF PROPOSALS

9. Confidentiality 9.1 Information relating to the proposals, their evaluation and results shall not be disclosed to Applicants or any other persons not officially concerned with the Request for Proposals process until the notification of Request for Proposals results is made to all Applicants.

10. Clarification of Proposals

10.1 To assist in the evaluation of proposals, LM may, at its discretion, ask an Applicant for a clarification (including missing documents) of his proposal, to be submitted within a stated reasonable period of time. Any request for clarification from LM and all clarifications from the Applicant shall be in writing or through email. In any case, the clarification sought will not impact the price quoted, which will remain unchanged.

10.2 If an Applicant does not provide clarifications and/or documents requested by the date and time set in LM’s request for clarification, his proposal shall be evaluated based on the

information and documents available at the time of evaluation of the proposal

11. Responsiveness of Proposals

11.1 Prior to evaluation of proposals, LM shall determine whether each proposal is responsive to the requirements of the RFP.

A proposal shall be considered responsive only if:

a) it is received by the due date and time;

b) it is signed and sealed;

c) it contains all the information and documents as requested in this RFP and Schedules;

LM reserves the right to reject any proposal which is non-responsive and no request for alteration, modification, substitution or withdrawal shall be entertained by LM in respect of such proposal.

12. Evaluation of Proposals

12.1 Evaluation Committee

For the purpose of selecting the successful Applicant, an Evaluation Committee will be set up by LM and will comprise officers having special or specific expertise in finance, administration, project management, procurement and other technical aspects that are the subject of this RFP.

12.2 The Evaluation Committee shall use the criteria defined in 12.5 below to evaluate the proposals of the Applicants.

The Evaluation Committee reserves the right to waive minor deviations from the evaluation criteria if they do not materially affect the technical and financial capability of an Applicant to undertake the supply, installation, operation and maintenance of the digital advertising screens, associated IT infrastructure and content management system.

12.3 LM reserves the right to split the award of contract for the lease of advertising space to one or more Applicants, without thereby incurring any liability to the Applicants.

12.4 Evaluation procedure and selection of Applicants will be based on the information submitted in their proposals and any oral presentations and/or demonstrations.

Applicants should respond to all requirements of the RFP. Failure to respond completely may lead to rejection of a proposal, where it amounts to a major deviation.

12.5 Evaluation Criteria and Weightage

The proposals will be reviewed first to determine if the main required features of the RFP have been met. Failure to meet any major requirement will result in the proposal being rejected.

Both the Applicant and any or all members of any consortium or subcontractors identified by the proposal requirement will be evaluated on these criteria. The determination of what constitutes a major or minimum requirement of the RFP or a major deviation therefrom rests solely on the interpretation and assessment of the Evaluation Committee which is a binding condition on the Applicant, not open to challenge by any Applicant once a proposal has been submitted.

Proposals will then be assessed and ranked using the following criteria:

20% - Technical proposal for the overall project concept and business activity

15% - Ability of the Advertiser to fund, complete and operate

the digital advertising screens, associated IT infrastructure and content management system

15% - The Advertiser’s relevant qualifications and experience in the development, installation and operation of a digital advertising scheme

50% - Financial Proposal

12.6 Presentation of Project proposal

Applicants will be required to make an oral PowerPoint presentation to the Evaluation Committee of the proposed project concept.

Once the award is made, the successful Applicant shall not deviate significantly from the concept of the initial reference design without the written approval of LM.

12.7 Notification of Contract Award

Once proposals have been evaluated, LM will notify the successful Applicant of the award of the Contract. All unsuccessful Applicants will be notified of the outcome promptly.

LM reserves the right to retain, without having to launch another RFP, a “Second Most Responsive” Applicant for consideration in

case the successful Applicant is unable to accept the contract for whatever reasons.

13. Right to Split the Award

13.1 LM reserves the right to award the contract in whole or to split the contract between one or more Applicants without thereby incurring any liability to the Applicants.

14. Right to Accept Any Proposal and to Reject Any or All Proposals

14.1 LM reserves the right to accept or reject any proposal or to annul the bidding process and reject all proposals at any time prior to Contract award, without thereby incurring any liability to the Applicants.

2.7 Technical capacity

The Applicant shall demonstrate that he has the necessary technical capacity to execute the project. For this, the candidate shall submit and/or establish the elements below.

2.7.1 Composition of Applicant’s Team & Organizational Chart

The Technical Proposal shall include the following elements:

The composition of any JV/consortium and that of their subcontractors;

The skills held by the main members of his project team or consortium and, as far as practicably possible, that of their subcontractors/service providers for covering the whole of the specialization required for the execution of the project.

An organizational chart describing the internal structure of his firm or consortium.

2.7.2 References/Past Experience

The Applicant shall include a list of projects, of a similar nature to the proposed project concept, undertaken by him or the individual members of his Consortium during the last five years.

The Applicant shall in this case demonstrate the capability that he would be able to, during the term of the Lease, undertake the necessary means to execute the proposed project, especially by ensuring the engagement of

those entities to provide the necessary services for the successful operation of the intended business activity.

For the avoidance of doubt, within a JV/consortium, the above references may be provided in respect of any member(s) of the consortium and shall be deemed to benefit the entire JV/consortium.

SCHEDULE 3: FINANCIAL CAPACITY

ITEM INFORMATION

3.1 Financial Capacity

The Applicant shall demonstrate that he holds the financial capacity for the execution of the project and for ensuring its capital and operational commitments without posing a financial risk for the project. For this, the Applicant shall submit and/or establish the following elements:

The annual accounts of the last three (3) years of the applicant or members of the JV/consortium, as well as any other useful documents evidencing that he possesses the required financial capacity/funds to implement the project without leading to a financial risk for its successful completion.

The Applicant shall prove to the Evaluation Committee that his proposed project is viable, by submitting details related to:

o Proposed capital investment

o Project funding: equity, loans, strategic partners, or other sources to be specified

o 5-year Projected P&L and Cash Flow statements

o Details of any financial forecasts and/or models in support of the project viability, which may be available

C. TERMS OF REFERENCE

1. THE CONTEXT

The renovation of the Port Louis Waterfront is part of a master plan to develop leisure, entertainment, retail and hospitality facilities offered by a regenerated Waterfront on one side, with heritage and cultural activities within the buffer zone of Aapravasi Ghat World Heritage Property on the other side.

The objectives of this integrated development are namely to:

a. Trigger and exploit the potential economic and cultural benefits generated by blending heritage and cultural activities with leisure, retail and hospitality facilities offered by the waterfront.

b. Develop cross-linked opportunities across different economic sectors namely leisure, retail, hospitality by setting up a cultural and leisure district.

c. Foster the emergence of a new breed of entrepreneurs revolving around local cultural and heritage values and local traditions.

d. Attract cultural tourism based on the heritage and cultural environment of the Aapravasi Ghat World Heritage Property and channel tourists to the waterfront.

e. Develop and strengthen the cultural image the capital city of Port Louis.

2. THE OPPORTUNITY

It is within this context that Landscope (Mauritius) Ltd (hereinafter referred to LM) is issuing this Request for Proposals to provide interested Advertisers with sufficient information to enable them to prepare and submit Technical and Financial Proposals for the lease of advertising space for the installation of digital advertising screens.

The Port Louis Waterfront is linked to the Central Business District by two underpasses, the North Underpass near the Central Market and the South Underpass serving both the Coaster Shed and Caudan waterfront facilities.

A first phase development is currently under way, which comprises the renovation of the Coaster Shed, the Esplanade and the South Underpass. The Coaster Shed will boast twelve retail shops and a food court with eight food outlets offering a diversity of cuisines: Indian, Chinese, Mauritian, Turkish, Italian, pastry and Grill. Two movie theatres, with a total capacity of six hundred will operate on the first floor of the Coaster Shed, in addition to a renowned hair salon and beauty parlour. The Esplanade will be refurbished and will be purveyed with kiosks, children playground, extensive green areas and shading and water features.

The next phase of development, comprising the renovation of Astrolabe and construction of a building over the North Underpass is scheduled to start in early 2019 and completed before the peak season in October 2019.

Simultaneously, the heritage buildings (Granary, ex-Military Hospital and adjoining buildings, Parcel Post) within the buffer zone of the Aapravasi Ghat World Heritage Property will be rehabilitated to house museums, art galleries, boutique hotel, restaurants and tourist-related facilities and services.

3. KEY COMMERCIAL TERMS

Landscope will lease the advertising space to the selected Advertiser under the following main terms and conditions being:

i. BUSINESS SEGMENT

The Advertiser undertakes to engage advertising in the business segment for which he has been selected and any change in business segment will require prior authorisation by Landscope (Mauritius) Ltd during the term of the lease.

ii. TERM OF THE LEASE

The lease shall be for an initial lease period of 10 years renewable on new terms and conditions that may be agreed upon by LM and the selected Advertiser.

iii. LEASE PRICE & REVISION

An annual lease of advertising space land and buildings, subject to revision every two (2) years.

iv. OPERATING COSTS

In addition to the lease of advertising space, the selected Advertiser will have to bear the operating costs relating, but not limited to the maintenance of digital screens and associated electrical/data installations.

v. CONSUMPTION CHARGES

The Advertiser shall also pay all consumption charges related to electricity and data consumed by the Advertiser which are directly attributable to the operations of the digital advertising screens, as metered by the relevant utility organizations or LM.

vi. DEPOSIT

The Advertiser shall pay a 3-month deposit equivalent to 3 months’ rent at the time of signature of the Agreement and will forfeit the deposit in case he decides not to proceed with the project implementation.

vii. TIMEFRAME FOR IMPLEMENTATION

The Advertiser will have to start the installation works within one (1) month of the signature of the Agreement and start operations of the digital screens by October 2018.

Any phasing of the installation and operations will have to be agreed with Landscope (Mauritius) prior to the signing of the Agreement.

viii. OBLIGATIONS OF THE ADVERTISER

The obligations of the Advertiser under the Agreement (to be drafted) are essential

conditions for the successful and continued operations of the digital screens. If the

Advertiser fails to fulfil any one or more of such conditions through its entire fault,

Landscope (Mauritius) Ltd shall have the right to rescind the Agreement as of right in case

such condition or conditions have remained unfulfilled following an agreed delay after a

notice has been served on the Advertiser

In such a case where the Agreement is rescinded on the grounds mentioned above, the Advertiser will have no right to any damages of whatsoever nature from Landscope (Mauritius) Ltd.

4. COMPLIANCE WITH LAWS AND REGULATIONS

The Advertiser shall apply and obtain all applicable or prescribed licenses, permits and clearances from the relevant authorities, and comply with laws, regulations and guidelines in force in Mauritius, prior to the start of installation and operations of the digital screens.

The layout plans, elevations and sections of the leased advertising space are given in Annex A.

D. GENERAL CONDITIONS

LIMITED PURPOSE AND CONTEXT OF THE ‘REQUEST FOR PROPOSALS’

Information has been provided in this RFP document to assist Applicants in formulating their proposals but Applicants are expected to undertake their own independent investigations, review and analysis of the buildings and infrastructures within the Waterfront.

This RFP document does not purport to contain all of the information that Applicants may require to prepare their proposals but must rely on their own investigations, review and analysis.

NO WARRANTY

Landscope is of the opinion that all materials in this RFP document is accurate but makes no warranties, regarding its accuracy or completeness. Applicants are advised to undertake their own review and form their own opinion when elaborating their development proposals.

ACKNOWLEDGEMENT AND DISCLAIMER

Unless otherwise specified herein, the lease of advertising space at Port Louis Waterfront, following this RFP, shall be governed, controlled and administered by Landscope (Mauritius) Ltd.

It is expressly provided that the submission of a proposal pursuant to this RFP document, cannot be deemed that the lease for advertising space has been accepted by Landscope (Mauritius) Ltd in as much as the Landscope (Mauritius) Ltd reserves the full right to reject a proposal without the obligation to assign any reason for doing so.

In no event, shall Landscope (Mauritius) Ltd be liable for any special, incidental, indirect or consequential damages of any kind, or any damages whatsoever including any liability, arising out of or in connection with this Request for Proposals or as a consequence of the non-obtention of any permits and clearances required or for any other reasons in furtherance of the realisation of the project.

Landscope (Mauritius) Ltd makes no express or implied representation as to the completeness of the information contained in this RFP, that any estimate or planned development will be achieved, with regard to future revenues, operating costs and profitability of the Applicant’s proposed development.

Landscope (Mauritius) Ltd expressly disclaims all liability arising from information contained in or omitted from this RFP or otherwise provided to an Applicant. It is the responsibility of Applicants to obtain all information necessary for the preparation of their Proposals. In submitting a Proposal, each Applicant acknowledges that it has not relied solely on the information contained in this RFP, or otherwise provided to an Applicant by Landscope (Mauritius) Ltd.

NO CONTRACT

This RFP document is not a contract. No legal or other obligation will arise between any Applicant and Landscope (Mauritius) Ltd unless and until a formal Agreement is entered into.

This RFP document does not constitute an offer in relation to the lease or other arrangements with respect to the advertising space at Port Louis Waterfront.

APPLICANTS COSTS

All expenses and costs incurred by an Applicant in connection with this RFP, including preparing and submitting a Proposal, providing Landscope (Mauritius) Ltd with additional information, attending meetings or presentations and participating in any subsequent negotiations, shall be borne by the Applicant.

JOINT SUBMISSIONS

A Joint Submission (Consortium) must specify the structure and membership of the consortium, the role of each consortium member in responding to this RFP, and the extent to which each consortium member guarantees the performance of each other consortium member's role.

SECURITY, PROBITY, RISK AND FINANCIAL CHECKS

Landscope (Mauritius) Ltd reserves the right to perform security or financial checks in relation to the Applicant, its officers, employees, partners or related entities, including consortium members and their officers or employees if applicable.

These checks may include ascertaining risks associated with each Applicant in relation to:

i. financial viability;

ii. corporate history;

iii. significant litigation (past, present or pending);

iv. past performance;

v. experience, qualifications and skills of resources; and

vi. other issues

Each Applicant agrees to provide, at its own cost, all assistance to Landscope (Mauritius) Ltd accordingly.

PROPOSALS TO BE LEGIBLE

Applicants shall ensure that proposals are clear, concise, complete and relevant and any information deemed unclear or illegible may be discarded from the evaluation process.

PUBLIC STATEMENTS

Applicants must not make any public statements in relation to this RFP or any subsequent agreement arising out of this RFP without Landscope (Mauritius) Ltd’s prior written consent.

Landscope (Mauritius) Ltd will not unreasonably withhold its approval in the event the Applicant is required by Law to disclose information.

CONFLICT OF INTEREST

Applicants must include in their proposal details of any known circumstances that may give rise to an actual or potential conflict of interest with Landscope in responding to this RFP.

If at any time after the proposal is submitted to Landscope (Mauritius) Ltd, an actual or potential conflict of interest arises, the Applicant must immediately notify Landscope (Mauritius) Ltd in writing. In its absolute discretion, Landscope (Mauritius) Ltd shall take all necessary actions to resolve such conflict of interest, reject the proposal submitted by such an Applicant, or take any other action as it considers appropriate.
