Then you can: A Select a topic from the topic tree via the left navigation menu. No searching needed. B Return to a recently viewed document. C See what M&A documents have been added recently. D Search using specific words or concepts via the red search box. e Select My Workspace (above the red search box) to open work folders, manage alerts

or move to your M&A history.

Select a topic or subtopic and view practical guidance, forms or analytical material—all content types on one screen for easy access

Select a topic from the topic tree. For example, under Public Company Mergers & Acquisitions, you select the link for Understanding, Negotiating and Drafting the Public Merger Agreement.

Once you select a topic, your default view is Snapshot. The Snapshot view compiles the top relevant documents for each content type. Move directly to a document to begin reviewing or drafting. Each time you view another topic or document, a subtab opens at the top of the screen so you return easily to any portion of your research.

You can also expand and collapse content types. Just click the down arrow next to the content type.

Once you select a task, you can click View All and display all relevant documents for that content type. The Work Folder icon reminds you which documents have been saved to your folders. And the binoculars icon marks documents you’ve already reviewed.

Interactive M&A forms—with practical guidance and notes at your fingertips

Start drafting as quickly and effectively as possible. When you select a form, you can click on the editable fields and start drafting. Click the yellow tablet icon and the guidance notes display. Drafting notes display alongside the pertinent form sections. Click the Alternative Clause icon to review an alternate clause; add it to the form by clicking the Add to Form button at the bottom of the clause.

You can review (and print or save) all of the guidance the form offers in a separate document—a great overview. Just click the Drafting notes & alternative clauses link at the top of the form. (Not shown.)

It’s easy to track changes and use the forms in workflow. Send your edited form and notes to a Work Folder. Click the Work Folder icon at the top of the document.

Or download your forms directly into Microsoft® Word. Click the Download icon . You have the option to also download a summary of the edits, the drafting notes and checklists. These options are available for print and email too.

Open Lexis Market Tracker from the Mergers & Acquisitions home page. When you click the access link, a new window opens. Choose a deal type, e.g., merger, stock, etc.

Now you start selecting deal points you want to view. The most popular deal points, or fields, are listed at the top of the left pane. As you drill down, adding points, your results narrow automatically.

If you prefer to search, precision searching is also available. Pinpoint specific sample agreements, clauses and terms. For example, in the search box located beneath the Deal Type pull-down, ENTER: reverse termination fee.

From your results screen, you can: A Re-sort or re-order your results list, hide columns and download to Microsoft® Excel®. B Click a link within a results column, e.g., click Target enterprise value at announcement column,

and move to the sections of the deal agreement that reference that value. C Click a deal title and move to the full-text deal document. Then use the links in the left navigation

pane to move to specific deal language. For, example click Reverse Triangular in the left navigation bar to move to the sections of the deal document that spell that out. (See below.)

New! Law students can qualify for unlimited access to the Lexis Advance® service this summer

LexisNexis® offers an exciting new Summer Access program this year for law students that will permit them to use  Lexis Advance® not only for academic work, but also for any summer associate or internship/clerkship purposes.

Whether students are working in a firm, government agency, any of the courts—or are brushing up on cost effective research skills—they will have unlimited Lexis Advance access.

We understand that as a law student, legal education does not stop during the summer. In fact, some of the most valuable and practical legal education occurs at work as a summer associate or within internship or clerkship programs.

In recognition of this, for the months of May, June, July and August of this year, we are expanding the permissible uses of law students’ Lexis Advance IDs to include use for these programs, including all research or other work performed for the firm, agency or court. A student simply needs to be registered for Lexis Advance.

Here’s how students can register for summer access:

• If a student is already a registered Lexis Advance user, they don’t need to do anything else to get summer access. Their current ID is all that is needed.

• If a student isn’t a registered Lexis Advance user yet (or they are not sure), they should contact their LexisNexis account executive.

It’s that simple.

• The Mississippi Legislature has extended our contract to publish the official Mississippi Code of 1972 Annotated.

• The State of New Jersey again awarded LexisNexis the contract for The New Jersey Administrative Code and Register.

• The North Dakota legislature has awarded LexisNexis the contract to publish the official North Dakota Century Code for the next biennium. LexisNexis has served as Official Publisher of the Century Code since 1959.

• Puerto Rico renewed its contract with LexisNexis to be the official publisher of Laws of Puerto Rico Annotated.
