    CALL TO ORDER

    This being the Annual Meeting of the Board, Mr. Walker called the meeting to order at 3:00 p.m. Mr. Miller led the group in prayer; Mr. Holt led in the Pledge of Allegiance.

    Mr. Walker requested nominations for the position of Chairman. The motion to elect Mr. Miller as Chairman was made by Mr. LeBoeuf and seconded by Mr. Jessie; there were no other nominations and the vote to elect Mr. Miller was unanimous. Mr. Miller took the Chair.

    The motion to elect Mr. LeBoeuf as Vice Chairman was made by Mr. Jessie, seconded by Mr. Holt; there were no other nominations and the vote to elect Mr. LeBoeuf was unanimous.

    The motion to schedule Board meetings for the first Tuesday of every month beginning at 3:00 p.m., with public hearings scheduled for 7:00 p.m., with the exception of July 12 and November 8, in the Board Room of the Historic Courthouse, Saluda, was made by Mr. LeBoeuf, seconded by Mr. Jessie and carried unanimously.

    CONSENT AGENDA

    The motion to approve the amended Consent Agenda with a Closed Session added for Consultation with Legal Counsel was made by Mr. Holt seconded by Mr. LeBoeuf and carried unanimously. The Amended Consent Agenda included approval of minutes from the December 6 Board meeting; disbursements dated December 6, numbers 85055-85165, totaling $411,508.19, December 9 - 85166-85167 for $660.00; December 19 - 85209-85287 for $112,541.09; dated January 3, 85288-85339 for $145,174.19, and payroll dated December 15, numbers 85168-85208 for totaling $365,097.92.

    PUBLIC COMMENT

    Tom Feigum encouraged VDOT to use the same contractor that did the paving job between Cooks Corner and Saluda for future paving jobs.

    CONSTITUTIONAL OFFICERS

    There were no Constitutional Officers present.

    AGENCY AND STAFF REPORTS

    Audit:

    Paul Lee, Auditor with Robinson, Farmer, Cox Associates, presented the audit report for the year ending June 30, 2016, and noted the following: there were no compliance problems identified; tax collection has been at 100% for the past 10 years and $770,000 was added to the General Fund balance. Mr. Lee also noted that the debt ratio is in an acceptable range. The motion to accept the audit was made by Mr. LeBoeuf, seconded by Mr. Holt and carried unanimously.

    VDOT:

    Ron Peaks was present representing VDOT and updated the Board on various projects. Mr. Peaks noted that the reduced speed limit request on Remlik Road was granted.

    Schools:

    Dr. Gretz was present to represent the School system.

    Cooperative Extension Service:

    David Moore, Senior Extension Agent, was present to advise the Board of pending changes within the Extension Service, including his retirement March 1, 2017. Mr. Moore has been an agent in the County since October 16, 1992.

    ACTION ITEMS

    Waive Fees:

    The motion to waive fees for a new Habitat for Humanity home to be built at Lot 92, Piankatank Shores was made by Mr. LeBoeuf, seconded by Mr. Holt and carried unanimously.

    Appointments:

    The motion to appoint Tom Feigum to fill the unexpired term of Phil Allen on the EDA, expiring January 31, 2018, and to reappoint Celane Roden to another term on

    the EDA, expiring January 31, 2021 was made by Mr. Holt, seconded by Mr. Jessie and carried unanimously. Included in this motion was the appointment of Mr. Walker as the designated Freedom of Information Act officer.

    Animal Control:

    Officer Richard Warren was present to update the Board on activities for 2016. According to Officer Warren, the following were received: 204 dogs, 34 cats and 1 snake; 57 were adopted, 58 were returned to owners and 101 were transferred to other facilities. Only 5 animals were euthanized - 1 for aggressive behavior and 4 for health reasons. There was one case of confirmed rabies. Officer Warren reported that he would be working on a grant to hold a spay/neuter clinic for lower/middle income residents, with hopes that this will help reduce the number of pregnant animals coming into the shelter. Board of Equalization:

    Training for members of the Board of Equalization would be taking place on January 6. The motion to adopt a compensation rate of $17.00 per hour plus mileage for site visits was made by Mr. LeBoeuf, seconded by Mr. Jessie and carried unanimously.

    Budget Appropriations and Transfer:

    The motion to approve the following budget transfer was made by Mr. LeBoeuf, seconded by Mr. Jessie and carried unanimously: Transferring $25,000.00 from 12040-3002, Legal - Professional Services and $41,447.00 from 89000-0010, Contingencies to various budget lines established for the office of County Attorney.

    Budget Calendar:

    Mr. Walker presented a proposed budget calendar that included a work session scheduled for January 11 at 3:00 p.m. to hear an update on sewer projects from the Hampton Roads Sanitation District and on a workforce housing project from Dave Cryer. No date was set for the school board's presentation of their budget, which in the past was scheduled as a joint, evening meeting. There would be time on the afternoon of February 10 to schedule it then; other agencies and departments would be presenting their requests that morning.

    Mr. LeBoeuf commented that previous school budget presentations were more of a production than a dialogue and he was not in favor of a joint session as it is the Board of Supervisors meeting. Mr. LeBoeuf and Mr. Holt have had several budget committee meetings with the superintendent. Mr. Jessie noted that the type of presentation made could be corrected with some communication and he objected to it being labeled. He added that he liked being able to socialize and to be with the school board representative from his district. Mr. Mansfield agreed with Mr. Jessie and also noted that he did not know the schedule for budget committee meetings.

    Mr. Miller tabled the matter and said that the date and format of the school budget presentation will be determined at the Board's February 7th meeting. Mr. LeBoeuf added that budget committee dates would be added to the proposed budget calendar that could be advertised as open to the public. The motion to approve other dates on the proposed calendar was made by Mr. LeBoeuf, seconded by Mr. Mansfield and carried unanimously.

    Dr. Gretz noted that he would work with the Board of Supervisors however he could and would present the school budget at either the afternoon session on February 10 or at a joint evening session.

    COUNTY ATTORNEY

    Mrs. Lewis reported that she had reviewed the proposed Oyster Festival Ordinance and the Oyster Festival Master Plan. The motion to advertise the Oyster Festival Ordinance for public hearing was made by Mr. Jessie, seconded by Mr. LeBoeuf and carried unanimously. Mr. Holt noted that since it would not be in effect until November, the hearing could be scheduled for a night the Board was having other hearings.

    County Administrator Update:

    Other updates were included in the packet to the Board. Mr. Walker noted that he will be having discussions with the Chairman of the Economic Development and Tourism Advisory Committee on the possibility of either restructuring into special subcommittees under the Economic Development Authority or disbanding all together.

    Mr. Walker announced that Chief Nugent had recently received a masters degree in public administration.

    OLD/NEW BUSINESS

    Oil Recycling:

    Mr. Holt has asked Mrs. Jones to review the oil recycling at the convenience centers.

    Solar:

    Mr. Mansfield asked that the Board do whatever was necessary to get a solar project moving. Mr. LeBoeuf noted that not enough was known about a possible project for a county staff person to be able to write a Request for Proposals. Mr. Mansfield noted that there are contractors that would help write specifications and there are contractors willing to finance the capital expense for a portion of energy savings. Mr. Walker stated that he had had preliminary discussions on the matter with John Koontz. If the Board wanted to direct him so, Mr. Walker stated that he would work to get the school facilities manager, Dr. Gretz and Mr. Koontz together to work on a feasibility study. It was the consensus of the Board to proceed.

    Dominion Power Towers:

    Mr. Mansfield commented that there is a good chance that the State Corporation Commission will require Dominion Power to run their lines under water, noting that they would have to go underground unless it is more than two and one-half times the cost of overhead.

    SUPERVISORS COMMENTS AND REPORTS

    Board members reported on meetings attended since the last meeting.

    Mrs. Feigum reported on the last meeting of the Middle Peninsula Planning District Commission. Delegate Hodges is submitting a Bill before the General Assembly to establish the Rural Costal Economic Development Authority that will include the 12 counties of the Middle Peninsula, Northern Neck and Eastern Shore. There has been no reference to a cooperation agreement. Chris Palmeroy will be assisting with legislation to address concerns of Middle Peninsula counties with regard to storm water management. Mr. Miller noted that counties still wanted to be able to opt out of the program. The Public Access Authority will be assessing all participating counties $600.00 which will be used for insurance or closing costs for their properties, currently valued at 5 million dollars. The Broadband Deployment Act would undermine local authorities’ ability to establish their own broadband.

    The motion to convene in a Closed Meeting pursuant to §2.2-3711.A7, consultation with legal counsel was made by Mr. LeBoeuf, seconded by Mr. Jessie and carried unanimously.

    The meeting returned to open session. The motion to certify the following statement was made by Mr. LeBoeuf, seconded by Mr. Holt and carried unanimously:

    To the best of the members' knowledge, only public business matters lawfully exempted in the motion by which the closed session was called were considered or discussed in the closed session.

    A motion to invite officers of the Central Middlesex Volunteer Rescue Squad to attend a work session on January 11, at 5:00 p.m. to address some legal concerns that have been presented to the Board was made by Mr. LeBoeuf, seconded by Mr. Mansfield and carried unanimously.

    RECESS AND RECONVENE

    The Board recessed at 5:30 p.m. and reconvened at 7:00 p.m.

    PUBLIC HEARING

    Planning Director, Dave Kretz, introduced Zoning Ordinance Amendment 2016-03, to amend the special exception sections of Village Community, General Business and Light Industrial to add Craft/Microbrewery and adding a definition for Craft/Microbrewery. Text development was derived from review of language in ordinances from several other localities. All localities studied used 15,000 barrels per year as the maximum for this type of brewery, with a barrel capacity determined to be 31 gallons as derived from the industry standard of one barrel equaling two kegs. At their December 8, 2017 meeting, the Planning Commission recommended approval of the original request to add "Craft Brewery" and also to add a synonymous term "Micro Brewery".

    Mr. Miller opened the hearing for comments from the public. There being none, the public portion of the hearing was closed.

    The motion to approve the amendment as proposed was made by Mr. Mansfield, seconded by Mr. LeBoeuf and carried unanimously.

    CALL TO ORDER

    In absence of Chairman Miller, Vice Chairman, Mr. LeBoeuf, called the work session to order.

    HAMPTON ROADS SANITATION DISTRICT

    Ted Henifen, General Manager of HRSD and Ken Baybutt, Bowman Consulting, were present to update the Board on HRSD’s study of sewer installation in the County. Mr. Henifen commented that a vacuum system with the pit and collection system funded by the County would cost approximately 13 million dollars. If a USDA loan was obtained, at 2% for 40 years, this would amount to approximately $472,000 per year in debt service. It was noted that the USDA does not mandate connections, but relies on a degree of cash flow in a connection and financial model. Incentivized connections could be offered.

    Treatment costs are the same across the region - $13.50 per 1,000 gallons, or $41.50/month minimum, billed bi-monthly.

    If the County wishes to proceed with a project, HRSD would front the cost of a Preliminary Engineering Report for a collection system, estimated at $50,000, with an agreement that the County would reimburse HRSD if the County failed to move forward with a construction project within 24 months of completion of the PER. A draft memorandum of understanding and action list would be presented to the Board of Supervisors at their February meeting for consideration.

    WORKFORCE HOUSING

    Dave Cryer gave a presentation on proposed workforce housing, an apartment complex that could be constructed and used as rental property for county, regional government employees and possibly Christ Church employees. This type of project is not new and plans are already available that could be used. Each unit, with 8 apartments costs approximately 1 million each. Mr. Cryer suggested that 3 units are needed, with donations, possibly from the River Counties Community Foundation, Jessie Ball DuPont funds, a Virginia Housing and Community Development grant, community donations, used to provide 20% of the cost. The remaining funding of $2.4 million could be funded through a VHDA loan, which at 3% would have an interest and principal payment of approximately $11,000.00 per month. If 23 of the 24 units are rented at $725 per month, a monthly income of $16,675 would be generated.

    Mr. Cryer provided sample incorporation documents for a non-profit foundation that could be established to provide oversight, including appointees from the Board, School Board, Social Services and citizens. It was noted that there is a 2-unit complex currently in Lancaster County. A unit would be open for touring on February 13 at 1:00 p.m. Further discussion of this matter would be placed on the February agenda for the Board of Supervisors.

    CENTRAL MIDDLESEX VOLUNTEER RESCUE SQUAD

    Christian Foster, President, had notified Chief Nugent that he had been ill and asked that the meeting be rescheduled. The Board asked that Mr. Foster be present for another work session to be scheduled for 7:00 p.m. on January 18, 2017, following the Broadband Authority meeting.

    CALL TO ORDER

    Chairman Miller called the work session to order.

    CENTRAL MIDDLESEX VOLUNTEER RESCUE SQUAD

    Christian Foster, President of the Central Middlesex Volunteer Rescue Squad, was present to address concerns and questions from the Board regarding the ability of the Squad to provide service to the residents of the County. The Board has received multiple complaints regarding response time and lack of coverage. Mr. Foster noted that in November, the Squad had voted to seek additional funding from the County to pay for service providers. Currently, the Squad employs personnel to provide coverage for weekday day shifts and volunteers have been used for the rest. However, there are not enough volunteers to cover all evening shifts, and sometimes there are as many as 4 nights without any coverage. According to Mr. Foster, the Squad does not have enough funding to provide paid coverage for these shifts. He stated that the Squad wishes to remain a volunteer entity and appreciates the County’s assistance to maintain that status. Mr. Foster noted that the department will be looking at using the same firm the Deltaville squad uses for paid coverage rather than acting as an employer.

    Mr. Foster also noted that the squad has been working with the IRS and an accountant to clear up on-going issues left from a former treasurer’s misuse of funds.

    Chief Nugent noted that access to the CMVRS coverage calendar has been provided and he will work with Mr. Foster to help provide coverage. As a temporary solution, providers from the firm that Deltaville uses will be using a Deltaville ambulance and staging at the Middlesex Volunteer Fire Department in Urbanna. Duty crews will mark on as available at the beginning of their shifts so that Dispatch will know what assets are available.

    Davenport has provided the attached Preliminary Financing Schedule for the potential

    refinance of the 2007 Bonds.

    Proceeds of the 2007 Bonds were used to advance refund a portion of the Series 2002

    bonds. The 2002 Bonds were issued to finance a portion of the costs of the acquisition,

    construction, renovation, equipping and furnishing of the new courthouse, improvement

    of the high school and to refinance certain capital financings for the County. Proceeds

    were also used to pay for the Bond Insurance Premium for CIFG Assurance North

    America, Inc. (“CIFG”) and fund a debt service reserve fund for the 2007 Bonds via the

    purchase of Surety Bond through CIFG.

    Davenport developed the schedule with the following in mind:

    1. The earliest the County can call the 2007 Bonds and still qualify as a “Current Refunding” and thereby obtain a Tax-Exempt financing is May 3, 2017.

    a. Banks will typically hold their interest rates firm for 30 to 45 days. b. Therefore, Davenport has timed the RFP Due Date (3/23) such that rates

    would be held firm through closing (on or about May 3).

    2. Preserving the flexibility of either a Direct Bank Loan or VRA Financing. a. The County would technically have to have Local Approvals in place by

    3/31.

    b. However, Davenport confirmed with VRA that the best way to approach this and still meet their requirements is for the County to adopt a

    parameters resolution at the County’s 3/7 meeting.

  • i. This Resolution can be fairly generic in speaking to the County’s

    desire to refund the 2007 bonds either through a Direct Bank Loan or

    VRA financing.

    ii. Dan Siegel / Jesse Bausch can provide the appropriate verbiage

    in a parameters resolution for the Board’s consideration on 3/7.

    iii. The County should note that this parameters resolution at the 3/7

    County Board meeting will not commit the County to proceed with the

    refunding under either approach. Rather, it simply speaks the County’s

    intention of refunding through a Direct Bank Loan or VRA financing.

    c. Subsequently, the County Board can take final action for either a Direct Bank Loan or VRA Financing at the 4/4 Board meeting.

  • In February 2007, through the Industrial Development Authority (“IDA”), now the Economic Development Authority (“EDA”), (either referred to herein as the “Authority”), Middlesex County, Virginia (the “County”) publically issued its $9,375,000 Lease Revenue Refunding Bonds, Series 2007 (the “2007 Bonds”).

    – The proceeds of the 2007 Bonds were used to:

    • Advance refund a portion of the Authority’s Lease Revenue Bonds, Series 2002 (the “2002 Bonds”).

    The 2002 Bonds were issued to finance a portion of the costs of the acquisition, construction, renovation, equipping and furnishing of a new County Courthouse facility located in the County of Middlesex, Virginia (the “County”) on real property owned by the County, the completion of the acquisition, construction, renovation and equipping of the new County high school and to refinance certain capital financings for the County, (all together the “Project”).

    • Pay for the Bond Insurance Premium for CIFG Assurance North America, Inc. (“CIFG”).

    • Fund a debt service reserve fund for the 2007 Bonds via the purchase of Surety Bond through CIFG.

    Pursuant to the First Supplemental Indenture of Trust, dated March 1, 2007, the County submits debt service on the 2007 Bonds to Chesapeake Bank (the “Trustee”) which in turn makes debt service payments to the bondholders through The Depository Trust Company (“DTC”) which holds the bonds in Book-Entry form.

    The Authority and the County entered into an Amended Financing Lease, dated as of March 1, 2007 (the “Amended Financing Lease”).

    – The Authority used the proceeds from the 2007 Bonds to refund the 2002 Bonds and re-lease the Project to the County.

    – In return, the County pays Basic Rent to the Authority in an amount sufficient to pay principal of, premium if any, and interest on the 2007 Bonds; subject to annual appropriation by the County Board of Supervisors.

    – The Amended Financing Lease will end on August 1, 2031; at Final Maturity of the 2007 Bonds.

    The 2007 Bonds maturing on or after August 1, 2018 are subject to optional redemption at any time on or after August 1, 2017 (the “Call Date”) at 100%.

    – The 2007 Bonds are eligible for Current Refunding 90 days before the Call Date, or May 3, 2017.

    Virginia Resources Authority (“VRA”) 2017 Pool

    The County’s refinancing could be accomplished through participation in VRA's Virginia Pooled Financing Program.

    The County may participate in either a spring or summer pool bond issue based upon current planned timing of the 2017 VRA bond issues and the call date of August 1, 2017 for the County’s 2007 Bonds.

    – Spring Pool

    • Application deadline is February 3, 2017.

    • Pricing is typically the early May.

    • Closing is typically the late May.

    – Summer Pool

    • Application deadline is typically early May.

    • Pricing is typically the late July.

    • Closing is typically the early August.

    • Please note: Under this scenario, the County would potentially make the 8/1/2017 payment as currently scheduled on the 2007 Bonds and refund the debt service related to maturities 8/1/2018 through 8/1/2032.

    Interest Rates are subject to change until VRA’s pricing date. After the pricing date, the interest rates are fixed for the life of the transaction.

    Direct Bank Loan

    The County's refinancing could also be accomplished through a Direct Bank Loan with interest rates determined through a competitive RFP process.

    Direct Bank Loans have a streamlined issuance process that can be completed in 45 to 60 days.

    – The 2007 Bonds are Current Refunding eligible within 90 days of the Call Date, August 1, 2017.

    – This means that the target date for Closing on a Direct Bank Loan would be on or after May 3, 2017.

    – Banks will typically provide proposals with interest rates that are held firm for 30 to 45 days.

    – This means that the target date for distributing a Bank RFP would be early March and we would ask for responses by late March / early April.

    A refinancing on a Bank Qualified (“BQ”) basis typically provides the lowest interest rate and assumes County-wide issuance for the entire calendar year is $10 Million or less.

    – The County’s BQ capacity for Calendar Year 2017 may be preserved for other projects to the extent the refunding bond can be Deemed Designated(1). This will be clarified with the County’s Bond Counsel.

    The potential refunding candidate matures in approximately 15 years and as such may be attractive from a Direct Bank Loan perspective.

    (1) This designation would not apply to the portion of the refunding amount that is greater than the refunded amount.

  • Dual-track financing:

    1. Davenport will monitor the public markets and analyze the potential savings the County could achieve through a 2017 VRA Pool refinancing.

    – In order to preserve flexibility to participate in the VRA Pool Financing Program, Davenport can assist the County in developing the VRA application package which is due February 3, 2017 in order to reserve the County a place in the 2017 VRA Spring Pool.

    2. Contemporaneously, an RFP for a Direct Bank Loan could be issued to National, Regional, and Local Banking Institutions to better assess Current Market bank interest rates.

    Upon receipt of the Direct Bank Loan proposals, the County can determine which approach, if either, is preferred. The County would be under no obligation to accept any Direct Bank Loan proposals received.

    Under either approach above:

    – The County would only pay for professional work upon a successful closing. (1)

    – The County could potentially combine new capital needs with the refinancing in order to gain efficiencies with respect to financing costs as well as lock-in interest rates still at historically low levels.

    As the Board is aware the proposal for the creation of the Middlesex Foundation

    was presented by Mr. David Cryer on January 11th at a Work Session of the Board of

    Supervisors and School Board. The purpose of the Foundation was to benefit the

    personnel of Middlesex County, Middlesex County Schools, Middlesex Sheriff’s

    Department, Department of Social Services, and other such organizations and agencies in

    the region. Specifically its goal would be to improve the lives and living conditions of the

    personnel of the above listed agencies by providing low cost work force housing,

    preferable on property owned or conveyed by the County or Middlesex School Board. It

    was proposed to create a 501 (c) 3 organization composed of the following initial Board

    of Directors to explore opportunities, need, funding and potential projects:

    1. Member representing the Middlesex Board of Supervisors 2. Member representing the Middlesex School Board 3. Member representing the teachers of Middlesex County 4. Member representing the Middlesex Department of Social Services 5. Member representing the Middlesex Sheriff’s Office 6. (2) Two at-large Members representing the Citizens of Middlesex appointed

    of the Board of Supervisors.

    Bob LeBoeuf has volunteered to represent the Board of Supervisors as their

    representative.

    Jim Goforth has volunteered and was appointed to represent the School Board.

    Sheriff Bushey stated that Major Michael Sampson has volunteered to serve as the

    Sheriff’s office representative. Rebecca Morgan has volunteered to represent the

    work session. Former County Attorney Mike Soberick has agreed to process the

    Articles of Incorporation and provide other legal assistance to the foundation if it is

    ARTICLES OF INCORPORATION

    of the MIDDLESEX FOUNDATION

    Article One

    Name

    The name of the corporation shall be: The Middlesex Foundation.

    Article Two

    Purposes

    The purpose for which The Middlesex Foundation is organized is: as a not-for-profit

    corporation established for the benefit of the employees of Schools, School Systems and

    Local Governments including, but not limited to, the personnel of Middlesex County,

    Middlesex County Schools, Middlesex Sheriff’s Department, Middlesex Department of Social

    Services, Christchurch School, and other such agencies and organizations that serve the

    citizens of Middlesex and the region. Its goal is to improve the lives and living conditions of

    the personnel of the above listed agencies and to accomplish its purpose and mission

    through the acquisition, management and disbursement of philanthropic assets including

    endowment and building support for its mission throughout Middlesex County.

    Article Three

    Tax-Exempt Operation

    The Middlesex Foundation (the “Foundation”) shall have and exercise all powers and

    authorities now or hereafter conferred upon Non-Stock Corporations under the laws of

    Virginia. However, no part of its net earnings shall inure to the benefit of any incorporator,

    trustee, Director or officer of the Foundation, or any private individual, except that

    reasonable compensation may be paid for services rendered to or for the Foundation’s

    purpose. No incorporator, trustee, Director, officer or private individual shall be enlisted to

    share in the distribution of any corporate assets upon dissolution.

    No part of the activities of the Foundation shall be carrying on propaganda or

    otherwise attempting to influence legislation (except as and to the extent permitted by the

    provisions of the Internal Revenue Code of 1986, as amended hereinafter referred to as the

    “Code”), or similar statutes, for organizations exempt from Federal income taxes pursuant to

    Section 501 (c)(3) of the Code or similar statutes, and the foundation shall not participate in,

    or intervene in (including the publishing or distribution of statements) any political campaign

    on any other activities not permitted to be carried on (a) by a corporation exempt from

    Federal income tax under Section 501(c)(3) of the Code or (b) by a corporation, contributions

    to which are deductible under Section 170(c)(2) of the Code.

    Article Four

    Board of Directors

    A. The Management of the Foundation shall be vested in a Board of Directors (the “Board”). The number of Directors shall not be less than five nor more than fifteen. The

    number of Directors may be established from time to time by resolution of the duly elected

    members of the Board of Directors.

    B. The initial Directors are seven in number:

    Dissolution

    Upon a dissolution of the Foundation, the Board of Directors, after paying or making

    provisions for the payment of all liabilities of the Foundation, shall convey any remaining

    assets of the Foundation to an organization or organizations chosen by the Board which are

    exempt from Federal income taxation under Section 501 (c)(3) of the code, or to the

    Commonwealth of Virginia, the County of Middlesex or any agency of either.

    Article Six

    Liability and Indemnification

    A. To the full extent that the Virginia Non-Stock Corporation Act, as it exists on the date hereof or may hereafter be amended, permits the limitation or elimination of the

    liability of Directors or officers of the Foundation shall not be liable to the Foundation or to

    other persons and/or entities for monetary damages. The liabilities of the officers and

    Directors of the Foundation are further specifically limited by and to the extent as set forth in

    Section 13.1-870.1.B of the Code of Virginia as amended.

    B. To the full extent permitted and in the manner prescribed by the Virginia Non-Stock Corporation Act and any other applicable law, the Foundation shall indemnify a

    member, Director or officer of the Foundation who is or was a party to any proceeding by

    reason of the fact that he is or was such a Director or officer of the Foundation or is or was

    attached the calendars for both the Historic Courthouse and the Cooks

    Corner Office Complex should you opt to hear the presentation on another

    date.
