I. Introduction Med-Imaging Science & Services Ltd. (MISSL) is pleased to present a proposal to Invest Saint Lucia for a strategic

plan to develop a medical tourism industry in Saint Lucia. MISSL's core business is healthcare services delivery and

hospital development, and its phased plan will establish Saint Lucia as the premier Medical Center of Excellence in

the Caribbean while simultaneously stimulating Saint Lucia's economy through the development of jobs, businesses,

hotels, housing, and retirement communities.

MISSL is a Caribbean-based international healthcare company that develops, manages and delivers premier healthcare services. MISSL creates global partnerships with leading physician specialists, healthcare systems, university hospitals, medical building solutions, and medical equipment/supply companies to deliver cost effective solutions for the changing needs of global healthcare consumers. MISSL closely collaborates with governments, the local medical community, and other healthcare providers to ensure its activities enhance local healthcare capabilities. Our range of services includes development of world-class medical centers and state-of-the art imaging centers that promote the delivery of cutting edge medical care. MISSL offers the potential for a comprehensive revitalization of Caribbean island healthcare delivery that will energize the traditional tourism industry as well as ancillary industries such as the housing industry as the first –rate medical facility encourages the building of retirement communities with eldercare services. II. Government Request

MISSL requests assistance from the Government of Saint Lucia for state land of approximately 20 acres. The total acreage does not need to be contiguous but we would request a portion to be beachfront if possible. This would be used to establish housing for the medical practitioners. We also seek expedited governmental permit approval, assistance with medical licensing, as well as comprehensive tax free and duty free incentives. III. Project Overview MISSL’s plan is to develop a five-star medical tourism project featuring a premier Medical Center of Excellence as the flagship of a Medical City complex. The project includes:

Assume management and operation of the new Castries National Hospital by January 2015

Health & Wellness based at island resorts

Work with existing Five-star and three/four star hotel

Retirement community including a town Center – duty free shops, restaurants, entertainment

Local housing for medical staff

Airport upgrade

This project will enable us to:

1. Deliver exceptional medical care for nationals as well as medical travelers from the Caribbean region, USA, Canada and Europe

2. Reduce medical costs 3. Increase tourism business for resort hotels, restaurants, and local businesses 4. Stimulate demand for housing 5. Boost jobs and employment for local Saint Lucians

IV. Background

Medical travel has gained popularity as patients seek higher quality care, better access to care or lower cost in other countries. Several major trends have catalyzed the development of global healthcare over the past 10 years:

• Escalating healthcare costs are driving underinsured and uninsured patients to seek other options.

• US corporate healthcare costs have skyrocketed shifting more cost to US employees through higher premiums, deductibles, copays and coinsurance.

• An aging population is putting more strain on health care systems contributing to more demand, longer waits and increased cost.

• Medical care systems with a limited population base have difficulty offering high quality specialty services. Patients require transportation to the USA or other destinations for adequate care contributing to higher costs for governments and insurers. By expanding the local market base with visiting medical tourists, a medical facility can recruit a world-class quality medical professional.

• Wealthy cash paying patients travel on their own to seek better quality care.

• Long wait times in socialized medicine countries for certain elective procedures are forcing people to look for other options. Wait times of a year or more are quite common in Canada and the UK.

Exceptional quality medical care can be delivered at an optimally designed medical center in Saint Lucia at 40% the cost of similar quality care in the USA providing a win-win situation for all parties.

VI. Medical Facility & Services 1. New Castries National Hospital Medical services will be delivered in the new 122 bed hospital featuring latest state of the art medical equipment. A team of top physicians will be recruited from North America and Europe to provide exceptional quality care. Our goal is to provide world-class medical care for specialized consultations and a range of medical procedures. Surgical services will focus on core medical procedures utilizing the latest technology. Other procedures may include advanced medical services featuring new and innovative procedures offered in Canada and Europe but not yet available in the USA.

Clinical research companies who are developing advanced technologic capabilities and performing clinical research studies can operate more economically in a Saint Lucia medical center with less burdensome regulatory constraints than found in USA or Europe. VII. Patients MISSL is opening two medical diagnostic imaging centers in Trinidad which will provide feedstock to the St Lucia hospital and is supported by the local medical insurance industry. It also has developed relationships with various constituents within the US, Caribbean, Canada and Europe that will serve as feeder physicians and patients for our premier medical center. We have developed broad relationships with physician groups and with US Multinational Corporations and their key health care decision makers. We interact regularly with US executives and managers in charge of determining employee health benefit plans. 1. USA Physicians

US Physicians are looking for new opportunities to expand their practice and increase their compensation. By providing their existing patients with the option of using our Saint Lucia medical center, it will enable them to receive greater compensation per surgery, while reducing the overall cost for the payer (insurer or employer).

Some of our physicians will bring their own patients, perform the surgery and upon returning home, provide the follow-up care to ensure proper continuity of care.

When a patient and physician agree on the treatment plan, it is very difficult for the employer to deny

coverage. Likewise, the location of the procedure is most influenced by the physician at the time of

consultation.

2. Caribbean based insurers and governments .

Caribbean based insurers and governments incurring high costs paying for patients transported to the US for operations will be able to save considerably by using our medical center.

3. Saint Lucia population

The St Lucia population, estimated at over 170,000, will have access to quality specialist care available in our medical center.

4. USA Self-funded Corporations

• Approximately 100 million people in the USA are covered under corporate self-funded health plans. Our option will provide them significant savings (60%) for major surgical procedures while delivering care provided by US based physicians in a state-of-the-art facility.

• Employees with high deductible plans can save significant expense while selecting Physicians that are top in their field with some payers foregoing the deductible charge for the employee due to their significant overall cost savings.

5. Workers compensation carriers

Workers compensation carriers (covering injuries for backs, legs, shoulders) have expressed interest to provide coverage for their injured workers at our facility. Their belief is that high quality care will result in overall lower costs. This will be attained through better surgical procedures (minimally invasive surgeries) delivered by top specialists that will enable injured workers to recover more quickly and return to work sooner.

6. Multinational and expatriate employees

US multinational employees and expatriates residing in the Caribbean, Central America, or elsewhere in Latin America can elect to have their surgery performed at our facility saving much time and costs. This is very appealing for employers as well as for patients who can take advantage of the specialty care provided in a beautiful location.

7. Canada, UK & Europe

Canada’s health care is inexpensive, but patients are backed up with long wait periods.

Eastern Europeans lack quality health care and are currently traveling to the Far East or elsewhere in the US for care.

Other parts of Europe have extremely long wait periods for elective surgeries making our services, location, and cost very appealing.

8. US Veterans

Thousands of retired US veterans residing in Central America and the Caribbean will now have access to top quality medical care.

VIII. Health & Wellness

Promotion of a Health and Wellness industry will be supported by a marketing campaign to encourage clients to

travel to Saint Lucia to enjoy a 1-2 week rejuvenating Health and Wellness packages undergoing a comprehensive

Executive Physical on arrival (including preventative scanning) with customized health programs offered to each

client that include nutritional programs, exercise programs, traditional health spa skin treatments, and holistic

healing experiences including massage, meditation, Yoga and Reiki.

IX. Hotels and Spas

MISSL will work with existing five-star and three/four star hotels for them to provide top-quality accommodations

and services for the numerous medical travelers and companions visiting Saint Lucia.

X. Housing

MISSL’s housing developments will feature condominiums, retirement community, and housing for local employees

of the Medical City. Visitors will include a diverse clientele such as physicians, patients, executives, athletes, retirees

and will require both short–term housing and longer-term home ownership.

XI. Town Center

Top-quality restaurants, shops, stores, and entertainment are an important component to providing a first-class

environment for the many visitors and patients from all over the world.

XII. Airport Upgrade

MISSL will provide an airport upgrade to enhance the capabilities and services available for air transportation into

and out of Saint Lucia. With many clients potentially flying private jets, this will better enable first class services for

visitors and patients.

XIII. Feasibility & Other studies A detailed feasibility study will need to be performed to ensure all the necessary modalities are being included in the Tourism portfolio to maximize profitability. XIV. Economic Impact The MISSL project will have multiple positive effects on Saint Lucia's overall economy. Transportation services, construction, medical personnel, food service workers, maintenance, administrative workers, and security are just some of the vital jobs that will be created. The generation of small businesses, restaurants, and service companies will all be an important outcome of this development. The attraction of USA corporate executives to Saint Lucia will provide the visibility and potential for other business investments in Saint Lucia. Medical travel patients usually travel with a companion and typically stay for an extended period of time because of restrictions on travel after surgery. Typical stay is 7 – 17 days based on the type of procedure. If we treat 8,000 medical patients annually we could achieve the following: Hotel/Restaurant: Medical Travel Patients: 8,000 Average Hotel Stay: 10 Days Hotel Days: 80,000 Restaurants: 480,000 meals (assuming 2 people, 3 meals per day)

These numbers are substantially increased when considering incoming physicians with families, executives and staff coming for meetings and health screenings, medical students, scientists, and tourists coming for health& wellness. Corporate Executives Top company executives will travel to the resort for comprehensive health checkups coupled with a few days of relaxation, meetings, and golf. This will provide excellent exposure to key decision makers and more affluent clients who will experience the medical center and facilities in person. This will in turn create future visits for the company executives, their families as well as their employees. Housing Exposure to thousands of medical tourists, physicians, corporate executives from the USA, Canada and Europe will stimulate strong demand for housing not only for the beautiful location but for the peace of mind knowing that quality health care is available locally. Retirement community Availability of top quality healthcare is a key component for the development of retirement communities and attraction of retirees within Saint Lucia.

Kevin Slater – Chairman & CEO

Mr. Slater brings over twenty years of experience in marketing, business development and management

and a vast knowledge of Caribbean business. His background has been in offering technology solutions, project

management, maintenance management and other consultancy services, all using green energy efficient

technology solution both in the public and private sectors.

His business development skills have created strategic business opportunities for Trinidad & Tobago, Caribbean and

U.S. based Clients. As the Managing Director and Founder of Slater Industrial Equipment and Services LTD. and

The Slater Group of Companies, he has successfully negotiated large contracts for U.S. Companies in the

Caribbean. Mr. Slater has also worked with Med-1Partners, The Link Group and Beacon Limited as Vice President

Caribbean Operations Director.

Chris Wright – COO

Mr. Wright brings over forty years of experience in marketing, business development and management.

With a background in product development, project engineering, product marketing. He was instrumental in the

development of the Duracell brand of batteries throughout North America. Mr. Wright has also been involved in

several start-up companies over his career and is co-founder of a fuel savings technology company – Fitch Fuel

Catalyst. Mr Wright has an International business acumen and speaks several languages.

Shama Deonarine – Insurance advisor

In politics for 20 years, Ms. Deonarine has served the UNC as Women's Affairs Officer, Executive Member of the Women's Arm, and Presiding Officer at the Party's Internal Elections. The first woman in CLICO's history to be named Top Producer for many years, and first person in the county and the Caribbean to speak at the International Million Dollar Round Top of the Table Conference, Ms. Deonarine has numerous awards both at company level at CLICO and the insurance industry level. Anthony Clarke – Medical Equipment advisor

Mr. Clarke brings more than 25 years of business development and engineering management. Owns and

operates one of the largest dental supply companies in the Caribbean. Mr Clarke has fifteen years’ experience in

hospital grade medical and dental equipment.

Judith M S Mark- Financial/Planning advisor (Managing Director / Enterprise Development Consultant at CME

Judith is a results-oriented, strategic thinker with twenty-five (25) years post graduate experience, strong

interpersonal and managerial skills and a track record of performance in the energy, financial, hospitality and

property management s industries in public and private companies. Her expertise covers the areas of strategic

planning and management, project planning, business re-engineering and enterprise development. Academic

training includes accounting, finance, marketing, strategic branding and general management.

Specialties: Strategic management and visioning, strategic branding, new product and innovation financing,

enterprise development modeling, business development and entrepreneurial training, SME support services,

lecturer in entrepreneurship studies.

Dr. Konstantinos Koutelos- Medical advisor

Dr Koutelos is a licensed doctor of internal medicine in the New York City area since 1994. Dr Koutelos

currently operates an office in Brooklyn with over 5,000 patients. He is also a licenced pharmacist.

Medical Advisory Board

Dr. Tony Elias – Director of the Medical Advisory Board

Dr. Elias (EMBA 1998) has been on the Board of Directors of the Trinidad and Tobago Credit Union Deposit Insurance Fund Co-operative Society Limited since 2000 and was Vice President during the period 2002 – 2007.

He graduated with a medical degree from the University of the West Indies in 1979. He also has a Masters’ in

Business Administration (MBA). Dr. Elias is an executive Director of the Trinidad Cement Employees Credit Union

Co-operative Society and has been on its Board of Directors since 1989. He is a former Director of the Co-

operative Credit Union League of Trinidad and Tobago and former President of the Central Financing Facility. He

was also a former Chairman of National Flour Mills Limited.

Dr. Rene Ramnarace- Medical Advisor (Consultant Gastroenterologist)

Dr Ramnarace is a gastroenterologist and director of the National Association of Crohns & Colitis. Dr.

Ramnarace provides an advanced specialty private clinic in gastroenterology. With specialty endoscopic procedures

including gastroscopy, colonoscopy, stenting, PEG insertion, variceal banding and ERCP. He also provides

endoscopy and gastroenterology service in the public domain. He is a consultant in Gastroenterology with interest

in parenteral nutrition and hepatology. A part of the award winning acute medicine team that won the Acute NHS

Trust of the year title 2012.

Tom is CEO and founder of Surgical Trip LLC. Surgical Trip is an international healthcare services company that specializes in arranging patient care at top hospitals and clinics in the United States and abroad. Surgical Trip works with employers, TPAs, brokers and insurance companies to provide high quality global healthcare at significant cost savings. Collin Forde– Consultant (Director of FSS Global Solutions LLC)

As a Director of FSS Global Solutions LLC, he is presently involved in brokering loans for projects with an emphasis on the Caribbean region. He is involved in sourcing finance for projects in St Kitts, St. Lucia, Trinidad and Tobago and the British Virgin Islands. He has assisted in the introduction of the Bond Building System, which is used in the construction of affordable homes, into Trinidad and Tobago and is presently involved in introducing the system into St. Lucia and Grenada.

Collin has positioned FSS Global to become an active player in the medical tourism field in the Caribbean and is in the process of implementing and overseeing the construction of mobile hospitals and clinics that would be of tremendous benefit to the various islands. Nenad Dordevic – Consultant (President Saltus LLC) Mr. Dordevic is a resourceful investment banker and financial visionary whose professional mission is providing access to finance for small and medium sized businesses in emerging markets through the mix of traditional and innovative financing techniques. Mr. Dordevic received his J.D. degree from the University of Belgrade Law School in Belgrade, Yugoslavia, and his MBA in Corporate Finance and International Business from Kogod School of Business, American University, in Washington, DC. He also received advanced certificates in Trust and Wealth Management from American Bankers Association’s National Trust School in Chicago, IL; in Banking and Finance at University of Hertfordshire in England and in international Trade and Investment in Athens, Greece.
