A Closer Review of Other Bills Signed Into LawFollowing is a more in-depth review of other bills that were signed into law by the governor that could affect your business Please note some of these bills apply only to larger companies and are noted as such This legal review was written by the law firm of Ogletree Deakins This article was published in the firmrsquos September 2014 issue of the California eAuthority

In September 2014 California Governor Jerry Brown signed into law a number of bills that will impact the employer community A brief summary of these new laws along with links to the bills can be found below

Public Works Apprenticeship Program (AB 2744)Current law addresses the violation of the requirements by contractors and subcontractors relating to public works contracts AB 2744 amends section 17771 of the California Labor Code to extend the penalties for

those violations to provisions related to the employment of apprentices

Public Works Prevailing Wages Contractorrsquos Costs (AB 1939)Current law requires that contractors and subcontractors performing work on publicly funded construction and maintenance projects to pay their workers minimum prevailing wage rates and to comply with other apprenticeship and recordkeeping obligations Contractors and subcontractors are liable for violations of prevailing wage laws AB 1939 adds section 1784 to the California Labor Code to allow contractors to bring an action to recover from the hiring party that the contractor directly contracts with any increased costs such as the difference between the wages actually paid to an employee and the prevailing wage for the project among other costs

Unemployment Insurance Benefits Determination Appeals (SB 1314)Effective July 1 2015 SB 1314 extends the deadline for a reconsideration or appeal of an unemployment insurance benefit ruling determination computation or administrative law judge decision from 20 days to 30 daysPractical Tip This amendment adds 10 days to the deadline to request a hearing as well as an additional 10 days to file an appeal following the administrative law judgersquos ruling The 20-day deadline for filing unemployment benefits appeals has always been tight for busy HR

departments This law provides some relief allowing companies time to investigate facts supporting possible disqualification seek legal counsel and evaluate the pros and cons of filing an appeal

Occupational Safety and Health Violations (AB 1634)AB 1634 requires that an employer that seeks to receive an abatement credit submit proof under penalty of perjury that abatement has occurred The bill also requires employers to abate serious workplace hazards even if the employer seeks reconsideration

Practical Tip Certainly companies will want to immediately eliminate known workplace hazards In some cases employers contesting the citation will challenge the existence and need to abate alleged workplace hazards This amendment complicates an employerrsquos response Employers should continue the wise practice of seeking immediate assistance from safety consultants and legal counsel after any workplace accident

Contracts Unlawful Contracts (AB 2365)AB 2365 is intended to protect consumersrsquo rights to leave negative reviews of goods and services such as online reviews The bill prohibits contracts that require that a consumer

waive his or her right to make statements about the goods or services that he or she received It also prohibits businesses from penalizing a customer for making such comments The law imposes civil penalties of $2500 for the first violation and $5000 for each subsequent violation as well as an additional penalty of $10000 if the violation was willful intentional or reckless The bill does not prohibit a business that hosts its own consumer reviews or comments from removing a statement that is otherwise lawful to remove

Civil Rights (AB 2634)AB 2634 expands the law to allow any individual whose civil rights have been violated to institute and prosecute in his or her own name and on his or her own behalf an action for injunctive relief to eliminate the offending pattern or practice of conduct that is in violation of certain civil rights laws

Workersrsquo Compensation Expedited Hearings (AB 1746)AB 1746 provides for expedited hearings for injured workers of employers that are illegally uninsured for workersrsquo compensation claims and the disputed issues are employment or injury The bill is intended to quickly resolve the issues that determine access to benefits and medical care

Driverrsquos Licenses Nondiscrimination (AB 1660)AB 1660 amends the Fair Housing and Employment Act (FEHA) and makes it a violation for an employer or other entity to discriminate against individuals with driverrsquos licenses issued to undocumented workers This law follows AB 60 enacted in 2013 which authorized the California Department of Motor Vehicles to issue driverrsquos licenses

to undocumented immigrants The amended FEHA states that discrimination against those possessing this type of license is a form of ldquonational originrdquo discrimination The bill prohibits an employer from requiring a person to present a driverrsquos license unless required or permitted by law AB 1660 also obligates an employer to maintain the privacy of certain information related to such driverrsquos licensesPractical Tip The new law specifies that it does not alter an employerrsquos obligation to comply with federal immigration law This would include for example following I-9 procedures when hiring new workers Further employers may require employees to possess a driverrsquos license if required for work

For Larger Contractors

Employment Discrimination or Harassment Education and Training Abusive Conduct (AB 2053) ndash Applies to Employers with 50 or More EmployeesAB 2053 amends section 129501 of the Government Code to require additional training for supervisors Currently (as does this new law) California employers with 50 or more employees are required to provide harassment prevention training to supervisors Under the new law the training must also include training and education on the prevention of ldquoabusive conductrdquo or bullying Abusive conduct may include ldquorepeated infliction of verbal abuse such as the use of derogatory remarks insults and epithets verbal or physical conduct that a reasonable person would find threatening intimidating or humiliating or the gratuitous sabotage or undermining of a personrsquos work performancerdquo AB 2053 provides that a single act does not constitute abusive conduct unless it is especially severe and egregious

Practical Tip This new training topic can be incorporated into the existing two-hour training obligation Along with the training employers may choose to formulate policies discouraging such misconduct and describing how a victim may seek assistance

Harassment Unpaid Interns (AB 1443)AB 1443 extends the protections of Californiarsquos Fair Employment and Housing Act to unpaid interns The law prohibits employers from subjecting unpaid interns to discrimination andor harassment based on their race religious creed color national origin ancestry physical disability mental disability medical condition genetic information marital status sex gender gender identity gender expression age sexual orientation or military and veteran status Under AB 1443 an employer may also be liable for harassment of an unpaid intern by a nonemployee if the employer knew or should have known of the conduct and failed to take immediate and appropriate corrective actionPractical Tip This new anti-harassment category should be added to company policies and incorporated into harassment prevention training Interns should be advised of their rights and instructed to complain about any misconduct to a designated company representative

Controller Joins Fight Against Wage Theft Pilot Program Results in Lawsuits Against Fresno and Los Angeles Businesses for Hundreds of Thousands in Unpaid WagesState Controller John Chiang today announced a new pilot program -- called ldquoOperation Pay-Uprdquo -- to aid victims of wage theft committed by employers Working in conjunction with the state Labor Commissionerrsquos Office and non-



profit The Wage Justice Center the Controllerrsquos pilot project addresses the growing number of low-income workers who are owed millions of dollars in back wages unlawfully withheld by exploitive businesses Between 2008 and 2011 alone the magnitude of the problem was an estimated $390 millionOperation Pay-Up is an offshoot of Controller Chiangrsquos innovative use of the statersquos unclaimed property laws to force 19 of the nationrsquos largest life insurance providers to recently pay more than $24 billion of unpaid death benefits owed to the thousands of surviving beneficiaries nationwide including $267 million for Californians alone The unclaimed property law was originally designed to ensure that businesses in possession of clientrsquos lost or forgotten property -- such as savings accounts security deposits uncashed checks and safe deposit box contents -- would make every effort to return the items or transfer them to the State for safekeeping until claimed by the rightful owner or heirldquoSince becoming Controller in 2007 I have used old laws in new ways to protect working families Today wersquore using a 55-year old statute to compel immediate payment from unscrupulous businesses that have fleeced their employees of earned wages for yearsrdquo said Chiang ldquoThese exploited workers often face retaliation from their employers when attempting recovery of wages and too often still wind up with nothing after a difficult and lengthy legal process to prove their claim By adding my officersquos resources to the fight I hope to boost the efforts of those seeking the pay and the justice that they are owedrdquo

IRS Announces 2015 Pension Plan Limitations Taxpayers May Contribute up to $18000 to their 401(k) plans in 2015WASHINGTON mdash The Internal Revenue Service today announced cost of living adjustments affecting dollar limitations for pension plans and other retirement-related items for tax year 2015 Many of the pension plan limitations will change for 2015 because the increase in the cost-of-living index met the statutory thresholds that trigger their adjustment However other limitations will remain unchanged because the increase in the index did not meet the statutory thresholds that trigger their adjustment Highlights include the followingbull The elective deferral (contribution) limit

for employees who participate in 401(k) 403(b) most 457 plans and the federal governmentrsquos Thrift Savings Plan is increased from $17500 to $18000

bull The catch-up contribution limit for employees aged 50 and over who participate in 401(k) 403(b) most 457 plans and the federal governmentrsquos Thrift Savings Plan is increased from $5500 to $6000

bull The limit on annual contributions to an Individual Retirement Arrangement (IRA) remains unchanged at $5500 The additional catch-up contribution limit for individuals aged 50 and over is not subject to an annual cost-of-living adjustment and remains $1000

bull The deduction for taxpayers making contributions to a traditional IRA is phased out for singles and heads of household who are covered by a workplace retirement plan and have modified adjusted gross incomes (AGI) between $61000 and $71000 up from $60000 and $70000 in 2014 For married couples filing jointly in which the

spouse who makes the IRA contribution is covered by a workplace retirement plan the income phase-out range is $98000 to $118000 up from $96000 to $116000 For an IRA contributor who is not covered by a workplace retirement plan and is married to someone who is covered the deduction is phased out if the couplersquos income is between $183000 and $193000 up from $181000 and $191000 For a married individual filing a separate return who is covered by a workplace retirement plan the phase-out range is not subject to an annual cost-of-living adjustment and remains $0 to $10000

bull The AGI phase-out range for taxpayers making contributions to a Roth IRA is $183000 to $193000 for married couples filing jointly up from $181000 to $191000 in 2014 For singles and heads of household the income phase-out range is $116000 to $131000 up from $114000 to $129000 For a married individual filing a separate return the phase-out range is not subject to an annual cost-of-living adjustment and remains $0 to $10000

bull The AGI limit for the saverrsquos credit (also known as the retirement savings contribution credit) for low- and moderate-income workers is $61000 for married couples filing jointly up from $60000 in 2014 $45750 for heads of household up from $45000 and $30500 for married individuals filing separately and for singles up from $30000

Below are details on both the adjusted and unchanged limitationsSection 415 of the Internal Revenue Code provides for dollar limitations on benefits and contributions under qualified retirement plans Section 415(d) requires that the Secretary of the Treasury annually adjust these limits for cost of



living increases Other limitations applicable to deferred compensation plans are also affected by these adjustments under Section 415 Under Section 415(d) the adjustments are to be made under adjustment procedures similar to those used to adjust benefit amounts under Section 215(i)(2)(A) of the Social Security ActEffective January 1 2015 the limitation on the annual benefit under a defined benefit plan under Section 415(b)(1)(A) remains unchanged at $210000 For a participant who separated from service before January 1 2015 the limitation for defined benefit plans under Section 415(b)(1)(B) is computed by multiplying the participantrsquos compensation limitation as adjusted through 2014 by 10178The limitation for defined contribution plans under Section 415(c)(1)(A) is increased in 2015 from $52000 to $53000The Code provides that various other dollar amounts are to be adjusted at the same time and in the same manner as the dollar limitation of Section 415(b)(1)(A) After taking into account the applicable rounding rules the amounts for 2015 are as followsThe limitation under Section 402(g)(1) on the exclusion for elective deferrals described in Section 402(g)(3) is increased from $17500 to $18000The annual compensation limit under Sections 401(a)(17) 404(l) 408(k)(3)(C) and 408(k)(6)(D)(ii) is increased from $260000 to $265000The dollar limitation under Section 416(i)(1)(A)(i) concerning the definition of key employee in a top-heavy plan remains unchanged at $170000The dollar amount under Section 409(o)(1)(C)(ii) for determining the maximum account balance in an employee stock ownership plan subject to a 5 year distribution period is increased from $1050000 to $1070000 while the dollar amount used to determine the lengthening of the 5 year distribution period remains unchanged at

$210000The limitation used in the definition of highly compensated employee under Section 414(q)(1)(B) is increased from $115000 to $120000The dollar limitation under Section 414(v)(2)(B)(i) for catch-up contributions to an applicable employer plan other than a plan described in Section 401(k)(11) or Section 408(p) for individuals aged 50 or over is increased from $5500 to $6000 The dollar limitation under Section 414(v)(2)(B)(ii) for catch-up contributions to an applicable employer plan described in Section 401(k)(11) or Section 408(p) for individuals aged 50 or over is increased from $2500 to $3000The annual compensation limitation under Section 401(a)(17) for eligible participants in certain governmental plans that under the plan as in effect on July 1 1993 allowed cost of living adjustments to the compensation limitation under the plan under Section 401(a)(17) to be taken into account is increased from $385000 to $395000The compensation amount under Section 408(k)(2)(C) regarding simplified employee pensions (SEPs) is increased from $550 to $600The limitation under Section 408(p)(2)(E) regarding SIMPLE retirement accounts is increased from $12000 to $12500The limitation on deferrals under Section 457(e)(15) concerning deferred compensation plans of state and local governments and tax-exempt organizations is increased from $17500 to $18000The compensation amount under Section 161 21(f)(5)(i) of the Income Tax Regulations concerning the definition of ldquocontrol employeerdquo for fringe benefit valuation remains unchanged at $105000 The compensation amount under Section 161 21(f)(5)(iii) is increased from $210000 to $215000The Code also provides that several retirement-

related amounts are to be adjusted using the cost-of-living adjustment under Section 1(f)(3) After taking the applicable rounding rules into account the amounts for 2015 are as followsThe adjusted gross income limitation under Section 25B(b)(1)(A) for determining the retirement savings contribution credit for married taxpayers filing a joint return is increased from $36000 to $36500 the limitation under Section 25B(b)(1)(B) is increased from $39000 to $39500 and the limitation under Sections 25B(b)(1)(C) and 25B(b)(1)(D) is increased from $60000 to $61000The adjusted gross income limitation under Section 25B(b)(1)(A) for determining the retirement savings contribution credit for taxpayers filing as head of household is increased from $27000 to $27375 the limitation under Section 25B(b)(1)(B) is increased from $29250 to $29625 and the limitation under Sections 25B(b)(1)(C) and 25B(b)(1)(D) is increased from $45000 to $45750The adjusted gross income limitation under Section 25B(b)(1)(A) for determining the retirement savings contribution credit for all other taxpayers is increased from $18000 to $18250 the limitation under Section 25B(b)(1)(B) is increased from $19500 to $19750 and the limitation under Sections 25B(b)(1)(C) and 25B(b)(1)(D) is increased from $30000 to $30500The deductible amount under Section 219(b)(5)(A) for an individual making qualified retirement contributions remains unchanged at $5500The applicable dollar amount under Section 219(g)(3)(B)(i) for determining the deductible amount of an IRA contribution for taxpayers who are active participants filing a joint return or as a qualifying widow(er) is increased from $96000 to $98000 The applicable dollar amount under Section 219(g)(3)(B)(ii) for all

other taxpayers (other than married taxpayers filing separate returns) is increased from $60000 to $61000 The applicable dollar amount under Section 219(g)(3)(B)(iii) for a married individual filing a separate return is not subject to an annual cost-of-living adjustment and remains $0 The applicable dollar amount under Section 219(g)(7)(A) for a taxpayer who is not an active participant but whose spouse is an active participant is increased from $181000 to $183000The adjusted gross income limitation under Section 408A(c)(3)(B)(ii)(I) for determining the maximum Roth IRA contribution for married taxpayers filing a joint return or for taxpayers filing as a qualifying widow(er) is increased from $181000 to $183000 The adjusted gross income limitation under Section 408A(c)(3)(B)(ii)(II) for all other taxpayers (other than married taxpayers filing separate returns) is increased from $114000 to $116000 The applicable dollar amount under Section 408A(c)(3)(B)(ii)(III) for a married individual filing a separate return is not subject to an annual cost-of-living adjustment and remains $0The dollar amount under Section 430(c)(7)(D)(i)(II) used to determine excess employee compensation with respect to a single-employer defined benefit pension plan for which the special election under Section 430(c)(2)(D) has been made is increased from $1084000 to $1101000

A First let me make a correction to your first statement While you are correct that RMErsquos are required to work a minimum of 32 hours per week or 80 of the companyrsquos operating hours whichever is less RMOrsquos are not required to have a minimum of 20 equity

Now to answer your question an LLC can have a Responsible Managing Employee (RME) a Responsible Managing Officer (RMO) a Responsible Managing Manager (RMG) or a Responsible Managing Member (RMM) RMGrsquos and RMMrsquos are similar to RMOrsquos in that they donrsquot have a minimum hour requirement that they must abide by but they are responsible for exercising direct supervision and control of

the companyrsquos construction operation

Nevada does not have the titles RME RMO etc however they are more detailed about the specific duties that they require of Qualifying Individuals There is no hour requirement for Qualifying Individuals in Nevada however they must be a bona fide member or employee of the company and they are required to exercise authority in the companyrsquos contracting business This includes making technical and administrative decisions hiring promoting directing etc other employees either directly or through others and to devote themselves solely to the business and not take other employment that would conflict with their duties

Arizona also does not use the terms RMO RME etc nor do they have an hour requirement for the Qualifying Party on a license Arizona requires that while an individual is acting as a Qualifying Party they ldquoshall not take other employment that would conflict with his duties as qualifying party or conflict with his ability to adequately supervise the work performed by the licenseerdquo

Q I currently work for a company that has a ldquoC-10rdquo electrical license I have my electrician certification I want to be an electrical sub-contractor for my current company and my buddyrsquos company that also has a ldquoC-10rdquo license If both companies hire me as an Independent Contractor can I work under their licenses or do

I need my own ldquoC-10rdquo contractorrsquos license

A If the work you would be doing goes over $50000 you would need to have your own individual ldquoC-10rdquo license Even though you may consider yourself ldquoemployedrdquo by the two companies you are not technically an ldquoemployeerdquo of each entity and therefore you cannot do work under their license Independent contractors are by definition not employees

Many chemicals such as acids and bases are corrosive and can easily damage employeesrsquo skin and eyes The severity of damage depends on how strong the chemical is how long contact is maintained and what actions are taken after contact is made The first 10 ndash 15 seconds after exposure to a hazardous substance are critical Delaying treatment may cause serious injury Eye wash stations and safety showers provide on-the-spot decontamination allowing employees to flush away hazardous substances that can cause injury

Chemical precautions

bull Know what chemicals you are working with and their specific physical and health hazards

bull Know what personal protective equipment (PPE) must be used when working with these materials including protective devices for the eye

bull A job hazard analysis can provide an evaluation of the potential hazards on the job

bull Check the safety data sheet (SDS) for information about exposure prevention and response procedures

bull Follow proper hazard identification procedures such as warning signs near hazardous substances

bull Follow all storage and separation requirements such as keeping acids and bases apart

bull Follow proper container use and labeling requirements

bull Eye wash stations must be in accessible locations that only take 10 seconds to reach or are 25 feet away They must not be through doorways that require opening

bull Eyewash apparatuses must have an onoff pedal or valve that activates within one second by a single motion

bull Eyewash stations must be located in areas free of obstacles

bull Flush the affected area for at least 15 minutes or as specified on the SDS using a large supply of clean water under low pressure

bull Seek medical attention as soon as possible

bull Employees must be trained on eye wash station function

bull Assure proper maintenance with frequent and recorded testing of eye wash stations weekly

bull Detailed inspections need to include fluid flow test unit functionality and a physical inspection of the unit In addition lines are to be cleaned to prevent sedimentation buildup

Safety shower basics

bull Safety showers must be in fixed work areas where large portions of skin may be exposed to corrosive or toxic chemicals

bull As with eye washes showers must have a sustained water flow of 15 minutes The flow must remain on without the use of hands

bull Showers must remain uncluttered clean and sanitary

bull If a skin exposure occurs active the shower and then have employees remove PPE and clothing

bull Employees must be trained on operating these stations during facilities orientation

bull Locations must be identified with appropriate signage

Wedge Roofing Inc is currently looking for an Estimator in the Commercial Roofing Market for the San Francisco Bay Area Experienced Estimator who is capable of performing hard bid and conceptual estimates in both private and public

work markets They must be able to manage multiple estimates at one time along with some minor project management

This person will need to have the ability to work with plans amp drawings clients consultants subcontractors and municipali-

SEEKING ESTIMATING ADMINISTRATOR

Dutra is currently looking for an Estimating Administrator This position supports the Estimating Department Successful applicant will be re-sponsible for distributing organizing and maintaining bidding documents such as plans specifications addenda and quotes Will also work to support the Chief Estimator and Proposal and Contracts Manager in preparing estimates proposals Statement of Qualifications and marketing materials Additionally will assist the Contract Administrator with bonds contracts and tracking SBE participation

ESSENTIAL DUTIES AND RESPONSIBILITIESbull Distribute organize and maintain bidding documents including printing copying filing and tracking distributionbull Assist in the preparation of estimates proposals SOQs and marketing materialsbull Assist in the preparation of contract documents bond requests and Small Business Enterprise (SBE) requirements and goalsbull Keep accurate records of SBE participation Ensure company is compliant with SBE regulationsbull Maintain detailed and organized files on future current and past projectsbull Prepare reports maintain estimating schedule and track contract deadlinesbull Identify and track bidding opportunities
