Service M2 Private Equity Fund of Funds, LP (the “Partnership”) is a fund-of-funds that invests in venture capital,

company, serves as the General Partner of the Partnership. Muller & Monroe Asset Managment, LLC owns a

majority interest of M2PEFF GP and serves as the management company to the Partnership in which capacity

Conditions Annual management fees are equal to 1% of the aggregate commitments of the partners to the Partnership

December 18, 2017, the Management Fee shall equal .3% of the Total Commitments, (viii) on and after

December 18, 2018, the Management Fee shall equal .2% of the Total Commitments.

Amounts distributed to partners of the Partnership from distributions made to the Partnership from its portfolio

funds are subject to recall from the Partnership in the event a portfolio funds recalls such amount from the

Partnership.

In addition to the management fee detailed above, M2PEFF GP shall receive a carried interest of 5% of the

distributions after all capital has been returned to the partners of the Partnership and an 8% preferred return

has been paid on the capital contributed by the partners of the Partnership.
