The Bidder shall bear all its costs associated with or relating to the preparation and

submission of its Bid including but not limited to preparation, copying, postage, delivery fees, expenses associated with any demonstrations or presentations which may be required by the Authority or any other costs incurred in connection with or relating to its Bid. All such costs and expenses will remain with the Bidder and the Authority shall not be liable in any manner

whatsoever for the same or for any other costs or other expenses incurred by a Bidder

in preparation or submission of the Bid, regardless of the conduct or outcome of the

Bidding Process.

If for any reason a bidder fails to make this payment through online mode, system won’t allow the bidder proceed further for next stage resulting in his/her elimination from Online Bidding Process. Subsequently, bid has to be prepared and submitted online only as per the E-TENDER TIME SCHEDULE. The bidders are required to download the tender document within the pre-scribed date & time mentioned in online tender schedule. After expiry of the date and time for tender document download, Department/Corporation will not be responsible for any such failure on account of bidders for not downloading the document within the schedule even though they have paid the cost of the tender to the Department /corporation. In such case the cost of the tender paid by the bidders will not be refunded. PREPARATION & SUBMISSION OF BIDS: The Tenders shall have to be prepared and subsequently submitted online only. 1. Introduction

Maharashtra is one of the prominent coastal states in India with a coastline of around

720 km. The coastline is regulated and administered by the Maharashtra Maritime

Board (MMB), which is the nodal agency governing the regulatory framework of the

state’s maritime sector. In accordance with the Inland Vessel Act, 1917, MMB also acts

as the regulator for inland water transportation in the state. Over the years, MMB has

taken a number of initiatives to harness the potential of the coastline by developing

Greenfield ports, captive jetties, multipurpose jetties, inland water transport and

shipyards.

2. Objective of the Assignment

In order to enhance the operational efficiency through internal audit and assisting MMB,

it wishes to empanel Chartered Accountant Firms for a period of 5 years for providing

Internal Audit & other financial services for MMB and its projects / SPV/ Joint venture of

which MMB is one of the stakeholder. MMB shall select the Chartered Accountant Firms

from the empaneled list for auditing various projects/ SPV/ Joint Venture on time to

time basis. The selected Chartered Accountants Firm will be appointed/engaged initially

for a period of 1(one) year and may be renewed based on satisfactory performance and

mutually agreed terms and conditions.

3. Scope of Services

MMB intends to have internal audit for the organisation and for its various projects/ SPV/ JV.

An indicative list of services which are expected to be offered by the shortlisted CA Firms are

as follows:

a) To verify the Books of Accounts of the Company/ Special Purpose Company/ Joint

Venture as per Companies Act, 2013 including areas of Internal Finance Control and

Income Tax Act etc.

b) Verification of the Cash Book and Bank book on monthly basis.

c) To verify the quarterly receipt and payment statement to be placed before the

Board.

d) Verification of accuracy of TDS deduction and returns filed in prescribed forms

with tax authorities, Return Filing of TDS/TCS.

e) To ensure proper tax compliances like direct tax, indirect tax, GST, Tax

Planning, filing of various returns/ reports from time to time under the statutes

as applicable to the company.

f) All financial day to day transactions to be pre-Audited.

g) To verify daily report submitted by concerned departments.

h) To verify the deposit of Advance Tax to avoid penalty.

i) Internal Audit to be done on a daily basis during office hours by qualified

Chartered Accounts by deputing the Auditor to the Special Purpose Company/

Joint Venture, whenever required.

j) To prepare and submit Quarterly Internal Audit report for Audit Committee and

Board Meeting.

k) To verify the Statutory Compliance like EPF, TDS, VAT, TCS, and Service Tax etc. as

applicable to the Company.

l) To suggest/advise the Board of Directors and Management of the Company in

the matters of Income Tax and other tax related matters in financial issues.

m) Reconciliation of Receipts & Expenditure at Hydrographer , Marine Engineer , Port

offices and their allied offices level & its consolidation at Head Quarters level and

Maintenance of relevant records.

n) Verification of ledgers maintained by MMB.

o) Advice the Board regarding proper maintenance of record and correct accounting

procedure.

p) To consider the Accountant General, Mumbai’s Audit objections while preparing the

Balance Sheet and Annual Accounts. Tax audit of the financial year

q) Filing of Income Tax

r) Advising in investment, creation of general fund & revolving fund and reserve fund

from time to time.

4. Eligibility Criteria

Chartered Accountants Firms (CA Firms) fulfilling the following eligible criteria

as listed below shall be empanelled with MMB.

Any form of Joint Venture / Consortium of Firms will not be allowed for

participation in the empanelment process. The eligibility criteria are as follows:

a) The CA (Chartered Accountants) Firm should be a Partnership Practicing

Firm of Chartered Accountants registered with ICAI.

b) The CA Firms should be in Practice for a period of 10 Years or more and

empanelled with C&AG of India for the Financial Year 2017-18(as per

the latest Certificate of ICAI as on 01/01/2017 Firm Status Card & C&AG

empanelment letter).

c) Have at least 3 (three) fulltime partners who are associated with the

firm for more than 2(two) years, out of which 1 (one) partner should be

stationed at Mumbai

d) Minimum annual turnover o f R s o n e c r o r e f o r the bidder in the

last 3 financial years 2014-15, 2015-16 and 2016-17. (Audited financial

statements & ITRs to be submitted).

e) In any one financial year i.e. FY 2015-16 or 2016-17, the bidder have

conducted statutory audit or internal audit of at least one

PSU/Private Sector Company with minimum turnover of Rs 100 crore.

f) No. of Companies (Registered under Companies Act) audited

in the capacity of statutory auditors and / or Internal auditor should

be at least 25 companies including 3 PSU

g) Experience as statutory auditor for auditing the firms/companies

having PPP/BOT/EPC projects : At least 3 projects in last 10years

h) Should have never been issued notice for failure to submit

deliverables and cancellation of work order, forfeiture of EMD, etc by

any Government and/or semi Government/Autonomous entities.

i) Should not have been barred from appointment by any government

and/or semi government entities.

I. In respect of Serial No. a, b & c photocopy/scanned copy of Certificate issued

by The Institute of Chartered Accountants of India.

II. In respect of Serial No. (e), list of companies audited and their turnover as on

31st March 2016 or 31st March, 2017 duly certified by two partners of the

bidder (Refer Annexure 3)

5. Procedure for empanelment:

The bid responses so received will be evaluated on the following evaluation criteria and

granted a score. If the law firm scores more than 60 as per the scoring criteria

mentioned, then that law firm will qualify for further consideration. The top scorers out

of those having scored more than 60 score will be considered for empanelment. The

size of panel will be limited to five. As per the sole discretion of CEO, MMB the size of

empanelment may increase or decrease in case required.

6. Submission Requirement

To be eligible for Empanelment, the applicants fulfilling the above eligibility criteria

shall provide satisfactory evidence to MMB. In addition, all applications submitted

along with covering letter (Format given at ANNEXURE-1 & 2) shall include the

following information:

Letter of Expression of Interest including details of the firm (supported by

Partnership Agreement and Registration Certificate issued by the Institute of

Chartered Accountants of India and other incorporation document).

Details of Full Time Partners of the Firms containing following information of

each Partner:

(A) Name of Partner (B) Address and Contact details (C) Educational Qualification (D) Specialization in professional experience (E) Membership No. and its category like Associate/Fellow Member.

All documents should be self-signed & sealed.

7. EARNEST MONEY DEPOSIT

No tender will be considered which is not accompanied by a sum of Rs 12000 (Twelve Thousand Rs only) as Earnest Money Deposit. In the event of the bidder withdrawing the tender before the expiry of 180 (one hundred and eighty) days from the date of opening of the tender, the tender shall be cancelled and the earnest money deposit therewith forfeited by the MMB.

Bidders are required to pay Earnest Money Deposit (if applicable) through Online Payment modes i.e. Net Banking, Debit Card, Credit Card during Bid Preparation Stage. This payment will not be accepted by the department through any offline modes such as Cash, Cheque or Demand Draft.

The amount of earnest money will be refunded to disqualified bidders/non Short listed bidders as soon as possible by MMB. No interest will be allowed on the earnest money from the date of receipt until it is refunded. EMD of successful bidders/Empanelled bidders will be retained for entire period of empanelment i.e years or such extended period by MMB. EMD of the

Empanelled bidders will be returned after a period of 5 years (or such extended by MMB), if undertaken.

8. Cost of Document:

Cost of the document shall be Rs 2400/- (Two Thousand and four hundred Rs). EOI document and supporting documents may be purchased and downloaded from following link of Maharashtra Maritime Board on e-Tendering website of Government of Maharashtra, https://mahatenders.gov.in by making payment through Online Payment mode

9. Language of Application

The language of the Application as well as the supporting documents shall be in English.

10. Submission of EoI-Packing, Sealing and Marking

10.1 An applicant is required to submit only one EoI.

10.2 The Tenders shall have to be prepared and subsequently submitted online

only. Tenders not submitted through online mode will not be entertained.

10.3 The EoI shall be addressed to MMB, Mumbai the following address:

1 3 Modifications and Withdrawal of EoI

No modifications to the EoI shall be allowed once it is received by MMB.

14 Clarification :

Every applicant shall be responsible for providing all information as required in this

EoI document. For evaluating the EoI of the applicant, MMB may ask any further

information, clarification or document from the applicant. Details of clarifications,

information or additional documents, if any, required from applicant, shall be in

written from and will be communicated to the applicant by the MMB. The applicant

will be responsible to submit the information, as requested, within a stipulated time

mentioned in the clarification letter. In case of non-submission of such information

/clarification/document, MMB will evaluate the EoI based on the available

records/documents and as per the terms of this EoI documents. MMB reserves the

right to accept or reject any application and to annul whole process without assigning

any reason whatsoever.

15 Bidders requiring a clarification of the documents must notify the Client, in writing. Any request

for clarification in writing must be sent to the Client’s address. The Client may at its discretion

respond to the queries.

16 At any time before the submission of proposals, the Client may, for any reason, whether at its own

initiative or in response to a clarification requested by firm, modify the Documents by amendment

or corrigendum. The amendment will be uploaded on the website ___________

17 Award of Work

Procedure for the award of work shall be as follows:-

On the basis of application received from the CA Firms, MMB shall evaluate the

applications and prepare a list of eligible empanelment firms.

MMB shall communicate through written intimation to the selected firm for

empanelment.

The selected firms shall continue to be empaneled for a period of five years

so that their services can be availed by MMB for any work required in future.

As per the project requirement, MMB shall float the tender only to the

empanelment firm and they shall be requested to submit their financial

quotation for the specific work/contract.

The contract shall be awarded to the lowest quote bidder.

18 Final decision making authority:

MMB reserves the right to accept or reject any application; and/or to annul the

process and reject all applications at any time without assigning any reason

whatsoever and without thereby incurring any liability to the affected applicant and/or

without informing the applicants of the grounds for the MMB’s action.

19 Period of Empanelment:

The empanelment would be for a period of 5(Five) years and can be extended by MMB at

its own discretion. Notwithstanding anything contained in the EoI document, MMB

would have sole irrevocable right to terminate the empanelment and /or increase the

number of such empanelment and /or issue fresh invitation for similar empanelment at

any reason.

20 Termination of Empanelment: If in the review of MMB the performance of a Firm is not satisfactory, or if in its view

the Firm has failed to safeguard the interest of MMB, the Chief Executive Officer, MMB

may at his sole discretion, terminate the empanelment of the Firm with the MMB by

giving one month notice period. The CEO, in doing so, shall intimate the Firm in written

termination letter. The decision of MMB in this matter shall be final and binding.

21 Jurisdiction All dispute arising out of this appointment shall be subject to the jurisdiction of the appropriate court at Mumbai, Maharashtra and will be governed by the laws of Maharashtra and India as the case may be.
