CONTENTS You are at .................................. 01 From the Desk of the Chairman Dear Professional Colleagues, Life is BEST for those who are enjoy- ing it..DIFFICULT for those who are comparing it..WORST for those who are criticising it..Your own Attitude defines your life..So enjoy life for each moment. While I retrospect the month of June 2018, I am happy to share that EIRC had organised a wide range of activities be it Profes- sional Development Programmes or Convocation or Yoga Day Celebration. The month started with the CS examinations which was conducted across the country. The exams were fol- lowed by "Convocation" on 12th June which was held at St. Xavier's College Kolkata where CS Ahalada Rao Vummenthala, Vice President, ICSI graced the occasion and Prof. (Dr.) Minak- shi Ray, Pro Vice-Chancellor for Business Affairs & Finance, Uni- versity of Calcutta was the Chief Guest. The 15th day in the month of June reminded us of an import- ant event where the Company Secretaries in Practice were ac- corded recognition for certifying the Annual Returns under the erstwhile Companies Act, 1956. We celebrated the occasion as "PCS Day" where we felicitated the Company Secretaries from Eastern Region who are in practice for 25 and more years. The celebrations continued and culminated on 16th June at JW Marriott Kolkata with the mega event - 14th Regional PCS Conference where Shri Arjun Ram Meghwal ji, Hon'ble Min- ister of State for Parliamentary Affairs, Water Resources, River Development and Ganga Rejuvenation, Govt. of India graced the occasion as Chief Guest and both the Members of the NCLT, Kolkata Bench were Guests of Honour. Around 300 delegated participated in this programme. A Workshop on Recently notified SBO Rules and Restriction of Number of Layers Rules was organised on 22nd June and Half Day Workshop on Recent Amendments in SEBI (LODR) Regula- tions & Companies Act was organised on 30th June. Mega Placement for the Members was organised on 19th June and we actively participated in the Yoga Day on 21st June also. As the month of July will be celebrated as STUDENTS MONTH, EIRC has planned various activities for the comprehensive growth and development of the future professionals. We have planned different activities on each day of the month. We will organise Classroom sessions on Companies (Amendment) Act and other programmes on the important and pertinent topics. As you all are now aware that the National Convention is sched- uled on 30th August to 1st September at Bhubaneswar, it's a matter of pride and prestige for the Eastern Region that the Golden Jubilee Year (46th edition) of the National Convention is being held at Eastern Region and I request you all for your active participation and patronage to make it a grand success. I once again take this opportunity to acknowledge the constant support and guidance from my colleagues in Regional Council, Central Council Members and all my Predecessors at EIRC, in all my initiatives. I also acknowledge the efforts of EIRO officials under the leadership of Shri DVNS Sarma in giving their best to implement these initiatives. While I retrospect the month of June 2018, I am happy to share that EIRC had organised a wide range of activities be it Profes-sional Development Programmes or Convocation or Yoga Day Celebration. The month started with the CS examinationswhich was conducted across the country. The exams were fol-lowed by "Convocation" on 12th June which was held at St. Xavier's College Kolkata where CS Ahalada Rao Vummenthala, Vice President, ICSI graced the occasion and Prof. (Dr.) Minak-shi Ray, Pro Vice-Chancellor for Business Affairs & Finance, Uni-versity of Calcutta was the Chief Guest.

The 15th day in the month of June reminded us of an import-ant event where the Company Secretaries in Practice were ac-corded recognition for certifying the Annual Returns under the erstwhile Companies Act, 1956. We celebrated the occasion as "PCS Day" where we felicitated the Company Secretaries from Eastern Region who are in practice for 25 and more years. As you all are now aware that the National Convention is sched-uled on 30th August to 1st September at Bhubaneswar, it's a matter of pride and prestige for the Eastern Region that the Golden Jubilee Year (46th edition) of the National Convention is being held at Eastern Region and I request you all for your active participation and patronage to make it a grand success.

ICSI-EIRC observed Golden Jubilee Year PCS Day Celebration on 15th June, 2018 at ICSI-EIRC House. The 30th Edition of PCS Day started with Panel Discussion where CS Mahesh Shah, CS H M Choraria, Past Presidents, ICSI and CS S K Agrawala, Council Member, ICSI shared their views and experiences. The informative presentations provided by HO were displayed for the information to the delegates. The Company Secretaries who are in practice for 25 years and above and present at the programme were felicitated on this occasion

ICSI MEGA PLACEMENT DRIVE, 2018 FOR MEMBERS HELD ON 19TH JUNE, 2018 AT ICSI-EIRC HOUSE

The celebration continued on Saturday, 16th June, 2018 at JW Marriott Hotel Kolkata where 14th Regional PCS Conference of EIRC was organised. Shri Arjun Ram Meghwal, Hon’ble Minister of State for Parliamentary Affairs, Water Resources, River Development and Ganga Rejuvenation, Govt. of India graced the occasion as the Chief guest whereas Shri K R Jinan and Shri M B Gosavi, Hon’ble Members, National Company Law Tribunal, Kolkata Bench were the Guests of Honour at the programme. CS Mamta Binani, Past President, ICSI and CS Santosh Agrawala, Council Member, ICSI along with CS Siddhartha Murarka, Chairman, PCS Committee of EIRC of ICSI were also present on the occasion.

CS G P Madaan, Advocate & Insolvency Professional and Past Chairman, NIRC of ICSI deliberated on ‘The Insolvency and Bankruptcy Code 2016’ whereas CS D V Deshpande, Practising Company Secretary (from Pune) and Regional Council Member, WIRC of ICSI discussed about ‘The Companies (Amendment) Act 2017’. Shri Ajay Agarwal, Renowned Corporate Trainer & Motivator deliberated an inspirational session on ‘Steps to Actualisation to the first two steps to Enhancing Professional Excellence’. The grand gala event was attended by more than 300 delegates.

ICSI Mega Placement Drive – I, 2018 for the Eastern Region was held on Tuesday, the 19th June, 2018 at ICSI-EIRC House, from 8:30 AM to 8.00 PM. This Placement Drive was meant for the members who have received their Membership between 20th October 2017 till 31st May 2018. There was an Induction Programme before commencement of interview process. Shri Ajay Agarwal, Director, Rapid Learning System Pvt Ltd., a Nationally acclaimed Motivator & Corporate Trainer, took the Session on “Interview Skill Development Module (ISDM)” to motivate and inspire the young members regarding how to face the interview. Total 18 Companies / PCS Firms were attended the Event as Recruiters. The entire day was captured in photographs. CS Ashok Purohit, Chairman – EIRC, present on the occasion.

EIRC of ICSI organised a Workshop on Friday, 22nd June, 2018 to discuss about the recently notified section of the Companies (Amendment) Act 2017. CS Vinod Kothari, Practising Company Secretary and Past Chairman, EIRC of ICSI was the Guest Speaker on this occasion and deliberated on the Significant Beneficial Ownership (SBO) Rules, 2018 and Companies (Restriction on Number of Layers) Rules, 2017. I. SEBI notification dated June 8, 2018 regarding Transfer or transmission or transposition of securitiesSEBI has issued a notification number SEBI/LAD-NRO/GN/2018/24 dated 8th of June, 2018 called

the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) (Fourth Amendment) Regulations, 2018, to amend the existing Regu-lation 40(1) of the SEBI (LODR) Regulations, 2015.

The amendment shall come into force on the 180th day from the date of its publication in the Official Gazette, i.e. 5th December, 2018.

The amended Regulation 40(1) of SEBI LODR reads as under (The amendment is men-tioned in Italics bold font):

Transfer or transmission or transposition of securities.40. (1) Save as otherwise specified in provisions of securities laws or Companies Act, 2013 and rules made thereunder, the listed entity shall also comply with the require-ments as specified in this regulation for effecting transfer of securities:"Provided that, except in case of transmission or transposition of securities, request for effecting transfer of securities shall not be processed unless the se-curities are held in the dematerialized form with a depository."

Effect of this Amendment:After this amendment comes into force, the requests for effecting the transfer of listed securities shall not be processed unless the securities are held in the dematerialized form with a depository. Therefore, for effecting any transfer, the securities shall man-datorily require to be in Demat form. The shareholder can continue to hold the shares in physical form but one cannot transfer the same in physical form.

II. MCA update dated June 28, 2018 regarding Annual KYC of all Directors

As part of updating its registry, Ministry of Corporate Af-fairs (MCA) would be conducting KYC of all Directors of all companies annually through a new e-form viz. DIR-3 KYC to be notified and deployed shortly.

Accordingly, every Director who has been allotted DIN on or before 31st March, 2018 and whose DIN is in ‘Approved’ status, would be mandato-rily required to file form DIR-3 KYC on or before 31st August, 2018.

While filing the form, the Unique Personal Mobile Number and Personal Email ID would have to be mandatorily provided and thereafter duly verified by One Time Password (OTP).

The form should be filed by every Director using his own DSC and should be duly certi-fied by a practicing professional (CA/CS/CMA). Filing of DIR-3 KYC would be mandatory for Disqualified Directors also.

After expiry of the due date by which the KYC form is to be filed, the MCA21 system will mark all approved DINs (allotted on or before 31st March 2018) against which DIR-3 KYC form has not been filed as ‘Deactivated’ with reason as ‘Non-filing of DIR-3 KYC’. Filing of DIR-3 KYC beyond the stipulated date, in respect of such deactivated DINs shall be allowed upon payment of a specified fee only, without prejudice to any other action that may be taken.

Actionable for Directors:• All the Directors need to file form DIR-3 KYC on or before 31st August, 2018.• Unique Personal Mobile Number and Personal Email ID of concerned Director shall be entered in the form and to be duly verified by One Time Password (OTP).• Every Director should file the form using his own Digital Signature Certificate (DSC). Therefore, every Director must have a valid DSC

ANNUAL MEMBERSHIP AND CERTIFICATE OF PRACTICE FEES FOR 2018-19The Annual Membership and Certificate of Practice fee for the year 2018-19 became due for payment w.e.f. 1st April, 2018 and last date for payment extended upto 31th August, 2018. Members are requested to pay the fee along with applicable GST before the last date. The fee payable is as follows:-
