1. Upon acceptance of this application by Mannatech, Incorporated (here-

inafter referred to as “Mannatech” or the “Com

pany”) and the issuance of an account num

ber, I am authorized as an Independent Associate (“Associate”)

as of the date of this Associate Application & Agreement. The provisions of

the Policies and Procedures, as amended from

time to tim

e, and Career and Com

pensation Plan, as amended from

e, are expressly incorporated hereto. This Associate Application and Agreem

ent, the Policies and Procedures, as am

ended from tim

e to time, and Career and Com

e to time, are accordingly collectively referred to as “the

Agreement”. The term

of the Agreement is one year.

2. As an Associate, I must subm

it a valid identification number (or its equiva-

lent) before being issued with a Com

pany Account Num

ber. The Company

is not responsible for withholding, and shall not w

ithhold or deduct from m

y bonuses and com

missions, if any, taxes of any kind, unless such w

ithholding becom

es legally required. I agree to be bound by all sales tax collection agree-m

ents between the Com

pany and all appropriate taxing jurisdictions, and all related rules and procedures.

entation of such sales to the Company.

f. I will use only the sales contracts and order form

s that are provided by the Com

pany for the sale of its products, and I will follow

all policies and proce-dures established by the Com

pany for the completion and processing of such

contracts and orders.

g. I will not m

ake any false representations, omit m

aterial information or

engage in any misleading conduct in conducting m

y Company business. I

will use only M

annatech-approved promotional m

aterials when representing

Mannatech, offering the business, Career and Com

pensation Plan, training other Associates and/or m

aking representations as to the products. I agree to present the Career and Com

pensation Plan and Mannatech products as set

forth in official Mannatech literature approved for use in the country of opera-

tion in which I am

conducting business. I will m

ake no claims, statem

ents, disclosures, representations or w

arranties regarding products or services that are not printed in M

annatech’s literature in either selling the products or in prom

oting the business opportunity to prospective Associates.h. I authorize the Com

pany to use my nam

e, photograph, personal story and/or likeness in advertising or prom

otional materials.

i. All products purchased will be for personal use, sale to or use by an end-con-

sumer, and I w

ill not purchase any products or services solely for the purpose of qualifying for overrides, com

missions or bonuses.

j. If I fail to annually renew m

y Agreement, I understand that I w

ill lose certain rights under the Career and Com

pensation Plan until such time that I have

renewed m

y position in accordance with the term

s of the then-current Career and Com

pensation Plan.

4. I may not assign any rights or delegate m

y duties under this Agreement

without the prior w

ritten consent of the Company. Any attem

pt to transfer or assign this Agreem

ent without the express w

ritten consent of the Company

renders this Agreement voidable at the option of the Com

pany and may result

in termination of this Agreem

ent.

5. I will com

ply with all national, provincial, federal, and m

unicipal laws,

ordinances, rules and regulations and will m

ake all reports and remit all w

ith-holdings or other deductions as m

ay be required by any national, provincial, federal, or m

unicipal law, ordinance, rule or regulation.

6. The Agreement as defined above constitutes the entire contract betw

een the Com

pany and myself. Any prom

ises, representations, offers or other com

munications not expressly set forth in this Agreem

ent are of no force or effect. To the extent of any conflict or inconsistency betw

een this Agreement

and any other agreement, this Agreem

ent shall supersede and prevail over any term

of any other agreement as to the m

atters addressed herein. To the extent of any conflict or inconsistency betw

een this Associate Application and Agreem

ent and the Policies and Procedures (in their current form or as

subsequently modified), the Policies and Procedures shall in all instances

supersede and prevail over any term of this Associate Application and

Agreement as to the m

atters addressed herein.

7. I agree to carefully READ and CO

MPLY w

ith all provisions contained w

ithin the Agreement as defined herein. I understand that the Policies and

Procedures and the Career and Compensation Plan m

ay be amended from

tim

e to time, and I agree that any revisions or am

endments shall becom

e binding for m

e upon the publication of such revisions on Mannatech O

nline D

ocuments or as officially announced in any Com

pany comm

unication. The continuation of this Agreem

ent or my acceptance of bonuses or com

missions

shall constitute my acceptance of this Agreem

ent, and any and all amend-

ments. I understand that I m

ust be in good standing, and not in violation of any of the term

s of this Agreement, in order to be eligible to receive any

bonuses or comm

issions. I understand that I shall control the manner and

means by w

hich I operate my Com

pany business, subject to my com

pliance w

ith the Agreement and applicable law

. In the event that a provision of this Agreem

ent is held to be invalid or unenforceable, such provision shall be reform

ed only to the extent necessary to make it enforceable, and the balance

of the Agreement w

ill remain in full force and effect.

8. To the extent permitted by law

, the Company, its affiliated com

panies, its directors, officers, shareholders, em

ployees, assigns and agents (collectively referred as “Affiliates”) shall not be liable for, and I release the Com

pany and its Affiliates from and w

aive, all claims for any loss of profits,

indirect, direct, special or consequential damages or any other loss incurred

or suffered by me as a result of: (a) m

y breach of this Agreement or the

Policies and Procedures; (b) the promotion or operation of m

y account and any activities related to it (e.g., the presentation of products or Career and Com

pensation Plan, the operation of a motor vehicle, the lease of m
