2009 will be a challenging yearfor all businesses and it isimportant to consider

whether you are doing all you canto protect and promote the successof your business. Below are somekey legal issues you should considerin the coming year.

The Companies Act 2006 A major overhaul of company law isunderway by virtue of theCompanies Act 2006. Many of thenew legislative provisions came intoeffect on 1st October 2008 and themajority of the remaining provisionsare set to follow on 1st October2009. It is important that companydirectors are aware of the changesand take care to ensure that thecorrect procedures are followed.

Some of the key changes include:-

1. Directors duties have now beencodified and as from 1st October2008 directors have the followingstatutory duties:-

a. To avoid conflicts of interest.

b. Not to accept benefits fromthird parties.

c. To declare any interests inproposed or existing transactionsor arrangements with the company.

d. To act in accordance with thecompany’s constitution andexercise powers only for theirproper purpose.

e. To promote the success of thecompany for the benefit of itsmembers as a whole havingregard to a prescribed list ofconsiderations (amongst others).

f. To exercise independentjudgement.

g. To exercise reasonable care,skill and diligence.

2. All companies must now have atleast one director who is a naturalperson i.e. not a company.

3. Directors’ service contracts inexcess of two years (rather than five)must be now be approved by theshareholders.

4. A simplified procedure forreducing share capital has nowbeen introduced.

5. The restrictions on privatecompanies giving financialassistance for the purchase of theirshare have now been lifted.

6. There is no longer a statutoryrequirement for private companiesto hold annual general meetings.

7. Private companies can now choosenot to have a company secretary.

Contracts The difficult economic climate islikely to mean an increase in thenumber of disputes arising betweenbusinesses, their suppliers andcustomers. Key to many disputeswill be the contract involved andtherefore it is important that allbusinesses consider whether thecontracts they rely on remainsuitable and effective in the marketin which they operate. Properlydrawn contracts can help avoidunwanted, costly disputes and limitthe liability of the parties involved.However, the law relating tocommercial and consumer contractsis complex and subject to regularinterpretation and amendment bythe courts. The consequences ofcontracts containing unenforceableprovisions can be significant and allbusinesses should remember toreview their contractual documentsperiodically.

Employment Law Employees are central to nearly allbusinesses and the constantlyevolving law regulating theemployment relationship can bedifficult to negotiate. Below are a fewissues employers should be aware of.

Holiday entitlements From 1st April 2009 the statutoryentitlement to paid holiday willincrease from 4.8 weeks to 5.6 weekspro rata. Employers do not need toamend existing employment contractsin light of this but they should notifyeach employee of the change inwriting and ensure that staffhandbooks and standard employmentcontracts for future use are updated.

Maternity & Adoption Leave There is now less of a distinctionbetween the benefits employees areentitled to during their periods ofordinary and additional maternity oradoption leave as they are nowentitled to non-pay contractualbenefits such as cars for the wholeperiod rather than just the ordinaryleave. The law relating tomaternity, paternity and adoptionleave is complicated and it isimportant that employers ensurethat they treat all employees fairlyand in accordance with theapplicable legislation or they couldface claims for unlawful deductionsof wages, sex discrimination andbreach of contract!

Employment Bill 2008 This is due to come into force in April2009 and is expected to abolish thestatutory grievance and disciplinaryprocedures and introduce a newACAS code of practice in its place.Employment tribunals are expected tobe given the power to penalise partieswho unreasonably fail to follow thecode. All employers will need toupdate their disciplinary procedures inlight of these changes.

This column is dedicated tobringing you useful tipsand information about the

networking scene in andaround Dorset. It’s somethingthat businesses are recognisingas an essential tool in theirmarketing strategy, but whatdoes networking mean and howcan it help your company?

Simply put, business networkingis the gathering of businesspeople in a single location withthe intention to find people towork with, and to work for. Youwill usually give a one minuteintroduction to the room, andtell everyone about you andyour business.

This can sound a little bitdaunting, especially if youhaven’t networked before, sohere are some tips fornetworking to help youmaximise your results!

• Be prepared Make sure you have plenty ofbusiness cards, and they arepresentable. A finishing touch isto keep them in a smartbusiness card case – if nothingelse this will make you feelmore professional!

• Dress to impressArrive in good time and makesure you are properly presented.Some networking meetings start

early in the morning or after aday at the office – this is noexcuse for arriving looking likeyou’ve only just got out of bed!

• Stand out from the crowdDo something a bit different;everyone hands out a businesscard so why not hand outsomething edible with a littlecall to action attached. This is acost effective way of gettingyour details into people’s hands,and it can also act as a greatconversation starter!

Business XchangeIn each issue we will write abrief summary about anetworking group in the localarea and for our first edition weare looking at Business Xchangethat runs four networkinggroups across Dorset. Eachgroup meets once a month andeach meeting have the sameformat. On arrival guests areencouraged to mingle and chatto one another.

After eating, guests are asked tosit in designated places (if youwould like to meet certainbusinesses Laura can arrangethis), you will introduce yourbusiness in a 60 secondintroduction, and you are alsoasked to tell your table a‘wicked issue’ which is a

business issue that has beentroubling you. Once everyonehas revealed their wickedissues, the table discuss ways inwhich you could solve yourproblem.

After a break, guests find a newseat and are asked to introducetheir business again and sharean ‘ah-ha moment’. This issomething you possibly havediscovered that improves yourworking day somehow – therehave been many interesting ah-ha moments, including goodwebsites to use and places tovisit.

Each session also has a differentspeaker, giving an insight intotheir business, as well as helpfuladvice on a particular aspect ofrunning a company.

lost 1,100 jobs, so it’s not surprising that it’s gota bad name. However, it can’t be denied thatOffice Outsourcing is all about efficiency.Companies chose to outsource because itcorrelates directly to their bottom-line.Streamlining makes good business sense; the keyis finding the right balance.

Tips for Office OutsourcingBe specific. If you can, identify the tasks you wantto outsource, how long you expect them to takeand how much you expect to pay.

You’re in control. Most outsourcers will agree aset timeframe for a project or if it’s a rollingcontract, a defined budget. This should never be

exceeded without your consent – your freelancershould keep you regularly updated so that such asituation should never arise.

Finding the Right Office OutsourcerKeep it local. With today’s advances intechnology there’s no reason why you should evermeet your freelancer, but it’s always good to beable to put a face to a name.

It is sometimes more difficultto find a good Printer than itis to find a good Solicitor or

an Accountant, mainly due tothe simple fact that many printcompanies are run by ex-machine minders and not trueprofessional business people.As such their ability to lookafter your every need issometimes beyond theirexpertise and as far as ‘aftersales care’ is concerned thenyou might as well try and fly tothe moon!

However, to help point you inthe right direction I have tried toput together a simple plan ofaction which is as follows:

1. On your first contact do notcommunicate by sending outan email with yourrequirements and asking for aquotation, because all thiswill do is get you a price andsurely you do not buy onprice alone?

2. Pick up the phone and speakwith someone to see whatsort of help and advice youwill receive. This is essentialif you want to get a goodunderstanding of what typeof company they are and tosee if you would feelcomfortable in dealing withthem.

3. You should ideally select atleast four print companies totalk to over the telephone. Ifyou feel happy with theirresponse then ask them tosend your quotes in the post.This way you will be able tosee how professional theyare.

4. When you have studied all ofthis information you shouldthen choose two printers withwhom you feel you candevelop a good relationshipwith, because this is essentialif you want to receive thebest service possible.

5. Visit these printers and askfor the guided tour. Askquestions about theirmachinery, in particular is ita B3, B2 or B1 press and willit print all four colours in onepass. A fifth unit is good forspot colour or sealing in-line.

6. Finally look at what systemsthey have in place to ensureyou will receive your job ontime when you want it.

This may seem a daunting task,but if you follow this six pointplan, you will end up with theprinter you want, which couldbe essential for the futuredevelopment of your company?However, I hear you say “I do

not have time for all of that”and if this is the case then youshould choose a reputable PrintBroker/Management companyto do this for you.

Find a good one and they willalso be able to help you withthe initial design concepts andproduce finished artwork in aprint ready format. Alternatively,they will check the artwork yousupply to ensure you receivethe right quality ofreproduction.

With effect from April6th, a new Code ofPractice, issued by

ACAS, is being introduced onthe way employers handlediscipline and grievences.Called the Discipline andGrievance Code, the ideabehind the changes is toencourage employers andemployees to resolve disputesin the workplace rather thanpursue them in an employmenttribunal. The code has beenrevised to take into account thechanges being made toworkplace dispute resolutionby the Employment Bill, inparticular the removal of thestatutory dismissal anddiscipline procedures.

How the Code works inDisciplinary ProceedingsThe new Code applies to allformal disciplinary proceedings,including those where a Writtenor Final Written Warning aregiven. It is considerably shorterthan the existing code andprovides basic practicalguidance to employers andemployees. It lays down howdisciplinary proceedings shouldbe conducted by the employerincluding allowing theemployee to ask questions,present evidence and callrelevant witnesses.

A failure to follow the Code doesnot, in itself, make a person or

organisation liable to proceedings.However, employment tribunalswill take the Code into accountwhen considering relevant cases.Tribunals will also be able toadjust any awards made inrelevant cases by up to 25 percent for unreasonable failure tocomply with any provision of theCode.

In a Nutshell:• New ACAS Code replaces

statutory discipline andgrievance procedures from6th April 2009

• Code will apply to alldisciplinary action, not just todismissals

• Code will not apply toredundancies or terminationof fixed term contracts

• Failure to follow Code meansup to 25% increasedcompensation if an employeeis found to have been unfairlydismissed.

Employers and employeesshould do all that they can toresolve disciplinary andgrievance issues in theworkplace. Where this isimpossible, employer andemployees should considerusing a third party to helpresolve the problem. Recourseto an employment tribunalshould only be a last resort.

They do however,involve some form of change.Despite our Business mindedattitudes and knowledge of whychange is needed, it is rarelygreeted with enthusiasm or in apositive way. We all know it ishuman nature to resist change.

Our minds are now matchingour natural resistance to changewith the graphic demonstrationof the speed and scale ofchange currently impacting onour global economy. Is it reallyany wonder then that oursubconscious and very oftennow, our conscious, tell ourbusiness minds that ‘change isexpensive and potentially badnews!’

In months rather than years, wehave seen and continue to seenegative change. This is a

reality and no longer aperception. In a similarly shorttime frame, massively positivechanges have been taking placeto alter our communicationlandscape.

With some irony, it is thebackdrop of economicuncertainty that has put focusonto the Interface (the spaces oreven the gaps) that links ourmeans to communicate. Ourvoice and our data methods ofcommunication are finallyconverging and changing, in apositive way. Real innovationhas grown from thesepotentially terminal times forbusiness.

Various options are available tofully utilize the investmentbusinesses have alreadydeployed to communicate withtheir customers and with eachother. These options areconsidered before a furtherpound (euro or dollar!) is spenton bringing them all together.

The ability to work anywhere inan efficient and effective way isnow a reality and the need foran individual to own devices toensure communication indifferent forms is passing. Thisseamless approach minimizesthe total cost of ownership,saving money and increasingprofits.
