Your decision to join Bioceutica as an Independent Consultant puts you in a special group of

people who believe that there are no limits to health, beauty—both inside and out, work, wealth, and the ability of one person to change the world.

It also qualifies you to enjoy all the benefits of being an IC . By spreading the Bioceutica message of personal health, wellness, beauty and care for the environment, you may earn generous commissions on products sold while you build an independent business that fits your personal goals and lifestyle .

This Plan spells out the details of the Bioceutica Compensation Plan and the benefits you will enjoy as an IC . Please read it carefully . If you have any questions, your Sponsor (the person who first sold you your Bioceutica products) should be able to answer them .

GETTING STARTED

THE BASICS

When you join Bioceutica as an Independent Consultant, the IC who first sold you products now becomes your Sponsor—the person charged with assisting you in building your business . As you build your business, you can create Customers and earn Retail Commissions on their purchases . You can also build a Downline network of other ICs and earn Bonuses on their sales to Customers .

To become an IC, simply submit and accept the terms of the Bioceutica Online Independent Consultant Application/Agreement and E-Sign Consent Form . These can be found during your initial sign-up on Bioceutica .com . When you submit your IC Application/Agreement and E-Sign Consent Form, the payment for the Indpendent Consultant Starter Kit must be included . The IC Starter Kit is for all new ICs to help them operate their IC businesses appropriately . Bioceutica is committed to maintaining high standards and having their ICs do the same . Hence the Kit gives you critical sales and support information and materials you need regarding the operation of your business .

BECOMING AN INDEPENDENT CONSULTANT

PRICING Each Bioceutica product is assigned a single price. When people buy any Bioceutica products/services as a result of your efforts, they become your Customers for the purpose of figuring your Retail Commissions .

This holds true for any and all Customers regardless of whether or not they are also someone you personally sponsored as an IC . Thus when you introduce the Bioceutica product line and that person decides to make a purchase, he/she is considered your Customer . If that person also chooses to become an IC, he/she still remains your Customer .

EARNING MONEYBioceutica provides a number of ways for you to earn money on the sale of products to your Customers. You can also earn additional monies through customer sales by ICs in your downline . The amount of money you earn, and the percentage of your commissions, is determined by:

• The volume of product sales you generate

• The volume of sales generated by other ICs in your organization

RETAIL VOLUME & RETAIL COMMISSIONS

Retail Commission Scenario:

October 1st you are a new IC and start selling products . That day you have a Customer who purchases $80 .00 (80 RV) in products . You also have a customer (who is Personally Sponsored IC) purchase $60 .00 (60 RV) in products .

You will be credited with 140 PRV in personal product sales that day.

This is part of your initial 200 CPRV and you will earn a 15% commission on it . (15% x 140 PRV = $21 .00)

Since this is at least $20 .00, you will be paid on Friday, October 12th .

October 8th you have Customer orders of 150 RV and on October 11th you have Customer orders of 200 RV .

Your total PRV is 350 for those two days . You now have a total CPRV of 490 . (140 and 350) .

Since you have already been paid 15% on 140 PRV you will recieve 15% on the next 60 RV ($9 .00) . This makes up your initial 200 CPRV . On the remaining 290 PRV you earn a 25% commission . ($72 .50) . You will be paid $81 .50 in additional commissions the following Friday, October 19th .

October 29th you have Customer orders totaling 300 PRV .

You now have a total CPRV of 790 PRV for the month of October, which is 590 PRV over your initial 200 CPRV . Thus you have earned a 30% commission on that 590 PRV since it is now the amount you have over your initial 200 CPRV .

So you will receive an additional 5% on your 290 PRV ($14 .50) AND $90 .00 for the October 29th Customer orders of 300 RV . (30% x 300 RV) .

On Friday, November 9th, you will receive your additional commissions of $104 .50 .

Your total PRV for October is 790 .

(You will also receive the associated PBV credit for those same Customer orders.)

RETAIL COMMISSIONSOn the initial cumulative 200 Retail Volume (RV) of products you sell, you earn 15% retail commissions . After that initial cumulative Retail Volume, you earn 20%-35% retail commissions as long as you are in good standing as an IC or have not been put on probation .

COMMISSION PAYMENTSRetail Commission Payments are made weekly as long as you have reached at least $20 in earned Commissions . Payments are made by ACH deposits to your personal bank account . In the future, payments will be credited to a Bioceutica Debit Card in your name (scheduled to released 2013). These payments are made every Friday for money earned the previous week .

Weekly Production Periods begin 12:00 AM Sunday and end at 12:00 Midnight the following Saturday .

Retail Volume (RV) is a value assigned to each product. Each time someone you sponsor makes a purchase, the RV of that product is credited to your account as Personal Retail Volume (PRV) .

Cumulative PRV (CPRV) refers to the total amount of Retail Volume your account has been credited with since you joined Bioceutica as an IC .

Note that in order to receive the $20 EMRs, you must achieve your qualifying six ICs within the first three months. If you achieve your first qualifying six ICs after three months, your EMRs will be paid at $10.

Executive Mentor Rewards are earned after you reach your initial 200 CPRV and have six ICs on your first 2 levels each do the same. It doesn’t matter how many ICs are on your Level 1 or 2, as long as the total is six . Once you become EMR Qualified your account is considered to be so as long as you remain an IC . Consultant .

EMRs represent a reward for each new IC reaching 200 CPRV and are always paid in increments of six ICs who each have achieved that volume . The EMR on each new increment of 6 ICs is $120, or $20 per each new IC who reaches 200 CPRV in personal sales volume .

3. Help those two ICs each sponsor two new ICs who each produce 200 CPRV each.

The chart to the left shows EMR Rewards as if you had the total number of new ICs who each reached 200 CPRV during a monthly production period .

EMRs are part of the monthly production period . They are paid on the 20th of the month for production during the prior month .

BONUS VOLUME & DOWNLINE BONUSES

Bonus Volume (BV) is a value assigned to each product in addition to its RV. Each time a Customer or IC you sponsor makes a purchase, the BV of that product is credited to your account as Personal Bonus Volume (PBV).

Your PBV along with other qualifiers helps determine your Rank, which allows you to receive additional Downline Bonuses . From the time you join Bioceutica as an IC we will keep a running total of your PBV, this is know as Cumulative PBV (CPBV). The PBV of all the ICs you directly sponsor and all the ICs they in turn directly sponsor is referred to as your 2—Level Bonus Volume. Your Personal Group BV (PGBV) is made up of your PBV and the PBV of all ICs in your downline with the expection of those who have reached the Rank of Regional Manager, or above, and the BV below them .

4% GROUP BONUS EXAMPLE: If you sponsored Kerry who sponsored Linda and so on down 10 levels and they were all in your Group, you would earn an additional 4% on the PBV on Levels 1-4 PLUS 4% on the PBV created by any ICs on Levels 5-10 .

Downline Bonuses are part of the monthly production period and are paid on the 20th of each month for the prior months production .

Your Rank determines the number of levels and percentages you are paid in Downline Bonuses.

1 - If you are working to become a Regional Manager (or above) and an IC below you, who is part of your Group, becomes a Regional Manager that same month you will only need 2,000 in PGBV to fulfill this qualification.2 - Once you ascend to the Rank of Regional Manager the Maintenance Requirement for Personal Group Bonus Volume becomes 1,500. For the other Ranks the Quaification and Maintenance Requirements remain the same. 3 - Your Group consists of all the ICs in each leg of your Downline until a Regional Manager (or above) is reached.

A Generation is made up of the PGBV of ICs who reach the Title of Regional Manager or above, and the PBV of all ICs in their Downline until the next Regional Manager or above in Rank is reached in each line of sponsorship in a leg .

How do you begin earning Leadership Bonuses?

In the month in which you wish to get to a Leadership Rank, you must be:

Earning the Regional Manager 4% Group Bonus by either qualifying for it for the first time that month OR fulfilling the Maintenance Requirement that month if you had already previously qualified .

AND

Fulfill the Qualifications for the specific Leadership Rank at which you wish to get paid .Leadership Bonuses are paid on the PGBV of Generation of Leaders in your downline (those who have also achieved at least the Rank of Regional Manager or above).

How Leadership Bonuses Can Add Substantially to your Income...

Let’s say you are getting paid as a Regional Director on April’s production . You would earn the G1 Bonus of 5% on the full PGBV of your 5 PS Leaders (those PS ICs who are getting paid at least as Regional Managers) . You would ALSO earn the G1 Bonus on the full PGBV of ALL of your other G1 Leaders (those Regional Managers (or above in Rank) regardless of whether or not they are getting paid at least as Regional Managers that month and regardless of whether or not you personally sponsored them .

Example:

You are getting paid as a District Director . You get paid a 5% G1 Bonus on Beth’s PGBV . Beth sponsored Seth who sponsored Mary who sponsored Katie who sponsored Laura and so on . Laura is the only other person who has become at least a Regional Manager . Laura would be considered your G2 Leader (an IC who has reached the

Regional Manager Rank or above) and you would earn 4% on her PGBV (includes her PBV and the PBV of everyone in her Group) .

Leadership Bonuses are part of the monthly production period and are paid on the 20th of each month for the prior months production .

So as you build other Leaders, if you and they work to ascend to higher Leadership Ranks and consistently fulfill Maintenance, you can earn on a substantive Leadership organization that produces a substantive volume . That organization can grow whereby you could have 5 G1 Generations and 25 G2 Generations of Leaders and so on .

So once you add up your Retail Commissions, Executive Mentor Rewards, your Downline and your Group Bonuses to the Leadership Bonuses…

How do I join?The only requirement to join Bioceutica as an IC is with the purchase of an Independent Consultant Starter Kit for $89 .00, with a $47 annual renewal fee thereafter .

How do I earn money?IC’s earn money on the sale of products to Customers . You can also earn money through sales to Customer by ICs in your Downline . The amount of money you earn, and the percentage of your commissions, is determined by the volume of product sales you generate, and the volume of product sales generated by other ICs in your Downline .

How are my Customers and the ICs the same?In terms of personal qualifications and compensation your Customers and Level-1 ICs are the same; i .e ., RV and BV from Customers and ICs purchases are credited to your personal account as volume . However, ICs can have customers of their own and sponsor other ICs and earn commissions and bonuses, whereas Customers are specifically product users .

What is Retail Volume?Retail Volume (RV) is a value assigned to each product . Each time someone you sponsor makes a purchase, the RV of that product is credited to your account as Personal Retail Volume (PRV) . EMRs, Downline bonuses and Leadership bonuses are paid monthly . Monthly Commissions are paid on the 20th for the previous month’s Commissions . The minimum to receive monthly payment is $20 .00 and the minimum BV required for monthly payments is 100 .

Does your plan contain elements of a breakaway plan?Yes and no . Yes because when someone you sponsor becomes a Regional Manager, their PGBV “breaks away” and no longer counts towards your qualifications . No because when someone becomes a Regional Manager you still earn Leadership Bonuses based on their PGBV .

GLOSSARY OF TERMS

Active: As an approved Independent Consultant (IC), you are considered “active” in a given month when you have a minimum of 100 Personal Bonus Volume (PBV) .

If you are “Inactive” for 4 consecutive months because you did not have at least 100 PBV in any of those 4 months, you are subject to being immediately terminated as an IC and will lose all associated IC rights and benefits.

Autoship: When a Customer chooses the convenience of having products shipped on a monthly basis, this is considered an Autoship order .

Bonus Volume: Bioceutica assigns a Bonus Volume (BV) amount to each product or service offering sold to Customers by ICs . Each time you make a personal sale you are credited with the associated BV amount of that sale .

Commissions: Commissions are payments made to you based on sales to your Customers . Commissions vary according to your personal sales production as shown in the Compensation Plan . They are calculated as your qualified commission percentage times your Personal Retail Volume (PRV) .

Cumulative Personal Bonus Volume (CPBV): Bioceutica tracks the total BV on products you sell from the time you become an IC .

Cumulative Personal Retail Volume (CPRV): Bioceutica tracks the total RV on products you sell from the time you become an IC .

Customers: A Customer is anyone who places an order with Bioceutica . Customers who purchase due to your efforts, regardless of whether they are ICs or not, contribute to your PBV, and you receive commissions on those sales at the level for which you qualify .

For example, in November, you sell products with 500 Retail Volume to someone who was not an IC. In that same month, you introduce the products to someone else who purchases products with 300 Retail Volume and decides to become an IC. Both of those people are considered your Customers, and you would be credited with 800 RV in personal sales that month.

Downline: ICs who join Bioceutica because of your efforts and are sponsored by you or by someone you sponsor are considered part of your Downline . See Leg and Level for related concepts .

Executive Mentor Reward (EMR): A special-reward available to any IC who achieves the required CPRV AND who helps six L1 and/or L2 ICs do the same . See the IC Compensation Plan document for details .

Generations: In your downline a generation starts with a Leader and ends just before the next Leader . Each Leader starts a new generation .

Group: Your Group consists of everyone in a line of sponsorship under you until someone who is at least a Regional Manager in Rank is reached .

Independent Consultant (IC): To become an Independent Consultant, submit a completed IC Application/Agreement and purchase an IC Limitless Business Kit which contains support materials and information . ICs must be at least eighteen years old, must abide by the IC Application/Agreement (including the IC Policies & Procedure), and may not have a financial interest in more than one IC position . An IC may also build

and train a Downline sales network and earn Bonuses on sales made by that network .

Leaders: Your Leaders are those ICs in your downline who have reached at least the Rank of Regional Manager .

Leg: Each IC you sponsor starts a leg in your downline . As your sponsored ICs sponsor new ICs, and they in turn sponsor more new ICs, your Downline sales network expands . The number of legs you can create via sponsoring new ICs is limitless .

Level: The distance from you to an IC in your Downline sales network . ICs you sponsor are your Level 1 (L1) ICs . ICs that your L1 ICs sponsor are your Level 2, and so on .

Level 1 Qualifier: Refers to an IC on your first level . This may be a PS IC or an IC who has rolled up that you currently sponsor .

Maintenance Requirements: The requirements needed to maintain a Paid as Rank on a given month’s production after having achieved the Rank one time .

Paid as Rank: The Rank at which you are paid on a certain commission period’s production . The Paid-as-Rank for a commission period is determined as the higher of the following: the highest Rank you achieved that same period for the first time OR the highest Rank you achieved in a prior period and fulfilled Maintenance Requirements that same period .

Personal Bonus Volume (PBV): The Bonus Volume attached to all products you sold to your Customers .

Personal Group Bonus Volume (PGBV): The sum of your Personal Bonus Volume (PBV) and the PBV of everyone in your Group .

Personal Retail Volume (PRV): The Retail Volume attached to all products you sold to your Customers .

Personally Sponsored (PS): ICs you sponsored .

Qualification Requirements: Production Qualifications needed to be promoted to a new Rank the first time .

Rank: A level of achievement in the Compensation Plan, which determines your eligibility for bonuses .

Regional Manager Group Bonus: You can earn this special Group Bonus when you get paid at least as a Regional Manager . You are paid a percentage on the PBV of everyone in your Group .

Retail Volume (RV): A value assigned to each product and service, typically the same as the price of the product or service .

Sponsor: The approved IC who accepts responsibility for a Customer and for training Customers who decide to become ICs themselves, and who receives the benefit of sales to those Customers . Typically, the Sponsor is the IC who introduced you to the Bioceutica line of products and the Bioceutica Limitless Opportunity . That approved IC’s name appears on your IC Application and Agreement as your Sponsor

Upline: Your upline consists of your Sponsor, his/her Sponsor, and so on up the line of sponsorship .
