The Commission announced the temporary suspension, pursuant to Section 12(k} of the Securities Exchange Act of 1934 (Exchange Act), of trading of the securities of Net Command Tech, Inc. (NCT) of Ft. COMMISSION ANNOUNCEMENTS

ORDER OF SUSPENSION OF TRADING ENTERED AGAINST NET COMMAND TECH, INC.

The Commission announced the temporary suspension, pursuant to Section 12(k} of the Securities Exchange Act of 1934 (Exchange Act), of trading of the securities of Net Command Tech, Inc. (NCT) of Ft. Lauderdale, Florida at 9:30 a.m. EDT on June 11, 1999, and terminating at 11:59 p.m. EDT on June 24, 1999.

The Commission temporarily suspended trading in the securities of NCT because of questions that have been raised about the accuracyand adequacy of publicly disseminated information concerning, amongother things, the purported acquisition by NCT of certain companies'assets and stock and the value of those assets and stock, a $1.5 million line of credit purportedly secured by NCT from a Europeanbank, the revenue generated by an American company purportedlyacquired by NCT, and the business success and reputation of NCT's CEO and president. ENFORCEMENT PROCEEDINGS

INVESTMENT ADVISER AND ITS PRINCIPAL SANCTIONED FOR FALSE ADVERTISING OF ASSETS UNDER MANAGEMENT

On June 10, the Commission issued an Order finding that Boston Investment Counsel, Inc. (BIC) and its president and owner, Robert E. Campanella, inflated BIC's assets under management and pastperformance. From January 1995 through November 1998, BIC providedan investment adviser ranking publication with false statements inflating BIC's assets under management and reporting performanceresults without disclosing that they were based on a model portfolio. As a result, false information concerning BIC was published in the adviser ranking publication.

The Order also finds that BIC falsely stated in its November 17,1997 Form ADV-T that it had $41 million in assets under managementmaking it eligible to be registered with the Commission. In addition, BIC later filed a Schedule I to Form ADV which falsely

stated that it remained eligible for registration with the Commission on the basis of its assets under management, when BIC never managed greater than $14.6 million in assets and never met the minimum registration requirement of $25 million in assets under management.

The Commission imposed: (i) a cease and desist order; (ii) a censure; (iii) a civil money penalty in the amount of $25,000; and (iv) an order requiring that BIC provide a copy of the Order to clients and prospective clients for a period of 12 months, and notify the ranking publication of the true amount of its assets under management. The Order was issued pursuant to BIC's and Campanella's offers of settlement. (ReI. IA-1801; File No. 3-9916)

DEFENDANT CONVICTED FOR PERJURY COMMITTED DURING SEC INVESTIGATION

The Commission announced that on June 7 Herbert Woll (Woll), a resident of Marietta, Georgia, was convicted by a jury in the United States District Court, Eastern District of Tennessee of committingperjury during his sworn testimony before an officer of the SEC. The testimony was offered by Woll during the course of an SEC investigation that led to a pending civil action, SEC v. Mohamed Khairy Mohamed Zayed, II, Michael W. Rehtorik, and Herbert Woll,C.P.A. (E.D. Tenn., Civil Action No. 1:98-CV-327 Judge Edgar, filed September 24, 1998).

The SEC filed civil fraud charges against two former officers of Genesis International Financial Services, Inc. (Genesis), Mohamed Khairy Mohamed Zayed, II (Zayed) and Michael W. Rehtorik (Rehtorik),and its former accountant, Woll, for their roles in an illegal "pumpand dump" scheme involving Genesis' stock. In its complaint, the SEC alleged that Zayed, Rehtorik and Woll engaged in securities fraud in the promotion and sale of the Genesis stock by using fraudulent financial statements and press releases calculated to deceive prospective investors. Woll, a certified public accountant, was named as a defendant in the SEC litigation for his actions in preparing the fraudulent financial documents for Genesis. On April30, 1997, before filing its civil action, the SEC issued an order temporarily suspending the trading of the securities of Genesis, pursuant to Section 12(k) of the Securities Exchange Act of 1934 (the Exchange Act) .

Woll was convicted of committing perjury in response to questionsrelating to his personal criminal history. Specifically, Woll knowingly provided false testimony by failing to reveal that his criminal history included several arrests and convictions.

The SEC's case, which involves violations of the antifraud provisions, Section 17{a} of the Securities Act of 1933 and Section 10{b) of the Exchange Act and Rule 10b-5 thereunder by Woll, Zayedand Rehtorik, is currently ongoing in the Tennessee district court.
