Community Solar Request for Proposal TEMPLATE

Solarize Albany Team invites proposals from solar photovoltaic (PV) installers (“Installers”) to participate in Solarize Albany’s Shared Solar project. This RFP is intended specifically to identify an installer who will partner with Solarize Albany Team in the development of a shared solar project (meaning a solar project which utilizes community net metering) to be offered to residents in the Albany County area. This RFP is not requesting proposals for a rooftop solar Solarize campaign. Solarize Albany has issued a separate RFP, which invites proposals for a rooftop solar contractor.

Proposers must be a NY-Sun participating installer in good standing and meet all eligibility requirements described in this RFP.

Complete proposals from eligible Installers that are received by the March 14, 2016 deadline will be reviewed and evaluated by the Solarize Albany Team as described in this RFP.

The Solarize Albany 2016 campaign is led by a citizens group organized as Solarize Albany, and another citizens group organized as Helderberg Community Energy, LLC (HCE) to form the “Solarize Albany Team.” They are working as a committed team of partners and volunteers to provide solutions and pricing for a 2MW solar PV array from which residents, farms, municipal facilities and small businesses, including those of low and moderate income, in the area of National Grid’s Load Zone F, can use electricity through community net metering throughout the life of the project, through a fixed term (e.g. 20 year) lease/power purchase agreement (PPA); or a fixed term (e.g. 20 year) contract for share purchase, operation and maintenance; or other proposed contractual arrangement between the customer and the Selected Installer.

The Solarize Albany Team will support a shared solar project in connection with a traditional Solarize campaign which encourages aggregated purchases of residential rooftop solar systems.

The goals of this campaign include:

1. Bring together a critical mass of educated, engaged solar customers.2. Provide opportunities for community members to participate in a shared solar project.3. Provide access for solar to all community residents, including those who cannot install solar at

their homes.4. Raise awareness and increase the adoption of solar energy.

Once selected, the Selected Installers of both the Solarize and shared solar projects will collaborate with the Solarize Albany Team to roll-out a community marketing and outreach campaign which is planned to start in April 2016 with the goal of encouraging customers to install solar at their locations or to participate in a shared solar project. All potential customer leads gained as a result of the Solarize Albany Team outreach campaign will be forwarded to the respective Selected Installer. All shared solar potential customer leads will be forwarded to the Shared Solar Selected Installer, who will provide the services described in this RFP, including responsive customer service, a transparent pricing/financing structure, and a stake in a shared solar project.

As a result of its partnership with the Solarize Albany Team, the Shared Solar Selected Installer will have access to a ready stream of project participants, reducing their marketing and customer acquisition costs.

Solarize Albany and Helderberg Community Energy (HCE) will work cooperatively as the Solarize Albany Team, and separately on occasion, during 2016 to engage residents, farms, municipal entities and small business owners through an extensive outreach program led by volunteers and supported by community leaders that encourages consideration of both solar PV installation and shared solar options. This means participating PV Contractors for both components won’t have to spend as much money to secure customers on their own and can pass those savings on to residents, farms, municipal entities and business owners.

The goals of the marketing and outreach campaign are to secure at least 15 contracts with small businesses, municipal entities or farms, and at least 150 residential contracts for Shared Solar subscriptions or shares, with 50 being LMI (low-to-moderate income) customers, before the array begins producing power for distribution and use. The intent is to develop and maintain a waiting list so that individual subscribers who move out of the area or drop out for other reasons can be quickly replaced.

To ensure the success of the Shared Solar project, Solarize Albany will provide technical assistance and assistance with promoting the Solarize Albany 2016 marketing campaign. HCE will help distribute flyers in neighborhoods, place lawn signs, arrange space to hold public meetings and promote the public meetings. Marketing efforts by HCE to solicit interest in Shared Solar subscriptions or shares may continue beyond the 2016 campaign outreach period.

Solarize Albany Team would like to structure projects in a way that allows some community members to participate in shared solar without incurring an upfront cost. Therefore, it is particularly interested in bids that structure participation on an ongoing $/kWh basis (akin to a power purchase agreement), or allow customers to choose between a $/W upfront cost or a $/kWh rate.

Solarize Albany Team is interested in shared solar projects that create opportunities for low-to-moderate income residents to access solar. Therefore, proposals that offer membership options that mitigate barriers to low-to-moderate income participation, such as those that do not include credit requirements or that specifically reserve capacity for low-income participants will be given preference.

Solarize Albany is participating in Community Solar NY, supported by the New York State Energy Research and Development Authority (NYSERDA) under the NY-Sun initiative. This dynamic public-private partnership is driving growth of the solar industry and making solar technology more affordable for all New Yorkers. The Solarize initiative is designed to reduce customer acquisition costs and other common barriers to promote greater adoption of solar energy.

Solarize Albany has a goal of subscribing 2MW of shared solar capacity. It is requested that installers describe in their proposals how much capacity they are able to develop or commit from existing projects for the campaign.

Solarize Albany Team requests that developers propose a location at which to develop a solar project, or to propose an existing solar project from which capacity may be allocated to the Solarize Albany Shared Solar campaign.

Solarize Albany Team prefers to contribute to a shared solar project that is located in or near the campaign community area of Albany County, in National Grid Load Zone F.

This section provides a summary of the Solarize campaign activities and responsibilities. The success of the Solarize campaign depends upon the collaboration of the Solarize Albany Team and its partners, the Selected Installer(s), and the participating community members (customers). Please review Roles and Responsibilities for more details on expectations for all participants.

Solarize Albany Team Organization and Preparation (Fall 2015 – Winter 2016)

The Solarize Albany Team organized a team of partner organizations and a core group of individuals responsible for the implementation of the Solarize campaign.

The Solarize Albany Team successfully applied to participate in Community Solar NY and received support from NYSERDA (visit www.ny-sun.ny.gov/community-solar for more information).

The Solarize Albany Team has developed an outreach plan and is preparing for widespread community education and marketing during the public campaign.

Installer Selection (March 2016) Eligible solar installers interested in participating in the Solarize Albany campaign review this

RFP, including the Proposal Requirements section, and submit proposals to the Solarize Albany Team.

The Solarize Albany Team, with assistance from the Community Solar NY technical assistance provider, reviews and evaluates proposals. Interviews are conducted with a short list of proposing installers.

The Solarize Albany Team chooses a Selected Installer. Proposing installers may be asked to revise their proposals before selection is finalized.

Community Marketing Campaign (April 2016 - December 2016)

The Solarize Albany Team, including HCE, working closely with the Selected Installers of both projects to coordinate messaging and activities, will implement a community marketing and education campaign. The campaign will consist of public meetings and events, media outreach, social media and online marketing, along with other activities to encourage area residents, farms, municipal entities and businesses to sign up before the Solarize campaign’s Participant Sign Up Deadline. (See Attachment A for list of currently planned events and activities). The relationship between Solarize Albany and HCE will formally end on December 31, 2016, but it could be renewed. Regardless, HCE plans to continue ongoing efforts to recruit customers for the shared solar project.

The Solarize Albany Team will make use of the Solarize Marketing Toolkit provided through Community Solar NY. The Solarize Albany Team and the Selected Installer may also use other marketing materials and approaches.

In all marketing and sales materials, the Selected Installer must use the current utility rate for the customer class (e.g. residential), a set escalator rate for predicted utility price and payback, and clearly state these and all other assumptions used.

The Solarize Albany Team and Selected Installer must clearly present to potential Solarize participants that, previous to signing a contract with the Selected Installer, they are free to independently seek other offers.

Participant Sign Up and Contracting (April 2016 – December 2016)

Interested residential, farm and business customers will be referred to a dedicated Solarize campaign webpage, which will include information about the campaign, Selected Installer, and solar process.

Participants will sign up through an online form on the webpage and will be offered the pricing and financing options established in the Selected Installer’s submitted Profile and Pricing form.

The Solarize Albany Team will encourage participants to sign agreements with the Selected Installer before the Solarize campaign’s Participant Sign Up Deadline.

Ongoing Shared Solar Marketing, Participant Sign Up, Energy Consumption and Future Need Assessments, and Contracting

Interested residential, agricultural, municipal and business customers may be referred to a dedicated Shared Solar webpage, which may include information about the Shared Solar project, the Shared Solar Selected Installer, and the community net metering (shared solar) process.

The Shared Solar Selected Installer will provide free energy consumption and future need assessments for prospective customers.

Prospective customers will be offered the Shared Solar program features, pricing and financing options established in the Shared Solar Selected Installer’s submitted Profile and Pricing information.

Potential customer leads who express interest in on-site solar installations will be provided with referral information for Solarize Albany or respected local solar PV installers for site assessment and follow up.

Project Development and Customer On-Boarding (Spring 2016-Winter/Spring 2017)

If the Selected Installer has proposed to use an existing solar site that has available capacity for the shared solar project, participants that sign agreements with the Selected Installer will immediately be enrolled in the shared solar project.

If the Selected Installer has proposed to develop a new shared solar project for use in this campaign, it will provide a clear timeline for project construction. Upon project completion, participants that sign agreements with the Selected Installer will immediately be enrolled in the shared solar project. No payments will be collected by the Selected Installer from participants until the project is completed. The Selected Installer will continue to communicate progress in project development to the Solarize Albany Team.

The Selected Installer will be responsible for all permitting, environmental approval, interconnection, construction, financing, and other tasks related to project construction.

Participants are responsible only for purchasing a portion of the output of the shared solar project once project development has been completed.

The Selected Installer will communicate with the electric utility regarding the allocation of net metering credits, and will direct the utility to allocate credits in a manner consistent with the terms of the customer agreement and proportional to the share in the solar project that a particular customer has purchased.

The shared solar project will be owned by the Selected Installer or the parties with which it has partnered. Solarize Albany Team will not be responsible for project ownership.

Ongoing Customer Management (Post-2016)

The Selected Installer is responsible for managing membership in the shared solar project on an ongoing basis throughout the life of the project. This includes managing customer termination and turnover and communicating with the electric utility about the allocation of bill credits. Solarize Albany Team is not responsible for customer management beyond the initial sign-up period.

In order to be eligible to submit a proposal, solar installers must:

1. Prior to submitting a proposal send an email to [email protected] including the following information; Name of Company, Physical Address, FEIN, and Installer ID Numbers (for each contractor). As a service to Solarize communities and the installers, NYSERDA will be pre-qualifying installers before proposals are submitted based on the following criteria.

Be a NY-Sun Participating Contractor in full compliance with NY-Sun program rules. Maintain insurance of the types and in the amounts specified in Article 6 of the Selected Installer(s) Participation Agreement with NYSERDA under the NY-Sun Incentive Program.

Installer must have a satisfactory average QA inspection score in the NY–Sun program. Unsatisfactory QA scores may result in denial of participation.

2. Hold all relevant licenses and other requirements for the jurisdiction(s) served by the Campaign.

3. Demonstrate at least three years of experience and proficiency in solar PV installations.

4. Provide detailed reporting on potential customers to the Solarize Albany Team on a bi-weekly basis using a provided reporting template. Reports should include at minimum name of customer, date of contact, status of potential customer leads, and all relative notes.

5. Agree that if at any time throughout the project the applicant is suspended or terminated from the NY-Sun Program by NYSERDA, all work and or services will immediately cease unless otherwise directed by NYSERDA. It is the Campaign’s and NYSERDA’s discretion to determine a course of action following this removal. All potential customer leads generated through the Solarize campaign are owned by the campaign, and must be provided at time of removal.

6. Submit a complete proposal as by 5:00pm on March 14, 2016. Proposals should be emailed to the Solarize Albany Shared Solar contact at [email protected]

Proposals must contain the following sections, clearly labeled:

1. Cover Letter : Include Solar Installer Cover Letter (Attachment B) signed by authorized company representative on company letterhead. Submit as a PDF file.

2. Solar Installer Profile and Pricing Form : Proposers must use the Shared Solar Profile and Pricing Form template (Attachment C) and submit the completed form as a Microsoft Excel file. Follow instructions within the template and fill in relevant fields in all tabs, including:

Firm information and experience Certifications, licenses, and insurance Geographic coverage and service territory Capacity for large solar project development Customer references Standard shared solar pricing and options Equipment specifications (manufacturers, models, and warranties for modules, inverters,

racking, and other equipment)

3. Core Proposal : Address the key elements of the Proposer’s qualifications and services to be provided through the Solarize campaign. The Core Proposal should reference, not repeat, information that is provided in the Shared Solar Profile and Pricing Form. The Core Proposal should not exceed six (6) pages in length and must be submitted as a single PDF document. Each page must be numbered and include the company’s name. Clearly label each of the subsections outlined below:

Installer Team Qualifications: Describe the project team, including, but not limited to, team members assisting in customer service, outreach, and project development. Proposers must also disclose any partner organizations that will be engaged in the project, such as those engaged in project financing, project development, customer management (including specialized shared solar software providers, if applicable), and any other relevant activities. o Highlight relevant experience, skills and capabilities necessary to implement this campaign. o Identify past experience with large solar project development, shared solar project

operation, or other past projects that included a community outreach element.

Financial Strength and Credit Relationships: Describe and document the state of the financial health of the company and how it will manage the financial requirements of a large scale solar installation.o For installers proposing to develop new projects to serve the campaign, indicate how these

projects will be financed and demonstrate that the firm has adequate financial capacity. If a project will be financed by a partner organization, please provide relevant information about this partner as well.

Implementation Plan: The proposal should outline a detailed and solid strategy that should at a minimum address the following items:o A clear solar project development timeline, if the project has not already been completed.o A clear plan for the management of ongoing operations and maintenance of the facility

throughout the life of the solar project.

o Specification of the amount of solar capacity and estimated annual production both of the solar project as a whole and that is available for purchase by Solarize participants.

o A clear description of the customer sign-up process, including the terms of the agreement that customers will sign with the installer (the customer agreement itself should be provided as an appendix).

o A clear description of the ongoing customer management process, including identification of the party that will be responsible for managing customer termination, address change, and turnover for the life of the project.

o If an installer proposes to develop a new project, it must provide evidence of site control. A letter from the landowner verifying that a developer has signed a solar site lease, or that they have agreed to one pending selection in this Solarize campaign, would be an example of acceptable evidence.

References: Provide at least three references from relevant previous solar projects. References from large-scale projects in New York State or from shared solar projects are particularly helpful.

Marketing Strategy: Describe ways in which a collaborative marketing strategy between the community and the Selected Installer can expand total participation in the shared solar project.o If applicable, cite specific examples of marketing services that will be provided, items or

marketing materials that will be offered by the Installer. o List marketing, outreach, and lead screening tasks that the Solarize Albany Team can

perform as part of this plan to reduce the Installer’s customer acquisition costs.

Pricing Structure and Financing Options: Provide any additional description (beyond what is included in the Shared Solar Profile and Pricing Form) of the proposed pricing and the financing options to be offered to shared solar participants. o Note whether participation is subject to a credit check and whether any minimum credit

requirements apply.o Note term of the customer agreement.o Note any minimum purchase quantity requirements (kW or kWh).o Note any performance guarantees.o Note whether any termination fees apply to participants who move or must terminate for

other reasons.o Note whether any special rates may be provided to low-income customers.o Note whether pricing will change after the initial Solarize marketing campaign ends.

Low-to-moderate income (LMI) customers: Detail your experience working with LMI customers, and specify if you have completed projects that have received the NY-Sun LMI Added Incentive.

4. Customer Agreement Samples: Provide in a PDF file.

Installer’s contractual agreement with the customer, specifying all terms and conditions for a customer under the Solarize Campaign.

5. Additional Relevant Information: Proposers are welcome to submit additional information which has not been specified in this RFP but which the proposer believes is relevant to the Solarize Albany Team’s selection of an installer.

All proposals must meet the Solarize NY Program objectives and must be responsive to the relevant scope of work and proposal requirements outlined above. Proposals will be evaluated on the general criteria below:

Overall quality and value: Overall quality of proposal and specified equipment.

Project development experience: Degree of installer’s experience and proficiency in the scope of work, including demonstrated experience in developing, designing and installing large-scale solar electric systems. Developers that can demonstrate experience with large-scale solar projects in New York State and/or previous experience with shared solar projects will be given preference.

Membership management experience: The Selected Installer will be responsible for managing membership on an ongoing basis over the life of the project. Respondents that can demonstrate experience providing the types of ongoing customer service and membership management that is required in a shared solar project will be given preference.

Implementation and capacity: Ability to provide timely, quality customer service and installations, ability to conduct long-term solar project operation and maintenance, as well as ability to work well with the Solarize Albany Team.

Adequate financial strength: The Selected Installer must be able to demonstrate sufficient financial strength to finance and develop a shared solar project (e.g. adequate trade credit and cash availability).

Price structure: Proposals will be evaluated based on the price that residents are charged to participate. In addition to the total cost of participation, the participation price structure (whether participation is allowed on a $/W or $/kWh basis) will be evaluated. Solarize Albany Team has a preference that an option be included that allows participation on a $/kWh basis and for a 0% annual escalator in the price per kWh.

Membership terms: Proposals will be evaluated based on how fair and beneficial the terms of the Customer Agreement that the developer will sign with customers are.

Marketing plan: Ability of proposal to drive community adoption of solar electric projects and drive down cost of solar electric installations.

Qualities of the proposed site and project: Proposals will be evaluated based on whether they provide adequate solar capacity to serve the needs and goals of the project, and on the qualities of the proposed site and project (including location).

Other Factors: additional consideration will be given to installers that can provide innovative business models, or have options for other technologies such as battery storage and energy efficiency.

IndemnificationSelected Installer will protect, indemnify and hold harmless Solarize Albany Team Members, and their officers, directors, employees, agents, and affiliates from and against all liabilities, losses, claims, damages, judgments, penalties, causes of action, costs and expenses (including, without limitation, experts’ and attorneys’ fees and expenses) imposed upon, incurred by or asserted against Solarize Albany Team Members, resulting from, arising out of or relating to the PV Contractor’s work under the Solarize Campaign. The obligations of the PV Contractor under this indemnity will survive the expiration or termination of the Solarize Campaign, and are not limited by any insurance coverage required under this RFP.

Limitation of Liability Solarize Albany Team Members shall not be liable to the Selected Installer(s) for any special, indirect, incidental, consequential, punitive, or exemplary damages of any kind whatsoever, whether based on contract, warranty, tort (including negligence or statutory liability), or otherwise.

Non-discrimination The Selected Installer(s) agrees and warrants that they will not discriminate or permit discrimination against any person or group of persons in any manner prohibited by the laws of the United States or of the state of New York;

Waiver Authority The Solarize Albany Team reserves the right, at its sole discretion, to waive minor irregularities in submittal requirements, to modify the anticipated timeline, to request modifications of the application, to accept or reject any or all applications received, and/or to cancel all or part of this RFP at any time prior to installer selection.

Confidentiality Statement Proposal documents are generally considered to be a matter of public record once the contract for work has been awarded. The Solarize Albany Team will endeavor to keep information confidential if the proposer marks the subject information as confidential, provided that the matters are withheld from the public are in such a manner as to leave no discretion on the issue.

Attachment B: Solar Installer Cover LetterSolarize Albany Shared Solar Project

The undersigned is the duly authorized representative of the company or entity identified below (the “Company”), with full authority to sign this document and to submit the Company’s proposal pursuant to the Solarize Albany Shared Solar Project Request for Proposals (the “RFP”).

I hereby certify:

The Company is duly organized and in good standing under the laws of the jurisdiction in which it is organized. The financial statements are true, correct and complete and fairly present the financial condition of the Company as of their date. Since the date of the most recent financial statements, there has been no material adverse change in the Company’s financial condition. All tax returns required to be filed in any jurisdiction have been duly filed, and all taxes due in respect of the Company have been duly paid.

The Company has read the RFP, understands it and is familiar with its requirements.

The information contained in this proposal, and any correspondence or other documentation relating to this proposal, are all true, correct and complete. The information disclosed by the Company in this proposal relating to corporate partnerships, affiliations and other relationships is true, correct and complete.

The Company understands and acknowledges that, until a final selection is made under the RFP, the Solarize Albany Team may enter into discussions with the Company to negotiate the terms of its proposal in an effort to reach the most favorable arrangement for the relevant community. Moreover, the Solarize Albany Team reserves the right (i) to reject any or all proposals; (ii) to waive defects or irregularities in any proposal; (iii) to discontinue discussions at any time and for any reason; (iv) to correct inaccurate awards; (v) to change the timing or sequence of activities related to Solarize Albany Shared Solar Project; (vi) to modify, suspend or cancel Solarize Albany Shared Solar Project; and (vii) to condition, modify or otherwise limit the mandate pursuant to the RFP.

By submitting this proposal, the Company represents and warrants that, if it is selected under this RFP, it will comply with the terms of the RFP and will perform all of the duties and obligations of the “Selected Installer” under the RFP.
