FOREWORDDear Fellow FORCE Members,
Welcome to Buenos Aires: Hope you had a great flight and are ready to meet every FORCE member at our Annual FORCE Congress.
This year we will have a three days Congress, starting with a City Tour around down town Buenos Aires and a welcome cocktail that same day.
Speaking about FORCE, I believe we had a good year, 2012 was good regarding Business inside the network and it seems that relations within the membership are getting stronger and stronger year after year.
Again, I would like to thank each and everyone of you for your constant support and trust in thenetwork, OUR network.
I should say thank you to Andrea Rossi our Administrator, the EXCO and Luisa Parrelli, our Secretariat with whom I’ve been personally working very hard to put on this AGM hoping that you can all spend a great time here in Argentina.

1. WELCOME OF THE PRESIDENTPresident Mr. John White welcomes all attendees and announces that this year we don’t have a maintheme. It will be a new start for the FORCE GROUP, a “kind of going back to its roots”.The challenge from now on will be to strengthen business relations among members.A special thank and consideration is given by the President Mr. John White to all attendees and especially to those who traveled long distance to reach the wonderful city of Prague.President John White also thanks in the name of all participants Mr. Jan Kucera Snr for the good organization, coordination and warm hospitality reserved to all.The content of agenda is then presented.
2. WELCOME FROM HOST COUNTRYJan Kucera Snr welcomes all delegates and wishes everyone a pleasant stay in his country.
3. CONFIRMATION OF THE AGENDAThe Administrator goes through the agenda, which is confirmed in all points by the assembly withoutadding new topics. The President adds the nomination of the hosting country for 2015.
4. APOLOGIES FOR ABSENCEThe Administrator, Mr Andrea Rossi, takes the word and informs about the 3 non-attending members:Skylink Inc. Philippines, Kyowa Kaiun, Japan and T Save Co Thailand, which all sent a formal apologies for absence to the board.We have also three last minute absences: Freight International Dubai, Aviomar Colombia and New Renaissance Vietnam.Mr. Ahmed El Etr (Egypt’s Representative) takes the word thanking all members for all the supportthat was granted him and his company last year form FORCE GROUP despite the difficult political and

economical situation Egypt was going through in 2011.Mr. Andrea Rossi then submits to the attention of the assembly the situation regarding the last missingmember: Sea Well Marocco.The company never replied to the numerous mails on various subjects addressed to them by theAdministrator and many members.During 2011 there were some serious issues between Sea Wells and some members, therefore Sea Wellswas formally invited to give his explanations and expose his reasons during the AGM.Again Sea Wells didn’t reply to the invitation.During the discussion additional members point out that Sea Wells’ attitude was not professional at alland operational and financial issues occurred.Being the second absence in a row to the AGM the assembly confirms the cancellation of themembership as per bylaws.The Administrator now draws the attention of the assembly on the other two missing members that didnot attend two AGMs in a row:Aviomar, Colombia: they did miss 2 AGM, but none of the members had ever had any problem withthem and they seem to be a reliable partner to many members.Skylink Philippines, also missed 2 AGMs but they sent a justification letter for health reasons, confirmedby William Lim. They also are considered reliable and cooperate with many members.The assembly decides that they both have to be considered out of the Force Group but gives them theopportunity to reapply, as it happened in the past to other Force Members.
5. ADMINISTRATOR’S REPORTThe Administrator, in charge for the first year, explains his idea on how FORCE group should develop in order to maximize benefits for all members; we started as a “friends club” and going on we became a more professionally structured organization. The goal now is to have a very light bureaucratic and administrative structure in order to concentrate all resources in developing bilateral businesses. The idea is to generate a common space in which all members can share experience, knowledge and improve bilateral cooperation.
a. Resignation of Members: The Administrator confirms we had 3 resignations:W.O.C. USA: they didn’t get back to any mail and never paid the membership fee.Ronish Nigeria had resigned both for political and economical reasons.Pactra from Austria: after a change in the board of directors, initially they expressed their commitmentto FORCE, but on Jan 2012 the declined any interest in the group.
b. Applications to FORCE: The Administrator informed that the only effective new applying member is Turkey, which has already been Force member in the past.
c. New members recruiting: the EXCO informs the assembly about the very careful recruitment policy adopted, mainly focusing on the economic and financial requirements of new members. The assembly underwrites this decision.
d. Status of Payments of Force fees: the Administrator (Appendix D) informs that all attendees paid on time. Administrator kindly asks the assembly to pay invoices no later than February in order to be able to have it mentioned on the Meeting Brochure.
e. Approval of the 2011 Accounts: The President draws the delegate’s attention to appendix B – which refers to 2011’s Financial Accounts.The President explains to the assembly that during the EXCO meeting, delegates discussed about the

possibility to have a third party audit on all members financial statements and accounts. The assembly discusses about criteria and costs involved. At the end of the discussion the assembly invite the Admin-istrator to investigate on various possibilities combining documents provided from members with third party rating agency. The Administrator will report accordingly to the EXCO. Assembly agrees that after many years a refresh on members’ financials information will be an important step on the strengthening of mutual relationships.The Administrator informs the assembly on the intention to reduce as much as possible the costs (such as the costs for the mid-term meetings).A discussion arises on the possibility to reduce the fee or to charge separately AGM fee. Many members don’t agree with this policy and the assembly decides to confirm the current policy.2011 accounts are formally approved.
f. Budget 2012: The Administrator draws the delegates attention to appendix C which shows in de-tails the budget for 2012: there are 35 members, with a total income of $70.000 from the annual fees, plus new recruitments not considered in the appendix. The next EX.CO meeting will probably be less expensive.The Financial policy is to generate a surplus in order to support all the activities during the AGM with existing founds.Mr. Rossi suggests that the Administrator stays on duty for 3 years, the right compromise in order to take the advantage of the experience to grant a reasonable turnover of the board. He also suggests that the new Admin. Should be per-elected one year earlier in order to grant a smooth handover process from the old to the new administrator.Budget was formally approved.
g. Statistics: Capt. Mohan points out it was very difficult to read the stats chart and asks to improve the clearness of it. A special thank to Luna from VMS China for spending time in collecting and preparing the stats sheet. The Administrator will work with Luna in order to provide a better format for next year.
6. PRESENTATION BY ASSOCIATE MEMBERS APPLYING FOR FULL MEMBERSHIPa. The President invites Mr Sevinc Yusuf - Turkey – to introduce his company profile and services to theother members.Mr Sevinc presents his company with the aid of a ppt presentation.After the presentation, the applying company is asked to leave the room to give the assembly the op-portunity to discuss the membership and vote.

A vote is carried out and the assembly approves Delta as full member, under the condition that they will attend 3 AGM in a row, failing this condition the company will automatically loose the membership.The President welcomes them in the group.
7. APPROVAL OF AUCKLAND 2011 MINUTES (APPENDIX A)The minutes from last AGM are formally voted and approved.

ELECTION OF OFFICE BEARERSThe President opens the nomination and election of new office Bearers.The President John White announces that he has reached 2 years and would like to resign from the position.After collecting the nomination forms, the Administrator checks the availability of the nominees to bear the role, and after confirmation, the voting process starts.After the voting process the following people are elected:As President: Mr. Diego van Domselaar, Exsen ArgentinaAs Vice-President: Mr Kevin McNicol, GTI CanadaAs Administrator: Andrea Rossi, Sigma Trans International ItalyAs EX.CO: Tariq Waseem, Faiz Cargo Pakistan; Antti Lind Victor EK Logistics, Finland; Ahmed El Etr, NileCargo; Jan Kucera Jr, Bohemia Cargo, Czech Republic.President John White thanks everybody for the support he received during his service.

10. PRESENTATION OF NEXT AGM LOCATION: BUENOS AIRES 2013Mr. Diego van Domselaar gives a presentation of his country Argentina and the city that will host the 34th AGM in 2012: Buenos Aires.The dates of the next AGM are fixed from sat. April 27th to May 1st 2013AGM 2014 and 2015 host suggestions:• 2014SouthAfrica• 2015SriLankaThis issue will be furthermore discussed during 2012 by the EXCO.
11. INDIVIDUAL REPORTSEvery Company gives a small report on news related to his company or business market.
