> Terms and Conditions

1. Exhibitor fees: Exhibit space is assigned on a first-come, first-served basis. A 50% deposit is due with form. Balance must be paid by February 18, 2006. If the Exhibitor fails to make any payment described in this agreement on or before the due date, the Exhibitor’s right to participate may be canceled without further notice and without refund of monies paid. If the Exhibitor cancels in written notice its participation in the conference within 90+ days prior to the conference, $100 of the deposit will be charged and the remain-ing amount paid to EERI will be refunded. If the Exhibitor cancels in written notice 89-60 days prior to the conference, the deposit will be charged and the remaining amount paid to EERI will be refunded. If Exhibitor cancels in written notice 59 to day of conference such cancellation shall be considered a default on its part; the provisions of this agreement shall apply; any mon-ies paid, therefore, will be retained by the 100th Anniversary Earthquake Conference as liquidated damages; and the Exhibitor will be obligated for 100 percent of the Contracted Fees.

2. Exhibit hours: The 100th Anniversary Earthquake Conference will estab-lish exhibit hours and reserves the right to make any changes as it may deem appropriate. Exhibition hours will be determined based on the con-ference program schedule.

3. Installation and dismantling: The Exhibitor agrees explicitly that in the event that the Exhibitor/Sponsor fails to install products in its assigned space or fails to remit payment for required space rental at times specified, the 100th Anniversary Earthquake Conference shall have the right to take possession of said space and lease same to such parties and upon such terms and conditions it may deem proper. In addition, the Exhibitor/Spon-sor may not dismantle the display until the exhibition is finally closed to the public, at the date and time so indicated by the 100th Anniversary Earth-quake Conference.

4. Use of exhibition space: The Exhibitor/Sponsor shall not assign to a third party its rights to the exhibition space or any portion thereof without the prior written consent of the 100th Anniversary Earthquake Conference, which the 100th Anniversary Earthquake Conference may grant or with-hold at its sole discretion. No firm or organization not assigned exhibit space will be permitted to solicit business within the exhibit area.

5. Contractor services and information: The 100th Anniversary Earthquake Conference, in the best interest of the exhibition, may select certain firms to serve as official contractors to provide necessary support and facilities services. All other such contractors are excluded from exhibit activities un-less approved in advance in writing by the 100th Anniversary Earthquake Conference.

6. Indemnity and limitation of liability: Neither the 100th Anniversary Earth-quake Conference nor any of its contractors or affiliated organizations, its officers, agents, employees, facilities, other representatives, or assigns (col-lectively “100th Anniversary Earthquake Conference”) shall be held liable for, and they are hereby released from, any damage, loss, harm, or injury to the person or property of the Exhibitor/Sponsor or any of its visitors, of-ficers, agents, employees, or other representatives, resulting from theft, fire, earthquake, water, unavailability of the exhibition facility or intermediate staging facilities (including any damage, loss, harm, or injury in connection with the 100th Anniversary Earthquake Conference, exhibits, or staging, for reasons beyond the Conference’s control), accident, or any other cause. The Exhibitor/Sponsor shall indemnify, defend, and protect the 100th Anniver-sary Earthquake Conference and hold the 100th Anniversary Earthquake Conference harmless from any and all claims, demands, suits, liability dam-ages, losses, costs, attorney’s fees, and expenses of any kind that might re-sult or arise from any action or failure to act on the part of the Exhibitor/Sponsor, its officers, agents, employees, or other representatives.

7. The 100th Anniversary Earthquake Conference shall not be responsible for the security of Exhibitor’s/ Sponsor’s equipment or its proprietary software or hardware information. This limitation of liability applies to equipment for use in the exhibit area, general session, conference sessions, and any other conference rooms or facilities. It is the responsibility of the Exhibitor/Sponsor to maintain proper insurance coverage for its property and liability.

8. Observance of laws: Exhibitors/Sponsors shall abide by and observe all laws, rules and regulations, and ordinances of any applicable government authority and all rules of the Conference facility.

9. Cancellation or termination: If, because of war, fire, strike, Convention Center/hotel construction or renovation project, government regulation, public ca-tastrophe, Act of God, or the public enemy, the 100th Anniversary Earthquake Conference or any part thereof is prevented from being held or is canceled by the 100th Anniversary Earthquake Conference or the space becomes unavail-able, the 100th Anniversary Earthquake Conference in its sole discretion shall determine and refund to the Exhibitor/Sponsor its proportionate share of the balance of the aggregate display fees received that remains after deducting expenses incurred by the 100th Anniversary Earthquake Conference and reasonable compensation to the 100th Anniversary Earthquake Conference. In no case shall the amount of the refund to the Exhibitor/Sponsor exceed the amount of the fee paid. The 100th Anniversary Earthquake Conference reserves the right to cancel any portion of the exhibit schedule as it deems necessary and appropriate. All changes and/or cancellations will be commu-nicated to Exhibitors/Sponsors in writing. Cancellation of any portion of the Exhibitor/Sponsorship Agreement by the Exhibitor/Sponsor will be accepted only in writing. The Exhibitor/Sponsor will be obligated for 100 percent of the contracted fees as liquidated damages. If in order to collect unpaid exhibit fees the 100th Anniversary Earthquake Conference pursues legal remedies, the Exhibitor/Sponsor will pay the 100th Anniversary Earthquake Conference all legal and related expenses, court fees, staff times, etc., so incurred.

10. Agreement to terms, conditions, and rules: The Exhibitor/Sponsor agrees to observe and abide by the foregoing terms, conditions, and rules, and by such additional terms, conditions, and rules made by the 100th Anniversary Earthquake Conference from time to time for the efficient and safe operation of the exhibition, including but not limited to, those contained in this agree-ment. In addition to the 100th Anniversary Earthquake Conference’s right to close a display and withdraw its acceptance of the Agreement, the 100th An-niversary Earthquake Conference in its sole judgment may refuse to consider for participation in future exhibitions any Exhibitor/Sponsor who violates or fails to abide by all such terms, conditions, and rules.

11. There is no other agreement or warranty between the Exhibitor/Sponsor and the 100th Anniversary Earthquake Conference except as set forth in this document and any addenda hereto. The headings used in this agreement are for organizational purposes only and are not to be used in the interpretation of the substance of this agreement. The rights of the 100th Anniversary Earth-quake Conference under this agreement shall not be deemed waived except as specifically stated in writing and signed by an authorized representative of the 100th Anniversary Earthquake Conference.

12. Governing law: All terms and conditions in this Exhibitor/Sponsor Agree-ment are subject to and governed by the laws of the state of California. In the event of any dispute involving the Exhibitor/Sponsor Agreement, such dispute will be litigated in California.

EXHIBITOR/SPONSOR INITIALS: __________________

All exhibitors and booth staff are required to wear badges while attending the conference. Additional badges will be available for exhibitors needing more than the allotted number of complimentary registrations in order to staff their booths. (Staff ID badges will not allow participation in the technical program.) All other personnel must pay full registration if they want to attend the scientific sessions.

Booth reservations will be accepted on a first-come, first-served basis and must be accompanied by a 50% payment deposit. Booths must be paid for in full by February 18, 2006. After that date, the exhibitor’s right to participate may be cancelled and available exhibit space will be assessed an additional 20% late fee.

NON-PROFIT EXHIBITORS ARE ELIGIBLE TO RECEIVE A RATE DISCOUNTThere are separate rate structures for commercial organizations, non-profits, and subscribing members. The non-profit rate is 30% less than the commercial rate, and EERI and SSA subscribing members receive a 20% discount off either the commercial or the non-profit rate, as applicable. Previous DRC exhibitors are entitled to the subscribing member rates. Exhibiting Space Allocation:An effort will be made to honor booth selection preferences, but booths will be assigned on a first-come, first-served basis. Move In/Move Out:Exhibitors will have access for general move-in on Monday, April 17 from 8 AM - 5 PM and on Tuesday, April 18 from 8 AM - 12 noon. Exhibitors with vehicles and/or heavy machinery must contact GES Exposition Services directly to schedule a move-in time.

Exhibitors will be able to take down their exhibits on Friday, April 21 from 1:30 PM - 6 PM.

Exhibiting Space Allocation:An effort will be made to honor booth selection preferences, but booths will be assigned on a first-come, first-served basis. To ensure your preferred booth location, send the enclosed Booth Reservation Form along with a 50% deposit today. You may also register online for credit card payments. The payment balance is due February 18, 2006.

Cancellation:Exhibit space is assigned on a first-come, first-served basis. A 50% deposit is due with form. Balance must be paid by February 18, 2006. If the Exhibitor fails to make any payment described in this agreement on or before the due date, the Exhibitor’s right to participate may be canceled without further notice and without refund of monies paid. If the Exhibitor cancels in written notice its participation in the conference within 90+ days prior to the conference, $100 of the deposit will be charged and the remaining amount paid to EERI will be refunded. If the Exhibitor cancels in written notice 89-60 days prior to the conference, the deposit will be charged and the remaining amount paid to EERI will be refunded. If Exhibitor cancels in written notice 59 to day of conference such cancellation shall be considered a default on its part; the provisions of this agreement shall apply; any monies paid, therefore, will be retained by the 100th Anniversary Earthquake Conference as liquidated damages; and the Exhibitor will be obligated for 100 percent of the Contracted Fees.

Move In/Move Out:Exhibitors will have access for general move-in on Monday, April 17 from 8 AM - 5 PM and on Tuesday, April 18 from 8 AM - 12 noon. Exhibitors with vehicles and/or heavy machinery must contact GES Exposition Services directly to schedule a move-in time.

Exhibitors will be able to take down their exhibits on Friday, April 21 from 1:30 PM - 6 PM.

> Terms and Conditions

2. Exhibit hours: The 100th Anniversary Earthquake Conference will estab-lish exhibit hours and reserves the right to make any changes as it may deem appropriate. Exhibition hours will be determined based on the con-ference program schedule.

3. Installation and dismantling: The Exhibitor agrees explicitly that in the event that the Exhibitor/Sponsor fails to install products in its assigned space or fails to remit payment for required space rental at times specified, the 100th Anniversary Earthquake Conference shall have the right to take possession of said space and lease same to such parties and upon such terms and conditions it may deem proper. In addition, the Exhibitor/Spon-sor may not dismantle the display until the exhibition is finally closed to the public, at the date and time so indicated by the 100th Anniversary Earth-quake Conference.

4. Use of exhibition space: The Exhibitor/Sponsor shall not assign to a third party its rights to the exhibition space or any portion thereof without the prior written consent of the 100th Anniversary Earthquake Conference, which the 100th Anniversary Earthquake Conference may grant or with-hold at its sole discretion. No firm or organization not assigned exhibit space will be permitted to solicit business within the exhibit area.

5. Contractor services and information: The 100th Anniversary Earthquake Conference, in the best interest of the exhibition, may select certain firms to serve as official contractors to provide necessary support and facilities services. All other such contractors are excluded from exhibit activities un-less approved in advance in writing by the 100th Anniversary Earthquake Conference.

6. Indemnity and limitation of liability: Neither the 100th Anniversary Earth-quake Conference nor any of its contractors or affiliated organizations, its officers, agents, employees, facilities, other representatives, or assigns (col-lectively “100th Anniversary Earthquake Conference”) shall be held liable for, and they are hereby released from, any damage, loss, harm, or injury to the person or property of the Exhibitor/Sponsor or any of its visitors, of-ficers, agents, employees, or other representatives, resulting from theft, fire, earthquake, water, unavailability of the exhibition facility or intermediate staging facilities (including any damage, loss, harm, or injury in connection with the 100th Anniversary Earthquake Conference, exhibits, or staging, for reasons beyond the Conference’s control), accident, or any other cause. The Exhibitor/Sponsor shall indemnify, defend, and protect the 100th Anniver-sary Earthquake Conference and hold the 100th Anniversary Earthquake Conference harmless from any and all claims, demands, suits, liability dam-ages, losses, costs, attorney’s fees, and expenses of any kind that might re-sult or arise from any action or failure to act on the part of the Exhibitor/Sponsor, its officers, agents, employees, or other representatives.

7. The 100th Anniversary Earthquake Conference shall not be responsible for the security of Exhibitor’s/ Sponsor’s equipment or its proprietary software or hardware information. This limitation of liability applies to equipment for use in the exhibit area, general session, conference sessions, and any other conference rooms or facilities. It is the responsibility of the Exhibitor/Sponsor to maintain proper insurance coverage for its property and liability.

8. Observance of laws: Exhibitors/Sponsors shall abide by and observe all laws, rules and regulations, and ordinances of any applicable government authority and all rules of the Conference facility.

9. Cancellation or termination: If, because of war, fire, strike, Convention Center/hotel construction or renovation project, government regulation, public ca-tastrophe, Act of God, or the public enemy, the 100th Anniversary Earthquake Conference or any part thereof is prevented from being held or is canceled by the 100th Anniversary Earthquake Conference or the space becomes unavail-able, the 100th Anniversary Earthquake Conference in its sole discretion shall determine and refund to the Exhibitor/Sponsor its proportionate share of the balance of the aggregate display fees received that remains after deducting expenses incurred by the 100th Anniversary Earthquake Conference and reasonable compensation to the 100th Anniversary Earthquake Conference. In no case shall the amount of the refund to the Exhibitor/Sponsor exceed the amount of the fee paid. The 100th Anniversary Earthquake Conference reserves the right to cancel any portion of the exhibit schedule as it deems necessary and appropriate. All changes and/or cancellations will be commu-nicated to Exhibitors/Sponsors in writing. Cancellation of any portion of the Exhibitor/Sponsorship Agreement by the Exhibitor/Sponsor will be accepted only in writing. The Exhibitor/Sponsor will be obligated for 100 percent of the contracted fees as liquidated damages. If in order to collect unpaid exhibit fees the 100th Anniversary Earthquake Conference pursues legal remedies, the Exhibitor/Sponsor will pay the 100th Anniversary Earthquake Conference all legal and related expenses, court fees, staff times, etc., so incurred.

10. Agreement to terms, conditions, and rules: The Exhibitor/Sponsor agrees to observe and abide by the foregoing terms, conditions, and rules, and by such additional terms, conditions, and rules made by the 100th Anniversary Earthquake Conference from time to time for the efficient and safe operation of the exhibition, including but not limited to, those contained in this agree-ment. In addition to the 100th Anniversary Earthquake Conference’s right to close a display and withdraw its acceptance of the Agreement, the 100th An-niversary Earthquake Conference in its sole judgment may refuse to consider for participation in future exhibitions any Exhibitor/Sponsor who violates or fails to abide by all such terms, conditions, and rules.

11. There is no other agreement or warranty between the Exhibitor/Sponsor and the 100th Anniversary Earthquake Conference except as set forth in this document and any addenda hereto. The headings used in this agreement are for organizational purposes only and are not to be used in the interpretation of the substance of this agreement. The rights of the 100th Anniversary Earth-quake Conference under this agreement shall not be deemed waived except as specifically stated in writing and signed by an authorized representative of the 100th Anniversary Earthquake Conference.

12. Governing law: All terms and conditions in this Exhibitor/Sponsor Agree-ment are subject to and governed by the laws of the state of California. In the event of any dispute involving the Exhibitor/Sponsor Agreement, such dispute will be litigated in California.

EXHIBITOR/SPONSOR INITIALS: __________________

All exhibitors and booth staff are required to wear badges while attending the conference. Additional badges will be available for exhibitors needing more than the allotted number of complimentary registrations in order to staff their booths. (Staff ID badges will not allow participation in the technical program.) All other personnel must pay full registration if they want to attend the scientific sessions.

Booth reservations will be accepted on a first-come, first-served basis and must be accompanied by a 50% payment deposit. Booths must be paid for in full by February 18, 2006. After that date, the exhibitor’s right to participate may be cancelled and available exhibit space will be assessed an additional 20% late fee.

NON-PROFIT EXHIBITORS ARE ELIGIBLE TO RECEIVE A RATE DISCOUNTThere are separate rate structures for commercial organizations, non-profits, and subscribing members. The non-profit rate is 30% less than the commercial rate, and EERI and SSA subscribing members receive a 20% discount off either the commercial or the non-profit rate, as applicable. Previous DRC exhibitors are entitled to the subscribing member rates.
