NOTICE OF APPEAL AND REQUEST FOR STAY

Appellant, Newell Porcelain Company (6Newell Porcelain"), respectfully represents that

is aggrieved by that certain Order No. 8602 issued under the authority of Scott G. Mandirola,

Director, Division of Water and Waste Management (¬DWWM"), West Virginia Depatment of

Environmental Protection (c6WVDEP%), dated August 25, 2016, pursuant to the West Virginia

Water Pollution Control Act, W. 7/cy. Coc7e § 22-ll-I, et seq. (6the Order,,). The Order is

directed to Newell Porcelain Co., c/o Rick Stanley, President, a company that ceased doing

business in 2005 and whose authority to conduct business in West Virginia was revoked on May

24, 2006, and that is currently defunct.

Appellant Newell Porcelain therefore prays that the Environmental Quality Board (6¬the

Boardw) review this matter pursuant to W. Va. Code § 22-30-18 and grant it such relief as the

Board may deem appropriate, including but not limited to the fiollowing:

a. Stay enforcement ofthe Order pending consideration ofthis appeal.

All other relief or revisions deemed appropriate by the Board, including but not

limited to the stay of the Order, fiollowing consideration of all of the information

and evidence presented.

I. Facts Relevant to A

The facts relevant to this appeal are as follows:

1. By agreement dated August 16, 2005, by and among Newell Porcelain Company9

Inc., Newell Porcelain Holding Company9 Inc., Gall RIchard Stanley) Jr. and National City Bank,

Newell Porcelain and Newell Porcelain Holding Company, Inc. agreed to cccomplete a wind-

dolm oftheir operations to permit the completion and delivery ofthe work in process and other

inventory, \which wind-dot- shall be completed by August 19, 2005.*

2. By Collateral Surrender Agreement dated January 5, 2006, Newell Porcelain and

Newell Porcelain Holding Company, Inc. surrendered possession of ¬call equipment, machinery,

inventory, raw materials, work in process, supplies, accounts receivable, contract rights, general

intangibles, and trade fixtures" (ccthe Collateral,) to National City Bank for sale. Upon

information and belief, National City Bank transferred the Collateral to a third party in 2006.

3. On May 24, 2006, the West Virginia Secretary of State administratively

terminated Newell Porcelain,s certificate to transact business in West Virginia.

4. Newell Porcelain has not conducted business since 2005 and no assets remain in

the name ofNewell Porcelain.

The specific objections on which this appeal is based, including questions oflaw and fact

to be deterhined by the Board, are as follows:

The following findings are made and Order issued to Newell Porcelain Co pursuant to theauthority vested in the Director ofthe Division ofWater and Waste Management under Chapter22, Article 1 1, Section 1 et seq. ofthe Code ofWest Virginia.

FINDINGS OF FACT

In support ofthis Order, the Director hereby flnds the following:

1. Newell Porcelain Co operated a facility located at Fifth and Harrison Streets in Newell,Hancock County) West Virginia. Newell Porcelain Co. was reissued WVINPDES WaterPollution Control Perrit No. 1WOOO4561 on June 30, 201 I. The WVINPDES permitexpired on June 29, 2016.

2. On December 14, 2009, West Virginia Department ofEnvironmental Protection(WVDEP) personnel conducted a Pre-Closure Inspection (PI) at the Newell Porcelain Cofacility. Prior to this date, production ceased. but shipping and receiving activitiescontinued, Over the course ofthe inspection several Areas ofConcem (AOC) wereidentified which were listed in the inspection report,s narrative and summary. Tis reportinstmcted facility representatives to contact WVDEP persormel to schedule a follow-upinspection upon completion ofclosure activities.

3. In April9 2016, the aforementioned facility was purchased by WVTH LLC. WVDEPpersonnel performed arecord review and dote-ined that the aforementioned
