ARTICLE 1. GUARANTEED MAXIMUM PRICE (GMP)

1.1.1 Guaranteed Maximum Price (GMP): Design Builder guarantees that it shall not exceed a Guaranteed Maximum Price (GMP) of Three Hundred Ninety-Six Thousand, Five Hundred Fifty-One Dollars ($396,551.00) for the identified Sub-Project. 1.2 Basis of the GMP: 1.2.1 Construction Documents: The Scope of Work for the GMP shall be as defined in the

Construction Documents, prepared by Stillwater Technologies, titled Plant Operations-Petroleum Storage and Distribution System Upgrade Plans and dated February 12, 2019.

1.2.2 List of Contract Documents attached as Exhibit C-1. 1.2.3 Exceptions, Clarifications and Exclusions: The Scope of Work defined in the Contract

Documents shall be modified and/or clarified as shown in attached Exhibit C-2. 1.2.4 Truth-In-Negotiation: The Design Builder certifies that the wage rates and other factual

unit costs supporting the compensation are accurate, complete and current at the time of execution of each Sub-Project of which this certificate is a part. The original price and any additions thereto shall be adjusted to exclude any significant sums by which the Owner determines the Sub-Project amount was increased due to inaccurate, incomplete or non-current wage rates and other factual unit costs and that such original Sub-Project adjustments shall be made within one year following the end of the Agreement.

ARTICLE 2. PROJECT TIME 2.1 Substantial Completion Date: Substantial Completion of the Work as defined in Article 6.1.2 of the

General Conditions to the Continuing Contract for Design Build Services shall be achieved by October 23, 2019.

2.2 Final Completion Date: Final Completion for the Work as defined in Article 6.1.3 of the General Conditions to the Continuing Contract for Design Build Services shall be achieved by December 22, 2019.

2.3 Project Schedule: Attached to this Amendment will be a schedule identifying the above noted completion times and intermediate milestone dates estimated for the Project. The proposed schedule shall be integrated into the Design Builder's CPM Schedule upon approval of its Guaranteed Maximum Price Amendment.

ARTICLE 3. DESIGN BUILD FEE 3.1 Design Build Fee: The Design Builder Fee for the Project shall be either a ☒Lump Sum or ☐Not-

To-Exceed Fee (Check Correct Type – Reference Sub-Project Work Request (Exhibit B) which identifies the Fee type) of Thirty-Nine Thousand, Eight Hundred Twenty-Three Dollars ($39,823.00).


ARTICLE 4. REIMBURSABLE GENERAL CONDITIONS COSTS 4.1 General Conditions: General Conditions costs for the Project shall not exceed Sixty-Two Thousand,

Four Hundred Twenty-Seven Dollars ($62,427.00). General Conditions costs shall be reimbursed at Design Builder's negotiated lump sum for Projects with a GMP under $1,000,000. General Condition costs shall be in compliance with the General Conditions to the Design Build Contract (Exhibit A) and are identified in the attached document, prepared by the Design Builder titled POM Fuel Tank Upgrade and dated March 8, 2019.

ARTICLE 5. LIQUIDATED DAMAGES 5.1 Substantial Completion: Design Buildershall pay Owner One Thousand Dollars ($500.00) as

liquidated damages for each day that Substantial Completion extends beyond the Substantial Completion Date.

5.2 Final Completion: Design Buildershall pay Owner Five Hundred Dollars ($250.00) as liquidated damages for each day that Final Completion extends beyond the Final Completion Date.

1) We have not included the cost of new fuel.2) There is no asbestos or hazardous material contemplated on the project, therefore no costs have

Dear Mr. Nash: Stillwater Technologies, Inc. (Stillwater) is pleased to provide this proposal for professional services associated with the installation of a new AST fueling system at the captioned site followed by the removal of the existing UST fueling system. Phase VI – Bid and Construction Phase Stillwater has not included extensive Bid and Construction Phase services in this proposal. Only items 1, 5 and 6 as enumerated below are included. Typical services offered are listed below and can be cost estimated if desired by Client. 1) Answering questions asked by the bidders as forwarded by Client and issuing

responses to Client. 2) Conducting site visits to confirm completion of sanitary, water, grading elevations and

drainage improvements prior to laying asphalt. 3) Conducting site visits during the course of construction to observe progress of

construction. 4) Conducting a site visit after construction to prepare a “punch list” or certify other

completed work. 5) Review of shop drawings and submittals.

6) Review of Progress Payment Applications Phase VII – Certificates of Completion – “As-Builts” Stillwater has included Certifications and/or As-Built services in this proposal based on the assumption that the owner, Client or some agency will require same. 1) Based on information from an as-built survey (if performed) and the contractor,

Stillwater will prepare plans reflecting any modifications during construction.

ADDITIONAL SITE VISITS OR MEETINGS: No additional site visits or meetings of any kind are included in this proposal. Should client desire Stillwater to conduct a site visit or attend a meeting of any kind, there shall be an additional $650.00 charge per occurrence assuming “on site” time does not exceed three hours. EXCLUDED ITEMS: Items excluded from this proposal are listed below along with assumptions made. • Redesign created by client following client approval of site plans; • Any land surveys of any nature including subdivisions, platting, easement sketch and legal descriptions,

donations, etc.; • Geotechnical services; • Environmental studies, wetland studies, endangered species studies, ecological studies, or related permit

procurement; • Governmental or Impact fees as may be required; • Permit submittal fees; • Extra work as may be required due to changes in laws, rules, regulations, ordinances, codes or orders of

governmental authorities subsequent to the preparation of plans, permits and construction beyond the engineer’s control;

• Any special off-site sewer interconnection with central sewer design or permitting, other than that specified herein;

• Any special off-site water interconnection design or permitting, other than that specified herein; • Architectural or structural plans; • Electrical plans of any kind; • Structural engineering needed for retaining wall design. • Geotechnical Study – It is assumed due to the existence of structures and underground systems at the

facility, and to the assumption that subsurface problems have not been encountered in the past, that a site-specific geotechnical will not be required;

Stillwater proposes to provide these services on Lump Sum basis as described above. Out-of-scope items will be addressed in accordance with our Standard Rate Schedule (Attachment ‘A’). Attached also, please find our Standard Services Agreement (Attachment ‘B’). If this proposal is acceptable, please sign the Services Agreement for the Phase I services and return it to us.
