Re: Coordination of RMBS Actions Pending in Part 60

Dear Justice Friedman:

Pursuant to Your Honor's direction during the Court's December 10, 2014 meeting with counsel concenring the coordination of RMBS actions pending in Part 60, we write to advise the Court that the parties in the Putback and Monoline cases (as distinct from the investor cases) pendinu in Part 60 have jointly selected the Honorable Theodore H. Katz to serve as Special Discovery Master in those cases. Judge Katz is a retired Maaistrate Judge of the Southenr District of New York now afifliated with JAMS. A copy of his bio is enclosed. Also enclosed is a proposed order appointing Judge Katz as Special Discovery Master, which the patries jointly submit. The parties intend to further address the role and duties of the Special Discovery Master either in the proposed Case Management Order, to be submitted on or before March 17, 2015, or in a separate proposed order, also to be submitted on or before March 17, 2015, pertaining to the Special Discovery Master (along with, if necessary, short letter briefs addressing any disputes concerning such proposed order).

Hon. Theodore H. Katz (Ret.) joins JAMS after serving for 21 years as a United States Magistrate Judge in the Southern District of New York — one of the busiest and most important federal courts in the nation. During that period, he exercised the full range of judicial responsibilities in over 5,000 complex and other cases -- supervising pretrial activity, addressing discovery and attorney fee disputes, hearing substantive and procedural motions, and presiding over civil and criminal trials. Most notably, Judge Katz developed a reputation as an extraordinary facilitator of settlements. He hosted settlement conferences in more than 2,500 cases, ranging across the full spectrum of the federal court docket, including matters involving employment law, the Fair Labor Standards Act, ERISA, intellectual property, securities law, complex commercial cases, insurance, civil rights, and totrs.

Judge Katz is known as a patient, thoughtful, and creative settlement judge. He places great emphasis on the human, as well as the business and ifnancial dimensions of disputes, and enjoys engaging with the participants.

Judge Katz served on the ADR Committee of the United States District Coutr for the Southem District of New York. He has been on the adjunct faculty at Columbia Law School for six years.

(PROPOSED) ORDER FOR THE APPOINTMENT OF

SPECIAL DISCOVERY MASTER

WHEREAS, on December 10, 2014, the Court held a meeting with all parties

involved in the RMBS actions pending in Part 60, during which, among other things, the

streamlining of discovery and the appointment of a special discovery master were

discussed;

WHEREAS, by letter dated February 17, 2015, counsel for the parties in the

Putback and Monoline Actions advised the Court that they had reached an agreement to

recommend that the Court appoint the Honorable Theodore H. Katz as Special Discovery

Master in the Putback nad Monoline Actions pending in this Part; and

NOW, THEREFORE, IT IS HEREBY OREDERED that:

1. In order to facilitate the fair, orderly and expeditious disposition of the Putback

and Monoline Actions, the Court hereby appoints Hon. Theodore H. Katz as Special

Discovery Master in connection with the Putback and Monoline Actions pending in this Part,

which are listed on Exhibit A hereto;

2. The Special Discovery Master shall be vested with such duties and powers as

shall be set forth in subsequent Orders of the Court, which Orders may identify additional

Putback and Monoline Actions to which the Special Discovery Master's appointment shall

apply;

3. The parties shall meet and confer regarding an arrangement to pay the fees and

expenses of the Special Discovery Master, and if an agreement cannot be reached, present

proposals to the Court for its consideration; and

4. The parties shall work together to ensure that all paperwork necessary to

effectuate the retention of the Special Discovery Master is prepared and executed on or before

March 17, 2015.
