CATALOGUE PRESENTATION

The office furniture industry has been struggling through a difficult period; many companies have reduced in size while others have disappeared

altogether from the market.

Even though the current outlook may appear bleak for the office furniture, home furniture, made-to-measure or contract furniture sectors, these

industries remain important for what they have produced in the past and can indeed continue to produce; they continue to inspire designers and

entrepreneurs and benefit operators in others sectors.

DIWAR along with so many other companies has endured a difficult time and has sought to understand how to stem the effects of the growing

crisis.

Many initiatives have helped us get where we are today: the reduction of staff costs and other costs, focusing on what we know we do best (metal

components, thermoplastic component moulding, upholstery, improved logistics thanks to the strategic position of our main factory) - these things

have given new breath to our whole organisation and have allowed us to invest in new products.

Our customers and suppliers, along with our staff, are part of the precious capital of DIWAR, which also counts on its plant and machinery: injection

presses and other state of the art equipment which allows us to satisfy the needs of our customers in a moment when flexibility is essential along

with lead times, quality of products and service and finally customisation.

Our range of seating is updated with new products. The mix is in line with current market needs for design, ergonomics and recyclability and

includes seating for the office, meeting and waiting areas, as well as for the home. The portfolio is organised by working or living areas to highlight

the style and identity of the products.

We are aware of the new challenges that must be faced and we feel sufficiently prepared.

We are at the start of a new a process of organisational development in a geographical area that is rich with competent and experienced people

who have common sense and demonstrate willingness towards our customers, who are the ones that set the bar for us all.

We’re doing our best to make DIWAR a company that meets the expectations of its customers, suppliers and collaborators.

GENERAL SALES CONDITIONS AND GUARANTEE

The validity of the sales conditions applied by Diwar S.p.A. is unchallengeable and it will not be considered as valid any sales condition shown by the Client which is opposite and

different from that indicated by Diwar S.p.A. Any different agreement has to be established in writing.

1. Orders

Diwar deals only with orders placed in writing; the orders received have to be “approved” by Diwar S.p.A. The minimum order value is set at Euro 600,00. Orders may be sent

either by mail: [email protected] or by fax: +39 049 9290855. Any order may be considered accepted upon receipt of an order confirmation. This can be issued only when an

order is complete with all the necessary information to process the order (product name, upholstery reference…). Delivery may be delayed according to the time lapse between

the registration of the order and the receiving of all the information necessary to process the order. Any request to modify an order must be transmitted in writing within 48 hrs

from receipt of the order confirmation. The feasibility to implement the requested amendments will be evaluated by Diwar and, if technically possible, the decision will be at Diwar’s

own discretion. Urgent orders with special delivery conditions may not be subject of dispute. Any verbal or telephone agreement has to be followed by a written confirmation.

Diwar reserves the right to refuse orders from a Client if information regarding the credit-worthiness are insufficient or deemed unsatisfactory or if Diwar has information on his

poor solvency. Delivery terms are indicative and any delay cannot give rise either to allowance or to the cancellation of the order. In case a change is requested when the dispatch

date is imminent, the Client must communicate the requested amendment in writing (by fax or by registered mail) and must accept an additional 4 weeks delivery time. Further to

the expiry of this period without a delivery, the Client is entitled to cancel the order without any responsibility on either side. In case of circumstances out of Diwar’s control, such

as unavailability of raw materials, natural catastrophes or other phenomena, etc… the delivery terms will be modified and no claim for damages may be requested by the clients.

2. Prices

The prices indicated are in Euro and are not inclusive of VAT. The prices applied are those in force at the moment of placing of the order, unless otherwise agreed in writing.

In case of delayed payments, Diwar reserves the right to debit the interest costs. The failure to pay at the due date authorizes Diwar to suspend all pending orders. In case of

supply of special products or in case the fabric / leather are supplied by the Client, it is necessary to ask to the Customer Service the confirmation of the reference codes, the

prices and the delivery date which will be valid for this sole supply. The Client can contact the Customer Service at +39 049 9299289 or send an e-mail at [email protected]

3. Deliveries

For orders with a value below € 600,00 carriage costs to be paid by the customer. Diwar’s responsibility on the goods terminates at the moment the goods are loaded on the

trucks/containers. This also applies to C&F or CIF cases. The liability of all goods in transit is on the Customer’s side. In case the Customer requests Diwar to arrange the

delivery, Diwar reserves the right to select the carrier. The Goods remain property of Diwar until the complete payment of the order, even if the buyer becomes responsible for the

safe-keeping of the material since the transfer of possession carries such risks. We reserve the right on the purchased goods until all the payments are settled by the Client; in

case of delay in the payments, without any written agreement with Diwar, we reserve the right to go and pick up the delivered, unpaid goods .

4. Packaging

Our goods are appropriately packed according to the transport conditions to guarantee adequate protection of the goods in transit. Some models are packed fully assembled and

some others are partially assembled. For further information, please contact our Customer Service by mail ([email protected]) or by fax (+ 39 049 9290855).

Our goods have to be checked at delivery time on discharge’s place; and any claim concerning missing items during the unloading of the goods or damages due to transport must

be made by law only at the moment of consignment and in presence of the carrier. Possible manufacturing defects must be reported in writing within 8 days from receiving of the

goods. Diwar does not accept any returns of goods unless authorized in writing. The Client has to dispose of the packaging material at his own cost.

In case of request of special packaging, Diwar reserves to apply additional costs arising from the Client’s request. Please contact our Customer Service ([email protected]) for

5. Improvements

Considering the continuous improvements and the technical evolution, Diwar reserves the rights to make any modification to the products and to the manufacturing processes

without prior notice.

6. Warranty:

All products contained in the Diwar Design catalogue are guaranteed for a period of two years, in case of normal use (220 days/8 hrs per day).

Any defects due to the manufacturing or to the materials have to be reported in writing ([email protected]) with the detailed description of the defect and, if possible, with the

digital picture illustrating the problem.

The transport costs relative to after-sales service are at Client’s charge.

The gas-lift has a guarantee of two years.

The guarantee period starts from the date of delivery; in case of claims, it is necessary to indicate the product code indicated on the Delivery Note.

The following is not covered by guarantee:

- Excessive or incorrect use of the product.

- Natural wear of the materials (e.g. fabrics, castors…).

- Defects caused by interventions made outside of Diwar premises.

- Defects due to humidity where acid or salt is present in the atmosphere.

- Any material supplied by the Client and worked by Diwar.

- Defects caused by any special manufacturing operation request by the Client.

The above guarantee does not cover any other responsibility and therefore the following is excluded: any request of the Client for compensation for defective goods and any other

claim and/or demand of the Client. Also in case of valid claim, the Client cannot suspend or delay the payments due.

7. Privacy - guardianship of third party

The Client accept that his own data are filed by Diwar to be inserted in the company’s electronic data processing; Diwar renounces to give special communications according to

the Privacy Law. For all the goods directed to foreign countries, Diwar do not take charge in case of infringements of protection rights ofthird party.

8. Jurisdiction

In case a Law action arises as to the present price list and to the contracts placed on the base of the present price list, or generally with Diwar S.p.A., the sole place of jurisdiction

will be Padova Court - Italy.
