MEMORANDUM OF UNDERSTANDING between

CITY OF WEST DES MOINES (WESTCOM) and

CITY OF ADEL, IOWA regarding

WESTCOM REGIONAL INTEROPERABLE COMMUNICATIONS SYSTEM

I. Introduction

This Memorandum of Understanding (MOU) is entered into by the City of West Des Moines (Westcom), the consolidated communications center for the Cities of Clive, Norwalk, Urbandale, Waukee and West Des Moines, Iowa and the City of Adel, Iowa. Today's public safety realities have highlighted the need for this type of agreement based on surrounding agencies communicating on the Westcom Regional Interoperable Communications System (WRICS). This MOU addresses the current challenge of surrounding agencies operating on disparate radio systems. To ensure that the public safety community reaches optimal utilization of finite communications resources and maximum interoperability, this agreement will establish the guidelines for surrounding agencies to communicate on the Westcom Regional Interoperable Communications System (WRICS). In addition, this agreement allows for a partnership between local governments which mutually benefits the public safety and public service officials serving our citizens.

II. Purpose The purpose of this agreement is to provide for improved radio communications between Westcom agencies and the City of Adel. Specifically, Westcom and the City of Adel agree to the following obligations per this agreement.

Obligations of Westcom: • Westcom agrees to allow the City of Adel access to the Westcom Regional

Interoperable Communications System (WRICS).

Obligations of the City of Adel: • The City of Adel agrees to acquire and maintain their own compatible communications

subscriber equipment. • The City of Adel agrees to follow all applicable FCC rules and regulations. • The City of Adel agrees to only communicate with Westcom agencies on the Westcom

Regional Interoperable Communications System (WRICS). • The City of Adel agrees to abide by all applicable Westcom policies and procedures

while operating on the Westcom Regional Interoperable Communications System (WRICS).

• The City of Adel agrees to follow the National Incident Management System (NIMS) recommendation for use of plain language while operating on the Westcom Regional Interoperable Communications System (WRICS).

Ill. Definitions "Agreement" means this MOU between the City of West Des Moines (Westcom) and the City of Adel, setting forth the services provided as well as the terms and conditions under which the services are provided and includes its exhibits, attachments, and any renewals or attachments.

WESTCOM REGIONAL INTEROPERABLE COMMUNICATIONS SYSTEM

The eleven Westcom agencies are the public safety (police, fire and EMS) departments of the cities of Clive, Norwalk, Urbandale, Waukee and West Des Moines, Iowa which are: Clive Fire Department, Clive Police Department, Norwalk Fire Department, Norwalk Police Department, Urbandale Fire Department, Urbandale Police Department, Waukee Fire Department, Waukee Police Department, West Des Moines Emergency Medical Services, West Des Moines Fire Department, and West Des Moines Police Department.

The "Westcom Regional Interoperable Communications System" (WRICS) includes trunked talkgroups on the 7/800MHz, analog and/or digital systems as well as numerous legacy conventional VHF and UHF channels operated by Westcom.

IV. Policy It shall be the policy that Westcom radio system resources will be used for interagency communications between Westcom agencies and non-Westcom agencies. Use of the Westcom Regional Interoperable Communications System (WRICS) resources will last for the duration of an incident or event or until this agreement is amended or terminated. Westcom will dictate all future use of the radio system resources and be responsible for the authorization of future users.

V. User Procedure Requirements As previously stated in this document, the Westcom Regional Interoperable Communications System (WRICS) is intended for use when it will enhance the safety or effectiveness of personnel performing their operational responsibilities. The Westcom Regional Interoperable Communications System (WRICS) may be requested, if needed, to allow interagency communications between each agency's command personnel dealing with incident operational responsibilities. Specific training, exercise, and equipment requirements will be addressed and managed by Westcom's Logistics Section.

VI. Financial Responsibility Each agency, entity or jurisdiction shall assume the initial cost and ongoing cost to maintain their own communications equipment for the duration of this agreement. This includes, but is not limited to: subscriber equipment (control stations, mobiles, and portables), accessories, installation, batteries, programming, upgrades, updates, and other consumables etc.

VII. Maintenance All parties understand that maintenance will be required on an ongoing basis. Each agency, entity or jurisdiction shall assume the cost of all operation, maintenance, repairs, and license designations of their own communications equipment and shall keep their equipment in a clean, safe, and good operating condition for the duration of this agreement.

VIII. Governance The Westcom Management Committee will be responsible for the enforcement of local communications capabilities agreed to in this MOU. This governance body is comprised of the Chiefs of the public safety departments of the cities of Clive, Urbandale and West Des Moines, Iowa and led by a City Manager of one of those three cities, chosen through stakeholder consensus. The Westcom Management Committee will review policy recommendations and changes that would affect key principles of this agreement. Decisions entered into by the oversight body will be made through majority vote.

IX. Updates to the MOU This agreement may be revised or amended at any time by mutual agreement of all parties and the governance body. Once the language of the MOU is modified, the Westcom Management Committee will provide all parties of the MOU with written notification of the change and reissue the modified MOU.

X. Duration This agreement shall remain in effect from the latest date written below through December 31st, 2019, or until such time as either party, upon thirty (30) days prior, provides written notice to the other party requesting the agreement's cancellation (see "Termination" below). This agreement can be renewed prior to its expiration upon written agreement of the parties.

XI. Termination Either party may terminate this agreement by giving thirty (30) days advanced written notice to the other party via US Postal Service mail. If a party terminates their participation in this agreement, the party shall be liable only for performance rendered or costs incurred in accordance with the terms of this agreement prior to the effective date of termination. Written notice may be mailed to the City of West Des Moines-Westcom, PO Box 65320, West Des Moines, lA 50265.

XII. Local Considerations This agreement and the rights and obligations of the parties hereto shall be governed by, and construed according to, the laws of the State of Iowa, United States of America. In addition, this agreement adheres to the Westcom Communications Center policies, procedures and guidelines established by the Westcom Management Committee.

WHEREAS, this Council has proposed a Resolution of Necessity for the Adel Brick Streets 2017, has given notice of the public hearing thereon as required by law; and

WHEREAS, the public hearing has been held, all persons offering objections have been heard and consideration given to all objections and is pending before this Council; and

WHEREAS, this is the time and place set as provided for the taking of action on the proposed Resolution of Necessity;

Assessment Policy for

Adel Brick Streets 2017 Adel, Iowa

The assessable items on this street project will include all cost for the items the City Council believes directly benefit the real property adjacent to or near the public improvements being constructed, consistent with past city policy, those items deemed to directly benefit the property shall include all costs associated with designing, building and financing:

• Removal of the existing street • Subgrade, grading and compaction of the road sub base • 25' width of pavement (paving wider than 25' is not assessable) • Storm sewer up to 24" diameter

The Flint Formula has been deemed to be a method which properly allocates special benefit.

Sidewalks and driveways are typically assessed separately and in addition to the individual prope1ties benefiting only if sidewalks or paved driveways do not exist prior to the project. Removal and replacement of existing paved driveways and sidewalks for constructability purposes will not be assessed. For this project no sidewalks or driveways are being assessed.

All cost not directly assessed to the properties shall be considered as a "general city wide benefit" and shall not be reallocated as "assessable" cost. These costs shall be paid by the entire city.

The final street portion of the assessment will be based on the unit cost as determined to be the lower value of one of the following:

I. The actual final unit cost of all the assessable street improvements as bid and constructed for the project

or

2. The unit cost adjusted for inflation at the rate of the Consumer Price Index from the date in which the project is bid. The unit cost shall be based on one of the following projects based on the type of similar construction:

a. Street Paving 1992/1993 (PCC Reconstruction $31.65 I unit) b. 1998 Asphalt Paving Project (ACC Reconstruction @ $20.05 I unit) c. 1995 Asphalt Overlay Project (ACC Overlay@ $7.991 unit)

Assessment Method Using the Flint Formula

Assessment costs are calculated for a property by multiplying the number of assessment units by a unit cost. Assessment units are calculated using the Flint Formula. The Flint Formula calculates the assessment units using the equation shown below:

Assessment Units= Lot Width x Assessment Factor

Assessment units for lots set back from the street are determined by calculating the assessment factor at the front of the lot and at the rear of the lot. The front assessment factor is subtracted from the rear assessment factor to find the assessment factor of the lot. The assessment units are then calculated as shown above.

BE IT FURTHER RESOLVED, that the detailed plans and specifications as prepared by JeffS. Schug, P.E., Engineer for the project, for the construction of the Adel Brick Streets 2017, and the form of contract and Notice to Bidders, as approved by Counsel, be and the same are hereby approved, subject to hearing thereon, and are hereby ordered placed on file in the office of the Clerk for public inspection.

BE IT FURTHER RESOLVED, that the amount of the security to accompany each bid shall be in an amount which shall conform to the provisions of the notice to bidders hereby approved as a part of the specifications.

BE IT FURTHER RESOLVED, that the City Clerk be and is hereby directed to post a notice to bidders once in a relevant contractor plan room service with statewide circulation and a relevant construction lead generating service with statewide circulation and on an internet site sponsored by either the City or a statewide association that represents the City. Posting shall be not less than thitieen clear days nor more than forty-five days prior to March 7, 2017, which is hereby fixed as the date for receiving bids. The bids are to be filed prior to 10:00 A.M., on such date.

The City Council hereby delegates to the City Administrator or his designee the duty of receiving, opening and tabulating bids for construction of the Project. Bids shall be received and opened as provided in the public notice and the results of the bids shall be considered at the meeting of this Council on March 14, 2017, at 6:00P.M.

BE IT FURTHER RESOLVED, that the Clerk be and is hereby directed to publish notice of hearing once in the "Dallas County News", a legal newspaper, printed wholly in the English language, published at least once weekly and having general circulation in this City. Sealed bids for lhe work comprising each improvement as stated below must be filed before 10:00 AM on the 71h day of March, 2017, in the office of the City Clerk at City Hall, 301 South 1oth Street, Adel, Iowa. Bids received after the deadline for submission of bids as stated herein shall not be considered and shall be returned to the late bidder unopened.

Notice is hereby given that a public hearing will be held by the City of Adel on the proposed contract documents (plans, specifications, and form of contract) and estimated cost for the 2017 BRICK STREETS PROJECT -MAIN STREET RECONSTRUCTION project at its meeting at 6:00 P.M. on the 141h day of March, 2017, in the Council Chambers at City Hall, 301 South 101h Street, Adel, Iowa. At the hearing, the City will receive and consider any objections made by any interested party, to the Plans and Specifications, proposed Form of Contract, and the Estimate of the Cost for the project.

Sealed proposals will be opened and tabulated at 10:00 AM on the 71h day of March, 2017, in the office of the City Clerk at City Hall, 301 South 1oth Street, Adel, Iowa for consideration by the City Council at its meeting on March 141h, 2017. Consideration of the award of contract would subsequently occur by the Adel City Council at the same meeting, at 6:00P.M. on the 141h day of March, 2017 at City Hall, presided over by the Mayor.

Work on the improvement shall commence within ten days of the issuance of a written Notice to Proceed. The Notice to Proceed will be issued upon approval of the contract by the Council, and be completed as stated below.

The Work will include but is not limited to the following improvements:

Main Street Reconstruction: Reconstruction of Main Street from 15TH Street to 101h Street, 14'h Street from Main Street to Prairie Street and 11th Street from Main Street to approximately 20' south of River Street, including 2690 sy of 7 inch PCC pavement, 10456 sy of modified subbase and subgrade preparation, 2085 Tons of HMA pavement, 6119 sy of brick street removal, 2633 sy of PCC pavement removal. 2145 If of sanitary sewer, 8 sanitary sewer manholes and sanitary sewer services. 1173 If of storm sewer, 4048 feet of subdrain and footing collectors, 1 storm manhole, 12 storm sewer intakes and sump pump services. 1840 feet of water main, hydrants, valves and water services. 2528 sy of new sidewalk, 907 sy of driveway replacement. Erosion control, field testing, traffic control, mobilization and other miscellaneous construction. Includes 5178 sy of Brick Street construction with recycled bricks.

Copies of the bid documents including project drawings and technical specifications will be on file starting January 27th, 2017 and may be inspected at the office of the City Clerk at City Hall, 301 South 10th Street, Adel, Iowa. A complete set of bid documents, including the Plans and Specifications, may be obtained from the Engineer, McClure Engineering Company, 1360 NW 121st Street, Clive, lA 50325, 515-964-1229. The initial set is free of charge to prospective bidders, i.e. qualified general contractors. A fee of $25 per set will apply to additional sets and to bidding documents requested by other than prospective bidders. This fee is refundable, provided the following conditions are met. 1. The plans and specifications are returned complete and in good usable condition. 2. And they are returned within fourteen (14) calendar days after the award of the project.

All bids must be filed at City Hall on or before the time herein set. All bids shall be made on forms furnished by the City and obtained from McClure Engineering Company, 1360 NW 12151 Street, Clive, /A. (515) 964-1229 and must be enclosed in a separate sealed envelope and plainly identified.

Each bidder shall accompany its bid with bid security as defined in Iowa Code Section 26.8, as security that the successful bidder will enter into a contract for the work bid upon and will furnish after the award of contract a corporate surety bond, in a form acceptable to the City of Adel, for the faithful performance of the contract, in an amount equal to 100% of the amount of the contract. The bidder's security shall be in the amount fixed in the Instruction to Bidders and shall be in the form of a cashier's check or a certified check drawn on an FDIC insured bank in Iowa or on an FDIC insured bank chartered under the laws of the United States; or a certified share draft drawn on a credit union in Iowa or chartered under the laws of the United States; or a bid bond on the form provided in the contract documents with corporate surety satisfactory to the City of Adel. The bid shall contain no condition except as provided in the specifications.

The Certified Check, Certified Share Draft or Cashier's Check may be cashed, or the Bid Bond forfeited, and the proceeds retained as liquidated damages if the bidder fails to execute a contract or file acceptable performance bonds or provide an acceptable certificate of insurance within ten (10) days after the acceptance of his proposal by resolution of the City.

No bidder may withdraw a proposal within thirty (30) days after the date set for opening bids.

Each successful bidder will be required to furnish a corporate surety bond in an amount equal to 100% of its contract price. Said bond shall be issued by a responsible surety approved by the City of Adel and shall guarantee the faithful performance of the contract and the terms and conditions therein contained and shall guarantee the prompt payment of all material and labor, and protect and save harmless the City of Adel from claims and damages of any kind caused by the operations of the contract and shall also guarantee the maintenance of the improvement caused by failures in materials and construction for a period of two years from and after acceptance of the contract. The guaranteed maintenance period for new paving shall be four years.

All Contractor(s) and subcontractor(s) are required to obtain tax exemption certificates from the City of Adel, Iowa for this project. These tax exemption certificates are only for use on this specific project as covered under the Contract. Before final payment will be made on this project, the Contractor(s) and subcontractor(s) shall provide lien waivers as required in the Specifications.

The project shall be fully complete by October 31 5', 2017. Failure to complete the work under the

specified schedules will result in liquidated damages of $500.00 per day until this section of the project is complete.

By virtue of statutory authority preference will be given to products and provisions grown and coal produced within the State of Iowa.

In accordance with Iowa statutes, a resident bidder shall be allowed a preference as against a nonresident bidder from a state or foreign country if that state or foreign country gives or requires any preference to bidders from that state or foreign country, including but not limited to any preference to bidders, the imposition of any type of labor force preference, or any other form of preferential treatment to bidders or laborers from that state or foreign country. The preference allowed shall be equal to the preference given or required by the state or foreign country in which the nonresident bidder is a resident. In the instance of a resident labor force preference, a nonresident bidder shall apply the same resident labor force preference to a public improvement in this state as would be required in the construction of a public improvement by the state or foreign country in which the nonresident bidder is a resident.

Failure to submit a fully completed Bidder Status Form with the bid may result in the bid being deemed nonresponsive and rejected.

If it is determined that adherence to these Iowa statutory requirements may cause denial of federal funds which would otherwise be available for a public improvement, or would otherwise be inconsistent with requirements of any federal law or regulation, the application of Iowa Code Chapters 73 and 73A shall be suspended to the extent necessary to prevent denial of the funds or to eliminate the inconsistency with federal requirements.

The City of Adel reserves the right to reject any or all bids, to waive informalities, and to enter into such contract, or contracts, as it shall deem to be in the best interest of the City.

Resolution No. 17-13

A RESOLUTION AMENDING RESOLUTION NO. 17-07, APPROVING TAX ABATEMENT APPLICATIONS FOR THE NEW CONSTRUCTION

COMPLETED IN 2016, IN ADEL, IOWA

WHEREAS, the Iowa Urban Revitalization Act, Chapter 404, Code oflowa (the "Act"), provides for exemption fi·om prope1ty taxes for the actual value added by improvements to property located in a designated urban revitalization area which are consistent with the urban revitalization plan for such Area; and

WHEREAS, the Act provides that persons making improvements must apply to the City Council for tax abatement, and the City Council shall approve the application by resolution, subject to review by the County Assessor, if it finds (a) the project is located in a designated urban revitalization area; (b) the project is in conformance with the urban revitalization plan for such area; and (c) the improvements were made during the time the area was so designated; and

WHEREAS, pursuant to the Act, the Adel City Council passed Ordinance No. 268 designating the entire area within the corporate boundaries of the City of Adel on January 24, 2011, as a revitalization area, and amended on October 9, 2012, to include area annexed by the City subsequent to January 24, 2011; and

WHEREAS, on December 14, 2010, the Adel City Council approved the Urban Revitalization Plan, which plan, among other things, specifies the types of improvements eligible for tax abatement, which was amended on March 13,2012, (Amendment #1) and finther amended on October 9, 2012, (Amendment #2), December 11,2012, (Amendment #3), November 12,2013, (Amendment #4), and August 12,2014 (Amendment #5), which provided certain modifications to the exemption schedule for qualified improvements, and I or added land; and

WHEREAS, the applications on the attached list have been received, reviewed and recommended for approval by City staff.

WHEREAS, one application for I 060 Aaron Comt was err-oneously not included on the original Resolution No. 17-07 approved on January 10,2017. The attached list for approved tax abatement applications has been updated to include this application.

NOW THEREFORE, IT IS HEREBY RESOLVED BY THE CITY COUNCIL OF THE CITY OF ADEL, lOW A, that:

1) The applications on the attached revised list for tax abatement on new construction have been received;

2) The applications on the attached list is are located in the Urban Revitalization Area; the project is in conformance with the Urban Revitalization Plan for the Area;

3) The applications listed are approved subject to review by the Dallas County Assessor under Sections 404.4 and 404.5 of the Act, for exemption according to the schedule noted in the Plan.

4) The City Clerk shall forward a cettified copy of this resolution and the above-mentioned applications to the County Assessor.

Dallas County Development, Inc. Scope of Services for Adel

Memorandum of Agreement

This memorandum of Agreement is between The City of Adel and Greater Dallas County Development Alliance.

The parties acknowledge and agree as follows, to-wit:

Greater Dallas County Development Alliance (hereafter referred to as The Alliance) will provide the following services to the City of Adel.

1. General membership services include: • GDCDA correspondences; • Teclmical assistance; • The Alliance as an information resource; • Representation in marketing efforts (including representation on The

Alliance Web page); • Inclusion of committee activities (committees include: marketing,

community development and organizational development).

2. Prospect/Project membership services include: • Representation to prospects considering any location in Adel:

• First point of contact representation; • Prospect package development assistance; • Economic development project fmancial packaging; • On-site visit assistance- Coordinate and participate in Adel prospect

visits; 3. Community Development membership services include:

• Oversight and entry of, available building and site inventory into LocationOne Information System (LOIS);

• Collaboration on training needs for Economic Development; • Oversight and entry of, updates to locality section ofLocationOne

Information System (LOIS); • The Alliance Executive Director/or Alliance staff will attend the Adel

meetings and city council meetings as requested.

4. Fees for service Include:

Marketing/Prospecting: $10,000 for staffing hours plus cost of any publications and tradeshows identified as a target market for participation (suggested amount approximately $3,000 per show)

• Create a plan that has a stronger GDCDA presence in the community over and above normal membership services;

• Creation of a marketing plan for Adel this will include target business clusters and markets;

• Assist in developing and refining an economic development protocol for the prospect process;

• A dedicated GDCDA staff member to assist Adel in Economic Development activities;

• Assist in the review and refmement of marketing materials: • Assistance and guidance with the development of promotional

brochure text elements- Commercial! Office/Business; • Assistance and guidance with the development of text elements for

the economic development section of the Adel web site; • Assistance with direct mail/email campaign;

Financing: $1000 • Explore grants that are aligned with Adel's Strategic Plan and specific

needs; • Grant writing - reviewing and providing input on grants written by A del;

5. Prospect summary updates will be available upon request- due to confidentiality of projects, some information may be omitted to protect the clients' identity.

6. Billings are anticipated to be semiannually to the City of Adel with a first half invoiced at the begirming of the fiscal year and second half invoiced at the begirming of the calendar year.

It is understood that there will be cooperation between the parties to supply information needed to accomplish the services outlined in this agreement. Employees of The Alliance shall not be considered employees of the City of Adel. Any clarification of work priorities in this agreement will be communicated jointly between a representative ofthe City and directly to the Executive Director of The Alliance.

This Memorandum of Agreement will commence on July I, 2017 with automatically renewal annually at the will of the parties.

This Memorandum of Agreement is hereby considered contractual by the following parties:
