1.2 Especially is every single involved person able to communicateproperly?

Since we cater to International market our recruitment guidelines have strict emphasis

on communication skills. Our main language of communication is English for internal andexternal communications. Their abilities are mostly good or medium.

Our Team Leaders and Project Managers are communicating regularly in English withour clients spread across 32 countries on a regular basis over phone, Skype and chat.

1.3 How is the escalation scenario in the case of problematiccommunication (misunderstandings)?

The initial point of contact would be the Project Manager (in case you hire 2 or more

developers) or the Team Lead (in case you hire 1 developer).

In case of any serious technical issues or conflicts we also have Technical Heads toprovide assistance and support. For server based problems we have Server Specialiststo handle and assist you in the same.

In case the Project Manager is unable to handle the situation the problem is escalate toand handled by the President-Operations. If the problem is still unsolved and there is adispute it would be subsequently handled by the Director himself.

2 Personnel Service

2.1 Describe the Personnel Services you provide as detailed as youcan.

2.2 Describe process you assign Team members/ how is therecruiting done?

We follow a highly intensive series of tests prior to recruitment and this ensures that onlythe qualified and commensurate candidates qualify. We have a HR team which ensures

that recruitment is carried out as per the requirements.

We also have an in-house training division which is constantly training our people so thatthey are aware of the systems and procedures. We have manuals and documents whicha developer must go through and learn before he begins coding on any of the projects.

Based on the requirements of the project we assign the relevant developers withmatching skill sets onto that project. We generally require a turnaround time of 15 daysfor allocating the relevant resources.

2.3 Describe what is being done to keep the People motivated. Whatcan be done to bind the team members emotionally to the

project? (Please add best practise examples)

We have various incentives based programs which keep the people motivated at alltimes. Besides this there are entertainment and grievance committee formed by and ofour employees. These committees ensure that there are regular entertainmentsprogrammes (once a quarter at least) and there is a cell for adressal of employeegrievances. Special performances and achievements are regularly monitored andrewarded by management to keep the motivation at high levels.

2.4 If replacements are necessary, please describe how this is done.

We have a large pool of resources and new recruitments are being regularly andconstantly done to keep a steady flow. Further candidates are being regularly trained inour training division to keep the flow continuous and uninterrupted.

In case, replacements are necessary, we would induct the necessary resources from ourexisting pool as there are always a few resources on the bench or working on in houseprojects and thus can be shifted. They would be briefed and trained initially for 15 daysunder the experienced resources so that they can subsequently take over without anyhiccups.

 As a matter of fact, we always keep one additional resource on the project at ourexpense (if for example you have taken 3 resources, we at our end will allocate 4 so thatthere is always one resource as backup).So we keep this buffer.

2.5 How long is out of your experience the average time a developerstays in a project? What are the key drivers when a developer isleaving the project /your company)

Usually we keep the team dedicated to the project till the project ends. At times inmodular development, we dedicate the resources module wise. If any developer

complains of monotony we shift him to another project by giving another developerappropriate time to pick up the project details.

In case developer leaves the organization due to better prospects, we have properhandover mechanisms to ensure that the new developer understands the projectproperly. We follow a process so that the entire handover is systematic and proper

project documents and coding standards maintained ensure that the post handoverdevelopment runs smoothly.

Further as mentioned above we always tend to keep one additional resource on projectsas a buffer to take care of such eventualities.

2.6 Describe conditions about working hours, holiday and illness.

We are a limited Company and are governed by the statutory rules and regulationsframed by the Government for employees. Our working hours are from 10 am to 6 pmbut generally all our people stay till about 8 pm. Alternate Saturdays are off besides thenormal Sundays as full holidays. There are 12 annual holidays prescribed by the Govt.

of India which we have to observe.

 Also as prescribed in the rules our employees are provided with 21 paid leave days onaccount of medical and/or casual leave annually.

2.7 Describe all other conditions related to the personnel service.

We have a detailed employee manual which details other rules and schemes relating totheir employment .We would be happy to share them with you on your visit. We aregoverned by the Shop and Establishment Act of the Government of India besides otherLabour Laws which ensures that we maintain the best of guidelines as per industrystandards.

3 Office and equipment

3.1 Describe the office situation as detailed as you can. (How manypeople in a room, where are the offices, pictures. etc.)

We have an office space of approximately 10,000 square feet spread over 2 floors. Eachfloor has workstations for the developers and cabins for the senior people. Besides

these, we have 2 conference rooms, 2 kitchens, restrooms and other necessaryfacilities. There are motivational pictures, notice boards, etc. on most of the walls.

3.2 Describe the IT Infrastructure in the office as much details as youcan.

Navigators Software has a very sophisticated IT infrastructure system as we believe thatthe fundamental requirement of any IT company is its hardware and network. We have

multiple servers, including a File Server, AD Server and Web Server which hosts ourclients' projects. Details of the same are given below. A Layer 3 network with redundantpower supply connects us to the Internet through multiple 2 mpbs broadband lines.

Details of our servers are:

The network is certified and we have Peplink load balancers and firewalls to ensureconstant and uninterrupted flow of information throughout the office. We are furtherprotected by viruses and malware through one of the world's best anti-virus softwares -Quick Heal.

We have 2 system administrators who are Microsoft Certified Professionals who

maintain and run this complex and efficient system. These administrators are sent fortraining to upgrade their knowledge of the system every 6 months. We are fully equippedto handle all kinds of repairs to our system by these in-house engineers.

Telecommunication needs are fulfilled by a Digital EPABX sytstem by Siemens whileindividual project managers, developers and designers also have Skype headsets forcommunication with customers. We have twenty incoming telephone lines and 2 faxlines.

Both our conference rooms are equipped with the latest LCD Projectors for groupdiscussions, presentations and training.

Developers work in a comfortable air conditioned environment where the temperature ismaintained at a comfortable 22 degrees Celsius. A Generator set capable of running theentire infrastructure is available for us during power failures.

 A fire-safety system has been installed to take care of any fire-related hazard, withextinguishers at each corner, entrance and in susceptible areas such as the kitchen,entrances and server rooms.

 An access and attendance control system controls the attendance of all employees whilepreventing unauthorized access by outsiders.

We can proudly state that we are at par with the best companies in the country inrespect to infrastructure and facilities.

3.3 Describe the personal IT equipment (hard and software) whichhas every developer on his personal working place

Our developers have access to well configured workstations fully equipped with latesthardware configurations which enables efficient and faster work. We work with latest

versions of Software which ensures that the project that project made by us arecompatible with latest technologies. Each desk depending on his/her profile has thefollowing:

- A minimum of Pentium 4 machine with at least 2 GB RAM- 17" flat monitors- iMac 20" computers for the designers- UPS- Telephone connection- Internet connection- Skype headsets (for those who are authorized to speak to clients)

Software configuration depends on the role of the individualdeveloper/designer/tester/PM.

4 Project and team4.1 Please describe as detailed as you can how the requirements of a

software project shall be documented? (Add best practiceexamples)

During Analysis phase we use UML diagrams to elaborate the project scenario. We then

prepare a Software Requirements Specifications for the project .This has a description of

all the modules and hardware and software requirements.

We follow the Agile methodology as depicted by the diagram below:

4.2 Please describe how the technical specification is normallydocumented by the developers. (Add best practice examples)

Modules are described using flowcharts and algorithms. We use best coding practices to

document the code and use all standard coding conventions. Code is also reviewed byour Technical Head and Process Manager. ISO and CMMI documentation practises are

used are per client’s requirements.

4.5 Please list the tools, which are used to coordinate the project.

Development phase uses various Tools at different levels:

Microsoft Project Plan (MPP) - We start with a Microsoft project plan which is sent tothe client for approval. This comprises of a detailed breakdown of the tasks, along withthe resource allotted and project milestones and deadlines.

Once these are approved, development starts and tasks are monitored on a daily basisand MPP’s are updated denoting the %age completion of tasks. Thus any risk isvisualised before it becomes alarming.

Updated MPP’s are shared with client on a regular basis. 

MS VISIO  – Project design template and flow is made using the Microsoft Visio. Theseare sent for approval to client. Once approved, design mock-ups are made and sent forapproval

Weekly / as per project requirement demos are shown to client using Mikogo or TeamViewer  and Skype as communication tool.

SVN  – Developers maintain a version management using SubVersion. This way multipleresources work on same project simultaneously and project versions are maintainedwithout any conflict.

4.6 Please list the methods which are used to communicate on adaily basis between the project members. (E.g. Skype)

We have IP messenger which is an Intranet based messaging system for interactionbetween developers. Also, there are telephones with extensions for every block.

 Also for exchanging Files and other related project details, we have a common memorypool dedicated for every project in our LAN. Herein all the documents pertaining toproject are kept, viz  –  analysis documents, SRS, MPPs, design mock-ups, testingreports. These can be accessed by all resources of the project.

We follow Scrum methodology as best practise and scrum meetings ensure that there isno communication problem between team members working across regions. When wewill have Brodos team in Germany communicating with our Indian team members, thesemeetings will ensure that there is no miscommunication and development movessmoothly.

4.7 Do you use video conferencing? What System are you using?

Yes we have a well equipped Conference room that has provisions for VideoConferencing. We use Webex for the same. 

5 Service results, Reporting

5.1 Describe all service results which will be normally generated (e.g.source codes, documentations....)

Programmer’s documentation of the source code  –  although we believe that wellwritten and maintained code is self-descriptive certain inline documentation should beavailable. That has to be part of development practices/guidelines that must be setbefore the actual development starts.

Workflow documentation  –documentation of the whole workflow from the moment arequest from the client comes to the point where the response is sent back. Can be in aform of activity /state diagram.

High level application documentation  –  in general what components are used, howthey’re connected to each other, what is their role and the boundaries, etc. Can be

component diagram.

Use case diagrams, Object model diagram, database diagram and others – all of themshould be implicitly available at the end of the project as they are (recommended) be donebefore the actual coding starts (in part 2 of the development cycle – analysis & design)

5.2 Please give an example of a developer report. Is it daily, weekly?(Add best practice examples)

Daily work reports are sent to client by the Project Manager. We have weekly demoswith our clients. When any new module or tasks is initiated, there is a meeting with the

entire team and it’s ensured that tasks are clear to everyone.

Weekly demos are there to show the progress of the tasks. Team members follow scrummethodology and interact daily to discuss the project and the progress. Please also referto 9.6.

5.3 Please list all reports on different levels which you propose andadd an example each.

6 Know-How and Intellectual Properties

6.1 Please describe as detailed as you can how you handle theintellectual property?

You will own the IPR of the specific application / product developed for you. The same

would be transferred to you on completion of the project and necessary full paymentagainst the same is received. The IP is adequately protected as we also have necessaryback to back agreements with our developers for the same.

6.2 Are there different methods how it could be handled?

6.3 Can we use intellectual property of other customers of you?(Maybe out of already programmed modules, which can be

adjusted)

We do not share source code of any other projects as the IP of it rests with thatparticular client. However, there is a lot of general coding / modules which are commonto all projects (e.g. Login function) and which are used. For these sections / modules noclient has any IP right over it.

7 Prices, Service Fee and Terms of Payment 

7.1 What currency do you propose and why you prefer thiscurrency?

We propose US Dollars, Euros and/or UK Pounds. These are the only currencies whichwe can accept as per our Government rules and regulations.

7.2 Please describe your terms of payment

For monthly hiring, we take 50% of the monthly fees in advance and balance 50% in themiddle of the month. This would continue with every month till you avail of the services.

In case of fixed project, we take 20% advance and balance payments are broken basedon milestones and payable on completion of each milestone. The final 10% is payable

on completion of project. The payments are structured accordingly.

8 Term, Termination and transition service

8.1 Please describe the conditions about term and termination.

We are very flexible about the conditions of term and termination any they are mutuallyapplicable. You can even avail our services for a month or work in case of dedicatedhiring or on a fixed project which could be of a small duration. Thus you have limited

risks and exposure. You can start small and scale up based on your needs and will.

In case of monthly dedicated hiring, we would keep 30 days notice on either side fortermination. For fixed projects you can exit post completion of the module / milestonebeing worked upon at that point or on mutually agreement. Thus you have very easy andflexible exit options.

8.2 Please describe the process of transition if the contract ends.What has to be done or is usually done?

This is a very simple process. Though we keep transferring the files to you at regularintervals, in case of termination, we will upload the files developed for you till that point to

your designated location. However it is understood that payment for the work done tillthat point needs to be cleared.

In case you choose any other service provider, we would be happy to help him in thetransition and explain him the process. However, with our detailed documentation andinline code commenting, it would not be any issue for any company to take up the workfrom where we have left off immediately and without any lag period. With coding beingdone based on a framework things would be very simple.

8.3 Is it possible/ necessary to get support after termination of theregular contract in case of any problems? If yes please describe

how could those transition services could be provided andpriced?

No, you would not require any support after termination. The services required would beminimal and we would be there to answer any specific questions / queries you mighthave. There would be no charges for the same.

9 Exclusivity and confidentiality

9.1 Do you grant any exclusivity?

Exclusivity is only given to marketing agents for marketing our services. That tooexclusivity is given only based on a certain commitment of volumes. In your case,exclusivity would not be applicable.

Yes what we promise is that we would not replicate an exactly similar application with asimilar look and feel for any of your competitors or potential competitor. Though we havemade numerous applications in similar verticals for clients at no point have we evercopied or replicated applications. That is why all clients feel very safe with us and trustus completely.

9.2 If yes, what kind of exclusivity you would propose in or case?

Not applicable.

9.3 How you ensure confidentiality? (Describe the process andmethods which are in place)

We enter into a detailed Confidentiality and Non Disclosure Agreement with you which

protects your information and keeps it confidential. The agreement defines all the stepsand precautions taken. We also have necessary back to back agreements with ourdevelopers which protect the same.

There are adequate safeguards, checks and balances at each stage. The fact that sinceinception, we have not any confidentially breach is a testimony of our security.

10 Subcontractors, third party tools and any other thirdparty.

10.1 Do you use the services of Subcontractors?

No we do not use the services of any sub contractors.

10.2 Are Services you would provide for Brodos fulfilled or partlyfulfilled by subcontractors? (Describe those services and thefulfilled part of the subcontractor)

Not Applicable.

10.3 Third party tools

Until & unless we know regarding the exact pro ject development requirements, it’s toughfor us to tell you the licence details.

10.3.3 Is it necessary for the customer to license these tools as well?If yes describe as detailed as you can.

No, we do not need to use the above tools unless and until you use Dreamweaver orPhotoshop for viewing the work. In that case, you need to purchase the license for thesame. If you use MPP, you would need to have that loaded (licensed copy) to enableview the same.

10.4 Any other third partyWhich other third parties are necessary or you would proposewe could or have to involve?

To the best of our knowledge, you don’t need to use or involve any other 3 rd party.

11 Service responsibility, warranties and indemnification

11.1 Please describe what are your responsibilities regarding your

services you propose and what are not.

We are just responsible for developing and delivering a working application as scopedand contracted and paid for. Any issues, bugs/ errors relating to the same would betaken care of by us during the warranty period. We are not responsible for any third partybugs or related issues. We are not liable at any point beyond the order / contract /project value or the amount received by it, whichever is less. Please refer to our WorkOrder / Contract for more details.

11.2 Describe what do you warrant and what not.

The website / software and /or services provided by the company will have a warrantycover of 30 days from the date of completion and/or delivery of the work, whichever isearlier. The warranty covers fixing of bugs in the work developed as per defined scope ofwork for the project.

11.2 Describe how you defend, indemnify and hold Brodos harmlessagainst any claims, actions, damages, liabilities, losses, and cost andlaw suits incurred by the customer as a result of any action of theService provider.

Firstly, why will any service provider take any action on you because of our application?This point really needs to be understood and discussed as it has never been an issue /point with any client. Can you please elaborate to enable answer this.

16 Agreement / Contract

Please propose an agreement which normaly is taken for similarprojects.

Please make sure that this proposed agreement contains ALLterms which have to be agreed or attach to the agreement allnecessary additional agreements which have to be signedbefore starting

For smaller contracts we have a single page Work Order with the terms. The same isattached herewith.For larger and longer term based contracts we have a more detailed contract /agreement in addition the basic Work Order. This too is enclosed for your valued

reference. However they are confidential and should not be shared or used at any point.

Our Resources are well trained and have immense experience. Besides these, we work ina framework which itself assures high levels of quality. We further have strict technicalguidelines and instructions which are enforced by training and supervised by our technicalheads to ensure that it is followed during coding. Besides these, we have a very large teamof highly qualified testers who do testing at all levels. A very strict quality control procedureis followed by our company. Most of our systems have already been discussed in detailalong with our quality systems in our previous points.

17.5 Escalation process

Please propose a escalation process up to the top management ofthe service provider with timeframes, responsibilities and contactpersons up to the highest management in case of any unsatisfying

services.

We do not accept or agree to any penalty clause. That is why our termination clause isextremely flexible. In case you are not satisfied with our work, you can terminate it with just a30 days notice period. In case of extreme dissatisfaction, we as per the contract, agree to payback the amount received from you. Thus is an exact case scenario, you don’t not tend to loseanything in monetary terms but only that amount of time. Thus from one perspective our penaltywould be refund of the amount received.
