About us At Australian Executor Trustees Limited (AET), we have been providing professional trustee services for over 130 years. Today our Corporate Trust business is a leading provider of corporate trust services to the financial services industry in Australia.

We offer a comprehensive range of specialist services through our three core businesses: Corporate Trust, Estate and Trustee Services and Superannuation.

As well as the corporate trust services outlined in this brochure we provide the following services:

• Estate and trustee services: As a professional trustee, we help Australian families manage and transfer their wealth tax-effectively. Our services include estate planning (specialist advice in the areas of Wills, estate planning and powers of attorney) and estate and trustee services (such as compensation trusts, disability trusts, philanthropic trusts and Native Title trusts).

• Superannuation: We are specialists in self-managed superannuation. We partner with financial advisers to offer a range of self-managed super fund (SMSF) solutions for clients including the AET SMSF and AET small APRA fund. Our services range from establishing a fund or creating a trust deed to providing complete trustee administration and compliance support.

We provide a range of quality services in three main areas: custody and trustee services, structured finance and securitisation services and note trustee services.

Custody and trustee services As a leading corporate trustee we have considerable experience in providing custody services. We offer a range of specialised and dedicated services that can be tailored to your needs.

As a custodian, we hold title to the assets, maintain a bank account for the payment of expenses or distribution of income and enter into contracts for the sale and purchase of assets.

We provide custody services for a range of wholesale and retail investment products such as:

• property syndicates

• listed property trusts

• equity and fixed interest trusts

• mortgage trusts

• water funds

• agricultural schemes

• retirement villages

• multi-manager funds

• private equity trusts

• venture capital trusts

• significant investor visa products.

We also act as trustee for wholesale funds.

Our custody team offers the following services:

• holding assets on trust

• maintaining bank accounts

• making payments based on clients’ instructions

• monthly cash movement reports

• quarterly compliance reports, confirmations of net tangible assets and asset confirmations

• annual audit reports on internal controls

• executing leases, sale contracts and documents for corporate actions

• accounting services for staff share plans.

Escrow agentWe provide escrow services for a diverse range of transactions. This means we hold property on your behalf during a transaction or following a dispute. Property can include real estate but can also extend to cash, shares, physical assets, intellectual property and documents.

Our servicesAs a corporate trustee or custodian we are the legal owner of, or hold security over, assets and financial instruments on behalf of our clients as well as providing administration and supervisory services.

Structured finance and securitisation trustee services

Structured finance

We are experienced in acting as security trustee and/or a facility agent on behalf of secured creditors and/or beneficiaries for debt financing structures, such as infrastructure transactions, or as an independent party holding security on behalf of a number of secured creditors. Our services include:

• holding security on behalf of secured creditors including note holders, corporate lenders and banks

• maintaining bond holder and lender registers

• obtaining consent from the secured creditors

• executing documents required to release or obtain security

• responding to instructions from the secured creditors and/or beneficiaries

• enforcing security on directions from the secured creditors and/or beneficiaries

• acting as facility agent

• maintaining bank accounts for the receipt and payment of funds.

Securitisation

The roles that we perform in relation to securitisation and structured finance transactions include:

• trustee for securitisation programs

• security trustee, holding security interests over the assets of the issuer

• issuing and paying agent

• ownership trustee

• guarantee trustee for credit wrapped transactions

• custodian for security and transaction documents

• calculation agent

• registrar

• lender of record.

Processing agent

We act as the service address for foreign issuers in the Australian market.

Note trustee We have extensive experience in acting as trustee for retail or wholesale note issues and our services include:

• holding security on behalf of note holders

• negotiating and executing transaction documents and amendments

• attending meetings of note holders

• reviewing quarterly reports

• reviewing annual financial reports.

Clearing house membership and document storageWe are participants of Austraclear, CHESS and Clearstream (global custody clearing system). We also have direct banking facilities with major Australian financial institutions.

All security documents are stored in a secure document custody facility at our Sydney office, with restricted access to authorised staff only.

Stuart Howard Head of Corporate Trust

Stuart joined AET in December 2004, having worked for JP Morgan Trust Australia (and Guardian Trust, prior to its acquisition). He has over 21 years’ experience in corporate trusts and, during that time has been responsible for client administration, deal negotiation and operations management.

Stuart is responsible for managing the Corporate Trust business, including growing and maintaining relationships with clients and services providers and deal negotiation. He has extensive experience in a wide range of products, including structured finance, securitisation transactions, managed investment schemes and retail note issues.

Glenn White Senior Manager Business Development

Glenn is an experienced financial service professional having worked in the trustee, custody and funds management industries for over 25 years. He has extensive experience in trustee, custody, risk and compliance for corporate trusts, debt capital market transactions, managed investment schemes and superannuation funds.

In his current role, Glenn is responsible for building and maintaining relationships with clients, service providers and key industry contacts. He facilitates deal negotiations and new business for structured finance, securitisation and debt capital market transactions, custody and escrow arrangements as well as trustee services for staff share schemes and retail and wholesale note issues.

Before joining AET, Glenn worked for NAB Asset Servicing, managing master custody clients including institutional investment managers, back office administrators and superannuation funds. Prior to this, he worked with MLC and also National Australia Trustees, managing their corporate trust department.

Yvonne Kelaher Senior Relationship Manager

Yvonne has worked in the AET Corporate Trust business for over 13 years. In her current role, Yvonne is responsible for building and maintaining client relationships, deal negotiation and implementing new business for structured finance and securitisation transactions, as well as retail and wholesale note issues.

Yvonne provides transactional management services to other areas of the Corporate Trust business and has been involved in key regulatory change projects. She has extensive experience with managed investment schemes and in her previous role she managed the equity, fixed income, private equity and mortgage portfolio of clients for the business.

Prior to joining AET in 2001, Yvonne worked at State Street Bank’s, Global Custody division and Westpac Bank’s Nostro division.

Jo Cochrane Manager, Business Services

As Manager, Business Services, Jo is responsible for the centralised management and oversight of administrative tasks for the Corporate Trust business. This includes developing and implementing new processes to achieve industry best practice and ensuring adherence to compliance and risk obligations. Jo is also responsible for project management, IT infrastructure liaison and banking relationships with Corporate Trust.

Jo joined AET in August 2004 and in her previous role as Relationship Manager she was responsible for building and maintaining client relationships and implementing new business for property clients. Prior to joining AET, Jo spent four years working in the property custody area at Guardian Trust and JP Morgan Trust Australia.

Leanne Clark Senior Finance Manager

As Senior Finance Manager, Leanne is responsible for accounting and tax services, management reporting, company secretarial compliance as well as the analysis of financial reports for Corporate Trust.

Leanne has over 25 years’ experience in financial services, ten of which have been with AET.

Kerry Ngai Relationship Manager

Kerry joined AET in September 2008 having worked with Link Market Services Limited and Macquarie Bank, specialising in treasury operations and wrap services.

Kerry is responsible for building and maintaining client relationships and implementing new business for equity, fixed interest, fund of funds and staff share plans.

Annette Rehayem Relationship Manager

Annette is responsible for building and maintaining relationships and implementing new business for property funds, mortgage funds, agricultural funds, document custody, escrow arrangements and retirement villages.

Prior to joining AET in July 2011, Annette worked with Perpetual Trustees as a private client adviser in fiduciary services and with Grant Thornton in their private wealth division.

Marjorie Hortinela Relationship Manager

Marjorie brings a substantial amount of experience to the AET Corporate Trust team, having previously worked as a senior associate and relationship manager at the corporate trust division of The Bank of New York Mellon for over five years, and prior to that with Trust Company of Australia and Permanent Trustee Company Limited.

Just prior to joining AET in March 2013, Marjorie also worked at BNP Paribas Securities Services as a senior fund administrator in their asset and fund services area in charge of servicing various wholesale and retail clients through their unit registry team.

In her current role, Marjorie is responsible for structured finance and securitisation (SFAS) clients with a focus primarily on building and maintaining good working relationships while overseeing the provision of daily operational services to those clients.

Fides Divina Relationship Manager

Fides’ primary focus is to build and maintain good working relationships with structured finance and securitisation (SFAS) clients and their intermediaries. She is responsible for managing SFAS clients working with debt products, in particular deal structure, negotiations and overseeing daily operational services.

Fides joined AET in September 2011, having worked with JP Morgan Trust Australia and BNY Mellon as a relationship manager within the corporate trust division.

Pina Spathis Relationship Manager

In her current role, Pina is responsible for building and managing client relationships between AET and private equity, retirement village and funeral fund clients. Pina has extensive experience in corporate trust, having worked within the corporate trust divisions of trustee companies for over 25 years.

Her previous positions have included compliance manager, account manager, office manager and assistant operations manager.
