a) Open the account(s) indicated herein in our name now and at

any time subsequently as we may direct.

b) Honour all cheques or other instructions which may be drawn

on the said account(s), provided such cheques or orders are

signed by the person(s) whose signature(s) is / are contained in

the signature / mandate card delivered to the Bank and to debit

such account(s) cheques or orders to the said account whether

such account(s) be, for the time being, in credit or overdrawn or

may become overdrawn in consequence of such debit without

prejudice to the Bank's right to refuse to allow overdraft or

increase of overdraft in accordance to the signing instruction.

In consideration thereof, we agree to the following terms and

conditions:

TERMS & CONDITIONS

i. To assume full responsibility from the genuineness or and

validity of all cheques, orders, bills notes, negotiable

instruments, receipts and / or other documents including

endorsements appearing on the same, deposited in or drawn

on in respect of our account(s) with the Bank.

ii. To be responsible for the repayment of any overdraft with

interest and to comply and be bound by the Bank's rules for

conduct of Savings, Current, Domiciliary and other Account(s)

as may be determined by the Bank from time to time.

iii. That the Bank may debit the account(s) with usual banking

charges, interest, commission, and fees as may be determined

by the Bank from time to time.

iv. To free the Bank from the responsibility of payment for any loss

of or diminution of funds or damage to instruments or

documents deposited with the Bank due to any Government

order, law, levy tax, embargo, moratorium, exchange,

restriction and/or all other causes beyond the Bank's control.

v. That our attention has been drawn to the necessity of safe

guarding our chequebook(s) so that unauthorised persons are

unable to gain access to it/them. Neglect of this precaution will

be a ground for any consequential loss being charged to our

account.

vi. That the Bank is under NO obligation to honour any cheques

drawn on the account(s) unless there are sufficient funds in the

account to cover the value of the said cheques. We understand

and agree that such cheques may be returned to us unpaid, but

if paid, we are obligated to repay the Bank the principal amount

together with the interests and/or charges that the Bank may

prescribe.

vii. To be bound by any notification of any changes in conditions

governing the account directed to our last known address and

any notice or letter sent to our last known address shall be

considered as duly delivered and received three business days

after dispatch of same by ordinary pre-paid post or on the date

endorsed on the proof of delivery if delivered by courier

services/hand.

viii. That no notice which may be given to the Bank by us shall be

binding upon the Bank until it shall have been received by the

Bank and sufficient time shall have elapsed thereafter to permit

the Bank in due course and by such means the Bank may deem

it appropriate to notify the concerned/affected department

offices, branches and correspondents.

ix. That any disagreement with entries on our Bank statements will

be made in writing by us within 30days of dispatch of the

statement, failing which it will be concluded that the statement

as rendered is correct and same shall no longer be disputable,

except in case of manifest errors.

x. That if any entry is made in our account(s) in error, the Bank is

entitled to dishonor cheques drawn upon such incorrect entry

whether or not drawn in good faith and without any notice of

error and whether the error has been corrected or not, and the

Bank is entitled to reverse such incorrect entry without any

liability on its part.

xi. That the Bank may at any time in its discretion close the

account(s) and discharge all liabilities with respect to the

account(s) by hand delivery or by mailing to us through courier

services a Bank draft in the currency of the account without

recourse to the Bank as a drawer, payable to our order in the

amount of the then credit balance in the account(s) less fees,

charges or commission to which the company may be entitled

by law or by any agreement between us and the Bank together

with such other documents, if any, as may be necessary in your

sole discretion, to transfer to us.

xii. That the Bank will not be liable whatsoever for funds handed to

members of staff outside banking hours or outside the Bank's

premises

xiii. That in addition to any general lien or right to which the Bank,

as bankers, may be entitled by law, the Bank may at any time

and without notice to us combine or consolidate all or any of

our accounts without liability to you and set off or transfer any

sum or sums standing to our credit in any one or more of such

accounts or any other credit, be it cash, cheques, valuables,

deposits, securities, negotiable instruments or other assets

with the Bank or in any other respect whether such liabilities be

actual or contingent, primary or collateral and several or joint.

xiv. To indemnify the Bank against any loss, damages, expense, or

claim that may be occasioned on the account(s) or by reasons

of opening the said account(s) or by reason of the falsehood or

inaccuracy of any statement information or misrepresentation

made to the Bank except those losses, damages, expenses or

claims directly resulting from the acts, defaults or gross

negligence of the Bank.

xv. To indemnify the Bank against any loss, damage, fraud, or

claims that occur from the use of any telephone number, fax

number or email address supplied in this form or subsequently

by me/us whether for the purpose of issuing instructions,

receiving/ sending account information or indeed any

transaction related to this account.

xvi. To affirm and undertake that all the documents used in opening

the account(s) are genuine and I/we will indemnify the Bank if

at any time it is shown otherwise and I/we will be further liable

for any wrong that may be occasioned thereby. This indemnity

to you shall be continuing and shall not be withdrawn by me/us

so long as we maintain the account with the Bank.

xvii. That the operation of the account(s) is subject to laws and

regulations at any time existing in the Federal Republic of

Nigeria, and to be bound by the terms and conditions

governing the operation of the account(s) as may be

determined by the Bank from time to time.

xviii. That the Bank is at liberty to report any dud/returned cheques

for three (3) consecutive times to Central Bank of Nigeria (CBN)

and forward same to Economic and Financial Crimes

Commission (EFCC).

xix. That the Bank has developed a Corporate Internet Banking

service called WemaOnline (hereinafter referred to as

“Services”) wherein a customer of the Bank can upon

application and subject to approval by the Bank conduct

certain routine banking transactions subject to the following:

a. “Customer” means a body/individual operating a

corporate account with the Bank as shown on the

application form

b. “CIB” means Wema Online which enables a customer to

perform certain basic banking transactions through the

internet

c. “Transaction password” refers to the six alphanumeric

characters chosen by and known only to the customer, to

be used exclusively by the customer to transfer funds

d. “Username” means the alphanumeric character chosen by

the customer and known only to the customer, to be used

exclusively by the customer together with the username

and transaction password to access his account and carry

out other transactions available on the platform

e. “Log-in password” means the alphanumeric character

chosen by the customer and known only to the customer,

to be used exclusively by the customer together with the

username and transaction password to access his account

and carry out other transactions available on the platform

f. “Log-on credentials” means either or all of the customer's

username, personal identification name, log-in password,

transaction password, security question and security

answer

g. “Security Question” means the range of carefully drafted

question as provided by the Bank

h. “Security Answer” means the secret answer provided and

known only by the customer in response to the secret

questions, to be used during log-in and authentication

i. Any reference to a gender means a corporate body

xx Customer understands that his username, log in/transaction

passwords, secret answer and all other transaction details are

highly confidential and irrevocably undertakes that he shall

under no circumstance disclose same to any third party, or

reproduce same in a manner in which it can be obtained by a

third party. Where a third party obtains and makes use of the

services with the customer's logon credentials, the third

party shall be deemed to be the customer's duly authorized

agent, irrespective of the manner in which the party obtained

the confidential details of the customer

xxi Customer hereby indemnifies the Bank against losses that

may be incurred as a result of negligently or inadvertently

disclosing his logon credentials to a third party who uses

same in an improper or unlawful way, thereby jeopardizing or

impairing the operation of the Bank's network and/or

services. Customer further affirms that the Bank will not be

liable for loss or damages suffered as a result of a third party

gaining access to the customer's logon credentials damage

whatsoever that may arise as a result of the input of a wrong

information/ instruction or figures as binding on him

xxii The customer undertakes to change his logon credentials at

first log-in or whenever there is a possibility of an

unauthorized party having had access to the logon

credentials and as such indemnifies the Bank as against any

loss or damage that may have been incurred as a result of the

third party's usage of the logon credentials, before the

customer effects the change

xxiii All activities performed on the account (s) through the

service shall be deemed to have been performed by the

customer or his authorized representative/administrator or

any party assigned and duly approved by the authorized

signatories of the account

xxiv The customer undertakes to comply with all the applicable

laws, rules, regulations, licensing arrangement regarding the

use of internet and to further comply with any directives or

instructions which may be issued by the Government,

Regulatory Authorities and/or the Bank with regards to the

customer's access to the service

We declare that all the information given for the purpose of

opening the account(s) is true and accurate, and certify that

the above particulars are correct and agree that they and the

information given herein form the basis of a banking

relationship with Wema Bank Plc.

Limitation of Liability

1 Wema Bank Plc shall not be liable for the transmission or

delivery of inaccurate data, information or message;

neither shall the bank be liable for any loss or damage

arising from such transmission or omission. Where

errors/loss or damages arise as a result of the customer's

use of wrong information/instructions or figures while

using the services, the Bank will not be liable for such

errors/loss or damages

2 The Bank does not warrant that internet banking services

will be uninterrupted or error free. Delays, interruptions

and inaccuracies may be caused by factors outside the

control of the Bank. Information provided on the website is

“without Warranty as to accuracy, security, freedom from

virus attacks and express or implied non-infringement”

3 The Bank shall not be liable for any loss, liability, claim or

damages arising from the acts or omission of the Customer.

The above stated includes but is not limited to situation

wherein the Customer's logon credentials were

disclosed/obtained/ and used by a third party

4 The Customer is solely responsible for the equipments

(including personal computer and software) used to access

Service. The Bank is not liable for any damages, including

without limitation direct or indirect, special, incidental or

consequential damages, losses or expenses arising in

connection with this service, the use or inability to use by

any party, or in connection with any failure of performance,

error, omission, interruption, defect, delay in operation,

transmission, computer virus or line or system failure, even

if the Bank or its representatives thereof are advised of the

possibility of such damages, losses or hyperlink to other

internet resources at the customers risk

5 The Bank reserves the right to close, suspend or change

permanently or temporarily, the customer's account

without notice, for security purposes or to refrain from

honoring customer's instructions where there is a suspicion

transaction on the account and the Bank shall not be liable

for any loss incurred as a result of the foregoing.

Mandate

Sequel to our express mandate/authorization to Wema Bank Plc (hereafter called “the Bank”) to:

Wema Bank Plc (hereinafter referred to as “the Bank”) has developed a

Corporate Internet Banking service called WemaOnline

(hereinafter referred to as “Services”) wherein a customer of

the Bank can upon application and subject to approval by the

Bank conduct certain routine banking transactions subject to

the terms and conditions herein contained.

IT IS HEREBY AGREED AS FOLLOWS:

Defintions

(i) “Customer” means a body/individual operating a corporate

account with the Bank as shown on the application form

(ii) “CIB” means Wema Online which enables a customer to

perform certain basic banking transactions through the

internet

(iii) “Transaction password” refers to the six alphanumeric

characters chosen by and known only to the customer, to be

used exclusively by the customer to transfer funds

(iv) “Username” means the alphanumeric character chosen by

the customer and known only to the customer, to be used

exclusively by the customer together with the username and

transaction password to access his account and carry out

other transactions available on the platform

(v) “Log-in password” means the alphanumeric character

chosen by the customer and known only to the customer, to

be used exclusively by the customer together with the

username and transaction password to access his account

and carry out other transactions available on the platform

(vi) “Log-on credentials” means either or all of the customer's

username, personal identification name, log-in password,

transaction password, security question and security answer

(vii) “Security Question” means the range of carefully drafted

question as provided by the Bank

(viii) “Security Answer” means the secret answer provided and

known only by the customer in response to the secret

questions, to be used during log-in and authentication

(ix) Any reference to a gender means a corporate body

Wema Bank Plc (the Bank) customers are hereby advised to take notice of

fraudulent online transactions and electronic communications (i.e. e-

mails notifications, instant messages, SMS messages, credit alerts etc)

from unknown sources purportedly emanating from the Bank with the

intention to defraud them.

All online transactions and electronic communications must therefore be

conducted through a secured platform and independently verified from

the Bank before acting on same, as e-communication is not intended to

replace recipients' internal business processes for due diligence and

evaluation of intended or consummated transactions. The Bank shall not

be liable or accept liability for any loss suffered for reliance on electronic

communications whose source is not from the Bank or for online

transactions where customers have compromised their security details.

As a customer, you agree that electronic communications are neither

your sole nor primary source of account information. Electronic

communications are provided as an optional service for your

convenience. The Bank will not be held liable either to the Customer or to

a third party for any electronic communication that did not originate

from the Bank.

Electronic communications will be sent to the mobile phone number and

e-mail address that you have provided during account opening or as a

result of your request for update of same with the Bank. You are

responsible for keeping your mobile phone number, password and e-

mail address up to date and for notifying us of any changes or

compromise of same immediately, otherwise you may not receive

information that could be important on your account or such

information may fall into the wrong hands.

You should understand that your transaction or electronic

communication may be delayed or prevented by a variety of factors. The

Bank will however do its best to provide electronic communications in a

timely manner with accurate information. The Bank cannot guarantee

the delivery or the accuracy of any electronic communication contents or

that it is secure or free from errors or virus. Therefore, the Bank do not

represent that all e-communications, including the information

contained herein, is complete, accurate, uncorrupted, timely or free from

viruses and should not be absolutely relied upon as such. For your

protection, the Bank recommend that you do not send personal

information or conduct any online business through means that are not

secured, including via public e–communication channels, which are

generally not secured and could be intercepted by a third party. If you are

not comfortable with the risk associated with e-communication or

online transaction, please do not enroll for online and e-communication

services with the Bank.

You also agree that the Bank shall not be liable for any delays, failure to

deliver, or misdirected delivery of any electronic communication; for any

errors in the content of an electronic communication; or for any actions

taken or not taken by you or any third party in reliance on an electronic

communication. Unless stated otherwise, all electronic communications

and their contents may contain information that is privileged,

confidential and proprietary /or private for the sole use of the intended

recipient. No confidentiality or privilege is waived, lost or breached by

any transmission errors. If you are not the intended recipient you should

not disseminate, distribute or copy the electronic communications and

please notify the sender and immediately delete and destroy the

electronic communications and all attachments, and be advised that any

review or dissemination of, or the taking of any action in reliance on the

information contained in the e-communication is prohibited. Except

where properly supported with required and authorized documents, no

legal or financial obligation will be incurred by Wema Bank Plc as a result

of such communication.

Transactions over the Internet, including electronic communications,

cannot be guaranteed to be secure or error free. Electronic

communications and their attachments are subject to being intercepted,

becoming corrupted, getting lost or delayed, or to containing viruses

and should not be absolutely relied upon as such. Therefore, Wema

Bank accepts no liability for any errors or omissions in the content of

electronic communication or problems in its transmission, including

those arising as a result of fraudulent transmission over the internet.

The Bank shall not be liable for any loss, damage or expense resulting

from any electronic communications sent by its employee which contain

infringing, offensive, defamatory or otherwise unlawful content or which

content constitute unsolicited commercial messages (“spam”).

Successful delivery of electronic communications is not guaranteed.

Unless otherwise agreed:

Ÿ We are only deemed to have received an e-mail once we have

confirmed receipt thereof to you; and

Ÿ We are deemed to have sent an e-mail once reflected as "sent" on

our e-mail server.

The Bank reserves the right to monitor and review the content of all

messages sent to or from a Wema Bank Plc e-mail address. Messages

sent to or from a Wema Bank Plc e-mail address may be stored on the

Wema Bank Plc e-mail system.

The Bank may, from time to time, send electronic communications to

customers providing information concerning a particular financial

product or financial products. Such communications are provided for

informational purposes and should not be construed as an offer or

solicitation of any product.
