Cohen & Grigsby Adds 2 Business Services Partners

Law360, New York (June 12, 2015, 3:20 PM ET) -- Cohen & Grigsby PC announced Wednesday that it
has added a former Morgan Lewis & Bockius LLP partner and the former senior counsel of a water
technologies company as director attorneys to its business services group in the firm’s Pittsburgh
office.
Matthew H. Clark, former senior counsel at Evoqua Water Technologies LLC and previously Dick's
Sporting Goods, joins the firm with Steven Taibl, a corporate attorney who spent nearly 18 years as a
partner at Bingham McCutchen LLP before a short stint lasting less than a year at Morgan Lewis.
Cohen & Grigsby's president and CEO Jack Elliott said in a news release Wednesday that the firm is
excited to welcome Clark and Taibl on board, saying that clients will benefit from the “depth and
breadth” of knowledge that the duo brings to the firm's transaction teams.
“We’re proud of the great work the firm has already accomplished within our business services group
to establish a national and international reputation in middle market transactions, and we are
continuing to focus on enhancing and growing our mergers & acquisitions and private equity
practice,” Elliott said. “Adding talent like Matt and Steve to the team provides an additional layer of
experience and knowledge to our already robust offerings.”
As senior counsel at Evoqua, a company that helps provide and discharge clean water to large clients,
Clark was responsible for information technology, sourcing, technology licensing agreements and
commercial contracts, the firm said.
Clark has regularly provided advice on the myriad issues related to portfolio companies and
investments — drafting and negotiating various debt and equity financing documents and assisting
with commercial agreements concerning intellectual property, information technology, business
development and federal regulations related to health care, the firm said.
"Having been in-house for the past 11 years, I appreciate Cohen's practical, cost-effective approach
to its client's needs and its focus on building long-term relationships," Clark said in an email to
Law360 on Friday. "I look forward to working with my colleagues to continue to assist our clients and
as a result, grow the practice."
Taibl has more than 25 years of experience representing clients in business transactions, with an
emphasis on mergers, acquisitions, divestitures, leveraged buyouts and other private equity
transactions, according to the firm. He routinely advises private equity firms and their portfolio
companies, institutional and individual investors and public and private companies operating in a
variety of industries, the firm said.
Taibl's experience includes equity and debt financings, cross-border transactions, joint ventures,
corporate governance matters and commercial contracts, the firm said. Taibl has provided counsel in
several transactions, including a private equity sponsor's $2 billion acquisition of a NYSE-listed metals
processing and distribution company and an individual investor's acquisition of a 50 percent interest
in a professional football team and stadium, according to the firm.

In an email to Law360 on Friday, Taibl said he was drawn to the firm because he believes it provides
a great platform for clients and it has a strong reputation representing clients in middle market
mergers & acquisitions and private equity transactions.
"I've worked across the table with Cohen & Grigsby attorneys and was impressed by their expertise
and practical, client-focused approach," he said.
Clark and Taibl join Cohen & Grigsby's business services group, which comprises more than 50
attorneys who advise clients across the entire business development life cycle, including regulatory
and tax issues, the firm said.
Taibl received his law degree at the University of Illinois School of Law in 1986, while Clark received
his at Duquesne University School of Law in 2000.
Cohen & Grigsby, founded in 1981, has more than 130 lawyers working out of offices in Pittsburgh
and Naples, Florida.
