CHESTERFIELD COUNTY PUBLIC SCHOOLS FOOD AND NUTRITION SERVICES

The Food and Nutrition Services Department of Chesterfield County Public Schools solicits interested firms to submit quotes for Select Frozen Food, Staple Food and Snack Items for the 2015 - 2016 school year. Submitted bids will be received no later than 10:00 a.m. on Wednesday, May 27, 2015 at the following address:

BID PROCEDURES: Mark outside of envelope with “Select New Items.” The right is retained by Food and Nutrition Services Department to extend the contract for four consecutive one-year terms. Bid may be awarded in whole or part, whichever is in the best interest of Chesterfield County. Bids received after the announced time and date specified, by mail or otherwise, will be returned unopened. Nothing herein is intended to exclude any responsible firm or in any way restrain or restrict competition. On the contrary, all responsible firms are encouraged to submit bids. Bids are opened publicly. A public opening will be held at 10:00 a.m. on Wednesday, May 27, 2015 in the office of Food and Nutrition Services, 7610 Whitepine Road, North Chesterfield, VA 23237. Results will be mailed to all contractors within a two-week period after receiving and tabulating the bids. Bids submitted MUST be signed in each place a signature is requested by an individual authorized to bind the offer. All bids shall be signed on the Signature sheet in order to be considered. Bids submitted without a signature shall be rejected. If the contractor is a partnership or corporation, the contractor shall show the title of the individual signing the bid, and if the individual is not an officer of the partnership or corporation, the contractor shall submit proof that the individual has the authority to bind the partnership or corporation if requested. Enclosed is a “USDA Non-Collusion Certification Statement” that shall be signed and returned with the bid. 1. BID ITEMS/SPECIFICATIONS: It is the intent of these specifications to provide a

guide to prospective contractors as to the type of item and approximate size to be furnished. Ingredient listing and nutritional analysis must be supplied for all foods by vendors if requested. Present contractor is not excluded from this requirement. All applicable food items must contain a minimum 10% of one or more of the following vitamins and minerals: Protein, Vitamin C, Thiamin, Riboflavin, Iron, Calcium, Vitamin A, and Niacin. When whole grain is listed the product must include 50% or more whole grains by weight, or have whole grains as the first ingredient.

2. BUY AMERICAN: The 1998 reauthorization for the National School Lunch Act requires school districts participating in the NSLP in the contiguous 48 states of the US to buy food products produced in the US (domestic) when using federal funds. Implementing federal regulations are 7 CFR 210.21 and 220.16 published on September 20, 1999.

3. SERVICE REQUIREMENTS: Delivery is required, as needed, to each individual

school, currently 65 sites and the Food and Nutrition Services Office. Deliveries shall also be required at any future schools sites as they open. Contractor shall pick up and replace and/or give credit for unused, outdated, and/or damaged products.

4. BID SELECTION PROCESS: All items listed on bid do not require a price quote in

order for the bid to be considered unless otherwise listed. The purchaser reserves the right to be the sole judge and to make the award in accordance with his/her own judgment as to what shall best meet the requirements. If selected item(s) do not maintain anticipated sales, purchase of those items may be discontinued.

5. INSURANCE REQUIREMENTS: The Contractor and insurance company should

carefully review the insurance requirements set forth below. The Contractor shall furnish a copy of a certificate of insurance in accordance with the requirements before the county will execute a contract. The Contractor shall be responsible for maintaining current certificates of insurance on file with the county. The certificate of insurance does not need to accompany the bid.

The contractor shall purchase and maintain in force, at his own expense, such insurance

as will protect him and the County and Chesterfield County Public Schools from claims which may arise out of or result from the contractor’s execution of the work, whether such execution be by himself, agents, subcontractors, or by anyone for whose acts any of them may be liable. The insurance coverage’s shall be such as to fully protect the County and Chesterfield County Public Schools, the consulting professional (if applicable) and the general public from any and all claims for injury and damage resulting by any actions on the part of the contractor or his forces as enumerated above.

The contractor shall furnish insurance in satisfactory limits, and on forms and of

companies that are acceptable to the County’s Attorney and/or Risk Management director and shall require and show evidence of insurance coverage’s on behalf of any

subcontractors (if applicable), before entering into any agreement to sublet and part of the work to be done under this contract.

6. INTERPRETATION OF BID: If any party contemplating the submission of a bid on

this invitation is in doubt as to the true meaning of any part of the bid, the Food and Nutrition Services Department should be contacted. Any change to the Invitation to Bid will be made only by written addendum mailed to prospective contractors at the addresses furnished for such purposes. The County shall not be responsible for any changes except as noted through a written addendum.

INVITATION TO BID - TERMS AND CONDITIONS

Read Carefully Before Submitting Bid

BID PERIOD: I GENERAL The contract period is from August 1, 2015 through July 31, 2016. All bids are awarded as a whole rather than by individual items unless otherwise specified. Sealed bids must be received prior to the specified time and date of opening as designated in the invitation. Late bids shall be rejected. Facsimiles of bids will not be accepted. Bids concerning separate bid invitations are not to be combined on the same form or placed in the same envelope. Bids submitted in violation of this provision may be determined invalid. Unless otherwise specified, contractors are to use the bid form furnished by the County. An individual authorized to bind the firm should initial corrections and/or changes in the bid. No bid shall be altered or amended after the specified time for opening. The County reserves the right, as its option, to conduct “on-site” visitations of any contractor’s facilities. The purpose of the visit will be to ensure the County of the contractor’s capabilities of successfully administering this contract. If in the County’s opinion any contractor does not have the required capabilities as listed herein, this shall be considered grounds for non-award or cancellation of bid. This bid category may be awarded in whole or part, whichever is in the best interest of Chesterfield County. The purchaser reserves the right to be the sole judge and to make the award in accordance with his/her own judgment as to what will best meet the requirements. Products listed and brand names specified have been evaluated according to Chesterfield County Food and Nutrition Services processes and are found to be acceptable items. No alternate accepted where manufacturer brand listed. Quantities estimated are for the entire bid period. Orders placed by individual schools are coordinated to arrive in the schools at a certain time in order to meet the specific menu. Failure to deliver an item ordered results in unnecessary hardship for the school manager. It is the responsibility of the contractor to notify the Food Service Office of out of stock items and offer an approved substitute or a return delivery date in order to meet the menu.

PRICE ESCALATION/DE-ESCALATION: Price adjustments may be permitted for changes in the contractor’s cost of materials. Contracting parties shall re-negotiate any price changes. No price increases will be authorized for 120 calendar days after the effective date of the contract. Price escalation may be permitted only at the end of this period and every 120 calendar days thereafter and only where verified to the satisfaction of the Food and Nutrition Services Department. “Across the board” price decreases are subject to implementation at any time and shall be immediately conveyed to the Food and Nutrition Services Department. Contractor shall give not less than 30 calendar days advance notice of any price increase to the Food and Nutrition Services Department. Any approved price changes will be effective only at the beginning of the calendar month following the end of the full 30 calendar day’s notification period. The contractor shall document the amount and proposed effective date of any general change in the price of materials. Documentation shall be supplied with the contractor request for increase which will: (1) verify that the requested price increase is general in scope and not applicable just to the County; and (2) verify the amount or percentage of increase which is being passed on to the contractor by the contractor’s suppliers. The Food and Nutrition Services Department shall notify the contractor in writing of the effective date of any increase which it approves. The contractor shall fill all orders received prior to the effective date of the price adjustment at the old contract prices. The contractor is further advised that decreases which affect the cost of materials are required to be communicated immediately to the Food and Nutrition Services Department. Any price increases incurred to Chesterfield Schools Food and Nutrition Services shall be a result of actual increased cost passed from the manufacturer to the supplier excluding any additional profits to the supplier. Chesterfield School Food and Nutrition Services require proof of such increases from the manufacturer before adjustments are made on bid prices. FOODS/QUANTITIES: Estimated product use is included with bid where applicable. Quantities listed are estimates based on historical data of past purchases and are not to be considered a guaranty of quantities to be purchased by Chesterfield County Food and Nutrition Services. Final totals purchased may be more or less than estimate indicates. Food and Nutrition Services, not the contractor, will determine how to reduce or eliminate slow moving items. We shall not be responsible for items on the bid where the quality is/becomes unacceptable. Changes in the menu will be the responsibility of our department, not the contractor in any situation. During the term of this contract, should Food and Nutrition Services identify additional foods and/or beverages needed, the right is reserved by Food and Nutrition Services to add the additional foods and/or beverages to the contract. Any additional foods and/or beverages added shall be part of the contract, subject to all terms and conditions and shall be priced under the same pricing structure.

SECTION 2.2-4311 CODE OF VIRGINIA: Every contract for goods or services over $10,000 shall include the following provisions: 1. During the performance of this contract, the Contractor agrees as follows:

a. The Contractor will not discriminate against any employee or applicant for employment because of race, religion, color, sex, national origin, age, disability, or any other basis prohibited by state law relating to discrimination in employment, except where there is a bona fide occupational qualification reasonably necessary to the normal operation of the Contractor. The Contractor agrees to post in conspicuous places, available to employees and applicants for employment, notices setting forth the provisions of this nondiscrimination clause. b. The Contractor, in all solicitations or advertisements for employees placed by or on behalf of the Contractor, will state that such Contractor is an equal opportunity employer. c. Notices, advertisements and solicitations placed in accordance with federal law, rule or regulation shall be deemed sufficient for the purpose of meeting the requirements of this section. 2. The Contractor shall include the provisions of the foregoing paragraphs a, b, and c in every subcontract or purchase order of over $10,000, so that the provisions will be binding upon each subcontractor or vendor. TAXES: Chesterfield County is exempt from payment of Federal Excise Tax and State and Local Sales and Use Tax on all tangible personal property or leased for its use or consumption. Tax exemption certification will be furnished upon request FACTORS OTHER THAN PRICE IN AWARD DECISION: The following factors in addition to price, as they apply, shall be a consideration in the awarding of the bid: A. The quality of services and/or products or references which attest to others’ specific

experiences. B. The timely completion of previous contracts or services or the timely delivery of past

orders; references which attest to others’ specific experiences for school systems of similar size.

C. The sufficiency of financial resources and its impact on ability of the bidder to perform

the contract or provide the services. D. The County reserves the right to conduct on-site inspections of any bidder’s facilities

prior to award. The results of said inspection will be considered by the County in determining bidder’s capabilities of successfully administering this contract.

E. Substantial compliance or non-compliance with specifications set forth in bid as

determined by the County.

F. Results of product testing G. Product/brand popularity CHOICE OF VENUE: Any disputes under this contract that cannot be resolved between the County of Chesterfield and the vendor must be resolved in the Circuit Court of Chesterfield County, Virginia. SIGNED BID CONSIDERED AN OFFER: This signed bid shall be considered an offer on the part of the contractor and shall be deemed accepted upon approval by the Chesterfield County Board of Supervisors. In case of default by the successful contractor, or failure to deliver the products and/or services ordered by the time specified, the County shall terminate the purchase order and/or contract, and after due notice, written or oral, shall procure them from other sources and hold the defaulting contractor liable for any resulting additional cost. Bids cannot be withdrawn by the contractor after the time and date set for opening unless specified from within the bid. Chesterfield Schools Food and Nutrition Services reserve the right to terminate this contract upon written notice to the vendor(s). Contract may be canceled by either party with a 45 day written notice. Chesterfield County Schools Food and Nutrition Services shall not be obligated to purchase or pay for products unless they are ordered and until they are received by individual schools. All prices shall be F.O.B. Chesterfield Schools. Quotes and proposals must be signed in ink with the firm’s name and by an officer or individual having authority to bind the company by his/her signature. The right is reserved to reject any or all bids, whichever is determined to be in the best interest of Chesterfield County Public Schools. The right is reserved to extend the use of this contract to any County or School Board department. Time is of the essence and any bid received after the announced time and date for submittal, whether by mail or otherwise, shall be rejected. Contractors are responsible for insuring their bids are signed in by the Food Service Department personnel before the deadline indicated. Late bids received shall be so noted in the bid file in order that the contractor’s name is not removed from the subject commodity/service list. If you desire not to quote on this invitation, please forward your acknowledgment of NO BID. Return of the “Signature Sheet” with authorized signature and indication of NO BID is appropriate. Failure to comply may be cause for removal of your company’s name from the bid list for subject commodity. Nothing herein is intended to exclude any responsible vendor, his product or service, or in any way restrain or restrict competition. On the contrary, all responsible contractors are encouraged to bid and their bid is solicited.

MODIFICATION: The resulting contract shall not be amended, modified, or otherwise changed except by the written consent of the Contractor and the County given in the same manner and form as the original signing of the Contract. MISTAKES IN BIDS

a. Mistakes discovered following bid opening but prior to award: If there is a significant and obvious disparity between the prices of the lowest apparent responsive contractor and other contractors, the low contractor may be contacted by the purchasing authority to confirm the bid price. This does not relieve a contractor from the responsibility for the submission of a correct bid. If the contractor then alleges a mistake in the bid and can provide clear and convincing evidence that supports the existence of a clerical error to the satisfaction of the purchasing authority, the bid may be withdrawn only after approval by the County.

b. Mistakes discovered after award: Bids containing mistakes by contractors shall not be

withdrawn after award of a contract or issuance of a purchase order. II ORDERS AND ORDER FORMS Orders for staple and frozen items, paper supplies, snack and juice drinks shall be submitted to the vendor electronically via email. Contractor must be able to receive and accept electronic orders for processing. All other orders are placed directly with the supplier by the individual school manager or as assigned. Back orders shall not be accepted unless approval is given by the Director or Assistant Director of Food and Nutrition Services. Add-ons to orders shall be accepted up to 48 hours before delivery to the site. We require one person be responsible for handling orders for Chesterfield County Schools who shall also be our contact when problems occur. III PRODUCT SAMPLES/EVALUATIONS Product samples may be requested and submitted at no expense, be accompanied by ingredient listing, nutritional analysis, and formula if applicable, and submitted ninety (90) days prior to the bid invitation. Products that have been evaluated and found acceptable shall be placed on the bid list. Product samples submitted after the bid award shall not be considered; however, they may be placed on the bid list the following year if testing proves the product to be an acceptable item. If bid is extended, this is not applicable. All items are subject to the appropriate federal and state specifications in effect the day of the bid award. Successful contractors are required to furnish written certification that these specifications have been met.

IV DELIVERIES Deliveries to individual schools are to be made at the high school sites between the hours of 6:00 a.m. and 12:00 p.m., at the middle school sites between 6:30 a.m. and 1:00 p.m., and the elementary school sites between 7:00 a.m. and 1:30 p.m. Orders shall not be accepted by anyone other than food service personnel. Chesterfield County shall not assume responsibility for orders left without proper authorization. Deliveries may be made daily, weekly, bi-weekly, or monthly as determined by the Food and Nutrition Services Department. Opening deliveries must be 100% filled based on orders received by the contractor from our department. If for some reason all items are not available, a written list of items not available must be addressed and faxed to the Director and Assistant Director with reasons from the manufacturer. This must be received 48 hours before scheduled deliveries. All opening deliveries must be made to 65 sites within a three day period based on the approved delivery schedule by the Assistant Director. Deliveries must be made during the managers’ contracted work hours. When late deliveries are expected for any reason, the contractor must either fax or call our office to notify us and must also notify all schools affected either by fax, email, or phone. The above mentioned policies regarding unavailable food items or late deliveries shall also apply to orders throughout the school year unless it is weather related. Persistent failure to meet delivery schedules shall be considered grounds for cancellation of contract. Future bidding privileges may also be affected. When weather related disruptions occur, Food and Nutrition Services shall be the one to determine what items shall be shipped and when. In cases of default by the successful contractor, or if supplies ordered are not delivered by the specified time, the Food and Nutrition Services Department after due notice, written or verbally, may procure them from other sources and hold the contractor responsible for any excess cost incurred thereby. Deliveries are to be checked in and signed for by each on-site food service manager. Under no circumstances shall product be left either inside or outside of building unattended. Out of stock items may require next day deliveries by the distributor to meet menu requirements. Shortages that are considered excessive by our standards shall be grounds for termination of the contract. All returns for incorrect product, damaged goods, unapproved substitutions, and back orders must be noted on a duplicate form and removed from the delivery ticket/invoice.

Delivery schedules and number of deliveries per week per bid category: Bread 3 to 4 per week Milk Every other day Staple food items weekly Frozen/refrigerated items Up to 3 weekly depending on available storage space Ice Cream weekly Beverages/Bottled Water weekly and monthly Disposables Bi-weekly and monthly Detergents/cleaning items Bi-weekly and monthly Chips/snacks weekly Produce, fresh 1 to 2 deliveries weekly Contact with Students: As required by Section 22.1-296.1 of the Code of Virginia, Contractors who shall provide services that shall place contractor or contractor’s employees in direct contact with students on school property during regular school hours or during school-sponsored activities, shall certify, by signing and submitting their bid or proposal, that none of the individuals who will perform the work under the contract have been convicted of a felony or any offense involving the sexual molestation or physical or sexual abuse or rape of a child. Any person making a materially false statement regarding any such offense shall be guilty of a Class 1 misdemeanor and, upon conviction, the fact of such conviction shall be grounds for the revocation of the contract to provide such services and, when relevant, the revocation of any license required to provide such services. V PRODUCT QUALITY/DELIVERY VEHICLES The contractor must have climate controlled receiving and shipping area to comply with HACCP regulations. All products must be delivered in clean, satisfactory containers. Unsatisfactory products such as frozen, damaged, or thawed items are to be exchanged, credit given, or delivery ticket and/or credit slip issued at the time of delivery. Delivery vehicle must be adequate to assure proper temperature of products until completion of delivery schedule. Persistent breakdown of delivery vehicles shall be considered grounds for termination of contract. Fresh produce must be delivered in a refrigerated, clean vehicle to maintain quality.

VI SECTION 2.2-4312 CODE OF VIRGINIA - DRUG FREE WORKPLACE During the performance of this contract, the contractor agrees to:

a. Provide a drug-free workplace for the contractor’s employees b. Post in conspicuous places, available to employees and applicants for employment, a

statement notifying employees that the unlawful manufacture, sale, distribution, dispensation, possession, or use of a controlled substance or marijuana is prohibited in the contractor’s workplace and specifying the actions that shall be taken against employees for violations of such prohibition

c. State in all solicitations or advertisements for employees placed by or on behalf of the

contractor that the contractor maintains a drug-free workplace d. Include the provisions of the foregoing clauses in every subcontract or purchase order

over $10,000, so that the provisions shall be binding upon each subcontractor or vendor For the purposes of this section, “drug-free workplace” means a site for the performance of work done in connection with a specific contract awarded to a contractor in accordance with this chapter, the employees of whom are prohibited from engaging in the unlawful manufacture, sale, distribution, dispensation, possession or use of any controlled substance or marijuana during the performance of the contract.

VII SUBSTITUTIONS Under no circumstances shall a product be substituted by the contractor with different or house brand without prior approval from the Director or Assistant Director. In case of manufacturer problems with producing approved products, the broker and the contractor must notify us in writing of the problem and when it shall be corrected. Product substitution must be submitted, in writing, to the Director or Assistant Director for approval 72 hours before delivery. VIII INVOICES AND ACCOUNTING PROCEDURES Invoices for items delivered and accepted shall be submitted by the supplier and signed by the school food service manager or a person designated by the manager; two (2) copies of the invoice are to be left with the food service manager. All invoices must be priced per contract, extended, and exempt from Federal Excise and State Sales Tax. Monthly statements for each school showing the previous month’s deliveries, along with one copy of each signed invoice, must be received in the Food and Nutrition Services office by the sixth (6th) working day of the month. Payments for all accounts are made monthly.

Invoice requirements: Invoices are to be set up by food category with a subtotal for each page and a total on the last page. There can be more than one category per page but the items must have a subtotal for that category. For frozen, staples, and snack food items, the category breakdown should be: Meat Prepared entrees - lasagna, pizza, etc. Frozen vegetables, french fries, fruit and juice Pastries, muffins, cookies, snack cakes, and other bread type product Packaged cookies Chips Specialty salty snacks Beverages - all cans and bottles U.S.D.A. items, including processed, must be on a separate invoice from purchased items and also have separate monthly billing statements. If supplier fails to prepare invoices and statements as requested, or if invoices are consistently calculated incorrectly, we reserve the right to return all such invoices and statements to the supplier, and payment shall be withheld until corrections are received. We shall approve the procedure for handling invoice corrections, errors, and credits. An itemized listing of total purchases must be submitted to us by the fourth (4th) working day of each month for all items carrying U.S.D.A. commodity rebates. A tabulation of total quantities purchased may be requested by Food and Nutrition Services at any time to cover any length of time requested. IX CUSTOMER SERVICE The contractor is required to have one dedicated Customer Service Representative to handle our account; voice mail as well as email access is required. There is to be a 24 hour return call policy from the contractor on all issues when addressed by our department. X INSTRUCTIONS FOR NON-COLLUSION AFFIDAVIT Non-Appropriations Clause: The continuation of the terms, conditions, and provisions of this contract beyond the specified date of contract is subject to approval and ratification by the Chesterfield County Board of Supervisors and appropriation by them of the necessary money to fund said contract for each succeeding year. This non-collusion affidavit is material to any contract awarded pursuant to this bid. This non-collusion affidavit must be executed by the member, officer, or employee of the bidder who makes the final decision on prices and the amount quoted in the bid. Bid rigging and other efforts to restrain competition and the making of false sworn statements in connection with the submission of bids are unlawful and may be subject to criminal prosecution. The person who signs the affidavit should examine it carefully before signing and assure himself or herself that each statement is true and accurate, making diligent inquiry as necessary of all other persons employed by or associated with the bidder with responsibilities for the preparation, approval, or submission of the bid.

In the case of a bid submitted by a joint venture, each party to the venture must be identified in the bid documents and an affidavit must be submitted separately on behalf of each party. The term “complimentary bid” as used in the affidavit has the meaning commonly associated with that term in the bidding process and includes the knowing submission of bids higher than the bid of another firm, any intentionally high or non-competitive bid, and any other form of bid submitted for the purpose of giving a false appearance of competition. Failure to file an affidavit in compliance with these instructions will result in disqualification of the bid. XI PRICING Prices should be stated in units of quantity as specified on the bid form. In case of error in extension of prices, the unit price shall govern. Firm pricing shall be given consideration for goods and/or services that will be delivered on a one-time only or staggered basis. General terms such as “price in effect at time of delivery” shall not be considered for award. XII AWARD PHILOSOPHY Award shall be made by the County to the lowest responsible contractor with the lowest responsive bid which is in substantial conformance with the terms, conditions, and specifications of the bid and is in conformance with the Code of Chesterfield County and Code of Virginia. Chesterfield County reserves the right to accept or reject any or all bids or parts of bid, to waive informalities, and to request rebids. The County also reserves the right to award the bid in a manner which the County deems will best serve its interest. Bids making exception to the terms and conditions included in this invitation shall be considered non responsive and shall not be considered. It further reserves the right to award the bid on a split order basis, lump sum, or individual item basis, or such combination as shall best serve the interest of the County unless otherwise specified. XVI INSURANCE The Contractor shall furnish a copy of a certificate of insurance in accordance with the requirements before the county will execute a contract. The contractor shall purchase and maintain in force, at his own expense, such insurance as will protect him and the County and Chesterfield County Public Schools from claims which may arise out of or result from the contractors execution of the work, whether such execution be by himself, agents, subcontractors, or by anyone for whose acts any of them may be liable. The insurance coverage’s shall be such as to fully protect the County and Chesterfield County Public Schools, the consulting professional (if applicable) and the general public from any and all claims for injury and damage resulting by any actions on the part of the contractor or his forces as enumerated above.
