CENTRAL ELECTRICITY SUPPLY UTILITY OF ORISSA SECTION - I

INVITATION FOR BIDS (IFB)

A. For and on behalf of CESU, the undersigned invites sealed bids in duplicate on two part bidding

system from the eligible bidders meeting the qualifying requirements mentioned under Section-II of

our tender specification for Supply, installation, operation and maintenance of Automatic Meter

Reading (AMR) Solution for selected Potential Consumers and 33KV, 11KV feeders for a period of

five years on payment of leasing charge within the jurisdiction of CESU.

B. The Intending bidders may obtain the tender document from our website www.cesuodisha.com.

However for the intending bidders who wish to download the tender specification from our website

must enclose the bank draft for Rs.8, 000/- (Rupees Eight thousand Only) towards the cost of tender

document while submitting the bids.

C. The bidders are required to submit a detailed and comprehensive bid, consisting of Techno-

Commercial Bid and Price Bid and conditions / schedule of non-compliance, if any. The duly filled up

bid documents ( Techno- Commercial bid and Price bid ) separately in a sealed cover is to be

submitted to the undersigned at CESU Head Office, IDCO Tower, Bhubaneswar.

D. The due date of submission of the bid documents shall be 29.12.11 up to 1.30 PM. In the event the

date of opening is a holiday, the next working day shall be treated as the date of opening. The same

will be opened at 3:30 p.m. on the same day in presence of the bidders or their authorized

representative.

E. A sum of Rs.5,00,000/- (Rupees Five Lakhs Only) as an earnest money is to be deposited along

with bid documents separately through Demand Draft/pay order drawn in favour of the Central Electricity Supply Utility of Orissa, payable at Bhubaneswar.

F. The bidders who qualify the minimum Technical Proposal Score will be eligible for opening of the

price-bid. The Technical Proposal Score & the Price Proposal Score combined together on weighted average basis to evaluate the bidders.

G. Date and time of opening of Price bid will be intimated to the bidders who scores more than or equal

to the minimum Technical Scores as per section IV of the tender document. Bidders are required to quote for full quantity.

CESU reserves the right to cancel / withdraw the whole or any part of the invitation for bids without assigning any reasons and shall bear no liability whatsoever consequent upon such a decision.

SECTION - II

QUALIFYING REQUIREMENTS

1. Technical Qualifying Requirements:

a. The AMR solution being offered should have been successfully implemented in at least one Utility

covering at least 2000 customers and must have successfully in operation for more than one year as

on the date of Tender.

b. The AMR solution should meet CESU’s minimum technical requirements as detailed under Technical

compliance (clause 2) given in section-III and General technical particulars Compliance (clause 5)

given in section –VI respectively of this tender document.

c. The bidder should submit the experience certificate / work order / LOA from the client and reference

letter / acceptance certificate from the client for completion of work, in support of the qualifying

requirements, clearly establishing – the start and end date of the project, scope of work and worth of

project, on client’s letterhead.

d. The bidders who will successfully demonstrate the prototype AMR solution shall be considered for

opening of their price bid.

e. CESU reserves the right to waive minor deviation, if they do not materially affect the ability of the

bidder to perform the contract.

2. Financial Qualifying Requirements:

a. The minimum average annual turnover in last 3 Financial Years of the intending bidder should be Rs.

15 Crores (Rupees Fifteen Crores).

b. Bidder shall submit their audited financial reports for last 3 Financial Years.

3. Commercial Qualifying Requirements:

a. The bidder should ideally have adequate numbers of qualified engineers on their direct payroll. PF/

ESI records substantiating this shall be submitted along with the bid.

b. Bidders have any past litigation / dispute / unsuccessful history during any project implementation

with CESU or any power utilities in India shall be rejected. Bidders whose performance is highly

unsatisfactory with any power utilities shall not be permitted.

c. The bidder must be a company registered in India under the Indian companies Act of 1956.

d. The bidder should have adequate experience in the field of software development and systems

integration. The bidder must have at least SEI CMM LEVEL 3 Certification or ISO 9001:2010 or

equivalent. Bid without proof of the above certification will be disqualified.

e. The Bidder should follow quality procedures as per their level for hardware and software

development/ manufacturing and customisation.

f. The bidder shall comply with statutory obligation like Income Tax, EPF and Service Tax etc.

g. The bid can be submitted either by self or by forming a joint venture/ consortium with maximum of 2

parties as per the criteria mentioned under clause 2 of section IV of this tender document.

The bidders not complying any of the qualifying requirements mentioned above shall be rejected.

Mere submission of the proposal will not confer any right for carrying out the mentioned project. CESU

reserves the right to reject/accept any or all the applications or if in their opinion the qualification data is

incomplete or the bidder is found not qualified to satisfactorily perform the work.

CESU may cancel the tendering process of this proposal at any stage, at its sole discretion without

assigning any reason thereof.

SECTION - III

SCOPE OF WORKS

1. Objective:

CESU is desirous of implementation, operation and maintenance of Automatic Meter Reading

(AMR) solution for selected Potential consumers and 33KV, 11KV feeders on ‘Leasing’ basis in

their licensed area.

The Bidder is required to acquire and provide the meter data to down-stream systems through

Automatic Meter Reading (AMR) as required for Billing, Energy Accounting and Audit (EAA) and

generate required Management Information System (MIS) reports at Central Data Centre

proposed at CESU Head Office, Bhubaneswar.

This Tender document comprises supply, installation, operation and maintenance of AMR

solution for selected Potential consumers and 33KV, 11KV feeders on payment of leasing charge

for five years in Central Electricity Supply Utility (CESU) of Orissa, Bhubaneswar and is based on

the Standard Tender Specification of CESU.

This tender document also reflects the detail structure of AMR solution to be provided by the

bidder and its leasing for a period of 5 years under system up-gradation scheme of CESU.

Present Arrangement of Metering Points:

The proposed AMR solution shall cover all the existing EHT, HT, LT supply consumers and as

well as all 33KV and 11KV feeders spread across 9 revenue districts of Orissa. All 33KV and

11KV consumers having load more than 70 KW are metered through metering units and HTTV

meters. Consumers having load between 30 KW to 70 KW are metered majorly through LTCT

meters. Consumers having load less than 30 KW are supplied with whole current meters. CESU

has also provided static energy meters on 11 KV & 33 KV feeders at its various 33/11 KV sub

stations and 132/33KV substations respectively.

The AMR software provided in this project shall be compatible for reading of various makes and

models of static meters like Secure, L&T, GENUS etc. installed in CESU area. The bidder shall

be required to provide the AMR software so as to read any other make and model of static meters

as well procured by the CESU in future.

Presently, energy data from these meters is being captured manually or through MRI and

is used for monthly billing purpose and energy audit purpose. These meters have majorly optical

port and some have RS-232/RJ11 communication ports apart from optical ports.

Most of the meters installed for feeder metering are of M/s Secure procured by CESU in the past.

These meters are installed in different 33/11 KV substations in CESU. Besides these there are

number of 33KV feeders (which are to be metered) originating from over 28 numbers of grid

substations which are also covered in this Project as described in Table-A.

CESU invites sealed tender for AMR solution on lease basis for its Potential consumers, 33KV,

11 KV feeders and various Import/ Export points in its area. This also includes extending the

same solution to new Potential consumers of CESU during the leasing period.

The AMR software is to be installed in the Central Data Centre at CESU Head Office IT Center,

Bhubaneswar. All the necessary software, hardware, server, communication gateway and

telecom network service etc. with all suitable accessories for AMR solution shall be provided by

the bidder. The AMR software shall be integrated with the present energy accounting software of

CESU. The responsibility of integrating the AMR software with the said billing and energy

accounting system shall be of the bidder. The technical specifications of all hardware and

software in the desired system and all the major electrical equipments/ items are appended with

the tender document.

The approximate composition of consumers and feeders as well as scope for supply, installation,

Operationalization and maintenance of AMR Solution at all the metering points is as specified in

the following table. (For detailed locations please see Schedule-I).The responsibility of bidder and

CESU is specified in the Table A.

The above statistics is as on 31

st March, 2011. This may change at the time of implementation.

It has been observed that Potential consumer growth for each of the category is around 7% per

annum of the current consumer base and feeder growth is around 1% of the feeder base. Hence,

the same growth rate can be assumed for next 5 years.

Lease Period: 5 Years Bidder should specify the AMR Solution Transfer Cost and Annual Maintenance Charge for 2 years for the proposed AMR solution after the completion of the leasing period of five years. However, CESU Management reserves all the right to decide whether to go for transfer of the proposed AMR solution after the leasing period. 2. 2.1 Scope of Work

2.1.01 Automatic scheduled collection of data from the meters located at selected Potential consumer premises and feeders. (Please see Schedule-I)

2.1.02 The system must have proven scalability to extend this functionality for up to 30,000 or more meters.

2.1.03 The AMR solution shall accommodate open architecture and protocols and have capability to integrate with the existing meters which are already in operation in the consumers’ premises and feeders under CESU and also any other make and model of static meters as well procured by the CESU in future

2.1.04 The AMR solution should conform to Industry standard open protocols in terms of data polling by a meter data concentrator or central server over Wide Area Network for further power management requirements at Server end. Absolute Data accuracy and security are critical to this proposed AMR solution.

2.1.05 The system should be adoptable to any make and model of static meters and GPRS technology.

2.1.06 Storage and management of all meter database, and meter reading data in a central database.

2.1.07 The data management system shall have the capacity to accept reporting on external factors from the CESU billing system.

2.1.08 The AMR Solution shall provide user dash board to monitor energy supply to its consumers and through feeders on line. Software ability to flash exceptions of energy flow in the network pertaining to the meter is particularly important.

2.1.09 User should be able to dynamically define rules of exception based on the energy metering data and meter events thereof.

2.1.10 The Power management solution should be web enabled and accessible via intranet through secured communication links for accessing the AMR dashboard.

2.1.11 Power Management solution offered at central server should be versatile and utilitarian helping the

management to utilize the dash board offered effectively. The user end Dash-Board covering customers’ Energy flows should be user configurable and customizable.

2.1.12 Select exceptions need to be sent to designate Officers over email, SMS as alerts / notifications in addition to displaying the same on the Power Management dash Board.

2.1.13 Users shall be able to perform any specified functions through a secure client module that operates using CESU’s LAN and intranet networks.

2.1.14 AMR Solution shall include application package, system software and tools wherever appropriate.

2.1.15 Computer Hardware includes servers, workstations & networking and related software.

2.1.16 Professional services include customization of software package, as and when required, Commissioning and post Commissioning support services.

2.1.17 This integrated system shall include two major components: a hardware AMR module which can be used to provide telephone AMR capabilities at the meter site, and a central data collection, management and analysis software system.

2.1.18 Users of the system will be located at different CESU offices located at different places in CESU’s jurisdiction, so the system must be capable of being operated across the CESU network.

2.2 Details Scope of Work for AMR solution:

2.2.01 The scope of the work under this contract covers supply, installation, implementation and maintenance of AMR solution on payment of leasing charge for five years of Automatic Meter Reading based Central Energy accounting & Audit (EAA) System for selected lists of Potential consumers and feeders of CESU.

2.2.02 The bidder is required to acquire and provide the meter data to down-stream systems through Automatic Meter Reading (AMR) as required for Billing, Energy Accounting and Audit (EAA) and generate required Management Information System (MIS) reports at Central Data Centre proposed at CESU Head Office, Bhubaneswar.

2.3 Automatic Meter Reading:

2.3.01 The Proposed AMR solution shall be based on GPRS technology only.

2.3.02 The AMR consisting of an Operator cum Engineer’s workstation, with all the required application software is used for remote data collection from static energy meters.

2.3.03 The AMR functionality shall include data acquisition & data management like real time process monitoring, alarming, reporting and data archiving.

2.3.04 The AMR shall consist of server with the Software used for AMR system. Please specify the details in the proposal.

2.4 Base Central Control Station:

2.4.01 The proposed base central Control station consists base computer system along with software and Intelligent industrial grade routers suitable for M2M applications and will be capable of connecting to the GPRS Modem installed at the consumer premises with built-in Firewall, Data Encryption of 3DES standard or more and VPN management, for data and network security.

2.4.02 The router will have the capacity to adapt to at least 2 Mbps data communication speed, as this router will be collecting data from thousands of meters through Data concentrator unit.

2.4.03 The router shall be redundant in architecture internally with dual CPU, Power supply etc. and will be capable of handling multiple masters.

2.4.04 These routers will be suitable for connection to the meters end through GPRS network and provide secured and data encrypted connection to the remote meters.

2.4.05 It will be possible that the device can decide and act according to the best available link, understanding the reliability of any third party provided communication media and the criticality of the system.

2.4.06 The routers will be suitably protected against voltage surges.

2.5 GPRS enabled Modem with SIM:

2.5.01

Supplied modems must be compliant to meters existing /offered and should also be future proof.

2.5.02 Supplied modems should conform to TRAI standards.

2.5.03 Customized specific utility to demands.

2.5.04 Compatible with various standard meters existing/offered, directly interfaced.

2.5.05 Instantaneous Tampering and Outage alerts. Over the air configuration by SMS.

2.5.06 Automatic GPRS connection (no AT commands required) and watchdog for reliable communication.

2.5.07 The GPRS will provide security firewall between the GPRS and the Slaves, GPRS and Network all possible combinations of the network and devices and public GPRS domain.

2.5.08 The modem will be suitably protected against voltage surges. The offered modems will be suitable for transfer of data at the baud rate supported by the meters installed at the consumer premises.

2.5.09 Inbuilt 3 Phase Power supply as well as operational on single phase. Auxiliary Power supply will not be acceptable.

2.5.10 Automatic TCP or UDP socket connection. Thin VPN for data security.

2.5.11 Automatic pushing of meter data at regular intervals. Remote firmware update.

2.5.12 Compliant for future protocols,

2.5.13 Store & Forward with FTP Transparent, real-time functionality. Dial-on-demand, Dial-on-schedule and Auto answer.

2.5.14 Data and GPRS enabled SIM card with required settings.

2.5.15 Interface capability with RS232 cable

2.5.16 The operating voltage range for the modem should be 50 V AC P-P to 440 V AC P-P, so that the modem can be used on both HT & LT Trivector Meters. How ever the modem should also be capable of operating on single phase 230 V, 50 Hz power supply.

2.5.17 The Modem should be capable to transfer the entire data of existing /offered meter in less than 10 Minutes after connection is made assuming there is no line disturbance.

2.5.18 The Modem should be supplied with power cable, antenna with co-axial cable of suitable length, RS 232 connecting cable, mounting adopter etc. and should be complete in all respects.

2.5.19 The modem should cover and body should have arrangement for sealing. In addition to this, the SIM card holder cover should also have arrangement for sealing.(optional)

2.5.20 The Modem should have flexible external antenna to enable placement of the antenna at the location of strongest signal inside the Metering Box.

2.5.21 In the event of an outage, the modem should be able to initiate separate call or send SMS to predefined number to notify the outage event with data and time of occurrence and restoration.

2.5.22 The Modem should act a completely transparent channel i.e. the Commands received from central server should be conveyed to meter and the stored data from meter should be conveyed to central server without any change.

2.5.23

The modem should have power back up for 48hrs and can store and push the entire data to the central server in case of supply failure.

2.5.24 The Modem should be capable of operating with SIMs of local GPRS Service provider in the area.

2.5.25 Data enabled SIM card will be provided by the bidder

and monthly SIM charges will be borne by the bidder.

2.5.26 Modem should be capable for continuous working for 24 hours every day under field conditions, even when enclosed in Metering Box at sites.

2.5.27 Software shall have facility for Auto-Scheduler to enable automatic / Unattended data collection during night hours.

2.6 GPRS Modems and SIM cards Specifications as per the below requirements:

2.6.01 Modem shall be suitable for long duration data transmission and shall be protected from external interference of systems working at different bands.

2.6.02 Mechanical Specifications: - Modem should be a compact model housed in a polycarbonate / engineering plastic / Metallic enclosure. The modem should comply with IP51 degree of protection

2.6.03 Environmental Specifications :- The Modem shall

meet the following environmental specifications : - a. Storage Temperature : -20 degrees to +70 degree Celsius b. Operating Temperature: -10 degrees to +60 degree Celsius c. Humidity:- 95% RH ( Non - Condensing)

2.6.04 Communication Capabilities:-

a. Modem should be Dual Band modem capable of operating at 900 and 1800 MHz GSM transmission. b. Modem should support both Data and SMS transmission. It should have both GSM and GPRS features.

2.6.05 Interface: - a. The modem at consumer meter end should have suitable interface facility to connect with the meter by using the RS 232 cable. The modem may also be retrofitted on optical port of the meter or RJ 11 port of the meter.

b. The SIM interface should be a 3 V Interface in accordance with GSM 11.12 phase 2 with an retractable SIM cardholder, which should be fully inserted inside the modem. The holder opening should have a sliding cover with provision for sealing after placing of the SIM card. The modem shall accept the standard SIM Card. c. Modem should have a SMA Antenna connector

2.6.06 Power: -

a. Maximum Power Output should be 2 W at 900 MHz (Class 4) and 1W at 1800 MHz (Class 1). b. The RF functionalities should comply with the GSM phase II/II+ compliant, EGSM 900/GSM 1800 recommendation. c. VA Burden of the Modem should not exceed 6.0 VA during data communication

2.6.11 The Modem shall have separate LED indications for transmit data, received data, carrier detects and Power ON, etc. to indicate Power on position and to indicate the availability of signal at the place of installation

2.6.12 The offered modem shall be fully technically acceptable i.e. the modem should meet all the constructional features & technical requirements as specified in the technical specifications in (Annexure-IV).

2.7 COMMUNICATION :

2.7.01 M2S (Metering equipment and Modem to Centralized Server) Communication Gateway.

2.7.02 Public Static IP with sufficient bandwidth

2.7.03 Cost of the bandwidth at Central Control Room and that on GPRS SIMs shall be borne by Bidder. The design and specifications of the proposed system is to be given by the bidder.

2.8 Software for Central Control Station:

2.8.01 The software package shall be compatible for operation on Windows XP service pack 2 or higher versions of Windows platform on a personal computer.

2.8.02 The offered software shall be configured for protection against unauthorized use of the software.

2.8.03 The AMR software shall be able to establish and maintain a continuous connection with the remote site & data can be gathered from the router over any of the communication media viz., leased line/ GPRS/ GSM/ / Radio communication network with One fixed IP accessible publicly.

2.8.04 The offered BCS shall provide the facility to convert the data into standard ASCII or spread sheet formats; this data can be further used for analysis and integration with the billing system or any third party software system as

per the requirements.

2.8.05 The software running at utility end shall be always connected to the remote meters over GPRS.

2.8.06 The offered BCS shall be user friendly.

2.8.07 Windows based BCS shall supply all billing parameter data.

2.8.08 The data transfer shall be highly reliable and fraud proof.

2.8.09 Offered BCS shall give all details adequate for load surveys parameters.

2.8.10 The software will be common for all the available type of meters and will provide interfaces for programs for billing,

2.9 View Report:

2.9.01 The Software shall have the capability through Menu option to display, the meter readings, load survey data and all other data received through Remote Metering or Down Load and dumped into computer.

2.10 Memory, Security, Protocol & Safeguards Against Frauds :

2.10.01 Utmost security and safeguard against manipulation or frauds have to be provided.

2.10.02 The AMR Server at Data Centre shall have sufficient hardware configuration to process and store the data of specified number of meters in real-time and the system may be scalable to extend this functionality to further 30,000 or more meters.

2.10.03 The AMR software shall be capable of communicating with the meter only through supervisory password.

2.11 Schedule and Project Timeline:

2.11.01 It is essential to complete the project (implementation, commissioning and operation) within Six Months from the date of issue of work order as per the work completion schedule given by the bidder as per Schedule-II.

4.7.01 The primary function of the system being contracted by CESU is the collection, management, and exploitation of load profile data.

4.7.02 As such, the data storage and management of the system is a key function. The database shall support the storage of metering data, and shall enable CESU to easily associate metering data with meters, customers, and service points within the CESU network.

4.7.03 The system must store all data in relational database model which also has the capacity to manage the objects. The preferred database for this application would be Oracle 10g or higher version.

4.7.04 This data model shall support the storage of standard reading and register data, and channels of load profile data. Load profile data shall be able to be defined either as a channel of actual load profile data from a particular meter, or as a channel of virtual data calculated using the formula engine of this specification.

4.7.05 Whenever data is collected, the system will automatically validate the data collected by checking against user supplied tolerances, such as minimum and maximum demand, power factor, and any status information returned by the meter (e.g. power outage). These parameter settings may be either at system level and/or on individual meter level.

SECTION - IV

INSTUCTION TO BIDDERS

1. General: 1.1 The bidders are requested to ensure that they furnish the offer in duplicate and each page of the

tender should be signed and duly stamped by the bidder. Any corrections/overwriting should

be signed by the bidder. An offer with corrections/ overwriting without signature of the bidder shall

be rejected.

1.2 The Bidders are requested to ensure that all required schedules duly filled-in, are submitted with the

offer. The bidders should also note that in absence of any of the schedules, their offer is likely to be

rejected.

1.3 Transfer of the documents purchased by one bidder to any other bidder is not permissible.

1.4 Before submitting the tender, the bidder shall be deemed to have full knowledge of all relevant

documents and have satisfied himself by actual inspection of site and locality of work. It must be

ensured that all conditions that are likely to be encountered during the execution of work have been

taken into consideration and the quoted rates are adequate to meet all the contractual obligations

under this contract.

1.5 The submission of a tender by the bidder implies that he has read and accepted the instructions,

conditions of the contract and made himself aware of the scope and specifications of the work to be

done, and all other factors having a bearing on the execution of works.

1.6 CESU will not, after acceptance of contract rate, pay extra charges for any reason whatsoever, in

case the bidder is found later to have misjudged any condition(s).

1.7 The bidders, who require clarification on any aspect of this tender, should send their queries in

writing at least seven days before submission of tender documents so that the clarification in

writing is made available to all the bidders. Such clarifications will be treated as part of the Bid

Documents.

1.8 Tenders duly filled must be submitted in sealed covers addressed to General Manager (AT & C),

CESU, 2nd Floor, IDCO Tower, Janpath, Bhubaneswar. Unless delivered personally, tender should

be submitted by post/Courier. If forwarded by post the sealed envelope containing the tender

and addressed as specified above, shall be forwarded so as to reach not later than the time

stipulated above on the due date of opening of tender.

1.9 Tenders will be opened as per the schedule provided in the tender notice and in the presence of such

Bidders or their representatives as may be present at the time of opening. Bids/tenders shall

be submitted by the bidder within the prescribed due date and time, and delayed submission for

whatsoever reasons, will not be accepted. CESU shall not assume any responsibility for any

delays either for the late receipt of documents by bidders or late receipt of bids by CESU.

No extension in time shall be granted on such grounds.

1.10 In case of ambiguous or self-contradictory terms/conditions mentioned in the bid, interpretation as

may be advantageous to CESU may be taken without any reference to the tenders.

1.11 Blank Tender forms and other conditions of contract with all necessary documents will be issued to

bidders as per the tender notice during office hours on working days till last date of purchase of

tenders.

1.12 A bid which gets opened before the due dates as a result of improper or no indication having been

given on the cover to indicate that it is a tender, will be disqualified. Bidders will not be permitted to

change the substance of his tender on post interpretation/improper understanding grounds. This

includes post tender price changes/modifications etc. after opening of Price Bid. In such events,

otherwise, i.e., when a bidder does not comply, tender will be rejected.

1.13 One bidder/firm can submit only one tender for the same work.

1.14 Bidder must return the form of tender with the specification and any other schedule duly signed at

the place specified. All pages of the tender documents conditions of contract, specification etc.

shall bear the full signatures of the bidder at the foot of every page on the right hand corner. Any

bid not bearing signatures on all the documents accompanying the tender is liable to be rejected.

The transfer of tender forms purchased by one Bidder to another is not permissible..

1.15 Tenders who do not fulfil all or any of the above conditions or are incomplete in any respect are

liable to be rejected. CESU reserves the right to reject any or all the tenders without assigning any

reason.

1.16 The Bidder’s name stated on the Bid at any place shall be the exact legal name of the firm.

2. Joint Venture/Consortium:

2.1 The bidders are allowed to form a joint venture/consortium with maximum of two parties (other

than the lead bidder) which meets prescribed qualifying requirements. However, one member of

the joint venture / consortium will be lead member and he would be responsible for successful

execution of the contract.

2.2 In case of Joint venture / consortium, one of the partners shall be nominated as lead partner. The

lead partner shall be authorised to incur liabilities, and receive instructions for and on behalf of any

and all partners of the joint venture / consortium. Execution of the contract including receipt of

payment shall be done exclusively through the lead partner. Authorisation to the lead partner

shall be evidenced by submitting a Joint Venture / consortium Agreement signed by legally

authorised signatories of all the partners as per the Performa shown in Annexure-VIII.

2.3 In case of Joint ventures / consortium, the bid and all tender documents shall be signed either by

the lead partner or all the partner(s) However, irrespective of the fact that whether any partner of

JV / consortium has signed all the bid papers or not, if bid is submitted as JV/ consortium, all the

partners of the JV/ consortium shall be liable jointly and severally for execution of the contract.

2.4 The lead member shall meet the financial qualifying criteria.

3. Cost of Bidding

i) The Bidder shall bear all costs associated with the preparation and submission of its bid. CESU (hereinafter referred to as the 'CESU') will in no case be responsible or liable for these costs, whether or not the Bid is finally accepted.

ii) The Tender Document is not transferable. Only the party who has purchased this tender form

shall be entitled to participate in the bid.

4. Amendments to Tender Document:

• At any time prior to the deadline of submission of techno-commercial / price bids, the CESU may for any reason whether at his own initiative or in response to a clarification requested by any shot listed Bidder modify the tender documents by amendment.

• The amendment will be notified in writing or by fax to all short listed Bidders who have received the tender documents and should be binding on them.

• In order to allow prospective Bidders reasonable time within which to take the amendments into account in preparing their bids, the CESU may, at his discretion extend the deadline for the submission of bids.

5. EMD:

All bids must be accompanied by with Earnest Money Deposit (EMD) amounting to

Rs. 5, 00,000/- (Indian Rupees Five Lakhs Only) along with the Bid in a separate envelop super

scribed as EMD. The EMD shall be submitted by crossed demand draft/pay order drawn in

favour of Central Electricity Supply Utility of Orissa payable at Bhubaneswar..

Unsuccessful bidder’s EMD shall be refunded back as promptly as possible as but not later than

30 days after expiry of the bid validity period.

The EMD of the successful bidder shall be refunded after acceptance of the total AMR solution

for all circles.

6. Schedule of Tender:

� The sealed bids containing EMD money, Techno-Commercial Bid, Price Bid and other supporting documents shall be submitted at the CESU head office, Bhubaneswar as specified in the tender notice.

� The bids will be opened at 3 PM as specified in the tender notice and subsequent

corrigendum thereof, it must enclose all technical compliance statements, formats, schedules, annexures, literature/catalogue etc.

� After evaluation of the Techno-commercial Bid, the short-listed Bidders will be intimated. The

decision of the committee on technical and commercial suitability of the offer shall be final and binding.

� The price bids of the short-listed Bidders will be opened and such short-listed bidders will be

intimated about the date and time accordingly. The short-listed bidders or their authorized representatives may present, if they so desire.

7. Procedure for submission of Bids (Please read carefully):

� The tenders should be submitted at the CESU office as specified in the tender notice.

� The Bids shall be submitted in the following manner:

� The tenders are required to be submitted in Two Parts each in separate double sealed

envelopes.

Part - I: Superscripted as “Techno-Commercial Bid” shall contain EMD and Technical and commercial documents, Schedules, Performa & Annexure.

Part – II: Superscripted as “Price Bid”. The Part - II should contain only Price bid.

� The two envelopes enclosing the Techno-commercial bid, EMD and Price Bid shall then be placed in an outer envelope and sealed. The outer envelope shall clearly indicate the Bidder’s name and address and the following text in bold” SUPPLY, INSTALLATION, OPERATIONALIZATION AND MAINTENANCE OF AUTOMATIC METER READING SOLUTION FOR POTENTIAL CONSUMERS AND FEEDERS ON LEASING BASIS IN CESU”.

� The Techno -commercial & Price Bid shall be sent to the following addresses:

� The bid shall contain no overwriting except as necessary to correct errors made by the

Bidder, in which case such corrections shall be authenticated by the person or persons signing the bid.

numbered by the Bidder.

� Fax and Telegraphic tenders shall not be accepted. 8. Techno-Commercial Bid:

Techno-commercial Bid comprising of the self attested original copies of the following documents is to be physically submitted to the office of GM (AT&C), CESU before last date of submission of bid. This is mandatory.

� Covering letter. � Original Demand Draft (EMD money). � Abstract of General Terms & Conditions. � Declaration form. � Work Completion Schedule. � Deviation sheet. � JV/Consortium Agreement copy as per the enclosed format. � Proof of purchase of tender documents (Money Receipt).

9. Price Bid:

Bidders should invariably indicate the single price required in the Price Schedule enclosed with the tender inclusive of all taxes,duties and other charges and should be kept in separate envelopes duly marked as price bid. The quoted prices should be “FIRM”. No price variation shall be allowed during the contract period. Bidders quoting variable prices shall be rejected outrightly. Any ambiguity in this regard shall be treated as incomplete bid & shall be rejected.

10. Evaluation of bids:

The evaluation team will thoroughly review the proposal submitted by the bidders. The evaluation of responsive qualifying bids shall be done based on the following weightage.

(Technical result of evaluation process should qualify or disqualify in respect to CESU’s need

after scheduled prototype demo.)

11. Bid Evaluation Methodology:

The bidders who shall successfully demonstrate the proposed AMR solution to be considered for opening of their price bid. A. The bidder may take the sample meters by depositing the meter cost (refundable) from CESU to analyse & give successful demonstration on the scheduled date. B. The data downloaded through AMR should match completely with the data available in the meter downloaded through Meter Reading Instrument. C. The solution should be capable of retrieving the entire data available in the meter through the AMR solution. D. The bidder should give the print out copies of the data downloaded through AMR on the same day of demonstration. Failing of any of the above mentioned criteria the bidder's eligibility for further process will be rejected. CESU shall not bound to accept the lowest or any proposals and reserve the right to accept any proposal in whole or in part and to reject any or all proposals without assigning any reason thereof and to contract any of the terms offered or on different terms.

12. Technical Proposal Score:

As part of technical proposal, bidders are expected to submit proofs to establish the facts on the eligibility criteria and other details. The bidder is also expected to furnish detailed project plan with timelines for each of the project deliverables. CESU will follow a fair evaluation practice and reserves the right to give the suitable rating based on its evaluation of the bidder’s response. The evaluation process is purely confidential. Bidder should provide the summary of all project experiences meeting the qualifying requirements mentioned under Section-II of this tender document for evaluation purpose as per the format enclosed format in schedule-VII.: Calculation of Technical Proposal Score:

• Evaluator will score each requirement on a scale of ‘0’ to the ‘Maximum marks’ allotted to that particular row.

• For Sl. No. 3 wherein total 364 number of points are equivalent to 20 marks. (Please see the

section –III scope of work).

• Example: if the bidder scores 300 points out of 364, the bidder secures (300/364)* 20marks.

• Final score will be summation of individual line scores of each requirement.

13. Price Proposal Score:

The Price-Bid evaluation is done only for those bids which are responsive and have score more than or equal to the minimum Technical Proposal Score to get qualified for price bid opening as mentioned above.

14. Total Score:

Total score shall be calculated as below: TOTAL SCORE = 0.5 * TECHNICAL PROPOSAL SCORE + 0.5* PRICE PROPOSAL SCORE.

Where PRICE PROPOSAL SCORE = LOWEST BID / FIRM’s BID *100

The bid with the highest overall score will be awarded the project.

15. CESU’s Right to accept the Bid and to reject any or all Bids:

The CESU reserves the right to accept any bid, and to annul the Tender process and reject all or any bids at any time without assigning reason prior to award of Contract.

16. Validity of proposal:

The price bid proposal should be valid for a period of 180 days from the date of submission of the

tender document. CESU may ask the bidder to extend the validity period of their proposals.

17. Suspension of obligation:

• The solution shall be delivered by the bidder in accordance with the time-schedule specified

by CESU.

• The bidder will strictly adhere to the time-schedule for the performance of work. However,

CESU can relax this time limit on genuine ground.

• In case of delay in performance for reasons attributable to the AMR Solution Provider, such

liquidated damages shall be imposed as are stipulated in the Para “Liquidate Damages” or

agreement signed, while awarding the work.

18. Acceptance of tender:

CESU, may reject any or all tenders or to accept any tender considering advantageous to CESU, whether it is the lowest offer or not.

The successful bidder would have to execute an Agreement as shall be required by the Company within 15 days of the intimation being given to him regarding acceptance of his bid, for successful completion of the work.

19. Language of Bid & Correspondence:

The Bid will be prepared by the Bidder in English language only. All the documents relating to the

Bid (including brochures) supplied by the Bidder should also be in English, and the

correspondence between the Bidder & CESU will be in English language only. The

correspondence by Fax / E-mail must be subsequently confirmed by a duly signed copy (unless

already signed digitally).

20. Price & Bid Currencies:

Prices shall be quoted in Indian Rupees. Bidders are required to quote firm price as per the

prescribed format enclosed in price schedule. The quoted price shall be firm and inclusive of all

taxes, duties, other levies, works contract tax etc. CESU shall not be liable to pay anything extra

over and above the quoted price.

21. Award of Contract:

Prior to the expiry of the period of bid validity, the CESU will notify the successful bidder in writing that its bid has been accepted. The notification of award will constitute the formation of the Contract.

SECTION - V

GENERAL TERMS & CONDITIONS OF CONTRACT

1. Definition of terms:

The following words and expressions shall have the meanings hereby assigned to them.

a. “AMR” shall mean Automatic meter reading .

b. “Award of Contract” shall mean the official notice issued by the CESU notifying the Bidder that

his bid has been accepted.

c. “Bidder” has been used to mean Bidder in this document.

d. “CESU” means “Central Electricity Supply Utility” who invites the tender document for AMR

Solution.

e. “Completion” shall mean the completion of all related services for AMR Solution by the Bidder in

accordance with the terms and conditions set forth in the contract.

f. “Contract” means the leasing agreement entered into between the Utility (CESU) and the Bidder

as per the Contract Agreement signed by them including all attachments and appendices there to

and all documents incorporated by reference therein.

g. “Contractor” shall mean the Bidder whose bid to perform the contract has been accepted by the

CESU and is named as such in the Agreement and includes the legal successors or permitted

assigns of the bidder.

h. “Contract Value” shall means five years leasing amount of all metering points covered under

table- A under section –III.

i. “Date of lease” shall mean the date on which notice of Award of lease has been issued.

j. “Delivery” means the delivery of the services for AMR Solution to the CESU in accordance with

the terms and conditions set forth in the contract.

k. “Potential Consumers” mean all categories of consumers having load more than 30 KW within

the area of CESU.

l. “leasing charge” means the price payable to the lessee as specified in the Agreement, subject to

such additions and adjustments thereto or deductions there form, as may be made pursuant to

the contract.

m. “Metering Equipment” shall include meter, metering unit, meter T.P. Box and control cable with

all suitable accessories etc.

n. “Metering Points” shall mean the location at which any or all the metering equipments,

modems, SIMs etc. is to be installed.

o. “Project In-Charge” shall mean the officer appointed in writing by CESU to act as an Engineer

from time to time for the purpose of the Contract.

p. "Project" means all Activities covered under present contract.

q. “Related Services” means the services to be provided as per the requirements /conditions

specified in the Contract. In addition to this, the definition would also include other

related/ancillary services that may be required to execute this Contract

r. "Solution" means the work to be performed by the bidder pursuant to this Contract for the

purposes of the Project, as described in the Scope of Work hereto.

s. “Site” shall mean all identified locations within the utility jurisdiction where the bidder carries out

any installation of goods or is required to provide any services.

t. “Tests”, shall mean all operational checks and tests required to determine and demonstrate

capacity, efficiency, and operating characteristics as specified in the Contract Documents.

u. “Taking Over” shall mean the CESU’s written acceptance of the works performed under the

Contract, after successful commissioning/ completion of Performance and Guarantee Tests, as

specified in the accompanying Technical Specifications or otherwise agreed in the contract.

v. Terms and expressions not herein defined shall have the same meaning as are assigned to

them in the Indian Sale of goods Act (1930), failing that in the Indian Contract Act (1872) and

failing that in the General Clauses Act (1897) including amendments thereof, if any.

w. “Utility” means herein “CESU” .

x. Conditions specified in “Scope of Work”, “Qualifying Requirements”, “Technical

Specification of Metering Equipments” & “Instructions to Bidders”.

All terms and conditions, instructions and directions to bidders which are mentioned under the sections “General Instructions to Bidders”, “Eligibility Criterion”, “Scope of Work” Technical Specification of metering equipments and schedules/annexure thereof shall deemed to be forming part of and included, in the General Terms and Conditions of the Contract.

2. Project Duration:

The Bidder shall provide complete AMR solution for the entire metering points for all the categories as

mentioned in Table-A within a period of Six Months from the date of issue of the work order by

CESU. The total leasing period shall be 5years from the date of acceptance of receipt of first

deliverables relating to AMR solution for each circle. The detail project schedule should be

provided by the bidder as per Schedule-II.

3. Final Acceptance of the AMR project :

Upon successful completion of all the tests to be performed at site on Hardware equipments and

software components supplied and erected by the bidder, the project-in charge shall issue to the

bidder a taking over certificate as a proof of the final acceptance of the equipment / components.

Such certificate shall, however, not relieve the bidder of any of his obligations which otherwise survive

by the terms & conditions of the contract after issuance of such certificate.

For the satisfaction of CESU about quality, the CESU shall have unreserved right for arrangement of

testing of equipments/ components and the complete AMR Solution system independently by self or

any other agency chosen by the CESU. The bidder is expected to agree and extend necessary help

during such test if necessary.

4. Project In-Charge

G.M. (AT & C) CESU Head Office Bhubaneswar will be the project –In- Charge for the entire AMR

Solution project. He will act as the nodal Officer for implementation of the contract and for issuing

necessary instructions, approvals, commissioning, acceptance certificates, payments etc. to the

Bidder.

5. Inspection and Testing:

The Project-in-charge shall be entitled at all reasonable times during manufacture / installation to

inspect examine and test the materials at the bidder’s premises / erection site about workmanship

of the materials to be supplied under this contract. If the said materials are being manufactured in

other premises, the bidder shall provide unhindered clearance, giving full rights to the CESU to

inspect, examine and test as if the materials were being manufactured in his premises. Such

inspection / examination and testing shall not relieve the bidder of his obligations to execute the

contract by letter and spirit. The bidder shall give the CESU advance notice in writing of the Date

and the Place at which the materials will be ready for testing. The inspecting officer for the entire

work shall be the Project in-Charge or his authorized representative(s) for the project.

The Bidder shall conduct adequate tests to ensure correct functioning of the AMR Solution. The

successful conclusion of these tests shall be certified comprehensively. The intent of the entire

tests is to ensure that the different system components operate coherently as one entity from the

central station all the way down to the installed meters in the site.

6. Execution of Contract agreement

Bidder shall have to execute the contract agreement with the CESU within 15 days of the receipt

of the work order on a non-judicial stamp paper of Rs. 100/- as per the prescribed format

provided by CESU. Failure to execute the contract is liable to result the rejection of the work order

and the EMD shall be forfeited.

7. Payment Terms:

The payment for the leasing amount of the proposed AMR solution for the whole leasing period of 5

years shall be made as under;

A.) Monthly Lease Rent: Monthly lease rent for Supply, Installation, Operationalization and Maintenance of the AMR solution

per metering point shall be released within thirty days against Circle-wise 100% completion of the

total AMR Solutions after submission of the following documents;

i) Completion report, testing , taking over and issue of final acceptance for the total no. of AMR

solutions under the Circle duly certified by the Engineers In charge of the Divisions, Executive

Engineer ( MRT ) & approved by the Project In charge.

ii) Submission and acceptance of deliverables as per the prescribed format of CESU.

iii) Submission of monthly Invoice in triplicate duly certified by the Project-In-Charge, execution of

contract agreement and Submission & Acceptance of Performance Security@10% of the total

contract value.

However, in an exigency cases the AMR solution under LT category could not be completed 100%,

Project In Charge at its discretion may relax the circle–wise completion within a tolerance limit of 10%

and payment may be released for the completed AMR solution of 90%.

B.) For any addition in number of metering points to the AMR Project:

During the project period if any addition in number of metering points to the AMR solution under each

category shall be paid from the subsequent Invoice as per the quoted unit rate per month duly

certified by the Executive Engineer ( MRT ) & approved by the Project In charge.

C.) For payment of the completed AMR solution (Subsequent Months) : On circle wise 100%

completion of the AMR Project, Lease payment for the subsequent months shall be released after complying the following.

1. Submission and acceptance of deliverables as per the prescribed format of CESU duly

approved by the Project-in-Charge. 2. Submission of monthly Invoice in triplicate duly certified by the Project-In-Charge.

However, in an exigency cases the AMR solution under LT category could not be completed 100%,

Project In Charge at its discretion may relax the circle–wise completion within a tolerance limit of 10%

and payment may be released for the completed AMR solution of 90%.

D.)Handing Over of the AMR Solutions:

CESU at its discretion may take over the project after completion of the total project period of 5years

unconditionally at the price quoted by the AMR solution provider in its price bid.

E.) AMC Cost:

CESU at its discretion may take AMC for a period of two years in case CESU decides to takeover the

project after completion of five years. Payment for the AMC period of two years shall be paid quarterly

within 15 days after execution of the Annual Maintenance Agreement as per CESU’s formats,

Submission of quarterly Invoice and due certification of satisfactory performance.

F.) Deductions:

Deduction shall be made as per the Income Tax Act and Penalty, if any, as per the penalty clause-41

shall be recovered while releasing the above payment.

8. Penalty:

Any failure on the part of AMR solution provider, penalty shall be levied as per the terms

stipulated in schedule –V of the tender specification.

9. Paying Officer:

D.D.O.CESU Head Office Bhubaneswar will be the paying officer for the entire AMR Solution

project.

10. Performance Security Deposit:

Within thirty (30) days of the receipt of work order from the CESU, the successful Bidder shall

furnish the Performance Security Deposit and the Contract agreement be executed in

accordance with the GTCC. The performance security deposit can be given in form of bank

guarantee in the prescribed format given in Section VII, Annexure-III. The value of Performance

Security would be 10% of the total contract value. However the bidder at it’s discretion can

provide the performance security deposit in shape of Bank draft/ Demand Draft/ Banker’s

Cheque drawn in favour of the Central Electricity Supply Utility of Orissa, payable at

Bhubaneswar only. The Performance Security deposit would be valid for 180 days over and

above the leasing period (i.e. total five years from the date of acceptance of AMR for all circles)

or any such extended period as decided by CESU.

Performance security would be refunded to the bidder after completion of the leasing period

without interest.

11. Guarantee/ Warranty and Support:

Bidders should provide guarantee services for all equipments, licenses & services for a period of

5 years from the date of starting of leasing period unless otherwise specified and also should

provide AMC for at least 2 years from the succeeding date of end of leasing period. All Hardware

equipments or its components in guarantee/Warranty period shall be changed in case of any

failure and software components shall be revised / replaced to obtain high performance system to

eliminate the issues observed under the scope of work.

12. Liquidated Damages for delay in project:

If the Bidder fails to deliver the AMR solution within the time period specified in the contract, the

CESU shall, without prejudice to its other remedies under the contract, deduct from the contract

price, as liquidated damages, a sum equivalent to 0.5% (half percent) of the price of the delayed

in delivering the AMR Solution for each and every week or in part thereof subject to a maximum

deduction of 5% (Five percent) of the total contract price. In case the Bidder fails to execute the

order either in full or in part with in the stipulated period, CESU reserves the right to forfeit the

Earnest Money / Security Deposit / Bank Guarantee deposited by the Bidder.

13. Waiver:

• Failure or delay on the part of the Supplier or CESU to exercise right or power hereunder

shall not operate as a waiver thereof.

• Any waiver of any provision of this Contract is ineffective unless it is in writing and signed

by the Party waiving its rights.

• A waiver by either Party in respect of a breach of a provision of this Contract by the other

Party is not a waiver in respect of any other breach of that or any other provision.

• The failure of either Party to enforce at any time any of the provisions of this Contract

shall not be interpreted as a waiver of such provision.

14. Technical Support:

The list of the proposed staff team by speciality, the tasks that would be assigned to each staff

team member and their timing should be submitted. The staffs for each team shall include but not

limited to the following details.

� Project manager- (One for the complete project) Engineering graduate with minimum

10 years of related experience; to manage the overall project in CESU.

� Technical Architect (5 Nos.) – with minimum 5 years of related experience, to

manage the operations of the company in five circles each for the entire duration of

the project.

However the allocation of the same is left to the discretion of the bidder.

The bidder shall ensure that deputed personnel are trained and experienced for execution of the

contract and operation and maintenance period so that all the activities are carried out in a highly

professional and sound managerial manner and any additional resources as needed to complete

the deliverables in time.

The Company has to provide the resumes with relevant educational & experience certificates of

the technical staff appointed for the project.

15. Limitation of Liability:

The total, cumulative liability of bidder under the contract and all work orders, whether in contract,

tort or otherwise, shall be limited to the total fees of the contract.

16. Use of Contract Document and Information:

The Bidder shall not, without the CESU’s prior written consent, disclose the contract, or any

provision thereof, or any specification, plan, drawing, pattern, sample or information furnished by

or on behalf of the CESU in connection therewith, to any person other than a person employed by

the Bidder in the Performance of the Contract.

17. Assignment:

The AMR solution provider shall not assign, in whole or in part its obligations to perform under

this contract, without prior written consent of CESU.

18. Functional Test:

The purpose of this test is to verify the correct functional operation of all hardware and software

which will be supplied. The system functional test shall include, but not limited to the following:

1. Verification of operational and maintenance functions.

2. Demonstration of failover and restart of processing services/modules.

19. Performance Test

Verification of system performance shall be demonstrated. At least the following performance

tests shall be performed:

Database stress test:

The entire database tables of both local and main centres shall be filled up with the maximum

expected number of records. It is essential that, performance of the whole system functionalities

like reporting, estimation, validation and other processing modules shall remain acceptable during

this test.

Stress test of the whole system:

Load profile data of a day for the whole metering points of the system (4266 meters all around

CESU) shall be collected and transmitted to main central control station then processed and the

entire requested reports are generated. The whole process should be done in less than 30

minutes.

20. Maintenance Plan:

The bidder shall provide a comprehensive maintenance plan for operating and maintaining the

AMR Solution. The following items shall be covered in this plan:

• Maintenance team

� Location based

� Skill based

• Troubleshooting processes and procedures

• Preventive maintenance processes and procedures

21. Store:

Storing of materials from supply to erection shall be arranged by the bidder at his own cost. No

compensation shall be made by the CESU for any damage or loss of materials during storing,

transit transportation and at the time of erection.

22. Return of dismantled materials:

During the implementation and execution of the AMR solution if any materials dismantled or

replaced shall be returned to the central store located at Bhubaneswar/Choudwar by the bidder

through CESU’s official procedure.

23. Termination for Default:

CESU may without prejudice to any other remedy for breach of contract, by written notice of two

months for any of the following default sent to the Bidder, terminate the contract.

� On failure of timely execution of the AMR solution.

� Incorrect or unauthorised tampering of data.

� In case of any revenue loss caused by the bidder.

� Failure of delivery of any meter data on daily/monthly/quarterly/yearly as prescribed by

CESU Authorities from time to time.

� If the Bidder fails to perform any other obligation(s) under the contract.

24. Force Majeure:

The Bidder shall not be liable for forfeiture of its performance security, liquidated damages or

termination for default, if the delay in performance or other failure to perform its obligations under

the contract is the result of an event of Force Majeure. For purposes of the clause, “Force

Majeure” means an event beyond the control of the Bidder and not involving the Bidder’s fault or

negligence and not foreseeable. Such events will include wars, revolutions, fire, floods,

epidemics, quarantine and freight embargoes.

25. Termination for insolvency:

The CESU may at any time terminate the contract by giving written notice to the bidder, without

compensation to the bidder, if the bidder becomes bankrupt or otherwise insolvent, provided that

such termination will not prejudice or affect any right to action or remedy which has accrued or

will accrue thereafter to the CESU.

26. Arbitration:

In the event of any dispute or differences arising between the bidder and the CESU in connection

with this contract, the same shall be referred to the sole arbitration of the Chairperson, CESU or

his nominee whose decision shall be final and binding on both the parties to this contract. The

arbitration proceedings shall take place at Bhubaneswar. The contract shall be interpreted in

accordance with the Indian laws.

27. Risk & Costs:

If the bidder backtracks to carry out any/all services under scope of work then CESU has the right

to award the same work on his risk & cost to one of the bidders participating in the bids or from

open market. It will also result in cancellation of award, forfeiture of EMD and encashment of

Performance Bank Guarantee without assigning any reason to the firm.

29. Confidentiality:

Any information pertaining to the CESU involved in the project. Matter concerning CESU that

comes to the knowledge of the vendor in connection with this contract will be deemed to be

confidential and the bidder will be fully responsible for the same being kept confidential and held

in trust, as also for all consequences of its concerned personnel failing to do so. The vender shall

ensure due secrecy of information and data not intended for public distribution. The affidavit to

that effect should be submitted along with security deposit.

30. Extension of Time:

If the project work is delayed due to reasons beyond the control of the bidder, the bidder shall

immediately inform the owner in writing of his claim for an extension of time. The owner on receipt

of such notice may agree to extend the project completion period as may be reasonable but

without prejudice to other terms & conditions of the contract.

31. Statutory Obligations:

The bidder shall take appropriate steps to maintain at their own cost, insurance coverage against

the risks of their personnel and properties relating to this assignment along with ,ESI ,EPF

Obligations.

32. Annual Maintenance Contract (AMC):-

The AMC for AMR Solution is to be carried out for a period of 2 years. The scope of work shall

also covers the Annual Maintenance Contract (AMC) of the AMR solution installed by the bidder

after expiry of leasing period of five years. The AMC shall include Warranty support /

replacements of any faulty equipment associated with the AMR Solution as necessary to meet

with functional / performance requirements after leasing period.

During the AMC period of 2 years, if any new metering points are inducted in the network, the

required metering equipments shall be provided by CESU except the modem and AMR solution

only. The modem and AMR solution shall be provided by the bidder.

33. Performance Requirements:

Minimum performance requirements should be done as specified under Section –III, Clause No.

2.16. Whenever a metering unit or meter gets defective or is replaced due to any reason thereof

it is the responsibility of the AMR solution provider to facilitate such changes at the consumer

premises.

The bidder shall be required to deploy at least a supervisor and two technical personnel with a

vehicle, tools and plant at each of the 5 circle H/Qs for maintenance / replacement of defective

metering equipments. The bidder is also required to keep a provision of 5 % of the no of items

deployed as capital spares and maintain prescribed inventory level as a percentage of installed

equipments in the circle. Circle-wise level of inventory to be maintained shall be notified to the

bidder subsequent to the placement of order. The site store of the bidder shall be verified at the

end of every month by the concerned EE (MRT) certifying the level of minimum inventory, as

specified. The bidder is required to replace the defective meter/Modem or any other equipment

etc. within 48 hours of its failure and submit a monthly breakdown report to the concerned EE

(MRT).

During the leasing period of 5 years, if any new metering points are inducted in the network, the

same shall be governed for implementation of AMR solution by the bidder within 5 working days

at the same rates, terms and conditions for that year of the respective category of metering points

as mentioned in Table-A.

The bidder shall sign the service level agreement (SLA) as given in Schedule-V. The same SLA

is applicable for leasing period and as well as AMC period.

(i) IT uptime with connectivity 99.99%.

(ii) Electrical down time 48 hours for replacement of defective metering equipments, modems

etc. under the scope of AMR solution.

(iii) Induction of new metering points shall be carried out by the bidder within 5 working days

from the time of intimation by CESU.

(iv) Penalty as specified in the penalty clause.

34. Patents:

Any dispute arising in respect of copyright act for the software supplied by the Bidder and used by

CESU shall be the responsibility of the Bidder and the CESU in no way shall be held responsible

in any forum or court of law in this regard.

35. Bidder's responsibility:

Notwithstanding anything mentioned in the specification or subsequent approval or acceptance of

the CESU, the ultimate responsibility for successful implementation of AMR Solution shall rest

with the Bidder.

36. CESU’s discretion:

The Owner (CESU) shall, if ordered in writing temporarily suspends the works or any part thereof

for such a period and such a time as ordered. The bidder shall not be entitled to claim

compensation for any loss or damage sustained by him by reason of temporary suspension of the

Works as aforesaid. An extension of time for completion, corresponding with the delay caused by

any such suspension of the works as aforesaid shall be granted to the Bidder, if request for same

is made and that the suspension was not consequent to any default or failure on the part of the

Bidder.

37. Governing Law:

This Contract including the Contract Documents shall be governed by and construed in

accordance with the laws of India and the Bhubaneswar Courts shall have jurisdiction in this

regard.

TECHNICAL SPECIFICATION FOR DOUBLE DOOR TAMPER PROOF BOX TO HOUSE

THE METERS OF DIFFERENT MAKE AND MODEMS

TECHNICAL DETAILS:

The box shall be weather proof made out of SMC and flame retardant properties. It shall be

capable of withstanding temperatures of boiling water for 5 minutes continuously without

distortion or softening. The thickness of the box shall not be less than 3 mm on the load bearing

side (i.e. back side of the box) and other sides, door and roof shall not be less than 2.5 mm. The

box shall have its roof tapering down to both sides for easy flow of water.

The Boxes shall generally comply with the provisions of IS 5133. The boxes shall be suitable for

outdoor/indoor application. The outdoor box shall have its roof designed for easy flow of rain

water without any stagnation on the box. The box shall be with good workmanship.

The over all dimension of the box shall be such that, there should be adequate clearance on front side and all other sides between meter, modem and box surface, to provide flexibility to the installation and operation of the meter and the modem with all its accessories offered.

To facilitate for reading the parameters by manual push button on the meter, a slit with an

external push button arrangement shall be provided at the front of the box with sealing provision.

Soft rubber gaskets shall be provided all around wherever required for protection against entry of

dust and water. It shall comply with IP-55.

The contents of the box are as follows

Viewing window shall be transparent and made of non-scratchable break resistant UV stabilized, transparent poly carbonate material with 2.0 mm thickness. The window shall be ultra sonically welded/rigidly fixed by other means with meter box from inside. The viewing window shall be covered with (hinged at top) a flap.

There should not be any ingress of moisture through this window into the box.. Internal hinges : A minimum of 2 nos. internal hinges well protected against corrosion shall be provided. The hinges of the door should be concealed and they shall be fixed to the flanges provided to the base and cover of the box in such a manner that the door opens by a minimum of 120 degrees & it shall not be possible to access the hinges from out side.

Handle : Suitable handle or knob shall be provided for opening of the box door.

Earthing Bolt : 6mm diameter bolt with 2 nos. washers for earthing all metal parts used for fixing the meter shall be provided.

Fixing arrangement : The meter and modem base supports inside the box are raised by about 10 mm in the box for ease of wiring. While fixing the meter and modem screws should not protrude outside. For fixing the box to wall or wooden board 4 nos. key holes of minimum 6 mm dia shall be provided at the four corners of the meter box. The meter and modem with all its accessories is to be installed in the box and the box in the assembled condition shall have provision to fix it to a pole or on wall.

Latch : The door shall be provided with a MS Zinc Plated GI latch or a ‘U’ clamp to secure it with the base of the box.

Sealing arrangement : The box shall have provision for minimum 2 nos. seals to make it fully

tamper evident . Inlet Outlet: Suitable circular holes shall be provided at the bottom of the box for inlet and outlet with self closing fire resistance high glade engineering plastic glands securely fixed to the box on both sides by check nuts. The incoming and outgoing cables shall be clamped to the inside base of the meter box to ensure fixing of the cable.

Printing : Metallic label containing the letters “CESU” and the P.O. No. and date shall be engraved on the top cover of the box. The name of the manufacturer shall be engraved on the bottom half of the box. A blank sticker shall also be fixed on the meter box for use of field staff to indicate service no. etc.

D. Port:- D.Port provision shall be made in the box with proper sealing arrangement so that data can be down loaded from the meter with out opening meter box.

The fixing arrangements shall not be complex and it shall be easily approachable for connections when the door is open and is completely tamper evident once it is sealed. The dimensional drawing giving details of meter box shall be enclosed in the bid.

(CESU) has agreed (1) to exempt the Contractor from making payment of security deposit, (2) to release

100% payment of the cost of materials as per the said agreement and (3) to exempt from performance

guarantee on furnishing by the Contractor to the (CESU) a composite Bank Guarantee of the value of

10% (ten percent) of the Contract price of the said Agreement.

TECHNICAL SPECIFICATIONS FOR INTELLIGENT GPRS MODEM

1. SCOPE:-

This specification covers the design, engineering, manufacture, assembly, inspection, testing at manufacturers Works before dispatch and supply of intelligent GPRS Enabled GSM modem and suitable accessories for automatic and remote data transfer from Electronic energy meters:

The salient points of the specification are as under:-

2. TECHNICAL SPECIFICATION OF GSM MODEM:-

The of fered modem shall be suitable for communication with electronic energy meters, installed at various consumer premises (HT/LT consumers) & feeders. The system shall be used for remote meter reading of the consumer & feeder meters via GSM/GPRS infrastructure with suitable AMR software. The communication and reading shall be enabled with suitable AMR software. The modem shall offer in-built intelligence and high speed data transfer rate or a kind of store–forward facility by which data from the meter is read at regular intervals and stored in modem’s internal memory and forwarded to remote central station (as configured) for viewing billing and reporting via AMR Software.

The intelligent modem should be capable of a two way transparent serial device server which should automatically connect to GPRS network without requiring AT commands. The internal hardware watchdog protected input power circuit should be available. It should connect to any RS232 or optical port cable. Store and forward principle should be possible.

The modem at consumer meter end should have suitable interface facility to connect with the meter by using the RS 232 cable. The modem shall also be retrofitted on optical port/RS232 port of the meter.

Other Various features of GSM/GPRS modem (to be installed with electronic energy

2.1 Power Supply Section:-

2.1.1 Input specifications:-

a. The offered modems should capable of operating on three phase supply drawn from the

meter input itself. Auxiliary power supply will not be acceptable.

b. The modem shall have three phase AC input supply and should be capable of proper

functioning within the power supply range of 50 AC P-P to 440V AC P-P, 50 Hz so that the

modem can be used for both HT and LT Trivector meters.

c. However the modem should also be capable of operating on single phase 230 V,50 Hz power supply. The modem shall be suitably protected against surges.

d. Average Power consumption of the modem shall not be more than 3 VA under idle

condition and 6 VA during data transfer.

Note: Power consumption may vary from site to site depending on signal strength at that particular

location. Above values are typical values.

2.1.2 Withstand capacity against surges should be according to Indian conditions i.e. 6.0

kV.

2.1.3 Input terminals: The power supply input shall be a suitable two core integrated cable

coming out from modem box.

2.3.2 The SIM Card supported shall be of 3V Interface.

2.3.3 Interlocking facility shall be provided under the device cover.

2.3.4 SIM card shall be placed inside the sealable modem. The offered modem shall

2.4 Communication Interface & Capabilities:-

2.4.1 A RS232 Serial Link supporting up to 115,200 bauds with an auto-bauding option

shall be provided. However the data transfer rate for remote meter reading shall depend on meter compatibility.

2.4.2 The RS232 output shall be provided on a 9-pin female connector which can be

connected to electronic energy meter’s optical / serial communication port through suitable communication cable.

2.4.3 The modem shall be suitably pre-configured for remote meter reading application.

2.4.4 Modem should be Dual band modem capable of operating at 900 and 1800 MHz GSM

2.4.5 Modem should support both Data and SMS transmission. It should have both GSM and

GPRS features.

2.5 RF section:-

A SMA interface shall be provided on the GSM modem to which either a fixed or a wired (with magnetic base) Dual Band built-in Antenna of minimum 3dbi gain can be connected. Provision shall also be made to connect 14dbi high gain external yagi antenna to improve poor signal strength.

2.6 Network Identification Section:-

For determining the health of the device an LED shall be provided on the modem which will depict the current functioning status (power up/ registered in network/transmitting data).

5. Environmental specifications:-

The modem shall meet the following environmental specifications: Temperature: -10 degrees to +55 degree

6. Functional specifications:-

The modem should be an intelligent device and capable of providing the following functionalities on GSM/ GPRS network with suitable AMR Software:

6.1 The modem should be capable for long duration data transfer to central station as per configuration via suitable AMR software.

6.2 When the modem is busy in collecting the data from the meter and the request comes to get the data, then priority shall be given to request from central station software.

6.3 Power Outage Notification: In the event of an outage, the modem should be able to initiate separate call or send SMS to predefined number to notify the outage event with date and time of occurrence and restoration.

6.4 The Modem should act in completely transparent channel i.e. the Commands received from central station Data acquisition server should be conveyed to meter and data from meter should be conveyed to central station data acquisition server without any changes in modem.

6.5 Data collection from meter should take place only after connection is established between Data acquisition server and Meter. Data should not reside in the modem before the time of transmission to central control Station server, to avoid changes of tampering of date at Modem end.

6.6 The Modem should be capable of operating with SIMs of local GSM/GPRS/ Service provider in the area.

6.7 Modem should be capable for continuous working for 24 hours every day under field conditions, even when enclosed in Metering Cubicles at Consumer sites.

6.8 Software shall have facility for Auto-Scheduler to enable automatic/Unattended data collection during night hours.

6.9 Inbound dialing:

(a) The modem should have inbound dialing facility i.e. modem shall

automatically dial to a particular GSM/GPRS number (number of modem placed at central station end along with central s tat ion server) at specified time (once in a day/week/month) for the purpose of meter reading through GPRS only. This configuration of the modem shall be made available to the user via offered AMR Software.

(b) If modem could not establish connection to the modem placed at central station

at specified time, then it shall retry the same as configured.

6.10 Outbound Dialing:-

(a) In case the data is required by dialing from the Central station end (Server end),

then connection shall be established by the server to the device & transparent communication mode shall be established.

(b) User shall have option to get the data directly from the meter or the data

already available in the memory of intelligent modem.

(c) Provision to generate reports of successful automatic meter reading (AMR)

calls and unsuccessful AMR calls separately shall be provided.

(d) Provision for flexible scheduling of meter reading by AMR software automatically on

a pre-defined daily, weekly or monthly basis.

(e) Provision shall be made to read the groups of energy meters in one go from the

AMR software and the searchable by Meter number, Consumer Number or Zone/Regions/Circle/Division/Sub Dn.

6.11 Event based dialing:-

(a) Other than regular dialing, the modem shall have feature of event based

dialing in case of logging of tamper by the meter, without waiting for the interrogation from central station (central station server) and meter data shall be sent to the central station

(b) Further, the modem shall sent an SMS to predefined mobile number and the SMS

shall contain meter serial no. The mobile number shall be configurable via AMR software.

(c) Event based dialing and SMS shall be applicable for the event types

(tamper/anomaly) as supported/recorded by the meter

(d) When the modem is busy in collecting the data from the meter and the call comes

to get the data, then priority shall be given to outbound call rather than data collection from meter.

(e) The feature of event based dialing shall be user configurable. Provision of

enabling and disabling of the feature shall be provided.

6.12 Baud Rate (Communication Speed) :-

(a) The modem shall have capability to send/receive data in asynchronous mode, transparent and non transparent upto 9600 bits/sec.

(b) The modem shall have non transparent data transmission at

1200/2400/4800/9600bps. The data shall be selectable.

(c) The modem should be capable to transfer the entire data of Trivector meter in less than 5 minutes after connection is made assuming there is no line disturbance.

9. GUARANTEE

The supplier shall warrant that the modem will be new, unused and in accordance with the technical specification and free from defects in material and workmanship. The modem shall be guaranteed for satisfactory performance for a period of 5 years from the date of installation or 5 ½ years from the date of supply, whichever is earlier.

10. In case the AMR automatic data communication does not function properly with the Remote

meters, this shall affect online data downloading. In such case, Bidder shall provide the data on

weekly basis for such meters by manually downloading the data using MRI device (details noted

below) and load the data in the system. At any point in time, manual data downloading through

MRI should not exceed for more than 10% of the meters.

HAND HELD COMMON METER READING INSTRUMENT UNIT (HHU): The hand held Common Meter Reading Instrument(CMRI) should be suitable to retrieve data

stored on the meters of different make for dumping it on to a Base computer and getting a

print out subsequently.

The CMRI shall have the following feature:

i) WINDOWS XP or higher & LINUX or higher operating system.

ii) Necessary software for loading application programs via a serial/USB port for uploading and

down loading between CMRI and Base computer station.

(iii) Special requirements:- A third party software may also be loaded for special

applications such as manual meter reading, data entry, printing, display of

balance memory etc.

BASE COMPUTER APPLICATION SOFTWARE For efficient and speedy recovery of data read through CMRI/HHU, Base computer software shall

WHEREAS the Owner invited bids as per the above mentioned Specification for the design manufacture,

supply and erection, testing and commissioning of Equipment Materials stipulated in the bidding

documents under subject Package for

AND WHEREAS Annexure -A (Qualification Requirement of the Bidder), Section-SCC,

Vol.-IA, forming part of the bidding documents, stipulates that a Joint Venture of two or more qualified firms as partners, meeting the requirement of Annexure-A, Section SCC as applicable may bid, provided the Joint Venture fulfils all other requirements of Annexure-A, Section SCC and in such a case, the BID shall be signed by all the partners so as to legally bind all the Partners of the Joint Venture, who will be jointly and severally liable to perform the Contract and all obligations hereunder.

The above clause further states that the Joint Venture agreement shall be attached to the bid and the

contract performance guarantee will be as per the format enclosed with the bidding document without any

restriction or liability for either party.

AND WHEREAS the bid has been submitted to the Owner vide proposal No dated by Lead Partner based

on the Joint Venture agreement between all the Partners under these presents and the bid in accordance

with the requirements of Annexure-A (Qualification Requirements of the Bidders), Section -SCC has been

signed by all the partners.

NOW THIS INDENTURE WITNESSETH AS UNDER:

In consideration of the above premises and agreements all the Partners to this Joint Venture do hereby

now agree as follows:

1. In consideration of the award of the Contract by the Owner to the Joint Venture partners, we, the Partners to the Joint Venture agreement do hereby agree that M/s …………….…………….……………. shall act as Lead Partner and further declare and confirm that we shall jointly and severally be bound unto the Owner for the successful performance of the Contract and shall be fully responsible for the design, manufacture, supply, and successful performance of the equipment in accordance with the Contract.

2. In case of any breach of the said Contract by the Lead Partner or other Partner(s) of the Joint Venture agreement, the Partner(s) do hereby agree to be fully responsible for the successful performance of the Contract .and to carry out all the obligations and responsibilities under the Contract in accordance with the requirements of the Contract.

3. Further, if the Owner suffers any loss or damage on account of any breach in the Contract or any shortfall in the performance of the equipment in meeting the performance guaranteed as per the specification in terms of the Contract, the Partner(s) of these presents undertake to promptly make good such loss or damages caused to the Owner, on its demand without any demur. It. shall not be necessary or obligatory for the Owner to proceed against Lead Partner to these presents before proceeding against or dealing with the other Partner(s).

4. The financial liability of the Partners of this Joint Venture agreement to the Owner, with respect to any of the claims arising out of the performance of non- performance of the obligations set forth in the said Joint Venture agreement, read in conjunction with the relevant conditions of the Contract shall, however, not be limited in any way so as to restrict or limit the liabilities of any of the Partners of the Joint Venture agreement.

5. It is expressly understood and agreed between the Partners to this Joint Venture agreement that the responsibilities and obligations of each of the Partners shall be as delineated in Appendix-I (*To be incorporated suitably by the Partners) to this agreement. It is further agreed by the Partners that the above sharing of responsibilities and obligations shall not in any way be a limitation of joint and several responsibilities of the Partners under this Contract.

6. This Joint Venture agreement shall be construed and interpreted in accordance with the laws of India and the courts of Delhi shall have the exclusive jurisdiction in all matters arising thereunder.

7. In case of an award of a Contract, We the Partners to the Joint Venture agreement do hereby agree that we shall be jointly and severally responsible for furnishing a contract performance security from a bank in favour of the Owner in the forms acceptable to CESU for value of 10% of the Contract Price in the currency/currencies of the Contract.

8. It is further agreed that the Joint Venture agreement shall be irrevocable and shall form an integral part of the Contract, and shall continue to be enforceable till the Owner discharges the same. It shall be effective from the date first mentioned above for all purposes and intents.

REMARKS:

(i) Please note that the price shall be inclusive of all charges/taxes/duties.

(ii) In case of any of the equipment, import of any accessories is involved, no import assistance shall be provided by CESU, neither

(iii) The price quoted shall be FIRM only.
