    NOTICE INVITING TENDER

    TENDER No.G48/AMC LIFT/BSNL BVN TVLA/2020-21/17 Dtd Thiruvalla the 9th November 2020

    Limited Tenders on 2 bid system are invited for and on behalf of the Chairman and Managing Director,

    BHARAT SANCHAR NIGAM LIMITED by the General Manager Telecom, BSNL, Pathanamthitta

    for the work - “Providing comprehensive maintenance of 1No.x8 Passenger Lift at BSNL Bhavan,

    Thiruvalla for a period of one year. (2020-21)” from eligible contractors/firms (to be evaluated as per

    the eligibility criteria specified here under)

    1. Average annual turnover during the last 3 years, ending 31st March of the previous

    financial year, should be at least 30% of the estimated cost put to tender.

    AND

    2. The manufactures/ authorized service dealer/OEM of any of the makes of major equipments included

    in the NIT. The letter of authorization from manufacturer in original/ photocopy attested by BSNL

    Executive shall be submitted

    OR

    3. Experience of having successfully completed similar works in BSNL, State/Central PWDs,

    State/Central Public sector undertakings during last 7 years ending last day of month previous to

    the one in which applications are invited., should be either of the following :

    a) Three similar successfully completed works costing not less than the amount equal to 40% of the

    estimated cost put to tender.

    OR

    b) Two similar successfully completed works costing not less than the amount equal to 60% of the

    estimated cost put to tender.

    9.1 The bidders downloading the tender document are required to submit the prescribed tender fee

    amount through DD/Banker’s Cheque along with their tender bid failing which the tender bid shall be

    left archived unopened /rejected. The DD/ Banker’s Cheque shall be drawn from any

    Nationalised/Scheduled Bank in favour of AO(Cash), O/o GMT, BSNL, Thiruvalla and payable at

    Thiruvalla..

    9.2 The tender documents shall be issued free of cost to MSE/NSIC bidders on production requisite

    proof in respect of valid certification from MSME/NSIC for the tendered item.

    9.3 A declaration to the effect that “No addition/deletion/modification has been made in the

    downloaded tender document” is also to be attached with the tender document.

    9.4 In case of any correction/addition/alteration/omission in the tender document, the tender bid shall

    be treated as non responsive and shall be rejected summarily.

    9.5 The bids of bidders who failed to meet the contractual obligation in earlier tender of BSNL Kerala

    Circle will not be considered.

    10. Availability of Tender document:

    Tender document shall be available for downloading as mentioned in NIT Table.

    11. Tender documents shall not be available for download on its submission/closing date.

    12. Date and time of submission of Tender bids :

    As mentioned in NIT Table.

    Note: In case the date of submission/opening of bid is declared to be holiday, date of

    submission/opening of bid will get shifted automatically to next working day at the same scheduled

    time. Any change in bid submission/opening date due to any other unavoidable reasons will be notified

    through BSNL website and/or e-Tender portal and/or newspapers

    Authorized representative of bidders (i.e Vendor Organization) can attend the Tender Opening Event

    (TOE) at the chamber of Assistant General Manager (Planning), O/o GMT, BSNL, Thiruvalla.

    15 Bid Security/EMD:

    The bidder shall furnish the requisite Bid EMD in the form of Demand Draft/Banker’s Cheque drawn

    in favor of Accounts Officer (Cash), O/o GMT, BSNL, Thiruvalla payable at Thiruvalla.

    15.1 The MSE units shall be exempted from submission from Bid security deposit on production of

    requisite proof in respect of valid certification from MSME/NSIC for the tendered item.

    16. Tender bid received after due time and date will not be accepted. Incomplete, ambiguous,

    conditional, unsealed tender bids are liable to be rejected.

    17. GMT, BSNL, Pathanamthitta reserves the right to accept or reject any or all tender bids without

    assigning any reason. He is not bound to accept the lowest tender.

  • 6 Signature of bidder

    18. All documents submitted in the bid offer should be preferably in English. In case the certificate viz.

    experience, registration etc. is issued in any other language other than English, the bidder shall attach

    an English translation of the same duly attested by the bidder & the translator to be true copy in

    addition to the relevant certificate. All computer generated documents should be duly signed by the

    bidder.

    19. All statutory Taxes as applicable shall be deducted at source before payment.

    20. Amendments, if any, to the tender document will be notified in the above website as and when such

    amendments are made. It is the sole responsibility of the bidders who have downloaded the tender

    document from the website to keep themselves abreast of such amendments before submitting the

    tender document.

    21. CONCESSION to MSE Units

    MSE bidders (Micro, Small Enterprises) which are registered with the National Small Scale Industries

    Corporation or any other body specified by Ministry of Micro, Small & Medium Enterprises have been

    allowed the following concessions.

    1. Supply of tender document: The Tender document shall be downloaded by the MSE bidders free of

    cost provided the tendered item is listed in the Registration Certificate of MSME.

    2. Exemption from payment of Earnest Money Deposit: The MSE Units registered with bodies as

    detailed above shall be exempted from payment of Earnest Money Deposit provided the tendered item

    is listed in the Registration Certificate of MSME.

    A proof regarding current registration with bodies as detailed above for the tendered items will have to

    be attached along with the bid.

    Declaration of UAM (Udyog Adhar Memorandum) number is mandatory. The bidder who fails to

    submit UAM number shall not be able to avail the benefits available to MSEs as contained in Public

    Procurement policy for MSEs order, 2012 issued by MSME.

    The enlistment certificate issued by bodies as detailed above should be current & valid on the date of

    opening of bid.

    However all successful bidders including MSEs who are registered with the designated MSME

    should furnish performance security for an amount equal to 5 % of the estimated cost.

    SECTION -2

    Tender information

    Type of tender:

    1. The bid should be submitted using Two Envelope methodology. The Technical part shall consists

    the eligibility requirements, Technical specification and compliance to all terms and condition of the

    bid document including clarifications, addendums

    The second envelope- Financial part shall contain rate/price schedule.

    2. Submission of all envelopes should be properly sealed (with sealing wax/packing PVC tape). The

    tenders which are not submitted in the above mentioned manner shall be summarily rejected.

    3.The main envelope must bear the following:

    “ LIMITED TENDER for Providing comprehensive maintenance of 1No.x8 Passenger Lift at

    BSNL Bhavan, Thiruvalla for a period of one year. (2020-21)”

    SECTION -3

    Specifications, Terms and Conditions

    1. Scope Of Work

    a)The successful tenderer will have to execute the work “Providing comprehensive maintenance of

    1No.x8 Passenger Lift at BSNL Bhavan, Thiruvalla for a period of one year.

    b) In case of partnership firm attested copy of the partnership deed along with certificate from

    authorized signatory.

    c) Documentary evidence to prove eligibility and experience in accordance with eligibility conditions

    of this NIT.

    d) Tenderer’s profile, Attested Copy of PAN card, Service Tax Registration certificate, VAT

    registration certificate. Originals should be produced before entering in to the agreement.

    2. The General Manager Telecom. District, Pathanamthitta reserves the full rights.

    a) To accept or reject any or all the tenders without assigning any reasons thereof .He is not bound to

    accept the lowest.

    b) To extend the contract for another period up to one year without any change in rates or other terms

    and conditions stipulated in the agreement.

    c) To make negotiation with the tenderer in case the rate quoted are found on higher side and also to

    assess the credibility of the tenderer.

    d) To disqualify such bidders who had a record of not meeting the contractual obligations against any

    other earlier contracts.

    e) To engage more than one contractor for a zone or to do any work mentioned in this tender

    departmentally or by engaging other agencies.

    3. Earnest Money Deposit

    Bidders have to deposit EMD as specified in Section 1clause 3 along with the tender. It can be

    remitted either by Cash at the counter of the Accounts Officer(Cash), BSNL,Office of the General

    Manager Telecom District., Thiruvalla or by producing Demand Draft drawn in favour of Account

    officer cash BSNL Thiruvalla on any nationalized bank and payable at Thiruvalla.The Cash receipt

    obtained from AO(Cash)/ DD should be attached along with the tender. The tenders without proper

    EMD will not be considered. The deposit made for earlier tender will not be considered.

    4. Security Deposit: The successful tenderer will have to remit an amount equal to 5% of the

    estimated contractual value. The EMD of the successful bidder will be converted in to security deposit

    and the balance of SD has to be remitted by the successful bidder. This amount can be remitted

    either by Cash at the counter of the Accounts Officer (Cash), BSNL,Office of the General Manager

    Telecom District.,Thiruvalla or producing Demand Draft drawn in favour of Account officer cash

    BSNL Thiruvalla on any nationalized bank and payable at Thiruvalla.

    The EMD and Security Deposit will not bear any interest. The EMD of the unsuccessful tenderer will

    be refunded soon after finalization of the tender i.e. after executing the agreement by the successful

    tenderer .

    5. Near Relatives Working in BSNL

    5.1 No one connected with or in the employment of BSNL/ Department of Telecom should ever be

    admitted by the contractor as partner or to any interest in the contract.(under taking should be signed as

    per ANNEXURE attached and submitted)

    5.2 No official or officer in the employment of BSNL is allowed to work as a contractor. The near

    relatives of all BSNL employees either directly recruited or on deputation are prohibited from

    participation in tenders and execution of work in different units of BSNL.

    The near relatives for the purpose are defined as :

    (a) The member of a Hindu Undivided family,

    (b) They are husband and wife,

    (c) The one is related to the other in the manner as father / mother , son(s) and son’s wife

    (daughter-in-law), Daughter(s) and daughter’s husband , (son-in-law) brother(s) and brother’s wife ,

    sisters(s) and sister’s husband (brother-in-law).

    5.3 The company or firm or any other person is not permitted to tender for works in BSNL unit in

    which his near relative(s) is (are) posted. The unit is defined as SSA / Circle/ Chief Engineer / Chief

    Architect / Corporate Office for non executive employees and all SSA in a Circle including Circle

    Office / Chief Engineer / Chief Architect / Corporate Office for executive employees.

    5.4. The tenderer should give a certificate that none of his / her such near relative is working in the

    units as defined above where he is going to apply for tender .In case of proprietorship firm , certificate

    will be given by the proprietor, for partnership firm, certificate will be given by all the partners and in

    case of limited company by all the Directors of the company.

    5.5. Any breach of these conditions will result in cancellation of Tender and EMD/SD will be

    forfeited at any stage whenever it is noticed. , BSNL will not pay any damages to the company or firm

    or concerned person. The company or the firm or the person will also be debarred from further

    participation in the concerned unit.

    5.6. After award , the contractor should intimate the name and address of persons who are working

    with him or are subsequently employed by him.

    6. Execution of Agreement: The successful bidder shall execute an AGREEMENT in the prescribed

    form in a stamp paper of the requisite value (as per Government guide lines ), at his own expense,

    within 15 days from the date of receipt of the communication accepting the tender. In the event of non-

    execution of the agreement and payment of Security Deposit,the BSNL shall forfeit the EMD furnished

    under this tender.

    7.WORK SPECIFICATIONS

    7.1 General

    a. The work shall be supervised by a qualified supervisor from the contractor's side.

    b. The layout of the work will be given by Engineer-in-charge or his duly authorized representative.

    c. Entire materials intended for use shall be got approved from the Engineer-in-charge before its actual

    use. The rejected material shall be removed immediately from the site of work.

    d. Any damages done to the building during the execution of work have to be made good by the

    contractor at his own cost and risk. If he does not do it himself within a reasonable time, determined by

    the Engineer-in- charge, then the same will be attended by the BSNL at the contractor's risk and cost.

    e. The work shall be carried out as per standard specifications and Indian Electricity rules amended from time to time.

    f. At the time of commencement of work, inspect the Lift and associated switch gears, accessories and equipment for proper installation and function. At the time of handing over the old agency

    shall handover the installation in good working condition without defects to the new agency in the

    presence of Building in charge and JTO(E)/SDE(E).If defects are noted a defect list is to be

    prepared and signed by both the old and new agencies.In the absence of any agency/agencies the

    decision of the Engineer in charge shall be final.

    g. The defects noticed shall be rectified by the old agency within 15 days from the date of handing over. In case, if the agency fails to rectify the defects, the BSNL shall rectify the defects noted in

    the defect list at the risk and cost of the old agency.

    h.The date of commencement shall be considered as the date of handing over by the old agency to the new agency.

    7.2 Scope of maintenance.

    a. The contractor shall keep the lifts including associated electrical connections and accessories clean

    and in healthy working condition.

    b. The contractor shall depute his representative within 12 hours of notification of the defect by the

    BSNL. A joint report shall be prepared by the representative of BSNL and the firm regarding nature of

    defects and remedial action required. Time schedule for such action shall also be finalized. Minor faults

    should be attended and cleared within 24 hours of reporting; major faults should be attended and

    cleared within 5 days of reporting, so as to bring the lift back to healthy working condition.

    c. Monthly Service report as per Performa enclosed shall be submitted with every bill.

    d. The contractor shall carry out maintenance tasks as per the maintenance schedule mentioned and

    maintain the Register and service report. The same shall be available for inspection.

    e. The contractor shall provide the workers necessary T&P, testing and safety equipments.

    f. The contractor has to observe all the labour rules and regulations in force and BSNL shall not be liable for any fault.

    7.3 Maintenance schedule to be followed.

    a. The lift should be serviced periodically and shall maintain the lifts for safe and proper working

    condition.

    b. Lift offered for comprehensive maintenance has to be inspected and periodical maintenance shall be

    carried out as per manufacturers/standard specifications/ maintenance schedule attached.

    c. Servicing should be carried out as per the convenience of occupants of the Building.

    d. The agency should attend all break down calls.

    e. All defective components shall be replaced with that of original make for which no extra payment

    will be made.

    f. This agreement includes servicing, maintenance, repair, replacement (if required) of all minor/major

    components like controller, motor, E.M brake, Floor selector, Door locks, gear, guide shoes, safety

    gear, ARD including batteries, Battery charger, Ropes, Governors, Trailing cable, light and fan inside

    the lift car etc and all other connected electrical/mechanical/electro mechanical components etc.

    g. If any delay occurs in rectifying the faults/replacement of defective components/ rectifying the faults,

    suitable penalty will be imposed which will be under the purview of the BSNL.

    h. It is the firm’s responsibility to ensure proper and uninterrupted working of all the lifts.

    i. Maintenance related to machine room EI & Fans and painting is not included within the scope of the

    work.

    j. All parts of the Lift and including the outgoing termination of supply from the Lift panel is under the scope of maintenance.

    k) Once the Lift has been taken over, the agency has to continue with the maintenance even if the life of the lift expires during the contract period.

    l) Payment will be made on quarterly basis.

    7.3.1 Periodic Maintenance schedule.

    7.4 Materials.

    1. All materials shall be of approved make, model and capacity and shall be matching to the lift.

    2. Invoice shall be produced in case of all major items as a proof of genuine spares. Obsolete items

    not available in market can be repaired and used.

    7.5 Exceptions:

    8.0 Damages to BSNL Installation

    8.1 Any damage to the installation(s)/building during the maintenance period due to the carelessness on

    the part of maintenance staff shall be the responsibility of the firm/contractor and shall be

    replaced/rectified by the firm without any extra cost.

    8.2 Any accident or damage during maintenance will be the responsibility of the firm/contractor & the

    department will not entertain any claim, compensation, penalty etc. on this account or on account of

    non observation of any other requirement of law to his work.

    9. PENALTY CLAUSE

    The Contractor should carry out comprehensive maintenance in the specified time allowed for the

    purpose in the tender schedule. The break down maintenance if any reported should be carried out

    within specified time on intimation of the complaint to the contractor through Telephone/Mobile

    phone/written order/E mail

    a) In case of LIFT

    i) If the contractor fails to attend the complaint within 24 hours, a penalty of Rs.200/- per day or part

    thereof, exceeding 24 hrs. subject to the maximum of 10 days shall be levied. If the agency fails to

    attend the fault within 10 days the work will be rescinded and further actions shall be initiated as per

    rules.

    ii) Major faults such as major components like controller, motor, E.M brake, Floor selector, Door locks,

    gear, guide shoes, safety gear, ARD, Ropes, Governors, Trailing cable shall be attended within 7 days.

    Delay beyond this period penalty will be imposed @ Rs. 250/- per day per unit subject to a maximum

    of 15 days shall be levied. If the agency fails to attend the fault within 15 days no payment for the

    faulty unit shall be made.

    10. The tenderer will have to quote rates for the following.

    i) Rate for Providing comprehensive maintenance of 1NosX 8 Passenger lift (Year of commissioning

    : January 2011, Make: M/s Johnson Lifts (P) Ltd, speed 1M/sec) serving BF+GF+4 floor having

    microprocessor based control ,V3F drive ,Auto Rescue device etc i/c monthly checking and servicing

    of the lift and attending to the break downs including cost of materials/spares, consumables, labour etc

    at BSNL Bhavan, Thiruvalla for a period of 1 year.

    11. Guidelines to successful Tenderers:

    11.1 QUALIFICATIONS OF MAINTENANCE STAFF

    a) The firm should have a local office in Pathanamthitta district. In case they does not have an existing

    set up, they shall establish an office within 15 days of award of work.

    b) The firm shall employ regularly one Electrician holding Wireman competency certificate issued by

    the Kerala State Electricity Licensing Board with 2 years experience in the Electrical field. Any work

    of electrical nature shall be got executed by this license holder only.

    c) Persons deputed to site and in charge of maintenance should possess certificate of competency issued

    / recognized by State Government for carrying out the required task.

    11.2 TOOLS & PLANTS

    All tools and plants required for carrying out various tasks relevant to the work have to be arranged

    by the agency at their own cost.

    The contractor should own the following essential tools and plants.

    Multi meter (VAR). 2. Megger. 3.Tong tester. etc.

    11.3 General Conditions

    a) The workers engaged by the firm should maintain proper discipline and good behavior with the

    occupants.

    b) The firm shall remove such workers from the site whose behavior is found improper.

    c) Any damage to the installation(s)/ Building during the maintenance period due to the carelessness on

    the part of maintenance staff shall be the responsibility of the firm and be replaced / rectified without

    any extra cost.

    d) The agency will provide the workers with necessary T&P, Testing & safety equipments.

    e) Any accident or damage during maintenance / operation will be the responsibility of the agency &

    BSNL will not entertain any claim, compensation, penalty etc. on this account or on account of non

    observation of any other requirement of law relevant to his work.

    f) Agency has to observe all the labour rules & regulations in force and cover the employees with

    accident insurance.

    g) The agency has to supply details and get the originals of the qualifications & experience certificates

    of employees attested by SDE as per Annexure I, of all the workers likely to be engaged by him before

    start of the work.

    h) The firm should also supply three passport size photographs for issuing identity cards to the workers.

    i) Dismantled materials shall be returned to the BSNL except those items for which the replacement is

    supplied by the agency.

    j) BSNL reserves the right to carry out any work at the risk and cost of the agency, if the agency fails to

    perform any duty as per the contract.

    k) The tenderer must obtain himself, at his own cost, all the information necessary for the purpose of

    tendering.

    l) The tenderer shall inspect the site & acquaint him with all the local conditions, means of access to

    work & nature of work etc. Each claims shall be entertained on these accounts.

    m) The rates quoted must be full and final.

    n) The Contractor shall not sublet the work or part thereof. However, services of specialized agencies

    for specific work can be obtained.

    o) BSNL reserves the right to terminate the contract by giving notice of one-month duration at any time

    during the currency of the contract.

    p) BSNL reserves the right to extend the contract for a maximum period of three months at the same

    rate & conditions.

    q) The contractor has to keep all the Elector-mechanical equipment and site neat and clean to avoid any

    accident and or fire hazards.

    r) Firm should have round the clock contact telephone number, in case of emergency, contractor and

    Authorised Engineer / Supervisor shall be available at site on short Notice from Engineer-in-charge and

    make all efforts to make the situation Normal at the earliest.

    s) A complaint register as per Annexure-II shall be kept up to date by the firm and the same shall be

    available for checking & verification.

    t) The complaint register shall be maintained in the respective Buildings and will be available with the

    caretaker. It shall be the responsibility of the firm to verify the details of complaint & take corrective

    action

    u) The staff engaged by the firm shall bear Identity Card while on duty.

    v) The contractor shall be responsible for any discrepancies vis-a-vis, the status of installation at the

    start of work plus any modifications / replacement carried out during the currency of the contract.

    12) Packing, forwarding and storage at site : Before dispatch to site, the equipment / component /

    materials shall be properly packed to have protection against transit damages and damages against

    storage at transporter's premises or at work site. However, damaged items shall be replaced as per the

    direction of Engineer-in-Charge. All the stores and materials required for satisfactory completion of the

    work shall be arranged at work site by the contractor from his own sources. However, safe custody of

    the material stored at site will be the responsibility of the contractor.

    13) Period of validity:

    (a). The tender will remain open for acceptance up to 90 days from the date of opening and the rates

    accepted will be firm and valid for a period of One Year from the date of execution of agreement

    14) Telephone connection. The successful tenderer should have a Land/Mobile Telephone in his own

    name.

    15. Tender Evaluation.

    The tenders will be evaluated by a committee appointed by General Manager Telecom District,

    BSNL,Pathanamthitta.The evaluation will be done in two parts ie .1. Technical Evaluation 2. Financial

    Evaluation

    a).The technical bid only will be opened initially and validated

    b) Those tenders meeting the required technical conditions and accepted by the evaluation committee

    only will be taken for opening the financial bid. The financial bid evaluation will be done on the basis

    of the rate quoted for the item.

    16. TERMINATION OF CONTRACT

    a) The General Manager Telecom District, Pathanamthitta reserves the right to terminate the contract

    by giving a notice of 15days in writing without assigning any reason. The period of 15days will count

    from the date of dispatch of the notice. The department shall not be liable for payment of any

    compensation for any loss that the contractor may be put to or alleged to be put to on account of such

    termination.

    b) The General Manager Telecom District, Pathanamthitta reserves the right to terminate the contract

    without giving any notice and to forfeit the Security Deposit of the Contractor in the following reasons:

    i) In case the Contractor fails to carry out the work Providing comprehensive maintenance of 1Nos.x8

    Passenger Lift at BSNL Bhavan, Thiruvalla for a period of one year. (2020-21) during the contract

    period.

    ii) If the work of the contractor is not found satisfactory.

    17. RELEASE OF SECURITY DEPOSIT:

    Security Deposit unless forfeited to the Department in part or in full, will be refunded to the Contractor

    after six months from the date of settlement of final bill after meeting all the contractual obligations,

    without any interest.

    18. INDEMNITIES:

    18.1 The contractor shall at all times hold BSNL harmless and indemnify from against legal action,

    suits, proceedings, works, cost, damage, charges claims and demands of every nature and descriptions,

    brought or procured against the BSNL its officers and employees, and forthwith upon demand and

    without protect or demur to pay to the BSNL any and all losses and damages and cost(inclusive

    between attorney and client) and all costs incurred in endorsing this or any other indemnity of security

    which the BSNL may now or at any time have relative to the work or the contractors obligation or in

    protecting or endorsing its right in any suit on other legal proceedings, charges and expense and

    liabilities resulting from or incidental or in connection with injury, damages of the contractor or

    damage to property resulting from or arising out of in any way connected with or incidental to the

    operations caused by the contract documents.

    In addition to contractor shall reimburse the BSNL or pay to the Government forthwith on demand

    without protect or demur all cost, charges and expense and losses and damages otherwise incurred by it

    in consequences of any claim. , damages and actions which may be brought against the Government

    arising out of or incidental to or in connection with the operation covered by the contractor.

    18.2 The contactor shall at his own cost at the BSNL’s request defend any suit or other proceedings

    asserting a claim covered by this indemnity, but shall not settle, compound or compromise any suit or

    other finding without first consulting the BSNL.

    19. FORCE MAJEURE

    19.1) 1f any time, during the continuance of this contract., the performance in whole or in part by either

    party or any obligation under this contract shall be prevented or delayed by reason of any war, or

    hostility, acts of the public enemy, civil commotion sabotage, fires, floods, explosions., epidemics,

    quarantine restrictions, strikes, lockouts or act of God (Herein after referred to as events) provided

    notice of happenings, of any such eventuality is given by either party to the other within 21 days from

    the date of occurrence thereof., neither party shall by reason of such event be entitled to terminate this

    contract nor shall be considered as non-performance and work under the contract shall be resumed as

    soon as practicable after such event may come to an end or cease to exist, and the decision of the BSNL

    as to whether the work have been so resumed or not shall be final and conclusive, provided further that

    if the performance, in whole or part of any obligation under this contract is prevented or delayed by

    reason of any such event for a period exceeding 60 days either party may, at his option terminate the

    contract.

    19.2) Provided also that it the contract is terminated under this clause, the BSNL shall be at liberty to

    take over from the contractor at a price to be fixed by the BSNL, which shall be final, all unused,

    undamaged and acceptance materials, bought out components and stores in the course of execution of

    the contract, in possession of the contractor at the time of such termination of such portions thereof as

    the BSNL may deem fit excepting such materials bought out components and stores as the contracts

    may with the concurrence of BSNL.

    20. Dispute and Arbitration:

    (i) In the event of any question, dispute or difference arising under this tender or in connection there

    with except as to matter the decision of which is specifically provided under this tender, the same shall

    be referred to sole arbitration of General Manager Pathanamthitta, or some other person appointed by

    the General Manager Telecom District, Pathanamthitta.

    The Agreement to appoint an Arbitrator will be in accordance with the Arbitration and Conciliation

    Act,1996.

    There will be no objection to any such appointment that the Arbitrator is BSNL Servant or that he has

    to deal with the matter to which the agreement relates or that in the course of his duties as BSNL

    Servant has expressed views on all or any of the matter under dispute.

    The award of the Arbitrator shall be final and binding on the parties. In the event of such Arbitrator to

    whom the matter is originally referred, being transferred or vacating his office or being unable to act for

    any reasons what so ever, General Manager Telecom Pathanamthitta shall appoint another person to act

    as Arbitrator in accordance with terms of the agreement and the person so appointed shall be entitled to

    proceed from the stage at which it was left out by his predecessors.

    (ii) The Arbitrator may from time to time with the consent of parties enlarge the time for making and

    publishing the award. Subject to aforesaid Arbitration and Conciliation Act 1996 and the Rules made

    there under, any modification thereof for the time being in force shall be deemed to apply to the

    Arbitration proceeding under this clause.

    (iii) The venue of the arbitration proceeding shall be the office of the General Manager Telecom, BSNL

    at Pathanamthitta or such other places as the Arbitrator may decide.

    21. SUBMISSION OF BILLS:

    (i) Bills are to be submitted in triplicate quarterly along with monthly service reports and

    certificates obtained from the Officer-In-charge of the concerned building to the effect that the work

    has been carried out satisfactorily

    22. PAYMENT OF BILL

    a) The SDE/JTO concerned on receipt of the bills shall pass and forward the same in duplicate with

    countersignature along with monthly service report and certificate duly signed by the JTO (E)/ SDE(E)

    concerned to the Office of the General Manager Telecom., District, Pathanamthitta for payment with

    the following certificate.

    (i) The work has been carried out satisfactorily

    b) Each bill should contain the PAN number and GST number of the contractor.

    c) BSNL shall deduct statutory deductions and other Govt levies (State/Central) as applicable from time

    to time from the bill of the Contractor and remitted to the Authorities concerned.

    d) No Advance payment will be made. For claiming the payment the required documents as per GST

    rules and regulations are to be submitted to the paying authority..

    e) The payment of bills exceeding Rs 25000/- will be made through e -payment only, for which the

    requisite mandate in prescribed form has to be submitted along with the bid document.

    1. In cities/areas where ECs/EFT facility is provided by Banks, the bidder must have Accounts in such

    ECS/EFT facility providing banks and that bank account number shall be quoted in the bids by the

    bidder.

    2. The cost of ECS/EFT will be borne by BSNL in all cases where the payment to the

    Contractor/supplier is made in a local branch ie ., bidder is having bank account in the same place

    where the payment is made by BSNL unit.

    3. In case payment is made to outside branch ie., bidder is having bank account not in the same place

    from where the payment is made by BSNL unit, the crediting cost will have to be borne by the

    bidder/recipient only.

    4. The bidder must submit the Form for transfer of payment through Electronic Clearance /

    Electronic Fund transfer.

    5. In case e-payment is not possible, payment shall be made by Account payee cheque.

    6. No Payment will be made for goods/work rejected at the site on testing. Payment, if made for such

    items shall be recovered from subsequent bills or other bills

    23. ARBITRATION:

    23.1 Except as otherwise provided elsewhere in the contract, if any dispute, difference, question or

    disagreement arises between the parties hereto or their respective representatives or assignees, in

    connection with construction, meaning, operation, effect, interpretation of the contract or breach thereof

    which parties unable to settle mutually, the same shall be referred to Arbitration as provided hereunder.

    23.2 A party wishing to commence arbitration proceedings shall revoke Arbitration Clause by giving 60

    days’ notice to the designated officer of the other party. The notice invoking arbitration shall specify

    all the points of disputes with details of the amount claimed to be referred to arbitration at the time of

    invocation of arbitration and not thereafter. If the claim is in foreign currency, the claimant shall

    indicate its value in Indian Rupee for the purpose of constitution of the arbitral tribunal.

    his place in the same manner as aforesaid. Such person shall proceed with the reference for the state

    where his predecessor had left it both parties consent for the same; otherwise, he shall proceed de novo.

    Parties agree that neither party shall be entitled for any pre-reference or pendentelite interest on its

    claims. Parties agree that any claim for such interest made by any party shall be void.

    In case of sole arbitrator, BSNL shall make all necessary arrangements for the travel/stay and the

    expenses incurred shall be shared equally by the parties.

    The arbitration proceedings shall be held at New Delhi or Circle or SSA Headquarter ( as the case may

    be)

    24. SET OFF

    Any sum of money due and payable to the supplier under this contract may be appropriated by the

    purchaser / BSNL or any other person or persons contracting through the BSNL and set off the same

    against any claim of BSNL or such other person or persons for payment of a sum of money arising out

    of this contract or under any other contract made by the supplier with BSNL or such other person or

    persons contracting through BSNL.

    work in accordance with specifications and instructions contained in the Tender Notice-G48/AMC

    LIFT/BSNL BVN TVLA/2020-21/17 Dtd Thiruvalla the 9th November 2020 as may be given by the

    General Manager Telecom.District, Pathanamthitta, or his representatives in consideration of payment

    of being made for the quantity of work executed at the rate specified in the schedule enclosed herewith.

    2. Should this tender be accepted, I/We agree to abide by and fulfill all the terms and conditions as

    outlined in the tender notice and to enter into formal agreement with the Company in due course. Till

    such time, acceptance of this shall be deemed to be the Contract.

    3. The sum of Rs. 1952 /- (Rupees One Thousand Nine Hundred and Fifty two only) remitted by me/us

    as Earnest Money Deposit, the full value of which will be absolutely forfeited to the said BSNL without

    prejudice to any other rights or remedies of the said BSNL or his successors in office if I/We withdraw

    this tender before final acceptance of the successful tender or in the event of its acceptance fail to pay

    the Security Deposit and to execute the agreement within the due date without prejudice to any other

    right or remedies of the said BSNL or his successors in the office. I/We will not claim interest on this

    sum while it is in the custody of the General Manager Telecom. BSNL or his successors,

    SECTION 5

    General (Commercial) conditions of the Contract

    Clauses Relating to GST

    A) TAXES AND DUTIES CLAUSE - FOR VENDOR/SUPPLIER/CONTRACTOR (For Supplies/

    Services during GST Regime) INDIRECT TAXES/ GST

    1. For the purposes of levy and imposition of GST, the expressions shall have the following meanings:

    (a) GST - means any tax imposed on the supply of goods and/or services under GST Law. (b) Cess –

    means any applicable cess, existing or future on the supply of Goods and Services as per Goods and

    Services Tax (Compensation to States) Act, 2017. (c) GST Law - means IGST Act 2017, CGST Act

    2017, UTGST Act, 2017 and SGST Act, 2017and all related ancillary Rules and Notifications issued in

    this regard from time to time.

    2. The rates to be quoted by the bidder should be exclusive of GST. The GST should be quoted

    separately showing the percentage of SGST, CGST and IGST. The GST portion as shown separately

    will be paid by BSNL. However, it is the responsibility of the bidder to make all possible efforts to

    make their accounting / IT system GST compliant in order to ensure availability of Input Tax Credit

    (ITC) to BSNL.

    3. Offers without giving any of the details of the taxes (Including rates and amounts) as specified

    above will be considered as non-registered bidder under GST and the acceptance of such tender shall be

    at the full discretion of General Manager, BSNL, Pathanamthitta.

    4. Bidders are required to pass on the benefit arising out of introduction of GST, including seamless

    flow of Input Tax Credit, reduction in Tax Rate on inputs as well as final goods by way of reduction of

    price as contemplated in the provision relating to Anti-Profiteering Measure vide Section 171 of the

    CGST Act, 2017. Accordingly, for supplies made under GST, the bidders should confirm that benefit

    of lower costs has been passed on to BSNL by way of lower prices/taxes and also provide details of the

    same as applicable. BSNL reserves the right to examine such details about costs of inputs/input services

    of the bidders to ensure that the intended benefits of GST have been passed on to BSNL.

    5. BSNL shall declare the value of free issue of materials and services, if any, involved in the execution

    of the contract. The Contractor should consider the same while working out the GST liability, if any.

    Further in cases where GST is leviable on any facilities provided by BSNL and used by bidders and the

    consideration for which is recovered by BSNL in the form of reduction in the invoice raised by bidders

    then BSNL will raise GST invoices on such transactions and the same will be reimbursed by bidders.

    6. Bidder agree to do all things not limited to providing GST compliant Tax Invoices or other

    documentation as per GST law relating to the supply of goods and/or services covered in the instant

    contract like raising of and /or acceptance or rejection of credit notes / debit notes as the case may be,

    payment of taxes, timely filing of valid statutory Returns for the tax period on the Goods and Service

    Tax Network (GSTN), submission of general information as and when called for by BSNL in the

    customized format shared by BSNL in order to enable BSNL to update its database etc. that may be

    necessary to match the invoices on GSTN common portal and enable BSNL to claim input tax credit in

    relation to any GST payable under this Contract or in respect of any supply under this Contract.

    7. In case Input Tax Credit of GST is denied or demand is recovered from BSNL by the Central / State

    Authorities on account of any non-compliance by bidders, including nonpayment of GST charged and

    recovered, the Vendor/Supplier/Contractor shall indemnify BSNL in respect of all claims of tax,

    penalty and/or interest, loss, damages, costs, expenses and liability that may arise due to such non-

    compliance. BSNL, at its discretion, may also withhold/recover such disputed amount from the pending

    payments of the bidders.

    B) PAYMENT TERM CLAUSE: The Bidder/Vender will be required to submit the details of their

    bill upload to GSTN site for claiming payment. Tax Invoice under GST Rules should contain complete

    details as under:-

    a) Name, address and GSTIN of the supplier;

    b) A consecutive serial number not exceeding sixteen characters, in one or multiple series,

    represented by the General Manager Telecom District , Pathanamthitta, hereinafter called “BSNL”

    (which expression shall unless excluded by or repugnant to the context, include his successors and

    assignees) on the one part and Shri……………………………….……… (here in after called the

    “Contractor ” which expression shall include his heirs , executors , administrators, Legal

    representatives and assignees ) on the other part. WHEREAS the contractor was the one person who

    tendered for “Providing comprehensive maintenance of 1Nox8 Passenger lift at BSNL Bhavan

    Thiruvalla for a period of one year (2020-2021). And WHEREAS the contractor has agreed to do the

    work of “Providing comprehensive maintenance of 1Nox8 Passenger lift at BSNL Bhavan Thiruvalla

    for a period of one year (2020-2021)”and is prepared to accept the terms and conditions as per the

    details of work and rates specified below:-

    i) Providing comprehensive maintenance of Passenger lift ( Lift No.1) (Year of commissioning :

    January 2011 ,Make : M/s Johnson Lifts (P) Ltd ,speed 1M/sec serving BF+GF+4 floor having

    microprocessor based control ,V3F drive ,Auto Rescue device etc i/c monthly checking and servicing

    of the lift and attending to the break downs including cost of materials/spares, consumables, labour etc.

    NOW, THEREFORE ,THIS AGREEMENT WITNESSETH AND THE PARTIES HEREBY AGREE

    AS FOLLOWS:-

    The Contractor hereby agree to the terms and conditions mentioned in the Tender No:G48/AMC

    LIFT/BSNL BVN TVLA/2020-21/17 Dtd Thiruvalla the 9th November 2020.

    1.The Contractor will permit the General Manger, Telecom District, Pathanamthitta or his authorized

    officers to inspect the work at all times while the same are under execution .

    1.1.The Contractor will do all the works entrusted to him, from time to time in a thoroughly neat and

    expert manner and with best materials and in accordance with the specifications, terms and conditions

    and direction contained in the Tender Notice No.G48/AMC LIFT/BSNL BVN TVLA/2020-21/17 Dtd

    Thiruvalla the 9th November 2020

    2. The contract is for a period of .one Year commencing from the date of execution of the agreement.

    3. The BSNL reserves the right to deviate the quantity of goods and services specified in the schedule

    of items up to 50 % (Fifty percent) without any change in the unit price or other terms and conditions as

    applicable at the time of award of contract.

    4. The contractor shall carry out the afore mentioned works with due diligence with the permission and

    concurrence of the respective controlling officers of the units and monthly service reports of respective

    months signed by JTO duly countersigned by SDE with the certificate that the work has been carried

    out satisfactorily and the same should be submitted while claiming the payment.

    5. If any defect is noticed the same should be attended with in the stipulated time mentioned in this

    contract.

    6. The contractor should have a Mobile/ land line phone and the number shall be given to this office.

    7.The security deposit will be with held or forfeited to the company in part or in full for the losses if

    any sustained due to the defective or delayed attention of discrepancies by the contractor.

    8. The contractor fails to commence the work within the stipulated time the security deposit will be

    forfeited. If after commencement of work the contract is terminated for slow progress of work then in

    addition to the recovery of compensation for the delay as per eight above the full security deposit shall

    also be forfeited.

    9. In the event of failure of contractor with respect to any of the conditions of the contract ,the contract

    shall be terminated by giving 15 days notice in writing . BSNL shall not be liable for any loss sustained

    by the contractor due to the termination.

    10. In consideration of the payments to be made to the contractor for the works to be executed by him

    the contractor hereby covenants with the contract documents to duly provide, execute and complete the

    said work and shall perform all other acts, deeds, matters and things in the contract mentioned or

    described or which are to be implied there from or may be reasonably necessary for the completion of

    the said works and at the time and in the manner and subject to the terms and conditions of stipulations

    mentioned in the contract.

    11.In consideration of the due provisions, executions and completion of the said works, the BSNL

    hereby agrees with the Contractor that the BSNL will pay to the Contractor the respective amounts for

    the work done by the contractor and such other sum(s) as may be become payable to the contractor

    under the provisions of the Contract.

    12. ARBITRATION

    1. In the event of any question, dispute or difference arising under this Tender or in connection

    there-with except as to matter the decision of which is specifically provided under this Tender, the same

    shall be referred to the sole arbitration of General Manager Telecom Pathanamthitta or some other

    person appointed by the General Manager Telecom District Pathanamthitta.

    2. . There will be no objection to any such appointment that the Arbitrator is Government servant or

    that he has to deal with the matter to which the agreement relates or that in the course of his duties as

    Government servants he has expressed views on all or any of the matter under dispute.

    The award of the arbitrator shall be final and binding on the parties. In the event of such arbitrator to

    whom the matter is originally referred being transferred or vacating his Office or being unable to act for

    any reason, whatsoever, General Manager Telecom Pathanamthitta shall appoint another person to act

    as arbitrator in accordance with terms of the agreement and the person so appointed shall be entitled to

    proceed from the stage at which it was left out by his predecessors.

    3) PAYMENT TERM CLAUSE: The Bidder/Vender will be required to submit the details of their

    bill upload to GSTN site for claiming payment. Tax Invoice under GST Rules should contain

    complete details as under:-

    a) Name, address and GSTIN of the supplier;

    b) A consecutive serial number not exceeding sixteen characters, in one or

    multiple series, containing alphabets or numerals or special characters hyphen or dash and slash

    symbolized as “-“ and “/” respectively, and any combination thereon, unique for a financial year;

    c) Date of its issue;

    d) Name, address and GSTIN or UIN, if registered, of the recipient; (i.e. BSNL, Kerala Circle)

    e) Name and address of the recipient and the address of delivery, along with the name of STATE

    and its Code, if such recipient is un-registered and where the value of taxable supply is Fifty thousand

    h) Quantity in case of goods and unit or Unique Quantity Code thereof;

    i) Total value of supply of goods or services or both;
